What it does

Mechanically, the History Trust of South Australia Act 1981 creates a statutory body, the History Trust of South Australia, and sets out its legal form, membership, governance, powers, financial controls, staffing arrangements, enforcement tools and regulatory framework. The Act (a) establishes the Trust as a body corporate and an instrumentality of the Crown that holds property on behalf of the Crown (s 4(1)-(2)); (b) prescribes the composition, appointment, tenure and removal of members, meeting quorums and voting, and minimum meeting frequency (ss 5-7); (c) confers a suite of museum, collection, exhibition, research, advisory, accreditation and administrative functions (s 13) and an expansive set of powers to transact, commercialise, contract, licence and manage property and events (s 14); (d) provides for staffing arrangements via an employing authority designated by proclamation, rather than direct employment by the Trust (s 15); (e) imposes financial and reporting obligations including budget approval by the Minister, accounting, audit by the Auditor‑General and an annual report to Parliament (ss 16-18); (f) creates a class of authorised officers with powers on Trust premises (Part 3, ss 19-21); (g) declares and protects official titles and logos, gives the Trust a proprietary interest in those insignia, and criminalises unauthorised commercial use with seizure powers (Part 4, ss 22-25); and (h) enables Governor and Ministerial interventions including placing Crown land under the Trust (s 26), accepting gifts (s 27), delegations by Minister and Trust (ss 11, 28) and regulation‑making powers (s 30).

The long title and opening provisions state the statutory purpose: to establish the History Trust of South Australia and to define its powers and functions. That is the Act’s stated objective. The Act operationalises that objective by combining curatorial and cultural functions with explicit commercial powers. The legislative architecture therefore places the Trust at the intersection of cultural stewardship and commercial activity: it may collect and conserve historically significant material (s 13(c)-(e)), while also charging admission fees, operating venues, selling goods, licensing broadcasts, and accepting sponsorships (s 14(2)(h)-(l), (e), (i)). Financial and administrative controls allocate oversight between the Trust, the Minister and the Treasurer: budgets must be submitted to and may be varied by the Minister (s 16), and certain financial transactions (holding shares or borrowing) require Treasurer approval (s 14(3)). The Trust is an instrumentality of the Crown (s 4(2)(d)), its accounts are auditable by the Auditor‑General (s 17(3)) and its annual report must be laid before Parliament within a short statutory timeline after receipt by the Minister (s 18).

(2) The following persons will, on the commencement of this clause, be taken to be employed as follows: (a) a person who, immediately before the commencement of this clause, was employed under section 6L(1) of the Electricity Act 1996 will, on that commencement, be taken to be employed by the employing authority under that Act (as amended by this Act); (b) a person who, immediately before the commencement of this clause, was employed by the South Australian Fire and Emergency Services Commission will, on that commencement, be taken to be employed by the Chief Executive of that body; (c) a person who, immediately before the commencement of this clause, was employed by an emergency services organisation under the Fire and Emergency Services Act 2005 will, on that commencement, be taken to be employed by the Chief Officer of that body; (d) a person who, immediately before the commencement of this clause, was employed by an incorporated hospital or an incorporated health centre under the South Australian Health Commission Act 1976 will, on that commencement, be taken to be employed by an employing authority under that Act (as amended by this Act) designated by the Governor by proclamation made for the purposes of this paragraph. (3) Subject to this clause, the Governor may, by proclamation, provide that a person employed by a subsidiary of a public corporation under the Public Corporations Act 1993 will be taken to be employed by a person or body designated by the Governor (and the arrangement so envisaged by the proclamation will then have effect in accordance with its terms). (5) If, immediately before the commencement of this clause, a person's employment within the ambit of subclause (1), (2) or (3) was subject to the operation of an award or certified agreement (but not an Australian Workplace Agreement) under the Commonwealth Act, then, on that commencement, an award or enterprise agreement (as the case requires) will be taken to be created under the Fair Work Act 1994— (a) with the same terms and provisions as the relevant industrial instrument under the Commonwealth Act; and (b) with any terms or provisions that existed under an award or enterprise agreement under the Fair Work Act 1994, that applied in relation to employment of the kind engaged in by the person, immediately before 27 March 2006, and that ceased to apply by virtue of the operation of provisions of the Commonwealth Act that came into force on that day, subject to any modification or exclusion prescribed by regulations made for the purposes of this subclause and subject to the operation of subclause (6). (6) Where an award or enterprise agreement is created by virtue of the operation of subclause (5)— (a) the award or enterprise agreement will be taken to be made or approved (as the case requires) under the Fair Work Act 1994 on the day on which this clause commences; and (b) the Fair Work Act 1994 will apply in relation to the award or enterprise agreement subject to such modifications or exclusions as may be prescribed by regulations made for the purposes of this subclause; and (c) the Industrial Commission may, on application by the Minister to whom the administration of the Fair Work Act 1994 is committed, or an application by a person or body recognised by regulations made for the purposes of this subclause, vary or revoke any term or provision of the award or enterprise agreement if the Industrial Commission is satisfied that it is fair and reasonable to do so in the circumstances. 3—Superannuation (1) If a prescribed body under a relevant Act is, immediately before the commencement of this clause, a party to an arrangement relating to the superannuation of one or more persons employed by the prescribed body, then the relevant employing authority under that Act will, on that commencement, become a party to that arrangement in substitution for the prescribed body. (5) The fact that a person becomes an employer in his or her capacity as an employing authority under an Act amended by this Act does not affect the status of any body or person as an employer of public employees for the purposes of the Fair Work Act 1994 (unless or until relevant regulations are made under the provisions of that Act). 6—Other provisions (1) The Governor may, by regulation, make additional provisions of a saving or transitional nature consequent on the enactment of this Act. (3) To the extent to which a provision takes effect under subclause (2) from a day earlier than the day of the regulation's publication in the Gazette, the provision does not operate to the disadvantage of a person by— (a) decreasing the person's rights; or (b) imposing liabilities on the person. (4) The Acts Interpretation Act 1915 will, except to the extent of any inconsistency with the provisions of this Schedule (or regulations made under this Schedule), apply to any amendment or repeal effected by this Act. (3) A member continues in office by virtue of subclause (2) despite the fact that, for some or all of the duration of the balance of that term of office, 1 or more provisions of section 5 of the principal Act as amended by Part 6 of this Act (relating to the composition of the Trust) may not be complied with and, in that case, those provisions will not apply for that duration. 17—Authorised officers under History Trust of South Australia Regulations 2010 A person appointed and holding office as an authorised officer under the History Trust of South Australia Regulations 2010 immediately before the commencement of this Division will be taken to be an authorised officer appointed under Part 3 of the History Trust of South Australia Act 1981 as inserted by Part 6 of this Act and subject to the same conditions and limitations (if any). 1 History Trust of South Australia Act 1981

South Australia History Trust of South Australia Act 1981 An Act to establish the History Trust of South Australia; to define its powers and functions; and for other purposes.

Compliance with the Act requires systems across governance, finance, human resources, collections management, branding/licensing, enforcement procedures and regulatory engagement. Below are practical, source‑grounded steps aligned to the Act’s requirements and the sections supplying the obligations.

Governance and board compliance

Membership management. Ensure instruments of appointment from the Governor specify terms not exceeding three years and set any conditions of appointment (s 6(1)). Track reappointment eligibility and the nine‑year consecutive service cap (s 6(2)). Maintain records to evidence compliance with the male/female minimum composition of at least two women and two men among up to eight members (s 5(1)-(2)). Establish resignation and vacancy protocols consistent with s 6(4)-(5).
Meeting and minutes. Implement a meeting schedule to meet at least six times per year (s 7(7)). Maintain accurate minutes as required by s 7(8). Adopt procedural rules that reflect s 7 and the Trust’s power to determine procedures (s 7(9)). Embed rules about electronic participation and circulation resolutions per s 7(5)-(6).

Delegation and conflicts

Delegation framework. Use written delegation instruments as required by ss 11(1)-(2) and 28(1)-(2). Keep a delegation register and ensure each delegation instrument states conditions, limitations and whether further delegation is permitted (s 11(2)(a)-(d); s 28(2)(a)-(c)). Require delegates to disclose pecuniary or personal interests and forbid delegates from acting in conflicted matters (s 11(4)). Implement checks to prevent criminal exposure under s 11(4), and record evidence in case of prosecution (s 11(5) defence).
Evidentiary certificates. Maintain certified copies or certificates of delegation for use in legal proceedings; the Act states such certificates will be accepted in the absence of proof to the contrary (s 11(6); s 28(4)).

Financial controls and reporting

Budget process. Prepare and submit the annual budget in the Minister’s required form and content (ss 16(1)-(4)). Avoid expenditure not provided for in an approved budget without securing Minister consent (s 16(5)). Recognise that money received by way of testamentary or other gifts may be expended without Minister approval (s 16(6)).
Accounting and audit. Keep accounting records and annual statements compliant with Treasurer instructions and Auditor‑General requirements (s 17(1)-(2)). Facilitate Auditor‑General audits and ensure prompt production of audited accounts for the annual report (s 17(3); s 18(2)). Submit the annual report by 30 September and be ready for Ministerial laying within 12 sitting days (s 18(1), (3)).
Treasurer approvals. For shareholdings, acquisitions of corporate interests or borrowing, obtain Treasurer approval prior to action (s 14(3)) and comply with any conditions set by the Treasurer (s 29).

Staffing and employment

Employing authority arrangements. Because the Trust cannot employ directly (s 15(11)), confirm the employing authority by checking the Governor’s proclamations under the definition and any amendments recorded in the legislative history. Ensure employment contracts are administered by the employing authority and that the Trust’s operational requests for staff are documented. Implement tripartite arrangements where Minister, Treasurer or employing authority directions about payments are complied with (s 15(10)).
Secondments and direction. If the employing authority directs staff to other public sector agencies, document scope and terms and ensure compliance with any limitations on Ministerial directions regarding particular personnel (s 15(4)-(6)).

Collections, gifts and museum operations

Acceptance and rejection of material. Adopt a collections policy that implements s 14(4) by setting criteria for acceptance and retention of objects. For testamentary gifts, ensure the Trust manages them consistent with s 9(2)(b), noting that the Minister may not direct handling of such gifts.
Accreditation and advisory functions. If the Trust engages in accreditation or gives advice to the Minister on funding, maintain transparent processes and records to support any recommendations (s 13(g)). Document conflicts and decision rationale.

Official insignia and licensing

Register and control marks. Publish clear policies on use of official titles and logos declared under s 23. Require written licences or Gazette notices for consents to use official insignia and record conditions and fees per s 24(4). Implement a commercial licensing regime for merchandise, sponsorships and naming rights, consistent with s 14(2)(i) and s 24.
Enforcement procedures. Train authorised officers in seizure powers in s 25, and implement procedures to ensure seizures are reasonable, that the statutory three‑month period for instituting proceedings is monitored, and that compensation procedures are followed where necessary (s 25(2)-(3)).

Premises, visitor conduct and authorised officers

Authorised officer identification. Ensure all non‑police authorised officers are issued identity cards that comply with s 19(4) and that they produce those cards when exercising powers (s 19(5)). Maintain a register of authorised officers and the conditions or limitations on their appointment (s 19(3)-(4)).
On‑premises rules. Draft bylaw‑style rules and signage for admission, exclusion, behaviour, smoking, food and liquor consumption, vehicle parking and enforcement consistent with possible regulations under s 30. Engage with the Minister and the Governor where regulations are contemplated, and prepare for potential evidentiary presumptions in parking regulation prosecutions (s 30(4)).
Reasonable force and detention. Provide authorised officers with clear guidance on when and how to use reasonable force and when to detain and hand over to police; ensure training in use of force proportionality and recordkeeping per s 20.

Legal remedies and litigation readiness

Civil and criminal enforcement. Keep records suitable to support injunction applications and compensation claims under s 24 and forfeiture applications under s 25(4). Preserve chain of custody and seizure records, and ensure timely prosecution decisions to avoid compensation liability under s 25(2).
Delegation challenges. Maintain documentary evidence of delegation instruments and any approvals by Governor, Minister or Treasurer so that certificates of delegation can be produced under ss 11(6) and 28(4) in legal proceedings.

Regulatory engagement

Regulations and subordinate law. Monitor the Governor’s regulations made under s 30 and participate in any consultation processes. Review the Trust’s internal policies to ensure alignment with potential regulation heads such as notification of sale or destruction of registered objects, parking fees, and admission/exclusion rules (s 30(2)).

Documentation and audit trails

Maintain statutory registers and records for objects of historical significance per s 13(e). Keep a robust minute book, delegation register, licence register for insignia consents, employment documentation via the employing authority, and financial records compliant with Treasurer and Auditor‑General instructions.

Taken together, compliance requires an integrated governance manual, clear delegation instruments, robust licence and commercial contracting templates for insignia use, tight coordination with the employing authority on staffing, and procedures for seizures and prosecutions that respect the Act’s timelines and compensation obligations. Regular review against the Act and the regulations (when promulgated) is essential.
