Higher Education Provider Approval No 1 of 2021

The instrument revolves around four concepts drawn from the Higher Education Support Act 2003: approval as a higher education provider (section 16-25), the decision process (section 16-50), and the power to impose conditions (section 16-60). “Approval” under section 16-25 is the statutory gateway for a body corporate to become a provider that can administer Commonwealth-supported places and student loans. Without an approval in force, a body cannot receive grants, charge Commonwealth-supported amounts, or offer FEE-HELP. The instrument is the formal notice of that approval, and its conditions are a mechanism for ongoing regulatory oversight.

The concept of “current ratio” in condition 1 is a liquidity measure calculated as current assets divided by current liabilities. A ratio of 1.0 or above means the provider has at least enough short-term assets to cover short-term liabilities. Condition 2’s “positive equity position” requires that total assets exceed total liabilities, ensuring the provider is not technically insolvent. Both conditions give the provider three years from the date of approval to reach these benchmarks, representing a transition period for a new provider to build financial stability.

“Related entity” in condition 3 is not defined in the instrument but is a term used in the Act and in accounting standards; the condition prohibits new guarantees or loans to directors or related entities that could have a material effect on the provider’s finances. “Material effect” is left undefined, giving the Department interpretive discretion. Condition 4 incorporates a specific cross-reference to “associated entity” as defined by section 50AAA of the Corporations Act 2001, which sets a broad net covering entities that control or are controlled by the provider, or over which the provider has significant influence.

The “Financial Viability Instructions” referenced in condition 5 are a set of administrative guidelines issued by the Department (not reproduced in this instrument). They prescribe the format, content, and auditor requirements for annual financial statements. The instrument does not incorporate the instructions by reference, but imposes an obligation to provide information “as specified” in them.

“Events that may significantly affect the capacity to meet quality and accountability requirements” in condition 6 is a forward-looking, subjective trigger. It could include financial distress, loss of key personnel, litigation, or regulatory sanctions. The condition requires written advice within 10 working days; “10 working days” is an absolute calendar deadline calculated excluding weekends and public holidays in the relevant jurisdiction.

Condition 7’s requirement to inform the Department of changes to directors, company structure, or constitution is a straightforward notification duty with a strict 10-working-day window.

Condition 8 (as amended) focuses on TEQSA and other regulatory bodies’ activities that “may impact upon its operations.” That is a lower threshold than “significantly affect” under condition 6. Condition 9 captures any regulatory activity under Australian Consumer Law or fair-trading laws. The phrase “as soon as practicable” in both conditions is less precise than the 10-working-day deadline in conditions 6 and 7, but implies a prompt response, not indefinite delay.

The instrument also introduces the concept of “recognised financial institution” in condition 4. That term is not defined in the instrument; it would likely be interpreted by reference to the Banking Act 1959 or Australian Prudential Regulation Authority authorisation. The condition effectively prohibits securing loans from non-bank lenders, private lenders, or related parties, unless the lender is a recognised financial institution. This restriction limits the provider’s financing options and increases its reliance on mainstream bank funding.

The instrument directly affects Ozford Institute of Higher Education Pty Ltd, the body corporate that receives the approval. The provider is a proprietary limited company (ACN 165 694 351). The instrument imposes ongoing obligations on its directors and officers because they are responsible for ensuring corporate compliance with the conditions. Breach of a condition could expose the company to loss of approval, which would jeopardise its business model and ability to offer Commonwealth-supported places. Directors and officers also face potential personal liability under general corporations law if they cause the company to breach conditions that lead to insolvent trading or other statutory breaches.

Students of Ozford Institute are indirectly affected. The approval allows the provider to offer Commonwealth-supported places and FEE-HELP, which reduces upfront costs for eligible students. If the provider fails to maintain the conditions, the Department could suspend or revoke approval, which would disrupt students’ enrolment and financial arrangements. The conditions aim to ensure the provider remains financially viable, which in turn protects student interests, but they also impose costs that may be passed on through fees or reduced course offerings.

The Department responsible for administering the Higher Education Support Act 2003 (currently the Department of Education) is the recipient of the reporting and notifications under conditions 5-9. The Department’s officers will assess the financial information, monitor events, and decide whether further action is necessary. The instrument gives the Department ongoing supervisory power without requiring fresh approvals or hearings.

TEQSA is directly affected by condition 8, which requires the provider to notify the Department of any regulatory activity by TEQSA. That condition effectively creates a parallel reporting channel, meaning TEQSA’s own oversight triggers a separate duty to the Department. This may lead to duplication of reporting for the provider.

Other regulatory bodies, such as the Australian Competition and Consumer Commission (ACCC) or state fair-trading offices, are also affected because any regulatory activity under Australian Consumer Law or fair-trading laws must be reported to the Department under condition 9. The instrument does not limit the reporting to adverse findings; it covers any regulatory activity, including investigations, audits, or mere inquiries.

Related entities of Ozford Institute are affected by conditions 3 and 4. Condition 3 prohibits the provider from giving new guarantees or loans to directors or related entities, which may restrict the provider’s ability to support related businesses or provide intra-group finance. Condition 4 prevents the provider from offering its assets as security for the benefit of any other person or entity (including associated entities) except for commercial loans from a recognised financial institution. This means the provider cannot use its assets to secure borrowings for related entities, limiting the group’s financial flexibility.

The instrument does not directly affect other higher education providers, but it may indirectly affect competition by imposing different conditions on Ozford Institute than those on other providers. The instrument is tailored to Ozford Institute’s financial position and history at the time of approval. Other providers may have similar or different conditions depending on their own circumstances. This case-by-case approach means the instrument is not a model for general regulatory policy.

The instrument imposes eight distinct duties on Ozford Institute (conditions 1 and 2 together form a single duty to achieve and maintain financial ratios, but they are separate numerical targets). Each duty is a condition of approval; failure to comply can result in the Department taking action to vary, suspend, or revoke approval under the Act, although the instrument itself does not spell out those consequences.

Duty to achieve and maintain a current ratio of 1.0 or above (condition 1): The provider must meet this ratio within three years of the approval date (by 8 June 2024) and maintain it for the remainder of the approval period. There is no obligation to maintain a higher ratio, but if the ratio falls below 1.0 after the initial three-year period, the provider would be in breach. The duty is an ongoing performance standard.

Duty to achieve and maintain positive equity (condition 2): The provider must have positive net assets within three years and maintain that position. This is a solvency-related requirement that protects creditors and students in the event of winding-up. Combined with condition 1, the provider must be both liquid and solvent by mid-2024.

Duty not to provide new guarantees or loans to directors or related entities (condition 3): This is a prohibition on certain transactions. It does not require prior approval from the Department; it is a blanket ban unless the provider can show that the guarantee or loan would not have a “material effect” on its finances. The term “material effect” is not defined, so the provider must exercise judgment and risk being second-guessed by the Department. The duty attaches to “new” guarantees or loans only; existing arrangements are not affected. The provider must also avoid renewing or extending existing guarantees if that could be considered a new guarantee.

Duty to restrict asset security (condition 4): The provider cannot offer its assets as security for the benefit of any other person or entity (including associated entities) unless the security is part of a commercial loan arrangement with a recognised financial institution. This prevents the provider from encumbering its assets to support related parties or non-bank lenders. The burden is on the provider to ensure that any security arrangement complies. The reference to “commercial loan arrangements” suggests arms-length, market terms, not intra-group or concessional loans.

Duty to provide annual financial information (condition 5): By 31 December each year, the provider must give the Department financial information “as specified in the Financial Viability Instructions.” The instrument does not set out what those instructions contain, but they likely require audited financial statements, a statement of financial position, a statement of financial performance, and possibly cash flow statements. The provider must ensure its financial records are ready in time to meet the deadline, which may require early engagement with auditors. The duty is annual, but the Department could request additional information at any time under other provisions of the Act.

Duty to notify of events affecting capacity (condition 6): Within 10 working days of an event that may significantly affect the provider’s ability to meet quality and accountability requirements, the provider must give written advice to the Department. The trigger is broad: “any events affecting Ozford Institute of Higher Education Pty Ltd or a related entity.” That includes events at the related entity level even if the provider itself is not directly affected. The term “significantly affect” implies a high threshold, but the provider must err on the side of timely disclosure. The duty is ongoing; the provider needs systems to monitor both its own and related entities’ circumstances.

Duty to notify of changes in directors, structure or constitution (condition 7): Within 10 working days of any change, the provider must inform the Department in writing. This is a straightforward notification obligation covering additions, resignations, alterations to the constitution, and changes to corporate structure (e.g., changes in shareholding or beneficial ownership). Failure to notify within the timeframe is a breach.

Duty to advise of TEQSA or other regulatory activity (condition 8, as substituted): The provider must advise the Department as soon as practicable of any regulatory activity by TEQSA or any other regulatory body which may impact upon its operations. Unlike condition 6, this has no “10 working day” limit but uses the standard “as soon as practicable.” The threshold is lower: any regulatory activity that “may impact” (not “significantly affect”) is reportable. This could include a preliminary inquiry, a compliance audit, or a change in regulatory requirements.

Duty to advise of consumer law or fair-trading regulatory activity (condition 9): Similar to condition 8 but limited to regulatory activity under Australian Consumer Law and/or fair-trading laws. The provider must monitor ACCC, ASIC (in relation to consumer protection), and state fair-trading agencies for any investigations or enforcement actions.

The instrument grants Ozford Institute the right to be an approved higher education provider for as long as it complies with the conditions. That right is not absolute; it can be revoked if conditions are breached. The instrument does not provide any right of review or internal reconsideration. The provider would need to rely on administrative law remedies (judicial review under the Administrative Decisions (Judicial Review) Act 1977 or the common law) if the Department takes adverse action.

The instrument itself does not prescribe monetary penalties or criminal sanctions. It is an approvals instrument under the Higher Education Support Act 2003, which contains its own enforcement mechanisms. The Act (not reproduced here) provides for the Minister to impose further conditions, suspend approval, or revoke approval if a condition is breached or if the provider ceases to meet quality or accountability requirements. The instrument’s conditions are directly enforceable by the Department through these statutory powers. Because the instrument is a legislative instrument registered on the Federal Register of Legislation, failure to comply with a condition may also give rise to civil penalty provisions under the Act if the Act so provides (the instrument does not state which provisions apply). The instrument’s status as a legislative instrument means that non-compliance is not merely a contractual breach but a breach of a law of the Commonwealth.

The practical enforcement risk is that the Department will discover non-compliance through the annual financial information (condition 5) or through notifications (conditions 6-9). If the provider fails to meet the financial ratio targets (conditions 1 and 2) by the three-year deadline, the Department may initiate proceedings to revoke approval. The prohibition conditions (3 and 4) are self-executing; a breach could be discovered through an audit or complaint. The notification duties (6-9) are ongoing; failing to notify within the required timeframes is itself a breach, even if the underlying event would not have caused harm.

The instrument does not set out a graduated enforcement response. There are no warning letters or formal show-cause provisions in the instrument. The Department has broad discretion. In practice, the Department may issue a show-cause notice asking the provider to explain why approval should not be revoked, but the instrument does not create that step. The risk of revocation creates significant pressure on the provider to comply, because loss of approval would end the provider’s ability to offer Commonwealth-supported places and FEE-HELP, effectively destroying its business model.

The amendment to condition 8 (by the 2022 Amendment Instrument) shows that the Department is willing to modify conditions retrospectively. That amendment substituted condition 8 in full. The power to amend conditions likely resides in section 16-60, but the instrument does not contain a variation clause. The provider must be aware that conditions can be tightened without its consent.

The instrument explicitly references the Corporations Act 2001 for the definition of “associated entity” in condition 4. That definition, found in section 50AAA of the Corporations Act, is broad and includes entities that control or are controlled by the provider, as well as entities over which the provider has significant influence. The incorporation by reference means that changes to the Corporations Act definition will automatically apply to condition 4 without requiring an amendment to this instrument. This creates a dynamic interaction: if the Corporations Act expands the definition, the provider’s restrictions widen.

The instrument also interacts with the Higher Education Support Act 2003 itself, particularly Part 2-2 (approval of higher education providers). The conditions are imposed under section 16-60, which gives the Minister or delegate power to impose conditions “as the Minister thinks appropriate.” The Act would also contain provisions about when approval can be revoked, varied, or suspended, though these are not set out in the instrument. The provider must be familiar with the Act’s quality and accountability requirements, because conditions 6 and 8 refer to the provider’s capacity to meet those requirements. The “quality and accountability requirements” are defined in Division 19 of the Act and include standards set by TEQSA and the Higher Education Standards Framework.

Condition 8 directly involves TEQSA’s regulatory activities. TEQSA operates under the Tertiary Education Quality and Standards Agency Act 2011, which provides for registration, compliance audits, and sanctions. The instrument creates a duty to report TEQSA activity to the Department, which is a separate reporting channel. This could lead to duplication: the provider may be required to respond to TEQSA directly and also notify the Department. The instrument does not specify whether the Department will treat TEQSA’s actions as conclusive or will conduct its own assessment.

Condition 9 interacts with the Australian Consumer Law (contained in Schedule 2 of the Competition and Consumer Act 2010) and state fair-trading laws. The provider must monitor its own conduct for potential breaches and also report any regulatory activity (investigations, audits, enforcement actions) undertaken by bodies such as the ACCC or state offices of fair trading. If the ACCC commences an investigation into the provider’s advertising or refund practices, that must be reported. The instrument does not require reporting of private litigation under consumer law, only regulatory activity.

The instrument’s financial conditions (1, 2, 5) interact with accounting standards and the Corporations Act’s financial reporting requirements. The provider, as a proprietary company, must prepare annual financial reports under Chapter 2M of the Corporations Act. The instrument’s condition 5 adds a specific deadline of 31 December, which may be earlier or later than the Corporations Act deadline (depending on the company’s balance date). If the provider’s balance date is 30 June, the Corporations Act requires reporting within four months (31 October) for a large proprietary company; but the instrument’s deadline of 31 December is later, so the provider could comply with both by using its Corporations Act accounts. If the balance date is different, the provider may need to prepare separate information.

The Financial Viability Instructions referenced in condition 5 are likely a departmental policy document not incorporated into law. Their legal status is administrative; failure to follow the instructions could be a breach of condition 5, but the instructions themselves are not legislative instruments. This gives the Department flexibility to change the instructions without amending this instrument, but also creates uncertainty for the provider if the instructions are updated without notice.

The instrument does not reference state legislation on higher education (e.g., state registration requirements for non-self-accrediting providers). Those interactions are governed by other laws, not this instrument. The provider must still comply with state or territory laws if it operates in a jurisdiction with separate regulation.

The original Higher Education Provider Approval No 1 of 2021 was made on 8 June 2021 by Damian Coburn, Assistant Secretary of the HELP and Provider Integrity Branch, as a delegate of the Minister for Education, Skills and Employment. It was registered on the Federal Register of Legislation on 11 June 2021 (F2021L00747) and commenced on 12 June 2021. The original instrument contained nine conditions as set out in the notice.

On 9 September 2022, the Higher Education Provider Approvals (Nos 1 and 2 of 2021) Amendment Instrument 2022 was registered (F2022L01190). It commenced on 10 September 2022. That amendment instrument substituted condition 8 in its entirety. The original condition 8 is not preserved in the compilation; only the substituted version appears. The endnotes indicate that the commencement text was also repealed by operation of section 48D of the Legislation Act 2003, which is a standard provision that repeals automatically after a specified period. No other provisions were amended.

The amendment history in endnote 4 shows only two affected provisions: section 8 (i.e., condition 8) was substituted, and the commencement text was repealed. The instrument has not been amended otherwise. The compilation date is 10 September 2022, meaning the instrument as shown in the source includes the amended condition 8. Any further amendments after that date are not included.

The relatively minor amendment history suggests that the conditions have remained stable, but it does not preclude future amendments. The power to amend conditions remains with the Minister or delegate. The provider must monitor the Federal Register of Legislation for any further changes, as they can be made without notice to the provider.

The instrument itself has no recorded litigation history in the endnotes or in the source text. There is no mention of any court or tribunal proceedings concerning the approval or the conditions. This is consistent with the instrument being an administrative decision made under a well-established statutory framework. Applicants for approval typically do not challenge conditions because the alternative is not being approved. If the provider had sought judicial review, it would likely have been reported, but the instrument is silent on any legal challenges.

It is possible that there have been internal merits review applications (under the Act or the Administrative Appeals Tribunal Act 1975), but the instrument does not refer to any. The absence of litigation does not mean the conditions are uncontentious; it may reflect the limited grounds for challenge or the provider’s decision to accept the conditions rather than risk losing approval. For a deep dive, the important point is that the source contains no evidence of litigation, so none should be invented.

Several aspects of the instrument may catch a provider unaware. First, the three-year deadline for achieving the current ratio of 1.0 and positive equity (conditions 1 and 2) is absolute. If the provider does not meet those targets by 8 June 2024, it will be in breach immediately, with no grace period. The provider must plan its finances carefully, especially if it starts with a deficit or low liquidity. The instrument does not allow for extension or variation of that deadline.

Second, the prohibition on guarantees and loans to directors or related entities (condition 3) uses the phrase “could have a material effect on its finances.” That is a subjective test. The provider may inadvertently cross the line if it provides a small loan to a director that later turns out to be non-recoverable and material to its balance sheet. The safest approach is to avoid any such guarantees or loans altogether, even if they seem immaterial at the time. The condition does not require a minimum threshold; any guarantee or loan with potential material effect is prohibited.

Third, condition 4’s restriction on offering assets as security is extremely broad. It covers security “for the benefit of any other person or entity including associated entities.” That means the provider cannot pledge its assets for a parent company’s borrowing, for example, even if the loan is from a recognised financial institution. The only exception is when the security is part of the provider’s own commercial loan arrangement with a recognised financial institution. If the provider wants to guarantee a related entity’s bank loan, it would be prohibited unless the guarantee itself is part of the provider’s own loan arrangement (which would be unusual). This limits the provider’s ability to participate in group financing structures.

Fourth, the notification duties in conditions 6 and 7 impose a strict 10-working-day deadline. “Working days” are defined in the Acts Interpretation Act 1901 (not in the instrument) and exclude weekends and public holidays in the relevant jurisdiction. The provider must have internal processes to identify events within the first few days and prepare a written advice promptly. Missing the deadline by even one working day is a breach, without any materiality threshold.

Fifth, condition 6 covers events affecting “a related entity” as well as the provider itself. The term “related entity” is not defined in the instrument. It could be interpreted broadly by reference to the Act or the Corporations Act. A financial difficulty in a parent company or a subsidiary could trigger a duty to report to the Department even if the provider itself remains sound. The provider must monitor the financial health and legal status of all related entities, which may be costly and intrusive.

Sixth, condition 8 (as substituted) requires advice of regulatory activity by TEQSA “or any other regulatory body which may impact upon its operations.” The term “regulatory body” is not defined. It could include the Australian Skills Quality Authority (ASQA), the Office of the Australian Information Commissioner, or even local councils. The threshold “may impact” is low. A routine audit by a government agency could trigger the duty, even if the audit is not adverse. The provider must track all regulatory interactions, not just those from TEQSA.

Seventh, condition 9 requires advice of regulatory activity under Australian Consumer Law or fair-trading laws. The provider must report any investigation or enforcement action, but also any regulatory activity (e.g., a compliance check or a guidance notice) that is not adversarial. Failure to report promptly could be a separate breach.

Eighth, the instrument does not specify any appeal or review mechanism. If the Department decides to revoke approval based on a breach, the provider’s only recourse is likely judicial review or a merits review if the Act provides for it (the instrument does not say). The provider should be aware that conditions are imposed without negotiation; they are take-it-or-leave-it.

Ninth, the Financial Viability Instructions (condition 5) are not published in the instrument. The provider must obtain them from the Department and ensure it complies with their current version. The Department could update the instructions without amending this instrument, effectively changing the provider’s obligations without a new legislative instrument.

Tenth, the definition of “associated entity” is imported from the Corporations Act section 50AAA. That definition is expansive and includes entities that the provider “influences” (not just controls). The provider must map all entities that could fall within that definition and avoid using its assets for their benefit unless the narrow exception applies.

Compliance with Higher Education Provider Approval No 1 of 2021 requires a systematic approach across financial management, corporate governance, and regulatory monitoring. The provider should establish an internal compliance function or engage external advisors with expertise in higher education regulation.

Financial ratio targets (conditions 1 and 2): The provider must prepare monthly management accounts that calculate the current ratio and equity position. If the provider is not already at 1.0 current ratio and positive equity, it must develop a plan to reach those targets within three years. That plan may involve injecting fresh capital, retaining earnings, reducing liabilities, or improving cash flow. The provider should set internal benchmarks at intervals (e.g., 0.8 current ratio by the end of year one, 0.9 by year two, 1.0 by year three) to ensure progress. An external auditor or financial consultant should review the plan and provide an opinion on its feasibility. After achieving the targets, the provider must continue monitoring on a monthly basis to avoid falling below. The provider should also maintain a buffer above 1.0 to allow for seasonal fluctuations.

Prohibition on guarantees and loans (condition 3): The provider’s board should adopt a resolution that no new guarantees or loans to directors or related entities will be provided without comprehensive legal and financial advice that the arrangement would not have a material effect. Because “material effect” is subjective, the safest policy is a blanket prohibition on all such transactions with directors and related entities. Any existing guarantees or loans should be disclosed to the Department, and the provider should confirm they are not “new” under condition 3. The provider should also review ongoing arrangements to ensure renewals or extensions are not treated as new transactions.

Asset security restriction (condition 4): The provider should identify all assets (real property, intellectual property, cash, receivables) and ensure that none are used as security for third-party obligations. If the provider obtains a loan from a recognised financial institution (e.g., a bank), it must ensure that the security arrangement is part of a commercial loan documented on arms-length terms. The provider should maintain a register of all security interests and review each proposed financing transaction against the exception. The provider should also check that no existing security arrangements violate the condition; if they do, they should be restructured before the next reporting date.

Annual financial information (condition 5): The provider must obtain the current Financial Viability Instructions from the Department (likely available on the Department’s website). The instructions will specify the content and format of the financial information. The provider should engage an auditor to prepare audited financial statements in time to meet the 31 December deadline. The provider should start the audit process by October at the latest. The information must be submitted in writing to the Department, and the provider should keep a copy with proof of lodgement.

Event notification (condition 6): The provider must implement a system to detect events that may significantly affect its capacity to meet quality and accountability requirements. This includes monitoring financial indicators (e.g., a large bad debt, loss of a major contract), operational changes (e.g., departure of key academic staff), and external factors (e.g., a natural disaster affecting premises). The system should also extend to related entities; the provider must obtain regular updates from related entities about their own circumstances. Upon detecting a reportable event, the provider must prepare a written advice and send it to the Department within 10 working days. The advice should describe the event, its potential impact, and any mitigating actions. The provider should maintain a log of all events considered and whether they were reported.

Director, structure and constitutional changes (condition 7): The provider’s company secretary or legal counsel should monitor all changes to the board of directors, any alteration to the company’s constitution (including objects clauses, share rights, and voting provisions), and changes to the corporate structure (e.g., issue of new shares, change of holding company). Within 10 working days of each change, a written notice must be sent to the Department. The notice should include the date of change, details of the new or removed directors, and a certified copy of any amendment to the constitution. The provider should keep a template letter ready to expedite the process.

Regulatory activity notifications (conditions 8 and 9): The provider must designate a compliance officer responsible for tracking all interactions with TEQSA and other regulatory bodies. This includes TEQSA’s scheduled audits, requests for information, compliance assessments, and any investigations. Similarly, any contact from the ACCC, state fair-trading offices, or other consumer law regulators must be logged. Upon detecting a regulatory activity, the officer must assess whether it “may impact” on the provider’s operations. The threshold is low; prudence suggests that all regulatory activity should be reported. The provider must send advice “as soon as practicable” - within a few business days, unless there are exceptional circumstances. The advice should describe the nature of the activity, the regulatory body, and the potential impact. If the activity is resolved quickly, the provider should also provide an update.

General compliance measures: The provider should establish an internal compliance calendar with reminders for the 31 December deadline and ongoing tracking of the 10-working-day deadlines. The board should review compliance with the conditions at each quarterly meeting. The provider should maintain a compliance manual that sets out each condition, the responsible officer, and the required action. All correspondence with the Department should be retained in a dedicated file.

The provider should also monitor the Federal Register of Legislation for any amendments to this instrument, as the conditions can change without direct notification. Subscribing to updates from the Department and TEQSA will help the provider stay informed of changes to the Financial Viability Instructions or the Act itself. If the provider anticipates difficulty meeting any condition, it should seek legal advice on whether it can apply to the Department for a variation or extension (though the Act may not provide for that). The safest strategy is to treat the conditions as non-negotiable and build compliance into day-to-day operations.
