Help to Buy (Commonwealth Powers) Act 2025

The Act establishes a small set of interlocking legal constructs. The chief concepts are adoption, amendment matters/amendment reference, primary and residual versions, excluded matters, participating State, Help to Buy arrangement, and the consequential tax and confidentiality rules.

• Adoption (s 4). The Act adopts two specified "versions" of the Commonwealth Help to Buy Act 2024. Adoption is a constitutional device under s 51(xxxvii) that makes Commonwealth law operate as law of the State. The Act adopts two separate versions , the primary version and the residual version , each defined to exclude particular Divisions and sections of the Commonwealth Act (s 3(1) definitions). Each adoption has an independent operation and can be terminated independently (s 4(2)-(3) and s 7).

• Primary version and residual version (s 3(1)). The "primary version" is the Commonwealth Act as originally enacted and as amended up to commencement, except it excludes Divisions 2 and 3 of Part 2 and certain sections (sections 24(1)(a)(ii), 25(3)(b) and (c) and 38). The "residual version" is defined similarly but excludes Divisions 1 and 3 of Part 2 and different sections (sections 24(1)(a)(i), 25(3)(a) and (c) and 38). These carve-outs are mechanical: they specify which provisions are adopted and which are not.

• Amendment matters and amendment reference (s 3(1), s 6). "Amendment matters" are defined to focus on Commonwealth financial assistance intended to help individuals buy homes where the assistance is provided under a Help to Buy arrangement that relates to residential property located in a State and is entered into while the State is a participating State. Subparagraph (b) expands the concept to entering into, administering and monitoring such arrangements and anything incidental or conducive to those activities. The amendment reference (s 6(1)) refers those matters to the Commonwealth Parliament, but only for the limited purpose of making express amendments to the Commonwealth Help to Buy Act (s 6(1)).

• Limits on the amendment reference (s 6(2)-(3)). The Act expressly restricts what the Commonwealth may do under the reference. It cannot make a law that would give Housing Australia, after a State stops being a participating State, the function or power to enter shared equity arrangements relating to property in that State (s 6(2)(a)). It also cannot substantively remove or override Commonwealth Help to Buy Act provisions that require State approval before certain things are done, nor sections 41, 41A or 42 (s 6(2)(b)). The reference only operates to the extent the matters are not already within Commonwealth legislative power and are within State legislative power (s 6(3)).

• Excluded matters (s 9). The State can declare certain Victorian homebuyer schemes or parts of the State homebuyer statute to be "excluded matters" for the purposes of s 41A of the Commonwealth Act. The Act lists Part 2A of the First Home Owner Grant and Home Buyer Schemes Act 2000, the Victorian Homebuyer Fund scheme (gazetted 16 September 2021), the HomesVic scheme (gazetted 22 June 2023), and "any Victorian shared equity home buyer scheme including a scheme declared in accordance with section 34B" of that Act (s 9(1)). The declaration applies only to the extent the excluded matter would be inconsistent with the Commonwealth Act (s 9(2)).

• State objection and consultation mechanics (s 10). For consultation and objection under the Commonwealth Act, this Act supplies mechanisms by which the Victorian Minister may object to matters during consultation periods, require an extra 15 business days to consider matters, and publish notices in the Government Gazette (s 10(1)-(8)). Notices give formal effect to the State’s objection or withdrawal for Commonwealth Act purposes, and their validity is not affected by failure to publish (s 10(9)).

• Tax and confidentiality adjustments (Part 4: ss 12-16). The Act compels Victorian duty and land tax assessors to ignore any equitable or beneficial ownership interest the Commonwealth or Housing Australia has in land for the purposes of assessing duty and land tax (new Duties Act s 3IA and Land Tax Act s 18C). It also makes a duty carve-out for changes in beneficial ownership resulting from an owner paying money to the Commonwealth or Housing Australia under a Help to Buy arrangement (new Duties Act s 55B). The First Home Owner Grant Act is adjusted to add definitions and enable the CEO of Housing Australia to be treated as an authorised recipient of confidential information for the narrow purpose of checking whether an applicant is or is not a participant in a State home buyer scheme (s 14-15).

• Temporal and regulatory devices (ss 2, 7, 11, 17). Commencement is by proclamation (s 2) and s 4 and s 6 operate from commencement to the dates the Governor in Council may fix under s 7. The Governor in Council may make regulations (s 11). Part 4 (the consequential amendments) is automatically repealed one year after commencement (s 17), though the amendments it enacted continue to operate (Interpretation of Legislation Act 1984, noted in the Act).

These concepts are interdependent: the adoption brings parts of the Commonwealth Act into State operation, the amendment reference authorises limited Commonwealth textual amendments, the excluded matters and the s 10 procedures preserve State agency and ministerial oversight, and the tax and confidentiality provisions govern how State revenue and administrative systems treat Help to Buy transactions.

The Act creates discrete legal effects for a limited group of actors. Principal affected parties are purchasers of residential land under a Help to Buy arrangement, Housing Australia (and the Commonwealth), Victorian revenue and administrative agencies, the Victorian Minister, and participants in State home-buyer schemes.

• Purchasers under Help to Buy arrangements. The Act directly changes the tax and conveyancing treatment of persons who acquire residential land under a Help to Buy arrangement. New Duties Act s 3IA (inserted by s 12) directs that, when assessing duty on transfers of land to a person who purchases land under a Help to Buy arrangement, assessors must not take account of any beneficial ownership the Commonwealth or Housing Australia has in the land (s 12(1)). New Land Tax Act s 18C (inserted by s 16) imposes the same rule for land tax assessments (s 16(1)). New Duties Act s 55B provides an exemption from duty for changes in beneficial ownership resulting from an owner paying money to the Commonwealth or Housing Australia under the arrangement (s 13(1)). These provisions change who pays and how assessments are calculated: purchasers will not have their duty or land tax increased on the basis of Commonwealth beneficial interests; and specified payments under Help to Buy arrangements are not a dutiable change in beneficial ownership for the State’s duty charges.

• Commonwealth and Housing Australia. The Act adopts Commonwealth law into State operation (s 4) and refers amendment matters to the Commonwealth (s 6). Housing Australia is referenced throughout: definitions in s 3(1) cross‑refer to the Housing Australia Act 2018 (s 3(1) definitions), the Duties and Land Tax amendments refer to Housing Australia explicitly (ss 12-13, 16), and s 6(2)(a) restricts the Commonwealth from conferring additional post‑participation powers on Housing Australia in certain ways. Housing Australia and the Commonwealth will therefore have a role both as counterparty in Help to Buy arrangements and as a legal actor whose interests are to be disregarded for State tax assessment.

• Victorian revenue and land administration agencies. State assessors, registrars and conveyancers must apply the new assessment rules. The Act alters assessment methodology by statutory direction: "no account is to be taken" of Commonwealth/Housing Australia beneficial interests (new Duties Act s 3IA(1) and Land Tax Act s 18C(1)). Agencies will also need to administer the duty exemption in new Duties Act s 55B(1). The insertion of these rules requires practical changes to forms, return instructions, assessment protocols and possibly IT systems.

• Victorian Executive (Governor in Council and Minister). The Governor in Council is empowered to make proclamations fixing termination dates for adoption and the amendment reference and to revoke such proclamations (s 7), and to make regulations under s 11. The Minister has explicit procedural powers to lodge objections, withdraw objections, require extended consultation, and publish notices (s 10). These roles mean the Executive controls the timing and duration of the adoption and the amendment reference and performs the State’s consultation and objection interface with the Commonwealth.

• Participants in State home-buyer schemes. The Act declares certain State schemes to be excluded matters under s 41A of the Commonwealth Act (s 9). Those schemes include Part 2A of the First Home Owner Grant and Home Buyer Schemes Act 2000 and two gazetted schemes (Victorian Homebuyer Fund and HomesVic), and broadly any Victorian shared-equity home buyer scheme (s 9(1)). The legal status of these schemes as excluded matters affects their interaction with the Commonwealth Help to Buy programme to the extent of potential inconsistency (s 9(2)). The First Home Owner Grant Act is also amended to allow disclosure of confidential information to the Chief Executive Officer of Housing Australia for the specified purpose of confirming non‑participation in a State home buyer scheme (s 15).

• Conveyancers, stamp duty advisers, tax practitioners and lenders. Those professionals must adapt advice and documentation to align with the statutory direction to ignore Commonwealth/Housing Australia beneficial interests for duty and land tax assessment. Conveyancing instruments and duty returns should reflect the statutory positions set out in the inserted Duties Act provisions (s 12-13). Lenders and mortgage insurers who assess property interests may also need to account for the statutory treatment of beneficial ownership in loan documentation and valuation processes.

• The public treasury and budget officials. While the Act does not include costings, the inserted duty and land tax rules operate to reduce the circumstances in which purchasers will be charged extra duty or land tax because of Commonwealth beneficial interests. That alters revenue flows for the State in as much as the statutory treatment changes taxable events. The Act itself does not quantify fiscal effects or create compensatory mechanisms.

• Legal and administrative counsel representing applicants and participants in Help to Buy arrangements. Because the Act adopts Commonwealth definitions and cross-references the Commonwealth Help to Buy Act (s 3(2)), the meaning of terms used in the Victorian provisions depends on the Commonwealth Act’s definitions and any subsequent amendments that affect those definitions in the adopted versions and as permitted by the amendment reference. Legal advisers must therefore monitor both the Commonwealth Act and the dates and contents of any express amendments made under the amendment reference.

In short, the principal direct beneficiaries identified by the statutory text are purchasers under Help to Buy arrangements, who receive specified tax treatment; the principal decision-makers are the Governor in Council and the Victorian Minister who exercise termination, regulatory and consultation powers; and the affected administrative arms are State revenue and housing agencies that must implement the defined treatment and inter-governmental liaison.

The Act creates rights and duties that are largely administrative and procedural and that affect tax assessment mechanics, intergovernmental consultation, and information sharing.

Rights and duties of the State Executive and Ministers

• The Governor in Council may terminate adoption of either version or the amendment reference, or revoke such proclamations, by Gazette (s 7(1)-(3)). That power confers a discretionary right to manage the duration of the adoption and the reference. The revocation mechanism is time-limited: a revoking proclamation has effect only if made and published before the day fixed under s 7(1) (s 7(3)).

• The Minister on behalf of the State has a statutory right to object to matters for the purposes of the Commonwealth Help to Buy Act, by giving notice to the Commonwealth Minister during the minimum or extended consultation period (s 10(1)). The Minister must ensure the notice is published in the Government Gazette as soon as practicable (s 10(2)), though validity is not affected by failure to publish (s 10(9)). The Minister may withdraw an objection in the same kind of way (s 10(4)-(6)). The Minister may require an additional 15 business days to consider a matter during the minimum consultation period, with the requirement to publish the extension in the Gazette and the extension applying to the minimum consultation period (s 10(7)-(8)).

Rights and duties relating to the amendment reference and adoption

• The Commonwealth Parliament obtains from the State a narrow legislative reference to make express amendments to the Commonwealth Help to Buy Act, but only in respect of "amendment matters" as defined (s 6(1)). The Commonwealth’s power under that reference is constrained by s 6(2) and s 6(3). The State’s duty is to adopt this limited reference; the Commonwealth has a right (under the constitutional machinery) to legislate within the scope of that reference.

• Adoption (s 4) places a duty on State authorities to apply the adopted Commonwealth provisions in Victoria as State law during the adoption period. The adoption directions in s 4, coupled with the definition clause s 3(2) which adopts Commonwealth definitions unless a contrary intention appears, require State officials to consult the Commonwealth Act for meanings and to treat that text as authoritative for application in Victoria.

Duties and rights in tax and conveyancing

• Duties Act, new s 3IA (s 12). For assessing duty chargeable under the Duties Act Chapter (including the application of exemptions or concessions), assessors must not take into account any beneficial ownership the Commonwealth or Housing Australia has in land purchased under a Help to Buy arrangement (s 12). That is a statutory instruction to exclude that interest from dutiable calculations. Officials have a duty to apply this rule in assessing transfers to purchasers under Help to Buy arrangements.

• Duties Act, new s 55B (s 13). No duty is chargeable under the Chapter in respect of a change in beneficial ownership resulting from an owner of land purchased under a Help to Buy arrangement paying money to the Commonwealth or Housing Australia under the arrangement (s 13(1)). This is a statutory duty for revenue officers to treat such changes as non‑dutiable.

• Land Tax Act, new s 18C (s 16). For land tax assessments, including exemptions or concessions, assessors must not take into account any interest the Commonwealth or Housing Australia has in land purchased under a Help to Buy arrangement (s 16(1)). This imposes an analogous duty on land tax administration.

• Confidentiality in the First Home Owner Grant Act (s 15). The Chief Executive Officer of Housing Australia is added for the specific, limited purpose of confirming whether an applicant or participant in a Help to Buy arrangement is not an applicant or participant in a State home buyer scheme. The State agency has a right to disclose that information for that purpose (s 15).

Regulatory powers

• The Governor in Council may make regulations for anything required or permitted to be prescribed under the Act or that is necessary or convenient to give effect to the Act (s 11). This is a standard delegated legislation power creating a duty to implement regulatory detail where required.

Constraints and limits

• The amendment reference is limited by s 6(2) (prohibiting certain post‑participation Housing Australia powers and some substantive removals of State approval requirements or certain Commonwealth sections) and s 6(3) (operates only where the matter is not already within Commonwealth legislative competence and is within State legislative power). These provisions create legal limits on both the State’s grant of legislative authority and the Commonwealth’s subsequent exercise of it.

• The declaration of excluded matters under s 9 applies only to the extent that the excluded matter would otherwise be inconsistent with the Commonwealth Help to Buy Act in relation to the Help to Buy program (s 9(2)). That means the protection is conditional and careful: it does not create blanket supremacy for the State scheme, only an exclusion for inconsistency to the extent necessary.

Procedural rights and duties

• The Minister’s notices under s 10 constitute the State’s objection or withdrawal for the Commonwealth Act’s purposes (s 10(3), (6)). The procedural duties , provide notice to the Commonwealth Minister, publish in the Gazette as soon as practicable , set out the required administrative steps, though s 10(9) preserves validity against publication failure.

Taken together, the Act confers operational duties on State agencies to apply the adopted Commonwealth law, to follow the tax-treatment directives, to carry out the Gazette and notice obligations, and to manage the temporal limits and potential revocation of adoption and references. Simultaneously it creates procedural rights for the Minister to slow or object to Commonwealth measures within the consultation framework and protects particular State schemes from being overridden to the extent of inconsistency.

The Act does not create novel criminal penalties or direct enforcement sanctions beyond the usual administrative enforcement mechanisms that exist in the statutes it amends. Its enforcement content is therefore procedural and statutory‑interpretative rather than punitive.

Absence of penal provisions in the Act

• The Help to Buy (Commonwealth Powers) Act 2025 contains no novel penalty or offence clauses. It sets out adoption, references, procedural mechanisms, and statutory directions to State revenue authorities, but it does not prescribe fines, imprisonment or civil penalties for non‑compliance by private parties within this instrument itself.

Requirements enforced through existing regimes

• Duty and land tax obligations continue to be enforced under the Duties Act 2000 and the Land Tax Act 2005 enforcement regimes. The Act modifies assessment rules , for example, instructing assessors not to take into account Commonwealth beneficial interests (new Duties Act s 3IA and new Land Tax Act s 18C) and providing a non‑duty treatment for certain changes in beneficial ownership (new Duties Act s 55B). Where obligations to pay duty or land tax arise, the relevant enforcement, assessment correction, objection and appeal mechanisms remain those provided within the Duties Act and Land Tax Act. Any disputes about the correct application of the new assessment rules will therefore be resolved under the ordinary objection and review procedures available in those Acts and the courts, as applicable.

Administrative obligations and legal effects

• The Act imposes legally binding duties on State assessors to apply the statutory directions. Failure by an assessor to apply the inserted duties or land tax rules could, in principle, be challenged by affected parties through the administrative review and judicial review processes that govern revenue decisions. The Act itself does not prescribe a bespoke remedy, but it alters the statutory standard of assessment which will be enforceable through existing remedies (for example, objections to assessments, merits review bodies where available and judicial review).

Intergovernmental and ministerial procedural enforcement

• The Minister's procedural powers under s 10 (objections to Commonwealth matters, extensions of consultation and withdrawals) are administrative in form. There is no penalty for failing to publish notices in the Gazette: s 10(9) expressly provides that validity is not affected by a failure to publish. Enforcement of the consultation and objection rights is therefore political and administrative rather than penal.

Regulatory instruments

• The Governor in Council’s power to make regulations (s 11) introduces potential delegated‑legislation enforcement: regulations may prescribe procedural or substantive detail necessary to administer the Act. Any offences or penalties arising from those regulations would need to be located in the regulations themselves, but as of the text supplied none are included.

Continuity and termination consequences

• Termination of adoption or amendment reference under s 7 is effected by proclamation published in the Government Gazette. The Act establishes the legal consequences of termination in s 8: laws made under the amendment reference before termination continue to have effect, and the continued operation in the State of the Commonwealth Help to Buy Act as in operation immediately before termination continues (s 8(1)-(4)). Enforcement of laws adopted or enacted under the reference continues under their existing enforcement mechanisms; termination of the reference does not retroactively invalidate those enactments.

In summary, enforcement in practice is channelled through existing revenue administration, administrative review and judicial mechanisms; the Act itself reshapes assessment criteria and procedural rights but does not create new penal sanctions or separate enforcement regimes.

This Act is an interstitial instrument: it is intentional about its interplay with Commonwealth and Victorian statutes. The interaction is achieved by (1) adopting Commonwealth law under s 51(xxxvii), (2) making a limited legislative reference to the Commonwealth Parliament, and (3) amending Victorian tax and home‑buyer statutes to align with or recognise Help to Buy arrangements.

Adoption and constitutional interface

• Adoption brings specified versions of the Commonwealth Help to Buy Act into State operation (s 4). The effect is to cause Commonwealth statutory text , as described by the primary and residual definitions in s 3(1) , to operate as part of Victorian law during the adoption period; this is the Constitution’s s 51(xxxvii) mechanism. Because s 3(2) specifies that words defined in the Commonwealth Help to Buy Act that are used in the Victorian Act have the same meaning, the adopted Commonwealth definitions travel with the adoption. Therefore, the meaning of terms in the adopted provisions is inherently linked to the Commonwealth Act.

Reference and division of powers

• The amendment reference (s 6) is framed to allow the Commonwealth to make express amendments to the Commonwealth Help to Buy Act, but only for the "amendment matters". Section 6(3) makes the reference contingent on constitutional compatibility: it has effect only to the extent the matter is not otherwise within Commonwealth legislative power and is within State legislative power. That retains the standard legal limitation on referrals: the Commonwealth cannot legislate under the reference for matters already within its other heads of power (s 6(3)(a)) or outside the State’s competence (s 6(3)(b)). The text therefore preserves the constitutional boundaries between State and Commonwealth lawmaking.

Commonwealth residual powers and instruments

• Section 5 makes explicit that the Commonwealth Help to Buy Act may be expressly amended or otherwise affected by provisions of Commonwealth Acts based on Commonwealth powers apart from the amendment reference, and by instruments made under the Commonwealth Act or such Acts (s 5(a)-(b)). That acknowledges that the Commonwealth has other constitutional bases to change the content of the Commonwealth Act and that such changes may affect the operation of the Act in Victoria.

Preservation of State approval requirements and specific Commonwealth sections

• Section 6(2)(b) prevents using the amendment reference to remove or override provisions of the Commonwealth Act that require State approval for certain actions, or to override the Commonwealth Act’s sections 41, 41A or 42. The State has therefore preserved a measure of control over aspects of the Commonwealth scheme that require State consent, limiting how the Commonwealth might amend those features under the reference.

Interaction with Victorian tax law

• The Act inserts rules into the Duties Act 2000 and the Land Tax Act 2005 that control assessment approaches for Help to Buy arrangements (ss 12-13 and s 16). Those insertions are not standalone tax regimes but superimpose statutory interpretative directions onto existing State tax machinery: assessors must disregard Commonwealth/Housing Australia beneficial interests when calculating duty and land tax (new Duties Act s 3IA(1) and new Land Tax Act s 18C(1)), and a specified change in beneficial ownership is non‑dutiable (new Duties Act s 55B(1)). The Act therefore changes the operation of those statutes rather than replacing them; the remaining duties, concessions and enforcement mechanisms in those Acts continue to apply.

Interaction with the First Home Owner Grant and Home Buyer Schemes Act 2000

• The Act inserts definitions and confidentiality provisions into the First Home Owner Grant Act (s 14-15) so that the CEO of Housing Australia may be given confidential information for a specific purpose: to confirm whether an applicant or participant in a Help to Buy arrangement is not an applicant or participant in a State home buyer scheme (s 15). This is a limited information‑sharing permission and interacts with existing privacy and confidentiality protections in the State Act. The Act explicitly lists certain State schemes as "excluded matters" (s 9), which interacts with s 41A of the Commonwealth Act.

Temporal and consequential interaction

• Part 4 is repealed after one year (s 17). The Act’s note references the Interpretation of Legislation Act 1984 to clarify that the repeal of Part 4 does not affect the continuing operation of the amendments it made (Interpretation Act s 15(1)). In other words, the inserted tax and confidentiality provisions remain in the underlying Acts even when the Part that enacted them is repealed. Practitioners must therefore treat the inserted provisions as permanent until changed by later amending legislation.

Administrative instrument interaction

• The Governor in Council may make regulations under s 11. Any regulations promulgated will interact with existing State regulatory instruments and may prescribe procedural detail needed to implement the Act. The Act does not modify other Victorian Acts directly except where specified in Part 4; however, it expressly preserves the Commonwealth’s power under other constitutional heads to amend the Commonwealth Act and affect State operation (s 5).

In practice, the Act’s interaction profile is that of a cross‑jurisdictional coordination instrument: it adopts and makes limited references to Commonwealth law, preserves State-specific tax treatments and information-sharing permissions, and layers administrative procedures for consultation and termination. The substantive content and day-to-day effects of the Help to Buy programme remain primarily in the Commonwealth Act; this Act governs how that Commonwealth content fits into Victoria’s legal and administrative framework.

The Act itself supplies a compact amendment history and temporal framework.

Enactment and commencement

• The Act was enacted by the Parliament of Victoria as No. 10 of 2025. The endnotes record the legislative process: the Minister’s second reading speech was delivered in the Legislative Assembly on 19 February 2025 and in the Legislative Council on 6 March 2025 (Endnotes 1). The Act was assented to on 8 April 2025 and, according to the endnote material, came into operation on 25 June 2025 by Special Gazette (No. 322) 24 June 2025 page 1. The text of s 2, however, sets commencement as "on a day or days to be proclaimed", which is consistent with the Gazette entry.

No subsequent amending instruments listed

• The table of amendments in the Endnotes states there are no amendments made to the Help to Buy (Commonwealth Powers) Act 2025 by Acts and subordinate instruments as at the version date provided (Endnotes 2). The "Version No. 001" and the "Version as at 25 June 2025" annotation indicate this is the enacted version at that date.

Temporal design of Part 4

• Part 4 (the consequential amendments to the Duties Act 2000, First Home Owner Grant and Home Buyer Schemes Act 2000, and Land Tax Act 2005) contains an internal sunset for the part: s 17 provides that Part 4 is repealed on the first anniversary of its commencement. The Act notes that repeal of that Part does not affect the continuing operation of the amendments made by it (Interpretation of Legislation Act 1984, s 15(1)). Thus, the drafting indicates the Part is a vehicle to make amendments into the primary Acts and to tidy legislative drafting after a year while retaining their effect.

No recorded retrospective amendments or transitional schedules beyond s 8

• The Act includes s 8 addressing the effect of termination of the amendment reference before termination of adoption: laws made under the reference before termination continue to operate, and continued operation of the Commonwealth Help to Buy Act in the State persists as in operation immediately before termination and as later amended by laws made under the reference or by provisions referred to in s 5 (s 8(1)-(4)). This is a transitional/continuity safeguard rather than an amendment record.

Explanatory details absent

• The Endnotes state "No entries at date of publication" under Explanatory details (Endnotes 3). There is therefore no statutory explanatory memorandum or regulatory impact statement appended to this text in the provided material.

Practical consequence for amendment tracking

• Because s 3(2) imports definitions from the Commonwealth Help to Buy Act and s 5 acknowledges the Commonwealth may amend the Commonwealth Act by other powers, legal practitioners must monitor amendments to the Commonwealth Act and any Commonwealth Acts or instruments affecting it. The Victorian Act’s adoption and reference architecture means that Commonwealth amendments could alter the practical meaning of adopted provisions in Victoria either through the amendment reference (as permitted) or through other Commonwealth powers (s 5), consistent with constitutional limits. The Victorian Act itself has, as of Version No. 001, not been amended.

In sum, the Act's internal amendment history is minimal: enacted in 2025, adopted in operation on proclamation (Gazetted 25 June 2025), Part 4 set to be repealed after one year but its amendments to principal Acts to remain operative, and no further amendments recorded as at the version date.

The text supplied contains no litigation history. The Endnotes and the body of the Act do not cite any court decisions, and there are no cases named in the Act itself. Consequently:

• There are no reported cases referenced in the Act, and no litigated interpretations of the provisions included in the supplied materials.

• Because the Help to Buy (Commonwealth Powers) Act 2025 operates by adopting Commonwealth legislation under s 51(xxxvii), any future litigation concerning the scope, validity or application of the adopted Commonwealth Help to Buy Act provisions in Victoria could involve constitutional challenges or questions of statutory interpretation. However, no such cases are recorded in the Act’s endnotes or in the material supplied.

• The Act’s s 6(3) condition , that the amendment reference operates only to the extent the matter is not included in Commonwealth legislative power otherwise, and is included in State legislative power (s 6(3)) , could in principle be the basis of a constitutional challenge if dispute arises about whether a referred matter was within the appropriate competence, but again, no litigation is recorded as at this version.

• The insertion of tax assessment rules (new Duties Act s 3IA and s 55B; new Land Tax Act s 18C) will be administered under the existing revenue administration and dispute resolution frameworks of the Duties Act and Land Tax Act, which historically generate assessment disputes. At present there are no reported cases referenced in the statute text about these specific insertions.

As a practical matter, practitioners should be alert to future litigation once the Commonwealth and State provisions are applied in commercial settings , particularly disputes about whether a purchaser qualifies as a purchaser under a Help to Buy arrangement for the purpose of the duty and land tax exclusions, or disputes about whether the Commonwealth has acted within the limits of the amendment reference. But the supplied material records no litigation to date.

The Act is compact but contains several drafting features and operational traps for the unwary. The following are concrete points to watch, grounded in the statutory text.

Imported definitions and dependency on the Commonwealth Act

• Section 3(2) provides that words defined in the Commonwealth Help to Buy Act that are otherwise used in this Act have the same meaning in this Act. Practically, that means the meaning of several key terms used in Victorian statutes will depend on the Commonwealth Act’s definitions. Consequently, changes to the Commonwealth Act (whether by amendment under the reference, by other Commonwealth power or by instruments) can alter the meaning of Victorian obligations and rights without any direct change to Victorian statute. Practitioners must therefore read the Commonwealth Act alongside the Victorian Act to determine operative meaning.

Selective adoption and carve‑outs

• The Act adopts two "versions" of the Commonwealth Act, each with specific exclusions (s 3(1) definitions and s 4(1)). The primary version excludes Divisions 2 and 3 of Part 2 and specific sections; the residual version excludes Divisions 1 and 3 of Part 2 and different sections. Those carve‑outs mean not all Commonwealth provisions operate in Victoria. Determining which Commonwealth provisions are effective requires close attention to the defined "primary" and "residual" constructions. It is not sufficient to rely on a generic reading that the Commonwealth Act applies in full , the Act lists exclusions.

Partiality of the amendment reference and constitutional limits

• Section 6(1) refers only "to the extent of making laws with respect to those matters by making express amendments of the Commonwealth Help to Buy Act." This is a narrow functional referral: the Commonwealth can only make express textual amendments to that Commonwealth Act. It cannot rely on the referral to create new, non‑textual schemes or to legislate in broader fields not covered by the "amendment matters". Moreover, s 6(3) confines the reference to matters not otherwise within Commonwealth power and within State power. These are constitutional constraints; reliance on the referral for broader Commonwealth action may be vulnerable to challenge.

Limits on post‑participation Housing Australia powers

• Section 6(2)(a) bars the Commonwealth from making laws under the reference that would give Housing Australia, after a State stops being a participating State, the function or power to enter shared equity arrangements that relate to property in the State. If a practitioner is contemplating a structural transaction that contemplates Housing Australia assuming broader powers post‑participation, the statutory text forbids using the amendment reference to effect that change. Any attempt to do so would be inconsistent with s 6(2)(a).

Tax assessment instructions and potential revenue consequences

• New Duties Act s 3IA(1) and new Land Tax Act s 18C(1) instruct assessors not to take account of any beneficial ownership the Commonwealth or Housing Australia has in land for assessment purposes. This statutory directive removes from consideration an interest that might otherwise be relevant in valuation or beneficial ownership analysis. The "gotcha" is twofold: first, auditors or revenue officers unaware of the new rules may misapply them, and second, the rule alters the base for State taxation without textual compensation , it may reduce taxable events or taxable bases, with consequential revenue effects. The Act itself does not provide transitional relief or alternate tax bases; it simply directs the assessor's method.

Duties exemption mechanics

• New Duties Act s 55B(1) exempts from duty a change in beneficial ownership resulting from an owner paying money to the Commonwealth or Housing Australia under a Help to Buy arrangement. This creates a narrow non‑dutiable event. Practitioners must confirm the precise mechanics governing when a payment triggers a change in beneficial ownership and whether this aligns with conveyancing documents. The Act does not provide a full schedule of evidentiary or reporting requirements, meaning that parties will need to coordinate documentation to satisfy State revenue authorities when claiming the exemption.

Publication formalities and validity

• Section 10 requires the Victorian Minister to publish objections and extensions in the Government Gazette "as soon as practicable," but s 10(9) provides that the validity of a notice is not affected by failure to publish. This removes a common administrative pitfall: failure to publish does not invalidate the notice. However, for transparency and record, failure to publish may have reputational or procedural consequences; reliance on s 10(9) should be cautious.

Temporal complexity and repeal of Part 4

• Part 4 is automatically repealed one year after commencement (s 17), but its amendments remain operative (Interpretation of Legislation Act 1984 s 15(1)). Practitioners should not treat the repeal of Part 4 as removing the inserted provisions; instead, they should look into the primary Acts (Duties Act, First Home Owner Grant Act, Land Tax Act) for the inserted provisions going forward. Confusion may arise if practitioners rely on the presence of Part 4 in the Act text rather than the underlying Acts where the amendments now sit.

Interplay with other Commonwealth amendments

• Section 5 affirms that the Commonwealth Help to Buy Act may be expressly amended or have its operation affected by Commonwealth Acts based on other Commonwealth powers, and by instruments under the Commonwealth Act. That means the Commonwealth may change the practical effects of adopted provisions through non‑referenced routes. Relying on the amendment reference alone for control over Commonwealth change is incomplete.

Information sharing and privacy safeguards

• The First Home Owner Grant Act insertion (s 15) permits the CEO of Housing Australia to receive confidential information for a specific checking purpose. The "gotcha" is that privacy, confidentiality and data-security obligations under other laws (State privacy laws, the Commonwealth Privacy Act and other confidentiality regimes) still apply. Agencies must therefore put appropriate agreements and information‑management systems in place before sharing information.

In sum, the key practical traps are: dependence on Commonwealth definitions, the selective nature of the adoption and reference, the narrow scope and constitutional limits of the amendment reference, administrative publication formalities that do not affect validity, tax assessment direction that changes revenue bases without transitional rules, and the need for careful documentation to secure tax treatment and confidentiality exchanges. Each of these is directly traceable to the statutory provisions cited above.

Compliance with the Act splits into four practical workflows: (1) conveyancing and revenue compliance for purchasers and conveyancers, (2) administrative steps for State agencies and the Minister, (3) recordkeeping and information sharing for the First Home Owner Grant agencies and Housing Australia, and (4) monitoring Commonwealth law and managing temporal changes.

1. Conveyancing and revenue compliance (practitioners, conveyancers, purchasers, lenders)

• Identify qualifying transactions. Determine whether the transaction involves a "Help to Buy arrangement" as defined in the Commonwealth Help to Buy Act and whether the land is residential land located in Victoria and the transaction occurs while Victoria is a participating State (definitions s 3(1); duty and land tax provisions ss 12, 16 reference that same meaning). Because s 3(2) imports Commonwealth definitions, read the Commonwealth Help to Buy Act’s definition of "Help to Buy arrangement".

• Prepare duty and land tax returns consistent with statutory directions. For transfers to purchasers under Help to Buy arrangements, do not include any beneficial ownership interest of the Commonwealth or Housing Australia when preparing duty returns or land tax assessments (new Duties Act s 3IA(1) and new Land Tax Act s 18C(1)). Ensure the duty lodgement forms and land tax returns explicitly state the statutory basis for the exclusion and provide supporting documentation showing the transaction is a Help to Buy arrangement and that any Commonwealth/Housing Australia interest is being disregarded pursuant to the statutory direction.

• Utilise the s 55B non‑duty treatment where applicable. When an owner of land purchased under a Help to Buy arrangement pays money to the Commonwealth or Housing Australia and that payment results in a change in beneficial ownership, claim the non‑duty treatment under new Duties Act s 55B(1). Document the payment, the changes in legal or equitable ownership, and the contractual basis for the transaction. Anticipate that revenue officers may seek contemporaneous transaction documents demonstrating the timing and effect of the payment.

• Liaise with registries and lenders. Conveyancers should discuss with land registries and mortgagees how the Commonwealth or Housing Australia interests will be recorded and what evidence registries require to accept that assessors must not take those interests into account for tax calculations. Ensure lenders are aware of the statutory treatment and any implications for mortgage security or valuation.

2. Administrative compliance (Victorian agencies, revenue offices, Minister’s office)

• Update assessment protocols and systems. Revenue offices must update procedures, staff guidance, decision‑trees and IT forms to implement new s 3IA, s 55B and s 18C. Provide training for assessors and auditors on the statutory requirement to ignore Commonwealth/Housing Australia beneficial interests in the specified circumstances.

• Record and publish ministerial notices. When lodging objections, withdrawals or extension requests to the Commonwealth Minister under s 10, prepare the notice and ensure it is sent within the minimum or extended consultation period as required by the Commonwealth Act. Publish notices in the Government Gazette "as soon as practicable" after provision to the Commonwealth Minister (s 10(2), (5), (8)(a)). Keep a contemporaneous file to show the notice was sent and the date, and note that lack of publication does not affect validity (s 10(9)).

• Manage proclamation and termination options. The Governor in Council may fix termination dates for adoption and for the amendment reference (s 7(1)). Ensure that Executive Council processes prepare proclamations if termination is intended and that revocation steps are coordinated and issued, noting revocation has effect only if done before the fixed day (s 7(2)-(3)). Track the dates at which adoption and amendment reference expire.

• Prepare draft regulations if necessary. The Governor in Council has regulation-making power under s 11. If specific regulatory detail is needed to operationalise the Act (for instance, forms, reporting requirements or evidentiary standards), prepare relevant drafting material and consult with the Office of the Chief Parliamentary Counsel as required.

3. Information sharing and confidentiality (First Home Owner Grant agencies, Housing Australia, privacy officers)

• Implement data‑sharing protocols. Where the Department or agency holding information under the First Home Owner Grant Act is asked to confirm whether an applicant is a participant in a Help to Buy arrangement, rely on the inserted subparagraph (vii) to share information with the Chief Executive Officer of Housing Australia for that limited purpose (s 15). Put in place data‑sharing agreements or memoranda of understanding that specify the scope, security, permitted use and retention periods for disclosed data consistent with State and Commonwealth privacy laws.

• Keep limited disclosures tightly scoped. The insertion at s 15 is narrowly expressed: its purpose is limited to confirming that an applicant or participant in a Help to Buy arrangement is not an applicant or participant in a State home buyer scheme. Ensure that disclosures are tailored to that purpose and that staff are trained to apply the legal limit.

4. Legal monitoring and documentation (legal advisers, policy teams)

• Monitor Commonwealth amendments and instruments. Because of s 3(2) and s 5, the meaning of adopted terms and the operation of the Commonwealth Help to Buy Act in Victoria can be affected by Commonwealth textual amendments and instruments. Establish a monitoring protocol for amendments to the Commonwealth Help to Buy Act and any Commonwealth Acts or instruments that affect it. Track whether changes are made under the amendment reference (s 6) or by other Commonwealth powers (s 5).

• Check adoption carve‑outs when advising clients. When advising clients on their rights and obligations, confirm whether the particular Commonwealth provision they are relying upon is included in the primary or residual version adopted by Victoria. The definitions in s 3(1) exclude specified Divisions and sections; advice must reflect that selective adoption.

• Prepare documentation to support tax positions. Because the Act does not prescribe a specific evidentiary template for claiming the duty/land tax exclusions, counsel and conveyancers should create standardised bundles: the Help to Buy agreement, evidence of payment arrangements, confirmations from Housing Australia or the Commonwealth where available, transaction chain documents, and statutory references to the specific inserted sections in the Duties Act and Land Tax Act. Keep copies of any Gazette notices, ministerial correspondence, and communications with the Commonwealth Minister if the State has objected to or extended consultation on a matter.

• Verify whether a State is a "participating State". Several provisions turn on whether the State is a participating State at the time a Help to Buy arrangement is entered into (s 3(1) definition of "amendment matters" and s 6(1)). Confirm participation status before concluding transactions or claiming tax treatments.

By following these concrete steps , updating revenue processes, tailoring conveyancing documentation, instituting secure information‑sharing protocols, and maintaining active monitoring of Commonwealth law , practitioners and agencies can manage compliance within the statutory framework established by the Act.
