sec.28 Quorum at board meetings

A quorum for a board meeting is a majority of the board members for the time being. However, if at a board meeting a board member present at the meeting is required under section 31 not to be present during deliberations, or not to take part in any decision, of the board for a particular matter, the remaining board members present at the meeting constitute a quorum for the meeting. Despite subsections (1) and (2) , there is no quorum for a board meeting if a majority of the board members present are members mentioned in section 18 (1) (a) . (sec.28-ssec.1) A quorum for a board meeting is a majority of the board members for the time being.
