Green Industries SA Act 2004

The Act organises the State’s non‑regulatory institutional architecture for waste, resource recovery and green industry around five core concepts.

1. Green Industries SA as a Crown instrumentality and corporate body (s 4). The entity has perpetual succession, a common seal, capacity to hold and deal in property (including intellectual property) in its corporate name, and can sue and be sued (s 4(2)-(3), (6)). It continues the predecessor Zero Waste SA (s 4(1)).

2. Guiding principles and the statutory scope of “green industry” (ss 3A; 3B). The Act defines guiding principles that Green Industries SA must have regard to: the circular economy, a waste management hierarchy, and ecologically sustainable development (s 3A(1)-(2)). “Green industry” is defined by reference to business activity that, so far as reasonably practicable, applies those guiding principles in production or supports such activities (s 3B).

3. Functions, objectives and operational tools (ss 5-7; ss 14-15). Primary objectives are waste minimisation and promotion of innovation/business activity in the sector (s 5). Functions include development and administration of the State waste strategy, monitoring strategy implementation, commissioning R&D, market development, education, and industry partnerships (s 6). Powers extend to obtaining expert advice; using Public Service staff under arrangements; and using EPA information subject to non‑disclosure of identifying trade processes or financial data (s 7).

4. Dedicated financial vehicle, the Green Industry Fund (Pt 3, s 17). The Fund is the central financing mechanism, composed primarily of a legislated share (50 per cent, or greater if prescribed) of levies paid by waste depot licence holders under s 113 of the Environment Protection Act 1993, plus appropriations, gifts, investment income and other statutory receipts (s 17(3)). The Fund can be applied by Green Industries SA in accordance with its business plan or by the Minister for specified climate change and disaster management purposes (s 17(5)). Investment and transaction forms that depart from straightforward grants require Treasurer approval (s 17(5a)-(8)).

5. Strategy and public consultation (Pt 4, s 18). Green Industries SA must develop, adopt and replace at least every five years a waste strategy that sets objectives, analyses waste levels and management practices, identifies targets for reduction and diversion from landfill, sets implementation means and assesses risks, and establishes criteria and methods for evaluating strategy adequacy (s 18(1)-(6)). Adoption requires specified public and governmental consultation steps, including an 8‑week minimum period for submissions (s 18(4)(a)-(e)). A strategy does not take effect until adopted (s 18(3)).

Additional structural concepts include operational governance rules: Board composition and minimum functional skills to be represented (s 9(2), (6)-(7)); the Chief Executive’s role and appointment term limit of seven years (s 8(3)); delegation and committee arrangements (ss 12; 13A); and financial oversight under the Public Finance and Audit Act 1987 (s 7A). The Act also prescribes a statutory right to protect Green Industries SA’s names (s 16), with criminal penalty and civil relief.

These statutory concepts combine governance, funding, strategic planning, ministerial oversight and public consultation into a single institutional approach to promote resource recovery and green business activity. Each element imposes decision or compliance points on different actors , levy payers, Green Industries SA officers and board, the Minister, the Treasurer and the EPA , and creates information and administrative flows (business plans, annual audited Fund accounts, strategy consultation) that are the Act’s operational levers.

The Act assigns costs, decision rights and obligations across several distinct groups. Identify each group and the concrete effect the Act imposes.

• Waste depot licence holders (paying levies under the Environment Protection Act 1993, s 113): These entities provide a statutory revenue stream to the Green Industry Fund because at least 50 per cent (or a prescribed greater percentage) of their levy payments are to be credited to the Fund (s 17(3)(a)). Practically, they fund the Fund through levies imposed under another Act; the Minister must review the adequacy of the amount paid into the Fund at least annually (s 17(4)).

• Green Industries SA (the statutory corporation): The body is the primary implementing agency, responsible for developing and administering the waste strategy (s 6(b); s 18), deploying the Fund in accordance with its business plan (s 17(5)(a)(i)), commissioning business assistance and R&D (s 6(1)(d)), producing the business plan for Ministerial approval (s 14) and reporting annually with audited Fund accounts (s 15). It is an instrumentality of the Crown and thus holds property on behalf of the Crown (s 4(3)). In practice, the organisation must maintain public accessibility of key documents online (s 14(6); s 18(7)).

• The Minister and the Treasurer: The Minister has supervisory and directive roles. Green Industries SA is subject to written directions by the Minister in the exercise of its powers, functions or duties (except when making a recommendation or report to the Minister) (s 4(4)-(5)). The Minister can authorise uses of the Fund for climate change initiatives and disaster response (s 17(5)(b)) and may approve business plans with or without modification (s 14(3)). The Treasurer controls the custody of the Fund, directs how the Fund is kept (s 17(2)), must approve some investment forms (s 17(5a)-(8)) and can approve Green Industries SA investments (s 17(6)-(8)). The Minister may also delegate powers under s 17 to other Ministers or public servants (s 17A).

• Environment Protection Authority (EPA): The Act requires coordination between Green Industries SA and the EPA for development and implementation of waste strategies (s 19). Green Industries SA may use EPA information but must not, without consent, use it in a way that divulges trade processes or financial information identifying particular persons or bodies (s 7(c)). The EPA’s data and regulatory role intersect with the Act’s policy development and monitoring tasks, though regulatory enforcement remains with the EPA under other statutes (the Act cross‑references the definition of waste to the Environment Protection Act 1993, s 3(1)).

• Businesses, researchers and community bodies seeking funding, collaboration or participation: The Act envisages Green Industries SA commissioning, collaborating with and providing assistance to business to improve resource efficiency, identify business opportunities, and perform R&D (s 6(1)(d)). Funding from the Fund may take the form of grants or, with Treasurer approval, equity investments, partnerships, joint ventures or other profit‑sharing arrangements (s 17(5a)). Entities in these roles will encounter requirements imposed through business plans, approvals and Treasurer conditions.

• The Board and Chief Executive: The Governor appoints Board members and the Chief Executive (s 9(3); s 8(3)). Board composition requirements mandate certain skills and at least one woman and one man (s 9(6)-(7)). Appointed Board members serve terms up to three years, with a nine‑year maximum continuous service cap (s 10(1)). The Chief Executive is appointed for a term up to seven years and is responsible to the Board (s 8(2)-(3)).

• General public and local government: The waste strategy process requires notice in a State‑circulating newspaper, publication online and inspection copies at the principal place of business, and at least eight weeks for public submissions (s 18(4)(b)-(e)). Local and State bodies prescribed must be sent copies (s 18(4)(a)). The Act therefore creates participatory rights for the public and local government in shaping strategy.

Who decides: the Minister retains written direction powers (s 4(4)-(5)) and can authorise Fund use for particular State priorities (s 17(5)(b)). The Treasurer has specific financial approvals over how the Fund is kept and invested (s 17(2); s 17(6)-(8)). Green Industries SA, through its Board and Chief Executive, decides operational matters, applies the Fund in line with the business plan, and adopts the waste strategy after mandated consultation (s 14; s 17(5)(a); s 18(3)-(4)). Levy payers provide the finance indirectly through the Environment Protection Act levies (s 17(3)(a)).

In short, the Act distributes financial burden to levy payers and allocates significant decision rights to Green Industries SA, the Minister and the Treasurer, while creating regulated participation points for the public, EPA and industry.

This section lists concrete statutory duties and rights that the Act imposes or creates, with direct citations.

Duties of Green Industries SA, the Board and Chief Executive

• Develop, adopt and administer the State waste strategy, and monitor and assess its implementation (s 6(b)-(c); s 18(1)-(3)).
• Develop and submit annually, at least one month before each financial year, a business plan to the Minister for approval, containing a three‑year projects/goals statement and next year’s budget, and to make the approved plan available online and at its principal place of business (s 14(1)-(2), (6)).
• Present an annual report to the Minister on or before 30 September, including an audited statement of the Fund income and expenditure, any Ministerial directions, coordination with the EPA, and an assessment of the adequacy and implementation of the waste strategy (s 15(1)-(2)). The Minister must lay the report before both Houses of Parliament within 12 sitting days (s 15(3)).
• Apply the Fund in accordance with the business plan or in other manners authorised by the Minister (s 17(5)(a)(i)-(ii)).
• Coordinate activities with the EPA for development and implementation of waste strategies (s 19).

Rights and discretions of Green Industries SA and its Board

• The Board is the governing body and may act despite vacancies or defects in appointment (s 9(1a); s 11(4)).
• The Chief Executive, appointed by the Governor, is responsible for implementing Board policies and decisions and holds all powers, duties and functions while acting in the role (s 8(2), (4)-(5)).
• Green Industries SA may delegate functions and powers (except prescribed ones) to persons or committees by written instrument, subject to revocation (s 13A(1)-(3)). Certificates of delegation are prima facie proof in legal proceedings (s 13A(4)).
• Green Industries SA may obtain expert advice, use public service staff under Ministerial arrangements, and use EPA information subject to confidentiality limits (s 7(a)-(c)).

Ministerial and Treasurer responsibilities and powers

• The Minister may direct Green Industries SA in writing regarding the exercise of its powers, functions or duties, though not in relation to Green Industries SA making recommendations or reports (s 4(4)-(5)).
• The Minister may approve or modify Green Industries SA’s business plan and, if not approved before the relevant period, Green Industries SA may proceed as if it were approved but remains bound by subsequent Ministerial modifications (s 14(3)-(4)).
• The Minister may apply money from the Fund towards climate change initiatives and for costs of managing waste following declared emergencies under the Emergency Management Act 2004 (s 17(5)(b)).
• The Minister must review the adequacy of the levy percentage credited to the Fund at least annually (s 17(4)).
• The Treasurer directs how the Fund is kept (s 17(2)), and must approve Green Industries SA’s investment of Fund money not immediately required, including approval for equity investments, partnership arrangements or entry into profit‑sharing agreements (s 17(5a)-(7)).

Statutory rights and protections

• Green Industries SA has proprietary rights in a list of names (Green Industries SA, Zero Waste SA, Zero Waste and any other prescribed name) and may bar commercial use without written consent; unauthorised commercial use attracts a maximum penalty of $20,000 and civil remedies including injunction and compensation (s 16(1)-(6)).
• Committees or subcommittees of the Board are subject to the Public Sector (Honesty and Accountability) Act 1995 as though they were advisory bodies with the Minister as the relevant Minister (s 13).

Procedural duties tied to transparency and participation

• Waste strategies: Green Industries SA must circulate the draft to the Minister and prescribed State and local bodies, publish notice in a State‑wide newspaper, make copies available online and at its office, allow at least eight weeks for public consultation and take submissions into consideration before adoption (s 18(4)(a)-(e)). Strategies must be replaced at least every five years or when directed by the Minister, and the current strategy must be made publicly available (s 18(6)-(7)).

Financial reporting and audit duties

• The Public Finance and Audit Act 1987 applies to Green Industries SA in respect of performance/exercise of functions and management, investment and application of the Fund (s 7A). Green Industries SA must include audited statements of Fund income and expenditure in its annual report (s 15(2)(a)).

Specific prohibitions and penalties

• Unauthorised trade or business use of a protected name without Green Industries SA’s consent is an offence subject to a maximum penalty of $20,000; Green Industries SA may seek injunctions and compensation in court (s 16(2)-(6)).

Operational duties and constraints

• Information obtained from the EPA must not be used in a manner that divulges trade processes or financial information that identifies an individual person or body without that entity’s consent (s 7(c)).
• Delegations of Ministerial powers under s 17 can be made by instrument in writing, may be conditional, revocable and further delegable if instrument permits (s 17A(1)-(3)).

These provisions allocate legal obligations for corporate governance, financial management, public consultation and restricted use of proprietary names, while preserving Ministerial and Treasurer control over the major strategic levers: business plans, Fund allocation, and investment approvals.

The Act is light on criminal sanctions but provides several enforcement and oversight pathways; these are largely civil, administrative or financial rather than penal.

Explicit criminal/penal provision

• The only explicit monetary penalty in the Act is for unauthorised commercial use of a name in which Green Industries SA has a proprietary interest. Section 16(2) prescribes a maximum penalty of $20,000 for using such a name “in the course of a trade or business” to promote the sale of services or provision of benefits without Green Industries SA’s consent. Consent must be in writing and may be conditional or revoked (s 16(3)).

Civil and equitable remedies

• Green Industries SA may apply to the Supreme Court for an injunction to restrain breaches of the name‑use prohibition (s 16(4)). The convicting court may order the convicted person to pay compensation to Green Industries SA of an amount fixed by the court (s 16(5)). Subsections (4) and (5) are expressly non‑exclusive and do not derogate from other civil remedies that may be available to Green Industries SA (s 16(6)).

Administrative oversight and parliamentary scrutiny

• The Minister must table Green Industries SA’s annual report in both Houses within 12 sitting days of receipt, creating parliamentary oversight of the Fund and directions given to the agency (s 15(3); s 15(2)(b)-(c)). The annual report must include an audited statement of the Fund’s income and expenditure and details of any Ministerial directions (s 15(2)(a)-(c)). The Public Finance and Audit Act 1987 applies to Green Industries SA’s financial activities, which subjects the agency to standard public audit and financial reporting regimes (s 7A).

Ministerial control mechanisms

• The Minister may give written directions to Green Industries SA in the exercise of its powers, functions or duties (s 4(4)). Those directions are reportable in the annual report (s 15(2)(b)), and the Minister can approve or modify the business plan and require modifications (s 14(3)-(5)). The Minister also has the power to authorise use of the Fund for climate change initiatives and disaster responses (s 17(5)(b)), and may delegate that power under s 17A subject to written instrument and revocability (s 17A(1)-(3)).

Financial and Treasurer constraints

• The Treasurer controls the custody of the Fund (s 17(2)) and must approve certain forms of Fund expenditure such as equity investments, acquisitions of shares or joint ventures (s 17(5a)-(7)). These restrictions create an administrative gate , the Treasurer may grant specific or general approvals, conditional or unconditional, and may revoke them at any time (s 17(7)-(8)). Failure to obtain required Treasurer approvals before undertaking those investment activities could lead to administrative challenge or audit findings under the Public Finance and Audit Act 1987 (s 7A; s 17(6)).

Court procedure presumptions

• The Act provides evidentiary convenience for delegations: a certificate signed by the presiding member of the Board about a delegation will, absent contrary proof, be accepted in legal proceedings as evidence that the delegation occurred as described (s 13A(4)). This provision affects enforcement and litigation by easing proof of delegation.

Regulatory rule‑making

• The Governor may make regulations necessary or expedient for the Act (s 21). Regulatory instruments can create further offences or enforcement measures, although none are specified within the Act text provided.

Summary of enforcement framework

• The enforcement architecture is primarily administrative and civil. Financial oversight rests with the Treasurer and the Public Finance and Audit Act; Ministerial directions are an administrative control; parliamentary tabling of audited annual reports creates democratic accountability; the courts provide equitable relief and compensation in respect of proprietary name misuse (s 15; s 7A; s 4(4); s 16). The Act does not create a broad range of statutory offences for non‑compliance with administrative obligations such as failing to adopt a strategy (instead providing processes and reporting obligations), nor does it create penal sanctions for funding misuse beyond the supervisory and audit framework described.

Users and administrators should therefore see compliance risk largely in terms of administrative and reputational consequences, audit findings, and court orders for infringement of proprietary name protections, rather than a catalogue of criminal penalties.

The Act explicitly cross‑references and links to several existing statutory regimes and subjects Green Industries SA to general public sector financial and accountability frameworks.

Environment Protection Act 1993

• Definitions and the principal levy funding mechanism for the Green Industry Fund are drawn from the Environment Protection Act 1993. The Act defines “waste” to have the same meaning as in the Environment Protection Act 1993 (s 3(1)). Most notably, s 17(3)(a) directs that 50 per cent (or a greater prescribed percentage) of the amount paid by waste depot licence holders by way of levy under s 113 of the Environment Protection Act 1993 in respect of solid waste received at depots is to comprise the Fund. Consequently, the Environment Protection Act’s levy structure and any changes to s 113 will directly affect the Fund’s revenue base.

Public Finance and Audit Act 1987

• Section 7A preserves application of the Public Finance and Audit Act 1987 to Green Industries SA with respect to the performance or exercise of its functions and powers, including the management, investment and application of the Fund. This subjects Green Industries SA to standard State financial management, audit, appropriation and reporting requirements, and potentially to audit recommendations and parliamentary oversight derived from that Act (s 7A).

Public Sector (Honesty and Accountability) Act 1995

• Committees and subcommittees of the Board are treated as advisory bodies for the purposes of the Public Sector (Honesty and Accountability) Act 1995, and the Minister responsible for this Act is the relevant Minister under that Act (s 13). This ties committee members into the State’s conflict‑of‑interest and misconduct rules for public sector advisory bodies.

Emergency Management Act 2004

• The Minister may apply the Fund towards costs of managing waste or debris, or harm to the environment, following an identified major incident, major emergency or disaster declared under Part 4 Division 3 of the Emergency Management Act 2004 (s 17(5)(b)(ii)). This creates a direct contingency funding pathway from the Green Industry Fund into emergency environmental management tasks in declared emergencies.

Governor’s regulation‑making power and legislative revision mechanisms

• The Governor may make regulations as are necessary or expedient for the purposes of the Act (s 21). Regulation‑making may extend into procedural, evidentiary or operational specifics and could be the route for detailed compliance obligations or fee prescriptions, though no regulations are set out in the Act text. Legislative history notes caution that references to other legislation or bodies may be obsolete unless updated (Legislative history notes).

Governor’s appointment powers and public service arrangements

• The Governor appoints the Chief Executive and Board members (ss 8(3); 9(3)), and the Act authorises Green Industries SA to make use of the services or staff of public service administrative units under arrangements established by the Minister administering an administrative unit (s 7(b)). These provisions interact with broader public service employment and secondment arrangements.

Treasurer’s approvals and investment law

• The Treasurer’s approval is required for Green Industries SA to invest Fund money not immediately required or to undertake certain investment forms (s 17(5a)-(7)). This links the Fund to State investment policies and priorities, potentially invoking public sector investment guidelines, treasury management policies and the Treasurer’s discretion under other public finance statutes.

Environment Protection Act enforcement remains separate

• While the Act coordinates strategy and allows Green Industries SA to use EPA information within confidentiality constraints (s 7(c); s 19), it does not transfer regulatory enforcement powers concerning environmental offences from the EPA to Green Industries SA. The EPA remains the relevant regulatory authority under the Environment Protection Act.

Transitional and amendment context

• The legislative history demonstrates that this Act is an evolution from a predecessor statute (Zero Waste SA Act 2004), and subsequent amendments (notably by the Statutes Amendment (Budget 2016) Act 2016) modified many provisions including the renaming and Fund details (Legislative history; entries under Provisions amended). Transitional provisions permit continuity of certain appointments and the current business plan and strategy as of the commencement of amendments (Transitional provision s 133 of the Statutes Amendment (Budget 2016) Act 2016).

Taken together, the Act functions as a node within a network of State financial, emergency management, environmental regulatory and public sector integrity laws. Practically, changes in the Environment Protection Act levies, Treasurer policy, or public sector governance rules will alter Green Industries SA’s financing, control and compliance environment.

The legislative history supplied in the text records the Act’s origin, subsequent amendments and transitional provisions. Key points from the provided history:

• Original enactment: The Act is the successor to the Zero Waste SA Act 2004. The initial entry in the table shows Zero Waste SA Act 2004 (No 1, assented 4 March 2004, commenced 7 May 2004) as the principal Act (Legislative history table).

• Renaming and substantive amendment events:

  • The Statutes Amendment (Public Sector Consequential Amendments) Act 2009 (No 84) made amendments that came into effect 1 February 2010 (Legislative history entries under 2009). Section 7 of the Green Industries SA Act notes an amendment by 84/2009 s 385 effective 1.2.2010.
  • The Zero Waste SA (Miscellaneous) Amendment Act 2012 (No 7) amended the Act and commenced 12 April 2012 (Legislative history table).
  • The Statutes Amendment (Budget 2016) Act 2016 (No 57) introduced numerous and wide changes, with provisions commencing 1 February 2017 for many parts (Legislative history entries and the comprehensive Provisions amended list). The 2016 Budget amendments substituted headings, added ss 3A and 3B on guiding principles and green industry, substituted and amended numerous sections including ss 4-6, 7 Amendments, ss 8-18 and Parts 3-4, changed the name of the Fund, and expanded Treasurer approval and investment provisions (see Provisions amended summary identifying many subsections substituted or inserted by 57/2016).

• Specific amendment highlights recorded in the table:

  • ss 3A and 3B were inserted by 57/2016 s 114 (1.2.2017) to introduce guiding principles and define green industry (Provisions amended).
  • The Waste to Resources Fund was renamed or its provisions replaced with the Green Industry Fund in the 2016 amendments (s 17(1) substituted by 57/2016 s 129(1), and the earlier term Waste to Resources Fund deleted by 57/2016 s 113(3) in the earlier list).
  • s 17(5) was substituted and s 17(5a) inserted by 57/2016 s 129(2) (1.2.2017), adding specific payment forms and Treasurer approval routes.
  • The public consultation and replacement timing requirements for waste strategies in s 18 were amended (s 18(1) amended and s 18(2) substituted by 57/2016 s 131(1)-(3)).

• Transitional provisions associated with the 2016 amendments (Statutes Amendment (Budget 2016) Act 2016, s 133) are set out in the text. Notable transitional directions:

  • Board members of Zero Waste SA holding office immediately before commencement ceased to hold office on commencement (s 133(2)).
  • The person holding office as Chief Executive of Zero Waste SA continued as Chief Executive of Green Industries SA on commencement (s 133(3)).
  • The existing business plan and waste strategy in effect immediately prior to commencement continued as the current plans/strategies after commencement, even if they might not comply with new requirements until replaced (s 133(4)-(5)).
  • References in instruments or contracts to Zero Waste SA automatically operate as references to Green Industries SA on commencement (s 133(6)).

• Notes in the legislative history caution that references to other legislation or instrument titles are not automatically updated and may be obsolete; earlier versions of the Act appear in the historical versions list (Legislative history notes).

The Amendment history within this source shows a progression from a narrowly‑titled Zero Waste agency to a broader Green Industries SA with explicit guiding principles for circular economy and ecologically sustainable development, greater financial flexibility for the Fund (including investment and equity participation subject to Treasurer approval), and procedural updates to governance and strategic planning. The transitional provisions preserve continuity for certain functions and personnel while reconstituting the Board and formal name.

For practitioners, the key points from the amendment history are the renaming and reorientation of the Agency (Zero Waste SA to Green Industries SA), introduction of guiding principles, new Fund powers and Treasurer approvals, and transitional arrangements which kept the Chief Executive in place but removed prior Board membership on commencement of the 2016 amendments.

The statute text provided contains no judicial decisions or litigation records. The Act itself names no cases, prescribes no special judicial procedures beyond standard civil remedies and court powers mentioned in the text, and the legislative history does not list any litigation tied to the Act. The only references to courts are:

• The Supreme Court may grant an injunction to restrain breaches of the name‑use prohibition under s 16(4).
• The court by which a person is convicted of an offence against s 16 may order the convicted person to pay compensation to Green Industries SA (s 16(5)).

Beyond these references, the source does not report any actual court proceedings, case law, or litigation outcomes involving Green Industries SA or the Green Industry Fund. The Act contains no specialized tribunal mechanisms; enforcement pathways available are standard civil and criminal procedures.

Consequences for legal practice

• Because the Act’s enforcement mechanisms are primarily administrative, audit and civil relief, litigation arising under the Act is likely to be concentrated on:

  • disputes about the proprietary use of names (s 16) that could generate injunctions and compensation claims;
  • administrative law challenges to Ministerial directions or decisions (for example, review of the lawfulness of a Ministerial direction or decision to apply the Fund), though the Act does not itself create privative clauses or oust judicial review; and
  • disputes concerning the exercise of the Treasurer’s approval powers for investment or the lawfulness of Fund expenditure, potentially giving rise to judicial review or declaratory relief where procedural or statutory constraints are argued.

• The Act’s requirement that Green Industries SA include details of any Ministerial direction in its annual report (s 15(2)(b)) creates a public administrative record that could be relevant to judicial review proceedings.

Because the source supplies no case names or decisions, practitioners should conduct independent case law searches in South Australian courts, particularly the Supreme Court of South Australia and any administrative law reports, for any subsequent litigation concerning Green Industries SA, the Fund or the interpretation of the Act. The Act’s provisions that intersect with the Public Finance and Audit Act 1987, the Environment Protection Act 1993 and the Emergency Management Act 2004 also suggest that litigation might arise in contexts covered by those statutes; consequently, cross‑searching those bodies of law is advisable.

Several practical pitfalls and operational levers arise directly from the Act’s text. These are the items that commonly surprise implementers and advisers.

Ministerial directions and business plan mechanics

• Green Industries SA is subject to written directions by the Minister in the exercise of its powers, functions and duties (s 4(4)-(5)). Although Green Industries SA must submit a business plan to the Minister for approval at least one month before each financial year (s 14(1)), the Minister may approve it with or without modification (s 14(3)). If a business plan is not approved before the period, Green Industries SA may proceed as if it were approved, but remains bound by any subsequent modifications required by the Minister (s 14(4)). The practical consequence: Green Industries SA can commence operations under an unapproved business plan yet later must comply with Ministerial modifications; this can create retroactive constraints or operational halts if modifications are substantial.

Funding dependency on levies controlled elsewhere

• The Fund’s main recurring revenue source is a percentage of levies paid under s 113 of the Environment Protection Act 1993 by waste depot licence holders (s 17(3)(a)). That revenue is legislated but originates in a different Act; changes to the levies or the Environment Protection Act could materially alter the Fund’s capacity. The Minister must review the adequacy of the percentage at least annually (s 17(4)), which can trigger administrative or political pressure to alter revenue shares.

Treasurer approval for investment forms and control of the Fund

• The Fund may be applied by Green Industries SA under the business plan, but certain payment forms and investment activities require the Treasurer’s approval (s 17(5a), s 17(6)-(8)). Forms such as acquiring shares, entering partnerships or joint ventures are permitted only with Treasurer approval. Failing to seek or obtain proper approval could lead to audit findings and restrictions on the agency’s ability to carry out intended support arrangements.

Delegation and evidentiary certificate

• Delegations by Green Industries SA must be in writing and are revocable (s 13A(1)-(3)). Section 13A(4) creates a rebuttable evidentiary presumption in legal proceedings regarding delegation certificates signed by the presiding board member. Practically, delegations must be carefully documented as the certificate will be conclusive in the ordinary course unless contradicted.

Name‑use prohibition scope and penalty

• The proprietary interest in names (Green Industries SA, Zero Waste SA, Zero Waste and any prescribed names) is broad and the commercial use prohibition attracts a maximum $20,000 penalty (s 16(1)-(2)). The prohibition covers use “in the course of a trade or business” for promoting the sale of services or provision of benefits. Entities should therefore check consent requirements before using brand names that reference Green Industries SA or variations. Consent must be in writing and may be conditional or revoked (s 16(3)).

Coordination with EPA and confidentiality constraints

• Green Industries SA may use EPA information but not in ways that divulge trade processes or identifiable financial information without consent (s 7(c)). For projects requiring data sharing between EPA and Green Industries SA, data governance and consent arrangements must be established; failure to observe the confidentiality constraint will breach the Act’s prohibition.

Board composition and turnover

• The Act requires the Board to include persons with practical knowledge in specified fields and at least one woman and one man (s 9(6)-(7)). Appointed members serve up to three years and cannot serve more than nine consecutive years (s 10(1)). The 2016 transitional provision removed existing Board members at commencement (Statutes Amendment (Budget 2016) Act 2016, s 133(2)), a structural change that agencies and stakeholders should anticipate in future reform cycles.

Public consultation timeframe

• The waste strategy process mandates at least eight weeks for consultation and public submissions, and requires prominent notice (s 18(4)(b)-(d)). Shortening the consultation period without Ministerial direction or proper publication could render the adoption vulnerable to criticism or judicial review.

Proceeding under unapproved plans and retroactive modification

• Practical compliance teams should note that Green Industries SA may proceed if a business plan is not approved before the period but will be bound by modifications required later (s 14(4)). This creates an operational and legal risk where initial funding or contractual commitments are made under expectations that are later modified.

Lack of broad criminal sanctions for administrative non‑compliance

• Apart from the name‑use penalty (s 16), the Act generally relies on administrative oversight, audits and civil remedies. This means non‑criminal administrative breaches may lead to audit recommendations, Ministerial directions, or reputational and parliamentary scrutiny rather than immediate criminal penalty.

Regulation making powers may extend obligations

• The Governor may make regulations as necessary or expedient for the purposes of the Act (s 21). Specific compliance obligations or procedural rules may be delegated to regulations; absence of regulations in the Act does not preclude their later introduction.

Transitional continuity caveat

• Transitional provisions allow previously approved business plans and strategies to continue even if they do not meet the new statutory requirements until replaced (Transitional provisions s 133(4)-(5)). This can create a gap between statutory standards and what is operationally current during transition periods.

In short, the main operational risks are (1) reliance on an external levy stream for funding; (2) layered approvals (Minister and Treasurer) that can slow or condition projects; (3) the potential for retroactive or ex post Ministerial modification of business plans; and (4) confidentiality and data constraints when working with EPA information. Each of these can be managed by clear documentation, early engagement with Treasurer and Ministerial advisers, rigorous delegation instruments, and robust public consultation procedures.

This section gives practical compliance steps and checklists tied to specific statutory duties. Organisations interacting with Green Industries SA, and the agency itself, should use these as starting points.

For Green Industries SA (agency obligations)

1. Business plan cycle (s 14)

   • Prepare a business plan at least one month before the beginning of each financial year.
   • Ensure the plan sets out major projects, three‑year goals and priorities covering the full range of functions, and the next financial year’s budget with income and expenditure estimates (s 14(2)(a)-(b)).
   • Conform with any Ministerial requirements about form and content (s 14(2)(c)).
   • Submit the plan to the Minister for approval and be prepared for modification; document any modifications and their implementation timeline (s 14(3)-(5)).
   • Make the latest approved business plan available for public inspection on a website and at the principal place of business during normal office hours (s 14(6)).

2. Annual reporting and audit (s 15; s 7A)

   • Prepare an annual report to present to the Minister on or before 30 September each year.
   • Include an audited statement of the Fund’s income and expenditure with itemised receipts and disbursements (s 15(2)(a)).
   • Report any directions given by the Minister during the year (s 15(2)(b)).
   • Include details of co‑ordination with the EPA and an assessment of the waste strategy’s adequacy using criteria established in the strategy (s 15(2)(c)-(d)).
   • Coordinate with the Auditor and ensure compliance with the Public Finance and Audit Act 1987 (s 7A).

3. Fund management (s 17)

   • Track Fund receipts including the statutory share of depot levy receipts, appropriations, gifts and investment income (s 17(3)).
   • Ensure the Fund is kept as directed by the Treasurer (s 17(2)); seek written clarifications from Treasury on accounting and custody arrangements.
   • Apply the Fund in accordance with the approved business plan or seek Ministerial authorisation for other uses; document Ministerial approvals per statutory recordkeeping and reporting requirements (s 17(5)(a)).
   • For investment forms beyond simple grants (equity, partnerships, joint ventures), obtain Treasurer’s approval in writing prior to execution (s 17(5a)-(7)). Record any conditions on such approvals and ensure compliance.

4. Waste strategy process (s 18)

   • Follow statutory pre‑adoption steps: send draft strategy copies to the Minister and prescribed State and local government bodies, publish notice in a State‑circulating newspaper, make copies available online and at the principal place of business, allow at least 8 weeks for consultation and written submissions, and take submissions into consideration before adoption (s 18(4)(a)-(e)).
   • Ensure the strategy identifies objectives, performs the required analysis, sets targets and establishes implementation means and risk assessments, and sets criteria/methods to assess adequacy (s 18(2)(a)-(e)).
   • Replace the waste strategy at least every five years or as directed by the Minister; maintain a public copy online (s 18(6)-(7)).

5. Governance and delegations (ss 8-13A)

   • Ensure Board composition meets statutory skill areas and gender representation (s 9(6)-(7)).
   • Maintain accurate minutes (s 11(9)), and ensure procedures for meetings, quorum and decision making comply with statutory provisions (s 11(1)-(8)).
   • Make delegations in writing, set conditions and revocability clearly, and document any sub‑delegations per instrument (s 13A(1)-(3)). Keep delegation certificates in the corporate record because they are prima facie evidence in proceedings (s 13A(4)).

6. Data sharing with EPA (s 7(c))

   • Put in place data sharing agreements with EPA that specify permissible uses and protections for trade processes and identifiable financial data. Obtain consent from data owners where necessary.

7. Use and protection of name (s 16)

   • Establish an internal policy to approve any third‑party commercial use of protected names, issue written consents with conditions including payment schedules where appropriate, and record revocations. Enforce unauthorised use using injunctive and compensation remedies where warranted.

For businesses and third parties seeking to interact with Green Industries SA

1. Grants and funding applications

   • Monitor Green Industries SA’s business plan and published grant programs; applications should demonstrate alignment with the guiding principles (s 3A) and the State waste strategy (s 18).
   • If proposed project structures involve equity, shares, joint ventures or profit‑sharing with Green Industries SA or Fund monies, expect a Treasurer approval process and plan timelines accordingly (s 17(5a)-(7)).

2. Data Requests and confidentiality

   • When requesting EPA or Green Industries SA information, clarify whether the data contain trade processes or identifiable financial data; obtain necessary consents or anonymise data to comply with s 7(c).

3. Use of names or branding

   • Do not assume the right to use “Green Industries SA,” “Zero Waste SA” or “Zero Waste” in marketing or trade usages without written consent from Green Industries SA (s 16(1)-(3)).

For Ministers, Treasurer and the Governor’s office

1. Ministerial directions and plan approvals

   • Keep written records of any direction to Green Industries SA and require the agency to disclose directions in its annual report (s 4(5); s 15(2)(b)).
   • Where modifying business plans, provide clear written modifications and allow Green Industries SA time to implement operational changes considering contractual commitments (s 14(3)-(5)).

2. Treasurer approvals and Fund custody

   • Provide written policies and guidance for how the Fund is to be kept and how investment approvals will be processed, specifying timeframes and conditions to support Green Industries SA’s planning and compliance (s 17(2); s 17(6)-(8)).

Records, timing and documentation best practice (common to all actors)

• Maintain dated and signed instruments for delegations, Ministerial directions, business plan submissions, Treasurer approvals, and Grant/Investment agreements. Keep public notices and consultation records for waste strategy processes (s 14; s 18).
• Ensure public accessibility of approved business plans and the current waste strategy online and at principal office locations (s 14(6); s 18(7)).
• Treat annual reporting deadlines seriously; the statute requires presentation to the Minister by 30 September and parliamentary tabling within 12 sitting days (s 15(1)-(3)).

Practical tip on managing complexity

• Anticipate that multi‑party projects (e.g. partnerships between private sector, research institutions and Green Industries SA) may require sequential approvals (Board → Minister → Treasurer). Build these approval timelines into contracts and procurement processes to avoid contractual breaches or stranded costs.

Adhering to these steps will address the principal compliance obligations set out in the Act: business planning, public strategy consultation, Fund integrity and reporting, delegation formalities, and protection of the agency’s brand and confidential information.
