Government Financing Authority Act 1982

The Act embeds a small set of recurring legal and financial concepts; understanding those is essential for applying the statute.

• Authority as a Crown corporate vehicle: The Authority is a body corporate that holds property on behalf of the Crown (s 5(2)(d)) and is constituted of the Under Treasurer (s 6). Documents appearing under the Authority’s seal are presumed genuine (s 5(3)). The Authority is separately liable for state taxes unless exempted (s 23(1)-(2)).

• Treasurer control and discretion: The Authority is explicitly subject to the control and direction of the Treasurer (s 13). Many substantive powers of the Authority require the Treasurer’s prior approval (s 11(2) begins “may, with the approval of the Treasurer”), and the Treasurer may set terms and conditions for money provided to the Authority (s 14). The Treasurer has broad discretionary powers exercised by determination published in the Gazette for certain transfers of liabilities (s 18(1)(a)(i)) and may exempt the Authority or particular instruments from state taxes (s 23(2)). Fees in respect of transactions may be charged “as the Treasurer thinks fit” (s 22(1)).

• Centralisation of financing and optional compulsion of semi‑government entities: The Act creates a mechanism for semi‑government authorities to borrow from the Authority and to deposit surplus funds with the Authority (s 16(1)(a)-(b)). Crucially, the Treasurer may direct a semi‑government authority to borrow from, or deposit with, the Authority instead of other lenders, but only “as authorised by the regulations” and subject to an explicit statutory carve‑out for the Local Government Financing Authority of South Australia (s 16(2)). The Treasurer may also, after consultation with the relevant Minister, rearrange a semi‑government authority’s finances by transferring its liabilities to the Authority and recharacterising them as borrowings from the Authority (s 18(1)-(7)).

• State guarantee of Authority liabilities: Liabilities of the Authority are guaranteed by the Treasurer and satisfaction of a guarantee is to be met from General Revenue (s 15(1)-(2)). Section 15(1a) makes clear that liabilities validated by s 11A are to be treated as incurred pursuant to the Act for the purpose of the guarantee.

• Captive insurance function and associated powers: The Authority has a declared role as captive insurer of the Crown, with separate powers to act as insurer, reinsurer or co‑insurer, to seek reinsurance, to undertake settlement or compromise of claims (including those that “may not necessarily be valid in law”, s 11(2)(ic)), and to carry on third‑party businesses in order to realise rights (s 11(2)(id)). Subsection 11(2)(ie) allows steps to enable the Authority to operate in foreign jurisdictions, including registration.

• Third‑party certainty: Section 11A protects the validity of transactions entered into by or apparently by the Authority despite internal deficiencies or procedural irregularities, except where the counterparty had actual knowledge of the deficiency or a relationship that made such knowledge likely (s 11A(1)-(2)).

• Advisory Board: The Act creates a separate advisory body (the Board) with specified membership criteria (Under Treasurer plus appointed members, including at least one insurance expert and one member employed by a semi‑government authority) and procedural rules (Part 3A, ss 18A-18G). Its functions are advisory; it must record advice and provide written advice to the Treasurer in certain circumstances (s 18G).

• Transparency and limits on disclosure: The Authority must report annually to the Treasurer and its audited accounts must be included (s 26(1)-(2)). The Act requires disclosure in the annual report where the Treasurer or Authority does not follow Board advice (s 26(1a)-(1d)), but the Authority may withhold advice or reasons if, in its opinion, disclosure should remain confidential for commercial reasons; in that case the report must note that advice was given but not disclosed (s 26(1c)-(1d)).

• Administrative and oversight mechanics: The Auditor‑General audits accounts (s 25) and the Authority must keep financial records and a certified record of decisions (ss 24A, 25). Delegation rules permit delegation to officers or public servants by written instrument and permit further delegation if provided (s 19).

These concepts interact to centralise fiscal instruments around the Authority and the Treasurer while offering legal protections to external counterparties and preserving audit and reporting overlays. Each concept is implemented by specific statutory mechanics referenced above; the remainder of this note examines how those mechanics affect stakeholders.

The Act directly and indirectly affects several distinct groups. The statute’s text identifies them and prescribes different obligations, choices and constraints.

• The Authority (the Under Treasurer acting as the Authority): The Authority is the statutory vehicle that will carry out borrowing, lending, investment and captive insurance activities (s 5, s 11). The Under Treasurer performs the Authority’s functions (s 6). The Authority must maintain proper accounts, keep decision records certified by the Under Treasurer (ss 24A, 25), and deliver an annual report with audited accounts (s 26).

• The Treasurer: The Treasurer holds central decision rights across the statute. The Treasurer controls and directs the Authority (s 13), approves many of the Authority’s transactions (s 11(2)), sets terms for money provided to the Authority (s 14), guarantees Authority liabilities (s 15), deposits public money with or lends money to the Authority (s 17), may direct semi‑government authorities to borrow from or deposit with the Authority (s 16), and may rearrange semi‑government finances by determination in the Gazette (s 18). The Treasurer may also publish tax exemptions in the Gazette (s 23) and determine fees charged by the Authority or Treasurer (s 22).

• Semi‑government authorities: The Act defines “semi‑government authority” broadly (s 4(1)) and authorises their borrowing and deposit relationships with the Authority. A semi‑government authority may borrow from the Authority (s 16(1)(a)), and the Treasurer may direct that it must do so (s 16(1)(a)-(2)). The Treasurer’s determinations under s 18 may transfer existing external loans to the Authority, recharacterising the liabilities as borrowings from the Authority on terms specified by the Treasurer (s 18(1)-(3)). Semi‑government authorities are required, if so required by the Treasurer, to furnish financial information to the Authority (s 21). The Minister responsible for the relevant semi‑government authority must be consulted before terms are set or finances rearranged (s 16(3), s 18(1) opening words).

• Ministers and Governor: Consultation with the Minister responsible for a semi‑government authority is a statutory requirement for certain Treasurer actions (s 16(3), s 18(1) preamble). The Governor has power to declare bodies to be semi‑government authorities or to vary/revoke such declarations (s 4(2)-(3)) and to make regulations (s 28). The Governor also appoints Board members (s 18B(1)) and may set their allowances (s 18C).

• Private counterparties, financial institutions and insurers: The Authority may open bank accounts, deal in securities and shares, appoint ADIs or other persons as underwriters, managers, trustees, attorneys or agents, and enter into guarantees and indemnities (s 11(2)(f)-(g), (h), (e)). Private counterparties who enter into transactions with the Authority are protected against invalidation of the transaction due to internal deficiencies or procedural irregularities unless they had actual knowledge of those defects or a relationship that should have put them on notice (s 11A(1)-(2)). The Authority may also form companies, enter partnerships or joint ventures (s 11(2)(ia)), and acquire insurance or re‑insurance with others (s 11(2)(ib)).

• Auditor‑General and Parliament: The Auditor‑General has audit powers over the Authority’s accounts and may exercise powers vested by the Audit Act 1921 (s 25(2)-(3)). The Treasurer must lay the Authority’s annual report before each House of Parliament (s 26(3)).

• General Revenue / taxpayers: The Treasurer’s guarantee of the Authority’s liabilities is explicitly to be satisfied out of General Revenue and there is an appropriation for that purpose (s 15(2)). Surpluses of the Authority (other than funds related to captive insurance) must be paid into General Revenue (s 12(2)). Those mechanics directly affect the fiscal position and therefore the pressure on public finances.

• Public Service employees and Authority staff: The Authority’s staff may include public servants and persons employed by the Authority with the Treasurer’s consent (s 20(1)). The Treasurer may, by Gazette notice, exclude public servants on the Authority’s staff from certain provisions of the Public Sector Act 2009 or specify which provisions should instead apply (s 20(2)). The Authority may make use of public service administrative units under arrangements determined by ministers (s 20(3)).

• Local Government Financing Authority: There is an explicit exemption from Treasurer directions under s 16(2) , the Treasurer must not give a direction requiring the Local Government Financing Authority of South Australia to borrow from or deposit with the Authority.

The Act’s structure creates concentrated decision power in the Treasurer and a single-person corporate Authority, while imposing reporting, audit and procedural protections intended to provide certainty to external counterparties and oversight by the Auditor‑General and Parliament.

The Act sets out specific duties, rights and discretions for the Authority, the Treasurer, semi‑government authorities, the Board, and third-party counterparties. These are statutory, not discretionary policy statements.

Duties and obligations of the Authority

• Exercise powers in accordance with proper principles of financial management and, given the captive insurance function, with a view to avoiding loss (s 12(1)).
• Keep proper accounts and cause them to be audited at least once annually by the Auditor‑General (s 25(1)-(2)).
• Keep a record of its decisions (other than those made by delegates) certified by the Under Treasurer (s 24A(1)-(2)).
• Deliver an annual report to the Treasurer on or before 30 September each year, including audited accounts (s 26(1)-(2)). The annual report must include details of any Board advice that the Treasurer or Authority decides not to follow, together with reasons, subject to a commercial confidentiality exception (s 26(1a)-(1d)).
• Charge fees only as permitted by s 22 and in amounts decided by the Treasurer where relevant (s 22(1)), and may deduct fees from amounts otherwise payable to semi‑government authorities or other persons (s 22(2)).

Rights and discretions of the Authority

• Subject to Treasurer approval, to borrow, accept deposits, lend, invest, deal in securities, form companies, enter into guarantees or indemnities, enter partnerships, obtain insurance/reinsurance, and take steps to realise or compromise claims (s 11(2)(a)-(k), (ia)-(ie)).
• Delegate functions to officers or public servants by written instrument including further delegation where provided for (s 19(1)-(3)).
• Appoint staff, including public servants and employees with the Treasurer’s consent (s 20(1)).

Duties and discretions of the Treasurer

• Control and direct the Authority (s 13).
• Approve (and impose conditions on) the Authority’s transactions and the kinds of transactions it may enter into (s 11(2) and s 11(3)).
• Determine terms and conditions of money provided to the Authority (s 14).
• Guarantee liabilities incurred by the Authority (s 15), with liability to be met from General Revenue (s 15(2)).
• Deposit with or lend public money to the Authority on terms he or she determines (s 17).
• Direct, subject to regulations and an exception, that semi‑government authorities must borrow from or deposit with the Authority (s 16(1)-(2)); determine the terms of such transactions after consultation with the Minister responsible (s 16(3)).
• Rearrange the finances of semi‑government authorities by transferring liabilities and recharacterising loans as borrowings from the Authority via determinations in the Gazette, after consultation with the relevant Minister (s 18(1)-(3)).
• Publish notices in the Gazette to exempt the Authority or particular instruments from State taxes or duties, and vary or revoke those notices (s 23(2)-(3)).
• Decide fees the Authority or the Treasurer may charge “as the Treasurer thinks fit” (s 22(1)).

Obligations of semi‑government authorities and Ministers

• Where so required by the Treasurer, furnish information relating to their financial affairs to the Authority (s 21).
• If the Treasurer directs, borrow from or deposit with the Authority and accept terms set by the Treasurer after consultation with their responsible Minister (s 16(1)-(3)).
• Be consulted by the Treasurer where the Treasurer proposes to rearrange the semi‑government authority’s finances via transfer of liabilities (s 18(1)).

Rights and protections for third parties and counterparties

• Transactions involving the Authority are not invalidated by deficiencies of power or procedural irregularity unless the counterparty had actual knowledge of the deficiency or an implicated relationship (s 11A(1)-(2)). This creates a statutory protection for bona fide counterparties.
• In court proceedings, an apparently genuine certificate by the Under Treasurer certifying that a particular decision is a decision of the Authority or that something has been done pursuant to the Act is prima facie proof unless the contrary is shown (s 24).

Board duties and rights

• The Board must provide advice at the request of the Treasurer or the Authority and may give advice on its own initiative (s 18G(1)). Advice to the Treasurer must be in writing; advice to the Authority may be oral or written (s 18G(2)). The Board must record its advice in minutes and share certain minutes with the Treasurer (s 18G(3)).

Audit and reporting obligations

• The Authority must maintain proper accounts (s 25(1)), be audited by the Auditor‑General at least once per year (s 25(2)), and include audited statements in its annual report (s 26(2)). The Treasurer must lay the report before Parliament (s 26(3)).

These statutory duties and rights create a network of obligations focused on Treasurer oversight, centralized financial operations for semi‑government entities, audit and reporting, and protections for external counterparties. The text makes clear where the discretion sits and which statutory duties are mandatory.

The Act’s enforcement architecture is relatively limited: it relies primarily on administrative powers, disclosure, audit, prevailing public law controls and the Treasurer’s coercive tools rather than a detailed criminal or regulatory enforcement regime. The Act describes offences simply as summary offences (s 27) and otherwise embeds enforcement and compliance mechanics via administrative determinative powers, audit and reporting.

Penalties

• The Act does not itself specify particular financial or criminal penalties for most contraventions in the body of the text. Instead, s 27 states that the offences constituted by the Act are summary offences. The Appendix to the Act reproduces the divisional penalties and expiation fees applicable under the Acts Interpretation Act 1915, which provides a range of maxima for imprisonment and fines indexed to divisions (Appendix). Because the Act does not attach specific divisions to particular offences in the text, one must look to any expiation or penalty provisions in subordinate regulations (s 28) or to how other statutes enforce related obligations.

Administrative enforcement mechanisms

• Treasurer directions and determinations: The Treasurer can compel action by semi‑government authorities via direction to borrow from or deposit with the Authority (s 16(1)-(2)) and can effect transfers of liabilities by determination in the Gazette (s 18(1)). The statutory force of such determinations is clear: a determination under s 18 “has effect according to its terms” (s 18(7)). Non‑compliance by a semi‑government authority with a lawful direction or determination could attract public law remedies or consequences under the instrument constituting the semi‑government authority, but the Act itself relies on the statutory authority of those measures rather than on specified penalties.

• Fee charging and offsets: The Authority or the Treasurer may charge fees for services to semi‑government authorities or others (s 22(1)). A fee charged may be deducted from amounts otherwise payable by the Authority or Treasurer to the charged party (s 22(2)). This provides an enforcement lever through financial offsets.

Audit and parliamentary oversight

• Audit: The Auditor‑General may audit the Authority’s accounts at any time and must do so at least annually (s 25(2)). The Auditor‑General has the powers under the Audit Act 1921 in respect of public accounts and accounting officers (s 25(3)). Audit findings can prompt administrative, parliamentary or public scrutiny and may lead to further consequences not specified in the Act.

• Parliamentary reporting: The Authority must deliver an annual report to the Treasurer and that report must be laid before each House of Parliament (s 26). The statutory requirement to disclose instances where Board advice was not followed (s 26(1a)-(1d)), subject to a narrow commercial confidentiality exception, strengthens parliamentary oversight by creating an explicit reporting duty.

Evidentiary presumptions and legal finality

• Section 11A protects transactions from invalidation on the ground of internal defects or irregular appointments, except where the counterparty had actual knowledge or a close relationship. This provision reduces litigation risk for external counterparties and constrains one avenue of enforcement by private parties against Authority transactions. Similarly, a certificate by the Under Treasurer stating that a decision is a decision of the Authority is prima facie proof in legal proceedings (s 24), which streamlines evidentiary burdens when enforcing or defending transactions.

Tax exemptions and Gazettal notices

• The Treasurer may exempt the Authority or instruments from State taxes by Gazette notice (s 23(2)-(3)); such exemptions can be varied or revoked. Those notices carry legal effect according to their terms.

Regulatory enforcement

• The Governor may make regulations “contemplated by, or necessary or expedient for the purposes of, this Act” (s 28). Regulations can specify offences, penalties, procedures and operational details; any enforcement details not present in the Act itself will typically appear in regulations.

In short, the Act relies on: (a) the Treasurer’s statutory coercive powers (directions, determinations, setting of terms); (b) financial enforcement through fees and offsets; (c) oversight via audit and parliamentary reporting; and (d) procedural streamlining (certificates, validity provisions) that reduce litigation risk for third parties. Specific penalty regimes, to the extent they exist, are supplied by subsidiary instruments or the general divisional penalties framework referenced in the Appendix.

The Act is designed to operate within the wider statutory framework governing public finance, public sector employment and audit in South Australia, and it contains explicit cross‑references and express qualifications.

Public finance and appropriation

• Section 15(2) appropriates General Revenue to satisfy liabilities of the Treasurer under the guarantee arising from the Authority’s liabilities. That appropriation interacts with the broader public finance regime and the Public Finance and Audit Act 1987, which is explicitly referenced: s 17 proceeds “Notwithstanding the provisions of the Public Finance and Audit Act 1987 any money under the control of the Treasurer … may be deposited with or lent to the Authority by the Treasurer upon such terms and conditions as the Treasurer may determine.” This creates a direct statutory connection to the body that ordinarily governs public receipts and payments.

Audit and accounting statutes

• The Auditor‑General’s powers to audit the Authority and to exercise powers under the Audit Act 1921 (s 25(3)) explicitly marries the Authority to existing audit law. The Authority’s accounts are subject to the same audit mechanisms as other public accounts, even though the Authority is a body corporate that “holds its property on behalf of the Crown” (s 5(2)(d)).

Public sector employment law

• The Authority’s staffing model interacts with public sector employment regulation. The statute permits the Authority’s staff to include Public Service employees and other persons employed with the Treasurer’s consent (s 20(1)). The Treasurer may exclude Public Service employees who are members of the Authority’s staff from specified provisions of the Public Sector Act 2009 by Gazette notice (s 20(2)). That creates an express mechanism for tailoring which public sector employment rules apply to staff seconded or assigned to the Authority.

Local government legislation

• The Act excludes “a council as defined in the Local Government Act 1934” from the meaning of semi‑government authority (s 4(1) paragraph after definition). It also expressly shields the Local Government Financing Authority of South Australia from certain Treasurer directions under s 16(2). The precise interaction will depend on the Local Government Act’s current definitions and any successor legislation; readers should check contemporaneous versions because the Act’s internal note warns that references to other legislation may be obsolete.

Corporations and financial services law

• The Authority may form companies, enter into partnerships and joint ventures, and deal in securities (s 11(2)(ia)-(k)). Where such activities intersect with state and federal corporations or financial services law, the Act operates subject to those laws. The legislative history notes that amendments linked to Commonwealth financial sector reform (1999) were incorporated (Legislative history: Financial Sector Reform (South Australia) Act 1999; sch item 26,1.7.1999), indicating prior interaction with Commonwealth reform. The Act also contemplates registration or legal recognition in foreign jurisdictions (s 11(2)(ie)), which raises cross‑border regulatory considerations.

Statutory guarantees and Crown law

• The definition of Crown in s 11(4) includes instrumentality or agency of the Crown, but the Treasurer may, by notice in the Gazette, exclude an instrumentality or agency from that definition. That interacts with other statutes regarding Crown immunity, Crown guarantee practices and liabilities of State agencies.

Tax law

• Section 23(1) provides that the Authority and instruments it enters into are liable to State taxes, duties and imposts as if the Authority were not an agency of the Crown, unless the Treasurer publishes a Gazette notice exempting the Authority or instruments from tax (s 23(2)-(3)). This creates a statute‑based interplay with state taxation law and the Treasurer’s power to alter tax incidence on Authority transactions.

Regulations and delegated legislation

• The Governor’s regulation‑making power (s 28) allows the Act to be supplemented by subordinate legislation, which may specify details necessary for interaction with other laws (for example, authorising directions under s 16(2) “as authorised by the regulations”). The Act repeatedly makes certain powers subject to regulations (s 16(2)) or to procedural publication in the Gazette (s 18). Consequently, the full operational interaction depends on any regulations in force and Gazette notices. The legislative history shows a history of amendments that integrated other statutory changes (eg, Public Finance and Audit amendments in 1993, 1994 changes re State Bank corporatisation, and 2006 Insurance amendments), so attention to amendment history is necessary.

Records, evidence and public law

• The evidentiary presumptions in ss 24 and 24A (certificates of the Under Treasurer and certified records of decisions) interact with civil procedure and evidence rules by streamlining proof of administrative acts and decisions in proceedings. At the same time, the Auditor‑General’s auditing powers and Parliamentary reporting (s 26) operate alongside public law remedies, including judicial review, where actions of the Treasurer or Authority may be challenged.

In practical terms the Act should be read together with:

• Relevant public finance and audit statutes (eg, Public Finance and Audit Act 1987 and the Audit Act 1921), because s 17, s 25(3) refer to them directly.
• Public sector employment law (Public Sector Act 2009) because s 20 allows variations by Gazette.
• Any applicable regulations made under this Act (s 28) and Gazette notices published under the Act (s 18 determinations, s 23 tax exemptions, s 20 staff exclusions).
• State tax statutes and local government statutes due to the explicit tax and semi‑government authority definitions (s 4, s 23).

The Act therefore functions as a centralising statute whose operational boundaries and compliance details often depend on subsidiary instruments, Gazette notices and the interaction with other public statutes.

The Act’s legislative history recorded in the statute identifies a sequence of amendments since the principal Act was enacted in 1982. The schedule in the legislation text sets out enactments, dates of assent and commencements. The following summarises the principal amendment milestones and the provisions they affected, grounding each point in the legislative history provided in the Act.

Principal enactment and foundational amendments

• Government Financing Authority Act 1982 (No 96 of 1982): assented 23 December 1982 and commenced 13 January 1983 (Gazette 13.1.1983 p41). This is the principal Act establishing the Authority (s 5) and setting out the core powers and structure.

Notable subsequent amendments and their timing (as recorded)

• 1986 , Government Financing Authority Act Amendment Act 1986 (No 52 of 1986), assented 11 September 1986, effected amendments on 11 September 1986. The legislative history records that s 6 was amended by 52/1986 s 2 and several amendments to s 11 and other sections were made by s 4 and other provisions. These changes appear to have adjusted the Authority’s constitution and powers.

• 1993 , Public Finance and Audit (Miscellaneous) Amendment Act 1993 (No 6 of 1993), assented 11 March 1993. The history records insertion of s 11(3) and s 11A by 6/1993 s 20(a)-(b) and s 15(1a) inserted by 6/1993 s 20(c). The 1993 amendments introduced s 11A, which secures the validity of Authority transactions despite internal irregularities except in limited cases, and the insertion of s 11(3) enabling the Treasurer’s approval to be conditional and variable.

• 1994 , State Bank (Corporatisation) Act 1994 (No 17 of 1994), assented 12 May 1994; relevant commencement noted in the history (Sch 4,1.7.1994). Item 26 in later amendments references interactions with State Bank changes.

• 1995 , Government Financing Authority (Authority and Advisory Board) Amendment Act 1995 (No 3 of 1995), assented 2 March 1995 and commenced 8 June 1995 (Gazette 1.6.1995 p2528). The 1995 amendments inserted Part 3A establishing the Advisory Board (s 18A et seq.), substituted various sections, updated the definition of the Authority’s constitution to the Under Treasurer (s 6) and made related changes. The “Provisions amended” table shows ss 6-10 and parts of Pt 2 and Pt 3 being substituted or deleted by 3/1995.

• 1999 , Financial Sector Reform (South Australia) Act 1999 (No 33 of 1999), assented 17 June 1999, with commencement of a schedule item on 1 July 1999. The legislative history notes that s 11(2) was amended by Sch (item 26) to accommodate changes driven by Commonwealth financial sector reform.

• 2006 , Government Financing Authority (Insurance) Amendment Act 2006 (No 2 of 2006), assented 15 June 2006, with many amendments commencing 1 July 2006 (Gazette 29.6.2006 p2100). The 2006 amendments are significant for the Authority’s insurance role: s 11(1) was amended, s 11(2) was amended and expanded (new subparagraphs such as (ia), (ib), (ic), (id), (ie) appear in the current text reflecting expanded captive insurance powers), s 12(1) was amended, and s 18B (Board membership) was updated to require an appointed member with insurance expertise (s 18B(1a)), among other changes. Those amendments formalised and expanded the Authority’s captive insurance and related international powers.

• 2009 , Statutes Amendment (Public Sector Consequential Amendments) Act 2009 (No 84 of 2009), assented 10 December 2009 and some provisions commenced 1 February 2010 (Gazette 28.1.2010 p320). The legislative history shows Pt 72 (ss 170-172) commenced on 1 February 2010, and s 20 was substituted by 84/2009 s 172 on that date, revising staff provisions and further integrating public sector consequential amendments.

Reprints and editorial alterations

• The historical notes state that earlier versions were republished and that the Commissioner of Statute Revision made textual alterations for reprints (not substantive law changes), with a schedule laid before Parliament on 31 March 1987. Multiple reprints were made as amendments accumulated (reprint dates shown at the end of the legislative history and the header).

Sections most frequently amended or substituted

• Part 3 and s 11 have been the focus of several amendments (1986, 1993, 1999, 2006) reflecting evolving policy on the Authority’s powers, especially insurance functions and transaction validation (s 11A, added 1993; insurance expansions 2006).
• Part 3A (Board) was inserted by 1995 to establish the advisory structure; later amendments (2006) supplemented Board composition with specified expertise (insurance, and semi‑government employment).
• Delegation and staff provisions were substantially revised in 2006 and again in 2010 (s 19 substituted 2006; s 20 substituted 2010).
• The Authority’s tax treatment (s 23) was amended in 1986.

How to use the legislative history

• The “Provisions amended” table in the statute lists which sections were varied, substituted or deleted and indicates the amending Acts and commencement dates. For any detailed compliance or historical research, consult the reprints and the exact amending Acts referenced (eg, 52/1986, 6/1993, 3/1995, 2/2006) to review the precise textual changes and the legislative context. The Act’s internal note flags that references to other statutes or office titles may be obsolete, which warns practitioners to verify the current version of cross‑referenced statutes.

In short, the Act has been amended repeatedly to expand the Authority’s insurance powers, create an advisory board, realign staffing and delegation arrangements with contemporary public sector law, and respond to broader financial sector reforms. The legislative history provided in the Act itself is the authoritative trail for those changes.

The text of the Act as supplied does not record any judicial decisions, case law or litigation history. The statute itself contains no annotations citing judicial interpretation, and the legislative history section lists only amending Acts and reprints.

What the Act does supply that affects litigation risk

• Section 11A reduces litigation risk for third parties dealing with the Authority by providing that transactions are not invalid merely because of internal defects in the Authority’s power or procedural irregularities, subject to exceptions for parties with actual knowledge of those defects or a relevant relationship to the Authority (s 11A(1)-(2)). That provision will affect disputes where a party seeks to avoid contractual obligations by pointing to internal invalidity, and courts adjudicating such disputes would apply s 11A’s statutory standard.

• Section 24 creates an evidentiary presumption for certificates under the hand of the Under Treasurer certifying that particular decisions are decisions of the Authority or that actions have been taken pursuant to the Act. Such certificates will be accepted, in the absence of proof to the contrary, as proof of the matters stated (s 24). This affects the practical proof burden in litigation.

• The Auditor‑General’s audit powers and the requirement to lay an annual report before Parliament (s 25-26) create administrative records and audit findings that may be relevant in litigation although the Act itself does not attach privative clauses or override judicial review.

Limitations on what can be stated here

• Because the statutory text does not list cases, this note does not summarise or cite judicial decisions. Practitioners researching litigation history should search state and federal law reports, AustLII and other legal databases for cases referring to the Government Financing Authority Act 1982 (SA), decisions involving the Authority, the Under Treasurer, or contesting Treasurer determinations under ss 16-18. Also search for litigation involving s 11A’s application to transactions and s 24 evidentiary certificates.

Practical next steps for litigation research

• For any litigation involving the Authority or disputes over transferred liabilities or Treasurer determinations, obtain the full history of Gazette notices and determinations under ss 16-18, the Authority’s certified decision records (s 24A) and audited accounts (s 25), and any Auditor‑General reports. Those materials will be central primary evidence in proceedings. Also check whether regulations made under s 28 (if any) specify penalty or enforcement schemes relevant to the dispute.

In summary, the statute itself contains mechanisms that shape litigation (transaction validation, evidentiary certificates, audit records) but it does not record judicial treatment; bespoke litigation research is needed to map how courts have interpreted and applied the Act.

This Act contains a number of drafting features and practical mechanics that can produce unexpected outcomes if not attended to carefully. The following points are grounded in the statute text and flag operational pitfalls, discretion points and compliance traps.

Authority constituted of the Under Treasurer

• The Authority is a body corporate (s 5) but is constitutionally “constituted of the Under Treasurer” (s 6). That creates a legal arrangement where corporate acts are effectively performed by one officeholder. Practically, this concentrates responsibility and also means procedural formalities (seals, certifications by the Under Treasurer) will be centralised. Documents purporting to bear the common seal are presumed to be genuine in the absence of proof to the contrary (s 5(3)). The combination of a single-person corporate body and s 11A’s protections for third parties reduces the effectiveness of internal procedural objections unless a counterparty had actual knowledge of defects.

Treasurer’s broad and often unqualified discretion

• The Treasurer’s approval is required for many of the Authority’s powers but that approval may be conditional, may relate to classes of transaction, and may be varied or revoked with respect to transactions not yet entered into (s 11(3)(a)-(c)). Money provided by the Treasurer is “regarded for all purposes as having been provided upon such terms and conditions as the Treasurer may from time to time determine” (s 14). The Treasurer also decides fees “as the Treasurer thinks fit” (s 22(1)) and may exempt the Authority from taxes by Gazette notice (s 23(2)). These provisions concentrate substantive discretion in the Treasurer and give rise to administrative decision risk for semi‑government authorities and counterparties.

Guarantee mechanics and public finance consequences

• Liabilities of the Authority are guaranteed by the Treasurer and satisfaction is to be met out of General Revenue (s 15(1)-(2)). The guarantee will apply to liabilities validated by s 11A (s 15(1a)). Where the Treasurer directs a semi‑government authority to borrow from the Authority, those borrowings will likely be carried on the Authority’s balance sheet and thereby attract the State guarantee. That reallocation can alter public accounts and fiscal exposures. Because the Act appropriates General Revenue to meet the Treasurer’s guarantee, an Authority liability can translate into a direct call on public funds.

Transfer and recharacterisation of liabilities

• Section 18 allows the Treasurer, after consultation with the Minister responsible, to transfer existing liabilities of a semi‑government authority to the Authority by Gazette determination, and to determine that the outstanding money be regarded, for all purposes, as borrowed from the Authority upon specified terms (s 18(1)(a)(i)-(ii)). The transfer has the statutory effect prescribed (s 18(7)), including treating funds provided to the Authority as previously provided by the Treasurer (s 18(4)). That recharacterisation can change creditor rights, security arrangements and applicable covenants. The text does not require the consent of existing creditors; the mechanism is administrative by Gazette determination.

Limit on directions and the role of regulations

• The Treasurer may direct semi‑government authorities to borrow from or deposit with the Authority only “as authorised by the regulations” and must not give such a direction to the Local Government Financing Authority (s 16(2)). This means the scope of compulsory direction is, in part, delegated to regulations. Practitioners must check whether regulations exist that authorise particular classes of direction and what procedural protections or limits those regulations impose.

Captive insurance and settlement powers

• The Authority’s captive insurance role includes the power to “take such action as may be necessary or expedient to satisfy or compromise any claims made against the Crown in respect of risks of the Crown (including claims that may not necessarily be valid in law)” (s 11(2)(ic)). The Act explicitly permits settlement of claims that may not be legally valid. That is a powerful operational tool for the Authority and may affect expected liabilities, contingent exposures, and the allocation of losses across the State and semi‑government authorities.

Tax treatment and exemptions

• Section 23(1) states that the Authority and instruments to which it is a party are liable to state taxes as if the Authority were not an agency of the Crown, but s 23(2) allows the Treasurer to exempt the Authority or instruments from tax by Gazette notice. Therefore, the tax status of transactions can vary over time depending on Treasury action. Parties should check the Gazette for tax exemption notices because these materially affect pricing, withholding obligations and net yields.

Records and confidentiality exception

• The Authority must include details in its annual report of any Board advice that the Treasurer or Authority decides not to follow and the reasons for not following it (s 26(1a)-(1b)). However, the Authority may decline to include such details if, in its opinion, the advice or reasons should remain confidential for commercial reasons, though it must state that advice was given but not disclosed (s 26(1c)-(1d)). That carve‑out allows the Authority to avoid disclosure on commercial grounds, but the statute leaves the assessment of “commercial reasons” to the Authority’s judgment, which may raise parliamentary or audit queries.

Third-party knowledge exception under s 11A

• Section 11A protects most transactions from invalidation because of internal defects or irregularities, but not where the counterparty had actual knowledge of the defect or had a relationship that ought to have put it on notice (s 11A(2)). Parties seeking to avoid contractual obligations by alleging internal invalidity must therefore meet the high threshold of actual knowledge or demonstrate a close connection; conversely, counterparties must perform due diligence to avoid the knowledge exception.

Delegation, revocability and proof

• Delegation is permitted to officers or public servants by written instrument and can be further delegated if provided (s 19(1)-(3)). Delegations are revocable at will (s 19(2)(d)). In legal proceedings, an apparently genuine certificate under the Authority’s seal giving particulars of a delegation will be accepted unless shown otherwise (s 19(4)), which expedites proof of delegation but reduces the utility of technical delegation arguments.

Staffing and public sector employment provisions

• The Treasurer can exclude public servants assigned to the Authority from specified provisions of the Public Sector Act 2009 (s 20(2)), so the employment terms of staff on the Authority’s books may differ from usual public sector arrangements. That creates uncertainty for staff and an administrative control point for the Treasurer.

Practical “gotchas” summary

• Do not assume the Authority’s liabilities are off the State’s balance sheet; s 15(1)-(2) guarantees them from General Revenue.
• Check the Gazette for determinations and tax exemptions; many key effects take legal form by Gazette notice (ss 18, 23).
• Be aware that the Authority may settle claims even if they may not be valid in law (s 11(2)(ic)), which can have fiscal consequences.
• Confirm whether regulations exist that enable Treasurer directions affecting borrowing and deposits (s 16(2)).
• Relying on procedural invalidity to avoid a transaction will usually fail unless the counterparty had actual knowledge (s 11A).
• Annual report disclosure can be withheld on “commercial reasons” but must acknowledge non‑disclosure (s 26(1c)-(1d)).

These features require practitioners to combine statutory reading with searches of subsidiary instruments (Gazette notices, regulations) and the Authority’s certified decision records to understand the operative legal position on any transaction or direction.

Compliance with this statute requires attention to procedural formalities, consultation duties, reporting and records obligations, and awareness of the Treasurer’s broad discretions. Below is a practical, text‑grounded compliance checklist for the main stakeholders: semi‑government authorities, counterparties or financiers, the Authority, and the Treasurer’s office.

For semi‑government authorities

• Monitor Gazette notices and regulations: A Treasurer determination published in the Gazette can transfer liabilities or impose directions under ss 16-18. Regularly review the Gazette for notices affecting your authority (s 18(1)(a)(i); s 23(2)). Confirm whether regulations authorise any proposed direction under s 16(2).
• Furnish required financial information: If the Treasurer so requires, provide the Authority with information relating to your financial affairs promptly (s 21). Establish internal processes to ensure timely and accurate provision of these materials.
• Prepare for borrowing or deposit directions: If directed to borrow from or deposit funds with the Authority, accept that the terms and conditions of such transactions will be determined by the Treasurer after consultation with your responsible Minister (s 16(1)-(3)). Maintain internal clearance procedures for negotiating terms once the Treasurer has set them.
• Review existing loan documentation for transfer risk: Section 18 permits the Treasurer to recharacterise existing loans as borrowings from the Authority via Gazette determination, potentially without creditor consent. Ensure security documents and loan covenants are reviewed and that your legal advisers can advise on the implications of any such transfer.
• Maintain records for audit and reporting: Keep comprehensive financial records and be ready to support Auditor‑General audits (s 25). Maintain internal minutes of decisions that may be requested or audited.

For private counterparties, financiers and insurers

• Due diligence on Authority power and knowledge: Section 11A protects counterparties from invalidity claims unless the party had actual knowledge of an internal defect or a relationship implying such knowledge (s 11A(1)-(2)). Nevertheless, perform due diligence to ensure you do not have actual knowledge of any deficiency that could remove the protection.
• Rely on evidentiary certificates but verify where necessary: Certificates by the Under Treasurer are prima facie proof in legal proceedings (s 24). Documents purporting to bear the Authority’s common seal are presumed genuine (s 5(3)). However, a prudent lender or insurer will still confirm signatory authority and seek contractual assurances where transaction size or risk warrants.
• Account for tax treatment and fee regimes: Check whether the Treasurer has published tax exemptions under s 23(2) that affect net returns, and be aware that the Authority or Treasurer may impose fees that can be deducted from amounts otherwise payable (s 22(1)-(2)).

For the Authority (administrators and officers)

• Act under Treasurer direction and approvals: The Authority must operate subject to the Treasurer’s control and direction (s 13). Ensure formal processes exist for seeking and recording the Treasurer’s approvals, and for noting any conditions, variations or revocations under s 11(3).
• Uphold proper financial management standards: The Authority is required to act in accordance with proper principles of financial management and, given its captive insurance role, with a view to avoiding loss (s 12(1)). Implement prudent risk management, accounting and capital adequacy practices aligned to that statutory duty.
• Maintain certified decision records: Keep a certified record of decisions made by the Authority (other than those made by delegates) certified by the Under Treasurer (s 24A(1)-(2)). Ensure minutes of Board advice and Authority decisions are properly recorded and archived to support annual reporting and audit.
• Prepare the annual report and include required disclosures: Deliver the annual report to the Treasurer on time with audited statements (s 26(1)-(2)). If Board advice is not followed, include details and reasons unless the Authority invokes the limited confidentiality exception for commercial reasons (s 26(1a)-(1d)). If the Authority relies on confidentiality, state that advice was given but not disclosed (s 26(1d)).
• Enable Auditor‑General access: Facilitate audits by the Auditor‑General and provide whatever access or documentation is needed, as the Auditor‑General may audit at any time and may exercise audit powers under the Audit Act 1921 (s 25(2)-(3)).

For the Treasurer’s office

• Follow consultation obligations: Before giving directions to semi‑government authorities or rearranging their finances, consult the Minister responsible for that authority (s 16(3); s 18(1) opening words). Document the consultation process and advice received to support transparency and to enable the Authority’s reporting duties under s 26.
• Publish determinations and exemptions properly: Determinations under s 18 and tax exemption notices under s 23 must be published in the Gazette to take effect as intended (s 18(1)(a)(i); s 23(3)). Ensure drafting of Gazette notices is precise about terms and scope; remember that s 18(7) states a determination “has effect according to its terms”.
• Exercise approval and fee powers with record: When providing approvals under s 11 or deciding fees under s 22, record reasons and any conditions imposed, and ensure the Authority can implement the directions and report the outcomes for audit and annual reporting.

Practical checklist and documentation

• Gazette and regulation check: Before acting on any borrowing, deposit or transfer instruction, check the latest regulations and Gazette notices relevant to the Authority (ss 16-18, 23).
• Written approvals and conditions: When providing approvals under s 11, issue written approvals that state whether they are conditional and whether they are general, class‑based or transaction‑specific (s 11(3)).
• Board advice tracking: Create a register of Board advice requests and responses and link these to the annual reporting cycle for disclosure obligations (s 18G; s 26).
• Delegation records: Keep signed instruments of delegation and any evidence of further delegations, and make these available for audit and, if necessary, in litigation (s 19(1)-(4)).
• Tax and fee assessment: Implement procedures that check for Treasurer tax exemption notices and calculate fees that may be charged or offset by the Authority (s 22; s 23).
• Data and information flow: Ensure semi‑government authorities have a channel to fulfil information requests from the Authority (s 21) and that the Authority has a system to record and certify decisions (s 24A).

In sum, compliance under the Act requires active monitoring of Gazette notices and regulations, rigorous record‑keeping and minutes, timely audit and reporting preparation, and structured interactions between the Treasurer, the Authority, semi‑government authorities, and external counterparties. The Act centralises power in the Treasurer and the Under Treasurer‑constituted Authority; therefore, processes must reflect that control architecture.
