What it does
Mechanically, the Government Business Governance Reforms Act 2025 (the Amending Act) performs three discrete functions in the text provided.
First, it formalises that a suite of amendments to a set of existing State statutes have been enacted and incorporated into the authorised (consolidated) versions of those statutes. The Act lists the statutes that are amended and records, repeatedly, that “the amendments effected by this Part have been incorporated into the authorised version of” each named Act (see Parts 2-11 and the individual provisions cited in those Parts, for example ss 4-10, 11-23, 24-26, 27-33, 34-39, 40-41, 42-48, 49-55, 56-61, 62-68). The effect of those clauses in the Amending Act, as expressed in the legislative text, is not to restate amendment text in the Amending Act itself but to declare that the amendments now appear in the authorised (consolidated) text of the target Acts.
Second, the Amending Act sets its commencement to be by proclamation: “The provisions of this Act commence on a day or days to be proclaimed” (s 2). That means the operative date or dates for individual provisions will be fixed by executive proclamation rather than by fixed calendar dates contained in the Act itself.
Third, the Amending Act is self‑limiting by temporal expiry: it is repealed on the fifth anniversary of the day on which the last uncommenced provision of the Act commenced (s 3). That creates a statutory sunset: the Amending Act will cease to exist after that five‑year period measured from the final commencement of any uncommenced provision.
The Act also contains a short Preliminary (s 1) that provides the short title, and a short Transitional Part (Part 12) comprised of definitional material (s 69) and a substantive transitional protection dealing with how amendments that alter directors’ terms of office apply to existing directors (s 70). Section 70 preserves the terms and conditions under which existing directors hold office against retrospective application of changes to maximum service periods, both for Government Business Enterprises (see s 70(2) and the start‑point tied to commencement of s 23 of the Amending Act) and for State‑owned Companies whose governing documents are amended “as required under the Amending Act” (see s 70(3)). The definitions in s 69 identify the target Acts and enumerate what the Amending Act calls “State‑owned Company” and cross‑refer to the Government Business Enterprises Act 1995 for the term Government Business Enterprise.
