Geraldton Sailors and Soldiers' Memorial Institute (Trust Property Disposition) Act 1938

The Act is short and conceptually tight. The central concepts the text uses are: (1) defined trust property; (2) a specific creditor and a defined existing indebtedness; (3) a power to apply proceeds of sale of trust land to repay that indebtedness; (4) contingent powers to sell investments or to borrow secured on investments if land-sale proceeds are insufficient; and (5) rules for holding any surplus proceeds on trust for existing purposes or for Governor-approved alternative purposes.

Defined trust property. The Act works off property vested in the Trustees by s 5 of the principal Act. It defines, for present purposes, “the said land” as the parcels described in the Schedule and “the said chattels and money” as the chattels and money and all interest and income thereon vested under s 5 of the principal Act (s 2). The Schedule gives a precise land description, including plan and Certificate of Title details (Schedule).

Specified creditor and indebtedness. The Act defines the Bank as National Bank of Australasia Limited (s 2). The preamble records that the Trustees were indebted to that Bank in about £3,390 by way of an overdraft on a current account at the date of commencement. Sections 3 and 4 make repeated reference to repayment of advances made by the Bank by way of an overdraft together with interest owing up to repayment or up to the date of repayment as relevant (ss 3-4).

Application of net proceeds of land sale. Section 3 authorises the Trustees, when they sell their estate and interest in the said land pursuant to the principal Act’s s 6 power, to pay, use and apply the net proceeds of that sale in or towards repaying the Bank’s advances and interest owing to the date of such repayment (s 3). The Act therefore ties the land sale power in the principal Act to a single destination for net proceeds: bank repayment.

Contingent sale or borrowing against investments. Section 4 creates two contingent options if land-sale net proceeds are insufficient: (a) sell chattels and investments or such parts thereof as necessary and apply net proceeds to repay remaining advances and interest (s 4(a)-(b)); or (b) in lieu of selling investments, borrow on the security of the investments an amount sufficient to repay the remaining balance and apply the borrowed sum to repay the Bank (s 4(c)). The Act thus contemplates either monetisation of investments or encumbrance of investments to raise cash for bank repayment.

Treatment of surplus. Section 5 addresses the flip-side: if sale of investments yields net proceeds in excess of the amount required to repay the Bank after applying land-sale proceeds, the surplus is to be held by the Trustees in trust for the same purposes as the said money under s 5(b) of the principal Act, or for other purposes that the Governor may approve by Order in Council upon application by the Trustees (s 5). That introduces an executive discretion (Governor) to reallocate surplus proceeds away from original trust purposes, but only upon application by the Trustees and by Order in Council.

Cross-references. The Act must be read with the principal Act (s 1). The Trustees are those constituted by s 4 of the principal Act and some operative steps (sale of land) are to occur pursuant to s 6 of the principal Act (s 3, s 2). The Act therefore operates as a supplement to the trustee and disposal powers provided in the 1929 Act, but does not restate the principal Act’s broader trustee duties or sale process.

Temporal and descriptive features. The preamble fixes the target indebtedness as that owing at the date the Act commenced; ss 3 and 4 refer to advances owing “at the date of the commencement of this Act” and to interest up to the date of repayment (preamble; s 3). The Notes explain that the currency referenced in the preamble is the pre-decimal currency and is of historical interest only (Notes).

In sum, the main concepts are targeted statutory authorisation to turn specified trust real property, chattels and investments into cash (or to borrow against investments) to satisfy a defined bank overdraft existing at a defined date, and the holding of any surplus for trust purposes or for Governor-approved alternatives.

The Act is tightly focused on a small set of parties named or defined in the text, and on a particular corpus of trust property described in the Schedule. The principal actors and affected interests are the following.

• The Trustees of the Geraldton Sailors and Soldiers’ Memorial Institute (the Trustees). The Trustees are the statutory office-holders constituted under s 4 of the principal Act, and the Act expressly confers powers on those Trustees to sell the land and, if necessary, to sell or encumber investments or chattels and apply proceeds to repaying the Bank (s 2; ss 3-4). The Trustees bear the direct operational obligations and decision-making authority created by the Act.
• The National Bank of Australasia Limited (the Bank). The Bank is the specifically defined creditor under the Act (s 2). The Bank is the permitted recipient of the net proceeds of sale of the specified land and of any additional funds raised by sale of chattels or investments or by borrowing secured on investments, to the extent necessary to discharge the advances and interest specified (ss 3-4).
• Beneficiaries of the trust purposes declared in s 5(b) of the principal Act. Section 5 of the present Act provides that any surplus proceeds from the sale of investments exceeding the amount required to repay the Bank must be held by the Trustees in trust for the same purposes as the money under s 5(b) of the principal Act, or for such other purposes as approved by the Governor on application by the Trustees (s 5). The beneficiaries or purposes customarily served by the original trust money therefore retain a continuing claim on surplus funds, subject to Governor-approved reallocation.
• The Governor (executive). The Governor has a discrete decision role under s 5, being able to approve other purposes for any surplus proceeds by Order in Council on application by the Trustees (s 5). That provides a mechanism for executive reallocation of surplus trust funds.
• Persons with legal or equitable interests in the specified land, chattels or investments. The Schedule identifies the land precisely. Any person whose proprietary or security interests affect the land or investments would be materially affected by sales or encumbrances authorised by the Act, although the Act itself does not catalogue such third-party interests (Schedule; ss 3-4).
• The public fisc and administrative bodies. There are no express provisions conferring financial consequences on the State or its departments within the text beyond the Governor’s Order in Council power (s 5). The Act does not create a State indemnity or a requirement for public funds.

Who does not get affected by this Act. The Act does not purport to apply to any trusts or properties other than those vested in the Trustees by s 5 of the principal Act and the land described in the Schedule (s 2; Schedule). It does not authorise disposals to satisfy other creditors, nor does it create continuing powers beyond those specified. The Bank named is specifically the National Bank of Australasia Limited (s 2); the Act does not specify successors in title, although in practice a successor bank might seek to assert entitlement under contract or outside this text.

Who pays and who decides. Financially, the Trustees are the payer: they must use net sale proceeds or borrowed funds to repay the Bank (ss 3-4). Decision-making rests with the Trustees as to sale and borrowing actions within the authority granted, subject to any procedural or fiduciary constraints contained in the principal Act (s 1; s 2). The Governor decides only on applications to change the charitable purposes to which any surplus is to be applied (s 5).

Geographic and temporal scope. The Act concerns land in Geraldton specifically (Schedule) and an indebtedness existing at the date of commencement, 25 October 1938 (preamble; Notes). It is therefore narrow in both geographic and temporal scope.

The Act principally creates authorising rights and directions for application of proceeds, rather than specifying a broad set of continuing statutory duties. The operative provisions allocate rights to act and impose obligations about destination of funds.

Rights conferred on the Trustees

• Power to apply land-sale proceeds to bank repayment. Where the Trustees sell their estate and interest in the said land pursuant to the power in s 6 of the principal Act, they are expressly authorised to pay, use and apply the net proceeds of such sale in or towards repaying advances made by the Bank and interest owing up to repayment (s 3). That is a statutory right to redirect trust land-sale proceeds to satisfy a defined outstanding liability.
• Power to sell chattels and investments. If land-sale net proceeds are insufficient, the Trustees are authorised to sell the said chattels and investments or so many as necessary and to apply net proceeds to repay the remaining balance of advances and interest (s 4(a)-(b)).
• Power to borrow secured on investments as an alternative. The Trustees may, in lieu of selling the investments, borrow on the security of those investments an amount sufficient to repay any balance of advances and interest and apply the borrowed sum to repayment (s 4(c)). This is an express statutory power to encumber trust investments for the specific purpose of discharging the named indebtedness.

Obligations imposed on the Trustees

• Apply net proceeds to the Bank. The Trustees are directed to apply the net proceeds to repay advances and interest to the Bank (ss 3-4). The statutory text ties application of funds to the Bank and to repayment of the indebtedness existing at commencement (preamble; s 3).
• Hold surplus on trust for designated purposes. If investments are sold and net proceeds exceed the amount required to repay the Bank after application of land-sale proceeds, any surplus must be held by the Trustees in trust for the same purposes as the said money under s 5(b) of the principal Act unless the Governor approves other purposes on application (s 5). That is an obligation to preserve surplus funds for trust purposes, subject to specified executive reallocation.

Discretions and decision points

• Trustees choose whether to sell investments or to borrow on their security when land-sale proceeds are insufficient (s 4). The Act leaves the operational choice to the Trustees.
• The Governor has discretion to approve alternative purposes for any surplus held after repayment, but only on application by the Trustees and by Order in Council (s 5).

Matters not specified by the Act but relevant to duties

• The Act uses the term “net proceeds” multiple times (ss 3-5) but does not define what deductions are to be made from gross sale receipts to arrive at net proceeds. That leaves calculation of fees, costs of sale, taxes (if any), or distribution costs to be addressed either by the Trustees under their general powers and duties or by reference to the principal Act or general trust and property law.
• The Act requires application of sale proceeds to repayment of advances and interest “owing by the Trustees at the date of the commencement of this Act” and interest “up to the date of such repayment” (preamble; s 3). Calculating the precise amount of interest payable up to repayment will require accounting choices that the Act does not detail.

Absence of penalty or enforcement provisions

• The Act contains no express penalty provisions, criminal sanctions, or statutory enforcement mechanism for breach of its directions. It confers powers and prescribes destinations for proceeds, but it does not set out consequences for non-compliance within the text. Enforcement and remedies therefore would arise under general trust law, the principal Act or other applicable statutory or common law mechanisms outside the text.

Relationship to the principal Act

• The Act must be read with the principal Act (s 1) and expressly depends on the Trustees constituted by s 4 of that Act and the sale power in s 6 of that Act (s 2; s 3). Duties and rights under this instrument are therefore intended to operate alongside the Trustee powers and obligations in the 1929 Act.

In short, the Act confers rights to convert or encumber specific trust assets to discharge a specific pre-existing bank overdraft and requires Trustees to hold any surplus for trust purposes or for Governor-approved alternatives, while leaving many implementation details (net proceeds calculations, sale processes, borrowing terms) to be determined by the Trustees under the broader statutory and common law framework.

The Act contains no express penalty provisions, enforcement mechanisms, or administrative sanctions. Its operative prescription is authorising and directional rather than punitive or supervisory.

• No criminal or civil penalties specified. The text does not create offences, fines, or other statutory penalties for failure to comply with the directions about sale or application of proceeds. It provides authority to the Trustees to sell or borrow for the narrow purpose of repaying the Bank and specifies the destination of surplus funds, but it does not attach a statutory sanction for failing to do so (ss 3-5).
• No detailed procedural enforcement. The Act does not articulate procedures for oversight, reporting, audit, or ministerial approval of sales, borrowings or the calculations of net proceeds. The sole external oversight mechanism it contains is the Governor’s power to approve alternative uses for surplus funds by Order in Council on application from the Trustees (s 5). The Act does not, however, require the Governor’s involvement for the sale of land, chattels or investments, nor for borrowing secured on investments; those actions are to be carried out by the Trustees under the authority granted.
• Remedies under general law. Because the instrument lacks internal enforcement provisions, any remedy for improper application of funds, misappropriation, or breach of fiduciary duty would arise outside the Act: for example, under the principal Act’s provisions (which this Act must be read with) or under general trust and equity principles. The Act itself does not specify that route, but the absence of statutory sanctions implies that enforcement would be through ordinary legal processes or through mechanisms within the principal Act (s 1; s 2).
• Bank’s entitlements. The Act directs that net proceeds be applied “in or towards the repayment to the Bank of advances made by the Bank … owing by the Trustees at the date of the commencement of this Act, together with the interest payable … up to the date of such repayment” (s 3). That language creates a statutory entitlement for the Bank to receive those net proceeds, but it does not create a statutory enforcement method for ensuring the Trustees comply beyond the statutory grant of power to the Trustees to sell and apply proceeds. The Bank’s practical remedies (for example, enforcement of securities, contractual remedies, or claims in court) are not set out in this Act.
• Practical implication: self-executing directions with reliance on trustee action. The Act’s design presumes the Trustees will exercise the powers granted. It gives them authority to generate funds and directions for applying those funds, but it leaves compliance and enforcement to the existing legal context: the Trustees’ statutory status under the principal Act, general law duties, and ordinary remedies available to creditors and beneficiaries.

Because the Act is narrowly procedural and authorising, those engaging with it should be aware that statutory recourse for non-performance is not spelled out in the text and that any enforcement or dispute resolution will be conducted under the broader legal framework rather than under special enforcement provisions within this Act.

The Act is explicitly designed to be read together with the Geraldton Sailors and Soldiers’ Memorial Institute Act 1929 and it refers to particular provisions of that principal Act. Other cross-references and compilation notes in the text indicate limited interactions with other written laws.

Primary statutory interaction

• Read with the principal Act. Section 1 states that the Act “shall be read with the Geraldton Sailors and Soldiers’ Memorial Institute Act 1929 (No. 38 of 1929), hereinafter referred to as the principal Act” (s 1). Throughout the instrument, the Trustees are defined as the Trustees constituted by s 4 of the principal Act and the authority to sell land is stated to be pursuant to s 6 of the principal Act (s 2; s 3). Therefore, this Act modifies or supplements the operation of the principal Act by granting specific direction about application of sale proceeds and authorising sale or borrowing against investments for a stated purpose.
• Dependence on principal Act powers and trustee status. The operation of ss 3-4 presumes the existence of the statutory trustee office-holders and the s 6 sale power in the principal Act. Any procedural requirements, qualifications of trustees, or limitations on sale powers in the principal Act will interact with and potentially condition the exercise of the powers this Act authorises (s 1; s 2; s 3).

Other statutory references in the compilation notes

• Related Acts listed. The Notes list the Geraldton Sailors and Soldiers’ Memorial Institute Lands Vesting Act 1933 and the Geraldton Sailors and Soldiers’ Memorial Institute Enabling Act 1934 as related Acts. The text does not specify how those Acts interact substantively; however, their listing indicates a legislative corpus concerning the same institute and likely the trust property and powers of Trustees (Notes).
• Standardisation of formatting amendment. The Compilation table notes an amendment by the Standardisation of Formatting Act 2010 (No. 19 of 2010, s 4), which altered a heading (Schedule heading amended). That is an editorial amendment and does not change substantive operation (Notes).
• Historical currency note. The Notes state the reference to the old currency is of historical interest only and has not been amended under the Decimal Currency Act 1965. This is an interpretative aid rather than an operative interaction (Notes).

Property and trust law interaction

• Title and land description. The Schedule provides the land description and cites Certificate of Title Volume 768, folio 48 (Schedule). Transfers, sales and the creation of security interests over land and investments authorised by this Act will operate within the ordinary property law mechanisms for effecting transfers and registering dispositions or charges, subject to the Act’s authorisation. The Act does not itself prescribe conveyancing formality, registration steps or how to discharge any existing registered encumbrances: those matters remain governed by property and titling law external to the Act.
• Interaction with trustee law and fiduciary duties. The Act authorises specific actions for the Trustees but does not displace the Trustees’ existing duties under the principal Act or under general trust law. In practice, exercise of sale or borrowing powers will need to be consistent with any fiduciary standards and procedural requirements found in the principal Act or binding equitable principles, although the present text does not recite those duties explicitly.

Interaction with executive powers

• Governor’s Order in Council. Section 5 permits the Governor, on application by the Trustees, to approve other purposes for any surplus by Order in Council. That creates an interaction with executive decision-making processes and the procedures for Orders in Council under general governance law.

What the Act does not do

• It does not purport to vary or repeal the principal Act in general; rather, it supplies a limited authorisation tied to a specific indebtedness and specific property (s 1; s 2; ss 3-5).
• It does not provide detailed procedural rules for sale, borrowing, calculation of net proceeds, or registration of securities; those matters interact with general property and trust law but are not specified here.
• It does not create a new statutory enforcement regime; enforcement interactions will therefore rely on the principal Act, general trust law, contract law or property law mechanisms.

In summary, the Act operates as a narrowly targeted supplement to the principal Act, authorising conversion or encumbrance of described trust assets to satisfy a specified bank overdraft, while relying on the principal Act and ordinary property and trust law for the mechanics, formalities and potential remedies.

The Act’s own text and the compilation notes record a minimal amendment history. The instrument was enacted in 1938 and later received a formatting amendment; the compilation table records the relevant dates and instruments.

Original enactment and commencement

• The Geraldton Sailors and Soldiers’ Memorial Institute (Trust Property Disposition) Act 1938 received assent and commenced on 25 October 1938 (Compilation table). The preamble and operative provisions make clear the Act’s immediate purpose at that time: to authorise Trustees to sell specified trust property and apply the proceeds to discharge an overdraft owing to the National Bank of Australasia Limited that existed at commencement (preamble; ss 1-5).

Reprints and editorial amendments

• Reprint. The compilation notes record a reprint: “Reprint 1: The Geraldton Sailors and Soldiers’ Memorial Institute (Trust Property Disposition) Act 1938 as at 9 May 2003” (Compilation table). This indicates the Act was included in a statutory reprint up to that date.
• Formatting amendment. The Schedule heading was amended by the Standardisation of Formatting Act 2010, s 4 (No. 19 of 2010). The Compilation table records the Standardisation of Formatting Act 2010 s. 4 amendment with commencement information (Notes). The text also contains the bracketed note “[Heading amended: No. 19 of 2010 s. 4.]” adjacent to the Schedule reference, indicating that amendment was editorial in nature and related to formatting rather than substantive content.

Currency note

• The compilation notes include a specific observation about the currency referenced in the preamble: “The reference to the old currency is of historical interest only and so has not been amended under the Decimal Currency Act 1965.” That is a non-substantive interpretative note about the historic £ currency figure cited in the preamble.

No substantive substantive amendments recorded in the text

• Beyond the formatting amendment recorded in 2010 and the historical and reprint notes, the compilation table and notes do not record any substantive amendments to the Act’s operative provisions (ss 1-5, Schedule). The Act remains as originally structured with the narrow authorisations and directions set out in 1938.

Implication for practice

• The limited amendment history suggests the Act has continued to operate in its original form with minor editorial modernisation. Users should treat the Act as a historic, specific authorisation that has not been substantively broadened by subsequent statute within the compilation materials provided. Any modern action under the Act should take account of the continuing references to the principal Act and the specific identification of the Bank and land in the Schedule.

The text and compilation notes supplied do not record any litigation, judicial consideration, or case law that interprets or applies this Act. The instrument itself contains no appended case references, and the Notes and Compilation table do not list judicial decisions.

What the source says

• The Act’s Notes and Compilation table set out enactment dates, a reprint, and a formatting amendment; they do not record any cases or litigation history. The Schedule includes a bracketed editorial note about a heading amendment, but no litigation materials are included.

Consequences of absence in the source

• Because there is no litigation history provided in this text, the Act’s terms as written must be interpreted on their face and in conjunction with the principal Act and general law. Any uncertainties in the Act’s language, such as the meaning of “net proceeds” or the procedures for borrowing on the security of investments, have not been clarified by reported judicial decisions in the materials supplied.
• The absence of recorded litigation in this compilation does not mean no court proceedings have ever arisen in relation to these provisions; it only means none are noted within the supplied statutory compilation. For advice or certainty about how courts might construe particular terms, practitioners would need to search legal databases, case reports and other jurisdictional sources beyond the text provided.

Practical note for users

• In the absence of authoritative judicial interpretation contained in this text, parties exercising powers under the Act should document the basis for their decisions (calculations of net proceeds, sale processes, decision to sell versus borrow, security documentation) to provide evidentiary support if a dispute arises. Where the Act cross-references the principal Act for trustee constitutions and sale powers, any relevant case law under the principal Act or general trust law would be the natural place to look for interpretative guidance; however, such materials are not included in this compilation.

The Act’s brevity and specificity create a number of practical traps for practitioners, trustees and interested parties. These issues arise because the Act authorises significant transfers of value but leaves multiple implementation details unaddressed. The following are concrete “gotchas” grounded in the statutory text.

Net proceeds ambiguity. The Act repeatedly refers to “net proceeds” of sales of the land and of investments (ss 3-5) but does not define what deductions are permissible in arriving at net proceeds. Ambiguity points include:

• Which costs of sale may be deducted (brokerage, auctioneer fees, legal fees, marketing, conveyancing, taxes or duties, settlement adjustments).
• Whether costs associated with securing or realising encumbrances or discharge of existing registered interests are to be treated as deductions.
• How to treat interim receipts and receipts applied to cover sale costs. Practical consequence: trustees must make and document principled choices about deductions, since these affect the Bank’s entitlement and the size of any surplus held on trust (ss 3-5).

Timing and calculation of interest. Section 3 authorises application of net proceeds to repay advances “together with the interest payable in respect of such advances and owing up to the date of such repayment” (s 3). The Act does not stipulate:

• The rate at which interest is to be computed for the period up to repayment.
• Whether interest is simple or compounded, or whether any other bank charges are included as interest. Practical consequence: trustees must reconcile the Bank’s accounting with their own calculation and preserve contemporaneous records.

Identity of the Bank and successors. The Act defines the Bank as the National Bank of Australasia Limited (s 2). It does not address successor entities, mergers or transfers of the Bank’s business or rights. Practical consequence: where the named bank has undergone corporate changes since 1938, trustees will need evidence of the current entity entitled to repayment before applying proceeds to a different party.

Scope limited to named assets and indebtedness. The Act binds the Trustees only in relation to the land described in the Schedule and the chattels and money vested by s 5 of the principal Act (s 2; Schedule). It also ties the authorised application of proceeds to advances “owing by the Trustees at the date of the commencement of this Act” (preamble; s 3). Practical consequence: this authority does not permit applying proceeds to discharge subsequent indebtedness or other creditors unless the trustees obtain further authority or the Governor approves alternative surplus purposes under s 5. Trustees must check that the indebtedness being repaid is the one within the Act’s temporal scope.

Borrowing on security of investments raises procedural and legal mechanics. Section 4(c) permits borrowing secured on the investments instead of selling them (s 4(c)). The Act does not specify:

• The form of security required or registration and priority consequences under property law.
• Limits on interest rates or lending terms.
• Whether the Trustees have power under the principal Act to create a security interest (the Act refers to the Trustees constituted under s 4 of the principal Act but does not reproduce those powers) (s 1; s 2). Practical consequence: trustees must ensure they have statutory authority to create charges, comply with registration formalities and document the borrowing to avoid invalid security or challenge.

Surplus re-purposing requires Governor involvement and Order in Council. Section 5 allows the Governor, on application by the Trustees, to approve other purposes for surplus funds by Order in Council (s 5). Gotchas include:

• The Act does not prescribe criteria for the Governor’s approval.
• No timeline or process is specified for the application or the Governor’s decision. Practical consequence: trustees seeking to use surplus for purposes other than those in s 5(b) of the principal Act must allow for possible delay and uncertainty in securing an Order in Council.

No statutory enforcement mechanism. The Act contains no penalties or enforcement provisions (ss 3-5). Gotcha:

• If Trustees misapply proceeds, the Act does not set out a statutory enforcement path; remedies must be sought under the principal Act or general law, which adds procedural complexity and potential delay.

Dependency on the principal Act. The Act repeatedly cross-references the principal Act (s 1; s 2; s 3). Gotcha:

• Any limitations, qualifications or procedural conditions in the principal Act (for example, regarding trustee vacancies, composition, or procedural steps for sale under s 6) will affect the operation of this Act. The present instrument does not restate those conditions. Practical consequence: trustees must consult the principal Act and comply with its requirements before acting under the powers here.

Historic currency reference. The preamble records the indebtedness in pre-decimal currency (pound sterling) and the Notes state this reference is of historical interest only (Notes). Gotcha:

• Practitioners must interpret the historical figure in contemporary accounting terms for modern audits and records.

Title and registration details. The Schedule specifies Certificate of Title Volume 768, folio 48 (Schedule). Gotcha:

• Sales, mortgages or charges will have to be effected under current land title and registration law and the Schedule’s references must be reconciled with current title records; the Act does not update or register the title itself.

Taken together, these “gotchas” mean that trustees, banks and beneficiaries should document decisions, seek confirmation of the entitled bank entity, reconcile interest calculations, ensure compliance with the principal Act and with property registration formalities, and allow for potential delay or uncertainty when seeking Governor approval for repurposing surplus funds.

The Act confers powers and prescribes the destination of proceeds, but leaves many implementation details to the Trustees and to the broader legal framework. The following practical steps, drawn from the statutory text, outline a compliance pathway consistent with the Act’s directions.

1. Confirm the statutory foundation and parties

• Read the Act together with the Geraldton Sailors and Soldiers’ Memorial Institute Act 1929. Section 1 requires the Act to be read with the principal Act, and the Trustees referred to are those constituted under s 4 of that Act (s 1; s 2). Confirm that the current Trustees are properly appointed under the principal Act before exercising the powers granted by this 1938 Act.

2. Verify the indebtedness and the Bank’s entitlement

• Identify the advances owed to the Bank “at the date of the commencement of this Act” as recorded in the preamble and calculate the balance properly, including interest “up to the date of such repayment” (preamble; s 3). Confirm the identity and legal capacity of the Bank, noting the Act defines the Bank as the National Bank of Australasia Limited (s 2). If the Bank’s corporate identity has changed since 1938, obtain documentation showing who is now entitled to receive repayment (for example, nominee, successor bank, assignee).

3. Plan the land sale pursuant to the principal Act

• Section 3 conditions application of land-sale net proceeds on sale “pursuant to the power conferred by section 6 of the principal Act.” Before selling, ensure compliance with any procedural steps or approvals required by the principal Act s 6 (s 3). Obtain and preserve records showing that the sale was conducted pursuant to the principal Act’s sale power.

4. Calculate net proceeds and interest carefully

• Document the calculation of “net proceeds.” Decide and record which sale costs will be deducted (legal fees, agents’ commissions, advertising, taxes or duties if any). Because the Act refers to “net proceeds” without defining them, maintain itemised accounts showing gross receipts, deductions, and the resulting net proceeds for audit trail (ss 3-5).
• Calculate interest payable on the advances up to the date of repayment and document the methodology used (simple or compounded, daily or monthly computation), keeping correspondence with the Bank that evidences agreement as to amounts when possible (s 3).

5. Apply land-sale net proceeds to repayment

• Once the land sale has settled and net proceeds are determined, apply those net proceeds “in or towards the repayment to the Bank” of advances and interest as authorised by s 3. Clearly document payment receipts and bank acknowledgements showing that the advances and interest were repaid from the proceeds.

6. If land proceeds are insufficient, choose between sale of investments/chattels or borrowing

• Section 4 authorises either sale of chattels and investments or borrowing on the security of investments (s 4). Evaluate which option is commercially and legally preferable, taking into account:
  • Valuations of investments and chattels.
  • Costs and timing of selling versus borrowing.
  • Whether the Trustees have power under the principal Act to create security interests and the registration steps required to create enforceable security.
• Document the decision-making process, including minutes of trustee meetings and professional advice obtained.

7. If selling investments or chattels

• Conduct sales transparently and with appropriate commercial processes to secure market value, record gross receipts, deductions and net proceeds, and apply net proceeds to the Bank as required by s 4(b). Preserve sale contracts, settlement statements and bank receipts.

8. If borrowing on security of investments

• Ensure the Trustees have authority under the principal Act to create a security interest over the investments. Negotiate loan documentation, create and register security in accordance with property and registration laws, and apply the borrowed funds to repay the Bank (s 4(c)). Retain all loan and security documentation, including registration evidence.

9. Handle any surplus in accordance with s 5

• If the investments’ sale net proceeds exceed the repayment requirement after applying land-sale proceeds, hold the surplus on trust for the same purposes as the said money under s 5(b) of the principal Act (s 5). If the Trustees wish to use the surplus for other purposes, prepare and lodge an application to the Governor and seek an Order in Council approving alternative purposes as provided by s 5. Document the application and any Order in Council.

10. Maintain comprehensive records and transparency

• Keep detailed records of all valuations, sale processes, minutes of trustee decisions, calculations of net proceeds, interest computations, payment receipts, loan and security documents, and any communications with the Bank and the Governor’s office. Because the Act contains no statutory enforcement mechanism, robust documentation is the primary defence to any future dispute.

11. Seek legal and accounting advice where ambiguity arises

• Given the Act’s silence on matters such as the definition of “net proceeds,” interest calculation methodology, and the mechanics of creating security interests, obtain legal and accounting advice to justify approaches taken and to ensure compliance with the principal Act, property registration requirements and general trust law duties.

12. Verify title particulars and registration implications

• Use the Schedule’s Certificate of Title reference (Volume 768, folio 48) to identify current title and any registered encumbrances that must be dealt with before sale or the creation of security (Schedule). Ensure compliance with conveyancing and registration formalities at settlement.

13. Consider beneficiaries’ interests

• Where surplus funds are to be held for the purposes in s 5(b) of the principal Act, communicate with the relevant stakeholders or beneficiaries as appropriate and manage the surplus funds in accord with the declared purposes and fiduciary duties.

Following these steps will align Trustee actions with the statutory authorisations and constraints set out in the Act (ss 1-5; Schedule) and will preserve an evidentiary trail should questions about the exercise of these powers arise later.
