Geelong Performing Arts Centre Trust Act 1980

The Act organises around a small set of interlocking legal concepts: the Trust as a statutory corporation, the Centre as defined land and buildings, statutory functions and enumerated powers, Ministerial control, financial controls through a Trust account and Treasurer approvals, governance composition rules, administrative powers to make by-laws and regulations, and specific interactions with other Acts.

Trust as statutory corporation. Section 3(1) creates the Trust as a body corporate with the usual legal capacities to hold land and enter contracts. Section 3(2) makes the Trust the legal successor to the Institute, so pre-existing rights, duties and trusts pass automatically on commencement under s 4(1)(d)-(e) and s 4(2).

Definition of Centre. The Act identifies the Centre by reference to particular parcels of land and improvements in s 2. That site-based definition constrains the Trust’s statutory remit to the specified Crown Grant and other described land and their buildings and improvements, s 2 (definition of “centre”).

Functions and powers. The Trust’s functions are set out in s 5: complete construction, care, improve and maintain, control and manage the Centre, present and produce performances, promote use of the Centre and perform other functions as the Minister approves, s 5(a)-(f). The powers necessary to deliver those functions appear in s 6(1) (general power) and s 6(2) (listed powers). The listed powers are broad and practical: property acquisition and leasing, commercial activities within the Centre, procurement of equipment, licensing (including liquor licences) s 6(2)(a)-(f), intellectual property acquisition and exploitation s 6(2)(f), contracting s 6(2)(g), audiovisual and broadcasting apparatus s 6(2)(h), printing and publication s 6(2)(i), commissioning works s 6(2)(j), operating museums and music libraries s 6(2)(l), real property acquisition s 6(2)(m), and accepting gifts s 6(2)(n).

Ministerial and Treasurer controls. Two central control nodes are: the Minister’s general direction and control over the Trust in s 6A; and the Treasurer’s approval role over investments and borrowing in s 15(3) and s 16(1)-(6). The Trust’s operational autonomy is therefore qualified by executive oversight on broader policy and financial risk.

Governance design. The Trust must have 7 to 11 members appointed by Governor in Council on Ministerial nomination, s 7(1). Section 7(2) mandates that one member be nominated from a panel of local government nominees, with the panel composition specified by local councils as listed in s 7(2)(a)-(d). Section 7(2A) and (2B) impose qualitative composition requirements on the other Minister-nominated members: at least half must be experienced in education, business administration and finance, or be distinguished performing arts practitioners; others must demonstrate active interest and leadership in the performing arts in the Centre’s geographic area. Term length is up to three years, re-appointment permitted, with a nine-year consecutive service cap unless exceptions apply, s 7(3)-(3A). The Governor in Council may revoke appointments at any time, s 7(5).

Corporate administration. The Trust meets at least four times per calendar year, a majority constitutes a quorum, and the Chairman (President) presides and holds a casting vote in s 9 and s 11(1)-(3). Members receive prescribed travelling expenses and fees as regulated, s 12. By-laws may regulate admission and conduct within the Centre, s 18A. The Trust may establish sub-committees and delegate functions to them, s 13.

Financial mechanics. The Trust must maintain the Geelong Performing Arts Centre Account in an authorised deposit-taking institution, s 15(1)-(2). Investments of monies require Treasurer approval, s 15(3). Money in the account must be applied for costs and expenses of performing its functions, s 15(5). Borrowing requires Treasurer approval and can include overdrafts from ADIs, s 16(1)(a)-(b). The Treasurer may, with Governor in Council approval, guarantee Trust borrowings, s 16(3). Guarantees, once called, are paid from the Consolidated Fund and the Treasurer may recover sums from the Trust, s 16(4).

Staffing and employment. The Trust may, with Ministerial approval, employ a general manager who is the chief executive officer and who has day-to-day control of Trust affairs subject to the Trust’s general direction, s 14(1)-(1A). The Trust can contract specialists on part-time or limited terms and fix remuneration and allowances for staff, s 14(2)-(3). Importantly, employees are not within the Public Administration Act 2004 for their employment relationship with the Trust, s 14(4).

Regulatory interactions and film regime. The Act is declared filming approval legislation within the Filming Approval Act 2014, s 2A. Regulations concerning film permits under this Act must not be inconsistent with film friendly principles as defined in the Filming Approval Act, s 19(2) and s 2 (definitions of film friendly principles and film permit).

Transitional and saving provisions. On commencement the Institute’s council members left office, the Institute was dissolved and the Trust stepped into all property, liabilities and trusts. Existing trusts and gifts to the Institute operate as if made to the Trust, s 4(1)(b)-(e) and s 4(2). A transitional saving keeps members in office through existing terms after the 1997 amendment, s 20.

The Act therefore marries a statutory public-purpose corporate vehicle with commercial toolsets and public-sector oversight nodes. Main concepts are the statutory Trust, defined site and remit, a broad set of operational powers, ministerial and treasury levers, prescribed governance composition, and discrete interactions with other statutory regimes such as liquor regulation, Crown reserves, public sector laws and filming approvals.

This Act allocates rights, powers and responsibilities across several distinct categories of actors. The legal and practical effects fall on the Trust itself, its members and employees, local government bodies named in s 7(2), the Minister and Treasurer, donors and grantors to the old Institute or to the Trust, creditors and lending institutions, users of the Centre and prospective film-makers seeking film permits. Each category bears different actions and potential burdens under the Act.

The Trust. The Trust is the primary legal subject created by the Act, receiving property and legal incumbencies from the Institute (s 3(1), s 4(1)(d)). It is obliged to perform the functions in s 5 and to confine spending of the Geelong Performing Arts Centre Account to those functions (s 15(5)). The Trust is also the party authorised to enter commercial arrangements, apply for licences (including liquor licences) and to borrow money with Treasurer approval (s 6(2)(e), s 6(2)(g), s 16(1)-(2)). The Trust bears operational responsibilities for care, improvement and management of the Centre and for producing and promoting performances (s 5).

Trust members and office-holders. Members are appointed by the Governor in Council on the Minister’s nomination and are subject to composition rules, term limits, vacation events and possible revocation by Governor in Council, s 7, s 8, s 9. Those appointed must meet statutory eligibility criteria: Minister must choose at least half of the “other” Minister nominees from persons with specified experience (education; business administration and finance; or distinguished performing arts practitioners), s 7(2A), and remaining members must demonstrate active interest and leadership in the performing arts in the geographical area served by the Centre, s 7(2B). Members face potential vacancy if they miss four consecutive meetings without leave (s 8(1)(f)), and must notify the Minister if leave is granted for more than three meetings, s 8(2).

Local government bodies. The City of Greater Geelong, Golden Plains Shire, Surf Coast Shire and Borough of Queenscliffe are given a role in member selection. Section 7(2) requires a Minister-nominated Trust member to be selected from a panel of nominees: three from City of Greater Geelong, one from Golden Plains, one from Surf Coast and one from Queenscliffe. Those local governments therefore directly influence representation and the local voice on the Trust.

Minister and Treasurer. The Minister holds general direction and control of the Trust in the performance of its functions and powers, s 6A. The Minister also nominates Trust members to be appointed by the Governor in Council and approves appointment of the general manager, s 7(1), s 14(1). The Treasurer has approval powers for how the Trust may invest account funds and for borrowing and overdraft facilities and may, with Governor in Council approval, give guarantees for the Trust’s borrowings that expose the Consolidated Fund, s 15(3), s 16(1)-(3). These provisions make the Minister and Treasurer key decision-makers who affect the Trust’s operational and financial freedom.

Donors, grantors, and patrons. All donations, gifts, dispositions and trusts lawfully made to the Institute before or after commencement are to be treated as if made to the Trust, s 4(2). This means existing donors have their gifts carried over to the Trust, and prospective donors will engage with the Trust as the legal recipient.

Lenders and financial counterparties. The Act enables the Trust to borrow from authorised deposit-taking institutions or other institutions approved by the Treasurer, s 16(1)-(2). Creditors grant loans subject to securities and terms the Treasurer requires. The Treasurer may guarantee loans for the Trust with Governor in Council approval, s 16(3), which creates a conditional public guarantee that creditors will factor into lending decisions.

Employees and general manager. The Trust may employ a general manager with Ministerial approval as chief executive officer who controls day-to-day affairs subject to Trust direction, s 14(1)-(1A). The Trust may employ other staff and contract specialists, and it sets remuneration and allowances, s 14(2)-(3). Importantly, those employees are not subject to the Public Administration Act 2004 in respect of their employment, s 14(4); practitioners advising on employment, industrial relations and liability should note that Public Administration Act processes and protections do not automatically apply.

Users of the Centre and the public. Visitors, hirers, performers and commercial operators in the Centre will be subject to by-laws the Trust may make about admission, removal, care and preservation of order in the Centre, s 18A. The Trust may also grant licences, leases and enter contracts with persons to carry on businesses in the Centre, s 6(2)(b)-(c).

Filmmakers and film permit applicants. The Act is classified as filming approval legislation under the Filming Approval Act 2014, s 2A, and regulations under this Act that deal with film permits must not be inconsistent with film friendly principles, s 19(2). That means filmmakers seeking film permits implicate both the Trust’s site control and the film-approval statutory framework.

Taxpayers and the Consolidated Fund. The Treasurer’s capacity to guarantee Trust borrowings and the explicit appropriation of Consolidated Fund moneys to meet guarantee calls, s 16(3)-(4), create a contingent public exposure. If guarantees are called, the Consolidated Fund will pay and the Treasurer may seek recovery from the Trust; the statutory mechanism therefore potentially transfers risk to public funds during guarantee events.

Regulatory agencies. The Trust may apply for licences or permits under the Liquor Control Reform Act 1998 or other Acts, s 6(2)(e). That interacts with licensing and regulatory bodies administering those laws.

In sum, the Act affects the Trust as corporate operator, Trust members and staff, local councils as nominators, Minister and Treasurer as controllers and approvers, financial counterparties, donors, Centre users and film-makers. The allocation of decision rights, approval gates and accountabilities in the Act determines who must act, who can direct or veto material financial actions, who provides local input via nomination panels and who bears contingent financial exposure.

The Act sets out duties and rights in governance, finance, employment, property, regulatory compliance and operational management. Below are the principal obligations and entitlements the text creates or preserves, with section references.

Duties to perform and manage the Centre. The Trust’s central duty is to perform functions in s 5: complete construction of the Centre s 5(a); care for, improve and maintain the Centre s 5(b); control and manage the Centre s 5(c); present and produce performances and entertainments in and outside the Centre s 5(d); promote suitable use of the Centre s 5(e); and perform other Centre-appropriate functions as Minister approves s 5(f). These are mandatory-sounding statutory functions; the Trust holds the legal and operational duty to carry them out.

Duty to follow Ministerial direction. The Trust must act subject to the Minister’s general direction and control in performing functions and exercising powers under the Act, s 6A. That places an ongoing obligation on the Trust to implement ministerial policy or directions within the statutory remit.

Financial duties, accounting and use of funds. The Trust must establish and maintain the Geelong Performing Arts Centre Account with an authorised deposit-taking institution, s 15(1). All Trust moneys must be paid into that Account, s 15(2). The Trust must use moneys in the Account for costs and expenses incidental to the performance of its functions under the Act, s 15(5). Investment of account moneys requires Treasurer approval s 15(3). Those provisions create duties of financial prudence, segregation of funds and external approval for investments.

Borrowing duties and constraints. The Trust may borrow subject to Treasurer approval and to any terms and limits the Treasurer imposes, s 16(1). It must, before a Treasurer guarantee is given, provide securities and execute relevant instruments the Treasurer requires, s 16(5). Borrowed funds must be applied to carry the Act into effect, s 16(6). The Treasurer may, with Governor in Council approval, execute guarantees for Trust borrowings s 16(3), but the Trust is under a duty to provide securities and instruments as preconditions s 16(5). The Treasurer’s guarantee creates a public funding obligation if called, with repayment recoupment arrangements described in s 16(4).

Governance duties. Members must attend meetings, and missing four consecutive meetings without leave causes vacation of office s 8(1)(f). The Trust must meet at least four times per year s 11(1), and a majority of members constitutes a quorum s 11(2). Where a member is on leave for more than three meetings the Trust must notify the Minister s 8(2). The Governor in Council may revoke appointments at any time s 7(5), which imposes an ongoing duty on members to act in a manner consistent with statutory expectations to avoid revocation risk.

Rights to exercise commercial powers. The Trust has the right to acquire, lease and manage property and facilities s 6(2)(a), (b), to enter contracts and arrangements and carry on business within the Centre s 6(2)(c), to acquire intellectual property and exploit it s 6(2)(f), to commission creative works s 6(2)(j), to solicit, accept and administer gifts s 6(2)(n), and to seek licences under other Acts including liquor s 6(2)(e). These are broad commercial rights enabling the Trust to generate revenue streams and control the Centre’s economic use.

Staffing rights and duties. The Trust may employ a general manager with Minister approval who is the chief executive officer s 14(1), (1A), and may contract specialists s 14(2). The Trust determines employment conditions and remuneration s 14(3). Employees are not subject to the Public Administration Act 2004 in respect of their employment s 14(4), which alters the regulatory and oversight regime applicable to staff appointments, employment conditions, disciplinary processes and industrial relations.

By-law and regulatory rights. The Trust may make by-laws for admission and removal of persons, care and management of the Centre and preservation of good order and decency s 18A. The Governor in Council may make regulations to carry the Act into effect s 19(1), and regulations governing film permits under this Act must conform to film friendly principles s 19(2). The Trust has the right to set conditions for conduct within the Centre via by-laws but must act within the ambit of regulations.

Succession and fiduciary duties with respect to pre-existing trusts. All gifts, trusts and dispositions to the Institute are taken to be for the Trust s 4(2). This creates rights in beneficiaries under existing trusts to have their trusts carried out by the Trust, and places on the Trust the duty to administer those trusts in accordance with their terms.

Limitations and constraints: Treasurer and Minister approvals. Many of the Trust’s operational decisions are curtailed by statutory approval requirements. Investment strategies, borrowing, overdrafts and guarantees require Treasurer approval s 15(3), s 16(1)-(3). The general manager requires Ministerial approval s 14(1). The Trust’s freedom is therefore contingent on executive approvals.

No express statutory criminal sanctions in the Act. The Act sets out governance, financial and administrative duties but does not in its text create specific offences or express monetary penalties. Regulatory enforcement tools may exist in regulations or other Acts (for example the Liquor Control Reform Act), but within this Act the principal enforcement mechanisms are institutional (Ministerial direction s 6A, revocation of appointment s 7(5), Treasurer control s 16). The Trust can engage auditors for intermediate inspections or audits s 17(6), but no broader audit regime is prescribed in this Act text beyond that power.

In brief, the Act confers broad operational rights to manage an arts facility while imposing duties expressly tied to Ministerial control, Treasurer approval for financial risk, governance rules for members and account segregation and investment constraints. Those structural duties and rights allocate operational autonomy and public accountability across the Trust, Minister, Treasurer, and local nominators.

The Act itself contains limited express penal sanctions. Instead, enforcement within the statute’s structure is primarily administrative, financial and appointment-based. The text provides institutional levers for compliance, but no textual catalogue of criminal offences or specified penalty amounts.

Administrative enforcement mechanisms

• Ministerial direction and control. Section 6A places the Trust “subject to the general direction and control of the Minister” in performing functions and exercising powers under the Act. This is an administrative oversight mechanism: the Minister may give directions to align the Trust’s activities with government policy or statutory expectations. The Act does not prescribe a particular process for issuing or reviewing directions, but the existence of this provision enables the Minister to intervene administratively.

• Revocation of appointments. The Governor in Council may revoke the appointment of a member of the Trust at any time, s 7(5). Revocation is an enforcement tool against members; it is not expressed as a punitive fine but as removal from office. Vacancies are also created by non-attendance without leave, s 8(1)(f), resignation s 8(1)(e), incapacity s 8(1)(c), bankruptcy s 8(1)(d), death s 8(1)(b), and revocation s 8(1)(g). These provisions provide internal governance enforcement routes for maintaining board composition and engagement.

• Financial constraints and Treasurer approvals. The Treasurer’s statutory approvals and guarantee powers in s 15 and s 16 function as practical enforcement of financial discipline. The Trust cannot invest account monies except as the Treasurer approves s 15(3). Borrowing and overdraft capacities require Treasurer approval subject to terms and limits imposed by the Treasurer s 16(1). Further, a Treasurer guarantee, if given and subsequently called, will be paid from the Consolidated Fund s 16(3)-(4), creating accountability pressure on the Trust to comply with borrowing conditions and security requirements s 16(5). Thus fiscal control acts as an enforcement lever.

• By-laws and regulations. The Trust may make by-laws for admission, removal and conduct within the Centre s 18A. The Governor in Council may make regulations to carry out the Act s 19(1). While the Act does not itself specify penalties for breaches of by-laws, it is common for by-laws and regulations to include penalty provisions; however any such penalties would be created by subordinate legislation. Section 19(2) also constrains film-related regulations to be consistent with film friendly principles.

• Audit functions. Section 17(6) authorises the Trust to engage public auditors for intermediate inspections or audits as may be required. The ability to engage auditors supports oversight and detection of non-compliant financial practice, but the Act does not prescribe external auditing obligations or specify sanctions following audits. Earlier, specific audit provisions were repealed and replaced with the power to engage auditors, per endnotes and repeals in the text.

Legal enforcement and remedies

• Civil law remedies. The Trust, as a body corporate, is capable of suing and being sued, s 3(1). Common law and equitable remedies remain available for breach of fiduciary duties, contractual obligations, torts, property disputes and for enforcement of trusts or gifts transferred from the Institute under s 4(2). The Act itself does not alter the availability of civil enforcement in courts for those causes of action.

• Recovery of guarantee payments. If the Treasurer pays sums under a guarantee executed pursuant to s 16(3), s 16(4) provides that those sums shall be paid out of the Consolidated Fund and that any sums recovered by the Treasurer from the Trust or otherwise in respect of sums so paid shall be paid into the Consolidated Fund. That provides a statutory mechanism whereby the Treasurer can seek repayment from the Trust, and, where recovery fails, the Consolidated Fund bears the initial cost.

Absence of express penal offences in the Act

• No express criminal offences are set out in the Act’s operative text as printed. Sections that typically create offences or monetary penalties in other statutes (for example, non-compliance with statutory duties) are absent from the Act as published. That does not prevent other statutes or subordinate instruments from creating relevant offences if they apply to Trust activities (e.g., liquor licensing breaches under the Liquor Control Reform Act 1998).

Implications

• Enforcement is mainly administrative and financial, rather than criminal. Ministerial and Treasurer controls, appointment revocation, and financial mechanisms are the principal official levers. The Act leaves open the role of subordinate instruments and other legislation to supply specific sanctions that may be relevant to Trust activities.

• Potential regulatory gaps for compliance technicians. Because the Act itself is sparse on express penalties, compliance monitoring must emphasise governance controls, contractual obligations, licensing regimes under other statutes and subordinate regulations/by-laws if and when they are made. Regular audits and proactive engagement with the Minister and Treasurer approvals are practical risk mitigants.

• Contingent public liability. The Treasurer’s guarantee powers create contingent liability for the Consolidated Fund; enforcement after guarantee payment focuses on recovery rather than criminal punishment, s 16(3)-(4).

In short, the Act relies on appointment powers, ministerial direction, Treasurer oversight and civil law remedies for enforcement. Practitioners should look to subordinate regulations, the Trust’s by-laws and other legislative regimes (for example the Liquor Control Reform Act) for concrete penalties applying to day-to-day Trust operations.

The Act expressly cross-references and interacts with a number of other statutory regimes and implies operational overlap with general legal principles. The text contains explicit mentions and dependency points; those are summarised below with their practical implications.

Filming Approval Act 2014. The Act is declared to be “filming approval legislation” for the purposes of the Filming Approval Act 2014, s 2A. Section 19(2) requires any regulations under this Act concerning issuing film permits not to be inconsistent with the film friendly principles as defined in the Filming Approval Act. The Trust therefore sits within the statutory film-approval framework and any film-permit regulatory regime it adopts must conform to film-friendly statutory principles, constraining local filming regulation and enabling filmmakers to rely on the higher-level legislative standard.

Liquor and licensing. Section 6(2)(e) authorises the Trust to apply for and hold any licence or permit under the Liquor Control Reform Act 1998 or any other Act. That means the Liquor Control Reform Act and other licensing legislation remain the operative law for any alcohol service within the Centre. Compliance with such licensing laws will be required for liquor-related activities, and breaches of those regimes carry their own sanction mechanisms independent of this Act.

Crown Land (Reserves) Act 1978. Section 4(3) expressly contemplates that, notwithstanding anything in the Crown Land (Reserves) Act 1978, the Governor in Council may grant to the Trust the land permanently reserved for Public Purposes (Performing Arts) referred to in s 2’s definition of “centre,” on such conditions as the Governor in Council thinks fit. That provision creates an express bridge between Crown reserve law and this Act’s land-holding arrangements.

Banking Act 1959 (Commonwealth). The definition of “authorised deposit-taking institution” in s 2 refers to the Banking Act 1959 of the Commonwealth. This is operative for s 15(1) which requires the Trust to maintain the Geelong Performing Arts Centre Account in an authorised deposit-taking institution, and for s 16(1)(a) which permits borrowings by way of overdraft from authorised deposit-taking institutions. That linkage brings Commonwealth banking regulatory concepts and institutional status into the Trust’s financial mechanics.

Constitution Act 1975. Section 12A states that membership of the Trust is not an office or place of profit under the Crown that would trigger incapacity, ineligibility or penalties under the Constitution Act 1975 (for example, issues affecting members of Parliament). This provision interacts directly with constitutional qualifications and preserves MPs’ ability to serve on the Trust without the membership being treated as an incompatible office.

Public Administration Act 2004. Section 14(4) specifies that a person employed by the Trust is not, in respect of that employment, subject to provisions of the Public Administration Act 2004. That removes certain public-sector employment control and oversight frameworks that would otherwise apply and means employees’ rights, obligations and remedies are affected by the absence of that Act’s application.

Transfer of property and trustee law. The Act takes existing gifts, trusts and dispositions to the Institute and treats them as if they had been made to the Trust, s 4(2). That interacts with trust law and fiduciary obligations: the Trust succeeds to the Institute’s position under trust instruments and must honour their terms. Trusteeship, trust funds, and duties to beneficiaries therefore remain relevant and enforceable under general law principles.

Consolidated Fund and state financial management. Section 16(3)-(4) allow the Treasurer, with Governor in Council approval, to execute guarantees for Trust borrowings and specify that sums required in fulfilling guarantees shall be paid out of the Consolidated Fund with recovery arrangements. That ties the Trust’s borrowing arrangements into the State’s fiscal architecture and interacts with public finance management principles and possibly with statutes governing appropriation and financial governance.

Liquor and other regulatory Acts. The Trust’s ability to apply for licences under “any other Act” (s 6(2)(e)) means compliance obligations under a range of regulatory statutes may bind the Trust depending on the goods and services it provides (for example occupational health and safety laws, building codes, fire safety legislation, environmental laws).

Regulations and subordinate law. The Governor in Council may make regulations “prescribing all matters … necessary or convenient” for carrying out this Act, s 19(1). Those regulations can create interaction points with other administrative regimes, and under s 19(2) any film-permit regulations must align with film friendly principles. By-law power in s 18A allows the Trust to make rules about admission and conduct at the Centre. The legal effect of any regulatory or by-law provisions will be subordinate to the Act but can materially affect operation and compliance.

Auditing and public financial frameworks. The audit provisions formerly in Pt 17 were repealed and replaced with a power for the Trust to engage public auditors for intermediate inspections or audits s 17(6). Interaction with statutory audit regimes, the Auditor-General or public finance reporting may be limited unless other statutes apply. It is therefore important for practitioners to check for other overlapping public reporting or audit requirements under general state financial management legislation not repeated in this Act.

In short, the Act is not siloed: it expressly interfaces with Commonwealth banking definitions, state licensing regimes (liquor), Crown reserve law, film approvals, constitutionally relevant office-of-profit rules, public-sector employment and state fiscal processes. Those interactions place the Trust within a network of statutory obligations and approvals that must be navigated when the Trust invests funds, borrows, hires staff, operates events or issues site access for filming.

The Act has been amended multiple times since its original assent in 1980. The endnotes and in-text marginal notes in the provided version identify the principal amending instruments and trace which sections they inserted, amended or repealed. Below is a section-by-section map of notable amendments and the practical consequences those amendments introduced as recorded in the text.

Original enactment and commencement

• The Geelong Performing Arts Centre Trust Act 1980 was assented to on 20 May 1980 and came into operation on 3 October 1980 (Endnotes 1).

Geelong Performing Arts Centre Trust (Amendment) Act 1982 (No. 9795/1982)

• Appears to have made early amendments; the table of amendments shows assent and commencement in 1982 and notes the Act is in operation. The in-text marginal notes identify some later insertions attributed to the 1982 amendment (see s 5(d) and some s 6A insertion references).

Statute Law Revision Act 1984 (No. 10087/1984)

• The Statute Law Revision Act made clean-up changes and repeals; s 4(1)(a) and s 4(6) were repealed as indicated in the in-text notes.

Liquor Control Act 1987 (No. 97/1987)

• Amended s 6(2)(e), enabling the Trust expressly to apply for and hold a licence or permit under what became the Liquor Control Reform Act 1998 or any other Act. The in-text note refers to s 6(2)(e) being amended by “Nos 97/1987 s. 181(5), 74/2000 s. 3(Sch. 1 item 57)”. The effect was to align Trust powers with contemporaneous liquor licensing frameworks.

Transfer of Land (Computer Register) Act 1989 (No. 18/1989)

• Amended the definition of “centre” in s 2. The in-text marginal note records this amendment; it updated land identification methods consistent with transfer of land reforms.

Arts Institutions (Amendment) Act 1994 (No. 29/1994)

• The 1994 Act made several insertions and substitutions across the text. Notable in-text annotations indicate that several provisions (for example s 2 definitions for Chairman, film provisions later) were inserted by No. 29/1994, s 29-38. The Act inserted s 6A (Trust subject to the control of the Minister) and made substantial governance and staffing changes such as s 14 substitutions setting out the general manager and employment arrangements. Section 18A (Trust may make by-laws) and changes to committee and membership provisions are attributed to the 1994 amendments.

Financial Management (Consequential Amendments) Act 1994 (No. 31/1994)

• This Act repealed certain audit and accounts provisions (notably s 17(1)-(5) and s 18). The effect in the text is to remove older, perhaps more prescriptive financial reporting and auditing requirements, replacing them with a residual power in s 17(6) permitting the Trust to engage public auditors for intermediate inspections or audits.

Equal Opportunity Act 1995 (No. 42/1995)

• The table notes an amendment reference to s 224; its in-text consequence for this Act is minor and relates to an amendment that was relevant in 1995, but the substantive content in the current text indicates s 7(4) was repealed by No. 42/1995 s 224(Sch. 2 item 19). The relevant text in s 7(4) is omitted in the current version.

Trustee and Trustee Companies (Amendment) Act 1995 (No. 104/1995)

• The 1995 amendment affected s 15 re-numbering and related bookkeeping matters; the table notes commencement in 1996.

Geelong Performing Arts Centre Trust (Amendment) Act 1997 (No. 67/1997)

• The 1997 amendment substantially revised s 7 on composition, inserting s 7(2A) and s 7(2B) that prescribe the required experience profiles for Minister-nominated members and the requirement for local-area leadership in membership. It also introduced s 20 (Transitional and saving) saving members in office at the time of the amendment until expiry of their current terms. The table confirms this as a significant amendment to composition and governance.

Public Sector Reform (Miscellaneous Amendments) Act 1998 (No. 46/1998)

• Referred in the table as affecting the operation of s 7. The effect in the text is that s 14(4) and other public sector reform consequences were adjusted by the 1998 Act.

Statute Law Revision Act 2000 (No. 74/2000)

• Made further minor, technical amendments reflected in marginal notes, including to s 6(2)(e) as cross-referenced.

Statute Law Amendment (Authorised Deposit-taking Institutions) Act 2001 (No. 11/2001)

• Inserted the definition of “authorised deposit-taking institution” in s 2 to align with the Commonwealth Banking Act 1959 and modified s 15 and s 16(1) references to ADIs for the Trust’s account and overdraft powers. The amendment modernised financial institution references and ensured the Trust’s banking duties referenced contemporary ADI status, per annotations in s 2 and s 15.

Public Administration Act 2004 (No. 108/2004)

• Inserted by s 117(1) (Sch. 3 item 89) a note connected with employment provisions; s 14(4) now records that a person employed by the Trust is not, in respect of that employment, subject to provisions of the Public Administration Act 2004. This amendment situates Trust employment outside the ambit of that Act.

Filming Approval Act 2014 (No. 51/2014)

• Added s 2A declaring the Act to be filming approval legislation, and inserted definitions for film friendly principles and film permit in s 2. It also added s 19(2) requiring any regulations for film permits not be inconsistent with film friendly principles. These amendments came into operation on 1 March 2015 and align the Trust with the state-wide filming approval framework.

Revisions and repeals

• Various provisions (for example s 17(1)-(5), s 18) were repealed by the Financial Management (Consequential Amendments) Act 1994, leaving the Trust with the residual s 17(6) audit power. Other minor repeals and editorial changes have been effected by statute law revision and consequential amendments across the decades.

Practical consequences of the amendment history

• Shift from Institute to Trust. The original Act transferred duties from the Institute to the Trust at commencement in 1980; later amendments refined governance, financial and administrative mechanics to reflect evolving public-sector frameworks.

• Increased executive controls. The insertion of s 6A (subject to Ministerial control) and enhanced Treasurer oversight over investments and borrowing reflect a legislative trend towards ensuring ministerial and fiscal oversight.

• Modernisation of financial vocabulary. Amendments linking the Act to the Banking Act 1959 definition of ADIs modernised deposit-taking and borrowing references.

• Film approval integration. The 2014 amendments explicitly integrated the Trust into state filming approval law, constraining film-related regulations to be film friendly.

• Employment law carve-out. The 2004 amendment confirming that Trust employees are not governed by the Public Administration Act 2004 clarifies their employment legal regime remains primarily contractual and Trust-determined.

The amendment map shows a pattern of initial establishment followed by gradual modernisation and calibration to central government controls for finance and policy. For exact amendment texts, practitioners should consult the amending Acts and historic versions, but the in-text marginal notes and endnotes identify the principal amending instruments and the sections they touched.

The Act text and the accompanying endnotes supplied do not record any judicial decisions, cases or litigation history arising under the Geelong Performing Arts Centre Trust Act 1980. The endnotes and explanatory details provided list bill and amendment sources, commencement dates and legislative history, but they do not include citations to court decisions or administrative tribunal determinations.

What the source records

• No cases are named in the Act text or endnotes.
• No judicial interpretation or precedent is referenced.
• The “Explanatory details” section is empty in the supplied text and contains no case summaries.

Implication for practitioners

• The absence of litigation references in the printed Act as supplied does not mean there has been no litigation in reality; it means the legislative version and endnotes provided here contain no court citations. Practitioners seeking authoritative judicial interpretations, contested applications of Ministerial direction under s 6A, disputes over application of gift trusts transferred by s 4(2), questions about the meaning of “film friendly principles” in the film approval context, or challenges to Treasurer guarantee decisions should search legal databases and court registries for reports and unreported judgments that may involve the Trust, related local government members, or contractors.

• Key legal issues that could be litigated or that commonly give rise to litigation in similar statutes include fiduciary disputes over trust property (s 4(2)), administrative law challenges to Ministerial directions under s 6A, disputes over appointment or revocation of members s 7(5), contractual disputes relating to leases or commissioning agreements s 6(2)(b), s 6(2)(j), and creditor actions relating to loans or securities provided under s 16.

• For film permit disputes, litigated matters might engage the Filming Approval Act 2014 framework or judicial review of regulatory instruments where film friendly principles are alleged to have been disregarded. Any such litigation would follow the filing of cases in appropriate courts and tribunals; none are referenced in the supplied text.

Recommended next steps to obtain litigation history

• Consult state court databases and the Victorian Law Reports for judgments naming the Geelong Performing Arts Centre Trust or relating to the Trust’s activities.
• Search tribunal decisions and administrative law reports for challenges to Ministerial directions or Treasurer approvals impacting the Trust.
• Review local government records and council minutes for disputes arising from nominee panels under s 7(2), which may have generated litigation or published decisions.

In conclusion, the supplied legislative text contains no litigation history. Practitioners requiring judicial precedent or case law relating to the Trust will need to undertake a separate case law search in public law and commercial litigation databases.

The Act’s architecture leaves several practical, procedural and risk-management pitfalls that advisers should flag. These are not value judgements; they are concrete legal mechanics and likely operational failure points grounded in the statute’s text.

1. Ministerial control limits apparent autonomy (s 6A)

• The Trust’s broad powers under s 6(1)-(2) are expressly qualified by s 6A, which subjects the Trust to the Minister’s general direction and control. Operational decisions that appear internally authorised may nonetheless be overruled or require alignment with ministerial policy. Practitioners should not assume full independence; seek clarity on the scope and exercise of directions.

2. Treasurer approval bottlenecks for investments and borrowing (s 15(3), s 16)

• The Trust must obtain Treasurer approval to invest account moneys s 15(3) and to borrow s 16(1). The Treasurer may impose terms, conditions and limits. Large or time-sensitive financing or investment proposals are constrained by these approval requirements and could face delay or conditionality. Additionally, any guarantee requires Governor in Council approval s 16(3) and security and instruments the Treasurer requires s 16(5). Failure to front-load Treasurer engagement risks rejected proposals or unanticipated conditions.

3. Contingent public exposure via guarantees (s 16(3)-(4))

• The Treasurer’s power to guarantee the Trust’s borrowings, and the explicit appropriation of the Consolidated Fund to satisfy guarantee calls s 16(3)-(4), mean that creditors may factor in public guarantee expectations in lending decisions. However the Act then places onus on the Trust to provide securities s 16(5) and to repay amounts the Treasurer advances. Non-payment risks reputational and financial consequences for the Trust and creates potential political scrutiny.

4. Employees are outside the Public Administration Act 2004 (s 14(4))

• Trust employees are not subject to the Public Administration Act 2004 in respect of their employment. This can complicate employment-law compliance, industrial relations and discipline processes because standard public-service frameworks do not automatically apply. Employers must therefore be careful to document employment terms, grievance processes and contractual protections.

5. By-law powers exist without express penalty provisions in the Act (s 18A)

• The Trust can make by-laws for admission and conduct s 18A, but the Act does not itself supply enforcement penalties for breach. Enforcement may depend on common law, regulatory instruments under s 19 or specific penalty provisions included in the by-laws or regulations. Failure to ensure by-law enforceability and statutory backing risks creating rules that are difficult to enforce.

6. Audit regime is less prescriptive (s 17)

• Earlier prescriptive account and audit provisions were repealed and the Trust’s power is limited to engaging public auditors for intermediate inspections or audits s 17(6). The absence of detailed statutory audit and reporting obligations may present public accountability gaps. Practitioners advising on financial compliance should recommend robust internal audit policies and proactive financial reporting to the Minister and Treasurer.

7. Local government nominations can complicate political neutrality (s 7(2))

• Section 7(2) requires a Trust member to be nominated from a panel of nominees provided by specified local governments. That gives local councils a formal role in Trust composition and can introduce political dynamics or conflicts over representation. Clarity about nomination process and selection criteria is important to avoid disputes.

8. Membership tenure cap and exceptions may catch long-serving members (s 7(3A))

• Members who have served nine consecutive years cease to hold office and are ineligible for re-appointment unless exceptions apply s 7(3A). The Chairman exception and a three-year cooling off period can affect continuity. Board succession planning must account for these statutory tenure limits.

9. No express statutory offences in the Act

• The Act does not enumerate specific offences. Compliance tools are therefore administrative (direction, revocation) and financial (Treasurer oversight), supplemented by civil law. Where conduct regulation is desired, the Trust should ensure its by-laws or regulations include enforceable provisions within statutory limits.

10. Film permit regulation must match film friendly principles (s 19(2), s 2A)

• The Act is filming approval legislation s 2A, and regulations about film permits must not be inconsistent with film friendly principles s 19(2). If the Trust drafts film-related by-laws or conditions, they must be checked against the state-level film friendly principles to avoid conflict or legal challenge.

11. Succession of pre-existing trusts and gifts (s 4(2)) requires trust-law diligence

• All gifts and trusts made to the Institute are to be treated as if made to the Trust s 4(2). The Trust inherits fiduciary duties and must identify and administer legacy trusts correctly. Failure to honour trust terms could give rise to beneficiary litigation.

12. Limited express conflict-of-interest or disclosure provisions

• The Act prescribes eligibility and composition but contains no detailed statutory conflict-of-interest or disclosure regime for members. Standard governance best practice will require internal policies to manage conflicts, but those will not be statutory mandates under this Act.

13. Governor in Council powers create executive concentration

• Many appointment and revocation steps, members appointed by Governor in Council on Ministerial nomination s 7(1), Governor in Council revocation s 7(5), Governor in Council approval of guarantees s 16(3),put considerable influence in executive decision-making. That creates political exposure and potential executive control over key governance and financial decisions.

14. Practical timing and procedural risks

• Because approvals from the Minister and Treasurer are preconditions for some critical actions, failure to secure preliminary approvals can stall projects, leases, hiring or borrowing. Advance coordination with the Minister’s office and Treasury is therefore essential.

These are concrete operational and legal “gotchas” embedded in the statutory text. Advisers should structure governance, financial planning, employment contracts, by-law drafting and engagement with local nominators and State agencies to anticipate and manage these statutory constraints and approval gates.

Compliance with the Act requires attention to governance processes, Minister and Treasurer approvals, financial procedures, employment practice, property and licensing rules, and subordinate law. Below are practical compliance steps aligned to the statute’s provisions and aimed at legal, accounting and operational advisers.

1. Formalise governance and appointment processes

• Ensure all Trust members are appointed by Governor in Council on Ministerial nomination in accordance with s 7(1). Maintain documentary evidence of Ministerial nominations and Governor in Council appointments. Track term expiries given the maximum three-year term s 7(3) and the nine-year cap on consecutive service s 7(3A). Prepare succession plans to avoid sudden membership vacancies and to manage the Chairman exception and cooling-off periods.

2. Implement nomination panel procedures for local government nominees

• For the panel required by s 7(2), coordinate with the City of Greater Geelong, Golden Plains Shire, Surf Coast Shire and Borough of Queenscliffe to obtain and document nominees. Establish a clear procedure for the panel to present three City of Greater Geelong nominees and one nominee each for the other councils, and ensure records of the panel’s decisions are retained.

3. Manage Ministerial and Treasurer approvals proactively

• Recognise that many significant actions require Ministerial or Treasurer approval: appointment of the general manager requires Minister approval s 14(1); investments require Treasurer approval s 15(3); borrowing and overdrafts require Treasurer approval and may be subject to terms and limits s 16(1); guarantees require Governor in Council approval and ledgered securities s 16(3)-(5). For proposed investments, borrowings or guarantees, prepare early and detailed submissions to Treasury and the Minister with robust risk assessments, securities proposals and repayment plans. Anticipate timeframes for executive decisions and build them into project timelines.

4. Financial management and account practices

• Establish the Geelong Performing Arts Centre Account in an authorised deposit-taking institution as required by s 15(1) and ensure all moneys received are paid into that Account s 15(2). Develop accounting policies that ensure funds are applied solely for the Trust’s statutory functions s 15(5). For investments, obtain written Treasurer approvals for permitted investments s 15(3) and keep records of approvals. Maintain clear segregation of funds and transparent record-keeping to ease audit or inspection.

5. Borrowing and security protocols

• For any borrowing, obtain Treasurer approval and comply with conditions and limits s 16(1)-(2). If seeking a Treasurer guarantee, liaise with Treasury early, prepare and execute any required securities and instruments s 16(5) and ensure governance approvals are in place to comply with conditionality. Maintain documentation of all lending terms and security arrangements.

6. Draft and maintain compliant by-laws and regulations

• If the Trust exercises its s 18A by-law power to regulate admission or conduct in the Centre, draft by-laws consistent with the Act and with any subordinate regulations. Ensure that any by-law that touches on film-related access or permitting accords with film friendly principles because regulations for film permits under this Act must not be inconsistent with those principles s 19(2) and s 2A. Have legal counsel review proposed by-laws for enforceability and for whether subordinate regulations are needed to support penalties or enforcement mechanisms.

7. Employment contracts and HR compliance

• The Trust may employ a general manager with Ministerial approval s 14(1)-(1A) and set employment conditions s 14(3). Because s 14(4) excludes Trust employees from the Public Administration Act 2004 in respect of their employment, ensure employment contracts are robust, that workplace policies meet industrial law and occupational health and safety obligations, and that processes for performance management and dismissal are contractually and legally compliant.

8. Audit and reporting

• Although prescriptive audit sections were repealed, s 17(6) empowers the Trust to engage public auditors for inspections or audits. Commission regular internal and external audits to maintain financial integrity. Produce periodic financial statements and management reports for the Minister and Treasurer to pre-empt enquiries and to demonstrate prudent financial stewardship.

9. Manage legacy trusts and donor expectations

• For gifts and trusts transferred from the Institute under s 4(2), identify and catalogue all legacy trusts, record their terms, and ensure beneficiaries’ interests are administered in accordance with trust instruments. Obtain legal advice where trust terms are ambiguous and prepare public-facing documentation on how donations will be used to reassure donors.

10. Licensing and operational compliance

• When applying for liquor or other licences s 6(2)(e), comply with the applicable licensing regime’s conditions and maintain ongoing licence compliance. For events and building use, ensure compliance with building codes, fire safety, public safety and health regulations.

11. Film permit procedures

• Recognise the Act’s status as filming approval legislation s 2A. If the Trust manages film permits or access, align permit conditions with the film friendly principles and ensure any regulatory instruments or by-law terms are harmonised with that statutory standard.

12. Maintain records and meeting compliance

• Keep detailed minutes of Trust meetings, record quorum and attendance, and ensure the Trust meets at least four times each year s 11(1). Monitor member leave and attendance to avoid vacation of office under s 8(1)(f) and to trigger Minister notification when leave exceeds three meetings s 8(2).

13. Conflict-of-interest and governance policies

• The Act does not supply an elaborate statutory conflict-of-interest regime for members. Implement a Board code of conduct and conflict-of-interest policy requiring disclosure, recusal and record-keeping to mitigate risks of undue influence or perceived impropriety. Ensure these policies are accessible to the Minister and the Governor in Council as appropriate.

14. Liaise with local governments and community stakeholders

• Because s 7(2) requires local council involvement in nominations and s 7(2B) requires members with active leadership in the performing arts in the local area, maintain collaborative engagement with local councils, arts bodies and community stakeholders to facilitate nominations and to support programming decisions.

15. Risk management and contingency planning

• Create contingency plans for the scenario where a Treasurer guarantee is called under s 16(3)-(4), and for reputational and operational risk arising from a revoked appointment s 7(5) or Minister direction s 6A. Stress-test financial models and ensure insurance coverage and contractual protections are in place.

Document retention checklist

• Governor in Council appointment instruments and Ministerial nominations s 7(1).
• Minutes of meetings, attendance records and quorum confirmations s 11.
• Treasurer approvals for investments and borrowings s 15(3), s 16(1).
• Security instruments and guarantees documentation s 16(3)-(5).
• Employment contracts and Ministerial approval for general manager s 14(1).
• By-laws, regulatory submissions and film permit policies s 18A, s 19(2).
• Records of gifts and trusts transferred from the Institute s 4(2).

Following these steps aligns operational practice with the Act’s statutory approvals, governance and financial constraints. Where uncertainty exists about interpretation or scope of a Ministerial direction, Treasurer approval condition, or the legal character of a by-law or film-permit rule, obtain written clarifications or legal opinions and keep Ministerial and Treasury correspondence on file.
