Gas and Fuel Corporation (Heatane Gas) Act 1993

The Act hangs on a small set of statutory concepts and devices. Each of these carries a specific legal and transactional consequence that practitioners must map to property law, administrative practice and pipeline regulatory controls.

• Statutory easement and statutory covenant: Section 12(c) creates a statutory easement over the land specified in the approved Order. Section 12(g) treats obligations specified in the lodged statement as covenants that run with the land and are enforceable against owners and successors as if the owner had contractually agreed to them. The Act therefore converts a mix of operational rights and obligations into property-bound burdens enforceable by pipeline owners (ss 9, 12(f)-(g), 16).

• Appointed day and Order mechanism: The operative effects occur by force of s 12 on and from the appointed day, which is the date the Order under s 11 comes into operation (s 3 definition). The Order, made by Governor in Council on Ministerial recommendation, both approves documents lodged by the parties and fixes the land to be burdened by reference to Schedule plans (s 11).

• Transfer by approval, not immediate conveyance: The Corporation may agree terms to transfer the Heatane pipeline to Elgas (s 8(1)), but the transfer has no legal effect unless the Governor in Council approves it by Order under s 11 (s 8(2)). Section 12(j) formalises the transfer upon the appointed day (s 12(j)). Section 20A later deems the relevant Order to have had particular wording for the transfer to Elgas (s 20A(1)).

• Pipelines as personal property: The Act declares the pipelines not part of the land they run through; they are personal property (s 7). That classification affects conveyancing, fixtures analysis, security interests and the operation of the Transfer of Land Act 1958 in respect of title management.

• Deeming of regulatory status under Pipelines Act: On the appointed day Elgas is deemed to be the holder of the relevant permit and licence under the Pipelines Act 1967 in respect of the Heatane pipeline and the Corporation’s corresponding permits are cancelled (s 15(1)). The Order may specify that the deemed permit and licence are on the same terms as the cancelled instruments (s 15(2)). The Pipelines Act is excluded from applying to those specific actions (issue, amendment, cancellation under s 15(5)), but otherwise applies from the appointed day to renewals, transfers and new permits and to construction, operation and use (s 15(6)). Importantly, the authorised route in a permit cannot be varied under the Pipelines Act unless the statutory easement is varied at the same time (s 15(7)).

• Plan-based description, Surveyor-General substitution: The geographic scope of the statutory easement is determined by plans in Schedule 1 and Schedule 2 (s 4) and the Surveyor-General may prepare substitute plans before the Order if necessary for correction or better identification (s 10). Substitute plans may be prepared without a survey and may rely on corporate construction plans (s 10(2)(b)).

• Registration and record changes without usual formalities: The Registrar of Titles must, on request by a person entitled to the benefit of the statutory easement, record the easement and covenant on title folios and may do so without production of title documents or a plan of survey (s 18(1), (3)). If land is not under the Transfer of Land Act, the Registrar must first bring that land under that Act before acting (s 18(2A)).

• Variation locked into statutory procedure: The Act prescribes specific variation procedures (s 16). Agreements may vary the lodged agreement, and joint instruments may vary the statutory easement/covenant, but an easement or covenant cannot be varied except under s 16. Variations that burden new land are tightly constrained: they must occur with a change to the authorised route under the Pipelines Act or for limited corrective reasons (s 16(6)).

• Non-compensation and curtailed judicial remedy: Section 20 disclaims compensation payable by Crown, Corporation or Elgas for extinguishment, creation or variation effected by the Act. Section 22 states an intention to alter or vary s 85 of the Constitution Act 1975 to prevent the Supreme Court from entertaining compensation actions where s 20 applies. Section 19 additionally provides that these statutory changes do not constitute breach of any existing agreement.

Those core concepts operate together to convert a web of prior contractual and common-law rights into a single statutory easement/covenant regime tied to plan references and to administrative approvals, with limited avenues for compensation or variation except under the Act’s procedures.

List of primary stakeholders and how the Act alters their legal position, with references.

• The Gas and Fuel Corporation of Victoria (“the Corporation”): the Corporation is the transferor of the Heatane pipeline and the continuing owner of the Corporation pipeline. The Act extinguishes existing easements, rights or privileges in favour of the Corporation over the specified land on the appointed day (s 12(a)) and cancels permits for the Heatane pipeline it previously held under the Pipelines Act (s 15(1)(b)). The Corporation must, jointly with Elgas, prepare and lodge the statement and agreement before the statutory easement is created (s 9(1)-(3)).

• Elgas Reticulation Pty. Ltd. (Elgas): Elgas is the designated transferee of the Heatane pipeline (s 3 definitional note; s 8(1); s 12(j); s 20A). On the appointed day Elgas is deemed to be the holder of the permit and licence under the Pipelines Act to own/use and operate the Heatane pipeline (s 15(1)(a)), and the Minister must issue permit and licence documents to Elgas (s 15(3)). Elgas will be one of the persons entitled to the benefit of the statutory easement (s 12(d)) and will obtain rights and enforcement powers under the lodged statement and agreement (s 12(e)-(h)).

• Owners and occupiers of land along the route identified in Schedule 2 (and Schedule 1 for route): those landowners are burdened by the statutory easement and statutory covenant created by the Order (s 12(c), (g)). The obligations described in the lodged statement will run with the land and be enforceable against current owners and successors as if they had entered into restrictive covenants (s 12(f)-(g)). If a restrictive covenant that is part of a contract is discharged by the Act, the contract term ceases to have effect as to future operation (s 13(1)). Landowners may have to accept burdens even where the land is Crown land, reserved Crown land, a public highway, or road (s 14(c)-(d)).

• Persons entitled to the benefit of the statutory easement: the owners of the two pipelines for the time being (the Corporation pipeline owner and the Heatane pipeline owner) have the benefit, and those persons can enforce the statutory covenant obligations and use the easement as provided in the lodgement statement and the agreement (s 12(d)-(i)). The agreement lodged under s 9 governs rights and obligations between those beneficiaries (s 12(h)).

• Minister and Governor in Council: the Minister recommends the Order and lodges copies of instruments with the Minister’s office (s 9(3); s 11(1)). The Governor in Council, on Ministerial recommendation, is the decision-maker that approves the statement and agreement, specifies the land burdened, and approves transfer of the Heatane pipeline (s 11(1)). The Minister must also issue permit/licence documents to Elgas and amend permits for the Corporation pipeline after the appointed day (s 15(3)-(4)).

• Surveyor-General and Central Plan Office: the Surveyor-General may produce substitute plans for the schedules before the Order to correct boundaries or improve identification and must lodge those plans at the Central Plan Office and with the Minister (s 10). The Central Plan Office is the repository for Plans and for the lodging requirement under ss 9 and 16.

• Registrar of Titles: must record the statutory easement/covenant on relevant folios and make necessary amendments to the Register on request from a person entitled to the benefit (s 18(1)). The Registrar may record without usual formalities and must first bring non-Transfer-of-Land land under that Act before acting (s 18(2A), (3)).

• Third parties with existing easements or interests: the Act extinguishes existing easements, rights or privileges in favour of the Corporation relating to specified land (s 12(a)) and discharges restrictive covenants in favour of the Corporation relating to those easements (s 12(b)). The Act also says the statutory easement and covenant do not affect other existing easements or agreements except as provided (s 17). Section 19 expressly provides that creation/extinguishment/variation by the Act is not a breach of pre-existing agreements or arrangements.

• Courts: the Act expresses Parliament’s intention to limit the Supreme Court’s jurisdiction to entertain compensation actions in circumstances where s 20 disallows compensation (s 22). That intention affects potential litigants seeking compensation for the statutory changes.

Who pays and who gains: The Act explicitly disallows compensation being payable by the Crown, the Corporation or Elgas in respect of extinguishment, creation or variation by the Act (s 20). That shifts the economic burden of any diminution in private property interests onto landowners and other affected parties, subject to the Act’s operation and its parliamentary intention to restrict judicial compensation claims (s 22).

Geographic scope: determined by the plans referenced in Schedules 1 and 2 (s 4), and the Surveyor-General may substitute or correct those plans (s 10). The Act therefore affects land shown on those plans; practitioners must consult the named Plan Nos LEGL93/206 (Sch 1) and LEGL93/207 (Sch 2) to identify parcels.

This section summarises statutory duties, enforceable rights and the procedural obligations created by the Act, with precise statutory pointers.

Rights conferred

• Benefit of statutory easement: On the appointed day the owner for the time being of the Corporation pipeline and of the Heatane pipeline are entitled to the benefit of the statutory easement created by the Order (s 12(d)). The rights given to those persons are as specified in the statement lodged under s 9 (s 12(e)).

• Enforcement rights: Persons entitled to the benefit of the statutory easement may enforce the burdened obligations against landowners, and the owners of land may enforce obligations put on the persons entitled as if the persons had entered into individual agreements with the landowners (s 12(f)-(h)). The agreement lodged under s 9 governs inter-beneficiary relations and binds future owners of the benefit as if they had entered into it (s 12(h)-(i)).

• Deemed regulatory status: Elgas is deemed to hold the necessary permit and licence under the Pipelines Act to own/use and operate the Heatane pipeline on the terms the Order specifies; permits previously held by the Corporation are cancelled (s 15(1)). The Minister must issue permit/licence documents to Elgas (s 15(3)) and amend permits for the Corporation pipeline to align the authorised route with the Schedule 1 plan (s 15(4)).

Duties and obligations

• Preparation and lodging obligations: The Corporation and Elgas may jointly prepare a written statement specifying rights and obligations related to the statutory easement and must lodge a copy of that statement and any agreement with the Minister and at the Central Plan Office (s 9(1)-(3)). The Surveyor-General, at request and in consultation with the parties, can prepare substitute plans and must lodge them (s 10(1), (3)).

• Covenant duties on owners of burdened land: The creation of the statutory easement imposes obligations on the owners for the time being of the land as specified in the lodged statement; those owners may enforce those obligations "as if" the persons entitled to the benefit had entered into an agreement with them (s 12(f)). The burden of obligations runs with the land and is enforceable against successors (s 12(g)).

• Registering an easement/covenant: A person entitled to the benefit may request the Registrar of Titles to record on relevant folios that the land is subject to an easement and covenant created by the Act; the request must specify Central Plan Office reference numbers, folios where applicable, and be made without delay after lodgement or the Order (s 18(1)-(2)). The Registrar may make entries without production of title or plans (s 18(3)).

• Variation mechanics: Persons bound by the agreement lodged under s 9 may vary it by further agreement (s 16(1)). Persons entitled to the benefit may jointly prepare instruments of variation (s 16(2)). Owners of the pipelines and owners of land burdened may vary obligations relating to that land by agreement (s 16(3)). Variations must be lodged with the Minister and the Central Plan Office and have no effect until so lodged (s 16(7)-(9)). The Surveyor-General can prepare plans for variations at the request of the parties (s 16(4)-(5)). Variations that burden new land are constrained (s 16(6)).

• Obligations when ownership ceases: If a person bound by the agreement lodged under s 9 ceases to own one of the pipelines, the agreement ceases to bind that person (s 13(2)). If a covenant discharged by s 12 was also a contractual term, that contractual term ceases from the time of discharge (s 13(1)).

Limitations on rights and duties

• Extinguishment of previous rights: On the appointed day, easements, rights and privileges in favour of the Corporation relating to land to be burdened are extinguished (s 12(a)); restrictive covenants in favour of the Corporation relating to those extinguished rights are discharged (s 12(b)). Those extinguishments are self-executing and not treated as breaches of prior agreements (s 19).

• Non-compensation and court limitation: No compensation is payable by the Crown, the Corporation or Elgas for the extinguishment, creation or variation effected by the Act (s 20). Section 22 codifies Parliament’s intention to alter or vary the Supreme Court’s jurisdiction under s 85 of the Constitution Act 1975 to prevent compensation claims where s 20 applies.

• Procedural conditions: The Order approving the statement and agreement and specifying the land must be published in the Government Gazette to bring the appointed day into effect (s 11(2)). Documents lodged for proof are conclusive proof of the originals (s 9(4); s 16(9)). An easement or covenant cannot be varied except under s 16 (s 16(10)).

• Exceptions and scope: The statutory easement and covenant have effect even where no land is capable of being benefited, even where they may burden land owned by a person entitled to the benefit, and even where they affect Crown land, reserved Crown land, or a public highway (s 14(a)-(d)). These provisions disapply various rules of law that might otherwise restrict easements or covenants.

Practical consequences for property and commercial dealings

• The pipelines being personal property (s 7) means standard fixture inquiries change: pipeline ownership and transfer occurs outside of a land title conveyance in the usual sense and is governed by the Act’s transfer and approval mechanisms.

• The benefit and burden are attached to ownership of the pipelines and to the land respectively: rights to use and obligations in relation to the easement are enforceable by owners of the pipeline benefit and against owners of the burdened land, and those obligations run with the land (s 12(d), (f)-(g)).

• Any future variation or transfer of an interest in the pipelines is subject to the Pipelines Act from the appointed day, except where specific exclusions apply (s 15). Practitioners should note the cross‑reference between permit route variations and statutory easement variations in s 15(7).

The Act contains no express criminal penalties or specified pecuniary penalties for misuse or breach of the statutory easement or covenant. Enforcement is primarily civil and property-based, implemented through the rights and remedies that the statutory instruments and property law make available.

Enforcement mechanisms in the Act

• Private enforcement by persons entitled to benefit: The statutory covenant is enforceable by the persons for the time being entitled to the benefit of the statutory easement (s 12(g)(iii)). The owners for the time being of the land burdened may enforce obligations imposed on the persons entitled to benefit as if the persons entitled had entered into separate agreements with each owner (s 12(f)). Those are private civil remedies available to either side (s 12(f)-(g)).

• Agreement-governed rights between beneficiaries: Section 12(h) says the lodged agreement governs inter-beneficiary rights and obligations. That agreement, once lodged and approved, binds persons who become entitled to the benefit as if they had entered into it on becoming so entitled (s 12(i)). Thus, contractual remedies under that agreement could be the basis for enforcement between pipeline owners.

• Register-based protection: The Act enables entries on the Register to record the easement and covenant (s 18(1)). Such recording provides notice, which is a precondition for certain property-law remedies and assists enforcement because it embeds the burden in public title records.

Absence of statutory penalties

• No offences specified: Unlike some statutes that prescribe fines or criminal offences for damaging infrastructure or breaching statutory duties, this Act does not attach specific penalties for non-compliance with the terms of the statutory easement or covenant. Instead, enforcement rests on private civil enforcement, registration and the usual equitable and common-law remedies available for breaches of covenants, easements and contracts.

No compensation and judicial limitation

• Section 20 disallows compensation being payable by the Crown, the Corporation or Elgas in respect of the extinguishment, creation or variation effected by the Act. That provision removes, at least in statutory language, the common law or equitable expectation of compensation for those particular statutory actions. Section 22 records Parliament’s intention to alter or vary the Supreme Court’s jurisdiction under s 85 of the Constitution Act 1975 to prevent the Court entertaining actions for compensation in these circumstances. The Act therefore attempts to narrow the remedies available for those specific property changes away from compensation claims against the named public/private entities.

Practical enforcement risks and consequences

• Remedies likely to be equitable/property-based: Given the Act’s structure, an aggrieved landowner’s remedies will likely be equitable relief (injunction, specific performance where appropriate) or damages in tort or contract for consequential loss where a breach by a pipeline owner or a beneficiary of the easement arises. The Act’s s 19 prevents operation of the creation/extinguishment/variation as a breach of pre-existing agreements; that reduces one avenue for contractual damages flowing from the statutory change itself.

• Uncertainty over scope of court limitation: Section 22 states an intention to limit the Supreme Court’s jurisdiction. How courts would treat that Parliament-made intention in practice, and whether other jurisdictions or heads of claim remain open, is a matter for judicial interpretation. The Act itself does not specify which alternative remedies (if any) survive for affected parties, beyond private enforcement of the statutory covenant/easement and the general availability of other common-law or equitable causes of action not expressly displaced.

• Administrative enforcement: The Minister and Governor in Council have administrative roles (approval and issuance of permits) that may result in administrative review pathways under general administrative law, but the Act itself does not set out a tribunal or regulator that enforces pipeline operations under these special arrangements. From the appointed day, operation, transfer and modification activities fall under the Pipelines Act regime as specified (s 15(6)), which will carry its own enforcement framework for later renewals, transfers and operations.

In short, enforcement under this Act is principally via private civil remedies and register-based notice, layered onto the Pipelines Act regime for operational enforcement after the appointed day. The Act removes statutory compensation from the named parties in respect of the changes it effects, and it expresses Parliament’s intention to limit Supreme Court compensation claims in response.

The Act is tightly cross-referenced to several other statutes and modifies the operation of, or relationship with, those laws in specified ways.

• Gas and Fuel Corporation Act 1958: The Act must be read as one with the Gas and Fuel Corporation Act 1958 (s 5). Many operative provisions concerning rights and obligations of the Corporation will therefore sit alongside that Act’s framework. Section 1(b) of this Act expressly includes amendment of the Gas and Fuel Corporation Act 1958 concerning the creation of easements in favour of the Corporation as one of its purposes.

• Pipelines Act 1967: The Act interacts substantively with the Pipelines Act. On the appointed day Elgas is deemed to hold the necessary permit and licence under the Pipelines Act to own/use and operate the Heatane pipeline on the terms and period specified in the Order under s 11; the Corporation’s corresponding permits are cancelled (s 15(1)-(2)). The Minister must issue permit and licence documents to Elgas (s 15(3)), and must amend permits for the Corporation pipeline so the authorised route in them accords with Schedule 1 (s 15(4)). The Act excludes the Pipelines Act from applying to the specific deemed actions (granting the deemed permit, issue of permit documents, amendment and cancellation by force of that section) (s 15(5)), but the Pipelines Act applies thereafter to renewals, transfers, amendments and cancellations of those permits, new permits after expiry, transfers of interests in pipelines, and construction, operation and use of the pipelines (s 15(6)). Importantly, the authorised route specified in a permit cannot be varied under the Pipelines Act unless the statutory easement is varied at the same time (s 15(7)). Thus, the legislative design requires concurrent administrative and statutory variations to change routes.

• Transfer of Land Act 1958: Section 18 directs the Registrar of Titles to record the statutory easement and covenant on folios of the Register under the Transfer of Land Act. The request for registration must specify folios and Central Plan Office references (s 18(2)). The Registrar may make the recording without production of title or plan of survey (s 18(3)). Section 18(2A) added by amendment requires the Registrar to bring land under the Transfer of Land Act before acting if the land is not Crown land and not already under that Act. Those provisions modify ordinary registration processes by enabling recording on request, and by enabling recording without standard documentary formalities.

• Survey Co-ordination Act 1958 / Surveyor-General’s role: The Central Plan Office and Surveyor-General functions are engaged. The Surveyor-General may prepare and sign substitute plans for Schedules 1 and 2 to correct defects or improve identification and must lodge them at the Central Plan Office and with the Minister (s 10). Substitute plans may rely on corporate construction plans without a formal survey (s 10(2)(b)). The Surveyor-General also may prepare plans in respect of variations under s 16(4).

• Constitution Act 1975: Section 22 states an intention to alter or vary section 85 of the Constitution Act 1975 to the extent necessary to prevent the Supreme Court from entertaining actions for compensation in circumstances in which s 20 says no compensation is payable. This is an explicit legislative statement of intent to limit judicial remedies arising from constitutional or statutory avenues. How courts will reconcile s 22 with constitutional protections or judicial review remains subject to judicial interpretation.

• Other Acts and rules of law: Section 14 expressly preserves the statutory easement and covenant’s effect "despite any other Act or rule of law to the contrary" and specifies that they have effect even if there is no land capable of being benefited, even if they burden land owned by a person entitled to the benefit, and even if they affect Crown land, reserved Crown land, a public highway or road (s 14(a)-(d)). That provision makes the statutory easement/covenant a special, overriding instrument in relation to conflicting statutory or common-law rules.

Practical interface and sequencing

• Administrative sequencing is important: the transfer to Elgas is ineffective until the Governor in Council Order (s 8(2), s 11). The Surveyor-General may update plans before the Order (s 10), and documents must be lodged with the Minister and Central Plan Office (s 9). On the appointed day effects under this Act occur which then bring pipeline regulatory matters under the Pipelines Act (s 15).

• Variation coordination: Any attempt to vary an authorised route under the Pipelines Act must be coordinated with a variation of the statutory easement (s 15(7)). Similarly, variations to the statutory easement that burden new land are limited unless authorised concurrently by permissible Pipelines Act route changes or for corrective reasons (s 16(6)). Practitioners should therefore sequence land/easement changes and regulatory approvals.

• Registration and title impacts: The Registrar’s power to record the statutory easement without production of title documents or survey (s 18(3)) and the obligation to bring non-Transfer-of-Land land under that Act prior to recording (s 18(2A)) create practical steps in conveyancing and title management.

• Contract and pre-existing rights: Section 19 protects parties from a finding that the statutory creation, extinguishment or variation constitutes a breach of prior agreements. However, section 13(1) removes the ongoing contractual effect of terms that are restrictive covenants discharged by the Act. The Act therefore modifies the interplay between statutory change and contract-based expectations.

In short, the Act creates a bespoke overlay that displaces some ordinary legal rules, requires concurrency with the Pipelines Act for certain changes, and gives administrative actors specific roles while preserving private enforcement in the civil sphere.

The version supplied incorporates a number of formal amendments recorded in the endnotes. These changes are limited in scope and are identified in the Act’s endnotes.

Key amendments recorded in the Endnotes:

• Transfer of Land (Single Register) Act 1998 (No. 85/1998): Assent 17 November 1998, commencement for relevant items on 1 January 1999 (s 24(Sch. item 27)). This Act amended s 18: S. 18(2)(b) and later inserted s 18(2A) and made consequential repeals; the endnote specifically records the amendment entries at schedule item 27.1 etc. The effect in the Act text is that s 18(2)(b) shows an amendment note and s 18(2A) was inserted by No. 85/1998 s 24(Sch. item 27.2). S. 18(4) and (5) were repealed by that Act (see endnote).

• Corporations (Consequential Amendments) Act 2001 (No. 44/2001): Assent 27 June 2001, commencement 15 July 2001. This amendment changed the definition of "Elgas" in s 3(1) to specify Elgas Reticulation Pty. Ltd. as a company within the meaning of the Corporations Act (see the note beneath s 3(1) that S. 3(1) def. of Elgas amended by No. 44/2001 s 3(Sch. item 55)).

• Energy Legislation Further Amendment Act 2007 (No. 55/2007): Assent 7 November 2007, with s 35 commencing 8 November 2007. This Act inserted s 20A, a retrospective deeming provision about the wording of the relevant Governor in Council Order made and published on 25 August 1994, and defined "relevant Order" accordingly (s 20A(1)-(2)).

• Statute Law Revision Act 2013 (No. 70/2013): Assent 19 November 2013, with commencement of s 3(Sch. 1 item 18) on 1 December 2013. The endnote notes s 21 was repealed by this Act (No. 70/2013 s 3(Sch. 1 item 18)). (s 21 had earlier been blanked or repealed.)

Versioning and effective dates

• The Act’s commencement: The Act came into operation on the day on which it received Royal Assent, which was 16 November 1993 (s 2 and endnotes). The Act’s Version No. 015 incorporates those listed amendments as at 1 December 2013.

Nature and purpose of amendments

• Mostly technical and consequential: The recorded amendments are largely administrative or consequential. The Transfer of Land amendment adjusted registration mechanics to align with the Single Register reforms (s 18 adjustments and s 18(2A) insertion). The Corporations Act amendment updated the corporate naming/definition of Elgas to sit with the Commonwealth Corporations Act regime. The 2007 amendment added s 20A to tidy up the form of the relevant Order.

• Deeming and retrospective posture: Section 20A is a retrospective deeming clause about what the relevant Order had the force of. That is a targeted fix to remove any doubt about the approved transfer wording; the Act records it explicitly (s 20A(1)).

No other substantive policy rewrites are recorded in the supplied endnotes. Practitioners should, however, check for any subsequent amendments after 1 December 2013 if relying on current operational law.

The Act text and accompanying endnotes provided do not record any judicial decisions or litigation history concerning the Gas and Fuel Corporation (Heatane Gas) Act 1993. The Endnotes section labelled "Explanatory Details" contains no entries (no case citations, no reported challenges). Therefore there are no cases named in the source material as having interpreted or applied the Act.

What the Act itself indicates about litigation risk

• Parliament’s attempt to limit compensation claims: The Act contains s 20, which disclaims compensation payable by the Crown, the Corporation or Elgas in respect of the extinguishment, creation or variation by the Act. Section 22 records an intention to alter or vary s 85 of the Constitution Act 1975 to the extent necessary to prevent the Supreme Court entertaining actions for compensation in circumstances in which no compensation is payable by virtue of s 20. Those express legislative intentions suggest Parliament anticipated potential litigation and sought to preclude certain remedies. How courts would treat those provisions (including any constitutional challenge or broader claims) would be a matter for judicial determination, but the supplied materials include no reported authority on that point.

• Non-breach protection: Section 19 expressly states that the statutory extinguishment, creation or variation of interests and the exercise of rights attaching to the statutory easement do not constitute a breach of any agreement, arrangement or understanding existing immediately before the appointed day between a person entitled to the benefit of the easement and a person whose land is burdened. That provision is designed to narrow contractual remedies that might otherwise be claimed in litigation.

Absence of cases in the source

• The supplied source contains no cases, no citations to judicial review proceedings, and no reported litigation outcomes. Consequently, this deep dive cannot summarise judicial reasoning, appellate rulings, or precedent about interpretation of s 12 extinguishment, the scope of s 14’s overrides, the competence of Parliament under s 22 to alter jurisdiction, or the operation of s 20’s compensation bar against constitutional challenges. Users should search law reports and databases for any subsequent litigation that may have arisen after this version’s incorporation date.

What practitioners should watch for

• If pursuing or defending claims, especially on compensation, constitutional remedy, or title recording, check for any reported High Court, Victorian Court of Appeal or Supreme Court decisions that interpret s 20, s 22, s 12, s 14 or s 18 procedural aspects.

• Because the Act attempts to modify remedies and jurisdictional access, any litigation history will be central to assessing enforceability and the availability of damages or equitable relief; absent recorded cases in the source, practitioners should perform a jurisdiction-wide case search.

This Act contains several practical and legal "gotchas",specific provisions that produce non-intuitive consequences or create operational risks. Practitioners and affected stakeholders should be alert to these mechanics.

1. No compensation for extinguishment/creation/variation (s 20)

• The Act expressly disclaims compensation being payable by the Crown, the Corporation or Elgas in respect of the extinguishment, creation or variation by this Act of an interest, right, privilege or obligation over land (s 20). That shifts economic risk of the statutory restructuring onto landowners and third-party right-holders. While s 22 expresses an intention to limit Supreme Court jurisdiction accordingly, the precise scope of judicial review and alternative remedies is not set out in the Act itself. Landowners should not assume an entitlement to statutory compensation for diminution in value from these specific changes.

2. Extinguishment of pre-existing easements and covenants (s 12(a)-(b))

• The Act extinguishes existing pipeline easements, rights or privileges in favour of the Corporation relating to the specified land and discharges restrictive covenants in favour of the Corporation relating to those extinguished easements (s 12(a)-(b)). If a restrictive covenant was also a contractual term, that contractual term ceases to have effect from the discharge (s 13(1)). Parties relying on pre-existing covenants for continued protection must check whether those instruments are covered and whether the statutory change removes their contractual protections.

3. Statutory easement will bind land despite usual limits (s 14)

• Section 14 makes the statutory easement and covenant effective even where ordinary rules would invalidate them , for example, where no land benefits, where the burden may fall on land owned by one of the beneficiaries, and where the land is Crown land, reserved Crown land, a public highway or road (s 14(a)-(d)). Expect property-law edge cases where the statutory burden creates overlapping or unusual rights against government or public land.

4. Pipelines treated as personal property (s 7)

• Declaring the pipelines non-part of the land and personal property affects fixture analysis, bankruptcy, secured transactions and conveyancing. Security interests and dealings in land that otherwise rely on fixtures law may not automatically capture pipeline assets; practitioners should structure security and transfer documents with the Act’s property characterisation in mind.

5. Deeming of permits and Pipelines Act carve-outs (s 15)

• The Act deems Elgas to hold permits and licences under the Pipelines Act on the appointed day and excludes the Pipelines Act from applying to those particular deeds/actions (s 15(1)-(5)). However, s 15(6) brings subsequent renewals, transfers and operations under the Pipelines Act. Practically, the transfer may be administratively simplified, but future changes will be governed by the Pipelines Act and cannot vary authorised route without concurrent statutory easement variation (s 15(7)). Failure to coordinate could produce regulatory non-compliance.

6. Variation restrictions and procedural traps (s 16)

• An easement or covenant cannot be varied except under the Act (s 16(10)), and variations that burden other land are tightly limited (s 16(6)). Moreover, variations have no effect unless lodged at the Central Plan Office (s 16(7)-(9)). Agreements altering obligations must therefore follow the precise lodging and Surveyor-General-plan steps or be ineffective.

7. Registration without title production (s 18(3))

• The Registrar may record the statutory easement or covenant without production of any consent, certificate of title, plan of survey or other instrument (s 18(3)). That expedites registration but creates potential issues for parties examining title copies who may find burdens recorded without the usual supporting documents. Conversely, if land is not under the Transfer of Land Act the Registrar must first bring it under that Act before recording (s 18(2A)), which creates a procedural step that can delay registration.

8. Plan reliance and substitute plans without survey (s 10, s 16(4)-(5))

• Substitute plans prepared by the Surveyor-General may be based on corporation construction plans without a formal survey (s 10(2)(b), s 16(5)(a)). That can lead to discrepancies between on-ground realities and plan depiction. The Act permits corrective variations in limited circumstances but practitioners should verify on-the-ground alignment and anticipate boundary disputes.

9. Party binding and succession rules (s 12(i), s 13(2))

• The agreement lodged under s 9 binds persons who become entitled to the benefit as if they had entered into it on becoming so entitled (s 12(i)). However, if a person bound by the agreement ceases to be the owner of one of the pipelines, the agreement ceases to bind that person (s 13(2)). That interplay requires careful drafting for succession, assignment and transfer scenarios to ensure continuity of obligations.

10. Express non-breach but possible consequential claims (s 19)

• Section 19 says the statutory extinguishment, creation or variation and the exercise of rights attaching to the statutory easement do not constitute a breach of any existing agreement. That removes a straightforward contractual claim against beneficiaries, but affected parties may still have other heads of claim (e.g., tort, administrative law, or constitutional claims). Do not assume s 19 cuts off every avenue.

In practice, the "gotchas" combine statutory override mechanisms, administrative-decision dependence, and registration shortcuts that can lead to quick, effective legal changes with limited compensation exposure. Careful scrutiny of lodged statements, plan numbers, and timing around the Governor in Council Order is essential.

This section sets out a practical compliance checklist and procedural steps drawn from the Act’s requirements and mechanics. It is oriented to the principal actors: the Corporation, Elgas, owners of burdened land, the Minister’s office, the Surveyor-General, and the Registrar of Titles.

For the Corporation and Elgas (pre-Appointed Day steps)

1. Prepare the statement required by s 9(1)

   • Jointly prepare a written statement that specifies: a) the rights to be given to the persons entitled to the benefit of the statutory easement (s 9(1)(a)); b) the obligations to be imposed on owners of the land to be burdened (s 9(1)(b)); c) the obligations of the persons entitled to the benefit with respect to use and protection of the land (s 9(1)(c)).
   • Ensure the statement expressly identifies rights and obligations as intended to be enforceable as covenants running with the land per s 12(f)-(g).

2. Prepare and sign the agreement contemplated by s 9(2)

   • Draft a written agreement addressing use of the statutory easement, respective rights and obligations in relation to the benefit of the easement, and procedures for taking proceedings in relation to the easement (s 9(2)(a)-(c)).
   • Include provisions for variation, notice, dispute resolution and successor binding, keeping in mind s 12(i) and s 13(2).

3. Lodge documents with Minister and Central Plan Office

   • Lodge copies of the statement and agreement with the Minister and at the Central Plan Office (s 9(3)). Production of copies is conclusive proof of their content (s 9(4)).
   • Provide plan reference numbers and any supporting construction plans the Surveyor-General may use (ss 9; 10(2)(b)).

4. Request and consult on substitute plans if necessary

   • If identification or boundaries require correction, request the Surveyor-General to prepare substitute plans under s 10(1) and consult in the plan-making process. Ensure the Surveyor-General lodges the plans at the Central Plan Office and with the Minister (s 10(3)).

5. Seek Ministerial recommendation and Governor in Council Order

   • Coordinate with the Minister’s office for the Minister to recommend the Order under s 11. The Order must approve the statement/agreement and specify the land to be burdened by reference to Schedules 1 and 2 (s 11(1)(a)-(b)) and may approve the transfer (s 11(1)(c)). Publication in the Government Gazette triggers the appointed day (s 11(2)).

On and after the appointed day (operational steps)

6. Transfer becomes effective; permits deemed (s 12; s 15)

   • The transfer of Heatane pipeline to Elgas is effective on the appointed day (s 12(j)). Elgas is deemed to hold the relevant permit and licence under the Pipelines Act for the Heatane pipeline on the terms specified in the Order (s 15(1)-(2)). The Minister must issue permit and licence documents to Elgas as soon as practicable (s 15(3)).

7. Amendments to Corporation permits (s 15(4))

   • Ensure the Minister amends any permits or licences held by the Corporation in relation to the Corporation pipeline so the authorised route specified accords with Plan LEGL93/206 (Sch 1) where relevant.

8. Register the easement and covenant (s 18)

   • Persons entitled to the benefit should, without delay after the Order, request the Registrar of Titles to record the statutory easement and covenant on relevant folios of the Register, specifying Central Plan Office plan reference numbers and folios (s 18(1)-(2)). Include a copy of the Order with the request (s 18(2)(d)). If land is not under the Transfer of Land Act, the Registrar must first bring it under that Act (s 18(2A)).

Variation and ongoing compliance

9. Use s 16 process for any variations

   • To vary the agreement lodged under s 9, execute a further agreement and ensure it is lodged with the Minister and Central Plan Office (s 16(1), (7)-(9)).
   • To vary the statutory easement or covenant, beneficiaries should prepare an instrument of variation jointly and lodge it (s 16(2), (7)-(9)). The Surveyor-General may prepare plans for the variation on request (s 16(4)-(5)).
   • Do not assume an oral or unlodged variation has effect; s 16(8) says variations have no effect until lodged.

10. Burdening other land , check s 16(6) constraints

    • If a proposed variation would burden other land, ensure it occurs in conjunction with a change to the authorised route under the Pipelines Act and is made with the agreement of owners or authorised by another Act, or limit the variation to correction of error/defect/discrepancy as specified (s 16(6)).

Operational and regulatory compliance (Pipelines Act interface)

11. Coordinate route and permit changes with the Pipelines Act

    • Any variation that would alter an authorised route must be coordinated under both regimes: the Pipelines Act route variation and a concurrent variation of the statutory easement (s 15(7)).

12. Maintain records at Central Plan Office and Minister’s office

    • All statements, agreements and variation instruments must be lodged with the Central Plan Office and the Minister (ss 9(3), 16(7)). Keep copies and ensure the production of lodged documents for conclusive proof (s 9(4), s 16(9)).

Practical document checklist for lodgement and registration

• The statement specifying rights and obligations (s 9(1)).
• The agreement between Corporation and Elgas (s 9(2)).
• Any substitute plans prepared or requested from the Surveyor-General (s 10).
• The Order under s 11 once made and published (s 11(2)).
• For s 18 Registrar requests: Central Plan Office reference numbers (required by s 18(2)(a)), folio numbers if under Transfer of Land Act (s 18(2)(b)), the requested register amendments (s 18(2)(c)), and a copy of the Order (s 18(2)(d)). For variations, include the copy of the agreement/instrument lodged at the Central Plan Office (s 18(2)(e)).

Risk and mitigation points for compliance

• Ensure early consultation with the Surveyor-General where plan accuracy could be disputed (s 10).
• Secure Ministerial engagement early to avoid administrative delay in recommending the Order (s 11).
• Lodge variation documents promptly and in the correct offices; an unlodged agreement will not vary the statutory instruments (s 16(8)-(9)).
• Note the absence of statutory compensation (s 20): negotiate protective contractual clauses where possible before an Order if a party anticipates loss that the Act’s statutory bar would otherwise leave uncompensated.
• For landowners concerned about burdens on public or Crown land, verify which parcels are in Schedule 2 and whether the statutory easement will affect rights of way, development approvals, or local government planning consents.

Following these steps and checking the referenced statutory provisions (notably ss 9-12, 15, 16, 18 and 20) will minimise implementation errors and reduce disputes arising from procedural non-compliance.
