Forrest Place and City Station Development Act 1985 (Western Australia)

This Act ratifies and gives statutory effect to a pre-existing contractual framework (the enabling agreement set out in the Schedule and any subsequent development plan agreement) for redevelopment of Forrest Place and the City railway station precinct in Perth. It converts the private‑party arrangements recorded in the Schedule into legal powers, procedural departures and property transactions enforceable under Western Australian law, and it authorises the principal public agencies to carry out the works and transactions contemplated by those agreements (see s 4, s 5 and s 6). The Act backdates the legal effect of certain provisions to 1 November 1985 and deems, for the purposes of the agreements, that specified modifications to other written laws operate in the terms agreed by the parties (s 4(2)-(3); s 5(1)-(2)).

Mechanically, the Act does the following (selected items grounded in the text):

Ratifies the enabling agreement and treats its terms as valid and effective from 1 November 1985, notwithstanding any inconsistency with other laws (s 4(1)-(3); Schedule).
Places powers and implementation duties on the City of Perth and the Public Transport Authority (Authority) to execute works, enter arrangements and perform acts necessary or expedient for implementation of the agreements (s 6(1)-(2); Schedule cl. 5).
Creates and vests reserved land in the City for defined purposes, and enables reservation in strata or air space above or below ground (s 8; Schedule cl. 6; s 16(1) regarding excision of air space).
Alters the application of parts of the Land Administration Act 1997 and related land statutes to the taking, vesting and easementing of the affected land, including exclusion of certain Land Administration Act sections from applying to resumptions made under the agreements (s 9; s 12(1); s 12(5)).

Forrest Place and City Station Development Act 1985

1. Short title

This Act may be cited as the .

This Act rests on several legal and project management concepts that determine allocation of rights, duties and risks. Each concept appears in the concise statutory definitions, in the enabling agreement reproduced in the Schedule, and in the amendments noted in the compilation table.

Reserved land and reservation in strata or air space. The Act contemplates creation of reserved land for distinct vertical layers of the project, denominated as Basement Reserve, Ground Level Reserve, Upper Level Reserve and the City Station Complex Reserve. Section 8 expressly allows the Minister’s power under the Land Administration Act 1997 to reserve Crown land in strata above or below ground level for implementation of the agreements. Section 16 permits the Governor to excise an air space and have it revested in the Crown, and removes that air space from the operation of the Transfer of Land Act 1893 upon a Gazette order. The Schedule contains detailed plans (First Schedule items) and descriptions for the reserves and the City Station Complex Plan (Schedule cl. 1 definitions; cl. 6).

Enabling agreement and development plan agreement. The statutory architecture distinguishes between the enabling agreement (text set out in the Schedule) and a later development plan agreement (DPA). The enabling agreement is ratified and deemed to have operated from 1 November 1985 (s 4). The development plan agreement, when executed, is given equivalent overriding effect against other law (s 5). The enabling agreement contains detailed project mechanics, responsibilities, timetables and cost allocations (Schedule cl. 1, cl. 3-16 and Schedules thereto).

Implementation powers and agency. Section 6 authorises the parties to implement the agreements and specifically empowers the City and the Authority to "execute all works, perform all acts and do all things necessary or expedient" for implementation (s 6(2)). The Schedule formalises the City’s role as agent for the State for project implementation, specifying contracting, entry, demolition and procurement powers (Schedule cl. 5). The Act also authorises specific licences and easements between the State, the City and Westrail for construction and support of the City Station Complex (Schedule cl. 6(9), cl. 6(12)-(14)).

Modification or exclusion of other laws. The Act contains express saving or variation clauses. Section 4(3) and s 5(2) treat any purported modification of law contained in the agreements as operative for the purposes of those agreements. Section 12(1) removes application of specified sections of the Land Administration Act 1997 to takings made to implement the agreements; s 12(5) excludes s 135 of the Planning and Development Act 2005 from applying to subdivisions made in implementation of the agreements; s 14 overrides sections 3.58 and 3.59 of the Local Government Act 1995 for disposals by the City in implementation of the agreements; and s 17 exempts certain local government tender regulations (the regulations made under s 3.57) from applying to execution of work or supply of goods under the agreements.

Title endorsements and successor binding. Sections 12A and 12B impose a form of running covenant or notice burden. When rights and obligations in relation to particular lots are conferred by the development plan agreement on named parties, those rights and obligations "enure for the benefit of or bind any person who becomes the registered proprietor of the land" (s 12A(2)). The Registrar of Titles must endorse the title and land register so a title search reveals that s 12A(2) applies (s 12B(1)-(2)).

Access controls and occupier liability. The City may restrict thoroughfare and close or restrict streets and public places for implementation purposes (s 11). For criminal enforcement, s 18 deems the City to be an occupier for the purposes of s 70A of The Criminal Code in relation to premises where works are executed and reserved land under its care.

Cost sharing, payments and financial mechanics. The Schedule spells out detailed cost allocations, escalation, invoicing, interest on overdue payments, and the parties’ obligations to pay indirect costs, project costs and specific payments to Westrail (Schedule cl. 12; see s 12 in the Act for complementary statutory directions). The State and City share indirect costs equally; Westrail has particular payment and reimbursement obligations and receives compensation for loss of air space through an upfront and annuity style payment stream (Schedule cl. 12(5)).

Project governance and disputes. The Schedule creates a Project Committee comprised of senior officials to decide disputes and approve variations where the parties cannot agree (Schedule cl. 8). The committee’s decisions are binding on the parties (Schedule cl. 8(5)-(6)). Force majeure is governed by a detailed contractual clause in the Schedule (cl. 16), with the Project Committee available to resolve disputes about force majeure claims (cl. 16(5)).

Statutory publication and parliamentary scrutiny. The Act requires that future agreements (the DPA and any amendment to the enabling agreement) be published in the Gazette and laid before each House of Parliament as soon as practicable after execution (s 20). The Act permits publication without plans or diagrams to satisfy the Gazette requirement (s 20(3)).

These main concepts are the legal levers by which the project converts design drawings and commercial allocations into statutory powers, land titles changes and administrative processes. They shift ordinary processes for resumption, reservation, tendering and disposal into a bespoke statutory regime tied to the agreement text and the DPA.

The Act and the enabling agreement create clearly identified classes of affected persons and entities. The principal affected parties are:

The City of Perth (the City). The City is the primary implementing agency. It is authorised to act as agent for the State for implementation (Schedule cl. 5), to receive vesting of reserved land and to manage, maintain and dispose of vested land as required by the agreements (s 13; s 14; Schedule cl. 6, cl. 10-13). The City is the respondent for Part 10 compensation claims under the Land Administration Act 1997 when land is taken to implement the agreements (s 12(2)). The City has duties to maintain, insure and manage the City Station Complex and other reserved areas (Schedule cl. 10-13).
The State and responsible Ministers. The State appears as a contracting party in the Schedule and is required to introduce and sponsor the ratifying Bill (Schedule cl. 3). The Minister for the administration of the Public Transport Authority Act 2003 may approve the Authority granting long leases beyond 50 years for implementation (s 19(1)) and the Governor has power to excise air space (s 16(1)).
The Authority (Public Transport Authority) and, historically, Westrail. The Act identifies the Authority (s 3). Prior to commencement of the Public Transport Authority Act 2003, the functions referenced in the Schedule were those of Westrail and the Minister for Western Australian Government Railways (Schedule preamble and later clauses). The Authority/Westrail has obligations and rights concerning easements, leases and operations on rail land, and is to be afforded opportunities to make submissions to the Project Committee where railway property is affected (Schedule cl. 6(9); cl. 8(4); s 19(2)).
Private landowners and Interested Parties. A range of private bodies are named in the Schedule as "Interested Parties" and as parties to particular rights and obligations. Section 12A lists particular lots and the party or parties in respect of each of those lots (for example, N.M.L. Nominees (Canberra) Limited; the Commonwealth of Australia and Australian Postal Commission; Commonwealth Banking Corporation; Westpac Investment Management Pty Ltd; City Arcade Pty Ltd; West Australian Trustees Limited). The Schedule requires negotiation with Interested Parties and defines project participation mechanics (Schedule cl. 4, cl. 6).
Contractors, consultants and suppliers. The City is authorised to enter contracts and to invite tenders and build contracts (Schedule cl. 7). The Act and Schedule contain procurement related directions, including a preference objective for local suppliers and labour (Schedule cl. 7(3)), and an exemption from certain local government tender regulations (s 17).
The general public and pedestrians. The Act directly authorises restriction or closure of streets and public places (s 11) and requires the City to provide and maintain temporary pedestrian accessways during implementation (Schedule cl. 7(6)). The City must maintain public pedestrian thoroughfares shown in the Design Drawings and may levy fees for use of service depots and facilities in the Basement Reserve (Schedule cl. 10(1)(d); cl. 13(5)).
Title registrars and successors in title. Section 12B imposes a duty on the Registrar of Titles to endorse particular titles and land registers so that searches reveal that s 12A(2) obligations bind successors. This affects conveyancing searches and the future marketability of affected lots.
Agencies administering other statutes. The Act amends the application of statutory regimes under the Land Administration Act 1997, the Transfer of Land Act 1893, the Local Government Act 1995 and the Public Transport Authority Act 2003 by creating exceptions, specific powers and vesting mechanisms (s 8, s 9, s 11, s 12, s 14, s 16, s 19). Those agencies will be engaged in vesting, registration and easement processes.

Who pays and who bears risk. The Schedule contains precise cost allocation clauses (Schedule cl. 12). The City and State share indirect costs equally. Project costs are allocated in a Fourth Schedule and adjust according to which Interested Parties participate (Schedule cl. 12(1)-(2)). Westrail is required to pay certain escalator/lift costs less a specified contribution and receives compensation for loss of air space by an upfront and annual payment stream (Schedule cl. 12(3)-(5)). The City bears recurring maintenance and operational costs for the City Station Complex (Schedule cl. 10, cl. 13).

Dispute resolution and decision-making. The Project Committee (Schedule cl. 8) decides disputes where the parties cannot agree. The Committee’s quorum and voting rules are specified and its decisions are binding on the parties. This centralised governance affects how disagreements between public agencies, private parties and the City will be resolved in practice.

In summary, the Act affects a broad range of public and private actors: municipal government, state transport agencies, private landowners and developers, contractors and the public who use the affected spaces. It shifts legal, financial and operational burdens onto the City for implementation and ongoing management, while protecting certain rail agency rights and creating express avenues for land title notice and statutory exceptions to normal land law processes.

The Act and the detailed enabling agreement in the Schedule allocate an extensive set of duties and rights. Below are the key allocations that a practitioner or compliance professional must note, each grounded in the Act or the Schedule.

Duties imposed on the City

Implement and manage the Project as agent for the State. The City is appointed agent for the State for implementation and completion of the Project and is authorised to enter contracts, incur costs and apply for permits on behalf of the State (Schedule cl. 5(1)(a)-(d)). The agency does not make the State liable for the care, control and management of the Reserved Land after completion (Schedule cl. 5(2)).
Execute works, demolition and entry. The City may enter onto Padbury Building Land to demolish buildings, relocate services and implement the Project in accordance with a licence from the State (Schedule cl. 6(13); Act s 7 which deems power to arrange demolition and supervise it).
Invite tenders and award contracts. The City must invite tenders and execute all building contracts necessary for implementation (Schedule cl. 7(1)). However, the City is exempt from certain tender regulations (Act s 17) and the Schedule encourages preference for local labour and suppliers (Schedule cl. 7(3)).
Manage and maintain facilities. After completion, the City is responsible for care, control and management of the Reserved Land (Schedule cl. 13(1)), including maintenance, lighting, power and structural integrity of the City Station Complex (Schedule cl. 10(1)(c); cl. 10(1)(b); cl. 10(1)(g)).
Financial obligations. The City must pay its allocated share of Project Costs and Indirect Costs, make certain periodic payments to Westrail for loss of future air space (Schedule cl. 12(5)), and pay Westrail’s reasonable costs for certain signalling and facilities when demanded (Schedule cl. 12(4)). The City is authorised to expend funds from City funds for implementation (Act s 15(1)).
Insurance and indemnity duties. The City must ensure builders and consultants maintain standard insurances for the project and itself effect and maintain certain policies (Schedule cl. 14(1)-(3)). The City and the State must indemnify each other for claims arising under the agency or implementation, split equally (Schedule cl. 5(3)).

Duties and rights of the State and Ministers

Vesting, reservation and title actions. The State must create specified A Class reserves vested in the City for the purposes listed in the Second Schedule by set dates (Schedule cl. 6(1)). The Governor may excise air space by Gazette order and revest it in the Crown (s 16(1)).
Payment obligations. The State shares Project Costs and Indirect Costs with the City as set out (Schedule cl. 12(2), cl. 12(6)-(7)), and must pay its proportion within 21 days after demand (Schedule cl. 12(7)). The State had responsibility to pay certain costs if the enabling Bill did not pass by a cut‑off date (Schedule cl. 3(2)(b)-(c)).
Approval powers. The Minister responsible for the Public Transport Authority Act 2003 may authorise leases of over 50 years by the Authority in implementation of the agreements (s 19(1)). The Minister for Railways approved the granting of easements referred to in the Schedule (Schedule cl. 6(10)).

Duties and rights of Westrail / Authority

Grant easements and leases. Westrail was required to grant an easement of support for the City Station Complex and to enter leases at peppercorn rental for specified purposes upon execution of relevant agreements (Schedule cl. 6(9)); s 19(2) confirms the Authority has power to grant irrevocable easements of support.
Operational maintenance. Westrail retains responsibility for operation and maintenance of railway property, station office and the platforms, and has rights to control and close access to railway platforms without notice (Schedule cl. 10(2); cl. 10(4)).
Cost sharing. Westrail was to pay for the escalators, steps and lifts as shown in the Design Drawings less $60,000 (Schedule cl. 12(3)), and the City was to reimburse certain Westrail costs per Schedule cl. 12(4). Westrail receives compensation for loss of future air space (Schedule cl. 12(5)).

Duties for private parties and successors in title

Binding obligations on successors. Section 12A(2) expressly provides that rights or obligations conferred by the development plan agreement on named parties in relation to specified lots enure to benefit or bind future registered proprietors. Section 12B requires the Registrar of Titles to endorse land records so searches disclose that s 12A(2) applies.
Participation mechanics. The Schedule governs whether and how Interested Parties participate and how cost allocations adjust if some or none participate (Schedule cl. 4(6)-(7); cl. 12(1)-(2)).

Procedural and enforcement rights

Street control and temporary closures. The City may restrict thoroughfare by placing barriers or by other means where the chief executive officer considers it necessary for implementation (s 11(1)). For permanent closure, the Act prescribes notice to the Minister and registration under the Transfer of Land Act for effect (s 11(2)-(3)).
Criminal enforcement interface. For s 70A of The Criminal Code, which criminalises unauthorised entry to occupied premises and related offences, the City is deemed an occupier of construction sites and reserved land under its care (s 18), enabling use of Criminal Code provisions to manage unauthorised access.
Publication and parliamentary laying. The Minister must publish in the Gazette and lay the development plan agreement or any future agreement before Parliament after execution (s 20). This gives parliamentary transparency and a formal record.

Key contractual protections and limits

The agreements may specify modifications to law that are effective for the project (s 4(3); s 5(2)). The Schedule contains indemnities that allocate many liabilities between the State and the City (Schedule cl. 5(3)). The City’s procurement obligations include local preference directives but those are framed as "to the extent that is reasonable and economically practicable" (Schedule cl. 7(3)), which leaves room for practical contracting judgement.

In sum, the Act and Schedule establish a detailed matrix of who must do what, who is paid and who bears operational, financial and title risks. The City is the principal actor on the ground with ongoing maintenance obligations, the State retains vesting and some approval powers, rail authorities retain and are compensated for certain operational rights, and private landowners and successors are bound by specified rights/obligations through title endorsements.

The Act does not create a broad new set of criminal penalties or civil fines within its own text. Enforcement and sanctioning mechanisms are instead mediated through existing statutory provisions, contractual remedies in the Schedule, registration and title mechanisms, and the interaction with other Acts. The principal enforcement mechanisms and penalty-related consequences are as follows.

Criminal enforcement by application of The Criminal Code. Section 18 expressly deems the City to be an "occupier" for the purposes of s 70A of The Criminal Code in relation to premises where works are being executed and reserved land under City care. That deeming means that Criminal Code offences that turn on occupier status, including offences relating to unauthorised entry, obstruction or interference with occupier’s directions, can be applied where a person contravenes lawful directions or warnings given by a City employee regarding access to construction sites or the reserved land (s 18(1)(a)-(b)). The Act therefore relies on existing criminal sanctions rather than creating new statutory penalties within this Act.

Civil enforcement through contractual rights and damages. The Schedule is a detailed contract between State, City, Westrail and other parties, containing indemnities, payment obligations and remedial obligations. Where a party breaches a contractual obligation in the Schedule, remedies will arise under contract law, and the parties have established the Project Committee as the primary dispute resolution body for project decisions (Schedule cl. 8(5)-(6)). The Act ratifies the Schedule so those contractual remedies may be exercised alongside the statutory mechanisms referenced in the Act.

Compulsory acquisition and compensation procedures. The Act modifies how land acquisition under the Land Administration Act 1997 is to be handled for implementation of the agreements. Section 12(1) removes specific sections of the Land Administration Act from applying to takings to implement the agreements. Section 12(2) makes the City the respondent for compensation claims under Part 10 of the Land Administration Act 1997 where land is taken by the State to implement the agreements. That provision places the financial exposure for compensation claims on the City’s procedures for managing and defending claims. The Act therefore channels compensation claims into existing statutory Part 10 processes, but shifts the party who must respond and hold conduct to the City (s 12(2)).

Title endorsements and obligations enforceable against successors. Section 12A binds successors in title to rights and obligations created in the development plan agreement, and s 12B requires the Registrar of Titles to make endorsements so title searches disclose the binding effect. These mechanisms operate as an enforcement device in the conveyancing and property law sphere: a purchaser of affected land will have notice via title endorsement that particular obligations or benefits enure to the land (s 12A(2); s 12B(1)-(2)). Failure to comply with title obligations may generate civil remedies, injunctions or damages under property and contract law.

Administrative enforcement and registration. The Act empowers the Minister to publish DGAs and to lodge orders for street closures with the Registrar of Titles (s 11(2); s 20). The ability to register orders under the Transfer of Land Act 1893 (s 11(2)(b)) gives the statutory framework administrative teeth, and registration creates public notice and enforceability. Similarly, the Governor’s order excising air space (s 16(1)) and the vesting of reserved land in the City (s 13) are implemented by administrative acts that bind third parties once registered.

Financial enforcement and interest on overdue payments. The Schedule prescribes interest on overdue payments to be payable at a rate linked to the City’s overdraft rate with the Commonwealth Trading Bank (Schedule cl. 12(8)). That provision establishes a financial penalty for late payment and an enforcement pathway where one party withholds funds.

Tendering and procurement exceptions with compliance implications. The City is exempt from regulation under s 3.57 tendering rules in certain respects for execution of work or supply (s 17), and s 14 allows disposal despite Local Government Act 1995 sections 3.58 and 3.59. These exemptions reduce the statutory procurement compliance workstream but do not remove contractual or administrative accountability. Public scrutiny remains through publication requirements (s 20), and the City must still act reasonably and in line with the Schedule’s local preference obligations (Schedule cl. 7(3)).

Scope for remedies under other Acts. Because the Act expressly modifies the application of other statutes (for example s 12(5) excludes Planning and Development Act 2005 s 135), some administrative avenues that would otherwise be available under planning or land law are limited for project implementations. However, statutory protections elsewhere (for example environmental approvals or safety laws) remain in force unless explicitly modified by the written agreements and the Act. Any enforcement action under those statutes would run in parallel to contractual remedies.

Absence of express new civil monetary penalties in the Act. The Act does not itself create fresh civil penalties or regulatory fines. Enforcement largely depends on existing penal or civil provisions (for example The Criminal Code or Part 10 Land Administration Act), contract remedies under the Schedule, registration of notices on title, and the Project Committee’s governance.

In practice, enforcement risks and exposures cluster around: (a) compensation claims for resumptions where the City is the respondent (s 12(2)); (b) contractual claims between parties arising from obligations in the Schedule and the DPA; (c) criminal offences tied to occupier status for unauthorised access or interference with work sites (s 18); and (d) obligations to pay scheduled sums and interest for overdue payments (Schedule cl. 12). The Act supplies mechanisms for registration, endorsement and publication to make enforcement practicable in the property and administrative contexts (s 12B; s 20).

The Act is expressly designed to interact with, and in some respects to modify, existing Western Australian statutes and administrative regimes. The interaction is both permissive and exclusionary: it grants powers that differ from ordinary statutory processes and excludes or modifies specified statutory provisions insofar as they would otherwise impede implementation of the agreements. Key intersections follow, with statutory citations.

Land Administration Act 1997 and reservation/vestings. The Act and Schedule operate directly with Part 4 of the Land Administration Act 1997 by authorising the Minister’s normal reservation power to be exercised in strata above and below ground for implementation of the agreements (s 8). Section 9 modifies Part 8 of the Land Administration Act 1997 as applied to reserved land by deeming section 150(5) to be amended to permit easements that "may prejudice the implementation of the agreements" (s 9(1)(c)). Section 12(1) states that specified Land Administration Act sections (ss 170-175) do not apply to land taken in implementation of the agreements, and s 12(5) removes the application of Planning and Development Act s 135 to subdivisions made to implement the agreements. Section 13 protects the City's care, control and management once land is vested, and forbids revocation of the vesting order without City consent (s 13(a)).

Transfer of Land Act 1893 and registration. Section 11(2) requires the Minister (administering the Land Administration Act 1997) to lodge a relevant order with the Registrar of Titles for registration under the Transfer of Land Act 1893 where a dedicated street is permanently closed. Section 16(1)(b) removes the operation of the Transfer of Land Act in relation to portions of air space after the Governor’s excision order is published.

Local Government Act 1995. The Act and Schedule provide explicit exceptions to certain local government rules. Section 14 permits disposals by the City of estates in land notwithstanding ss 3.58 and 3.59 of the Local Government Act 1995. Section 17 exempts regulations made under s 3.57 of the Local Government Act 1995 (regulations about tenders) from applying to execution of work or the furnishing of goods in implementation of the agreements.

Public Transport Authority Act 2003 and its predecessors. The Schedule and the Act were drafted to work with the historical Government Railways Act 1904 and Westrail, and later amendments updated the text to refer to the Authority. Section 19(1) permits the Minister to approve the Authority granting a lease for a period exceeding 50 years, despite s 15(6) of the Public Transport Authority Act 2003. Section 19(2) recognises that the Authority’s powers include granting easements of support over land below the City Station air space and makes such support easements irrevocable.

Planning and Development Act 2005. Section 12(5) expressly states that s 135 of the Planning and Development Act 2005 does not apply to subdivisions or amalgamations made in implementation of the agreements. Section 16(4) also excludes s 135 from applying to the air space and any premises in that air space for the City Station complex. These exclusions reduce the operation of certain planning constraints for the project.

The Criminal Code. The Act interacts with criminal law by deeming the City to be an occupier for the purposes of s 70A of The Criminal Code (s 18). This interaction imports criminal enforcement tools for control of access to construction sites and reserved land under City control.

Registrar and title endorsement regime. Sections 12A and 12B create an interface with land title law: specific rights and obligations in the development plan agreement bind successors and must be endorsed on the title by the Registrar of Titles so that searches reveal those burdens (s 12A(2); s 12B(1)-(2)). This interacts with the normal operation of the Transfer of Land Act and conveyancing practice.

Procurement, public works and local preference provisions. The Act designates implementation as a "public work" and "for a public purpose" (s 10), which can bear on statutory procurement or infrastructure frameworks. At the same time, the Act and Schedule exempt some local government procurement rules (s 17) while imposing a non‑mandatory preference for Western Australian contractors and suppliers to the extent reasonable and economically practicable (Schedule cl. 7(3)). The interaction is therefore a hybrid: public work status with bespoke procurement rules.

Statutory publication and parliamentary oversight. Section 20 requires that future agreements (the DPA and any amendments) be published in the Gazette and laid before Parliament. This interaction creates an accountability mechanism to Parliament that coexists with the private contractually‑based governance in the Schedule.

Amendments and continuity. The compilation table lists a series of amendment Acts and consequential provisions that updated references as institutional structures changed (for example, replacing references to Westrail with the Authority under the Public Transport Authority Act 2003, s 205; and amending interactions with land administration law under the Acts Amendment (Land Administration) Act 1997). Practitioners must therefore read the Act alongside those amending instruments and the current text of the interacting statutes.

Overall, the Act operates by tailoring and in defined respects disapplying or modifying the normal operation of other land, planning and local government laws to permit a negotiated, project‑specific implementation. Where law is not expressly modified, statutory obligations remain and apply in parallel. The Act depends heavily on administrative acts such as vesting orders, Gazette notices and registration under the Transfer of Land Act to give effect to its property outcomes.

The Act’s compilation table records several formal amendments and consequential updates that practitioners must note when tracing legal effect and temporal application. The key items in the amendment history (as reproduced in the compilation table and text) are as follows.

Original Act and immediate effect. The Forrest Place and City Station Development Act 1985 (No. 106 of 1985) received assent on 17 December 1985 and commenced the same day per s 2. Section 4 of the Act deems the enabling agreement to have operated and had effect from 1 November 1985.

Amendments to the enabling agreement published in the Gazette. Two amendments to the Enabling Agreement were published in the Gazette and are reprinted in the Schedule: an Amending Agreement dated 26 February 1986 (Gazette 11 Apr 1986 p. 1407-8) and a Deed of Variation dated 8 July 1986 (Gazette 1 Aug 1986 p. 2756-7). Those documents altered dates and timetable milestones in the Schedule (see Schedule Amending Agreement clauses 2 and Deed of Variation clauses 2-11). The compilation notes those Gazette insertions.

Forrest Place and City Station Development Amendment Act 1986 (No. 66 of 1986). This amending Act made substantive statutory changes to the enabling agreement’s operation. The compilation table indicates s 4 of that amending Act had retrospective operation to 17 December 1985, while ss 5 and 6 had commencement on 9 August 1986 and the rest of the Act commenced 28 November 1986. The 1986 Amendment inserted sections 12A and 12B into the principal Act which create the list of land descriptions and parties whose rights and obligations enure to successors and require title endorsements (see s 12A and s 12B).

Amendment Act 1995 (No. 6 of 1995). The Forrest Place and City Station Development Amendment Act 1995 is recorded in the compilation table with commencement on 24 May 1995. That instrument inserted s 19A to deem the concourse area within the limits of the Government railways for purposes of the Government Railways Act 1904 (s 19A(2)), which affects exercise of powers for maintaining security and order on the Government railways.

Local Government (Consequential Amendments) Act 1996 s 4. This amending provision, with commencement 1 July 1996, updated references in the Act following wider changes to the Local Government Act regime. The compilation table notes s 4 applied consequential amendments to the text.

Acts Amendment (Land Administration) Act 1997 Pt. 27 and s 141. The compilation table records that amendments under this Act commenced 30 March 1998. These amendments affected sections relating to reservation and easements to align with changes in the Land Administration Act and administration.

Perth Parking Management (Consequential Provisions) Act 1999 s 7(2). This amendment came into operation 7 August 1999 and adjusted interaction with parking management provisions where relevant.

Public Transport Authority Act 2003 s 205. This amendment (31 of 2003) came into operation 1 July 2003 and updated references from Westrail and Minister for Western Australian Government Railways to the Public Transport Authority and its responsible Minister, including inserting s 19 to give the Minister power to approve leases exceeding 50 years and to confirm easements of support by the Authority (s 19; insertion credited to s 205(5) of the 2003 Act).

Criminal Law Amendment (Simple Offences) Act 2004 s 82. Commenced 31 May 2005 and updated references relevant to criminal law aspects such as the occupational status of the City under s 70A of The Criminal Code as referenced in s 18.

Planning and Development (Consequential and Transitional Provisions) Act 2005 s 15. Commenced 9 April 2006 and inserted exclusions around s 135 of the Planning and Development Act 2005 for subdivisions and air space related to the City Station Complex (s 12(5), s 16(4)).

Standardisation of Formatting Act 2010 and later reprints. The Reprint as at 14 Sep 2001 and Reprint 2 as at 15 Nov 2013 incorporate previous amendments. The Standardisation of Formatting Act 2010 updated headings and formatting in a way that did not change substantive effect. The compilation table includes those reprints.

Land and Public Works Legislation Amendment Act 2023 Pt. 4 Div. 5. The compilation table records this as commencing 27 June 2024 (by SL 2024/120 cl. 2), likely to include minor modernising or consequential adjustments.

Practical implications of the amendment history. The key substantive insertions are s 12A/12B (1986) giving title endorsement and successor effect to development plan rights, s 19 and s 19A (1995; 2003) adjusting rail agency powers and the definition of Government railways’ physical limit, and the explicit exclusions of certain planning and land administration provisions for project implementation (2005 amendments). The amending instruments often focussed on updating dates, timetables and institutional names, as well as aligning the statutory framework with later land administration and public transport statutes. Practitioners must therefore read the Act together with its amending instruments and the current versions of the interfacing statutes (Land Administration Act 1997; Public Transport Authority Act 2003; Local Government Act 1995; Transfer of Land Act 1893; Planning and Development Act 2005) to apply the present legal positions.

The Act and the text provided do not record any litigation, judicial decisions or case law construing the Forrest Place and City Station Development Act 1985 or the enabling agreement. The Schedule does, however, create contractual dispute resolution and governance mechanisms which are relevant to how disputes would be managed if litigation were to arise.

Key dispute resolution and litigation‑relevant mechanisms in the text

Project Committee as primary dispute resolver. The Schedule establishes the Project Committee (Schedule cl. 8) as the forum to which parties may refer matters they cannot agree on, including allegations of unreasonable conduct. The committee’s decisions are to be binding on the parties (Schedule cl. 8(5)-(6)). The committee’s composition and voting rules are set out, including a specified quorum of three and a requirement that no member abstain from voting on matters referred to it (Schedule cl. 8(1)-(2)).
Force majeure and its management. The Schedule contains a detailed force majeure clause (cl. 16) that sets out the effect of excusing non‑performance, the notice requirements, ongoing communications and the Project Committee as the decision maker if a party disputes a claimed force majeure (Schedule cl. 16(2)-(5)). Those contractual structures will typically be the first line of dispute management before any potential litigation.
Compensation claims under land law. The Act places the City as the respondent in compensation claims arising under Part 10 of the Land Administration Act 1997 in relation to land taken to implement the agreements (s 12(2)). Those statutory compensation claims would be processed under the Land Administration Act procedures and could give rise to judicial review or civil proceedings if disagreements emerged over quantum or process. The Act also disapplies certain Land Administration Act provisions for takings to implement the agreements (s 12(1)), which may affect litigation strategies.
Title endorsements and successor obligations. Sections 12A and 12B require title endorsements so successors have notice of development plan obligations. Litigation arising from alleged breaches of obligations that enure to land could therefore be framed as property law or covenant disputes amenable to civil enforcement; the presence of the mandatory title endorsement provides a strong notice point for any prospective litigant.

Absence of recorded authorities in the source. Because the provided statute text and compilation notes do not list any judicial authorities, there is no authority within this source material that can be cited as precedent for interpretation of the Act or the Schedule. Practitioners assessing potential litigation would need to search the courts’ databases and the Westlaw/Lexis/JADE resources for relevant adjudications, and to examine how other project‑specific enactments have been interpreted in Western Australian courts for guidance.

Practical litigation considerations derived from the text

Administrative law challenges. Decisions by Ministers to excise air space, to make vesting orders or to lodge closure orders with the Registrar of Titles are administrative acts that could be challenged by judicial review if the procedures or statutory prerequisites were not observed, unless the Act or the enabling agreement insulated those decisions. The Schedule and s 3 contemplate parliamentary ratification and statutory authorisation for those acts, which will affect the viability of judicial review.
Contractual disputes between public bodies and private parties. The Schedule’s complex cost sharing, payment and indemnity provisions create multiple potential contractual disputes, particularly around allocation of Project Costs, the effect of non‑participation by Interested Parties, escalation, and variations to the Design Drawings. The Project Committee is the agreed first resolver, but failure to accept or comply with its decisions could lead to litigation.
Compensation and property claims. The City’s role as respondent in compensation claims (s 12(2)) places financial exposure in its administrative and legal budget; disputes over quantum and statutory procedure could lead to formal claims and litigation under the Land Administration Act 1997 processes.

Because the source contains no reported cases about this Act, the litigation history heading must note that the document does not itself provide litigation records. Users must consult external case law databases and the courts’ records for any decisions construing the Act or the enabling agreement. The statutory dispute mechanisms and the City’s role as respondent for compensation claims are the principal features that will shape any litigation that arises.

This Act and its Schedule create a bespoke statutory and contractual regime that departs in specific ways from ordinary land, planning and local government procedures. Several practical traps and non‑obvious consequences are embedded in the text. Below are concrete "gotchas" to surface for lawyers, accountants, compliance officers and project managers, each tied to the statutory provision or Schedule clause.

Agreements can modify other written laws and are deemed effective from an earlier date (s 4(2)-(3); s 5(1)-(2)). Practical consequence: the enabling agreement’s terms are statutorily privileged and can be read as modifying other laws for the purposes of project implementation. Do not assume that standard statutory limits or procedures can be relied upon without checking for an express agreement modification or exclusion in the Act or Schedule.
City bears compensation responder role (s 12(2)). Practical consequence: where land is acquired by the State to implement the agreements, the City is the respondent under Part 10 of the Land Administration Act 1997. That shifts financial and litigation exposure to the City even though the State is often the acquiring arm. Ensure the City’s budget and legal teams are prepared to handle compensation claims.
Removal or exclusion of Land Administration Act sections (s 12(1)). Practical consequence: sections 170-175 of the Land Administration Act 1997 do not apply to land takings for the agreements. This may change normal procedural protections and timelines for owners and claimants. Practitioners should check exactly which statutory protections remain available.
Title obligations enure to successors with mandatory endorsements (s 12A; s 12B). Practical consequence: rights and obligations recorded in the DPA can be binding on future registered proprietors and are required to be endorsed on title. Conveyancers must check title endorsements and cannot assume land is free of DPA encumbrances without a search.
Tender and disposal exemptions for the City (s 14; s 17). Practical consequence: the City may sell land and award contracts in implementation of the agreements without following certain Local Government Act procurement requirements. This reduces procedural safeguards that would ordinarily control public disposals and tendering. Compliance officers should document the legal basis for such exceptions and implement governance to manage perceived conflicts or procurement risk.
The City is deemed occupier for Criminal Code purposes (s 18). Practical consequence: criminal offences relating to unauthorised entry or obstruction may be invoked on construction sites and reserved land. However, this implies the City must appropriately manage signage, warnings and employee training to ensure enforceability.
Air space excision and removal from Transfer of Land Act (s 16(1)). Practical consequence: the Governor may excise air space and institutive changes in land law for the City Station Complex. This can alter land rights and future development rights in ways that standard cadastral practice may not anticipate. Property lawyers should check whether the excision has been published and registered.
Long‑term payments and compensation to rail authority (Schedule cl. 12(5)). Practical consequence: the City has an obligation to pay Westrail a $100,000 upfront payment and 14 annual payments of $139,280 to compensate for loss of future air space rights. These are long tail financial obligations with budgeting and accounting implications for years. Ensure these are recorded in the City’s long‑term liabilities and cashflow forecasts.
Procurement local‑preference wording is non‑absolute (Schedule cl. 7(3)). Practical consequence: the Schedule requires "to the extent that is reasonable and economically practicable" preference for Western Australian suppliers and labour. This is a qualitative standard that must be justified; procurement officers should document the objective reasons where non‑local suppliers are chosen.
Exclusions from planning subdivision rules (s 12(5); s 16(4)). Practical consequence: s 135 of the Planning and Development Act 2005 does not apply to subdivisions or air space related to the project. Typical planning checks and third party rights that would arise under s 135 may therefore be limited; planners and lawyers must closely track what approvals remain required.
Project Committee decisions are binding but may centralise authority (Schedule cl. 8). Practical consequence: the committee’s decisions bind parties but the composition gives the Minister, Lord Mayor (or Deputy) and the Metropolitan Region Planning Authority chair decisive control. Parties should be prepared to bring issues to the committee and understand the political and administrative dynamics that may influence outcomes.
Backdating and amendment history can alter rights retrospectively. Practical consequence: numerous amending agreements altered timings and milestones and the Act deems some provisions to have been effective from earlier dates. Historical due diligence is required to determine when specific rights crystallised and which version of the timetable governs particular obligations.
Registrar discretion to remove endorsements (s 12B(3)). Practical consequence: the Minister can request removal of a title endorsement where the Minister considers it no longer serves a useful purpose. That creates a political lever to remove a registration burden; conveyancers should check ministerial requests and their effect on title searches.
Multiple overlapping responsibilities between City and rail authority for maintenance and repair (Schedule cl. 10). Practical consequence: obligations for structural integrity, ventilation maintenance, lighting, and platform management are divided between the City and Westrail/Authority in nuanced ways. Failure to clarify responsibility during tendering and construction can create disputes and safety risk.
Interest on overdue payments tied to the City’s overdraft rate (Schedule cl. 12(8)). Practical consequence: commercial parties should note that interest for late payments is calculated at the daily rate payable by the City on overdraft accounts as specified by the Commonwealth Trading Bank at the date of demand. That ties interest exposure to a publicly variable commercial rate and compels close billing and payment monitoring.

For each of the foregoing, the text of the Act or Schedule contains the specific provision cited above. Mitigation steps include ensuring title searches for s 12B endorsements, budgeting long‑term liabilities arising from Schedule cl. 12, documenting procurement decisions under the tendering exemptions, and close coordination with the Authority/Westrail on safety and maintenance obligations. These are not theoretical risks; they are concrete legal and financial consequences of the Act’s bespoke framework.

Compliance with this Act and the Schedule requires integrated legal, procurement, property and project governance steps. Below is a practical checklist and explanatory guidance tied to statutory and contractual provisions to assist councils, agencies, contractors and advisers in meeting obligations and reducing implementation risk.

Confirm the operative documents and versions. Read the enabling agreement as set out in the Schedule together with any executed development plan agreement, and confirm that any amending agreements recorded in the Gazette have been properly incorporated (s 4; s 20; Schedule amendments). The Act deems the enabling agreement and the DPA to operate notwithstanding any law (s 4(2); s 5(1)), so compliance must be framed against the operative agreement language.
Verify land reservations, vestings and registrations. Ensure the State’s vesting orders for the Basement, Ground, Upper Level and City Station Complex reserves have been made and registered as required by the Schedule (Schedule cl. 6(1)). For any street closures, follow s 11(2) by notifying the Minister and seeking registration of the relevant order under the Transfer of Land Act 1893. Track whether Governor’s excision orders for air space under s 16(1) have been Gazette published and processed with the Registrar of Titles.
Check title endorsements and search obligations. For each lot listed in s 12A’s Table, ensure the Registrar’s endorsements under s 12B have been made so that title searches disclose that s 12A(2) applies. Update relevant conveyancing due diligence procedures to include checking for these endorsements and the presence of DPA obligations that enure to successors.
Comply with licence, entry and demolition authorisations. For entry and demolition on Padbury Building Land and Westrail land, use the licences granted under Schedule cl. 6(13)-(14). Ensure the City obtains and documents the required licences before entering private or Crown land and follows the timing in the Timetable as amended in the Schedule. Maintain records showing compliance with any conditions of entry and that works are limited to the licensed scope.
Manage procurement and tendering within the exemptions. The City has authority to invite tenders and to let contracts (Schedule cl. 7(1)), but regulations made under s 3.57 of the Local Government Act 1995 do not apply to execution of work or furnishing goods for the agreements (s 17). Even where exemptions exist, comply with the Schedule’s governance expectations: document the reasons for procurement choices, record adherence to the "reasonable and economically practicable" local preference objective (Schedule cl. 7(3)), and retain competitive procurement records to justify decisions if challenged.
Maintain required insurance and contract clauses. Ensure that builders and consultants maintain required insurance cover and that the City effects insurance policies as required by Schedule cl. 14(1)-(3). Contracts should include insurers’ waivers of subrogation, joint names where necessary, and the required public liability amounts (Schedule cl. 14(2)(b)(i)-(iii)). Maintain a register of policies and certificates and ensure continuity of cover during construction and for the required post‑completion periods.
Document cost sharing, invoicing and payment processes. Implement accounting controls to meet the payment timelines in Schedule cl. 12: demand cycles, 21‑day payment obligations for State payments, interest on overdue payments calculated per cl. 12(8), and Westrail payment and reimbursement mechanics for escalators and signalling works (Schedule cl. 12(3)-(4)). Record and reconcile indirect costs and ensure the City and State’s equal sharing of indirect costs is reflected in ledgers.
Prepare for the long‑term payment stream to rail authority. Recognise and account for the upfront and 14 annual payments to Westrail for loss of future air space (Schedule cl. 12(5)), and include these items in long‑term budget forecasts. Put systems in place to produce and remit these payments on the anniversaries specified.
Implement governance for Project Committee decisions. Where issues are not resolved between parties, prepare to refer disputes to the Project Committee (Schedule cl. 8). Ensure submissions to the committee, especially those by Westrail on railway affected matters, are documented and follow the procedural expectations. Keep records demonstrating good faith attempts to negotiate before referral as required by Schedule cl. 8.
Control access and safety on construction sites. Use s 11 to temporarily restrict thoroughfare and s 18 to enforce access control through Criminal Code provisions if required. Ensure construction site safety compliance, signage and documented warnings by City employees so that any criminal enforcement against unauthorised entrants is validly grounded.
Track changes in interlinked statutes. Because the Act modifies or interacts with the Land Administration Act 1997, the Planning and Development Act 2005, the Transfer of Land Act 1893 and procurement rules under the Local Government Act 1995, maintain a legal register of required cross‑approvals to ensure that statutory exclusions and exceptions are applied only where authorised by the Act and Schedule. Confirm whether s 135 of the Planning and Development Act has been correctly excluded for any specific subdivision or air space matter (s 12(5); s 16(4)).
Record indemnities and liability splits. Keep centralised contract and legal files that record the 50/50 indemnity split between the State and the City for claims arising out of the agency and implementation (Schedule cl. 5(3)). Where claims arise, ensure internal and external counsel coordinate defence and any claim apportionment consistent with the indemnity provisions.
Public disclosure and parliamentary requirements. After execution of any development plan agreement or amendments, ensure the Minister causes publication in the Gazette and lays the agreement before Parliament as soon as practicable (s 20(2)). It is sufficient to publish the agreement without maps, plans or diagrams to comply with s 20(3), but practitioners should note that omission of plans may affect public scrutiny.
Conveyance and successor registration processes. When transferring or leasing land (including peppercorn leases required by Schedule cl. 6(6)(b)-(c) and cl. 6(9)(b)), ensure proper registration under the Transfer of Land Act and compliance with s 14 (disposal powers). Where the City disposes of land in implementation of the agreements, document authority for any deviation from Local Government Act disposal rules.
Audit, record keeping and reporting. Implement an audit trail for design approvals, variations and timetables consistent with Schedule cl. 4(5)-(11) and cl. 12(10) that requires State approval for variations that increase the State’s contribution by over 2%. Keep contemporaneous records of approvals, design drawings and Project Committee minutes to support compliance and defend any subsequent challenge.

Following these steps will materially reduce legal, operational and financial risk. The Act and Schedule impose a mixture of statutory powers, contract duties and administrative procedures that require coordinated legal, financial and project controls to comply fully. Regular legal review is warranted because the Act operates by modifying other statutes and because its implementation depends on administrative acts (vesting orders, Gazette notices, Registrar endorsements) that must be correctly executed and recorded.
