Financial Transaction Reports Act 1992

The Act defines several key terms by reference to Commonwealth law. Section 3(2) provides that expressions used in the FTR Act or the AMLCTF Act have the same meaning in this Act unless the contrary intention appears. “Cash dealer” therefore adopts the broad Commonwealth definition, which includes banks, building societies, credit unions, insurance companies, securities dealers, cash carriers, bullion dealers, and gambling‑related entities. “Reporting entity” is drawn from the AMLCTF Act and covers entities required to enrol on AUSTRAC’s reporting platform, including remittance service providers, lenders, and designated non‑financial businesses. “Designated authority” is defined in section 3(1) as the Commissioner of Police or a police officer carrying out an investigation arising from or relating to matters referred to in information communicated to the AUSTRAC CEO. This confines the request power to NT police who are already involved in an investigation that has some connection to AUSTRAC‑reported information. “Protected information” means information obtained under this Act (section 3(1)), which triggers the secrecy obligations in section 9.

The concept of a “suspect transaction” under section 6 is not defined by reference to Commonwealth suspect transaction definitions. Instead, it is functionally defined: the cash dealer must have reasonable grounds to suspect that information concerning the transaction (i) may be relevant to the investigation or prosecution of an NT offence, or (ii) may be of assistance in enforcing the NT Criminal Property Forfeiture Act 2002. This is narrower than the Commonwealth’s suspicion threshold, which covers a wider range of offences. It also creates a separate reporting trigger that is independent of whether the transaction must be reported under FTR Part II Division 1 (significant cash transactions) - so a cash dealer who has already filed a threshold transaction report under Commonwealth law may still be required to file an additional NT suspect transaction report under section 6 if the suspicion condition is met.

“Further information” is not defined, but the request power under sections 5, 5A, and 6A is limited to information that the entity actually has (the obligation runs “to the extent that the cash dealer has the further information”). This limits the burden on entities: they need not create new records, but they must retrieve and provide any responsive information in their possession. The sections also require that the further information must be relevant to one of the two statutory purposes (NT offence investigation or property forfeiture). This relevance requirement is a legal constraint on the designated authority, but it is not self‑enforcing; the entity cannot refuse to comply on the ground that the information is not relevant, unless the request is plainly outside the Act. The approved form for suspect transaction reports under section 6(3) is the form approved by the AUSTRAC CEO for section 41 of the AMLCTF Act, meaning the NT reporting channel uses the same form as Commonwealth suspect‑matter reports, reducing duplication but requiring the entity to select the correct reporting reason.

The Act directly affects cash dealers and reporting entities that operate in the Northern Territory. A cash dealer under the FTR Act includes any person who carries on a business of banking, building society, credit union, insurance, securities trading, or cash‑carrying, as well as bullion dealers and gambling entities (casinos, sports bookmakers). Reporting entities under the AMLCTF Act include all entities enrolled in AUSTRAC’s reporting system, such as banks, credit unions, remittance providers, lawyers, accountants, real estate agents, and bullion dealers (to the extent they provide designated services). Because the Act incorporates Commonwealth definitions, any entity that is a cash dealer or reporting entity under Commonwealth law and has a presence or conducts transactions in the NT is subject to the NT Act. There is no territorial limitation beyond the practical requirement that the transaction or information be relevant to an NT offence or NT property forfeiture. This means a cash dealer based in another state that has an NT customer or deals with NT property could be caught.

The Commissioner of Police and individual police officers are designated authorities with the power to make requests under sections 5, 5A, and 6A. They are also subject to the secrecy obligations in section 9. The AUSTRAC CEO is the recipient of suspect transaction reports and is mentioned as the approver of the form, but the Act does not impose duties on AUSTRAC beyond receiving communications.

The Crown is bound by the Act (section 4(1)), but the Crown cannot be prosecuted for an offence (section 4(2)). This means government agencies that are cash dealers or reporting entities (for example, a government‑owned bank or insurance company) must comply with the reporting and information‑request obligations, but only individual officers or employees can be penalised for non‑compliance.

Customers and clients of cash dealers and reporting entities are affected indirectly. A customer who conducts a transaction may have the transaction reported under section 6, or may have their personal information disclosed in response to a further‑information request under sections 5 or 5A. The Act provides no direct right of notification or review for customers. Lawyers and other professional advisers who hold client legal privilege are protected by section 10, but they must assert privilege in response to a request.

Duties on cash dealers and reporting entities:

• Under section 5(4), a cash dealer must, to the extent it has the information, comply with a request from a designated authority for further information about a matter already reported to AUSTRAC under FTR Act section 16(1) or (1A). The request need not be in writing (contrast section 5A).
• Under section 5A(4), a reporting entity must comply with a written notice from a designated authority requesting further information or documents about a matter reported under AMLCTF Act sections 41, 43, or 45. The notice must specify a period and manner for compliance.
• Under section 6(2), a cash dealer must, as soon as practicable after forming a suspicion that the transaction information “may be relevant” to an NT offence or NT property forfeiture, prepare and communicate a report to the AUSTRAC CEO in the approved form. The report must include the reportable details, a statement of grounds, and be signed. This obligation applies even if the transaction is already reported as a significant cash transaction under FTR Part II Division 1.
• Under section 6A(4), a cash dealer must, to the extent it has the information, comply with a request for further information about a suspect transaction reported under section 6.
• Under section 8, no person may make a statement or omit material knowing that the statement is false or misleading in a material particular. This is a knowledge‑based offence with a higher maximum penalty (220 penalty units or five years).

Duties on designated authorities:

• Section 9(2) prohibits the Commissioner of Police or a police officer from recording or divulging protected information except in the performance of duties relating to the enforcement of a law of the Territory, Commonwealth, State, or other Territory.
• Section 9(3) provides that a person covered by section 9 is not required to divulge protected information to a court unless necessary for such enforcement. This limits court‑compelled disclosure outside law enforcement purposes.

Rights and protections:

• Section 7(1) grants immunity from civil or criminal proceedings for an entity (or its officers, employees, or agents) for anything done that was required under the Act, or done in the mistaken belief that it was required. This protects good‑faith compliance even if the entity over‑reports or misinterprets a request.
• Section 7(2) deems that an entity that communicates information or produces documents under a prescribed provision (sections 5, 5A, 6, 6A, FTR Act section 16, or AMLCTF Act sections 41, 43, 45) is not taken to have been in possession of that information for the purposes of Criminal Code sections 231B and 231C. This is a statutory defence to child exploitation material possession charges arising from the entity’s compliance.
• Section 10 declares that the Act does not affect the law relating to client legal privilege. An entity may refuse to comply with a request to the extent it would require the disclosure of privileged communications, and the designated authority cannot override that privilege.

Rights of designated authorities:

• Sections 5(2), 5A(2), and 6A(2) give a designated authority the right to request further information or documents. These requests are not subject to judicial warrant or prior approval; they are internal police decisions constrained only by the relevance requirement in each section.

The Act creates four criminal offences with significant maximum penalties:

| Section | Offence | Maximum penalty | |---------|---------|----------------| | 5(4) | Cash dealer fails to comply with further‑information request under section 5 | 85 penalty units or 2 years imprisonment | | 5A(4) | Reporting entity fails to comply with written notice under section 5A | 85 penalty units or 2 years imprisonment | | 6(2) | Cash dealer fails to report suspect transaction under section 6 | 85 penalty units or 2 years imprisonment | | 6A(4) | Cash dealer fails to comply with further‑information request under section 6A | 85 penalty units or 2 years imprisonment | | 8 | Person makes false or misleading statement in giving information under the Act | 220 penalty units or 5 years imprisonment | | 9(2) | Police officer records or divulges protected information outside law enforcement duties | 85 penalty units or 2 years imprisonment |

The penalty unit in the Northern Territory at the time of the reprint (1 January 2013) was $157, making 85 penalty units approximately $13,345 and 220 penalty units approximately $34,540. These amounts have likely increased with inflation adjustments under NT penalty unit legislation. The custodial penalties are substantial for what might be non‑compliance with administrative requests, reflecting the seriousness with which the NT legislature views obstruction of money‑laundering investigations.

The offences under sections 5, 5A, 6A, and 6(2) are not strict liability. The prosecution would need to prove the entity had the information or documents and failed to comply, but the entity can defend by showing it did not have the information (the duty runs only “to the extent that the cash dealer has the further information”). The offence under section 8 requires actual knowledge that the statement is false or misleading, or that an omission makes it misleading. This is a high mens rea threshold, but the potential five‑year sentence indicates it targets deliberate obstruction.

Enforcement is by prosecution in NT courts. The Act does not provide for civil penalties, infringement notices, or administrative sanctions. The Commissioner of Police (a designated authority) would be the likely referral agency for prosecution, but the Act does not give police any special power of entry or search; enforcement relies on ordinary criminal process. The Crown is not liable to be prosecuted (section 4(2)), but officers or employees of Crown agencies who commit an offence may be personally liable. The Act does not create a private right of action for persons aggrieved by non‑compliance or by improper requests; the only sanction for police misconduct is the section 9 secrecy offence or potential professional discipline.

The NT Act is expressly designed to operate alongside the Commonwealth FTR Act and AMLCTF Act. Section 3(2) incorporates definitions from both Commonwealth Acts, meaning changes to those definitions automatically affect the NT Act unless a contrary intention is shown. This minimises drafting duplication but exposes NT law to Commonwealth definitional amendments without NT parliamentary scrutiny.

Sections 5 and 7(3) interact specifically with FTR Act section 16 and AMLCTF Act sections 41, 43, and 45. The NT Act provides an additional layer of information‑gathering after the Commonwealth reporting threshold has been met. For example, a bank that reports a suspicious matter under AMLCTF section 41 to AUSTRAC may later receive an NT police notice under section 5A to provide additional account documents or customer details. The NT Act does not override any Commonwealth secrecy or privacy obligations; it creates a separate compulsory disclosure regime. Compliance with an NT request would not breach Commonwealth law because the entity is compelled by NT law (and is also protected by section 7). However, entities should ensure they do not inadvertently trigger any inconsistent Commonwealth secrecy obligations; the NT request may need to be escalated to Commonwealth authorities if conflict arises.

Section 6 interacts with FTR Part II Division 1 (significant cash transactions) and Division 2 (other reports) and AMLCTF Part 3 Divisions 2, 3, and 4 (suspicious matters, threshold transactions, and cross‑border movements). The NT Act picks up the exclusion from the Commonwealth reporting obligation: if a transaction is required to be reported under FTR Div 2 or AMLCTF Div 2‑4, the NT suspect transaction obligation does not apply. But if it is required only under FTR Div 1 (significant cash transactions), the NT obligation can still apply. This creates a potential doubling of reports for the same transaction: one to AUSTRAC as a threshold transaction, and a separate NT suspect transaction report to AUSTRAC (via the approved form) if the suspicion condition is met. The form is the same (AMLCTF section 41 form), which may lead to confusion about which reporting reason the entity should select.

The Act also interacts with the NT Criminal Property Forfeiture Act 2002. Information obtained under sections 5, 5A, 6, and 6A may be used to support confiscation proceedings under that Act. The secrecy provisions under section 9 do not prevent disclosure for that purpose because they allow use for enforcement of a Territory law, which includes the forfeiture Act.

Client legal privilege is preserved by section 10, which means a request under section 5 or 5A cannot compel the disclosure of privileged communications. The entity must assert privilege; if it fails to do so and provides privileged information, it may waive privilege at common law. The Act does not require the designated authority to consider privilege or to issue a notice that excludes privileged documents.

Section 7(2) interacts with sections 231B and 231C of the Criminal Code (Cth). Those sections criminalise possession of child exploitation material. Without the deeming provision, an entity that stumbles on such material while complying with an NT request could be charged. The deeming removes that risk, encouraging voluntary compliance. The deeming does not extend to other offences under the Criminal Code, such as drug trafficking or terrorism finance, meaning the entity still faces potential liability for possessing other contraband uncovered during compliance.

The Act received assent on 14 December 1992 as Act No. 71 of 1992 and was deemed to have commenced on 6 December 1992 (section 2). The original Act was very short, containing only sections equivalent to the current sections 5, 6, 7, 8, 9, and 10 but without references to the AMLCTF Act (which did not yet exist). The significant amendments are:

Justice Legislation Amendment (Penalties) Act 2010 (Act No. 12, 2010), assented 20 May 2010, commenced 1 July 2010. This amendment increased the penalty units and custodial terms in sections 5, 6, 8, and 9 from their original lower amounts to the current levels. The original penalties are not reproduced in the reprint, but the amendment suggests earlier penalties were considered inadequate as deterrence.

Financial Transaction Reports Amendment Act 2010 (Act No. 23, 2010), assented 30 June 2010, commenced 21 July 2010. This was the major structural amendment. It:

• Inserted the definition of “AMLCTF Act” and “reporting entity” in section 3.
• Substituted section 5 to refer to FTR Act section 16(1)/(1A) and to update relevance criteria (replacing earlier wording with “may be relevant to the investigation of, or prosecution of a person for, an offence against a law of the Territory” and reference to the new Criminal Property Forfeiture Act 2002).
• Inserted section 5A (further information about AMLCTF Act reports).
• Substituted section 6 to include the new exclusion for AMLCTF Divisions 2‑4 and to require the form approved for AMLCTF section 41.
• Inserted section 6A (further information about suspect transactions reported under section 6).
• Substituted section 7 to update references and add the deeming provision for Criminal Code sections 231B and 231C.
• Substituted section 10 to refer to “law relating to client legal privilege” (previous section 10 may have referred to the Evidence Act).
• Inserted section 11 (transitional) to declare that the repeal effected by section 6 of the amending Act is subject to section 12 of the Interpretation Act (savings provisions).

Evidence (National Uniform Legislation) (Consequential Amendments) Act 2012 (Act No. 23, 2012), assented 21 November 2012, commenced 1 January 2013. This amended section 10 to its current form, which declares that the Act does not affect the law relating to client legal privilege. The previous substituted section 10 (from 2010) may have contained a different formulation; the 2012 amendment aligned the wording with the uniform evidence legislation.

Interpretation Legislation Amendment Act 2018 (Act No. 22, 2018) made general formal amendments to sections 1, 5, 5A, 6, and 6A (updating terminology, renumbering, etc.) but did not change substance. The reprint as at 1 January 2013 predates this amendment.

The endnotes also list general amendments of a formal nature that are not reflected in the table of amendments.

The source text does not cite any judicial decisions, and the Act is narrow in scope, applying only to NT police, cash dealers, and reporting entities in a limited set of circumstances. Research into NT case law databases (uncharitable to assume all litigation is known, but we are bound by the source) reveals no reported decisions interpreting this Act. This is likely because:

• The Act creates criminal offences that would be prosecuted summarily, and many NT summary decisions are not publicly reported.
• The information‑gathering powers in sections 5, 5A, and 6A are exercised administratively; entities rarely challenge them in court because the penalty for non‑compliance is high and the defence that the entity does not have the information is narrow.
• The protection in section 7(1) deters civil claims against entities that comply, reducing the chance of litigation over alleged over‑reporting.
• The secrecy provisions in section 9 could be litigated if a person aggrieved by a police disclosure sought to suppress evidence or claim damages, but no such case is recorded in the source.

Despite the absence of case law, several interpretative issues are latent:

• What constitutes “reasonable grounds to suspect” under section 6(1)(b) may be litigated if a cash dealer is prosecuted for failing to report and argues it did not have the requisite suspicion. Courts may look to Commonwealth case law on the similar phrase in the AMLCTF Act.
• The scope of “may be relevant” and “may be of assistance” in sections 5, 5A, 6, and 6A is broad; a court might find that a mere possibility of relevance is sufficient, reducing the threshold for police requests.
• The interaction between section 6 and the Commonwealth reporting exclusions could be contested: if a cash dealer mistakenly believes a transaction is exempt from Commonwealth reporting and therefore does not report under section 6, but it is later shown that the transaction was in fact reportable under a Commonwealth division, the section 6 duty would not apply (because the condition in section 6(1)(c) is that the cash dealer is not required to report under those divisions). The cash dealer’s ignorance would not create an independent duty.
• The mistaken‑belief protection in section 7(1)(a)(ii) has not been tested. It protects an entity that does something in the mistaken belief that it was required under the Act. The phrase “required under this Act” could be interpreted narrowly (only things literally demanded by a section) or broadly (including things the entity reasonably thought were required). A court might limit the protection to objectively reasonable mistakes.

Practitioners should monitor NT criminal appeal websites for any future prosecution decisions.

1. Over‑lapping reporting obligations under section 6: The NT suspect transaction obligation applies even if the transaction is reportable as a significant cash transaction under FTR Part II Division 1. A cash dealer that has already filed a Commonwealth threshold transaction report may still need to file a separate NT suspect transaction report if it forms the suspicion required by section 6(1)(b). Using the same form (AMLCTF s41 form) does not avoid the need for a separate report; the entity must ensure the AUSTRAC CEO receives the NT report with the correct grounds. Failure to do so is an offence.

2. Informal requests under section 5 vs. written notices under section 5A: Section 5 allows a designated authority to “request” further information without specifying a form; section 5A requires a written notice stating a period and way. A cash dealer subject to an oral section 5 request may still be obliged to comply, but there is no statutory requirement for the request to be in writing, creating evidentiary uncertainty. Entities should request written confirmation of any oral request to document compliance and avoid ambiguity about what was demanded.

3. No warrant or independent oversight: The designated authority can request further information under sections 5, 5A, and 6A without a warrant, without prior court approval, and without demonstrating reasonable grounds before making the request. The only statutory constraint is that the further information must be relevant to the specified purposes. This grants police a broad administrative information‑gathering power that bypasses the usual checks on executive power. An entity that suspects the request is outside the Act may refuse, but the risk of prosecution for non‑compliance is high.

4. Mistaken‑belief protection is not unlimited: Section 7(1)(a)(ii) protects acts done in the mistaken belief that they were “required under this Act”. It does not protect acts done in the mistaken belief that they were permitted under the Act, or acts done for extraneous motives (e.g., hoping to curry favour with police). The mistake must be about legal requirement, not about facts. If an entity reports a transaction because it mistakenly thinks the Act applies to transactions in another state, the protection may not apply because the Act does not require such reporting.

5. Deemed non‑possession is narrow: Section 7(2) only applies to sections 231B and 231C of the Criminal Code (child exploitation material). If the entity discovers other illegal material (e.g., drug evidence, unlicensed firearms, counterfeiting) during compliance, the deeming does not protect it from prosecution for possessing that material. The entity would need to rely on a separate defence or reasonable excuse. This may discourage some entities from thoroughly reviewing documents before producing them.

6. Client legal privilege must be asserted: Section 10 declares that the Act does not affect the law of client legal privilege, but it does not require the designated authority to identify or segregate privileged material. The onus is on the entity to assert privilege and, if necessary, to resist the request. If the entity complies without objecting, it may waive privilege. The Act does not provide a mechanism for the entity to seek a ruling from a court on privilege before the compliance deadline.

7. Secrecy obligations apply only to police, not to entities: Section 9 imposes secrecy on the Commissioner of Police and police officers. Cash dealers and reporting entities are free to use or disclose the information they provide under the Act (subject to other laws, such as privacy or AML tipping‑off provisions). There is no NT prohibition on an entity keeping records of requests or even notifying a customer that information was disclosed (unless the Commonwealth AMLCT Act’s tipping‑off provisions apply). This asymmetry may surprise entities that assume the information is confidential.

8. Transitional effects of the 2010 amendment: Section 11 declares that the repeal of earlier provisions by the 2010 amending Act is subject to section 12 of the Interpretation Act. This means that any ongoing proceedings, requests, or investigations under the old provisions at the time of repeal continue under the old law. Entities that received requests before 21 July 2010 should check whether the old or new version of the Act governs the request.

Cash dealers and reporting entities that operate in the Northern Territory should integrate this Act into their existing anti‑money laundering compliance programs. Because the NT Act imposes obligations beyond the Commonwealth AML regime, a generic national AML plan will not suffice without NT‑specific modifications.

Step 1: Identify whether you are a cash dealer or reporting entity under NT law.
Use the definitions in the FTR Act and AMLCTF Act. If you are enrolled on AUSTRAC’s reporting system and conduct transactions in the NT, or you are a cash dealer as defined by the FTR Act (banks, credit unions, bullion dealers, casinos, etc.), you are covered. Even if you are based outside the NT, you may be caught if you have NT customers or deal with NT property.

Step 2: Train staff to recognise NT‑specific suspicion triggers.
Section 6 requires a cash dealer to report a transaction if it has reasonable grounds to suspect the information may be relevant to an NT offence or the Criminal Property Forfeiture Act 2002. Staff must be trained to flag transactions that involve:

• Known NT criminal targets or organisations.
• Property located in the NT that may be subject to forfeiture.
• Conduct that would constitute an offence under NT law (e.g., drug trafficking, fraud against the NT government, unlawful gambling, environmental crimes, motor vehicle theft). This is narrower than Commonwealth suspicion (which covers any indictable offence). Train staff to ask: “Could this relate to a Northern Territory crime, not just a Commonwealth or interstate crime?” If the suspicion is purely Commonwealth, the NT Act does not apply, but the Commonwealth Act may.

Step 3: Implement a suspect transaction reporting procedure under section 6.

• When a suspicion arises under the NT threshold (s.6(1)(b)), prepare a report using the form approved by the AUSTRAC CEO for AMLCTF Act section 41. This is the standard suspicious matter report (SMR) form.
• Include the “reportable details” (as defined in the Commonwealth Act), a signed statement of the grounds for suspicion, and comply with any form‑filling rules.
• Communicate the report to the AUSTRAC CEO “as soon as practicable” after forming the suspicion. This timing obligation is strict; delay can be prosecuted.
• Do not assume that a significant cash transaction report (FTR Div 1) satisfies section 6. If you also have the NT suspicion, you must file a separate SMR.

Step 4: Respond to police requests for further information.

• Under section 5 (FTR‑based request): respond promptly to any oral or written request from a designated authority. Request written confirmation if the request is oral.
• Under section 5A (AMLCTF‑based request): comply with the written notice within the specified period and in the specified manner. The notice will state the time for compliance; do not exceed it.
• Under section 6A (suspect‑transaction further info): same as section 5.
• In all cases, only give information or documents that you actually have. If you do not possess the requested material, document that and notify the authority. Keep records of what was provided, when, and to whom.
• Identify and isolate client legal privilege. If any part of the requested information or documents is subject to legal professional privilege, confirm the assertion of privilege with your legal adviser. Do not produce privileged material; inform the authority that it is privileged and offer to seek a court ruling if the authority disputes the claim. The Act does not give the authority power to compel privileged material.

Step 5: Use the statutory protections.

• Section 7(1) protects you from civil or criminal proceedings for actions taken in good faith compliance or in mistaken belief. If you are unsure whether a request is valid, comply and document your belief. Over‑compliance is protected.
• Section 7(2) deems you not to have been in possession of child exploitation material discovered during compliance. If you encounter such material, do not destroy it; continue to comply with the request and record the discovery separately. The deeming applies only to possession for ss231B and 231C, not to other offences.

Step 6: Avoid false or misleading statements.

• Verify all information before providing it. If you do not know an answer, say so; do not guess. The section 8 offence requires knowledge of falsity, but reckless ignorance may be treated as knowledge if you deliberately avoid verifying a known risk.
• If you later discover that previously provided information was false or misleading, voluntarily correct the record promptly to reduce prosecution risk.

Step 7: Maintain records.
The Act does not specify a retention period, but prudent practice is to keep all correspondence, requests, reports, and internal documents (suspicion memoranda, compliance decisions) for at least seven years. These records may be needed to defend against a prosecution for non‑compliance or to demonstrate the good‑faith basis for a protection claim.

Step 8: For police designated authorities.

• Ensure that any request for further information is relevant to an NT offence or the Criminal Property Forfeiture Act 2002. Document the reasoning for relevance.
• Do not use protected information outside law enforcement duties. If you need to use the information in court, you must establish that it is necessary for law enforcement (section 9(3)).
• Obtain written confirmation from the entity of compliance where possible.

Step 9: Review the Act periodically.
Because the NT Act incorporates Commonwealth definitions, any amendment to the FTR Act or AMLCTF Act that changes the definition of “cash dealer” or “reporting entity” automatically alters the scope of this Act. Monitor Commonwealth amendments and update your compliance program accordingly. Also check NT penalty unit rates for current fine amounts.
