Financial Agreement Between the Commonwealth, States and Territories (Approval) Act 1994

The Agreement in the Schedule rests on a small number of organising legal and financial concepts. Those concepts determine parties’ flows of cash, accounting treatment, institutional decision‑making and transitional obligations.

• Net public debt. Defined in clause 3, “net public debt” is the public debt of a State or of the Northern Territory less the balance credited to that State’s (or the Territory’s) account in the Sinking Fund until the Debt Retirement Reserve Trust Account is established, and thereafter less the balance in the Debt Retirement Reserve Trust Account. Clause 3 therefore makes the contribution base expressly debt net of particular reserves credited to the relevant account.

• Debt Retirement Reserve Trust Account. Clause 6 establishes a trust account with separate sub‑accounts for each State and for the Northern Territory. The Commonwealth is required to establish and maintain those sub‑accounts. Money credited to a sub‑account is to be applied by the Commonwealth to purchase, redeem or repay the securities of the relevant State or Territory (clause 6(6)-(7)). The account is to be held within the Commonwealth Public Account (clause 6(8)-(9)), and interest earned on the attributable balance is to be credited to that sub‑account.

• Contributions and floors. Clause 7 requires States and the Northern Territory to pay annual contributions designed to equal the aggregate of the parts of their public debt falling to be redeemed in a year, but in any event the contribution for a State or the Northern Territory cannot be less than 0.85 per cent of net public debt as at 30 June preceding the year. Clause 8 requires the Commonwealth to pay a contribution equivalent to 0.28 per cent of net public debt into the Sinking Fund or, after establishment, the Debt Retirement Reserve Trust Account.

• Loan Council as a coordinating body. Clause 4 continues the Australian Loan Council, specifying membership (Prime Minister or nominee; Premiers or their nominees for each State; Chief Ministers for the Territories for purposes of clause 4), quorum, chair (Commonwealth representative is Chairman), ability to convene meetings, rules of procedure and that the Loan Council “may make resolutions” in relation to borrowings, raisings and other financial arrangements (clause 4(9)). The Agreement states the Loan Council is to have the power to make resolutions only (WHEREAS (D)(ii)), and clause 4 includes practical voting and substitution rules.

• Indemnities and liability allocation. Clauses 13 and 14 require States and the Northern Territory respectively to indemnify the Commonwealth against liabilities “whatsoever” in respect of the public debt of that State or Territory, subject to narrow exceptions stated in those clauses. Clause 12(1) makes the States and the Northern Territory liable to repay to the Commonwealth expenses incurred or payments made by the Commonwealth in performance of the Agreement, listing categories such as loan flotation charges, management charges, stamp duties on transfer of securities, commissions, conversion/renewal/redemption expenses and exchange on transfer of moneys.

• Transitional treatment and rescission. Clause 16 rescinds the Principal Agreement except where preserved by clause 16(2), and it rescinds relevant provisions of the 1986 Arrangements in relation to debt outstanding as at 1 July 1990. Clause 2(2) deems clauses 7, 8, 10, 11 and 13 to have commenced on and from 1 July 1990.

• Conclusive accounting certificates. Clause 12(3) provides that a certificate by the Auditor‑General of the Commonwealth stating amounts repayable by a State to the Commonwealth and the matter in respect of which repayment is to be made is, “in the event of a dispute, be conclusive as to the amount and matter stated.” That makes the Commonwealth’s audit certificate the conclusive administrative instrument for disputes over the specified repayments.

• Currency conversion and face value. Clause 3 defines “face value.” For securities repayable in overseas currency, the face value is the equivalent in Australian currency calculated at the Reserve Bank of Australia selling rate to the Commonwealth Government at the time of conversion or at such other rate as agreed between the Commonwealth and the States.

These concepts together create a framework in which the Commonwealth acts as collector and trustee of sub‑accounts for debt retirement and in which the States and Territory have continuing payment obligations, with the Loan Council as the coordinating body for decisions about borrowings and other financial arrangements.

The Agreement identifies both institutional parties and categories of persons affected, and it prescribes distinct roles and obligations for each. The principal affected parties are:

• The Commonwealth of Australia. The Commonwealth is a party to the Agreement. It must seek Commonwealth legislation to abolish the National Debt Sinking Fund and to establish the Debt Retirement Reserve Trust Account and then pay into the new Trust Account the moneys standing to credit of the relevant Sinking Fund accounts (clause 1(2)). The Commonwealth is also responsible for establishing and maintaining separate sub‑accounts for each State and the Northern Territory (clause 6(1)-(3)), for making the contribution of 0.28 per cent of net public debt (clause 8(2)), for paying interest to bondholders on public debt taken over (clause 5(1)), and for applying monies from the Trust Account to purchase, redeem or repay securities (clause 6(6)-(7)). The Commonwealth has the exclusive right to chair the Loan Council (clause 4(4)) and to convene meetings (clause 4(6)).

• The States (New South Wales, Victoria, Queensland, Western Australia, South Australia, Tasmania). Each State is a party and, for many clauses, the term “State” is defined to include the Territories in limited respects (see the prefatory definitions). States must continue to pay to the Commonwealth the whole of the interest on public debt taken over by the Commonwealth and on monies borrowed by the Commonwealth on the State’s behalf (clause 5(2) and 5(5)). States must pay annual contributions to the Commission (for credit to the Sinking Fund) until the Trust Account is established, and thereafter to the Commonwealth for credit to the State’s account in the Debt Retirement Reserve Trust Account (clause 7(2)). States must also repay Commonwealth expenses as listed in clause 12(1), and provide indemnities to the Commonwealth under clause 13.

• The Northern Territory. The Northern Territory is a party with obligations that largely mirror those of the States but with specific references to the 1986 Arrangements and the Northern Territory Debt Sinking Fund. The Northern Territory must pay interest and annual contributions in accordance with clause 5(3) and clause 7(3), repay expenses under clause 12(1), and indemnify the Commonwealth under clause 14. Clause 1(2) and clause 16 provide transitional arrangements specific to the Northern Territory, including a requirement that the Northern Territory and the Commonwealth make into the Debt Retirement Reserve Trust Account payments they would otherwise have made under the 1986 Arrangements.

• The Australian Capital Territory. The Agreement expressly provides, in the WHEREAS and clause 4, for representation of the Australian Capital Territory on the Loan Council and entitles its Chief Minister to be treated as a “Premier” for clause 4 purposes. The ACT therefore participates in Loan Council decision‑making procedures, although many financial obligations are cast principally on the States and the Northern Territory in the Agreement.

• Bondholders and holders of securities. The Agreement treats bondholders as the holders of securities for the purposes of payment of interest and for determining public debt (definition in clause 3). Clause 5(1) records that the Commonwealth will continue to pay interest to bondholders on public debt of the States taken over by the Commonwealth under the Principal Agreement (except for debts due by States to the Commonwealth). Clause 6(6)-(7) prescribes the use of Trust Account monies to redeem or purchase securities.

• The National Debt Commission and the Commission’s successor institutions. The Agreement continues references to the National Debt Commission (clause 3) and provides for payments to be made to the Commission’s credit in the Sinking Fund until the Trust Account is established (clauses 2(2) and 7(2)). The Commission and its accounting responsibilities are implicated until legislative transition to the Debt Retirement Reserve Trust Account occurs.

• Commonwealth agencies responsible for the Commonwealth Public Account and the Auditor‑General. Clause 6(8)-(9) requires monies to be held within the Commonwealth Public Account as established under paragraph 21(1)(a) of the Audit Act 1901, and clause 12(3) makes the Auditor‑General’s certificate conclusive in disputes over amounts repayable by a State.

Who pays: States and the Northern Territory make the recurring contributions and reimbursements; the Commonwealth makes a fixed percentage contribution into the Trust Account and meets certain upfront and on‑going obligations (establishing accounts, making purchases/repayments from the Trust Account). The Commonwealth also retains responsibility for paying interest to bondholders on taken‑over public debt (clause 5(1)).

Who decides: The Loan Council , chaired by the Commonwealth representative , makes “resolutions” about borrowings, raisings and other financial arrangements (clause 4(9)). The Commonwealth and each State or the Northern Territory decide methods by agreement for how payments are made (clause 5(4)) and agree on reimbursement amounts (clauses 10 and 11).

The Schedule sets out specific recurring duties and a small number of rights (mostly institutional) for the parties. The duties are expressed as contractual and financial obligations; rights are mainly to participate in governance and to receive and apply funds.

Material duties

• Legislative approval requirement. Clause 1(1) conditions the Agreement’s binding effect on each party on either prior parliamentary authority for the signature or subsequent parliamentary approval by that party’s Parliament or Legislative Assembly. The Agreement therefore requires domestic legislative steps to bind each party.

• Payment of interest to bondholders. Clause 5(1) commits the Commonwealth to continue paying interest to bondholders from time to time on public debts of the States taken over by the Commonwealth except for debts due by States to the Commonwealth. This is an ongoing payment duty of the Commonwealth to external creditors.

• State and Territory interest obligations. Clause 5(2) requires each State, and clause 5(3) requires the Northern Territory, to continue paying to the Commonwealth the whole of the interest on the State’s or Territory’s public debts taken over by the Commonwealth and on moneys borrowed by the Commonwealth on that State’s or Territory’s behalf, as they fall due.

• Annual contributions and minimum floors. Clauses 7(1)-(3) require each State and the Northern Territory to make annual contributions calculated to equal parts of public debt falling to be redeemed in a year and, in any event, not less than 0.85 per cent of net public debt (clause 7(2)(b)). The contribution is to be paid by equal monthly instalments, or other agreed arrangements.

• Commonwealth contribution. Clause 8(1)-(3) requires the Commonwealth to pay a contribution calculated for each year equivalent to 0.28 per cent of the net public debt of each State and the Northern Territory, paid into the Sinking Fund until the Trust Account is established and thereafter into the Debt Retirement Reserve Trust Account.

• Establishment and application of Trust Account funds. Clause 6 requires the Commonwealth to establish and maintain separate sub‑accounts in the Debt Retirement Reserve Trust Account for each State and the Northern Territory, to credit those accounts with specified amounts (clause 6(4)-(5)), to apply the moneys to purchase, redeem or repay securities of the relevant State or Territory (clause 6(6)-(7)), and to record interest earned in those sub‑accounts (clause 6(8)-(9)).

• Reimbursement of Commonwealth excess costs. Clauses 10 and 11 require the Commonwealth to reimburse, in amounts and at times agreed with the relevant State or the Northern Territory, each State or the Northern Territory for the excess of the amount of costs incurred from 1 July 1990 by reason of the Commonwealth’s redemption/purchase/repayment over the amount that would have been incurred under the Principal Agreement or the 1986 Arrangements.

• Repayment of Commonwealth expenses. Clause 12(1) obliges each State and the Northern Territory to repay to the Commonwealth expenses incurred or payments made by the Commonwealth in performance of the Agreement in relation to that State or Territory, with an express non‑exhaustive list including loan flotation charges, management charges, stamp duties, commission on payment of interest, conversion/renewal/redemption expenses and exchange on transference of moneys.

• Indemnities. Clauses 13 and 14 impose broad indemnity obligations on the States and the Northern Territory respectively to indemnify the Commonwealth “by the faithful performance of its obligations under this Agreement” against “all liabilities whatsoever” in respect of the public debt of the State or the Northern Territory, subject to stated exceptions.

Material rights and institutional features

• Loan Council membership and vote. Clause 4 gives the Commonwealth a seat and the chair, and provides for a representative for each State and (for purposes of clause 4) the Territories. It also establishes that a majority of representatives constitutes a quorum and provides for voting by letter, telegram or facsimile where an absent representative has not appointed a deputy (clause 4(7)(b)). Clause 4(9) gives the Loan Council the power to make resolutions relating to borrowings, raisings and other financial arrangements.

• Treatment of securities. Clause 6(10) deems securities purchased, redeemed or repaid to be cancelled on the date of the transaction. Clause 3 defines what counts as securities for the States and the Northern Territory, including Inscribed Stock, Registered Stock, Bonds and Australian Savings Bonds as specified.

• Conclusive Auditor‑General certificate. Clause 12(3) provides that a certificate by the Auditor‑General of the Commonwealth stating an amount to be repaid by a State and the matter in respect of which the repayment is to be made is, in the event of a dispute, conclusive as to the amount and matter stated.

• Procedural rights to appoint deputies and substitutes. Clause 4(7)(a) allows representatives to appoint deputies in writing, who may exercise all powers and functions of the representative; clause 4(2) requires notice of substitute nominations to be tabled at the next Loan Council meeting.

• Currency conversion standard. Clause 3 supplies a defined method for converting overseas currency face value into Australian currency by reference to the Reserve Bank of Australia selling rate to the Commonwealth Government at the time of conversion, or a mutually agreed rate.

Limits and conditions

• Clause 1(1) conditions the Agreement’s binding force on domestic parliamentary approval for each party; thus, the Agreement’s obligations are subject to each party’s internal legislative process.

• Clause 16 rescinds the Principal Agreement as from the Agreement’s operative date except where the Agreement expressly preserves certain Principal Agreement provisions pending establishment of the Debt Retirement Reserve Trust Account.

Taken together, the duties create predictable payment flows: States/NT pay interest and make contributions and reimbursements; the Commonwealth chairs the Loan Council, pays bondholders interest on taken‑over debt, maintains the Trust Account and credits interest; the Loan Council coordinates but acts by resolution, and the Auditor‑General has an important conclusive role for disputed repayment amounts.

The Agreement in the Schedule is not cast as a penal statute and contains no express criminal offences or civil pecuniary penalties imposed for breach. Enforcement and compulsion are delivered through financial, contractual and administrative instruments rather than through explicit penal sanctioning in the text.

Mechanisms for enforcement and compliance embedded in the Agreement

• Financial obligations and cash flows. The Agreement enforces performance primarily by creating and specifying payment obligations (interest payments, annual contributions, reimbursement obligations, indemnities). Failure to perform these obligations would therefore create ordinary contractual and equitable remedies between the parties; the Agreement itself, however, does not set out execution, garnishment or other recovery powers against defaulting parties.

• Auditor‑General certificate as conclusive instrument. Clause 12(3) imports administrative finality: in a dispute about amounts repayable by a State to the Commonwealth, a certificate by the Auditor‑General of the Commonwealth stating the amount and the matter is conclusive as to those particulars. That provision effectively narrows factual disputes by making the Commonwealth’s audit certificate decisive for the listed repayments, which reduces scope for litigating factual accounting questions between the parties. Clause 12(3) therefore strengthens administrative enforcement of repayment obligations through a high‑level public auditor’s certificate.

• Indemnity obligations. Clauses 13 and 14 impose indemnities on States and the Northern Territory against “all liabilities whatsoever” in respect of the public debt of the State or Territory, subject to certain exceptions. That creates clear contractual exposure for a party that refuses or fails to meet its obligations; the Commonwealth has the right to call on indemnities, which are enforceable by Commonwealth processes, though the Agreement does not set out specific steps for enforcement.

• Reimbursement and expense categories. Clause 12(1) lists types of expenses and payments the States and the Northern Territory must repay. By specifying categories such as loan flotation charges, management charges, stamp duties and exchange on transference of moneys, the Agreement pre‑defines the cost base the Commonwealth can charge back to a State or the Northern Territory.

What the text does not provide

• No express penalties. The Agreement contains no express monetary fines, criminal offences or administrative pecuniary penalties for non‑compliance beyond the contractual financial obligations themselves.

• No specified coercive recovery mechanisms. The Agreement does not, for example, confer a power on the Commonwealth to withhold other federal funding, to seize assets, or to appoint receivers on the default of a State or the Northern Territory. Any remedy for breach would therefore be by enforcement of contractual rights in courts (subject to the conclusive certificate provision) unless the parties adopted other intergovernmental measures.

• Limited judicial role over some questions. Clause 12(3) narrows the role of courts with respect to disputed repayments specifically certified by the Auditor‑General by making the certificate conclusive. The Agreement does not expressly curtail other judicial remedies, but the conclusive certificate will constrain disputes over the specific matters it covers.

Practical enforcement risk and implementation considerations

• Reliance on intergovernmental compliance. The Agreement uses financial obligations, trust account architecture and the Loan Council’s coordinating function to secure compliance. The absence of explicit coercive sanctions means enforcement depends heavily on the parties’ political will, budgetary priorities and the institutional frameworks the Commonwealth and States/territories put in place.

• Administrative enforcement via the Auditor‑General. The conclusive certificate mechanism gives the Commonwealth a powerful administrative tool to finalise accounting claims. That can speed recovery or settlement of amounts but reduces the ability of a State or the Northern Territory to litigate the quantum of certain claimed repayments.

• Potential for negotiation and bilateral agreements. Clauses such as 5(4) and the reimbursement clauses 10 and 11 contemplate agreement between the Commonwealth and a State or the Northern Territory about methods of payment and reimbursement timing. This preserves scope for negotiated implementation and may be the practical path to resolving disputes short of litigation.

In short, the Agreement relies on clear contractual financial duties, administrative accounting instruments (notably the Auditor‑General’s conclusive certificate), and intergovernmental governance via the Loan Council, rather than on statutory penal measures, to secure performance.

The Schedule is explicitly constructed to operate within an existing architecture of constitutional power and pre‑existing financial instruments and Acts. It references and modifies earlier agreements and existing Acts, and it conditions aspects of its operation on legislative implementation.

Constitutional foundation and section 105A. The Agreement states that the Principal Agreement and Supplemental Agreements have been varied “in pursuance of section 105A of the Constitution of the Commonwealth of Australia” (WHEREAS (B)). The recitals and the Agreement therefore record that the parties rely on, and are acting under, the constitutional mechanism in s 105A for intergovernmental financial agreements about public debt.

Supersedes and rescinds earlier agreements. The Agreement is expressly drafted to rescind the Principal Agreement, which originated from the Original Agreement of 12 December 1927 and the listed Supplemental Agreements (WHEREAS (A) and (B)). Clause 16 provides that the Agreement rescinds the Principal Agreement, except as provided in clause 16, with effect from the date on which the Agreement (other than clauses 7, 8, 10, 11 and 13) comes into effect. Clause 16(2) preserves certain sub‑clauses of the Principal Agreement until the Debt Retirement Reserve Trust Account is established, with a textual mapping in clause 16(2). Clause 16(3) rescinds the provisions of the 1986 Arrangements in relation to debt outstanding as at 1 July 1990.

Interaction with the National Debt Sinking Fund Act 1966 and the Commission. The Agreement addresses the existing National Debt Sinking Fund created by the National Debt Sinking Fund Act 1966 and the Commission (which the Act calls “the Commission” and which is continued in existence by the National Debt Sinking Fund Act 1966). Clause 1(2) requires the Commonwealth to seek enactment of legislation to cease the National Debt Sinking Fund and establish the Debt Retirement Reserve Trust Account and to pay the moneys then standing to the credit of relevant accounts into the Trust Account. Until that legislative step occurs, clause 7(2)(a) requires States to pay contributions to the Commission for credit to the relevant accounts in the Sinking Fund. Clause 8(1) requires Commonwealth contributions to be paid for credit to the State accounts in the National Debt Sinking Fund and the Northern Territory Debt Sinking Fund until the Trust Account is established.

Audit Act 1901 and Commonwealth Public Account. Clause 6(8)-(9) specifies that moneys standing to the credit of the sub‑accounts in the Debt Retirement Reserve Trust Account will be held within the Commonwealth Public Account established pursuant to paragraph 21(1)(a) of the Audit Act 1901 (or that provision as amended, modified or re‑enacted). Interest on attributable balances in the Commonwealth Public Account is to be added to the moneys standing to the credit of the relevant sub‑account. That cross‑reference creates an explicit administrative relationship between the Trust Account and Commonwealth public finance legislation and accounting rules.

1986 Arrangements. The Agreement treats the Northern Territory’s earlier debt arrangements under the 1986 Arrangements as a prior framework. Clause 1(2) and clause 16(3) address transitional treatment and rescission of those Arrangements in respect of debt outstanding as at 1 July 1990. Clause 7(3) and clause 11 set out contributions and reimbursement obligations with reference to sums that “would have been payable under the 1986 Arrangements” or amounts otherwise assessed by agreement between the Commonwealth and the Northern Territory.

Principal Agreement and Supplemental Agreements. The Agreement lists the Supplemental Agreements that varied the Original Agreement (clause 3 and WHEREAS (B)), including instruments referenced in other Commonwealth Acts (for example, the supplemental agreements whose copies are set out in the Schedules to the Tasmania Sinking Fund Agreement Act 1928, Debt Conversion Agreement Act 1931, Debt Conversion Agreement Act (No.2) 1931, Soldier Settlement Loans (Financial Agreement) Act 1935, Financial Agreement Act 1944, Financial Agreement Act 1966 and Financial Agreement Act 1976). Clause 16 rescinds the Principal Agreement subject to stated savings.

Interaction with domestic parliamentary processes. Clause 1(1) requires that the Agreement bind a party only after domestic parliamentary authority for signature or subsequent parliamentary approval by that party’s Parliament or Legislative Assembly. The Agreement thus interacts directly with each party’s constitutional and legislative processes for approving intergovernmental agreements.

Conversion rules reference the Reserve Bank. Clause 3 defines “face value” for securities repayable in overseas currency by specifying conversion at the Reserve Bank of Australia’s selling rate to the Commonwealth Government at the time of conversion, or at such other rate as agreed between the Commonwealth and the States. That ties foreign currency conversion to an established monetary authority’s rate for Commonwealth dealings.

Effect on pre‑existing contractual rights of bondholders. Clause 5(1) records that the Commonwealth will continue to pay interest to bondholders on public debts taken over by the Commonwealth under the Principal Agreement. That preserves the Commonwealth’s obligation towards private creditors, and clauses 6(6)-(7) provide the basis for using Trust Account monies to purchase, redeem or repay securities , actions which will directly affect the contractual position of holders of those securities.

In combination, the Agreement modifies the legal structure created by prior financial agreements and statutes, conditions much of its practical operation on Commonwealth legislation to abolish the Sinking Fund and create the Trust Account, ties accounting treatment to the Audit Act and the Commonwealth Public Account, and inserts the Commonwealth Auditor‑General’s certificate as a decisive administrative instrument in disputes about repayments.

The Act’s endnotes record a small set of formal amendments and the Act’s parliamentary dates. The source material provides the following documentary history, explicitly referenced in the ENDNOTES appended to the Act reprint.

• Original Act and commencement. The Financial Agreement Between the Commonwealth, States and Territories (Approval) Act 1994 is Act No. 57 of 1994. It received assent on 4 October 1994 and commenced on 4 October 1994 (Endnotes, list of legislation).

• Statute Law Revision Act 2018. The Statute Law Revision Act 2018 (Act No. 10, 2018) received assent on 23 May 2018 and commenced on 20 June 2018 (Gaz S41, 20 June 2018). Endnotes list this Act in the list of legislation affecting the 1994 Act.

• Interpretation Legislation Amendment Act 2018. The Endnotes state that “General amendments of a formal nature (which are not referred to in the table of amendments to this reprint) are made by the Interpretation Legislation Amendment Act 2018 (Act No. 22, 2018) to: s 1.” That indicates a formal amendment to section 1 (the short title provision) effected by the Interpretation Legislation Amendment Act 2018.

• Specific amendment to s 2. The endnotes include an item “s 2 amd No. 10, 2018, s 6,” indicating that section 2 of the 1994 Act was amended by the Statute Law Revision Act 2018, specifically by section 6 of that amending Act. The endnotes’ “LIST OF AMENDMENTS” line records s 2 amended No. 10, 2018, s 6.

What is visible in the source

• The Act itself is short: s 1 is the short title; s 2 approves the agreement in the Schedule. The substantive provisions reside in the Schedule.

• The endnotes show only formal/statute law revision and interpretation amendments in 2018 and list the original Act’s dates and commencement. There is no other recorded amendment in the endnotes.

Implications of the recorded amendments

• The amendments recorded in the endnotes are administrative and formal in nature (statute law revision and interpretation amendments) rather than substantive changes to the Schedule’s content as set out in the 1994 Financial Agreement. The Statute Law Revision Act often updates statute texts to modern drafting standards or removes spent provisions. The Interpretation Legislation Amendment Act 2018 made formal amendments to section 1.

• Section 2, which approves the Agreement, was specifically amended by the Statute Law Revision Act 2018 per the endnotes. The content of that amendment is not detailed in the Schedule text provided; the endnotes indicate only the amending instrument and provision.

Limitations

• The reprint’s endnotes do not set out the precise textual form of the amendments to s 1 and s 2, only their source Acts and citation points. To see the exact wording changes one would need the amending Acts themselves (Statute Law Revision Act 2018 s 6; Interpretation Legislation Amendment Act 2018), or an annotated legislation database showing the current consolidated text and the edits made.

• No other substantive amendments to the Schedule are recorded in the endnotes available in the reprint.

The Scheduleed Agreement and the short Act approving it do not record or reference any litigation. The Act’s endnotes include statutory amendment history and formal amendment references only; they do not identify judicial decisions or litigation that directly interpret the Act or the Agreement. The Agreement itself contains some mechanisms (notably the Auditor‑General certificate in clause 12(3)) that presuppose administrative resolution rather than court litigation for certain categories of dispute.

What the source shows about dispute resolution and litigation risk

• Conclusive Auditor‑General certificate for certain repayments. Clause 12(3) provides that a certificate by the Auditor‑General of the Commonwealth stating the amount to be repaid by a State and the matter in respect of which the repayment is to be made shall, in the event of a dispute, be conclusive as to the amount and matter stated. This provision aims to reduce factual disputes, and in practice would likely limit the scope and utility of litigation over those particular repayment claims because courts usually respect statutory conclusive certificates unless a party can demonstrate jurisdictional error, mala fides, or other threshold legal defect in the certificate’s issuance. The Agreement, however, does not purport to oust judicial review of administrative action generally, and nothing in the text expressly excludes court jurisdiction as to other contract or constitutional disputes.

• No express forum selection or arbitration clause. The Agreement does not include an express arbitration or bespoke dispute resolution clause directing parties to a tribunal or alternative dispute resolution mechanism for general disputes under the Agreement. That implies ordinary remedies , arbitration only by subsequent agreement, or resort to courts , remain available for contract and constitutional disputes not covered by the Auditor‑General certificate conclusive provision.

• Indemnities and contractual enforcement. Clauses 13 and 14 create indemnity obligations that the Commonwealth could seek to enforce in courts if the States or the Northern Territory failed to perform or indemnify. Again, the Agreement has no express limitations on suit, so a contractual enforcement action would proceed by normal civil procedures unless precluded by sovereign immunities or other constitutional considerations not addressed in the Agreement text.

Absence of named cases or judicial gloss in the text

• The Act and its Schedule do not name any cases, and the reprint’s endnotes do not list litigation. Therefore, based on the source provided, there is no recorded litigation history attached to this instrument in the reprint.

Practical consequence for lawyers and advisers

• When advising clients or government entities, one should not assume settled judicial construction of the Agreement’s provisions from the text alone. The Auditor‑General certificate provision is likely to be the most frequently litigated or contested instrumentally because it binds the parties on particular accounting matters; however, courts retain the capacity to consider questions of jurisdiction or procedural fairness if such issues are raised. In the absence of recorded litigation in the source, practitioners should treat judicial risk as latent and expect that disputes will typically be resolved by negotiation or administrative accounting procedures first.

The Agreement contains several technical and transitional features that can be operationally and legally consequential. These are the points that commonly cause issues if overlooked.

1. Parliamentary approval requirement (clause 1(1)). The Agreement “shall have no force or effect” and shall not be binding upon any party until, for each party, it is either signed with prior parliamentary authority or approved by that party’s Parliament or Legislative Assembly. Practically, that means operational obligations only commence for a party once that party’s domestic legislature has authorised signature or approved the Agreement. Failure to track the approval status for each party can lead to divergent obligations and uncertainty about enforceability.

2. Deeming of certain clauses to have commenced on 1 July 1990 (clause 2(2)). Clauses 7, 8, 10, 11 and 13 are deemed to have operated from 1 July 1990 upon coming into force. This retrospective‑effect specification creates potential for retroactive financial effects. Advisers must check historical payments and accounting from 1 July 1990 onwards to ensure contributions, reimbursements and indemnities have been treated properly.

3. Trust Account establishment requires further legislation (clause 1(2)). Clause 1(2) obliges the Commonwealth to “take…all practicable steps” to seek enactment of legislation to abolish the National Debt Sinking Fund and to establish the Debt Retirement Reserve Trust Account. The Agreement prescribes transitional flows contingent on that legislative step. Until that legislation is enacted the Sinking Fund and the Commission retain roles. Relying on the Trust Account’s practical operation requires monitoring the Commonwealth’s enabling legislation and accounting arrangements.

4. Conclusive Auditor‑General certificate (clause 12(3)). For amounts in the categories listed in clause 12(1), an Auditor‑General certificate is conclusive in the event of a dispute. That can short‑circuit factual contest in court and gives the Commonwealth a strong administrative lever. Parties should ensure accurate and auditable records because contesting an Auditor‑General certificate may be difficult and narrow in scope.

5. Minimum contribution floors and calculation base (clause 7(2)-(3) and clause 3). The minimum contribution of 0.85 per cent of net public debt is calculated on net public debt as defined in clause 3. Net public debt excludes the balances standing to the credit of the State’s or Territory’s account in the Sinking Fund or the Debt Retirement Reserve Trust Account. That means there are interacting effects between how balances are credited and the net debt base that determines future obligations; crediting a sub‑account reduces net public debt and thus the minimum contribution base.

6. Currency conversion mechanism (clause 3). For securities repayable in overseas currency, face value is the equivalent in Australian currency converted at the Reserve Bank of Australia selling rate to the Commonwealth Government at the time of conversion, or as otherwise agreed between Commonwealth and States. Parties holding or paying overseas currency securities should be conscious of the conversion point and of any potential negotiation over an alternative agreed rate.

7. Loan Council powers described as “resolutions only” (WHEREAS (D)(ii) and clause 4(9)). The Agreement states the Loan Council have a power to make resolutions only. Clause 4(9) empowers the Loan Council to make resolutions in relation to borrowings, raisings and other financial arrangements. The language circumscribes the Loan Council to making non‑binding or binding resolutions depending on interpretation; practitioners should inspect how those resolutions have been treated in subsequent administrative practice and Commonwealth/State instruments to understand practical effect.

8. Broad indemnities (clauses 13 and 14). These clauses require States and the Northern Territory to indemnify the Commonwealth against “all liabilities whatsoever” in respect of public debt (subject to certain exceptions). That is a broad contractual exposure; parties need to be precise about the exceptions and about which liabilities are covered or excluded (for example, liabilities of the Commonwealth under the Agreement to pay interest and make sinking fund contributions are excluded).

9. Rescission of Principal Agreement but preservation of specific clauses (clause 16). Clause 16 rescinds the Principal Agreement, but sub‑clauses of the Principal Agreement continue to operate until the Trust Account is established (clause 16(2)). Misreading the boundary between rescinded and preserved clauses can lead to inconsistent accounting or application of obligations.

10. No express coercive recovery powers. The Agreement does not confer statutory rights such as withholding other federal funds or asset seizure on default. Enforcement relies on contractual claims, audit instruments and negotiation. Advisers should not assume statutory enforcement powers exist beyond ordinary contract and public finance mechanisms.

11. Different treatments for the Northern Territory due to 1986 Arrangements. Several clauses expressly reference the 1986 Arrangements and the Northern Territory Debt Sinking Fund (clauses 3 definition, 1(2), 7(3), 11, 16(3)). Practitioners handling Northern Territory matters must map legacy arrangements carefully to avoid double charging or to ensure correct credits.

12. Auditor‑General’s role presupposes Commonwealth public accounts. Clause 6(8)-(9) requires the Trust Account sub‑accounts to be held within the Commonwealth Public Account pursuant to paragraph 21(1)(a) of the Audit Act 1901. Changes to Commonwealth public accounting practices, or to the Audit Act, will directly change how interest is calculated and credited to sub‑accounts.

13. Possibility of negotiation for methods of payment and reimbursement (clause 5(4), clauses 10 and 11). Several provisions contemplate agreements between the Commonwealth and a State or the Northern Territory about how payments will be made and reimbursements calculated/timed. The default text therefore does not lock in a single administrative method, leaving implementation subject to bilateral negotiation.

Failure to consider any one of the above points in financial planning or intergovernmental negotiations may produce material accounting mismatches, disputed audit outcomes, or unintended retrospective liabilities.

Compliance with the Agreement requires both legal and practical steps by the Commonwealth, each State, the Northern Territory and, where relevant, the Australian Capital Territory. The Agreement combines obligations that are automatic on parliamentary approval with obligations contingent on subsequent Commonwealth legislation and administrative action. Below is a checklist organised by actor with concrete actions grounded in the Agreement’s clauses.

For each party before the Agreement operates for that party

• Secure parliamentary authority. Clause 1(1) requires that the Agreement be either signed with prior authority of the party’s Parliament or approved by that Parliament or Legislative Assembly after signature. Ensure the relevant legislative approval instrument is lodged, passed and recorded. Track the domestic legal status of the Agreement for each party.

For the Commonwealth (primary administrative duties)

• Enact enabling legislation and abolish the Sinking Fund. Clause 1(2) requires the Commonwealth to “take…all practicable steps” to seek enactment of legislation to cease the National Debt Sinking Fund (National Debt Sinking Fund Act 1966) and to establish the Debt Retirement Reserve Trust Account. Draft and pass legislation to abolish the Sinking Fund and establish the Trust Account, and specify transitional administrative arrangements for transfers from the Sinking Fund or Northern Territory Debt Sinking Fund into the Trust Account.

• Establish and maintain separate sub‑accounts. Clause 6(2)-(3) requires separate accounts in the Debt Retirement Reserve Trust Account in respect of each State and the Northern Territory. Implement Commonwealth Treasury accounting entries and internal controls to create and report on those sub‑accounts within the Commonwealth Public Account as required by clause 6(8)-(9) and paragraph 21(1)(a) of the Audit Act 1901.

• Credit appropriate amounts and interest. Ensure contributions by States/NT (clause 7) and the Commonwealth (clause 8) are credited to the correct sub‑accounts. Implement interest‑crediting procedures so that interest earned on Commonwealth Public Account balances attributable to each sub‑account is calculated and added to the sub‑account (clause 6(8)-(9)).

• Apply sub‑account monies to redemption/purchase/repayment. When securities of a State or the Northern Territory are purchased, redeemed or repaid, ensure the transactions are charged to the appropriate sub‑account on gross cost/face value bases and that securities are deemed cancelled on the date of transaction (clause 6(6)-(7) and clause 6(10)).

• Maintain accounting transparency for Auditor‑General review. Given clause 12(3), which makes Auditor‑General certificates conclusive in disputes over specified repayments, ensure records supporting any claimed Commonwealth expenses or repayments are auditable, detailed and defensible.

For each State and the Northern Territory

• Make interest and contribution payments on schedule. Clause 5(2) and 5(3) require payment of interest as it falls due; clause 7 requires equal monthly instalments to be paid in respect of annual contributions (or other agreed amounts). Implement budgeting and payment schedules to meet the minimum floors (not less than 0.85 per cent of net public debt, clause 7(2)-(3)) and ensure the method of payment is agreed with the Commonwealth where clause 5(4) permits agreement on method.

• Prepare to repay Commonwealth expenses and to indemnify. Clause 12(1) lists expenses each State/NT must repay; implement accounting practices to track and repay any such amounts. Ensure internal approvals and reserves are in place for potential indemnity calls under clauses 13 and 14, including contingency planning for large indemnity calls.

• Keep accurate debt and Sinking Fund/Trust Account records. Net public debt calculations (clause 3) depend on balances in the Sinking Fund or the Trust Account. Maintain precise records of securities, face values (including conversions for overseas currency per clause 3), and credited balances so contribution bases are correct.

For the Australian Capital Territory and the Northern Territory in Loan Council matters

• Nominate representatives and deputies consistent with clause 4. Ensure that the Chief Minister or nominated substitute is appointed in writing and that nominations or substitutes are tabled as required by clause 4(2). Where deputies are appointed (clause 4(7)(a)), ensure written appointment records are maintained.

For the Loan Council and intergovernmental coordination

• Make and document resolutions. Clause 4(9) empowers the Loan Council to make resolutions in relation to borrowings, raisings and other financial arrangements. Maintain clear minutes, records of votes (including votes by letter/telegram/facsimile under clause 4(7)(b)) and documentation of any exceptions “excepted from time to time by the Loan Council” so the legal effect of Loan Council decisions is transparent.

• Negotiate bilateral arrangements where permitted. Clauses 5(4), 10 and 11 contemplate agreement between the Commonwealth and States/NT on methods of payment and on reimbursement amounts/timing. Use bilateral instruments or memoranda of understanding to record agreed payment methodologies and reimbursement timing to avoid disputes.

Audit, dispute and recordkeeping

• Prepare for Auditor‑General review. Because clause 12(3) makes the Auditor‑General’s certificate conclusive for specified repayments, provide the Auditor‑General with full documentation for any charges, repayments or expense claims and ensure internal reconciliation practices support prompt certification.

• Maintain currency conversion evidence. For securities repayable in overseas currency, clause 3 ties conversion to the RBA selling rate to the Commonwealth Government or to an agreed rate. Keep documentary evidence of rates and any bilateral agreements on alternative conversions.

• Document transitional and retrospective items. Clause 2(2) deems certain clauses to have started on 1 July 1990. Maintain a reconciliation of payments and credits from that date to the establishment of the Trust Account to verify historic compliance and to support reimbursement claims under clauses 10 and 11.

Practical project plan for implementation

1. Map legal status: confirm parliamentary approval for each party (clause 1(1)).
2. Draft and pass enabling Commonwealth legislation to establish Trust Account and abolish Sinking Fund (clause 1(2)).
3. In Treasury and Finance departments, create sub‑accounts and accounting rules consistent with clause 6 and Audit Act obligations.
4. Notify States/NT of required contribution schedules, including minimum calculations and monthly instalments (clause 7).
5. Audit and reconcile historical payments from 1 July 1990 under clause 2(2) to prepare for potential reimbursement claims and liabilities under clauses 10 and 11.
6. Agree and document methods of payment and reimbursement where clause 5(4), 10 and 11 permit bilateral arrangements.
7. Establish reporting channels to the Auditor‑General and maintain records to support any certificates under clause 12(3).

Following the above actions tracks the Agreement’s wording closely and reduces implementation and dispute risk by translating contractual obligations into explicit accounting procedures and legislative instruments.
