Financial Agreement Act 1995

The Act and its Schedule organise intergovernmental debt management around a small set of technical and institutional concepts. These are defined in the Agreement and determine calculation and accounting outcomes.

• Net public debt (Schedule 1, cl 3). For a State, “net public debt” equals the State’s public debt minus the balance credited to the State in (a) the Sinking Fund until the DRRTA is established; and (b) thereafter, the DRRTA. For the Northern Territory the definition is similar, referencing the Northern Territory Debt Sinking Fund until DRRTA is established, then DRRTA thereafter. This definition drives the base on which contributions (0.85% floor for States/NT and 0.28% Commonwealth contribution) are calculated (cl 7(2)(b); cl 8(2)).

• Public debt and securities (cl 3, definitions). “Public debt” for a State is the aggregate face value of securities issued or created by the State or issued or created in respect of the State in accordance with the Principal Agreement and not yet redeemed or discharged. The Agreement lists the types of securities included (inscribed stock, bonds, instalment stock, registered stock, etc.) and treats Commonwealth‑held or taken‑over State securities as in scope. “Bondholder” and “holder” are defined in the ordinary way for securities.

• Debt Retirement Reserve Trust Account (DRRTA) and Sinking Fund. The DRRTA replaces the old National Debt Sinking Fund. The Commonwealth establishes separate DRRTA accounts for each State and for the Northern Territory (cl 6(1)-(5)). Moneys credited to a State’s account are to be applied by the Commonwealth to purchase, redeem or repay that State’s securities, with charging rules specified (cl 6(6)-(7)). DRRTA balances are held within the Commonwealth Public Account and interest earned on those balances is added to the relevant DRRTA account (cl 6(8)-(9); see also references to the Sinking Fund for transitional periods in cl 7).

• Loan Council and its powers (cl 4). The Loan Council is continued but restructured: one Commonwealth representative (Prime Minister or nominated person), one representative from each State (Premier or nominee). The Commonwealth representative is the Chair. Meetings may be convened by the Commonwealth rep or upon request of at least four State reps; a majority constitutes a quorum. The Loan Council may make rules of procedure and may “make resolutions” in relation to borrowings, raisings and other financial arrangements by the Commonwealth, States, local governing bodies or entities owned or controlled wholly or to a major part by them, except those excepted by the Loan Council (cl 4(6)-(10)). The Agreement records the parties’ pre‑agreement that the Loan Council have power to make resolutions only (WHEREAS(D)(ii)).

• Payments, charges and recovery (cls 5, 6, 7, 8, 10-12). The Commonwealth continues to pay bondholders interest on State public debts taken over historically (cl 5(1)). Each State must pay to the Commonwealth the interest on debts the Commonwealth borrowed on the State’s behalf, at the full Commonwealth loan rate or another agreed rate (cl 5(2), (5)). States/NT must make periodic contributions for debt retirement (cl 7), the Commonwealth makes contributions (cl 8), and the Commonwealth may reimburse States/NT for excesss costs it incurs in conducting redemptions over earlier arrangements (cls 10-11). The Agreement also lists recoverable expenses that States and NT must repay to the Commonwealth (cl 12(1)), and it makes a certificate by the Commonwealth Auditor‑General conclusive in disputes about amounts to be repaid (cl 12(3)).

• Indemnity and accounts (cls 13-15). States and the Northern Territory indemnify the Commonwealth against liabilities in respect of their public debt (excluding Commonwealth liabilities under the Agreement) and separate accounts are to be kept for each State and relevant Territory in respect of debt, interest and sinking funds or DRRTA contributions (cls 13-15).

• Transition and rescission of the Principal Agreement (cl 16). The 1994 Agreement rescinds the Principal Agreement except as provided and contains transitional savings (notably that certain clauses of the Principal Agreement continue until the DRRTA is established).

These concepts are primarily accounting and institutional: they define the economic base (net public debt), the vehicle for retirement (DRRTA), the intergovernmental decision forum (Loan Council) and the cashflow obligations of each party (contributions, reimbursements, indemnities). The Agreement also creates procedural features that affect implementation, including deemed commencement dates and conclusive certificates for disputed repayments.

Direct signatories and constitutional actors. The Agreement (Schedule 1) is an intergovernmental instrument signed by the Commonwealth, the six States, the Australian Capital Territory and the Northern Territory. By approving the Agreement (s 4), Western Australia is a signatory in law and its executive and legislature implement and honour the State’s payment and account‑keeping obligations. The direct affected actors are:

• Western Australia (the State) as a party: its Treasury, Attorney‑General’s Department and relevant ministers (the Premier, Treasurer) will administer and authorise payments, nominations to the Loan Council, and compliance with account‑keeping and indemnity obligations (s 3 definition of “1994 Financial Agreement”; Schedule 1, cl 4 re representatives).

• The Commonwealth: as payer to bondholders and as the entity that must establish and hold the DRRTA and the DRRTA sub‑accounts within the Commonwealth Public Account (Schedule 1, cl 5(1); cl 6(1), (8)-(9)).

• Other States and Territories: each State and the Northern Territory are co‑obligors under the Agreement (Schedule 1, signature block; cl 7 and cl 3 definitions), and the arrangement coordinates contributions, reimbursements and the Loan Council’s procedural powers across jurisdictions.

Operationally affected public offices and roles include:

• Premiers and Prime Minister, or their nominees, who serve on the Loan Council (cl 4(1)-(4)). The Premier’s nominations (including of ministers or other persons) are part of the decision‑making architecture; nominations of substitutes must be tabled at the next Loan Council meeting (cl 4(2)). The Commonwealth representative is the Chair (cl 4(4)).

• State and Territory Treasuries, which must compute net public debt, arrange monthly instalment payments, maintain records, respond to Commonwealth account charges, and manage repayments of expenses charged by the Commonwealth under cl 12(1). The Treasury role includes making choices about redemption schedules and election to redeem additional amounts in a financial year (cl 7(2)(c)).

• Bondholders and holders of securities: the Commonwealth continues to pay interest to bondholders for public debt taken over (cl 5(1)), which sustains bondholder payment flows though the underlying liability is accounted against State/NT accounts.

• The National Debt Commission and the Auditor‑General of the Commonwealth. The Commission (defined in cl 3) appears in transitional arrangements and in the pre‑DRRTA period the Commission holds Sinking Fund credits (cl 2(2), cl 7(2)(a)). The Auditor‑General’s certificates are conclusive for repayment amounts in disputes (cl 12(3)), which affects dispute resolution between governments.

• Entities owned or controlled “wholly or as to a major part” by the Commonwealth or a State, and local governing bodies, since their borrowings, raisings and financial arrangements fall within the Loan Council’s resolution‑making power unless excepted (cl 4(9)).

Indirectly affected parties and functions include:

• Banks and private lenders holding agreements with States. Clause 12(2) says that unless otherwise agreed the Commonwealth will not do anything in connection with a State loan if that act by the Commonwealth would, if done by the State, breach an existing agreement by the State with any bank. That imposes a practical restraint intended to avoid interference with private contractual relations but also requires coordination with banks.

• Legal and compliance teams in State and territory governments who must ensure that the Agreement has been signed with parliamentary authority (or approved after signing) in each jurisdiction to become binding, as required by cl 1(1).

• Accountants and auditors; the Agreement prescribes separate DRRTA sub‑accounts and sets how costs of purchase/redemption are charged to State accounts (cl 6). The Commonwealth is to hold DRRTA balances within the Commonwealth Public Account pursuant to the Audit Act 1901 (cl 6(8)-(9)).

Who pays and who decides. The Agreement explicitly allocates payment duties: states and the Northern Territory make contributions for debt retirement and repay Commonwealth expenses (cls 7, 12); the Commonwealth pays bondholders and makes its own contributions (cl 5, cl 8). Decision authority regarding borrowings and associated financial arrangements is vested in the Loan Council through its rules and resolution‑making capacity (cl 4(8)-(9)), with practical control concentrated in the Commonwealth chair (cl 4(4)) and the procedural requirement that nominations and deputies be recorded and tabled (cl 4(2), (7)(a)). Implementation therefore affects intergovernmental bargaining around borrowing approvals, timing of redemptions, and the allocation of costs and reimbursements.

The Agreement imposes interlocking duties and creates rights that shape cashflows, administrative steps and decision rights.

Duties (selected, with clause references):

• Legislative approval requirement (cl 1(1)). The Agreement binds a party only after it is signed with prior parliamentary authority or, if signed without prior authority, then approved by that party’s Parliament or Legislative Assembly. For Western Australia, s 4 of the WA Act gives that approval under state law.

• Commonwealth duties to bondholders and to establish DRRTA (cls 2(2), 5(1), 6(1)-(5), 8(3)). The Commonwealth must take steps to abolish the National Debt Sinking Fund, establish the DRRTA and make payments into it (cl 2(2)). It must pay bondholders interest on public debts taken over (cl 5(1)). It must set up separate DRRTA accounts for each State and the Northern Territory and pay into them amounts equal to the State/NT contributions and the Commonwealth’s contributions (cl 6(2)-(5)).

• State/NT duties to pay interest and contributions (cl 5(2)-(3), cl 7(1)-(3), cl 9). Each State must pay interest on debt included in its public debt to the Commonwealth as it falls due (cl 5(2)). States must pay annual contributions for debt retirement, by equal monthly instalments unless otherwise agreed, and in any event not less than 0.85% of net public debt at the preceding 30 June (cl 7(1)-(2)). The Northern Territory has parallel duties (cl 7(3), cl 9).

• Repayment of Commonwealth expenses (cl 12(1)). States and NT must repay amounts the Commonwealth incurs in performing the Agreement, including loan floatation charges, management charges, stamp duties on transfers, commission on payment of interest, expenses in conversion/renewal/redemption/consolidation of loans, and exchange on transfer of moneys (cl 12(1)(a)-(f)).

• Indemnity obligations (cls 13-14). Each State and the Northern Territory must indemnify the Commonwealth against liabilities in respect of their public debt, subject to stated exclusions (cls 13-14).

• Accounting and record-keeping (cl 15). The Commonwealth must keep separate accounts for each State and, as relevant, for the Northern Territory in respect of debt, interest and sinking fund/DRRTA contributions.

Rights and procedural entitlements:

• Loan Council’s resolution‑making and procedural rights (cl 4). The Loan Council may make rules of procedure, convene meetings, require quorums, accept deputies and votes by letter/telegraph/facsimile, and make resolutions about borrowings and financial arrangements (cl 4(6)-(9)). Parties have rights to nominate representatives and to have those nominations tabled (cl 4(1)-(2)).

• Reimbursement rights (cls 10-11). The Commonwealth has an obligation to reimburse States and the Northern Territory for excess costs it incurs compared to the Principal Agreement or 1986 Arrangements, “in such amounts and at such times as agreed”. That creates a right to be reimbursed subject to agreement between the Commonwealth and the State or Territory.

• Conclusive certification (cl 12(3)). A certificate by the Auditor‑General of the Commonwealth stating the amount to be repaid by a State to the Commonwealth is, in the event of a dispute, conclusive as to the amount and the matter stated. That operates as a strong evidentiary rule in intergovernmental repayment disputes.

Practical consequences and discretion:

• Charging rules when securities are purchased/redeemed (cl 6(6)-(7)). The Commonwealth applies DRRTA moneys to purchase, redeem or repay securities and charges the gross cost for purchases or the face value for redemptions/repayments to the relevant State or Territory’s account. That creates the accounting outcome that any premium, brokerage or commission in purchases is a charge against the State’s DRRTA account.

• Minimum contribution floor (cl 7(2)(d); cl 7(3)). Even if redemptions in a year would be lower, a State/NT contribution cannot be less than 0.85% of net public debt as at the preceding 30 June. The Commonwealth contribution is fixed at 0.28% (cl 8(2)).

• Transitional deeming and retrospective effect (cl 2(2)). Clauses 7, 8, 10, 11 and 13 are deemed to have commenced from 1 July 1990. This is a deliberate retrospective allocation of obligations for certain provisions and affects the accounting and reimbursement positions of the parties for earlier years.

Rights are often framed subject to future “agreement” between the Commonwealth and States (e.g. payment timing, reimbursement amounts and times), which means the Agreement sets baseline duties and leaves implementation detail to intergovernmental negotiation. Many obligations therefore translate into administrative steps, negotiable modalities and accounting entries, rather than tightly prescribed mandatory processes enforced by litigation. Nonetheless, the Auditor‑General certificate provision and the appropriation clause in the WA Act create durable practical enforcement and funding mechanisms within the public accounts framework.

The text does not create criminal offences or civil penalty regimes enforceable by the Commonwealth against States or Territories. Instead, it establishes administrative and contractual enforcement devices suited to intergovernmental financial governance. The following are the primary enforcement and evidentiary mechanisms provided in the Agreement and the WA Act:

• Conclusive Auditor‑General certificate (Schedule 1, cl 12(3)). For repayments a State must make to the Commonwealth for expenses incurred by the Commonwealth in performing the Agreement, a Commonwealth Auditor‑General certificate stating the amount and the matter is “conclusive” in the event of a dispute. That clause provides strong evidentiary finality, reducing scope for protracted factual disputes over the quantum of charges owed to the Commonwealth. Conclusive certification is a significant enforcement tool in intergovernmental financial claims.

• Accounting and charging to sub‑accounts (cl 6; cl 15). The Commonwealth is to maintain separate DRRTA sub‑accounts for each State and the Northern Territory and to charge purchases or redemptions against those accounts (gross cost for purchases; face value for redemptions/repayments) (cl 6(2), (6)-(7)). This accounting design enforces liabilities by recording them against each jurisdiction’s account; negative or reduced balances will be evident in Commonwealth accounts and can be the basis for bilateral recovery arrangements.

• Appropriation and public account mechanisms (WA Act s 5; Schedule 1, cl 6(8)-(9)). For Western Australia, s 5 of the WA Act appropriates funds from the Consolidated Account to pay the State’s obligations under the Agreement “to the necessary extent”. The Commonwealth holds DRRTA funds in the Commonwealth Public Account pursuant to the Audit Act 1901 and credits interest earned to the relevant DRRTA sub‑accounts (cl 6(8)-(9)). The appropriation and public‑account framework underpin cash management and reduce the need for special appropriation acts for each operation; they also create a formal public accounting record that supports recovery efforts.

• Intergovernmental agreement and negotiation (cls 4(9), 10-11, 12(1)). For many areas,e.g., other procedural details of payments, the precise method of payment of State contributions before DRRTA establishment (cl 7(2)(a)), the timing and quantum of Commonwealth reimbursements for excess costs (cls 10-11),the Agreement defers to further agreement between the Commonwealth and each State/NT. Enforcement therefore functions through intergovernmental negotiation and contract‑style bilateral deals, with the Commonwealth’s accounting and the Auditor‑General certificate providing leverage.

• Loan Council rules and resolutions (cl 4(8)-(9)). The Loan Council may make rules of procedure and resolutions concerning borrowings, raisings and other financial arrangements of the Commonwealth, States, local governing bodies and state‑controlled entities. While the Agreement does not specify statutory penalties for breach of Loan Council resolutions in the text provided, resolution‑making acts as the coordination mechanism that shapes borrowing behaviour and access to Commonwealth processes; compliance is enforced by political and procedural levers, and by the administrative control of intergovernmental approvals and account entries.

• Contractual indemnities (cls 13-14). The State and Northern Territory indemnify the Commonwealth against specified liabilities in relation to their public debt. Indemnities are enforceable in contract and could be the subject of civil recovery by the Commonwealth if the circumstances arise.

Limitations on legal enforcement:

• No express statutory fines or coercive sanctions against States or the Commonwealth for non‑performance are inserted in the Agreement as printed. Remedies therefore are likely to be administrative, accounting, or contractual rather than criminal or civil penalty enforcement against a sovereign jurisdiction.

• Several points are subject to “agreement” between parties (e.g. reimbursement amounts and timing), which means enforcement depends on bilateral negotiation and political settlement rather than purely legal remedies. Where the Agreement provides conclusive certificates or specific charging rules (cl 12(3); cl 6(6)-(7)), enforcement can proceed on an accounting and documentary basis.

In short, the Agreement enchains enforcement to public accounting, conclusive certification by the Auditor‑General, and intergovernmental procedural controls exercised through the Loan Council and bilateral agreement mechanisms, rather than to direct statutory penalties or courts‑driven regimes.

The Agreement and the WA Act explicitly cross‑reference and operate in the context of a suite of existing statutes and constitutional provision.

Constitutional basis and prior agreements:

• Section 105A of the Constitution of the Commonwealth of Australia is the constitutional provision under which the Principal Agreement and the various Supplemental Agreements were entered into; the WHEREAS recitals in Schedule 1 record that the parties have varied the Original Agreement pursuant to s 105A (Schedule 1, WHEREAS(B)-(C)). The Agreement in the Schedule is presented as a continuation and variation of the Principal Agreement that originated in 1927 and was further varied by a series of supplemental agreements (Schedule 1, WHEREAS(A)-(B)).

Commonwealth statutes and accounts:

• National Debt Sinking Fund Act 1966 and the National Debt Sinking Fund. The Agreement contemplates the cessation of the National Debt Sinking Fund created by the National Debt Sinking Fund Act 1966 and directs the Commonwealth to establish the Debt Retirement Reserve Trust Account in substitution (cl 2(2)). The Agreement also refers to the National Debt Commission “continued in existence by the National Debt Sinking Fund Act 1966” (cl 3 definition of “the Commission”).

• Audit Act 1901 and the Commonwealth Public Account. The DRRTA balances are to be held within the Commonwealth Public Account established by the Audit Act 1901 and interest earned on attributable balances is to be credited to the DRRTA sub‑accounts (cl 6(8)-(9)). That creates an explicit interaction with Commonwealth public finance law and the Audit Act’s account structure.

• 1986 Arrangements. The Agreement references the “1986 Arrangements” , the arrangements entered into between the Commonwealth and the Northern Territory dated 26 May 1986 that created the Northern Territory Debt Sinking Fund within the Commonwealth Trust Fund (cl 3 definition). The Agreement rescinds provisions of the 1986 Arrangements in relation to debt outstanding as at 1 July 1990 for NT debt (cl 16(3)). It also records that certain payments that the Northern Territory and the Commonwealth would otherwise have made under the 1986 Arrangements are to be made into the DRRTA (WHEREAS(D)(iii)).

State law and parliamentary approval:

• The Agreement requires that it be signed with the prior authority of the Parliament, or approved by the Parliament after signature, in respect of each party (Schedule 1, cl 1(1)). The WA Act implements that requirement for Western Australia by approving the Agreement in Schedule 1 (s 4) and by appropriating funds if required (s 5). The necessity of parliamentary approval means State statutes and parliamentary procedures determine local legal effect; failure to obtain required parliamentary approval would, under the Agreement’s terms, prevent the instrument from binding that party (cl 1(1)).

Transitional continuity and rescission:

• The Agreement expressly rescinds the Principal Agreement subject to specified transitional saving provisions (cl 16(1)-(3)). It continues certain subclauses of the Principal Agreement until the DRRTA is established and re‑maps references so that those subclauses refer instead to the new clauses in this Agreement (cl 16(2)). This creates a staged interaction between instruments: old arrangements continue to operate for particular functions or timeframes until the DRRTA is set up.

Banking contracts and private law obligations:

• Clause 12(2) limits Commonwealth action in relation to a State loan where such action, if done by the State, would have been a breach of an existing agreement by that State with any bank. That imposes an interactional constraint between the Agreement’s administrative operations and existing private contracts between a State and banks.

Administrative and procedural overlay:

• The Agreement’s procedural features for the Loan Council , nomination, substitutes, deputies, voting by letter/telegram/facsimile, rules of procedure , interact with the governance and administrative rules of the member governments. Nominations must be tabled at the next meeting (cl 4(2)), which implicates parliaments and internal executive processes.

Taken together, the Agreement does not operate in isolation. It is constructed to sit above, modify and interact with an existing constellation of constitutional provisions, Commonwealth statutes (notably the National Debt Sinking Fund Act 1966 and the Audit Act 1901), state parliamentary approvals, prior intergovernmental arrangements (the Principal Agreement and the 1986 Arrangements), and private contracts involving States. The Agreement deliberately leaves several implementation points to subsequent agreement between parties, which means its interaction with other laws will often be mediated by separate bilateral or multilateral instruments and administrative practice.

The WA Act as compiled contains limited amendment history in the notes and compilation table attached to the text. The compilation table records the following legislative events affecting the WA Act:

• Original enactment: Financial Agreement Act 1995, No. 2 of 1995, assent 10 May 1995. Sections 1 and 2 commenced on 10 May 1995; the remainder of the Act (other than ss 1 and 2) commenced on 1 May 1995 (see compilation table and s 2). The Schedule (the 1994 Financial Agreement) is part of that enactment.

• Amendment by the Financial Legislation Amendment and Repeal Act 2006 (No. 77 of 2006), s 4. This amendment affected s 5 of the Act (the appropriation provision). The amendment received assent on 21 December 2006 and commenced on 1 February 2007 (compilation table).

• Standardisation of Formatting Act 2010 (No. 19 of 2010), s 4, which amended headings (compilation table). This was an editorial/formatting statute that affected the presentation of headings; it commenced 11 September 2010.

• Reprint history: The Act has been reprinted, including a reprint as at 3 March 2000 and Reprint 2 as at 5 September 2014 that incorporates the amendments listed.

• Omitted provision: Section 6 of the Act (as originally printed) is noted as omitted under the Reprints Act 1984 s 7(4)(e). The reprint notes that s 6 is omitted; the compilation table and notes record that omission.

Practical significance of the amendments recorded in the compilation table:

• The recorded amendment to s 5 (appropriation) by the 2006 Act updates the appropriation machinery or related language in the WA Act. The WA Act’s s 5 as now printed states that moneys payable for the purpose of carrying out the 1994 Financial Agreement on the part of the State are payable out of the Consolidated Account and that account is appropriated “to the necessary extent” (s 5). The 2006 amendment to s 5 is the only substantive amendment listed in the compilation table.

• The Standardisation of Formatting Act 2010 amendments are not policy‑changing; they standardise headings and presentation across WA legislation.

• The omissions and reprints reflect housekeeping changes through the Reprints Act and the State’s statute maintenance. No other substantive substantive policy or operational amendments are recorded in the compilation notes attached to the text provided.

The Schedule itself is an intergovernmental agreement whose substantive content is not altered by later amendments recorded in the WA Act beyond the State’s approval and appropriation mechanics. The Agreement anticipates future variation, however: the 1994 Financial Agreement is defined to include the Agreement “as amended by any subsequent agreement approved by Parliament” (s 3), which preserves the capacity for subsequent intergovernmental variation, but any such variation requires the standard approval processes in cl 1(1).

The statute text and the compilation notes supplied do not identify any litigation, reported cases or judicial interpretations of the Financial Agreement Act 1995 (WA) or the 1994 Financial Agreement. The schedule and notes contain no references to judicial decisions and the compilation table records only legislative amendments and reprints. Therefore, there is no litigation history recorded in the source materials provided.

Absent recorded cases in the text, the Agreement’s drafting and structure nevertheless establish a set of potential dispute areas that could, in practice, give rise to litigation or formal arbitration/arbitral mechanisms. The text itself builds some dispute‑limiting devices (notably the conclusive Auditor‑General certificate under cl 12(3) for repayment amounts), and leaves much to “agreement” between the Commonwealth and a State or the Northern Territory. The principal loci of potential intergovernmental dispute, grounded in the Agreement’s clauses, include:

• Quantum and method of recoverable expenses charged under cl 12(1). The Agreement lists categories of expenses the Commonwealth may recover from States/NT (loan floatation charges, management charges, stamp duties on transfers, commissions on interest payments, expenses of conversion/renewal/redemption/consolidation, and exchange on transfers). Although the Auditor‑General’s certificate is conclusive for the amount and matter stated in the event of a dispute (cl 12(3)), there remains scope for dispute about whether a given expense item falls within the listed categories, or about the apportionment of shared costs. Such matters could be litigated where bilateral agreement fails.

• Calculation of net public debt and minimum contributions. The definition of “net public debt” (cl 3) and the operation of the minimum contribution floor (cl 7(2)(d)) create numerical and accounting issues. Disputes could arise over whether certain items properly belong in “public debt” or whether certain balances in the Sinking Fund or DRRTA were properly credited at the relevant date. Disputes over these computations could have material cash consequences. The Agreement does not specify a judicial or arbitration forum for such disputes; many implementation issues are left to agreement between the Commonwealth and the relevant State or NT.

• Validity of legislative approvals and domestic implementation. Clause 1(1) conditions the Agreement’s binding effect on each party on parliamentary authority or approval. A State’s or Territory’s internal procedure for authorisation could be challenged domestically (for example, by judicial review) if a party were to argue that the State did not properly approve the Agreement in accordance with its own constitutional or statutory requirements. The WA Act (s 4) expressly approves the printed Agreement for Western Australia, which minimises that risk for WA, but procedural challenges are a possible locus of litigation in other jurisdictions or in edge cases.

• Loan Council resolution power and regulatory reach. Clause 4(9) gives the Loan Council the power to make resolutions relating to borrowings, raisings and other financial arrangements by a State or entities owned or controlled by a State. Litigation could arise over the legal force of Loan Council resolutions, are they binding on a State as a matter of law or do they operate as political/administrative constraints? The Agreement records that parties agreed the Loan Council “have a power to make resolutions only” (WHEREAS(D)(ii)). Whether a Loan Council resolution creates enforceable legal obligations against a State, and the scope of any exceptions, could be litigated if a dispute turned on the legal effect of a resolution.

• Reimbursement claims under clauses 10 and 11. The Commonwealth’s obligation to reimburse States/NT for excess costs it incurs in redeeming securities over what would have been incurred under the Principal Agreement or 1986 Arrangements is phrased “in such amounts and at such times as agreed between the Commonwealth and the State.” If parties cannot agree on amounts or timing, they may resort to litigation or arbitration to enforce the reimbursement obligation, depending on what dispute resolution processes are later agreed.

• Transition and rescission implications (cl 16). The Agreement rescinds the Principal Agreement “except as provided” and continues certain subclauses until the DRRTA is established. Disputes could occur about the correct application of transitional provisions to specific securities or events occurring around the decommissioning of the Sinking Fund and the establishment of the DRRTA.

Because the Agreement embeds many items to be “arranged from time to time” or “as agreed between the Commonwealth and the State”, practice shows that many differences are resolved by negotiation and intergovernmental bargaining rather than by litigation. The presence of the Auditor‑General certificate rule indicates the drafters intended to limit judicially contested account‑by‑account disputes over repayment amounts by giving primacy to an authoritative accounting certificate.

No judicial or tribunal decisions are cited in the source material provided. Practitioners faced with intergovernmental disputes under the Agreement should therefore examine available administrative remedies, bilateral agreements reached under the Agreement’s “as agreed” clauses, and the potential role of the Auditor‑General certificate as an evidentiary and dispute‑resolution limiter before contemplating litigation.

Several features of the Agreement and the WA Act can produce surprising fiscal or procedural outcomes if overlooked. These are concrete implementation and compliance traps to watch for.

1. Retrospective application to 1 July 1990. Clauses 7 (State contributions), 8 (Commonwealth contributions), 10 (Commonwealth reimbursements to States), 11 (Commonwealth reimbursements to NT), and 13 (State indemnities) are “deemed to have commenced to operate on and from 1 July 1990” (cl 2(2)). That means obligations and reimbursement entitlements are back‑dated, potentially creating liabilities or entitlements for years predating the Agreement’s signing. Practitioners must reconcile accounting across multiple years and ensure prior financial statements and entries are adjusted where appropriate.

2. Minimum contribution floor of 0.85% (cl 7(2)(d); cl 7(3)). Even where redemptions in a year would be low, each State and the Northern Territory must pay at least 0.85% of net public debt as at the preceding 30 June. This creates a floor that may exceed actual redemption needs in a year and therefore produces predictable annual cash outflows the State or NT must budget for.

3. Commonwealth contribution of 0.28% (cl 8(2)). The Commonwealth’s contribution is fixed as a percentage of net public debt. While it is a comparatively small share, it is an administrative cashflow the Commonwealth must pay into the Sinking Fund or DRRTA. The Commonwealth’s contribution is paid into DRRTA upon its establishment (cl 8(3)), affecting the shared pool available for redemptions.

4. Charging rules on security purchases and redemptions (cl 6(6)-(7)). When the Commonwealth purchases securities on behalf of a State, the gross cost (including interest, brokerage and commission) is charged to the State’s DRRTA account; for redemptions or repayments the face value is charged. States therefore carry risk for transaction costs and premiums in open‑market purchases. A State that elects to buy back more than the scheduled redemption in a year must accept that gross purchase costs will reduce its DRRTA balance.

5. Conclusive Auditor‑General certificate (cl 12(3)). In disputes about amounts a State must repay the Commonwealth for expenses the Commonwealth incurred, a Commonwealth Auditor‑General certificate is conclusive. This limits the practical contestability of repayment quantum and is a strong evidentiary device in the Commonwealth’s favour on accounting disputes.

6. Deference to agreement for many operational details. Numerous operational items (methods of state payments before DRRTA establishment, timing and quantum of reimbursements, some procedural details) are to be “arranged from time to time” or performed “as agreed” between the Commonwealth and the State/NT (see cl 5(4); cl 7(2)(a); cl 8(1); cls 10-11). Where parties do not reach agreement, implementation can stall; there is no prescribed default mechanism in many instances.

7. Loan Council discretion and exceptions (cl 4(9)). The Loan Council may make resolutions relating to borrowings, raisings and other financial arrangements “by the Commonwealth, a State, a local governing body or any entity owned or controlled wholly or as to a major part by any of them, save for any of the foregoing excepted from time to time by the Loan Council.” The “excepted from time to time” language confers discretionary carve‑outs. Practitioners must be attentive to the Loan Council’s resolutions and exceptions regime and ensure that proposed borrowings are either aligned with a Loan Council resolution or are covered by a Loan Council exception.

8. Territorial representation on Loan Council and differential treatment (cl 4; WHEREAS(D)). The Agreement expressly brings the ACT and Northern Territory into Loan Council representation. Their representation and the treatment of NT debt (including references to the 1986 Arrangements) mean territories have rights to participate in decisions that affect borrowings and debt retirement. However, some obligations differ for NT because of earlier 1986 Arrangements (see cl 3 definition and cl 16(3)).

9. Clause 12(2) restraint on Commonwealth action respecting bank contracts. The Commonwealth stipulates it will not do anything in connection with a State loan that would, if done by the State, breach any existing agreement between the State and a bank (cl 12(2)). This creates a protective interface with private bank contracts but requires the Commonwealth to monitor state bank contracts before acting, practical coordination is required to avoid unintended breaches.

10. Appropriation mechanics in WA. Section 5 of the WA Act appropriates money from the Consolidated Account “to the necessary extent” for carrying out the State’s part of the Agreement. While this provides appropriation cover, it does not remove the need for proper annual budgetary processes and internal approvals. The State must ensure budget estimates and allocations correspond with the Agreement’s cashflow profile (monthly instalments, minimum floors, reimbursements, and potential charges).

11. Potential for divergence between accounting and political settlement. Several clauses require “agreement” between Commonwealth and State/NT. Where political tensions arise, disputes over implementation can have material fiscal consequences even if no party is in technical default under the narrow language of the Agreement. Practitioners should therefore monitor political risk as part of debt management.

12. Rescission of the Principal Agreement (cl 16). The rescission of the Principal Agreement and partial continuations of certain subclauses create legal complexity around which historical rules remain in effect until the DRRTA is established. Care is needed in interpreting the governing rules for debt instruments with issuance dates around these transitional periods.

Being conscious of these “gotchas” will reduce operational surprises: account for the 1990 deeming date, budget for minimum contributions and transaction costs, engage early with the Commonwealth on payment methods and reimbursement agreements, track Loan Council resolutions and exceptions, and treat Auditor‑General certifications as high‑priority documentary instruments.

For State legal, Treasury and accounting teams, compliance with the Financial Agreement Act 1995 (WA) and Schedule 1 (the 1994 Financial Agreement) requires a mixture of legislative, administrative, accounting and intergovernmental actions. Below are practical, source‑grounded steps and controls tied to specific clauses.

1. Ensure valid parliamentary approval is recorded (Schedule 1, cl 1(1); WA Act s 4). Confirm that Western Australia’s approval is properly recorded in state statute or legislative minutes as required by cl 1(1). The WA Act itself approves the Agreement (s 4), but Treasury and legal teams should keep formal records showing the State’s internal authorisation (cabinet decisions, legislative approvals) to satisfy the Agreement’s requirement that it be signed with prior parliamentary authority or approved by the Parliament.

2. Budget for monthly instalment payments and the 0.85% minimum (Schedule 1, cl 7(1)-(3)). Establish a standing payment mechanism in the State’s cash management system to remit equal monthly instalments for the contribution. Calculate the minimum contribution at 0.85% of net public debt as at the preceding 30 June and ensure that the monthly instalments aggregate to no less than that floor. Net public debt must be computed in accordance with the Agreement’s definition (Schedule 1, cl 3). Implement robust month‑end accounting to capture balances in the Sinking Fund or DRRTA that are deducted in computing net public debt.

3. Coordinate with the Commonwealth on the DRRTA establishment and account credits (Schedule 1, cl 2(2); cl 6(2)-(5); cl 8(3)). Engage early with Commonwealth Treasury to confirm the timetable and mechanics for (a) abolition of the National Debt Sinking Fund; (b) establishment of the DRRTA; (c) creation and naming of the separate sub‑account for Western Australia; and (d) the method by which Commonwealth contributions and State contributions will be credited. Record agreed procedures in writing to minimise later disputes.

4. Reconcile DRRTA charging and securities management rules (Schedule 1, cl 6(6)-(7)). Where the Commonwealth applies DRRTA proceeds to purchases, redemptions or repayments of WA securities, understand that the State’s account will be charged the gross cost for purchases (including interest, brokerage and commission) and face value for redemptions/repayments. When planning redemptions or buybacks, model the likely gross purchase costs and the impact on the State’s DRRTA balance to avoid unanticipated negative balances.

5. Prepare for the Commonwealth’s bondholder payments and State interest payments (Schedule 1, cl 5). The Commonwealth continues to pay bondholders interest on public debt taken over, while the State remains obliged to pay the Commonwealth the interest on loans the Commonwealth raised on the State’s behalf. Agree the practical payment method and timing with the Commonwealth (cl 5(4)), and ensure internal processes exist for the State to pay interest to the Commonwealth as it falls due to avoid arrears.

6. Track and recover Commonwealth expenses (Schedule 1, cl 12(1)-(3)). Maintain a ledger for categories of recoverable expenses listed in cl 12(1) (loan floatation charges, management charges, stamp duties, commission on payment of interest, conversion/redemption/ consolidation expenses, exchange on transfer of moneys). Establish invoice verification processes and dispute protocols. Be prepared to receive an Auditor‑General certification (cl 12(3)) and to treat such certificates as conclusive evidence of the amount owed in a dispute.

7. Document all bilateral “agreements” required by the Agreement (e.g., payment method pre‑DRRTA, reimbursement timings) and retain signed minutes or memoranda of understanding. Many operational items are left to “agreement” between the Commonwealth and the State (cl 5(4); cl 7(2)(a); cl 8(1); cls 10-11). Convert oral understandings into written agreements to reduce ambiguity and exposure.

8. Nominate Loan Council representatives and deputies, and schedule tabling (Schedule 1, cl 4(1)-(2), (7)). The Premier must nominate the State’s representative or a nominee in writing; any nomination of a substitute must be tabled at the next Loan Council meeting. Maintain a register of nominees, deputies and authorisations and ensure the State’s representative understands the Loan Council’s procedural rules and the potential effects of resolutions on State borrowings (cl 4(6)-(9)).

9. Monitor Loan Council resolutions and seek exceptions if appropriate (Schedule 1, cl 4(9)). Because the Loan Council may make resolutions on borrowings, raisings and other financial arrangements by a State or state‑controlled entities, integrate Loan Council monitoring into the State’s borrowing approval process. If a proposed State borrowing would be excepted by the Loan Council or require prior resolution, obtain the necessary resolution or negotiated exception before proceeding.

10. Maintain separate internal accounts aligned with Commonwealth sub‑accounts (Schedule 1, cl 15). Ensure the State’s internal accounting systems mirror or reconcile to the Commonwealth’s separate DRRTA sub‑account entries for the State. Keep reconciliations for debt, interest and sinking fund or DRRTA contributions to facilitate audits and to reduce mismatches that could lead to conclusive certificates by the Commonwealth Auditor‑General.

11. Watch for bank‑contract constraints (Schedule 1, cl 12(2)). Before the Commonwealth takes any action in connection with a State loan, confirm that the proposed action would not, if done by the State, breach an existing State agreement with a bank. Maintain a register of bank contracts and include the Commonwealth in pre‑action consultations to avoid unintended breaches.

12. Prepare contingency and communication plans for retrospective elements (cl 2(2) & cl 16). Because certain clauses are deemed to have effect from 1 July 1990 and the Agreement rescinds the Principal Agreement subject to transitonals, prepare historic reconciliations and narratives explaining how past payments were treated and how retrospective liabilities were handled. This will be important for auditors, for parliamentary oversight and for public transparency.

13. Train legal, treasury and accounting staff on the Agreement’s dispute mechanisms. Ensure personnel understand the conclusive nature of Auditor‑General certificates (cl 12(3)), the role of bilateral agreements in setting timings/amounts, and the evidentiary weight of Commonwealth public‑account entries (cl 6(8)-(9)).

14. Document all decisions and meetings involving Loan Council or Commonwealth negotiations. Given that many operational items are to be “arranged” or “agreed,” formal minutes and executed memoranda are the principal prophylactic against later disagreement.

15. For WA: maintain appropriation discipline and recordkeeping in light of s 5. Ensure the State’s Consolidated Account entries and appropriation instruments reflect payments under the Agreement, and that relevant agency budgets and authorisations authorise the necessary drawdowns.

These steps convert the Agreement’s high‑level mechanics into a set of routine administrative controls and legal conformances. The central compliance features are accurate computation of net public debt, timely monthly instalment payments meeting the 0.85% floor, clear bilateral agreements with the Commonwealth for payment methods and reimbursements, careful recordkeeping for audit and Auditor‑General certificate exposure, and proactive engagement with Loan Council procedures and resolutions.
