The text centres on a small set of financial and institutional concepts. Define these as they appear in the Agreement and explain their operational role:

• Net public debt (defined, cl 3). For a State, net public debt is the public debt less the balance standing to the credit of that State in the Sinking Fund until the Debt Retirement Reserve Trust Account is established and thereafter less the balance in that State’s sub‑account in the Debt Retirement Reserve Trust Account. The definition determines the base on which minimum contributions and Commonwealth contributions are calculated (cl 7(2); cl 8(2)).

• Securities and public debt (cl 3). The Agreement lists categories of securities (Inscribed Stock and Bonds, Instalment Stock, Registered Stock, Funded Stock, Stock payable to bearer, Special Bonds, Australian Savings Bonds for States; a slightly narrower list for the Northern Territory). Public debt is the aggregate face value of those securities not purchased, redeemed or otherwise repaid (cl 3). The Agreement then prescribes how purchases, redemptions and repayments are to be effected and charged to sub‑accounts (cl 6).

• Debt Retirement Reserve Trust Account (cl 6). The Commonwealth must establish a trust account with separate sub‑accounts for each State and for the Northern Territory (cl 6(1)-(3)). Moneys standing to the credit of a State’s sub‑account will be applied by the Commonwealth to the purchase, redemption and repayment of securities of that State, and the gross cost of purchases or face value of redemptions is charged to the relevant sub‑account (cl 6(6)). Sub‑accounts are held within the Commonwealth Public Account, and interest earned thereon is credited to the sub‑accounts (cl 6(8)-(9)).

• Contributions (cl 7, cl 8). Each State must pay annual contributions calculated so that the contribution and specified other credits equal the total of those parts of its public debt which fall to be redeemed or are repaid or purchased in that year, but in any event not less than 0.85 per cent of net public debt at the preceding 30 June (cl 7(2)). The Commonwealth contributes an amount equivalent to 0.28 per cent of net public debt of each State and the Northern Territory (cl 8(2)). The timing mechanics require equal monthly instalments unless otherwise agreed (cl 7(1); cl 8(1); cl 9 for NT).

• Loan Council structure and powers (cl 4). The Loan Council is continued with one Commonwealth representative (Prime Minister or nominee) and one representative for each State (Premier or nominee); the Commonwealth representative chairs (cl 4(1), (4)). The Loan Council may make rules of procedure (cl 4(8)) and may make resolutions in relation to borrowings, raisings and other financial arrangements by the Commonwealth, States, local governing bodies and entities owned or controlled by them, except where specifically excepted (cl 4(9)). Voting, deputy appointments, the convening of meetings and quorum rules are specified (cl 4(2)-(7)).

• Indemnities, reimbursements and administrative costs (cl 10-13). The Commonwealth reimburses States/NT for any excess costs it incurs when redeeming or repaying securities compared with what the State/Territory would have incurred under the Principal Agreement or 1986 Arrangements (cl 10-11). Each State and NT must repay to the Commonwealth expenses incurred by the Commonwealth in performing the Agreement, including flotation charges, management charges, stamp duties, interest payment commissions, conversion/redemption/consolidation expenses and exchange on transference (cl 12(1)). The Auditor‑General’s certificate is conclusive as to repayment amounts in dispute (cl 12(3)). States/NT indemnify the Commonwealth against liabilities in respect of the public debt of the State/Territory as described (cl 13-14).

• Rescission of the Principal Agreement (cl 16). The Agreement rescinds the Principal Agreement except as provided, with certain subclauses of the Principal Agreement continuing until the Debt Retirement Reserve Trust Account is established (cl 16(1)-(2)). The Agreement also rescinds provisions of the 1986 Arrangements in respect of Northern Territory debt outstanding at 1 July 1990 (cl 16(3)).

These concepts interact to produce a regime in which the Commonwealth centralises the holding of reserve funds for debt retirement, credits interest on those balances, charges purchases/redemptions to State sub‑accounts, imposes statutory minimum contribution floors for States (0.85 per cent) and sets a Commonwealth contribution (0.28 per cent). The Loan Council remains the consultative and rule‑making forum for intergovernmental coordination of borrowings, with procedural detail and an express role in making resolutions about borrowings and financial arrangements (cl 4(9)).

The Agreement and the Act affect three categories of actors: constitutional actors, fiscal counterparties and holders of securities. Identify who pays, who decides and who receives rights under the text.

• The Commonwealth. The Commonwealth has several active duties: to establish and maintain the Debt Retirement Reserve Trust Account and separate sub‑accounts for each State and the Northern Territory (cl 6(1)-(5)); to pay bondholders interest on public debts taken over under the Principal Agreement (cl 5(1)); to make contributions equivalent to 0.28 per cent of net public debt for each State and the Northern Territory (cl 8(1)-(3)); to reimburse States or the NT for excess costs in certain redemption actions (cl 10-11); and to hold moneys in the Commonwealth Public Account and credit interest to sub‑accounts (cl 6(8)-(9)). The Act itself (s 5) also appropriates the Consolidated Fund to the extent necessary for New South Wales to carry out its part of the 1994 Financial Agreement.

• States (New South Wales, Victoria, Queensland, Western Australia, South Australia, Tasmania) and their Treasuries. Each State must pay annual contributions in respect of its public debt that meet the formula in cl 7, including the minimum 0.85 per cent of net public debt at the preceding 30 June (cl 7(2)). States must pay interest amounts to the Commonwealth in respect of public debt taken over by the Commonwealth and on moneys borrowed by the Commonwealth on behalf of the State (cl 5(2), (5)). States also must repay to the Commonwealth expenses incurred by the Commonwealth in performing this Agreement, such as loan flotation charges, stamp duties, management charges and exchange costs (cl 12(1)). Each State gives an indemnity to the Commonwealth against liabilities in respect of the State’s public debt, other than certain Commonwealth liabilities (cl 13).

• Northern Territory and Australian Capital Territory. The Agreement recognises the territories and provides that the Australian Capital Territory and the Northern Territory be represented on the Loan Council (WHEREAS (D)(i); cl 4). The Northern Territory has parallel obligations to the States with mechanics set out in cl 7(3) for contributions and cl 6(3), (5), (7), (9) for the NT’s sub‑account. The NT must also repay expenses and indemnify the Commonwealth (cl 11, 12(1), 14). The ACT is included for representation purposes but many operative financial provisions are explicitly framed for the Northern Territory because of the prior 1986 Arrangements.

• Bondholders and holders of securities. Bondholders are defined in cl 3 and are the recipient class for the Commonwealth’s obligation to continue to pay interest on public debts of the States taken over under the Principal Agreement (cl 5(1)). “Holder” and the categories of “securities” are defined in cl 3, and the Agreement prescribes that when securities are purchased, redeemed or repaid they are deemed cancelled on the date of the transaction (cl 6(10)). The Agreement does not create new private rights of action for bondholders within the text but sets the Commonwealth’s continuing obligation to pay interest and to carry out purchases/redemptions under the financing mechanics.

• The Loan Council and the Commission. The Loan Council is continued and structured by cl 4 with duties to make rules of procedure, to convene and pass resolutions on borrowings, raisings and financial arrangements (cl 4(8)-(9)). The Commission (National Debt Commission) is referenced in definitions (cl 3) and in the transitional mechanics for contributions prior to establishment of the Debt Retirement Reserve Trust Account (cl 7(2)(a)).

• State and Commonwealth budgets and ultimately taxpayers. The cash flows and account mechanics affect who bears cost and when; for example the Commonwealth’s contribution (cl 8) and the appropriation in s 5 for NSW. Although the Act directly appropriates funds only to the extent necessary for NSW, the Agreement’s mechanics impose ongoing fiscal transactions among the Commonwealth, the States and the NT (cl 7-8).

• Local governing bodies and entities owned or controlled wholly or as to a major part by the Commonwealth or States. The Loan Council’s resolution power expressly extends to borrowings, raisings and other financial arrangements by local governing bodies and such entities (cl 4(9)).

Who decides: Parliament (or the relevant territory Legislative Assembly) must give authority for the Agreement to bind each party (cl 1(1)). Once binding, the Loan Council (with an identified Chair and quorum rules) is the forum that may adopt rules and make resolutions relevant to borrowings (cl 4). The Auditor‑General of the Commonwealth has a conclusive certification role for disputed repayment amounts (cl 12(3)). These decision nodes allocate accounting, procedural and dispute‑determination power among intergovernmental actors and Commonwealth auditors.

Catalogue the explicit duties and reciprocal rights created by the Agreement and the Act, with clause citations and practical unpacking.

Commonwealth duties and rights

• Establish and maintain Debt Retirement Reserve Trust Account and separate State/NT sub‑accounts (cl 6(1)-(5)). The Commonwealth must apply moneys in a State’s sub‑account to purchase, redeem or repay that State’s securities and charge the gross cost or face value to the sub‑account (cl 6(6)-(7)). Sub‑accounts are to be held within the Commonwealth Public Account and interest earned is to be credited to the sub‑accounts (cl 6(8)-(9)). Purchases/redemptions are deemed cancelled on the date of transaction (cl 6(10)).

• Continue to pay bondholders interest on public debts of the States taken over under the Principal Agreement (cl 5(1)). The Commonwealth thus remains the payor to bondholders for these debts.

• Make annual contributions equivalent to 0.28 per cent of net public debt for each State and the Northern Territory (cl 8(1)-(3)), payable into the National Debt Sinking Fund until the Debt Retirement Reserve Trust Account is established and thereafter into that Trust Account (cl 8(3)).

• Reimburse States/NT for excess costs incurred by the Commonwealth in redeeming securities over what would have been incurred under the Principal Agreement (cl 10-11).

• Convene Loan Council meetings, chair the Loan Council (cl 4(1), (4)), and hold power to nominate a representative (cl 4(1)). The Loan Council can make rules of procedure (cl 4(8)) and make resolutions on borrowings, raisings and other financial arrangements by Commonwealth, States, local governing bodies and majorly‑owned entities (cl 4(9)).

State and Northern Territory duties and rights

• Pay bond interest amounts to the Commonwealth for debts included in their public debt taken over, and for moneys borrowed by the Commonwealth on the State’s behalf, as they fall due (cl 5(2)-(3)). The rate payable is the full rate payable by the Commonwealth for the loan or such other rate agreed between the Commonwealth and that State/NT (cl 5(5)-(6)). The interest is payable for the full term of the loan.

• Make annual contributions for the public debt of the State that, in combination with specified credits and Commonwealth contributions, equal the total parts of public debt to be redeemed/repurchased/paid in that year, but in any event not less than 0.85 per cent of net public debt at the preceding 30 June (cl 7(2)); equal monthly instalments are the default timing (cl 7(1)).

• Repay to the Commonwealth expenses and payments incurred by the Commonwealth in performing the Agreement, including specified items such as loan flotation charges, stamp duty, management charges, commission on interest payments and exchange costs (cl 12(1)). A certificate by the Auditor‑General of the Commonwealth stating the amount to be repaid and the matter is conclusive in the event of a dispute (cl 12(3)).

• Indemnify the Commonwealth against all liabilities in respect of the public debt of that State except certain Commonwealth liabilities (cl 13). The Northern Territory has a corresponding indemnity provision (cl 14).

Loan Council duties and rights

• Composition: one Commonwealth representative (Prime Minister or nominee) and one representative per State (Premier or nominee), with the Commonwealth representative to be Chairman (cl 4(1), (4)).

• Procedure: nominations of substitutes to be tabled at the next Loan Council meeting (cl 4(2)); representatives hold office at pleasure of appointing executive (cl 4(3)); meetings convened by Commonwealth rep or upon request by at least four State reps (cl 4(6)); majority of representatives constitute a quorum with proxy/deputy and written voting permitted in specified circumstances (cl 4(7)); power to make rules of procedure (cl 4(8)).

• Power to make resolutions in relation to borrowings, raisings and other financial arrangements by Commonwealth, States, local governing bodies and majorly controlled entities (cl 4(9)). The Agreement treats the Loan Council’s power as the vehicle for intergovernmental coordination of borrowings.

Other notable contractual mechanics and rights

• Continuity and transition: certain clauses of the agreement are deemed to have commenced on 1 July 1990 (cl 2(2)), and clauses 7, 8, 10, 11 and 13 are to be treated as having commenced from 1 July 1990 upon coming into force, creating retroactive application for those specified provisions (cl 2(2)).

• Records and accounts: separate accounts to be kept by the Commonwealth for each State and for the Northern Territory in respect of Debt, Interest and Sinking Funds or, after establishment, contributions for the Debt Retirement Reserve Trust Account (cl 15).

• Dispute avoidance mechanism: the conclusive Auditor‑General certificate in cl 12(3) narrows factual disputes about amounts repayable to the Commonwealth and the matter in respect of which the repayment is to be made.

Rights of holders of securities are expressed as definitional and operational (cl 3, cl 6(10)) with the Commonwealth’s obligation to continue interest payments (cl 5(1)); the Agreement does not create new contractual remedies for holders beyond the stated payment mechanics.

The text contains few explicit criminal or civil penalty provisions. Enforcement is predominantly financial, administrative and contractual, implemented through appropriation, account charging and audit certification.

Primary enforcement mechanisms in the instrument

• Charging of costs to State/NT sub‑accounts and repayment obligations. When the Commonwealth purchases, redeems or repays securities of a State or the Northern Territory, the gross cost (for purchases) or the cost at face value (for redemptions/repayments) is charged to the relevant sub‑account in the Debt Retirement Reserve Trust Account (cl 6(6)-(7)). Where the Commonwealth advances expenses in performing the Agreement (loan flotation charges, commissions, stamp duties, management charges, exchange costs etc), those amounts are repayable by the State/NT to the Commonwealth (cl 12(1)). The Auditor‑General’s certificate as to the amount repayable is conclusive in a dispute (cl 12(3)). These mechanics create an internal accounting enforcement loop: Commonwealth outlays are recorded against State/NT accounts and the Auditor‑General’s certification is the procedural lever for collection.

• Indemnities. Each State indemnifies the Commonwealth against liabilities in respect of the public debt of that State, save for defined Commonwealth liabilities under the Agreement (cl 13). The Northern Territory gives a parallel indemnity (cl 14). These indemnities create contractual obligations on States/NT and convert certain debt risks into intergovernmental liabilities that may be enforced civilly.

• Political and fiscal leverage. The Loan Council remains the forum for intergovernmental coordination (cl 4) and the Commonwealth’s role as payor to bondholders (cl 5(1)) plus management of the Debt Retirement Reserve Trust Account gives the Commonwealth day‑to‑day control over funds used to retire State debt and to apply credits, which is an enforcement device in practice, though not cast as punitive statutory penalties.

Absence of explicit penal sanctions in the instrument

• No criminal penalties or specified pecuniary fines for non‑performance. The Agreement does not prescribe criminal sanctions or statutory fines; rather enforceability is achieved by financial chargebacks to state sub‑accounts, Auditor‑General certification, contractual indemnities and political remedies (cl 6, cl 12-13).

• No explicit debt‑recovery provisions setting out judicial enforcement steps within the Agreement text. The Agreement makes the Auditor‑General’s certificate conclusive but does not prescribe court enforcement mechanisms; ordinary legal recourse would remain available outside the Agreement if the Commonwealth sought to enforce repayment, but the instrument itself stops short of specifying procedures.

Practical enforcement implications

• Conclusive Auditor‑General certificates narrow factual contention but do not themselves specify remedy procedures; the Commonwealth’s route to actual collection of amounts owed by a State will involve intergovernmental negotiation, appropriations (s 5 for NSW), and potentially litigation under general law should negotiation fail. The Agreement’s wording makes the Auditor‑General’s figure decisive in a dispute over quantum (cl 12(3)), reducing the factual basis for litigation even if legal issues about interpretation of the Agreement could remain.

• Charging of purchases/redemptions to the State sub‑account (cl 6(6)-(7)) effectively makes the State’s sub‑account the pool from which redemption costs are drawn; a shortfall may require the State to make further contributions under cl 7(2) or to reimburse the Commonwealth under cl 12(1).

• Political enforcement: the Loan Council’s resolution power (cl 4(9)) and requirement for parliamentary approval to bind each party (cl 1(1)) mean that enforcement also operates through political and budgetary processes, rather than through criminal sanctions.

In sum, the Agreement creates enforceability through accounting, audit certification, indemnities and political budgetary mechanisms rather than through expressly penal statutory sanctions.

The Act and the Schedule are expressly interconnected with existing statutes and constitutional arrangements; the text identifies specific links and transitional mechanics.

Statutory references in the instrument

• Public Finance and Audit Act 1983. Section 6 of the Act makes consequential amendments to the Public Finance and Audit Act 1983 and includes a saving that references in that Act to the 1994 financial agreement extend to the “old financial agreement” for any financial year during which it was still in force (s 6). The instrument carries a historical amendment note (s 6: Am 1999 No 85, Sch 4). The Schedule’s cl 6(8)-(9) expressly ties the holding of the sub‑accounts to the Commonwealth Public Account established under the Audit Act 1901 (paragraph 21(1)(a) of the Audit Act 1901) and requires that interest earned on balances attributable to the sub‑accounts be credited to those sub‑accounts (cl 6(8)-(9)).

• National Debt Sinking Fund Act 1966 and the Commission. The Agreement contemplates the cessation of the National Debt Sinking Fund and the establishment of the Debt Retirement Reserve Trust Account (cl 1(2)(a)-(c)). The Commission (National Debt Commission) continued in existence by the National Debt Sinking Fund Act 1966 is referenced in definitions (cl 3). Clause 8 provides that until the Debt Retirement Reserve Trust Account is established contributions are to be paid into the National Debt Sinking Fund, and thereafter into the new Trust Account (cl 8(3)).

• The Principal Agreement and 1986 Arrangements. The 1994 Financial Agreement expressly rescinds the Principal Agreement except as provided (cl 16(1)) and rescinds relevant provisions of the 1986 Arrangements in relation to Northern Territory debt outstanding at 1 July 1990 (cl 16(3)). Clause 2(2) deems clauses 7, 8, 10, 11 and 13 of the 1994 Agreement to have commenced to operate on and from 1 July 1990 upon the Agreement coming into effect; cl 16(2) also preserves certain subclauses of the Principal Agreement until the Debt Retirement Reserve Trust Account is established.

• Constitutional basis. The Agreement’s WHEREAS paragraphs refer to section 105A of the Constitution of the Commonwealth of Australia as the legal basis for parties to vary the Principal Agreement (WHEREAS (B), (C)). Those are recitals of purpose; the operative Agreement implements specified changes to the Principal Agreement and the institutional arrangement of the Loan Council.

Practical interaction effects

• The requirement to hold sub‑accounts within the Commonwealth Public Account (cl 6(8)-(9)) imports the administrative and audit regime of the Audit Act 1901 and the Commonwealth’s public account mechanics. Interest credits to State sub‑accounts are to be calculated on the balances attributable in the Commonwealth Public Account (cl 6(8)-(9)). This cross‑references Commonwealth public finance law and implies that the operational administration of the Debt Retirement Reserve Trust Account will be performed within existing Commonwealth budget and treasury procedures.

• Transitional arrangements regarding the National Debt Sinking Fund and the Northern Territory Debt Sinking Fund create a sequencing obligation: the Commonwealth agrees to take steps to enact legislation to effect the cessation of those Sinking Funds and to create the Debt Retirement Reserve Trust Account, and to transfer balances (cl 1(2)). Until that happens certain previous arrangements remain in force (cl 16(2)). The Agreement thus depends on subsequent Commonwealth legislation and administrative action to complete the new mechanics.

• The Agreement alters the intergovernmental debt framework by rescinding the Principal Agreement and replacing it with the newly negotiated mechanics, but leaves some of the Principal Agreement’s clauses operating temporarily until the Trust Account is established (cl 16(1)-(2)). This means implementation requires coordination among multiple statutes, treasury procedures, and parliamentary approvals across jurisdictions (cl 1(1)).

• Interaction with State law and budgets. Clause 1(1) conditions the Agreement’s binding effect on each party’s parliamentary authority or approval, so for each State and Territory domestic parliamentary processes will interact with the Agreement’s international/intergovernmental effect. The Act itself in s 5 appropriates funds only for New South Wales’ performance to the extent necessary, signalling that other States will rely on their own appropriations or enabling legislation to permit performance.

• Auditor‑General role. Clause 12(3) renders the Auditor‑General’s certificate conclusive in disputes over amounts repayable by States to the Commonwealth. That interacts with existing audit law and practice to allocate a decisive administrative fact‑finding function to the Commonwealth Auditor‑General.

All of these interactions mean the 1994 Financial Agreement does not operate as an isolated contract; it is embedded in Commonwealth and intergovernmental public finance statutes, audit mechanisms and the constitutional framework referenced in the recitals.

The source provides limited explicit amendment history within the Act text and annotative notes. Reported amendments appearing in the source and Schedule‑level temporal mechanics are as follows.

Within this Act

• Section 6 contains a marginal note: “s 6: Am 1999 No 85, Sch 4.” That annotation in the source indicates that section 6 of this Act was amended by the Financial Administration or a related amending Act in 1999 (No 85), Schedule 4. The body of s 6 shows a prior subsection (1) marked as “(Repealed)” and retains sub‑section (2) preserving transitional references in the Public Finance and Audit Act 1983 to the 1994 financial agreement and the “old financial agreement.” No other textual amendments are recorded in the Act text provided.

Transitional and deeming provisions in the Agreement

• Clause 2(2) of the Schedule 1 Agreement expressly deems that upon coming into force, clauses 7, 8, 10, 11 and 13 of the Agreement shall be taken to have commenced to operate on and from 1 July 1990. This is an internal deeming clause giving retrospective operational effect to certain parts of the Agreement back to 1 July 1990.

• Clause 16(1) rescinds the Principal Agreement with effect from the date on which the Agreement (other than clauses 7, 8, 10, 11 and 13) comes into effect. Clause 16(2) preserves sub‑clauses of the Principal Agreement (sub‑clauses 12A (1), (2) and (4) to (12), inclusive) until the Debt Retirement Reserve Trust Account is established, with cross‑references adjusted to clauses 7 and 8 of the 1994 Agreement. This is an internal transitional sequencing device.

Apparent historical context in the recitals

• The Schedule recites a sequence of prior financial agreements (Original Agreement 1927, and subsequent Supplemental Agreements of 1928, 1931, 1934, 1944, 1966 and 1976) and refers to the 1986 Arrangements with the Northern Territory. Those recitals establish that the 1994 Agreement is a successor to a long line of intergovernmental debt arrangements. Those prior instruments themselves would have separate amendment histories but are referenced only in the recitals and clause 16.

Limits on what the source shows

• The source does not list any subsequent amending Acts beyond the marginal note for s 6. It does not supply dates or contents of 1999 amendments beyond the marginal note, nor any later amendments. The Agreement in Schedule 1 anticipates future variation “as varied from time to time” (cl 2(1)) and defines “1994 financial agreement” within the Act (s 3) to include amendments approved by Parliament, but the present source does not supply any such later amendment texts.

Practical consequence for practitioners

• Practitioners should treat cl 2(2) and cl 16(1)-(3) as important transitional arrangements which may interact with subsequent amending legislation. Where a client’s question requires knowing whether later amendments were enacted, or how the 1999 marginal amendment to s 6 affected transitional references, the present text is insufficient and a search for the amending instrument(s) (1999 No 85, Sch 4 and any later amendments) and for any complementary Commonwealth legislation implementing the Debt Retirement Reserve Trust Account would be necessary. The Agreement itself contemplates subsequent legislation (cl 1(2)(a)-(c)) and parliamentary approvals (cl 1(1)) as necessary steps in the full operation of the new debt mechanics.

The source contains no judicial decisions, case law citations, or references to litigation arising under the Act or the 1994 Financial Agreement. The Agreement refers to constitutional power under section 105A of the Constitution in the recitals (WHEREAS (B), (C)), but it does not cite any cases nor does the Act text record any judicial interpretation.

What the absence of litigation references means in practice

• No cases are named or summarised in the statutory text or the Schedule. Practitioners seeking precedent on interpretation, enforceability of Auditor‑General certificates, the effect of the indemnities (cl 13-14), or the interplay between the rescission of the Principal Agreement and retained subclauses (cl 16), will not find guidance in the instrument itself. They must search case law databases for any decisions that have considered the Agreement or related intergovernmental debt instruments. The Agreement’s allocation of decisive administrative fact‑finding to the Auditor‑General (cl 12(3)) would be a likely focal point in any dispute, so case law dealing with the legal status of Auditor‑General certificates and their conclusiveness would be relevant in litigation, but none is supplied by the source.

• Because the Agreement alters the drafting and accounting mechanics for State public debt and creates intergovernmental claims and indemnities, litigated questions could arise about the scope of indemnities, the interpretation of the minimum contribution floor (cl 7(2)), the interaction between Loan Council resolutions (cl 4(9)) and State borrowing freedoms, and whether procedural prerequisites (parliamentary approvals required by cl 1(1)) were properly obtained. The present text does not indicate whether such disputes have been litigated.

Advice for research

• If the client needs litigation history, the next steps are to search Commonwealth and State courts for decisions citing the Financial Agreement Act 1994 or the 1994 Financial Agreement (Schedule 1), to search parliamentary records for debates and explanatory memoranda that accompanied implementation or amending legislation (for example the 1999 No 85 amendment noted in s 6), and to check Treasury and Loan Council materials for administrative determinations and resolutions that may have been litigated or otherwise contested.

Practical pitfalls, traps and ambiguities in the text that often catch practitioners and administrators.

1. Retroactive commencement of some clauses. Clause 2(2) deems clauses 7, 8, 10, 11 and 13 to have operated from 1 July 1990 upon the Agreement coming into force. That retroactivity affects contributions, Commonwealth contributions and indemnity/reimbursement rights for past periods. Practitioners must check whether parliaments gave the required approvals for that retrospective effect (cl 1(1)).

2. Minimum State contribution floor. Clause 7(2) sets an enforceable minimum contribution equal to 0.85 per cent of the net public debt as at the preceding 30 June. The “net public debt” definition depends on Sinking Fund or Trust Account balances (cl 3, cl 6). States must ensure their accounting reconciles to the Commonwealth’s calculation; any disagreement can be channelled to the Auditor‑General’s certificate mechanism only for amounts repayable (cl 12(3)).

3. Auditor‑General’s certificate is conclusive. Clause 12(3) makes a certificate by the Commonwealth Auditor‑General conclusive “as to the amount and matter stated” in the event of dispute. This significantly constrains factual dispute among the parties over the quantum of repayment. Parties must be careful about procedural protections before the Auditor‑General issues such a certificate because ordinary contractual or equitable challenges to the factual basis will be limited.

4. Commonwealth appropriation only for NSW in this Act. Section 5 appropriates the Consolidated Fund “to the extent necessary” for New South Wales’ part of the Agreement. The Act does not appropriate funds for other States or the Northern Territory. That is not an omission in the Agreement itself; rather it means each jurisdiction may have to pass or rely on their own appropriation or separate Commonwealth appropriations to meet obligations. Practitioners must check whether corresponding Commonwealth appropriation measures or State Acts exist to fund the contribution flows for each jurisdiction.

5. Loan Council powers and the absence of an express statutory prohibition on State issuance of securities. The recitals record an agreed variation of earlier restrictions on State borrowing (WHEREAS (C)(ii)), but the operative clauses do not expressly ban States from issuing securities in their own name; rather the Loan Council has power to make resolutions regarding borrowings and financial arrangements (cl 4(9)). This creates potential uncertainty: the policy aim in recitals does not automatically translate into an immediate statutory prohibition on State issuance absent a Loan Council resolution or further legislative action.

6. Timing and sequencing risk. Clause 1(2) requires the Commonwealth “as soon as possible” to seek enactment to cease the National Debt Sinking Fund and to establish the Debt Retirement Reserve Trust Account and to transfer balances. Until those legislative and administrative steps occur, transitional mechanics and the Principal Agreement subclauses preserved by clause 16(2) continue to operate. Implementation therefore depends on subsequent Commonwealth legislation and executive action; without it workability may be partial or administratively awkward.

7. Charging of purchase/redemption costs to State accounts. Clause 6(6)-(7) requires that gross purchase costs or face value redemptions be charged to the relevant State/NT sub‑account. If the sub‑account lacks funds to meet charges, it is not specified in the Agreement whether the Commonwealth must carry the cost temporarily or demand immediate repayment; the Auditor‑General certificate and cl 12(1) mechanism will determine quantum, but cashflow and timing disputes may still arise.

8. Interaction with existing bank agreements and commercial covenants. Clause 12(2) contains a protective promise by the Commonwealth not to do anything in connection with existing State loans which would, if done by the State, be a breach of agreements with any bank unless otherwise agreed with the State. This clause may require careful alignment of transactional steps to avoid creating a Commonwealth action that would trigger a breach or repudiation of third‑party covenants.

9. Ambiguity over Loan Council “resolutions” effect. Clause 4(9) authorises the Loan Council to make resolutions in relation to borrowings etc but contains a limiting phrase about “which are not to operate as they would have operated had clause 3 (15) of the original Agreement not been rescinded.” That cross‑reference to the Principal Agreement can create interpretative complexity about the legal effect of Loan Council resolutions, and whether they are binding or only recommendatory, and in what respects exceptions may have been preserved.

10. Narrow enforcement toolbox in the text itself. There are no express statutory penalties for non‑payment beyond the accounting and indemnity effects described. If a State refuses to pay contributions, the Agreement relies on intergovernmental, audit and appropriations mechanisms rather than statutory coercive sanctions. Practitioners should plan for negotiation and political remedies as likely paths to resolution.

These “gotchas” are concrete features of the text and transitional architecture. They require administrators and lawyers to confirm the sequence of parliaments’ approvals, the existence of any complementary Commonwealth legislation creating the Debt Retirement Reserve Trust Account, the current balance and reconciliation of sub‑accounts, and whether Loan Council resolutions have been made to give practical effect to the borrowing coordination changes in cl 4(9).

Actionable steps for the principal actors to perform and document to comply with the Agreement’s obligations; practical checklist items follow the text.

For the Commonwealth

1. Establish the Debt Retirement Reserve Trust Account and sub‑accounts. Clause 6(1)-(5) requires the Commonwealth to create the Trust Account and maintain separate sub‑accounts for each State and for the Northern Territory. Practically this requires Commonwealth legislation (as foreshadowed in cl 1(2)(a)-(c)) and administrative steps within the Treasury to set up ledgers in the Commonwealth Public Account (cl 6(8)-(9)). Ensure the trust accounting architecture maps sub‑accounts to the Commonwealth Public Account lines for interest crediting.

2. Adopt procedures for crediting interest. Implement processes to calculate interest earned on balances attributable to each sub‑account in the Commonwealth Public Account and add amounts equal to that interest to each sub‑account (cl 6(8)-(9)). Document method, rate used, and reconciliation procedures.

3. Pay bondholder interest continuing under the Principal Agreement. Continue to pay bondholder interest on public debts taken over by the Commonwealth as required by cl 5(1), and invoice States/NT for reimbursement pursuant to cl 5(2)-(3) where appropriate. Ensure rate calculation aligns to cl 5(5)-(6) (either Commonwealth loan rate or other mutually agreed rate).

4. Make Commonwealth contributions. Pay the annual Commonwealth contribution equal to 0.28 per cent of net public debt for each State/NT (cl 8(2)) into the correct fund (National Debt Sinking Fund until Trust Account established, then into Debt Retirement Reserve Trust Account) and keep monthly instalment schedules (cl 8(1), (3)).

5. Maintain separate accounts for Debt, Interest and Sinking Funds and reconcile monthly (cl 15).

6. Prepare for Auditor‑General certification. Where the Commonwealth expects to claim repayment from a State or the NT, prepare the documentation, schedules and audit trail that will be relied on for an Auditor‑General certificate because cl 12(3) makes that certificate conclusive in disputes.

For the States and the Northern Territory

1. Secure parliamentary approval and appropriate appropriation to bind and to perform. Clause 1(1) conditions the Agreement’s binding effect on signature with prior parliamentary authority or subsequent parliamentary approval. Each State/Territory should confirm whether its parliament has enacted or authorised the Agreement and ensure an appropriation exists to fund contributions and repayment obligations. New South Wales is dealt with in s 5, but other States may require their own appropriations or enabling measures.

2. Calculate and pay contributions. Implement accounting to compute the annual contribution described in cl 7(2), including the minimum floor of 0.85 per cent of net public debt on the preceding 30 June. Ensure timely equal monthly instalments unless other arrangements have been agreed (cl 7(1), cl 7(2)). For the NT follow cl 7(3) and cl 9 for instalment timing.

3. Arrange payment methods and agreements with the Commonwealth. Clause 5(4) envisages that the method of payments by States under cl 5(2) and the Northern Territory under cl 5(3) shall be arranged between the Commonwealth and the State/NT. States should formalise payment mechanics and timing with Treasury.

4. Reimburse Commonwealth expenses when invoiced. Prepare to repay the Commonwealth for loan flotation charges, management charges, stamp duties, commission on payment of interest, conversion/renewal/redemption/consolidation expenses and exchange on transference (cl 12(1)). Maintain documentation of transactions and coordinate with Auditor‑General processes so that any certificate will be supported.

5. Maintain internal recordkeeping aligned to Commonwealth accounts. Clause 15 requires separate account‑keeping for Debt, Interest and Sinking Funds or contributions to the Debt Retirement Reserve Trust Account. States should reconcile their internal ledgers to Commonwealth sub‑accounts and interest credit calculations under cl 6(8)-(9).

6. Consider contractual implications for third‑party creditors. Clause 12(2) protects existing contractual arrangements by committing the Commonwealth to avoid actions that would, if done by the State, breach bank agreements unless otherwise agreed. States should review their third‑party loan covenants and coordinate with Commonwealth Treasury to avoid breaches when the Commonwealth takes actions under the Agreement.

For the Loan Council

1. Nominate representatives and deputies, table nominations, and ensure quorum and voting protocols are documented (cl 4(1)-(7)). Deputies and written voting are permitted under cl 4(7).

2. Draft and adopt rules of procedure and keep them updated (cl 4(8)). These should address meeting notices, voting on resolutions and conduct of business.

3. Where necessary, use the Loan Council’s resolution power to govern borrowings, raisings and other financial arrangements for Commonwealth, States, local governing bodies and majorly‑owned entities (cl 4(9)). Ensure any resolutions are consistent with the Agreement’s retained clauses and with the transitional mechanics (cl 16).

Cross‑jurisdictional practical steps

1. Confirm the legislative and administrative steps taken to create the Debt Retirement Reserve Trust Account and to transfer balances from the National Debt Sinking Fund and the Northern Territory Debt Sinking Fund, as contemplated in cl 1(2)(a)-(c).

2. Reconcile definitions and data inputs. The net public debt calculation (cl 3) depends on Sinking Fund balances or Trust Account balances. Parties must agree a single authoritative dataset and methodology for exchange rates (for overseas currency securities cl 3), valuation dates and interest accruals.

3. Prepare contingency procedures for shortfalls. Because purchases/redemptions are charged to State sub‑accounts (cl 6(6)-(7)), develop intergovernmental protocols for handling shortfalls: temporary Commonwealth bridging, accelerated State payment, or other political arrangements to avoid operational disruption.

4. Document the Auditor‑General interaction. Because the Auditor‑General’s certificate is conclusive for disputed repayments (cl 12(3)), each party should create a protocol for pre‑certificate dispute resolution, submissions, access to audit working papers and timelines so that factual disputes can be fairly presented before certification.

5. Ensure compliance with third‑party covenants. When the Commonwealth acts in connection with a State loan, it must avoid doing anything that, if done by the State, would breach bank agreements unless agreed (cl 12(2)). Parties should map outstanding loan covenants and obtain consents where needed.

Checklist summary

• Parliamentary approval for the Agreement (cl 1(1)).
• Appropriations in place to meet contributions and potential repayments (s 5 for NSW; other jurisdictions as applicable).
• Debt Retirement Reserve Trust Account legislated and operational (cl 1(2), cl 6).
• Sub‑account bookkeeping in Commonwealth Public Account with interest crediting (cl 6(8)-(9)).
• Monthly instalment schedules for contributions and Commonwealth contributions (cl 7(1), cl 8(1)).
• Audit coordination and evidence pack for Auditor‑General certificates (cl 12(3)).
• Loan Council procedural rules and nominations (cl 4(2), (8)).
• Reconciliation of net public debt methodology, including conversion of overseas currency securities (cl 3).

Following these concrete steps will align operational practice with the Agreement’s expressed duties and reduce the risk of intergovernmental accounting disputes and cashflow interruptions.
