Financial Accountability Regime (Minister) Rules 2024

The Rules revolve around a small set of interlocking concepts that operate as the gating mechanics for the FAR regime.

1. Accountable entity and accountable person. The Rules assume the statutory concept of an accountable entity from the Act and do not redefine it. They prescribe which responsibilities, when held because of a position, make an individual an accountable person in relation to an accountable entity. See the opening of Part 2 and section 5(1). The Rules’ definitions and prescriptions should be read together with the Act’s definitions; the instrument explicitly notes that expressions have the same meaning as in the Act (see section 4, note and opening words).

2. Prescribed responsibilities. The instrument lists specific senior executive responsibilities that trigger accountability. The primary list for domestic entities (non‑foreign) in relevant sectors appears in section 5(2). That list covers managerial responsibility for business activities and significant related entities; responsibility for financial resources or operations; responsibility for overall risk controls or risk management arrangements; information management; internal audit, compliance, human resources and dispute resolution functions; remediation; breach reporting; and anti‑money laundering for reporting entities. Insurance sectors have two additional prescribed responsibilities: actuarial and claims handling functions (section 7). RSE licensees have additional prescribed responsibilities specific to member administration, investment, financial advice and insurance offerings (section 8). Foreign accountable entities have their own, tailored list that targets persons responsible for branch conduct in Australia and specified roles tied to existing legislation such as the Life Insurance Act 1995 and Insurance Act 1973 (section 9). NOHCs have a compact list of responsibilities focused on business management, financial resources, risk and internal audit (section 10).

3. Prescribed positions. For most non‑foreign entities the only prescribed positions the Rules specify are members of the board of directors or equivalent (section 6(2)). A matching prescription applies for NOHCs (section 11(2)). The instrument thereby ties board membership to the Act’s accountability regime in a straightforward way for covered entities.

4. Enhanced notification threshold and total assets value. The Rules operationalise subsection 31(3) of the Act by saying when an entity meets the enhanced notification threshold. This is a two-step mechanism. First, the instrument sets quantitative thresholds by sector: $20 billion for ADIs, $10 billion for general insurers and life companies, $3 billion for private health insurers, $30 billion for RSE licensees (sections 13(2), 16(2), 19(2), 22(2) and 25(2)). Second, it prescribes the APRA final report and the precise item in an APRA Reporting Standard from which “total assets value” is to be read (see sections 14, 15, 17, 18, 20, 21, 23, 24, 26 and 27). For ADIs the Rules include a hierarchy of ARS forms (322.0 consolidated, 323.0 licensed ADI, 720.0 ABS/RBA) and rules to pick the relevant final report where multiple forms are filed in relation to the same financial year (section 14). For RSE licensees the total assets value is a statutory aggregation of item 11 Total assets in each registrable superannuation entity’s form (section 27).

5. Related entities. Section 28 makes a second accountable entity in the corporate group taken to meet the enhanced notification threshold if the first accountable entity meets it and the second does not otherwise meet it. This is a rule that extends obligations across corporate group lines in specific circumstances.

6. Reporting Standards and versioning. Section 29 sets out how the Rules interact with APRA Reporting Standards and with the Financial Sector (Collection of Data) Act 2001 determinations. It fixes that the Rules refer to the Reporting Standard version that applied to the entity because of an FSCD Act determination, and if a Reporting Standard has been superseded with a different identifier, the instrument effectively “maps” references to the newer identifier and corresponding material.

7. Authentication of examination records. Section 30 prescribes a tangible authentication method for written records of examinations for evidentiary purposes under subsection 54(7) of the Act. The method requires promptness, presence of an endorser who is not the examinee, and a signed, dated endorsement confirming the record’s truth.

8. Transitional application. Section 31 permits use of a final report for a financial year that starts or ends before commencement of the Rules or before the entity became an accountable entity, for the purposes of Part 3’s threshold calculations.

These concepts work together to translate APRA data flows and corporate structures into the FAR Act’s notification and accountability triggers. The Rules are mechanical and formulaic; they do not add substantive duties beyond prescribing which positions and responsibilities attract the existing statutory accountability obligations in the Act.

The Rules affect a defined set of participants in the Australian financial regulatory system and, indirectly, the legal advisers, auditors and compliance officers who support them.

Primary affected entities and persons.

• Accountable entities in specified sectors: authorised deposit-taking institutions (ADIs), general insurers, life companies, private health insurers, and registrable superannuation entity (RSE) licensees. The instrument operates “in relation to” those accountable entities to determine thresholds and prescribed responsibilities; see sections 5(1), 6(1), 7(1), 8(1) and the sector-specific provisions in Part 3 (for example sections 13 to 27).

• Board members (or equivalents) of those accountable entities. The Rules expressly prescribe the positions of members of the board of directors (or equivalent) as prescribed positions for non-foreign accountable entities in those sectors (section 6(2)) and for NOHCs (section 11(2)).

• Senior executives with specified responsibilities. The Rules prescribe a wide set of senior executive responsibilities that, if held because of the position, make the holder an accountable person. Those responsibilities cover operational leadership functions (finance, operations, risk management, information management, internal audit, remediation, breach reporting) and sector-specific functions (actuarial, claims, RSE functions, AML for reporting entities). See sections 5(2), 7(2), 8(2), 9(2) and 10(2).

• NOHCs and foreign accountable entities. The Rules treat NOHCs (authorised or registered NOHCs in relation to ADIs, general insurers and life companies) as separate accountable entities and prescribe specific responsibilities and board positions for them (sections 10 and 11). Foreign accountable entities have a tailored set of prescribed responsibilities focused on branch conduct and statutory roles recognised under other Acts (section 9).

• APRA and other regulators. APRA is the source of the Reporting Standards and the recipient of the final reports that the Rules look to for calculating total assets value (sections 14, 17, 20, 23, 26 and 29). The Rules also expressly connect to obligations and roles established under other statutes listed in the instrument, including the Life Insurance Act 1995, the Banking Act 1959, the Insurance Act 1973 and the Anti‑Money Laundering and Counter‑Terrorism Financing Act 2006 (see definitions in section 4 and specific cross-references in section 9 and section 5(2)(h)).

• Persons involved in regulatory examinations. Section 30 affects the person authorised to prepare and the “endorser” who must authenticate examination records. The endorser must be someone other than the examinee who was present throughout the examination and who signs and dates an endorsement to the effect that the record is true.

Secondary effects and stakeholders.

• Related accountable entities in the same corporate group. Under section 28, if one accountable entity in a corporate group meets a threshold, a related accountable entity that otherwise would not meet it may be taken also to meet the threshold, thereby expanding regulatory reach across related entities.

• Legal, compliance and audit departments. The Rules require mapping of responsibilities to roles and mapping APRA reporting forms to the entity’s statutory standing. Internal governance structures, job descriptions, registers of responsibilities and APRA reporting arrangements will need to be aligned.

• Third-party service providers and outsourced function providers. Although the Rules carve out that performing an activity does not, by itself, create a senior executive responsibility (for example section 5(3), 7(3), 8(3), 10(3)), the allocation of responsibility in contracts, outsourcing arrangements and delegation matrices will influence which individuals are accountable under the Act and Rules.

Who pays. The direct regulatory cost falls on accountable entities and on the individuals who are identified as accountable persons, because those parties must comply with the Act’s obligations once the Rules identify the relevant positions and thresholds. Compliance costs also fall on internal functions that must provide APRA reporting, record-keeping, role descriptions and examination authentication. APRA bears operational costs to receive and verify reports and to apply the FAR Act, but those costs are administrative rather than new statutory burdens in the Rules.

Who decides. The instrument is made by the Minister (see the signature page and section 3) pursuant to the Act. APRA’s determinations under the Financial Sector (Collection of Data) Act 2001 interact with the Rules through the Reporting Standards mechanism (section 29). In practice, the entity’s own choices about reporting forms, corporate structure and role allocation will determine when the FAR duties attach.

What behaviour changes. The Rules change outcomes by clarifying which roles attract accountability and by tying enhanced notification triggers to particular APRA reporting items and forms. Entities face stronger incentives to define roles and board positions precisely, to manage APRA reporting form choices, and to consider corporate structuring where the group extension rule in section 28 might cause additional entities to be treated as meeting thresholds.

This instrument primarily defines who is captured by the FAR Act, and how trigger thresholds are calculated. The Rules do not create standalone civil or criminal offences, nor do they set out the detailed sanctioning architecture. Those substantive duties and penalties remain in the Financial Accountability Regime Act 2023. The Rules do, however, impose or clarify specific duties and create limited procedural rights by specifying how certain evidentiary and measurement tasks are to be performed.

Key duties specified or operationalised by the Rules.

• Duty to be an accountable person where a prescribed responsibility is held because of a position. The Rules list responsibilities that constitute prescribed responsibilities for the Act’s purposes. If an individual holds one of the listed responsibilities by virtue of their position, they will be an accountable person under the Act. Examples include senior executive responsibility for overall risk controls, financial resources, operations, information management, internal audit, compliance, breach reporting and remediation programs. See sections 5(2), 7(2), 8(2), 9(2) and 10(2).

• Board-level duty exposure. Members of the board of directors (or equivalent) are prescribed positions for covered non-foreign entities and NOHCs, meaning board membership is a trigger for accountability under the Act (section 6(2); section 11(2)). This ties collective governance roles at board level into the FAR accountability net.

• Duty to recognise sector-specific responsibilities. For insurers the Rules add actuarial and claims handling to the prescribed responsibilities list (section 7(2)). For RSE licensees the Rules prescribe responsibilities for member administration, investment, financial advice and insurance offerings (section 8(2)). For reporting entities under AML/CTF legislation, senior executive responsibility for anti‑money laundering is prescribed (section 5(2)(h)).

• Duty to apply APRA reporting standards when assessing whether enhanced notification thresholds are met. The Rules require the use of the entity’s “relevant final report” and identify the precise Reporting Standard form and item to use for the total assets value calculation (the ARF/SRF/GRS/LRS/HRS/SRS forms and their items). See sections 14 to 15, 17 to 18, 20 to 21, 23 to 24, and 26 to 27. For ADIs the Rules include hierarchical selection rules where multiple forms may exist for the same financial year (section 14(2) and (3)).

• Duty to treat related entities as meeting thresholds if certain conditions apply. If an accountable entity meets an enhanced notification threshold and is related to another accountable entity that otherwise does not meet the threshold, the other accountable entity is taken to meet the threshold under section 28. That has practical consequences for notification obligations under the Act.

Procedure and evidentiary duties.

• Duty to produce authenticated examination records in a specified way for evidentiary use. Section 30 specifies the manner of authentication for written records of an examination so they can be used under subsection 54(7) of the Act. The requirements include prompt production, endorsement by a person other than the examinee who was present, and a signed, dated endorsement that the record is true.

Rights and procedural protections.

• Right to rely on Reporting Standards references and versioning rules. Section 29 gives an entity certainty as to which version of a Reporting Standard applies in respect of a particular final report, including a mechanism that maps references to superseding Reporting Standards with different identifiers to corresponding material. This provides an administrative certainty right in the narrow sense that entities can rely on the specified Reporting Standard versions and mapping rules when calculating total assets value.

• Implicit right to legal and factual contestation. The Rules leave open, and depend upon, application of definitional terms in the Act. For example the Rules state that holding out to be “carrying out” an activity does not, in itself, constitute having senior executive responsibility for it (see sections 5(3), 7(3), 8(3), 10(3)). That carve-out is a rule that creates space for entities to argue factually about whether a person holds responsibility or merely carries out a function.

What the Rules do not do.

• The Rules do not set notification procedures or timing for when an accountable person or entity must notify APRA or the Minister. Those procedural and sanctioning details remain in the FAR Act.

• The Rules do not define “senior executive” in this instrument; the definitions to be read are those in the Act (section 4 note). They therefore do not on their own change or expand the concept beyond what the Act provides.

In short, the Rules allocate who will be subject to the duties under the FAR Act and they fix the accounting/reporting measurements that determine when enhanced obligations are triggered. Individuals and entities should interpret these prescribed responsibilities and position rules in conjunction with the Act, and should treat section 30 as the authorised authentication method for examination records admitted under the Act’s evidentiary provisions.

The Rules are subordinate, technical instruments that do not themselves create new sanctions or enforcement powers. They operate within the enforcement architecture of the Financial Accountability Regime Act 2023. The instrument cross-references enforcement-relevant provisions of the Act, but it does not prescribe penalties, fines or new enforcement processes. The practical enforcement implications of the Rules therefore flow from how the Act attaches duties and sanctions to the persons and entities the Rules identify.

Key points on enforcement mechanics and interaction with sanction regimes.

• The Rules identify who will be an accountable person for the Act’s purposes. Once a person is an accountable person under the Act by virtue of holding a prescribed responsibility, the Act’s enforcement provisions and civil or criminal consequences (if any are contained in the Act) can be applied to that person pursuant to the Act. The instrument itself does not specify penalty amounts or schedules; those are in the primary legislation. See the instrument’s authority clause in section 3.

• Enhanced notification threshold operationalisation has enforcement consequences under the Act. The Rules set the quantitative and reporting criteria that determine when an accountable entity meets the enhanced notification threshold (Part 3). Meeting that threshold will trigger any enhanced notification duties and corresponding enforcement consequences provided by the FAR Act. The Rules merely define how to measure those thresholds. See, for example, sections 13, 16, 19, 22 and 25.

• Evidence admissibility provisions are clarified. Section 30 prescribes a manner of authentication for written records of examinations. That prescription applies for the purposes of subsection 54(7) of the Act. Where an examination record is authenticated in the manner set out in section 30, it will satisfy the Act’s evidentiary threshold for use in enforcement proceedings. Section 30 therefore reduces evidentiary risk for regulators and could increase the likelihood that examination records are admitted in administrative or judicial proceedings taken under the Act.

• APRA’s data collection underpins enforcement. The Rules rely on APRA reporting standards and final reports to determine thresholds and thus who falls within the enhanced-notification class. APRA’s determinations under the Financial Sector (Collection of Data) Act 2001 are integrated through section 29. Enforcement action that depends on whether an entity met or did not meet a threshold will therefore hinge on APRA reporting accuracy and the correct application of the instrument’s selection rules (for example, the ARS 322.0/323.0/720.0 hierarchy in section 14).

Points of operational enforcement risk.

• Measurement disputes. The choice of which Reporting Standard form and item to use, and the ARS 322/323/720 selection hierarchy for ADIs, creates concrete prospects for disputes about whether an entity meets a threshold. Those disputes can be about which report was the “relevant final report” (section 14) or how to interpret the items in the APRA forms that the instrument points to. A dispute over measurement will directly affect whether enforcement consequences under the Act apply to a given accountable person or entity.

• Group-level enforcement reach. Section 28’s rule that a related accountable entity is taken to meet the enhanced notification threshold if a related entity does can broaden the universe of entities potentially caught by enforcement measures. Enforcement interlocutors will therefore need to assess corporate relationships and whether the entity in question is “related” as the Act defines that term.

Where to find the penalties. The instrument does not provide penalty texts. Readers must consult the Financial Accountability Regime Act 2023 for the detailed enforcement and penalty framework referred to in the instrument. The Rules should be read as specifying technical inputs that feed into the Act’s enforcement regime rather than as a stand-alone penal instrument.

The Rules are tightly integrated with several existing pieces of financial services legislation and with APRA’s Reporting Standards architecture. The instrument itself makes explicit cross-references; the operational interactions below are grounded in the text.

Statutory dependencies and cross-references.

• Financial Accountability Regime Act 2023. The Rules are made under this Act (section 3) and repeatedly reference specific subsections of the Act as the legal foundation for their operation. For example, Part 3 operates under subsection 31(3) of the Act to determine when an accountable entity meets the enhanced notification threshold (see sections 13, 16, 19, 22 and 25). Section 30 operates for the purposes of subsection 54(7) of the Act to specify an authentication method for examination records.

• Financial Sector (Collection of Data) Act 2001 and APRA Reporting Standards. Section 29 explicitly ties references in the Rules to the version of an APRA Reporting Standard that applied by reason of a determination under section 13 of the Financial Sector (Collection of Data) Act 2001. This means that APRA’s data collection determinations and the identifiers used in Reporting Standards mediate how the Rules are applied. The Rules also contain a mapping rule where a Reporting Standard has been superseded with a different identifier; the Rules will instead refer to the more recent Reporting Standard and corresponding material (section 29(2)).

• Banking Act 1959, Insurance Act 1973, Life Insurance Act 1995. The instrument imports statutory concepts and specific functions from these Acts. For example, “foreign ADI,” “foreign general insurer,” and “eligible foreign life insurance company” are terms defined in those Acts and used in the Rules (definition of eligible foreign life insurance company in section 4; references in section 9). Section 9(2)(b) and (c) link prescribed responsibilities for foreign entities to roles that are recognised under those Acts, such as being an agent in Australia for Insurance Act purposes or a member of a Compliance Committee under the Life Insurance Act.

• Anti‑Money Laundering and Counter‑Terrorism Financing Act 2006. Section 5(2)(h) of the Rules prescribes senior executive responsibility for management of an accountable entity’s anti‑money laundering function, but only where the accountable entity is a reporting entity under the AML/CTF Act. This locates anti‑money laundering responsibility within the FAR accountability architecture for entities already regulated by AML/CTF rules.

Interaction effects and practical overlaps.

• Double-counting or duplication in reporting. The instrument uses APRA final reports already produced for regulatory purposes to determine FAR thresholds. That creates an overlap between APRA’s prudential reporting and the FAR Act’s accountability regime. Entities will therefore face compliance alignment tasks rather than duplicative numeric reporting tasks, but the same underlying figures will be used for both prudential and accountability triggers.

• Aggregation and consolidation choices. The Rules’ reliance on specific Reporting Standard forms and items means that consolidation choices and APRA form selection will affect FAR outcomes. For ADIs the Rules specify a prioritisation of consolidated forms (section 14(1) and (2)); for RSE licensees an explicit aggregation method adds together registrable superannuation entities’ totals (section 27). Corporate groups that structure assets across legal entities may find the FAR reach depends on how the APRA reports are prepared and by which entity.

• Cross-border and branch considerations. For foreign accountable entities the Rules prescribe responsibilities tied to branch conduct in Australia and to roles created by other Acts (section 9). This interaction brings foreign-owned entities into the FAR framework where they have Australian operations, but it does so by focusing on the responsibilities specific to branch oversight and locally delegated senior officers.

• Procedural alignment with evidentiary law. The authentication method in section 30 interacts with the Act’s evidentiary provision (subsection 54(7)) to provide a safe harbour for admission of examination records. That reduces procedural friction for regulators seeking to rely on examination records in enforcement proceedings, but it also creates an internal evidence-preservation duty for regulated entities and their legal advisers.

• Transitional and retrospective measurement. Section 31 allows the use of final reports for financial years that start or end before the instrument’s commencement or before the entity became an accountable entity. That knocks the Rules into contact with prior reporting regimes and with the timing rules in the Act for when a corporation starts being an accountable entity, as referenced in the instrument’s example and noted guidance.

Potential areas of regulatory tension or ambiguity.

• Which Reporting Standard applies where identifiers change. Section 29 provides a mapping principle, but determining corresponding material between a superseded Reporting Standard and a new Reporting Standard with a different identifier may require administrative interpretation or dispute, especially where form line items shift materially.

• Definition drift between statutes. The Rules tell users to rely on the Act for defined expressions (section 4), yet they also incorporate concepts from Banking, Insurance and Life Insurance Acts. Where definitions diverge, entities will need to map the statutory terms carefully to see which statutory definition governs in particular contexts.

Overall, the instrument is designed to sit within and leverage existing reporting and statutory architectures rather than to supplant them. Practitioners should therefore read the Rules in tandem with APRA Reporting Standards, the Financial Sector (Collection of Data) Act 2001, and the substantive provisions of the FAR Act and the other sectoral Acts it references.

This instrument is newly made and self-identifies its origin and commencement details. The text contains a discrete history record limited to its original making and commencement date. The following points are explicit in the instrument.

• Making and signature. The Rules were made and signed by Stephen Jones, Assistant Treasurer and Minister for Financial Services, on 5 March 2024. The signature and dating appear on the instrument’s front page.

• Commencement. The entire instrument commenced on 15 March 2024. Section 2 contains a commencement table which states that “The whole of this instrument” commences on 15 March 2024. The instrument also contains the standard note that the table relates only to provisions as originally made and will not be amended to deal with later amendments (section 2(1) note).

• No recorded amendments in the instrument. The instrument as provided contains no subsequent amendment provisions, saving clauses or later commencement dates. There are no schedules or notes indicating prior versions. The instrument’s content and references are thus those of the original instrument as made on 5 March 2024.

• Internal note about column 3. Section 2(2) states that any information in column 3 of the commencement table is not part of the instrument and that such information may be edited in published versions. That is an administrative caveat. It does not constitute an amendment history.

• Reporting Standard evolution accommodated, not an amendment to the Rules. Section 29 addresses the prospect that APRA Reporting Standards may be superseded and sets a mechanism for the Rules to be read as referring instead to the more recent Reporting Standard where identifiers change. That provision is a built-in versioning device rather than an amendment history. It anticipates future changes to Reporting Standards without requiring formal amendment of these Rules.

Practical implication for users. Because the instrument is new and has no amendments recorded within it, users should assume it is current as of 15 March 2024 and should track:

• any future disallowance or amendment instruments that alter these Rules;

• APRA’s determinations under the Financial Sector (Collection of Data) Act 2001 that determine which Reporting Standard versions apply to particular reports; and

• any subsequent legislative amendments to the Financial Accountability Regime Act 2023 that could change the context in which these Rules operate.

If a practitioner needs to cite an amendment history in future work, they will have to consult the Federal Register of Legislation or the instrument’s notices for any later amendments beyond the original instrument, because the instrument itself contains no later amendment trace.

The Rules are newly made and the instrument contains no litigation history or references to judicial decisions. There are no cases named in the text, and no adjudications, appeals, or administrative reviews linked directly to this instrument appear in the document provided.

While there are no adjudicated authorities referenced, the Rules create several distinct questions and factual scenarios that could be expected to generate litigation or administrative review in future. The likely loci for contestation, grounded in the Rules’ text, include the following.

• Whether an individual “has” a prescribed responsibility because of their position, or whether they are merely carrying out an activity. The Rules emphasise that for several prescribed responsibilities a person does not have senior executive responsibility merely because they are carrying out the activity (see sections 5(3), 7(3), 8(3) and 10(3)). Factual disputes about delegation, delegation limits, and whether a role-holder has the degree of decision-making authority that constitutes “senior executive responsibility” will be a natural subject for litigation or merits review in contested enforcement contexts.

• Which APRA final report is the “relevant final report.” For ADIs, section 14 contains priority rules for ARS 322.0, ARS 323.0 and ARS 720.0. There is concrete scope for dispute about whether a prior submission under one form applies to a particular financial year, and therefore which form and which item should be read to determine the total assets value. Questions about timeliness, amended reports, or late submissions could all be litigated if they affect whether an entity met an enhanced notification threshold at a relevant time.

• Aggregation and the RSE method. Section 27 prescribes that total assets value for RSE licensees is the sum of item 11 from each registrable superannuation entity’s Form SRF 320.0. Litigation points could include whether particular assets are correctly reported in the registrable entity forms, or whether consolidation or intra-group transactions are properly captured in the sum.

• Group relationships and the “related” concept in section 28. Section 28 takes a related accountable entity to meet the enhanced notification threshold where a related entity meets it. Determinations of relatedness can be technical and fact-driven, and disputes are plausible where corporate group structures are complex or where legal separateness is emphasised by entities.

• Versioning of Reporting Standards under section 29. Although section 29 attempts to resolve identifier changes, there may be disputes over whether particular “material” in a superseded Reporting Standard corresponds to the material in a successor standard where line items or definitions change substantially. Administrative appeals or judicial review could arise if an entity argues that the mapping is inaccurate or imposes a materially different measurement.

• Authentication disputes about examination records under section 30. Section 30 sets out an endorsed authentication method that, if complied with, meets the evidentiary requirement in subsection 54(7) of the Act. Litigation could arise where an examinee argues records were not authenticated according to section 30 or where the endorsement is contested.

No cases are named here and no actual litigation is recorded in the instrument. Practitioners should therefore prepare for litigation risk by documenting decision-making authority, preserving contemporaneous records of APRA submissions, and ensuring endorsement and chain-of-custody procedures for examination records meet the instrument’s criteria. Where disputes arise, they will turn on the Act’s substantive provisions, the Rules’ mechanical tests, and the factual record.

The Rules are mechanical and precise, but several practical pitfalls and traps for the unwary arise from the instrument’s structure. Below are concrete “gotchas” grounded in the Rules’ wording.

1. “Carrying out” versus “senior executive responsibility.” Multiple provisions make clear that performing a function does not, by itself, make someone have senior executive responsibility for it (see sections 5(3), 7(3), 8(3) and 10(3)). That is not a blanket escape. If a job description or delegation letter gives someone managerial or control authority over a function, they will be captured. The practical risk is that organisations that leave responsibility implicitly allocated, or that bury authority in informal arrangements, may unintentionally create an accountable person with little awareness or training.

2. Board members are automatically prescribed positions for most entities. The instrument prescribes board membership as a prescribed position for non-foreign accountable entities in the listed sectors, and for NOHCs (sections 6(2) and 11(2)). Entities cannot avoid organisational accountability simply by keeping key decision-making at board level. There is a practice risk where boards assume they are insulated from personal accountability if the Act applies.

3. ADI reporting form selection matters. For ADIs the Rules create a priority hierarchy among ARS 322.0, ARS 323.0 and ARS 720.0 (section 14). Where an entity submits multiple forms for the same financial year the Rules say use ARS 322.0 where available, otherwise ARS 323.0, otherwise ARS 720.0. The gotcha is that an entity that files under a licensed ADI form (ARS 323.0) instead of a consolidated form (ARS 322.0) where both might be possible may change the numerator used to test the $20 billion threshold.

4. Versioning of Reporting Standards can be non-obvious. Section 29 attempts to map references to the relevant Reporting Standard version that applied to the entity by reason of an FSCD Act determination, and to superseding standards with different identifiers. In practice practitioners must track both APRA determinations and form identifier changes. Where APRA revises forms and renames them, an entity could misapply the wrong line item if it assumes the instrument refers to the most recent form without checking identifier continuity.

5. Division 6’s group extension rule can widen reach unexpectedly. Section 28 can cause a related accountable entity to be taken to meet the enhanced notification threshold even when it does not independently exceed the threshold. If corporate groups have legal entities that are related but operate separately, an entity that believed it was below threshold may be pulled in by a related entity’s size. Entities must map group relationships and consider whether they are “related” as the Act defines.

6. RSE aggregation mechanics. For RSE licensees the total assets value is a summed figure across registrable superannuation entities using item 11 in Form SRF 320.0 (section 27). The practical issue is that intra-group transfers and whether assets are recorded at entity level or group level will affect the sum. Misreporting or inconsistent treatment across registrable entities could create threshold surprises.

7. Foreign accountable entities and role equivalence. Section 9 prescribes responsibilities for foreign accountable entities that differ from domestic ones and tie to statutory roles under other Acts (for example, being an agent in Australia under the Insurance Act 1973 or a member of a Compliance Committee under the Life Insurance Act 1995). Entities may mistakenly assume that assigning oversight to a person offshore avoids FAR accountability; the Rules expressly target senior officers outside Australia who have delegated authority, so careful mapping of delegation instruments is required.

8. Authentication technicalities. Section 30’s evidentiary authentication requires the endorsement to be made by someone other than the examinee, who was present throughout the examination and who reads and endorses the written record as soon as practicable. In practice that requires planning: ensure a suitable endorser is present, ensure prompt preparation of the written record, and ensure the endorsement language conforms to the required effect. Failure to meet these procedural rules risks exclusion of the record under subsection 54(7) of the Act.

9. Transitional timing trap. Section 31 allows use of final reports for financial years that start or end before the instrument’s commencement or before the entity became an accountable entity. That can mean that an entity becomes captured by FAR obligations because of historical reporting. Entities cannot assume that only post-commencement data matters.

10. “Board or equivalent” language. The instrument prescribes “members of the board of directors (or equivalent)” without defining “equivalent.” Entities with non-standard governance structures should not assume their governance form avoids the prescription. Legal advice will likely be needed to interpret whether a committee, council or other governance body is an equivalent for these purposes.

Mitigation recommendations tied to these gotchas. Document role responsibilities and delegations in written instruments, align APRA reporting form selection and line item reporting to the Rules’ mapping, maintain a register of related entities and APRA reporting forms, ensure examination procedures provide for an appropriate endorser and immediate endorsement, and treat board members as potentially accountable persons. The Rules are precise, and small administrative oversights can trigger significant FAR consequences due to the way the instrument maps internal facts to statutory triggers.

Compliance under this instrument is primarily an exercise in governance mapping, reporting alignment and procedural guardrails. The Rules do not prescribe new substantive actions beyond those in the FAR Act, but they do specify the mechanical inputs that determine when FAR obligations attach. Below is a practical compliance checklist and recommended steps, grounded in the instrument’s provisions.

1. Map prescribed responsibilities to actual roles and update role descriptions.

• Identify every individual who holds one of the responsibilities listed in sections 5(2), 7(2), 8(2), 9(2) and 10(2). These include senior executive responsibility for management of business activities, financial resources, operations, overall risk controls, information management, internal audit, compliance, human resources, dispute resolution, remediation, breach reporting, actuarial and claims handling (as applicable), AML functions (where the entity is a reporting entity), and the RSE-specific functions.

• Ensure job descriptions, delegation letters and governance charters explicitly state whether the person has senior executive responsibility for the function, rather than merely carrying out tasks. The Rules say that carrying out an activity does not, by itself, create senior executive responsibility (for example section 5(3)). Therefore, make the distinction explicit in documentation.

2. Treat board members as prescribed positions and train them.

• For domestic accountable entities and NOHCs, members of the board (or equivalent) are prescribed positions (see sections 6(2) and 11(2)). Maintain a board register that records appointments and ensure directors receive FAR-specific training and access to legal and compliance support.

3. Review APRA reporting practices and confirm which Reporting Standards apply.

• Identify which APRA Reporting Standard identifiers apply to the entity’s final reports by reference to APRA’s determinations under section 13 of the Financial Sector (Collection of Data) Act 2001. Section 29 requires that the instrument refer to the version of the Reporting Standard that applied to the entity by reason of that determination.

• For ADIs, confirm whether ARS 322.0, ARS 323.0 or ARS 720.0 is the relevant final report for each financial year (section 14(1) to (3)). Where more than one form has been filed for a financial year, apply the hierarchy in section 14 to determine which form should be treated as the relevant final report.

• For RSE licensees, implement the aggregation method in section 27: extract item 11 Total assets from each registrable superannuation entity’s Form SRF 320.0 and sum them.

4. Establish procedures to monitor thresholds and trigger notifications.

• Set up an internal compliance process that reads the relevant APRA final report item (for example, ARF 322.0 item 12 for ADIs, GRS 300.0 item 15 for general insurers, LRS 300.0 item 15 for life companies, HRS 300.0 item 15 for private health insurers) and compares the total assets value to the sector threshold (sections 13(2), 16(2), 19(2), 22(2) and 25(2)).

• Include periodic checks (for example after APRA final report filings and after any material corporate transaction) so that, if an entity crosses a threshold during a financial year, the organisation becomes aware and can effect required notifications under the FAR Act.

5. Prepare for the group extension rule.

• Map related entities within the corporate group and determine situations in which section 28 might cause a related accountable entity to be treated as meeting the enhanced notification threshold. Consider whether governance, reporting or structural changes could prevent unintended spill-over.

6. Implement examination authentication procedures.

• Put in place a standard operating procedure for regulatory examinations that complies with section 30. Ensure that a nominated endorser is present throughout an examination, that the written record is produced as soon as practicable after an examination, and that the endorser reads and endorses the record with a signed and dated endorsement to the effect it is a true record.

7. Align AML and other statutory responsibilities.

• If the accountable entity is a reporting entity under the AML/CTF Act, ensure that the person with senior executive responsibility for AML is identified and that AML responsibilities are reflected in the accountable person register (section 5(2)(h)).

8. Update registers, governance policies and induction materials.

• Maintain an accountable person register that records each person who is a prescribed position or who holds a prescribed responsibility. The register should include the legal basis for designation under the Rules, the relevant functions, contact information and a record of training and delegations.

• Update internal policies (risk, compliance, human resources, internal audit) to reflect the responsibilities that attract FAR obligations.

9. Coordinate with external advisers and APRA.

• Engage legal and regulatory advisers to confirm interpretation of “equivalent” board positions, “related” entity status, and the mapping of APRA Reporting Standard items where forms have been redesigned.

• Where there is uncertainty about which Reporting Standard applies or how to treat particular lines in APRA forms, seek clarification from APRA and document the seeking of advice for compliance records.

10. Use the transitional rule where relevant.

• Section 31 allows use of a final report for a financial year that starts or ends before commencement or before an entity became an accountable entity. For entities close to thresholds, check historical APRA reports to determine whether an earlier financial year’s figures bring the entity within enhanced-notification coverage.

11. Test and audit.

• Run a compliance audit that verifies that the total assets calculations align with the relevant APRA form items as specified in the Rules (for example ARF 322.0 item 12 for consolidated ADIs under section 15(2), ARF 323.0 item 11 for licensed ADIs under section 15(3), GRS 300.0 item 15 for general insurers under section 18, and SRS 320.0 item 11 aggregations for RSEs under section 27).

• Confirm that documentation demonstrates why an individual is an accountable person (or not), including the delegation instruments or job descriptions that show senior executive responsibility.

Practical checklist summary.

• Identify all persons captured by sections 5 to 11 and create an accountable person register.

• Verify which APRA Reporting Standard and which specific form item determine total assets value for your sector, and implement periodic checks against the thresholds in sections 13, 16, 19, 22 and 25.

• Ensure examination-authentication protocols meet section 30 requirements.

• Document board equivalence, delegation and responsibility allocations in formal written instruments to reduce factual contestability.

• Audit APRA final reports and reconcile internal accounting treatment to the APRA form items used by the Rules.

Following these steps aligns entity practice with the instrument’s mechanical rules and reduces the risk of falling within the FAR Act’s notification and accountability triggers by accident. Legal advice is recommended where status questions are borderline, particularly on board equivalence, relatedness across corporate groups and selection of the relevant APRA Reporting Standard form.
