Film Certification Advisory Board Rules 2018

The central concept is the Film Certification Advisory Board itself, a small statutory body that functions as both a gatekeeper and an adviser for Australia’s film tax offsets under Division 376 of ITAA 1997. There are two specific offsets involved: the location offset (section 376-10) and the PDV offset (section 376-35). The ‘PDV offset’ refers to the tax offset for post, digital and visual effects production; the ‘location offset’ is for qualifying Australian production expenditure on films generally. The Board’s role is not to approve the offsets directly , that power rests with the Arts Minister under sections 376-20 and 376-45 for issuing final certificates , but to advise on whether certificates should be issued, and to issue provisional certificates itself (rule 8(b)).

A second core concept is the provisional certificate. The Board can issue such certificates for both the location offset and the PDV offset, which presumably allows a production company to obtain provisional assurance before final expenditure is locked in. The instrument does not set out the criteria for issuing provisional certificates; those criteria come from the ITAA 1997 (sections 376-230(1) and (2) mentioned in the note to rule 8). The Board’s advisory function extends to policy issues and administrative processes relevant to the scheme (rule 8(a)), and to determinations by the Arts Minister of the total qualifying Australian production expenditure under subsections 376-30(1) and 376-50(1) (rule 8(c)).

A third concept is appointed member versus ex‑officio membership. The Chair is always the Band 1 SES employee (or another nominated SES employee) responsible for administering the offsets in the Arts Department (rule 10(2)). The two other members are appointed by the Arts Minister for up to three years, on a part‑time basis, and must have practical involvement in the film production industry with expertise in film or television production budgets or film auditing (rule 10(4)-(6)). This dual composition means the Board always has a departmental insider as Chair, ensuring alignment with government policy, while the appointed members bring industry knowledge. It also means the Board can function with only two members (including perhaps only one appointed member) if a vacancy exists (rule 18(2)). Uniquely, if two members are conflicted out of a particular decision, the quorum drops to one (rule 18(3)), effectively giving a single member the power to decide the matter.

The instrument directly affects five groups. Production companies that apply for the location offset or PDV offset under Division 376 of ITAA 1997 interact with the Board when they seek provisional certificates or when the Board advises the Minister on their applications. The Board’s decisions directly affect the timing and certainty of a company’s eligibility for the tax offset, which in turn affects financing arrangements, production budgets, and cash flow. A provisional certificate issued by the Board can give a producer confidence to proceed with expenditure before the Minister issues the final certificate.

Board members (the Chair and two appointed members) are directly bound by the rules. The Chair is a public servant; the appointed members are private sector industry experts serving part‑time. They are subject to a continuing duty of confidentiality (rule 15), disclosure obligations for pecuniary interests (rule 16), and potential termination for misbehaviour, bankruptcy, or failure to attend meetings without leave (rule 14). Appointed members must also resign if they wish to leave (rule 13). The rules affect their incentives: the confidentiality duty persists after they leave the Board (rule 15(2)), which may deter some from serving if the restriction is seen as impeding later commercial activity.

The Arts Minister and Arts Department are affected because the instrument defines how the Board is established and operated. The Minister appoints members, grants leave, consents to disclosures, and can terminate appointments. The Department provides the Chair and administrative support. The Board’s function includes advising the Minister on policy (rule 8(a)), so the instrument creates a formal channel for industry expertise to feed into policy decisions. However, the Minister is not bound by the Board’s advice , the instrument does not purport to constrain ministerial discretion.

Tax practitioners and auditors specialising in film production expenditure are indirectly affected. The requirement that appointed members have expertise in film production budgets or film auditing (rule 10(5)) means the Board will likely seek advice from those professions, and the Board’s decisions (particularly on provisional certificates) will set precedents for how qualifying Australian production expenditure is interpreted. Practitioners must understand the Board’s role when advising clients on offset applications.

The broader film production industry is affected through the Board’s policy advisory function. The Board can advise on administrative processes for the scheme (rule 8(a)), so its recommendations could shape how applications are processed, what documentation is required, and the speed of decisions. Industry participants who rely on the offsets have an interest in who is appointed to the Board and how conflicts of interest are managed, because a conflicted member could slow down or bias decisions without proper disclosure. The small board size (two working members) creates a vulnerability: if one appointed member is absent or conflicted, the remaining non‑chair member may have disproportionate influence.

The instrument imposes several key duties, primarily on Board members. The duty of confidentiality (rule 15) prohibits Board members from communicating or using for advantage any information learned in their capacity as a Board member, except in the performance of Board functions. This duty continues indefinitely after the person leaves the Board. For industry‑appointed members who return to the private sector, this creates a risk of inadvertent breach when they later discuss market developments. The duty also applies to any person invited to attend a Board meeting for advisory purposes (rule 19(5)).

The disclosure of interests duty (rule 16) requires a Board member who has a direct or indirect pecuniary interest in a matter being considered by the Board to disclose the nature of that interest in writing to the Arts Minister as soon as possible after becoming aware of it. Unless the Minister gives written consent, the member must not be present during deliberations, must not vote, and must not otherwise take part in the decision. If the Minister consents, the disclosure and consent must be recorded in the minutes. This duty is modelled on standard integrity provisions but has a sharp edge: the Minister can terminate a member for failure to comply (rule 14(2)). The rule does not define “pecuniary interest” broadly or narrowly, leaving room for interpretation, but the requirement for written disclosure and ministerial consent creates a check on self‑dealing. A practical consequence is that an industry member might be excluded from many decisions if their firm has a stake in multiple applications, potentially reducing the value of their appointment.

The Board as a body has the right to exercise its powers and functions without a meeting if a majority of members agree and a record is kept (rule 20(1)-(2)). It can also pass resolutions by written statement without a meeting (rule 20(3)). This permits efficient decision‑making for routine matters but also reduces transparency compared to formal meetings where minutes are taken.

Appointed members have the right to resign by written notice (rule 13) and to be granted leave of absence by the Minister (rule 12). They also have protection: their appointment can be terminated only for misbehaviour, incapacity, or a specified disqualifying event (bankruptcy, absence from three consecutive meetings or three months without leave). The listing of automatic termination grounds in rule 14(3) gives an appointed member some certainty that they will not be removed arbitrarily.

The Chair has the right to convene meetings at any time (rule 17(1)) and the person presiding has both a deliberative vote and a casting vote (rule 19(2)). This gives the Chair significant procedural control, especially when the Board is split 1‑1 between appointed members.

The instrument itself creates no offences and prescribes no penalties. Enforcement of its requirements operates indirectly through the termination provisions for Board members and through the consequences of acting beyond power. Termination is the most direct enforcement mechanism. Under rule 14(1), the Arts Minister may terminate an appointed member for misbehaviour or physical or mental incapacity. Under rule 14(2), the Minister may also terminate for failure, without reasonable excuse, to comply with the duty of confidentiality (rule 15) or the disclosure of interests duty (rule 16). This is a significant power because it does not require a court finding , the Minister can make a decision on reasonable grounds. A terminated member has no statutory right of review within the instrument, but general administrative law remedies (judicial review under the Administrative Decisions (Judicial Review) Act 1977 or under section 39B of the Judiciary Act 1903) would likely apply if termination were procedurally unfair or based on an error of law.

The mandatory termination grounds in rule 14(3) remove discretion: the Minister must terminate if the member becomes bankrupt or compounds with creditors, or is absent from three consecutive meetings or three months without leave (unless leave was granted). These are automatic triggers, so a member who misses three meetings due to a diary clash could be removed even if they have a reasonable excuse , the rule only excuses absence if leave was granted. This puts pressure on appointed members to schedule their other commitments around Board meetings or seek leave proactively.

Invalidity protection in rule 11(2) for acting appointments shields the Board’s decisions from challenge on technical grounds about whether an acting appointment was valid. Anything done by a person purporting to act under an appointment is not invalid merely because the occasion had not arisen, there was a defect in the appointment, or the appointment had ceased. This reduces enforcement risk for third parties, but it also means a decision made by an improperly appointed acting member might still be effective.

The duty of confidentiality (rule 15) is not a criminal provision, so breach is not an offence under this instrument. However, if the information is also protected by the Privacy Act 1988 or by common law confidentiality, a breach could lead to civil liability. The instrument does not impose a penalty for breach, only potential termination. For a person invited to a meeting who breaches confidentiality (rule 19(5)), the instrument likewise provides no direct penalty, though the Board could exclude that person from future meetings.

Enforcement against the Board’s own decisions is not addressed in this instrument. If the Board refuses to issue a provisional certificate, or if its advice to the Minister is flawed, the applicant must look to the ITAA 1997 for any merits review rights (there is no mention of review in the instrument itself). The offset scheme under Division 376 may provide for review of decisions to refuse certificates, but that is outside these rules.

The instrument is made under subsection 376-260(1) of the Income Tax Assessment Act 1997 (ITAA 1997), which gives the Minister for the Arts power to make rules establishing the Board and prescribing its functions, membership, terms and conditions, and procedures. The instrument therefore sits within the broader statutory framework of Division 376 of ITAA 1997, which establishes the location offset (section 376-10) and PDV offset (section 376-35) and sets out the criteria for certificates, applications, and determinations. The Board’s additional functions under rule 8 are expressly “in relation to” Division 376, and the Board’s core statutory functions (as noted in the note to rule 8) are to consider applications under subsection 376-230(1) or (2) and advise the Minister on whether to issue certificates under section 376-20 or 376-45. The instrument does not amend Division 376, so any conflict between the rules and the primary legislation would be resolved in favour of the Act.

The instrument defines SES employee by reference to section 7 of the Public Service Act 1999. This incorporates the Australian Public Service classification system, meaning the Chair must be a Senior Executive Service officer. The nomination power under rule 10(2)(b) allows the Arts Secretary to designate a different SES officer for the role, which gives the Department flexibility but also means the Chair’s identity could change without amendment to the rules.

The note to rule 19(3) refers to section 33B of the Acts Interpretation Act 1901, which permits meetings by telephone or closed‑circuit television. This allows the Board to operate without physical attendance, which is important given the small membership and part‑time nature. It also means a meeting can proceed even if one member is in a different location, reducing the risk of meeting cancellations.

The Acts Interpretation Act 1901 and the Legislation Act 2003 govern how this legislative instrument is made, registered, and tabled. As a legislative instrument, it is subject to disallowance by either House of Parliament within 15 sitting days after presentation, though the instrument was made in 2018 and presumably was not disallowed. The Legislation Act 2003 also requires the instrument to be registered on the Federal Register of Legislation and to be published.

The instrument explicitly repeals the Film Certification Advisory Board Rules 2008, so there is no concurrent operation of two sets of rules. Transitional provisions (Part 3) treat the Board as having been established under the new rules and deem old appointments to continue, so there is no gap in operation. Any decisions of the Board under the 2008 rules remain effective, but new decisions are governed by the 2018 rules.

Common law principles on natural justice and bias may interact with the disclosure requirements in rule 16. The instrument does not codify a full natural justice regime, but the disclosure rule and the right of the Minister to consent to a conflicted member’s participation provides a statutory supplement. However, the instrument does not give applicants a right to object to a Board member’s participation, so a company whose competitor sits on the Board may have no recourse under these rules except to raise the matter with the Minister.

The instrument does not record any amendments. It is the original text made on 11 February 2018 and registered under the Legislation Act 2003. The instrument itself contains no amendment notes, no list of amendments, and no indication that any provision has been inserted, substituted, or repealed since commencement. The transitional provisions (rules 21-23) address the changeover from the 2008 rules, but those are not amendments to the current instrument; they are provisions that bring the old Board and appointments across to the new regime.

The predecessor instrument, the Film Certification Advisory Board Rules 2008, was the original set of rules under subsection 376-260(1) of ITAA 1997. That instrument was repealed in full by Schedule 1 of the 2018 instrument. No intermediate amendments to the 2008 rules are mentioned or implied. It is possible the 2008 rules had been amended between 2008 and 2018, but the 2018 rules do not refer to any such amending instruments. The Federal Register of Legislation would need to be consulted to determine the full amendment history of the 2008 rules, but based solely on this instrument, the reader can only infer that the 2018 rules are a clean replacement, not an amendment of the 2008 version. The repeal is express.

The 2018 instrument has been in force since the day after its registration (rule 2). As at the time of writing, there is no indication within the provided text of any subsequent amending instrument. In practice, the instrument may have been amended by later instruments, but the source provided does not include any such amendments. For a thorough analysis, one would check the Federal Register for any later instruments that insert, omit, or alter provisions. The absence of an amendment history in the text itself is not unusual for a legislative instrument that has remained stable. It also suggests that the core structure of the Board (three members, quorum of two, disclosure obligations) has not been revisited in the years since 2018.

The instrument makes no mention of any litigation. There are no references to court cases, tribunal decisions, or judicial review proceedings in the text. This is consistent with the instrument’s nature as a procedural rule-making instrument; it does not create private rights of action or impose penalties, so litigation is unlikely to arise directly under these rules. Disputes about the Board’s decisions (for example, refusal to issue a provisional certificate) would more likely be litigated under Division 376 of ITAA 1997, which provides the statutory criteria for certificates and offsets. The Board’s role as an advisory body means that any challenge to a certificate decision would target the Minister’s final decision, not the Board’s internal procedures.

However, the instrument’s provisions could become relevant in three types of proceedings. First, if a Board member were terminated by the Minister, they could seek judicial review of the decision to terminate, arguing that the Minister misinterpreted the grounds in rule 14 or failed to afford procedural fairness. The instrument does not provide a statutory review mechanism, so the general administrative law remedies under the Administrative Decisions (Judicial Review) Act 1977 (ADJR Act) would apply. A court could examine whether the Minister’s decision was based on a correct understanding of “misbehaviour” or “physical or mental incapacity”.

Second, if a decision to issue a provisional certificate were allegedly tainted by a conflict of interest that was not properly disclosed under rule 16, a third party (such as a competitor that lost an offset) might challenge the validity of the certificate. The instrument’s disclosure requirements would be central to such a challenge. The note to rule 18(3) indicates that if two members are conflicted, the quorum drops to one, which could be a point of contest: whether the remaining member had the power to decide alone, and whether that amounts to a denial of natural justice.

Third, the confidentiality duty (rule 15) could be litigated if a former Board member used information to gain a commercial advantage. The duty continues after the member ceases to be on the Board (rule 15(2)). A breach could potentially give rise to an action for breach of confidence at common law, or a claim for misuse of confidential information if the information was imparted under an obligation of confidence. The instrument itself does not create a statutory cause of action, so the litigant would need to rely on equitable or common law principles.

No cases are cited in the instrument, and no litigation is recorded. This is not surprising for a procedural instrument that has been in force for only about seven years and that deals with a niche area of film tax administration. The absence of litigation also suggests that the Board has operated without significant controversy, or at least without disputes that have reached a court or tribunal capable of generating a reported decision.

Several provisions could catch out a careful practitioner or Board member if overlooked. The quorum drops to one if two members disclose a conflict of interest (rule 18(3)). The note to that rule makes it clear: “the Board member who constitutes a quorum under subrule (3) would be the only member entitled to vote in respect of the relevant matter.” This means a single person , potentially the Chair as the only non-conflicted member , can make a binding decision on a matter. The applicant affected by that decision has no right under these rules to challenge the quorum or to ask for a different panel. The rule is silent on what happens if that sole member also has a conflict (the note says “the Board member who constitutes a quorum”, implying there is at least one non-conflicted member). If all three members are conflicted, the Board cannot make a quorum, and the decision would need to be referred elsewhere (perhaps to the Minister directly). The instrument does not address that scenario.

The confidentiality duty has no time limit. Rule 15(2) says the duty continues after the person ceases to be a Board member. An industry expert who serves for three years and then returns to their film production business cannot use any information learned on the Board to benefit themselves or their new employer for the rest of their life, unless the information is already public. This is a heavy ongoing burden for a part‑time position that likely carries modest remuneration. It could also create an incentive for the Board to be opaque about its deliberations, because any information made public would no longer be subject to the duty.

The Minister can terminate an appointed member for failing to comply with rule 16 (disclosure of interests) without a reasonable excuse. The rule does not say “without a reasonable excuse” in rule 14(2); that phrase appears only in relation to confidentiality and disclosure in rule 14(2). But the mandatory grounds in rule 14(3) do not include a “reasonable excuse” exception for absence , only if leave was granted. So a member who misses three meetings due to illness but without having obtained formal leave could be terminated automatically. The instrument does not allow a retrospective grant of leave to cure the default, unless the Minister granted leave before the absences occurred.

The Act’s definitions are incorporated by reference. Rule 6 notes that expressions defined in section 995-1 of ITAA 1997 are used, including “Arts Secretary” and “film”. The instrument does not remind the reader of all those definitions. For example, “film” for tax purposes may have a specific meaning that excludes certain digital content or includes only theatrical releases. A Board member or applicant might assume a broader meaning than the Act provides.

Invited advisers are also bound by confidentiality, but not by the disclosure of interests rule. Rule 19(5) imposes a duty of confidentiality on any person invited to attend a meeting to advise or inform the Board. That duty is identical in wording to rule 15(1). However, the invited adviser is not subject to the disclosure of interests rule in rule 16. So a consultant or expert who has a personal financial interest in the matter under discussion is not required to disclose it. Their advice could be tainted by an undisclosed conflict without any obligation to reveal it, and the Board might rely on it not knowing.

The Board can act without a meeting, under rule 20. This permits decisions by written resolution or by a majority agreeing without a formal meeting. While efficient, it reduces the transparency of the decision-making process. There is no requirement that the Board record the reasons for its decisions, only that it keep a record of the majority’s agreement (rule 20(2)). An applicant who receives a provisional certificate or who is refused one may have no way of knowing why the decision was made, which could hinder any subsequent review.

For the Board itself, compliance means following the procedural rules in Part 2. The Chair must convene meetings as needed (rule 17). For each meeting, the quorum must be two members unless a conflict situation reduces it to one (rule 18). Any member with a direct or indirect pecuniary interest in a matter must disclose it in writing to the Arts Minister as soon as possible (rule 16). That disclosure must happen before the matter is discussed, not after. The Minister’s consent, if given, must be recorded in the minutes. If the Minister does not consent, the member must withdraw from the meeting and not vote. The Board must ensure minutes are kept (rule 19(6)) and that records of any decisions made without a meeting are also kept (rule 20(2)). If the Board exercises power without a meeting, it must have a majority agree; for a written resolution, it must have a majority in favour in writing (rule 20(3)-(4)). All Board members and invited advisers must treat information learned in their role as confidential and not use it for personal advantage (rules 15, 19(5)). The duty continues indefinitely.

For appointed members, compliance also involves managing their personal and professional commitments. They must seek leave from the Minister before being absent from meetings or from performing duties, otherwise three consecutive absences will trigger mandatory termination (rule 14(3)(b)). They must resign in writing if they wish to leave (rule 13). They should also review their personal financial interests before each Board meeting to identify any potential conflicts. Given the narrow industry focus, many appointed members may have direct or indirect ties to production companies seeking offsets. The safest course is to disclose any connection that could be seen as a pecuniary interest, even if the member believes it is remote, and to let the Minister decide. The member should also keep a written record of all disclosures and any ministerial consent.

For applicants (production companies) seeking provisional certificates or wanting the Board’s advice, compliance means submitting applications in accordance with the ITAA 1997’s requirements (section 376-230) and being aware that the Board’s internal procedures may affect timing. Applicants should not assume that the Board will always operate with a full complement of three members; a vacancy or conflict could slow down decisions or lead to decisions by a single member. Companies should also monitor whether any Board member has a connection to a competitor, and if so, consider raising a concern with the Minister directly (the instrument does not give applicants a formal right to object, but the Minister can decide whether to consent to the conflicted member’s participation). Companies should keep records of all communications with the Board, as the instrument does not oblige the Board to provide reasons for decisions.

For the Arts Minister and Department, compliance means ensuring that appointments are made by written instrument for a maximum of three years (rule 10(4)), that acting appointments are made properly, and that any leave granted to appointed members is given in writing on specified terms (rule 12). The Minister must act on any disclosure under rule 16 by either consenting in writing or not. If the Minister consents, the consent must be recorded in the minutes. The Minister must also ensure that when the Board’s advice is sought under rule 8(c), the request is in writing and the Board’s response is formally recorded. Finally, the Department should maintain a register of appointed members, their terms, and any disclosures or leave granted, to avoid inadvertent breaches of the automatic termination rules.
