Film Act 2001

The Act’s principal organising concepts are statutory incorporation, representation of the Crown, functional mandates, delegated commercial capacity, financial ring-fencing, Ministerial control, conflict-of-interest management, and transitional succession.

Statutory incorporation: Film Victoria and ACMI are bodies corporate with perpetual succession and common seals (ss 5(2), 21(2)). They may sue and be sued in their corporate names and hold property. The Act thus creates corporate entities able to contract, litigate and own assets like a private corporation but as public bodies.

Representation of the Crown: Both bodies “represent the Crown” when performing their functions (ss 6, 22). That phrase has legal effect in statutes and common law contexts: the bodies act as Crown actors for the purposes of their statutory functions, which may affect liability, privileges and procedural treatment. The Act repeats this phrase for both bodies and ties their executive control to the Minister.

Functional mandates: Film Victoria’s functions are oriented to industry leadership, assistance and promotion of film, television and multimedia within and beyond Victoria (s 7). ACMI’s functions are exhibition, public education, collection, conservation and promotion of the moving image (s 23). The Act explicitly links Film Victoria to economic or cultural benefit (s 4(a)) and ACMI to public education (s 4(b), s 23(f)).

Commercial and investment powers: Each body has broad powers to enter contracts, acquire and dispose of real and personal property, join or form corporate entities, enter joint ventures, accept gifts and act as trustee, provide consultancy services and acquire copyright or copyright interests (ss 8, 24). These are non-exhaustive powers intended to allow bodies to pursue commercial and programmatic activities. Both bodies also have borrowing and investment powers as conferred by the Borrowing and Investment Powers Act 1987 (ss 18, 37).

Financial ring-fencing: Film Victoria must establish an Investment General Fund (s 19). Specified receipts must be paid into that Fund (s 19(2)), investments must be held in Treasurer-approved deposit-taking institutions (s 19(3)), investments are subject to Treasurer approval (s 19(4)), and the Fund’s money must be applied to provide financial assistance for film or television production in Victoria (s 19(5)). Separate accounts must be maintained for other monies (ss 20, 38), with limits on use to statutory purposes.

Ministerial control and accountability: Film Victoria and ACMI are “subject to the direction and control of the Minister” (s 9(1) for Film Victoria; s 27 for ACMI). For Film Victoria, the Minister can give written directions about loans or grants and require Ministerial approval for specified loans or grants (s 9(1)-(2)). Directions are to be gazetted and included in annual reports (s 9(3)-(4)). The Minister also participates in appointment processes, members are appointed by Governor in Council on the Minister’s recommendation (ss 11(1), 30(1)),and must approve CEO appointments and removals (ss 15(2), 15(4), 34(2), 34(4)).

Governance and procedure: Boards are sized 7-11 members (ss 11(1), 30(1)). The Schedule sets appointment terms, re‑appointment limits (Schedule cl 2(1)-(2)), removal powers, meeting quorum rules, voting, minutes, frequency of meetings and application of the Public Administration Act 2004 to members (Schedule cl 2(7)). Committees can be established with at least one board member included (ss 14(2), 33(2)), and delegations are possible to committees of 2+ board members, the CEO, members, or staff (ss 10, 28), subject to certain non‑delegable powers.

Conflict of interest and integrity controls: The Act prescribes declaration and recording obligations, restrictions on participation and voting for members and committees (ss 40-41), and written notice duties for CEOs and employees with interests in matters that could conflict (s 42). Penalties apply for failing to comply with declaration duties (10 penalty units referenced in ss 40(1) and 41(1)).

Transitional succession and employee transfer: The Act contains detailed machinery to transfer property, rights and liabilities from the Cinemedia Corporation to the successor bodies via Transfer Orders and provides continuity in contracts, proceedings, registered land interests, and employment (Pt 5, ss 45-57). It exempts such transfers from duties and taxes (s 52) and treats transferred employees as having continuous service and preserved accrued entitlements (s 55).

Collection protection: ACMI’s collection is defined and protected (s 25), and disposal is restricted: no sale or disposal of collection items except by ACMI resolution approved by the Minister where retention is unnecessary or inappropriate (s 26). ACMI may also make by-laws regulating admission, safeguarding and lending of collection items (s 29).

These concepts organise the Act’s mechanics: statutory entities with commercial faculties but subject to Ministerial direction and statutory fiduciary-like duties, ring-fenced financial arrangements for production support, and a transitional regime to absorb the former Corporation’s assets, liabilities and staff.

The Act creates legal consequences for a range of actors. Primary public actors affected are Film Victoria and ACMI themselves, the Minister (and through the Minister, the Executive Government), the Treasurer, and the Governor in Council (appointments). Secondary affected groups include industry participants (producers, directors, copyright holders), festival and exhibition organisers, donors and lenders, employees and board members of the former Cinemedia Corporation and the successor bodies, and the public/users of ACMI’s facilities.

Film and screen industry participants: Film Victoria’s primary functions (s 7) are to provide financial and other assistance, promote use of Victorian locations and services for production, provide assistance to organisations and events (s 7(a)-(c)), and to develop strategic plans and relationships (s 7(d)-(g)). Producers and production services will be direct recipients of grants, loans or other assistance, subject to Film Victoria’s policies and any Ministerial directions (s 9). Film Victoria may acquire copyright or interests in copyright in film and television programs (s 8(2)(j)), which affects rights holders and potential licensing arrangements.

ACMI stakeholders: ACMI’s mandate (s 23) affects museums and galleries in the screen space, researchers, educators, exhibition organisers and borrowers of collection items. ACMI’s powers to make items from its collection available for study or loan (s 23(e)) and the restrictions on sale or disposal of collection items (s 26) influence donors, bequestors and lenders. Entities proposing to host exhibitions, festivals, or educational programs will be affected where ACMI partners or provides materials.

Employees and board members: Members of Film Victoria and ACMI (ss 11, 30; Schedule cl 2) are appointees of the Governor in Council on the Minister’s recommendation. They must meet specified professional experience expectations (majority with film/television/multimedia experience for Film Victoria, s 11(2); ACMI members chosen from industry, business administration or education, s 30(2)). Members must observe statutory duties, act honestly, exercise reasonable care and diligence, and not misuse information (Schedule cl 2(9)),and are not to be treated as holding an office of profit under the Crown in ways that affect parliamentary membership (ss 12, 31). CEOs and staff are employees of the respective bodies, with CEOs appointed by the bodies with Ministerial approval and removable only with Ministerial approval (ss 15(2), 15(4), 34(2), 34(4)). Transferred employees of Cinemedia are treated as employees of the successor body on the same terms and with continuity of service (s 55).

Minister, Treasurer and Governor in Council: The Minister issues directions and has oversight (s 9 for Film Victoria; s 27 for ACMI). The Minister must cause directions to be gazetted and included in annual reports (s 9(3)-(4)). The Treasurer must approve deposit-taking institutions in which funds are held and approve investments for the Investment General Fund (s 19(3)-(4)). The Governor in Council formally appoints members and may specify terms and conditions (ss 11(1), 30(1); Schedule cl 2(3)). These arrangements affect public administration and fiscal oversight.

Third-party financiers and trustees: Film Victoria and ACMI can accept gifts, bequests and act as trustees (ss 8(2)(g), 24(2)(g)). Donors and grantors need to consider the bodies’ statutory constraints, including limitations on disposal of collection items (s 26) and the Investment General Fund’s prescribed application (s 19(5)).

Legal counterparties and litigants: Both bodies may contract, sue and be sued (ss 5(2)(c), 21(2)(c)), and are subject to the Borrowing and Investment Powers Act 1987 for borrowing and investment powers (ss 18, 37). The succession provisions make the new bodies successors in law to the Cinemedia Corporation for specified property, rights and liabilities (s 46), and substitute them in existing legal proceedings (s 48). Registered interests in land are transferred to the successor bodies (s 49).

General public and visitors: ACMI’s statutory role in public exhibition, education and access to the moving image (s 23) and its by-law powers about admission, fees and safeguarding collections (s 29) directly affect museum visitors, teachers, students and members of the public engaging with ACMI’s programs.

Regulatory actors: The Governor in Council may make regulations under s 43. The Public Administration Act 2004 applies to board members except Part 3 (Schedule cl 2(7)), affecting compliance with public sector governance rules and applicable employment frameworks.

In sum, the Act affects an ecosystem: public agencies and their governance, artists and industry participants seeking support or partnership, donors and lenders, employees and appointees, and the public who consume ACMI’s offerings. The Minister and Treasurer have specific levers influencing money, appointments and directions.

The Act allocates statutory duties and rights across multiple actors: the bodies themselves, their boards and members, CEOs and staff, and the Minister and Treasurer.

Duties of the bodies

• Carry out statutory functions: Film Victoria must provide financial and other assistance, promote Victoria as a production location, provide leadership and strategic planning, and advise the Minister (s 7). ACMI must promote and exhibit the moving image, manage and develop the collection, promote education and research, and create exhibitions and materials (s 23). These are non‑delegable policy duties that establish each body’s core obligations.

• Financial stewardship: Film Victoria must establish and maintain an Investment General Fund (s 19). Money payable to the Fund must be used to provide financial assistance for production of film or television programs in Victoria (s 19(5)). Both bodies must maintain accounts in authorised deposit-taking institutions approved by the Treasurer, and apply account money only for statutory purposes (ss 20, 38).

• Record-keeping and reporting: Film Victoria must include any written directions from the Minister in its annual report (s 9(4)). Both boards must ensure minutes are kept of meetings (Schedule cl 3(6)).

• Ministerial compliance: Film Victoria and ACMI are subject to direction and control of the Minister (s 9(1), s 27), including compliance with any written direction regarding loans and grants (s 9(1)-(2)). Film Victoria must publish Ministerial directions in the Government Gazette (s 9(3)).

Powers and rights of the bodies

• Corporate powers: Both bodies can enter contracts, acquire and dispose of property, form or participate in corporate entities and joint ventures, accept gifts and act as trustees, provide consultancy, and acquire copyright interests (ss 8(2), 24(2)). They may sue and be sued (ss 5(2)(c), 21(2)(c)).

• Charging and fee rights: Film Victoria may charge fees fixed by Film Victoria for services supplied (s 8(2)(k)). ACMI may charge and receive fees and make by-laws regulating admissions and fees (s 29(d)). These powers create revenue-generation opportunities.

• Delegation: Each body may delegate most of its powers to committees (if the committee includes at least two members), the CEO, members or staff, except for certain non-delegable powers (ss 10, 28). ACMI cannot delegate the power to make by-laws (s 28(e)) and neither can delegate the delegation power.

• Protection for collection: ACMI may make items available for study or loan (s 23(e)), but cannot sell or dispose of collection items except upon a resolution approved by the Minister (s 26).

Duties and restrictions on members and committees

• Appointment and terms: Members are appointed by Governor in Council on the Minister's recommendation and have set term limits (ss 11(1)-(3); 30(1)-(3); Schedule cl 2(1)-(2)). A nine-year limit applies unless exceptions apply (Schedule cl 2(2)).

• Conduct obligations: Members must act honestly, exercise reasonable care and diligence and not misuse information (Schedule cl 2(9)). The Public Administration Act 2004 applies to members (Schedule cl 2(7)), bringing additional public sector duties (subject to the exclusion of Part 3).

• Conflict-of-interest duties: Members and committee members must declare direct or indirect pecuniary interests that could conflict with duties as soon as practicable (ss 40(1), 41(1)). Declarations must be tabled and recorded in minutes (ss 40(2), 41(2)). Members with conflicts must not be present during deliberations and may not vote on the matter (ss 40(3), 41(3)). A contravention of the declaration obligation carries a penalty of 10 penalty units (ss 40(1) note; 41(1) note). CEOs and employees have written-notice duties where they have an interest in matters they must consider and must “do whatever is necessary to avoid the conflict” (s 42).

Ministerial rights and duties

• Direction and control: The Minister may give directions to Film Victoria and ACMI (s 9(1), s 27). For Film Victoria, directions relating to loans or grants may require Ministerial approval for specified loans or grants (s 9(2)). Directions must be gazetted and included in film reports (s 9(3)-(4)).

• Appointments and approvals: The Minister recommends members to the Governor in Council (ss 11(1), 30(1)), and must approve CEOs’ appointments and removals (ss 15(2), 15(4), 34(2), 34(4)). The Minister must also approve any ACMI resolution to sell or dispose of collection items (s 26).

Treasurer’s role

• Investment approvals: The Treasurer must approve authorised deposit-taking institutions in which Fund and account monies are to be held (ss 19(3), 20(1), 38(1)), and must approve investment manner for Investment General Fund money (s 19(4)). Those approvals give the Treasurer a practical gatekeeping role over the bodies’ banking and investment arrangements.

Employee and transferred-employee rights and duties

• Continuity of employment: Employees transferred from the Cinemedia Corporation are treated as employees of the successor bodies with the same terms and conditions and continuity of service (s 55(1)-(2)) and retain entitlements for superannuation status under State Superannuation Act 1988 where applicable (s 55(3)). Transferred employees are not entitled to any payment merely as a consequence of transfer (s 55(4)).

Legal rights in proceedings and property

• Succession in law: On succession day the Corporation is dissolved and specified property, rights and liabilities vest in the nominated new body; the new body is successor in law and substituted in all proceedings (ss 46-48). Registered interests in land held by the Corporation become registered to the new body (s 49). Transfers effected under Pt 5 are exempt from duties and taxes (s 52).

Regulatory penalties

• Statutory penalties: Failure to make required declarations for conflicts carries a 10 penalty unit fine (ss 40(1), 41(1) notes). Regulations may impose penalties not exceeding 5 penalty units for contraventions under the regulations (s 43(2)).

These duties and rights create a framework in which the bodies have commercial freedom, but with statutory constraints on financial uses, conflict management, Ministerial oversight and procedural transparency.

The Act contains a limited but targeted set of enforcement features and monetary penalties, together with administrative oversight mechanisms that function as de facto enforcement.

Statutory penalties

• Conflict-of-interest declaration offences: A member of Film Victoria or ACMI (s 40(1)) and members of committees (s 41(1)) must declare direct or indirect pecuniary interests in matters before the body or committee as soon as practicable. The Act expressly indicates a penalty of 10 penalty units for contravention of the declaration obligation. The Act also provides for the disallowance of votes taken in contravention of the prohibition on voting by conflicted members (ss 40(4), 41(4)) and prohibits conflicted members from being present during deliberations or participating in directions (ss 40(3)(a), 41(3)(a), 40(5), 41(5)).

• Regulatory penalties: The Governor in Council may make regulations under s 43. The regulations may impose penalties not exceeding 5 penalty units for contraventions of the regulations (s 43(2)). The Act does not specify any particular regulatory offences; these would be enacted if the regulations prescribe particular contraventions.

Non-penal enforcement mechanisms

• Ministerial directions and control: The Minister’s power to direct both Film Victoria and ACMI (s 9(1); s 27) is an administrative enforcement lever. Directions can include constraints on loans or grants and can make specified loans or grants require Ministerial approval (s 9(2)). The requirement to publish directions in the Government Gazette and to include copies in annual reports (s 9(3)-(4)) creates transparency and public accountability that serve as enforcement mechanisms through political and reputational channels.

• Approval and appointment powers: The Minister’s approval is required for CEO appointments and removals (ss 15(2), 15(4), 34(2), 34(4)). This effectively lets the Minister enforce compliance with policy or performance expectations by controlling the executive headship.

• Treasurer controls on funds and investments: The Treasurer’s approval of deposit-taking institutions for the Investment General Fund and approval over the Fund’s investments (s 19(3)-(4)) creates a financial control mechanism that can restrict or condition the bodies’ investment and banking arrangements. Failure to obtain Treasurer approval for such arrangements would leave an investment or deposit outside the Act’s authorised processes.

• Disallowance of votes: The Act provides that votes by conflicted members are to be disallowed where they occur in contravention of the prohibition (ss 40(4), 41(4)). Disallowance can affect board decisions materially and functions as an internal governance enforcement mechanism.

• Procedural obligations and minutes: The Schedule requires minutes to be kept and for declarations of interest to be tabled and included in minutes (Schedule cl 3(6); ss 40(2), 41(2)). The requirement to preserve minutes and to follow meeting procedures enables internal and external scrutiny and can support disciplinary or legal remedies for breach through evidence in administrative or judicial review processes.

Civil and judicial enforcement

• Suing and being sued: Film Victoria and ACMI may sue and be sued in their corporate names (ss 5(2)(c), 21(2)(c)). That capacity means third parties can bring contractual or tort claims and obtain remedies such as damages or specific performance against the bodies as corporate entities. Conversely, the bodies may initiate proceedings to enforce contractual rights, recover funds or protect property, subject to their statutory functions and Ministerial directions.

• Continuity of proceedings: The transitional provisions (s 48) provide that pending proceedings in which the Cinemedia Corporation was a party are continued with the new body substituted. That preserves legal enforcement rights and obligations across the succession.

Limitations and gaps

• No criminal offences: The Act does not create criminal offences (no jail penalties). Penalties are monetary (penalty units). The most significant statutory monetary penalty specified is 10 penalty units for conflict declaration failures; regulatory contraventions are capped at 5 penalty units.

• Administrative reliance: Much of the Act’s enforcement depends on administrative controls,Ministerial directions, Treasurer approvals, procedural minutes and public reporting, rather than operational policing or independent administrative sanctions. This places emphasis on political and public accountability, internal governance and civil remedies.

• Delegation and non-delegable powers: The bodies may delegate powers but may not delegate the delegation power (ss 10, 28). Where delegation is permitted, the delegating body remains ultimately responsible for adherence to statutory duties and may be accountable for delegate acts.

Practical enforcement pathways

• Internal compliance: Adherence to conflict rules, accurate minutes and compliance with Ministerial directions will be enforced internally through removal of members by the Governor in Council (Schedule cl 2(4)), CEO removal with Ministerial approval (ss 15(4), 34(4)), and managerial supervision.

• Judicial processes: Contractual disputes, property claims and tort actions proceed in the courts against or by the bodies in their corporate names, with the bodies having procedural capacities similar to private corporations (ss 5(2)(c), 21(2)(c)).

• Political and reputational enforcement: Publication of Ministerial directions and inclusion in annual reports (s 9(3)-(4)), together with Ministerial appointment and approval powers, create political levers that may be used to enforce policy compliance through public scrutiny.

In short, the Act combines statutory monetary penalties for conflicts and regulatory contraventions with administrative and civil enforcement mechanisms, reinforced by Ministerial control and public reporting. The practical weight of enforcement will often be administrative, reputational and contractual rather than criminal.

The Act explicitly references and connects to multiple existing statutes and legal regimes, embedding the new bodies within the broader Victorian and Commonwealth legal architecture.

Borrowing and Investment Powers Act 1987: Both Film Victoria and ACMI “have the powers conferred on it by the Borrowing and Investment Powers Act 1987” (ss 18, 37). This cross-reference delegates to that Act the regimes for borrowing and investment, which govern how these statutory bodies may finance operations and invest funds. Practically, Film Victoria’s and ACMI’s borrowing is not unconstrained by the Film Act; it is subject to the rules and approvals in the Borrowing and Investment Powers Act 1987.

Banking Act 1959 (Commonwealth): The Act requires account monies and Investment General Fund monies to be held in “authorised deposit-taking institution[s] within the meaning of the Banking Act 1959 of the Commonwealth” and approved for the purpose by the Treasurer (s 19(3), s 20(1), s 38(1)). That reference imports the Commonwealth legal definition of authorised deposit-taking institutions (ADIs) and ties the bodies’ banking arrangements to national prudential categories, while reserving the Treasurer's approval as a state-level control.

Public Administration Act 2004: The Schedule applies the Public Administration Act 2004 (other than Part 3) to members in respect of their office (Schedule cl 2(7)). This makes members subject to certain public-sector governance and accountability obligations under the Public Administration Act, with the specific exclusion of Part 3. The cross-application brings statutory public-sector employment norms and ethical rules into play for board members.

Constitution Act 1975: The Act provides that membership of Film Victoria or ACMI is not to be taken to be an office or place of profit under the Crown that would prevent parliamentary membership or trigger penalties under the Constitution Act 1975 (ss 12, 31). This reference preserves the parliamentary eligibility of appointees who are members and clarifies constitutional interactions.

Transfer of Land Act 1958: The transitional provisions provide that if the Cinemedia Corporation was the registered proprietor of an interest in land under the Transfer of Land Act 1958 immediately before succession day, the new body is to be taken as the registered proprietor on and after that day (s 49). The Registrar of Titles is mandated to amend the register on request (s 51). These provisions effect registered title transfers without requiring standard conveyancing processes.

State Superannuation Act 1988: Where transferred employees were officers under the State Superannuation Act 1988 immediately before succession day, they continue to be officers for superannuation purposes while serving with the new body, subject to that Act (s 55(3)). This maintains continuity of superannuation status for relevant staff.

Evidence Act 2008: Section 53(2) provides that the Evidence Act 2008 applies to the books of account of the Corporation and entries made before succession day as if they were business records. This preserves admissibility and evidentiary treatment of corporate books for legal proceedings after transition. The statutory cross-reference to the Evidence Act secures evidentiary continuity.

Cinemedia Corporation Act 1997: The Film Act 2001 expressly repeals the Cinemedia Corporation Act 1997 (s 1(c)) and sets out the transfer mechanism in Pt 5. The new bodies are successors in law for specified property, rights and liabilities (s 46). All prior contracts, proceedings and instruments are continued, with the successor bodies substituted as parties (ss 47-50).

Regulations and subordinate instruments: The Governor in Council may make regulations to prescribe matters required or permitted by the Act or necessary to give effect to it (s 43(1)). The Act allows the regulations to carry penalties up to 5 penalty units (s 43(2)). Any regulatory instruments will interact with the Act’s substantive provisions and the Public Administration Act in setting operational rules.

Commonwealth and State taxation and duties regimes: The Act exempts transfers under Pt 5 from duty or other tax chargeable under any Act (s 52). This prevents stamp duty or other charges from applying to the transfer of property, rights or liabilities from the Cinemedia Corporation to the new bodies.

Other general legal principles: The Act’s grant of corporate capacity (ss 5(2), 21(2)) places the bodies within general corporate and commercial law, contract law, tort, property, insolvency to the extent applicable. The Act does not itself override general legal obligations such as insolvency laws where they otherwise apply, but it does create continuity and successor status to preserve rights and obligations.

Practical implications of interactions

• Treasury and ministerial oversight are embedded through administrative approvals and public reporting obligations (ss 9(3)-(4); s 19(3)-(4); s 20(1); s 38(1)). Film Victoria and ACMI’s financial arrangements must reflect both Commonwealth prudential categories and state-level approvals.

• Application of the Public Administration Act 2004 to board members will impose public employment and ethics requirements in addition to the Act’s conflict-of-interest provisions, creating dual compliance obligations.

• The succession provisions interact with land registration and evidentiary rules to effect seamless transfers of property and ongoing legal rights without fresh registrable instruments in many cases (ss 49-53).

• The Act’s references to the Borrowing and Investment Powers Act 1987 and Banking Act 1959 channel the bodies into established public finance frameworks, constraining ad hoc borrowing or deposit arrangements absent statutory compliance.

Overall, the Act is heavily cross-referenced and intended to fit the new entities into existing governance, financial and legal infrastructures rather than creating an isolated legal regime.

The consolidated version provided incorporates later amendment instruments noted in the Act’s Endnotes and Table of Amendments. The Endnotes list specific amending Acts and relevant commencement notes. The Act itself also indicates particular amendments to named sections.

Key amendments recorded in the source:

• Public Administration Act 2004 (No. 108/2004): Assent 21 December 2004. Commencement (for this Act’s amendments) noted in Endnotes as s 117(1)(Sch. 3 item 76) on 5 April 2005. The substantive interaction is recorded in the Schedule: the Public Administration Act 2004 (other than Part 3) applies to a member in respect of the office of member (Schedule cl 2(7)). The Endnotes record this amending Act among others incorporated.

• Public Sector Acts (Further Workplace Protection and Other Matters) Act 2006 (No. 80/2006): Assent 10 October 2006. Commencement for these amendments recorded as s 26(Sch. item 37) on 11 October 2006. The Endnotes list this Act as making amendments incorporated into the current version.

• Statute Law Revision Act 2007 (No. 28/2007): Assent 26 June 2007. Commencement noted as s 3(Sch. item 24) on 27 June 2007. The Endnotes indicate this Act repealed Pt 6 (Heading and ss 58-60) of the Film Act 2001 (see end of Pt 5). The Film Act version notes that Pt 6 was repealed.

• Motor Car Traders Amendment Act 2008 (No. 4/2008): Assent 4 March 2008; the Endnotes record a commencement date for the relevant amendment to the Film Act as s 32(Sch. item 10) on 1 December 2008. That amendment appears to have altered the Schedule at cl 2(5)(e), as the Act text shows a note “Sch. cl. 2(5)(e) amended by No. 4/2008 s. 32(Sch. item 10).” The clause concerns vacating office if the member becomes an insolvent under administration.

• Statute Law Amendment (Evidence Consequential Provisions) Act 2009 (No. 69/2009): Assent 24 November 2009; commencement for the amending provision is s 54(Sch. Pt 1 item 23) on 1 January 2010. The Act text includes amendments marked in s 53(2): “S. 53(2) amended by No. 69/2009 s. 54(Sch. Pt 1 item 23.1).” The provision applies the Evidence Act 2008 to books of account of the Corporation for entries prior to succession day.

• Filming Approval Act 2014 (No. 51/2014): Assent 12 August 2014; commencement for listed amendments is s 9(Sch. 2 item 3) on 1 March 2015. The Act text contains explicit amendment markers: s 7(h) amended by No. 51/2014 s. 9(Sch. 2 item 3.1) and s 7(i) inserted by No. 51/2014 s. 9(Sch. 2 item 3.2). These amendments expand Film Victoria’s functions to include developing relationships or partnerships with other organisations and to include “any other functions conferred on Film Victoria by another Act.”

How the amendments matter mechanically

• Application of the Public Administration Act 2004 imports a suite of administrative and ethical requirements to board members that were not part of the original statute; this may affect disclosure, conduct, and administrative review frameworks for members.

• The Filming Approval Act 2014 expands Film Victoria’s functions and suggests closer coordination with other statutory regimes or approvals relating to filming. The insertion of a general power to exercise functions conferred by another Act (s 7(i)) permits legislative layering, enabling future statutes to assign functions to Film Victoria without primary Act amendment.

• The Evidence Act 2008 amendment secures evidentiary continuity by treating the former Corporation’s books as business records for purposes of evidence after succession. The Statute Law Revision and other amendments adjusted obsolete or redundant parts and integrated other Acts’ changes.

Record of commencement timings

• The Film Act 2001 originally had staged commencement (s 2). Sections 1-4, 44, 45 and 54 commenced on 12 December 2001 immediately after Royal Assent, with the remainder proclaimed or automatically coming into operation by 1 July 2002 per s 2(2)-(3). The Endnotes specify that the rest of the Act commenced on 1 January 2002 via Government Gazette notice.

What the Act’s endnotes do not show

• The Endnotes list the primary amending Acts incorporated up to the consolidation date (1 March 2015) and indicate no amendments were not in operation at that publication date. The Act text does not summarise administrative practice, subsequent policy changes, or later regulations that may have been made under s 43, and contains no listing of subordinate regulations themselves. For specifics of regulatory instruments or any later amending Acts beyond those listed, consult updated legislative databases or the Government Gazette.

The source supplied (the consolidated Act and its Endnotes as at 1 March 2015) does not cite judicial decisions, and the text itself names no cases. The Act contains successor-in-law clauses (Pt 5) intended to preserve and transfer rights, proceedings and evidentiary material from the former Cinemedia Corporation to the successor bodies (ss 46-53). Section 48 expressly substitutes the successor body as party to pending proceedings, which is a statutory procedural safeguard to maintain litigation continuity.

What the Act enables and preserves in litigation terms

• Substitution of parties: Section 48 provides that pending proceedings (including arbitration) to which the Corporation was a party become proceedings with the new body substituted, conferring on the successor body the same rights in the proceedings. This is a standard succession mechanism intended to avoid disruption in litigation, and it helps ensure continuity of enforcement rights and liabilities.

• Continuity of instruments and land titles: Sections 50-51 preserve the effect of existing instruments by treating references to the Corporation as references to the successor body and obliging the Registrar of Titles to amend registers as required. These provisions reduce the risk of procedural challenges that might otherwise be raised regarding standing, title or party identity in litigation.

• Evidentiary continuity: Section 53 applies the Evidence Act 2008 to the Corporation’s books of account and entries made before succession day as if they were business records, helping maintain admissibility and probative value for retrospective inquiries.

What the Act does not do

• It does not create a special litigation jurisdiction or specialised enforcement regime for the bodies. Litigation involving the bodies proceeds in ordinary courts under normal procedural rules, with the bodies having capacity to sue and be sued (ss 5(2)(c), 21(2)(c)).

• The Act does not list any case law interpreting its provisions. The consolidated text makes no reference to judicial interpretations or precedent.

If litigation arises

• Parties should rely on the Act’s substitution and succession provisions (Pt 5) to assert continuity of rights or obligations that arose under the Cinemedia Corporation. Disputes about whether particular rights or liabilities were specified in a Transfer Order (s 45) or whether the transfer was correctly effected would be questions for courts or tribunals, but the Act’s language is designed to establish clarity and continuity.

• Conflicts of interest issues under ss 40-42 may give rise to internal challenges to board decisions, potentially brought by stakeholders or for judicial review, and the Act provides for votes to be disallowed and minutes to record declarations (ss 40-41(2), (4)). Such governance defects can be the basis for administrative law proceedings if they give rise to jurisdictional error or procedural unfairness.

In sum, the Act anticipates litigation-related continuity by statutory substitution, title amendments, and evidentiary treatment, but the text provided does not report any litigation history or judicial interpretation. For up-to-date case law, users must consult court databases and legal reporting services.

The Act contains several provisions that create practical risks, compliance traps, or operational constraints for stakeholders. These are not normative judgments but concrete mechanics and their likely operational implications grounded in the text.

Ministerial control over finances and approval requirements

• Film Victoria is subject to the direction and control of the Minister, and the Minister can give written directions specifically about loans and grants, including directions that certain loans or grants require Ministerial approval (s 9(1)-(2)). That means Film Victoria cannot treat its financial assistance decisions as wholly internal; decisions may be politically directed, and some classes of assistance may require explicit Ministerial approval before commitment.

• The Act requires that directions be gazetted and included in annual reports (s 9(3)-(4)). Operationally, this creates transparency but also potential delays and public exposure of sensitive or commercially confidential directions.

ACMI collection disposal restriction

• ACMI cannot sell or dispose of an item in its collection of moving images except where an ACMI resolution is approved by the Minister on the ground that retention is unnecessary or inappropriate (s 26). Donors and potential commercial users should note that ACMI’s discretion is curbed by a Ministerial approval gate. The need for Ministerial approval can delay deaccessioning and may limit ACMI’s ability to monetise or rationalise collections without state-level consent.

Investment General Fund stipulations and Treasurer approval

• Film Victoria must pay specified receipts into the Investment General Fund (s 19(2)) and must apply that Fund only to provide financial assistance for or in relation to the production of film or television programs in Victoria (s 19(5)). The Treasurer must approve the ADIs in which Fund money is held (s 19(3)) and the manner of investment (s 19(4)). This ring-fencing limits how Film Victoria can use returns and subjects its investment decisions to Treasury approval. Fund monies are therefore not available for general operational uses or for ACMI purposes.

Delegation limits and non-delegable powers

• While both bodies may delegate powers to committees, CEOs, members or staff (ss 10, 28), the power of delegation itself cannot be delegated (s 10). ACMI expressly cannot delegate the power to make by-laws (s 28(e)). Practitioners should track which decisions are formally delegated and which must be taken at board level to ensure validity.

Conflict-of-interest compliance risks

• Members and committee members must declare relevant pecuniary interests as soon as practicable and be excluded from deliberation and voting on conflicted matters (ss 40, 41). The penalty for failing to declare is 10 penalty units. A misguided vote by a conflicted member is to be disallowed (ss 40(4), 41(4)). Boards must therefore have robust conflict registers and minute procedures. The Schedule requires minutes to be kept (Schedule cl 3(6)) and declarations to be tabled and recorded (ss 40(2), 41(2)), so administrative failure to record a declaration may create legal risk.

CEO appointment and removal constraints

• CEOs are appointed by the respective bodies with Ministerial approval and cannot be removed without Ministerial approval (ss 15(2), 15(4); 34(2), 34(4)). This creates a managerial constraint: boards cannot unilaterally remove CEOs, which can complicate governance responses to executive performance issues. Boards must manage recruitment with Ministerial engagement to avoid deadlock.

Scope creep via legislative cross-power

• The 2014 amendment inserted a general function for Film Victoria to perform “any other functions conferred on Film Victoria by another Act” (s 7(i)). That wording means future statutes can assign functions to Film Victoria without amending the Film Act itself, permitting incremental growth in statutory obligations. Bodies and practitioners should monitor later statutes that may lawfully confer duties or powers on Film Victoria.

Public sector applicability and re-appointment rules

• The Schedule applies the Public Administration Act 2004 (other than Part 3) to members (Schedule cl 2(7)). Board members may therefore be subject to public sector employment standards and obligations, which may differ from private-sector norms. Additionally, members are limited to nine consecutive years unless exceptions apply (Schedule cl 2(2)), which may affect institutional memory and succession planning.

Transitional employee entitlements

• Transferred employees are to be regarded as having been employed on the same terms and conditions and with continuity of service (s 55(1)-(2)), but they are not entitled to payment merely for the transfer (s 55(4)). Boards must therefore carefully review employment contracts and accrued entitlements at succession to manage HR liabilities. Future changes to terms and conditions after succession are still possible by law, award or agreement (s 56).

Limited statutory penalties and administrative enforcement

• The Act’s direct criminal or punitive sanctions are limited to monetary penalty units for disclosure failure and regulatory contraventions (ss 40(1) note, 41(1) note, s 43(2)). Enforcement largely depends on administrative tools,Ministerial directions, appointment controls and public reporting, which may be less immediate or specialised than statutory regulatory enforcement regimes.

By-law and fee powers with potential commercial implications

• ACMI may make by-laws regulating admission and charging fees (s 29). Film Victoria may charge fees for services (s 8(2)(k)). These powers provide revenue avenues but also impose obligations to ensure fees and by-laws are not inconsistent with the Act or regulations, and may be subject to Ministerial oversight or public scrutiny.

Succession mechanics require precision

• Transfer Orders allocate specified property, rights and liabilities to particular bodies (s 45). If a particular asset or liability is not properly specified in a Transfer Order, its status post-succession could be uncertain. Parties dealing with assets transferred from the Corporation should confirm the scope of the relevant Transfer Order and obtain corresponding Registrar of Titles amendments where land is concerned (s 51).

These operational “gotchas” mostly arise from the Act’s design: public bodies with commercial faculties operating under Ministerial and Treasury oversight, set within formal public-sector governance obligations and with special protections for cultural collections and employee transitions.

Compliance under the Film Act 2001 requires integrated attention to governance, financial controls, transparency obligations and statutory prohibitions. Below are concrete compliance actions tied directly to the Act’s provisions.

Governance and appointments

• Ensure board composition meets statutory requirements: appoint between 7 and 11 members, with Film Victoria’s majority of members experienced in film/television/multimedia (s 11(1)-(2)) and ACMI’s members selected from appropriate fields (s 30(1)-(2)). Make appointments via Governor in Council on the Minister’s recommendation, and ensure presidential appointment and term rules are observed (ss 11(3)-(4); 30(3)-(4)).

• Record appointment instruments and terms: the Schedule permits the Governor in Council to specify terms and conditions (Schedule cl 2(3)). Keep those instruments and ensure re-appointment limits (nine consecutive years rule in Schedule cl 2(2)) are enforced.

Conflict-of-interest procedures

• Maintain a conflict register and standing agenda item: given the statutory duty to declare pecuniary interests “as soon as practicable” (ss 40(1), 41(1)), boards should maintain a register and require declarations at the start of every meeting. Declarations must be tabled and recorded in minutes (ss 40(2), 41(2)), and minutes must be retained (Schedule cl 3(6)).

• Exclude conflicted members from deliberation and voting: where a member has a conflict, they must not be present during deliberations or vote unless the President or committee permits (ss 40(3), 41(3)). Implement procedures to ensure that conflicted members physically absent themselves from meetings or are excluded from consensus resolutions that might be passed by circulation.

CEO and staff management

• Secure Ministerial approval processes for CEO appointment and removal: the CEO is appointed by the body with Ministerial approval and can only be removed with the Minister’s approval (ss 15(2), 15(4); 34(2), 34(4)). Document Ministerial approvals and ensure employment contracts reflect statutory limits on removal.

• Manage transferred staff entitlements: for employees transferred under Pt 5, treat service as continuous and preserve accrued entitlements (s 55(1)-(3)). Review any pre-existing awards, agreements and superannuation statuses. Note s 55(4): transferred employees are not entitled to payment merely because of transfer.

Financial compliance and Treasury approvals

• Create and operate the Investment General Fund correctly: Film Victoria must establish an Investment General Fund (s 19(1)) and pay specified receipts into it (s 19(2)). Money in the Fund must be applied to provide financial assistance for or in relation to production of film or television programs in Victoria (s 19(5)). Ensure accounting systems segregate Fund monies and track permitted uses.

• Obtain Treasurer approval for ADIs and investments: the Treasurer must approve deposit-taking institutions for Fund and account monies and approve the manner of investment for the Fund (ss 19(3)-(4), 20(1), 38(1)). Before placing funds, secure written Treasury approvals and retain them for audit.

• Maintain statutory accounts with appropriate restrictions: both bodies must maintain accounts in authorised ADIs approved by the Treasurer and apply money only for statutory functions (ss 20(1)-(2), 38(1)-(2)). Ensure internal financial controls and external audit readiness.

Ministerial directions and reporting

• Implement mechanisms to comply with Ministerial directions: Film Victoria must obey Ministerial written directions and, for loans or grants, may be required to obtain Ministerial approval (s 9(1)-(2)). Establish procedures to identify matters that may fall within Ministerial direction, obtain approvals where required, and securely store the written directions. The Minister must cause directions to be gazetted (s 9(3)), but Film Victoria must include copies in its annual report (s 9(4)). Prepare internal workflows to collate and publish directions in the annual report.

Contracting, property and intellectual property

• When acquiring or disposing of property or IP, confirm statutory powers and non-delegable limits: both bodies can acquire and dispose of property and acquire copyright or interests in copyright (ss 8(2)(b), 8(2)(j); 24(2)(b), 24(2)(i)). Check delegation instruments before relying on delegated authority to enter significant contracts (ss 10, 28). For ACMI, any decision to sell or dispose of collection items requires an ACMI resolution approved by the Minister (s 26).

• Document trustee and gift arrangements carefully: film bodies can accept gifts and act as trustees (ss 8(2)(g), 24(2)(g)). Ensure trust documents align with statutory constraints on disposal and the bodies’ fiduciary duties.

By-laws, fees and public access

• If ACMI makes by-laws, ensure they are consistent with the Act: ACMI may make by-laws regulating admission, safeguarding, preservation and lending of collection items and charging of fees (s 29). Draft by-laws to be consistent with the Act and any regulations, and retain records of their enactment and publication.

Regulation and compliance with broader statutory regimes

• Apply Public Administration Act obligations to members: the Schedule applies the Public Administration Act 2004 (other than Part 3) to members (Schedule cl 2(7)). Ensure members are briefed on their public administration obligations and that policies align with the Public Administration Act.

• Follow evidence and transfer rules in transitional matters: use s 53 evidentiary provisions for historical books of account, and follow the Transfer Order process for allocation of Corporation property, rights and liabilities prior to succession day (s 45). For land instruments, coordinate with the Registrar of Titles for amendments to the Register (s 51).

Recordkeeping, minutes and transparency

• Keep comprehensive minutes and records: Schedule cl 3 requires minutes and meeting procedures; ss 40(2) and 41(2) require declarations to be tabled and recorded. Ensure robust minute-taking and document retention for audit and potential legal review.

• Make annual reports and ensure public disclosure: Film Victoria must include each written Ministerial direction in its annual report (s 9(4)). Beyond that, maintain public reporting systems to meet obligations under the Public Administration Act and expectations of transparency for publicly funded bodies.

Risk management and internal controls

• Establish internal controls for delegations: adopt formal delegation instruments under the common seal that comply with ss 10 and 28. Keep a register of delegations, review delegations periodically and ensure decisions within delegated authority are recorded.

• Implement compliance training: board members, CEOs and staff should be trained on conflict-of-interest rules (ss 39-42), recordkeeping obligations and Ministerial direction procedures. Training reduces the risk of inadvertent breach and related penalties.

Legal counsel and external audit

• Seek legal confirmation for Transfer Orders and transitional matters: before or immediately after succession, verify which property, rights and liabilities were allocated to each new body under the Transfer Order (s 45) and obtain Registrar of Titles amendments if land is involved (s 51).

• Arrange for external audit and Treasury liaison: maintain audit-ready records for Fund and account monies, and coordinate with Treasury regarding approved ADIs and permitted investments (s 19(3)-(4)).

By embedding these operational practices, robust minute-keeping, segregated finances, Treasurer and Ministerial approvals, formal delegation registers, conflict registers and training, both bodies and their stakeholders will align day-to-day operations with the Act’s statutory requirements.
