Fair Work (Commonwealth Powers) Act 2009

The Act revolves around a small set of legal and constitutional mechanics: references of power under s 51(xxxvii) of the Constitution, the scope of the matters referred, express exclusions, temporal and procedural limits on the references, and the articulation of policy "principles" intended to guide the State’s decision to refer. Several discrete statutory concepts carry most of the operational weight.

Referred subject matters and scheduled text. The Act defines "referred subject matters" in s 3. That definition runs across (a) terms and conditions of employment (minimum standards, awards, bargaining, transfer of business effects), (b) terms under which outworker entities arrange work, (c) rights and responsibilities relating to freedom of association, discrimination protection, termination, industrial action, sham contracting, standing down without pay, union entry and access to records, (d) compliance, enforcement, administration and application of the Commonwealth Fair Work Act, and (e) matters incidental to the operation of that Act. These are the substantive workplace relations topics South Australia refers to the Commonwealth by making the initial, amendment and transition references in s 5. The scheduled text in Schedule 1 provides a concrete model of how the Commonwealth Fair Work Act may be amended or expanded to cover referring States; the scheduled Division (Division 2B) contains extended definitions and application rules (Schedule 1, ss 30K-30S).

Excluded subject matter. The Act’s definition of "excluded subject matter" in s 3 contains a lengthy list. It excludes matters already dealt with in the State Equal Opportunity Act 1984; superannuation; workers compensation; occupational health and safety; child labour; training arrangements; long service leave; leave for victims of crime; jury or emergency service attendance; public holidays; certain directions during essential services or emergencies; regulation of employee or employer associations; workplace surveillance; business trading hours; and claims for enforcement of contracts of employment (with a qualification). It also excludes rights or remedies incidental to other excluded matters , except where, importantly, the Commonwealth Fair Work Act as originally enacted dealt with the matter (see s 3 excluded subject matter final clause). That exception is a textual limit on the exclusion, rooted in what the Fair Work Act already did at original enactment.

Initial, amendment and transition references. Section 5(1) establishes three kinds of reference: (a) the "initial reference" which submits the scheduled text for incorporation into the Commonwealth Fair Work Act (s 5(1)(a)); (b) the "amendment reference" which allows the Commonwealth to make express amendments of the Fair Work Act in respect of the defined referred subject matters (s 5(1)(b)); and (c) the "transition reference" enabling laws governing the transition from the old Commonwealth regimen or State laws to the Fair Work Act (s 5(1)(c)). Subsection 5(2) limits any reference so it operates only to the extent the matter is not already within Commonwealth power and to the extent it is within State legislative power.

Fundamental workplace relations principles. Section 4 sets out a list of policy principles the State views as the foundation of the Fair Work Act regime: a safety net of minimum standards; choice and representation (including freedom to choose whether to join unions); enterprise-level collective bargaining and no individual statutory agreements; remedies through an independent umpire; protection from unfair dismissal; an independent tribunal system and an independent authority to assist employers and employees. The Act repeatedly uses these principles as reference points for termination decisions (see s 9(2)).

Definitions and extensions in the Schedule. Schedule 1 contains a Division (2B) designed to be integrated into the Fair Work Act. It establishes extended meanings for "national system employee" and "national system employer" in Schedule 1, ss 30M-30N; allows the Fair Work Act’s ordinary meanings of "employee" and "employer" to include law enforcement officers and particular office-holders if the State’s referral so provides (30P); broadens "outworker entity" (30Q); applies Part 3‑1 general protections to actions taken in a referring State (30R); and inserts the safeguard that the Division only has effect for a State to the extent its referral law supports those provisions (30S). That last section is a legal throttle: the scheduled additions operate only to the extent the State’s referral actually authorises them.

Termination and procedural controls. The Governor of South Australia may terminate the references by proclamation (s 7). The Act prescribes timing minima for such termination proclamations (s 9): in general at least six months after publication; but where the Governor considers Commonwealth amendments are inconsistent with the fundamental workplace relations principles, the amendment reference may be terminated earlier after a three-month minimum period (s 9(2)), and a Ministerial report must be laid before Parliament following such a termination (s 9(3)). Section 8 preserves the legal effect of laws already made under a reference even if an amendment or transition reference ends before the initial reference.

Interplay between State and Commonwealth powers. Section 5(4) expressly states the Parliament of the State intends that the Commonwealth Fair Work Act may be amended or otherwise affected by Commonwealth Acts enacted on the basis of Commonwealth legislative powers other than the referrals. That is a textual admission that the referral does not exhaust the Commonwealth’s capacity to regulate under other heads of constitutional power and that subsequent Commonwealth measures may still affect the operation of the Fair Work Act in the State.

Technical commencement detail. The Act commenced by proclamation (s 2(1)), and s 2(2) disapplies section 7(5) of the Acts Interpretation Act 1915 , a technical drafting choice the State made to modify ordinary commencement presumptions for this instrument.

These are the main structural concepts that determine how the referral works, what it covers and what it excludes, how long it endures and how it is limited by constitutional and State-legislative competence.

The Act affects multiple categories of actors through a shift in which level of government exercises legislative power over defined workplace relations matters.

Employers and employees in the private sector. For matters that fall within the "referred subject matters" (s 3), the Commonwealth Fair Work Act will govern terms and conditions of employment (minimum standards, awards, enterprise agreements), bargaining, termination, industrial action, protections against sham contracting, standing down employees without pay, union rights of entry and access to records, and related compliance and enforcement. Practically, private employers in South Australia whose operations, contracts or employees fall within those categories will be subject to the Commonwealth Fair Work Act rather than State industrial laws for those matters (s 5(1)(a)-(c) and s 3). This affects pay and conditions, bargaining processes, termination and discrimination protections for employees subject to the national system.

Outworkers and outworker entities. The Act explicitly references "terms and conditions under which an outworker entity may arrange for work to be performed" as part of referred subject matters (s 3(b)). Schedule 1 further expands the meaning of "outworker entity" (30Q), potentially bringing into the national system entities that arrange outwork in or connected with the State on defined bases. Persons arranging for outwork should therefore assess whether the scheduling and the referral extend the Commonwealth regime to their arrangements.

Associations and collective actors. The referral covers regulation touching on employee associations, employer associations and members thereof only to the extent the "referred subject matters" include freedom of association and related protections (s 3(c)(i)). The Act’s excluded subject matter expressly excludes the regulation of employee associations, employer associations and their members in s 3 excluded subject matter paragraph (m), but with the exception that matters already dealt with in the Commonwealth Fair Work Act as originally enacted may be included. This produces a mixed picture: some association-related rights and protections are within the referral (freedom of association protections), whereas certain regulatory aspects may be excluded and remain a matter for State law unless the Commonwealth already dealt with them.

Public sector agencies and public sector employees. The Act specifically excludes "matters relating to public sector employees" from a matter referred by s 5 (see s 6(b)). It also excludes particular categories of State employees and offices (for example Ministers’ personal staff, certain appointees under the Constitution Act 1934, parliamentary officers and courts staff in s 6(a),(c)-(f)). That means the State has not, by this Act, referred the Commonwealth competence to regulate many State public sector employment matters. By contrast, Schedule 1 (the model Commonwealth Division) includes detailed definitions for "State public sector employee" and "State public sector employer" (Schedule 1, s 30K and following) and mechanisms to include law enforcement officers under the national system where the State’s referral law so provides (30P). For South Australia, because s 6 explicitly excludes public sector employees, the Schedule’s extended definitions will operate only to the extent the referral law supports them; on the face of this Act, many public sector employment matters remain outside the referral (see s 6 and Schedule 1, s 30S).

Law enforcement and protective services officers. The Act provides particular definitions for "law enforcement officer" (s 3), listing SA Police members, police cadets, police medical officers, special constables and persons employed as protective security officers (s 3 law enforcement officer). Section 6(g) excludes matters relating to those SA Police members and certain protective services staff from the reference. Schedule 1, however, contemplates that a State can include law enforcement officers in the national system if the State’s referral law so provides (Schedule 1, s 30P). For South Australia, the Act’s exclusion in s 6(g) means those law enforcement personnel are not covered by the reference.

Local government. Section 3 defines "local government sector employer" and "local government sector employee" and s 6(h) excludes matters relating to local government sector employees from the reference. Thus councillors, local authority employees and their employers are excluded from the matters referred by the State.

Employing authorities and public sector agencies. The Act’s definitions include public sector agencies and employing authorities (s 3). Even though the Act defines these categories, s 6 excludes matters relating to public sector employees and specific public sector positions from the reference. The practical effect is that Crown employers and agencies retain State law control over many of their employment relationships for the excluded categories.

Businesses with interstate operations. Where the Commonwealth Fair Work Act applies (under the referral), interstate employers may obtain regulatory uniformity for referred subjects across jurisdictions that are referring States. The scheduled Division 2B in Schedule 1 contains provisions (30M-30N) that expand definitions of "national system employee" and "employer" to capture individuals in referring States under certain factual predicates, which can extend the national system’s scope for businesses operating across borders.

Regulators and tribunals. The Act transfers law-making power, but it also contemplates that the Commonwealth will administer and enforce the Fair Work Act in the State (s 3 referred subject matters (d) and (e) include compliance and administration). That means Commonwealth bodies and the national tribunal system envisaged by the State’s fundamental principles (s 4) will have roles in dispute resolution, enforcement and assistance for employers and employees in referred areas.

In practical distributional terms: private sector employers and employees working in the subject matters the Act refers will be governed by the Commonwealth Fair Work Act; persons listed in s 6 (public sector employees, certain appointees, local government employees, SA Police members and similar) remain subject to State employment arrangements; and outworker entities, associations and law enforcement officer coverage depend on how the definitions in Schedule 1 interact with the State’s referral (see Schedule 1, s 30S). Who pays: employers bear the direct cost of compliance with Fair Work Act obligations in referred matters; the State retains enforcement and terms for excluded categories, so the State continues administrative costs for those matters.

The Act itself does not draft detailed duties and rights in employment. Instead it operates by transferring certain law-making competencies to the Commonwealth so that the Commonwealth Fair Work Act sets the operative duties and rights for the referred subject matters. Nonetheless, the Act creates statutory entitlements and constraints by reference; the following explains which duties and rights are encompassed and where to look.

Scope of duties and rights transferred. The definition of "referred subject matters" in s 3 expressly covers:

• Terms and conditions of employment, including minimum standards and wages, terms contained in instruments (awards, determinations, enterprise-level agreements), bargaining and effects of a transfer of business (s 3(a)(i)-(iv)). Practitioners should treat these items as core duties and rights that the Commonwealth Fair Work Act will govern where the reference applies (s 5(1)(b)).

• Rights and responsibilities relating to freedom of association, protection from discrimination relating to employment, termination of employment, industrial action, protection from payment of fees for bargaining services, sham contracting, standing down employees without pay, union rights of entry and access to records (s 3(c)(i)-(viii)). These map onto the kinds of statutory protections and prohibitions that appear in the Fair Work Act and its Parts, including general protections and unlawful termination rules, and are included in the scope of the referral.

• Compliance, enforcement, administration and application of the Commonwealth Fair Work Act (s 3(d)-(f)). By referring these matters, the State authorises the Commonwealth to legislate on enforcement mechanisms, obligations on employers to comply, remedies, and the administrative machinery to apply the Act.

• Matters incidental or ancillary to the operation of the Fair Work Act (s 3(g)). This is a broad catch-all that authorises laws covering the operations necessary to give effect to the federal regime.

Fundamental workplace relations principles and the State’s policy constraints. Section 4 articulates principles the State expects the Commonwealth Fair Work Act to provide and preserve: a safety net of minimum employment standards; rights and responsibilities ensuring fairness, choice and representation (including freedom to join or not join unions); enterprise-level collective bargaining with no individual statutory agreements; fair remedies through an independent umpire; protection from unfair dismissal; an independent tribunal; and an independent authority to assist employers and employees. These principles operate as normative constraints and, crucially, provide the statutory basis for the Governor to conclude that a Commonwealth amendment is inconsistent with State expectations when considering termination (s 9(2)). The State has embedded these principles into the referral; they are not operational duties on employers per se, but they signal the State’s intended architecture for Commonwealth rules that will determine duties and rights.

Schedule 1 additions: extended coverage and protections. Schedule 1, designed for insertion into the Commonwealth Fair Work Act (Division 2B, ss 30K-30R), extends the Act’s definitions and coverage where a State’s referral supports it. Notably:

• 30M and 30N provide for an extended meaning of "national system employee" and "national system employer" to capture individuals and employers in a referring State for the purposes of Commonwealth laws.

• 30P allows the ordinary meanings of "employee" and "employer" to include law enforcement officers and certain office-holders, if the State’s referral law provides for that coverage.

• 30Q broadens the concept of "outworker entity" so that persons who arrange for outwork can fall within the outworker provisions where connections to a referring State exist.

• 30R expressly applies Part 3‑1 general protections to actions taken in a referring State.

Each of the Schedule provisions therefore translates into enforceable duties and rights under the Commonwealth Fair Work Act, but only to the extent the State’s referral law permits them (Schedule 1, s 30S).

Exclusions and residual State rights. Section 3’s "excluded subject matter" and s 6’s list of excluded persons mean that certain duties and rights remain governed by State law. Examples include rights or remedies tied to workers compensation, occupational health and safety, superannuation, long service leave and public sector employment matters. For those areas, the State retains capacity to set duties and rights, unless the Commonwealth Fair Work Act as originally enacted already dealt with them in which case the exclusion is narrower (s 3 excluded subject matter final clause).

Termination and continuity protections. If the Governor terminates the amendment reference or transition reference before the initial reference (s 8), laws that were made under the terminated references continue to operate in the State (s 8(1)). That preserves duties and rights established by Commonwealth laws enacted under the referral even if later proclamations end the reference; it ensures continuity for those already subject to the Commonwealth regime.

Compliance and enforcement mechanisms. The Act gives the Commonwealth authority to create compliance and enforcement arrangements (s 3(d)-(e)). The Act itself does not set penalties; instead it hands to the Commonwealth the power to define offences, civil penalties, remedies, tribunal jurisdiction and enforcement processes in the Fair Work Act and associated instruments, as applied in the State under the referral.

In practical terms, key duties and rights for employers and employees in referred areas will be found primarily in the Commonwealth Fair Work Act as enacted and amended. This Act establishes the constitutional route by which those duties and rights are lawfully made applicable in South Australia, specifies the categories included and excluded from the referral and provides governance mechanisms for termination and continuity.

This Act does not itself create a bespoke catalogue of criminal offences or civil penalties for workplace conduct. Instead, it creates the constitutional and legislative conduit by which the Commonwealth Fair Work Act’s enforcement and penalty regimes operate in South Australia for referred subject matters. Understanding enforcement under this Act therefore requires tracing two elements: (1) the Act authorises the Commonwealth to make laws about compliance and enforcement (s 3, referred subject matters (d)); and (2) the scheduled Division (Schedule 1, s 30R) makes Part 3‑1 general protections applicable to actions taken in referring States if the referral supports it.

Delegation of enforcement to Commonwealth legal machinery. The Act’s referral expressly includes "compliance with, and enforcement of, the Commonwealth Fair Work Act" and "the administration of the Commonwealth Fair Work Act" in the definition of referred subject matters (s 3(d)-(e)). That transfers to the Commonwealth the capacity to design offences, civil penalties, remedies, prohibitions and tribunal mechanisms in the Fair Work Act and to apply them in South Australia for referred matters. Because the Fair Work Act contains both civil and criminal enforcement mechanisms in Parts and divisions (not reproduced here), the practical consequence is that employers and employees in referred areas will face those federal enforcement regimes rather than State industrial enforcement for those subjects.

Preservation of laws already made. The Act protects the continued operation of laws made under a reference even if an amendment reference or transition reference is later terminated before the initial reference (s 8(1)(a)-(b)). Paragraph 8(1)(a) says laws made under the terminated reference before termination continue to operate (whether or not they have come into operation before termination). Paragraph 8(1)(b) preserves the continued operation in the State of the Commonwealth Fair Work Act as it stood immediately before termination, and of any subsequent amendments made under the terminated reference that come into operation after termination. Practically, this provision prevents termination from retroactively removing enforcement arrangements that have already been legislated and brought into force.

Termination procedures and reporting obligations. The Governor may terminate the amendment or transition references by proclamation (s 7(1)). Section 9 imposes minimum notice periods for such proclamations: typically not earlier than the first day after six months from publication (s 9(1)). If the amendment reference alone is terminated and the Governor declares in the proclamation that, in the Governor’s opinion, the Fair Work Act has been or is proposed to be amended in a manner inconsistent with one or more of the fundamental workplace relations principles, the termination may happen earlier subject to a three-month minimum (s 9(2)). Where such an early termination occurs, the relevant Minister must prepare a report and cause it to be laid before both Houses of the State Parliament as soon as practicable after publication of the proclamation (s 9(3)). These procedural safeguards are administrative controls rather than enforcement mechanisms against employers or employees, but they create a political and reporting constraint on termination that could affect enforcement continuity.

No independent State penalties created. The Act does not create separate State penalties for contraventions of referred subject matters; instead, Commonwealth-made offences and penalties will apply for conduct captured by Commonwealth laws enacted under the referral. For matters excluded from the referral (as per s 3 excluded subject matter and s 6), State law enforcement, remedies and penalties continue to apply.

Interaction with Commonwealth tribunal and independent authority. Section 4 articulates that one of the "fundamental workplace relations principles" is the existence of "an independent tribunal system" and "an independent authority able to assist employers and employees within a national workplace relations system" (s 4(b)(i)-(ii)). Those are policy expectations the State embeds in the referral; practically they support Commonwealth enforcement via federal tribunals and agencies (for example, bodies constituted under the Fair Work Act framework). The Act therefore envisions enforcement and dispute resolution being handled at federal level for referred matters.

Practical consequences for employers and advisers. In practice, where the Commonwealth Fair Work Act applies by virtue of the referral, enforcement risk for employers includes exposure to the Commonwealth’s civil penalty regime, injunctions and remedies in the Fair Work Act, and proceedings in federal tribunals and courts. For conduct pertaining to excluded subject matters or excluded categories of employees, State enforcement frameworks remain operative. The Act also ensures that legislative actions already taken under the referral remain enforceable even if references are later terminated (s 8), which is significant for legal certainty in enforcement.

In short, the Act hands to the Commonwealth the power to design and operate the substantive penalty and enforcement architecture for the referred workplace relations matters, while preserving continuity for laws already enacted and leaving excluded subject matters to State regulation.

This Act is a referral statute: its core function is to reallocate legislative competence between the State and the Commonwealth, and that creates multiple, concrete intersections with other Commonwealth and State laws. Below are the principal interaction mechanisms and statutory cross-references.

Relationship to the Commonwealth Fair Work Act. The Act is explicitly designed to operate by feeding specific text and powers into the Commonwealth Fair Work Act. Section 5(1)(a) refers the initial referred provisions to the Commonwealth "by including the initial referred provisions in the Commonwealth Fair Work Act, as originally enacted" and as subsequently amended by amendments enacted before this Act commences. Section 5(1)(b) allows the Commonwealth to enact express amendments of the Commonwealth Fair Work Act in respect of the "referred subject matters." Schedule 1 provides a Division (2B) that the Commonwealth can include in its Fair Work Act to give effect to referrals made by States in the relevant period (Schedule 1, ss 30K-30S). The Act therefore depends on, and modifies the operation of, the Commonwealth Fair Work Act in South Australia for referred topics.

Constitutional mechanics: s 51(xxxvii). The legal route for the transfer of power is paragraph 51(xxxvii) of the Commonwealth Constitution. Section 5(2) of the Act limits the reference so it has effect only "if and to the extent that the matter is not included in the legislative powers of the Parliament of the Commonwealth (otherwise than by a reference for the purposes of section 51(xxxvii) of the Constitution)" and "if and to the extent that the matter is included in the legislative powers of the Parliament of the State." This echoes the constitutional principle that a State can refer a matter to the Commonwealth by consent, but the referral cannot extend beyond the State’s own legislative competence.

Interaction with State nonsubstantive laws and exclusions. The Act leaves a substantial list of subject matters to State governance. Section 3’s definition of "excluded subject matter" and section 6’s enumerated categories (public sector employees, SA Police, local government sector employees, parliamentary and court staff, etc.) set the boundaries. This means superannuation, workers compensation, occupational health and safety, long service leave, business trading hours, workplace surveillance and other category items remain primarily within State law unless the Commonwealth Fair Work Act as originally enacted already dealt with them (s 3 excluded subject matter final clause). Practitioners must map the applicable law: if a workplace issue relates to an excluded subject matter per s 3 and s 6, State law governs; if it falls within the referred subject matters, the Commonwealth Fair Work Act governs.

Transitional interplay with earlier Commonwealth and State regimes. The "referred transition matters" in s 3 include transition from the Workplace Relations Act 1996 as it continued to apply because of the Commonwealth Fair Work (Transitional and Consequential Amendments) Act 2009, and from State workplace/industrial relations laws, to the Fair Work Act regime. This is an explicit interaction clause: the referral allows the Commonwealth to make laws facilitating that transition, which necessarily affects how existing awards, agreements and State instruments convert to the national system.

Schedule 1 as a bridge for States referring in a time window. Schedule 1 Division 2B is directed at States that referred matters after 1 July 2009 but on or before 1 January 2010 (Schedule 1, s 30L(1)). It supplies expanded definitions and application rules for the Fair Work Act to cover referring States. But Schedule 1, s 30S constrains the Division’s effect to the extent the State’s referral law supports those provisions. Thus the Commonwealth Fair Work Act will only operate in the ways set out in Schedule 1 where each State’s referral instrument supplies the necessary grant of competence. For South Australia, this Act is the referral law and its specific exclusions (s 6) and definitions govern the way Schedule 1 operates in relation to SA.

Co-existence with other Commonwealth constitutional bases. Section 5(4) notes that it is the intention of the State Parliament "that the Commonwealth Fair Work Act may be expressly amended, or have its operation otherwise affected, at any time after the commencement of this Act by provisions of Commonwealth Acts whose operation is based on legislative powers that the Parliament of the Commonwealth has apart from under the references under subsection (1)." This recognises that the Commonwealth has other heads of legislative power that can be used to regulate workplace relations in Australia, and that the referral does not prevent the Commonwealth from acting under those powers to the extent permitted by the Constitution.

Effect on State instruments and rights under State law. Section 8 ensures that terminating an amendment reference or transition reference before the initial reference does not affect laws made under the terminated references prior to termination, nor does it affect the continued operation in the State of the Commonwealth Fair Work Act as previously in operation. This provision safeguards the continuity of rights and obligations that have already been created by Commonwealth legislation enacted under the reference.

Interplay with specialised State laws. The Act explicitly excludes matters dealt with in the South Australian Equal Opportunity Act 1984 from the referral (s 3 excluded subject matter (a)). This maps into the practical legal landscape: anti-discrimination protections under State law remain relevant, but the referral also covers "protection from discrimination relating to employment" in the referred subject matters (s 3(c)(ii)). Consequently, employers and advisers must reconcile protections under both State anti‑discrimination statutes and the Commonwealth Fair Work Act as it applies in the State, noting where one instrument prevails in specific contexts.

Operational and administrative interactions. Because the referral includes "the administration of the Commonwealth Fair Work Act" (s 3(e)), federal administrative mechanisms (for example, enforcement agencies, tribunals, inspectors, or administrative decision-making under the Fair Work Act) will operate within South Australia for referred matters. State bodies and agencies will need to coordinate with Commonwealth bodies in areas of overlap or administrative handover.

In short, the Act interweaves State and Commonwealth regulatory regimes in a way that delegates substantive workplace law-making and enforcement for a large set of employment matters to the Commonwealth, while preserving a core of State-governed subject areas. Practitioners must map issues against the exclusions in s 3 and s 6, and consider Schedule 1’s conditional provisions to determine the applicable jurisdiction and legal instrument for any given workplace issue.

The Act’s legislative history, as recorded in the text, is succinct. The principal Act is the Fair Work (Commonwealth Powers) Act 2009. According to the "Legislative history" appended to the Act, the Act received assent on 26 November 2009 and commenced on 27 November 2009 (Gazette 26.11.2009 p5274). The Schedule records the principal Act year and number: 2009, No 57 (Fair Work (Commonwealth Powers) Act 2009), assent 26.11.2009, commencement 27.11.2009.

The Act itself anticipates further changes to the Commonwealth Fair Work Act and contemplates that that Commonwealth Act will be "amended from time to time" (see the definition of "Commonwealth Fair Work Act" in s 3). The State’s referral includes both the initial scheduled text and the capacity for the Commonwealth to make express amendments under the amendment reference mechanism (s 5(1)(b)). Section 5(4) also anticipates that the Commonwealth Fair Work Act may be amended or otherwise affected by Commonwealth Acts enacted on other constitutional powers, beyond the referral. These provisions allow for the Commonwealth law which applies by virtue of the referral to evolve over time through federal legislative processes.

The Act contains a provision relevant to commencement mechanics: s 2(2) disapplies section 7(5) of the Acts Interpretation Act 1915 to this Act or a provision of it. That is a technical amendment affecting how commencement provisions operate for this statute, but it does not itself amend substantive workplace law.

The Act creates mechanisms for termination of references by the Governor (s 7) and sets minimum timelines for terminations (s 9). It also prescribes the consequences of terminating an amendment or transition reference before the initial reference (s 8). Those provisions are part of the Act as enacted and shape the amendment dynamics: the State can withdraw the referral (subject to timing and reporting rules) where the Governor is satisfied the Commonwealth Fair Work Act has departed from the State’s fundamental principles (s 9(2)). The Ministerial reporting requirement in s 9(3) following an early termination is a procedural constraint designed to place accountability on the State executive once an early termination has occurred.

No amendments to this State Act are set out in the text provided beyond the principal Act itself. The Act’s own definitions and Schedule envisage the Commonwealth amending its Fair Work Act, and the State retains the procedural ability to terminate the references. To understand subsequent changes to the practical operation of the national system in South Australia, one must look to any later State legislative amendments (none identified in the provided text) and to subsequent Commonwealth amendments to the Fair Work Act that are made under any permissible constitutional head of power, including by reliance on the State referral.

Because the Act allows the Commonwealth to enact express amendments under the amendment reference, the Act implicitly permits the Commonwealth Fair Work Act to be varied, and the State’s protections related to termination timing and reporting (s 9) are the main domestic controls specified in the Act’s original text.

Practitioners should consult the official South Australian consolidated statutes and the Commonwealth Fair Work Act and amending legislation for any post-2009 changes affecting the interface created by this referral, remembering that the text here records only the original wording and the limited legislative history supplied.

The Act as provided contains no record of litigation or judicial decisions concerning its construction or operation. The legislative text lists no cases, and the appended "Legislative history" is limited to assent and commencement dates (assent 26.11.2009; commencement 27.11.2009). The Schedule and the body of the Act refer to Commonwealth provisions and to constitutional mechanisms but do not narrate any court proceedings.

Because the Act is a referral instrument under s 51(xxxvii) of the Constitution, it creates legal questions that could give rise to litigation in the future or that may have been litigated in other jurisdictions about the extent of Commonwealth power, the meaning of "referred subject matters", or whether particular categories of employees fall within the national system. However, no such cases are named or summarised in the Act text you supplied. The Act does not cite any judicial decisions.

If a reader requires a history of litigation interpreting the effect of State referrals on the Fair Work Act, they should consult case law databases for decisions addressing the Commonwealth Fair Work Act and, where applicable, State referral statutes. Any such search should concentrate on questions that might include the constitutional validity of Commonwealth provisions as applied to State-referred matters, the interpretation of "national system employee" and "national system employer" as expanded in Schedule 1 or in other State referrals, and disputes about the interaction between referred Commonwealth provisions and State exclusions (for example, where an issue straddles workers compensation, occupational health and safety, or public sector employment). The Act itself contains no entries to that effect.

Given the absence of litigation citations in the supplied text, this section records that no litigation is reported within the Act’s own materials. For litigation beyond the Act, external legal research is required.

This Act is concise but complex in its practical implications. Several specific drafting features invite caution and precise legal mapping. Below are the principal "gotchas" that practitioners, employers, unions and public authorities should watch for, with citations to the relevant provisions.

1. Exclusions are wide and look similar to the matters typically associated with State regulation (s 3 excluded subject matter and s 6). The Act excludes superannuation, workers compensation, occupational health and safety, long service leave, workplace surveillance, trading hours, and other matters (s 3). Section 6 excludes public sector employees, SA Police and specified protective services, local government sector employees, judicial officers and certain parliamentary staff. Do not assume the referral covers everything about employment; map the facts to the definitions in s 3 and s 6. The Schedule’s broader definitions (Schedule 1, ss 30M-30Q) will not necessarily override the State’s explicit exclusions because Schedule 1, s 30S makes the Division operative only to the extent the State’s referral supports it.

2. The "except" clause in the excluded subject matter creates an exception where the Commonwealth Fair Work Act "as originally enacted" dealt with an excluded matter (s 3 excluded subject matter final clause). In practical terms, an item that looks excluded may still fall within the Commonwealth regime if the federal Fair Work Act as originally enacted already addressed it. That requires tracing the original Commonwealth provisions and their reach at the Fair Work Act’s enactment date.

3. The difference between the initial, amendment and transition references matters. The initial reference incorporates the scheduled text "in the terms, or substantially in the terms" set out in Schedule 1 (s 5(1)(a)). The amendment reference authorises the Commonwealth to enact express amendments to the Fair Work Act in respect of the referred subject matters (s 5(1)(b)). The transition reference focuses on the making of laws related to conversion from prior Commonwealth or State regimes (s 5(1)(c)). Each form of reference has different drafting and operational consequences; practitioners need to check which type of Commonwealth law is being relied upon when an obligation or right is asserted.

4. The State’s intention to permit Commonwealth amendments under other constitutional powers remains (s 5(4)). That means not all Commonwealth changes will rely on the referral; some may invoke other constitutional heads and still affect employment in the State. The State cannot control all Commonwealth law-making by relying only on the referral.

5. Termination is an executive power with timing constraints and reporting. The Governor may terminate any of the references by proclamation (s 7), but s 9 sets minimum delays: generally a proclamation must fix a day at least six months after publication (s 9(1)). If the Governor terminates the amendment reference early on the ground that a Commonwealth amendment is inconsistent with the fundamental workplace relations principles, the minimum notice can be three months (s 9(2)), and the responsible Minister must prepare and lay a report before Parliament (s 9(3)). Parties should be aware that termination takes time, and that early termination triggers specific reporting obligations.

6. Laws already made survive termination (s 8). If an amendment reference or transition reference is terminated before the initial reference, laws made under the terminated references before termination continue to have effect in the State (s 8(1)(a)-(b)). That is a continuity safeguard but also a trap: repealing the referral does not retroactively nullify Commonwealth rules already enacted and in force.

7. The Schedule’s Division only operates to the extent the State’s referral supports it (Schedule 1, s 30S). The Schedule sets out extended definitions and coverage (30M-30Q) and applies Part 3‑1 general protections to actions in referring States (30R), but all of that depends on whether the State’s referral law actually referred the necessary matters. For South Australia specifically, s 6 excludes public sector employees and some other categories; therefore, Schedule 1’s broader definitions may not apply to those categories in South Australia unless the referral law says otherwise.

8. Mixed jurisdiction issues. Because some matters (for example discrimination in employment, which appears both as an excluded subject matter reference and as a referred subject matter in part) straddle Commonwealth and State laws, employers must weave compliance across both regimes. The Act explicitly includes "protection from discrimination relating to employment" among referred subject matters (s 3(c)(ii)), while s 3 excluded subject matter (a) excludes "a matter dealt with in the Equal Opportunity Act 1984." Practitioners should not assume a single regime controls without careful statutory mapping.

9. The Act disapplies s 7(5) of the Acts Interpretation Act 1915 in s 2(2). That is a technical drafting point about commencement and may affect interpretation of timing references; users should check the meaning and practical effect of section 7(5) of the Acts Interpretation Act if timing is in dispute.

10. Definitions vary between the State Act and the scheduled Commonwealth Division. The State Act’s own definitions of "public sector agency", "employing authority", "local government sector employer" and "law enforcement officer" (s 3) must be reconciled with Schedule 1’s corresponding definitions (Schedule 1, s 30K) and the Commonwealth Fair Work Act’s general definitions (not reproduced here). Discrepancies can create ambiguity about who is covered; the Act and the Schedule provide internal limits (Schedule 1, s 30S) but detailed fact-mapping is required.

11. Administrative coordination risks. Because the referral hands administration and enforcement functions to the Commonwealth (s 3(d)-(e)), State and Commonwealth agencies will need clear protocols. Practical issues may include which regulator inspects, which tribunal hears a dispute and how State administrative processes (for excluded matters) coordinate with federal remedies (for referred matters).

12. The Act’s policy statement in s 4 (fundamental workplace relations principles) is used as a legal basis for the Governor’s dismissal of the amendment reference in specified circumstances (s 9(2)), but that relies on an executive opinion. The political and administrative consequences of exercising that power can be material; businesses and unions should be alert to political risk.

These are specific, document-grounded "gotchas" that flow directly from the Act’s drafting. Each one points to an area where factual complexity, competing statutory definitions or procedural timing could produce unexpected outcomes if not checked against the text.

Compliance under this referral architecture requires a two-step mapping exercise and ongoing monitoring: (1) determine whether the activity, person or issue falls within the State’s referred subject matters or within an excluded category; and (2) where the referral applies, apply the Commonwealth Fair Work Act and its instruments as the operative law; where it does not apply, apply State law. Below are concrete compliance actions grounded in the statutory text.

1. Map your workforce and arrangements to the statutory categories. Use the Act’s definitions in s 3 to classify workers and organisations: identify whether an individual is an employee, a national system employee, an outworker, a law enforcement officer (as defined in s 3) or a public sector employee. For entities, determine whether you are a "local government sector employer", "employing authority", or a public sector agency (s 3). This initial triage determines whether the referral likely applies.

2. Check excluded subject matters and excluded persons. Before assuming the Commonwealth Fair Work Act applies, examine the excluded subject matter list in s 3 (superannuation, workers compensation, occupational health and safety, long service leave, workplace surveillance, trading hours, etc.) and the excluded persons and categories in s 6 (public sector employees, SA Police, local government employees, Ministerial staff, parliamentary and courts staff). If the issue falls within an excluded class, state laws will continue to govern that aspect. Where an issue straddles both systems (for example discrimination in employment), identify overlapping provisions and procedural steps under both State and Commonwealth instruments (s 3(c)(ii) and s 3 excluded subject matter (a)).

3. If the matter is not excluded, apply the Commonwealth Fair Work Act for referred subjects. Section 5(1) transfers to the Commonwealth the ability to legislate on the referred subject matters. Once you have determined that an employment matter falls within those referred subject matters (s 3), apply the Fair Work Act provisions (awards, safety net, bargaining rules, termination and general protections), as those Commonwealth provisions operate in South Australia by virtue of the referral and Schedule 1 (if Schedule provisions are engaged). Practically, consult the current text of the Commonwealth Fair Work Act, any amendments, and the portions of Schedule 1 adopted for the State.

4. Pay attention to Schedule 1 conditionality. Schedule 1, s 30S limits the Division’s operation to the extent the State’s referral law supports it. For South Australia, s 6’s exclusions mean some Schedule extensions (for example, to public sector employees or law enforcement officers via Schedule 1, s 30P) will not apply. Confirm whether the scheduled text has been incorporated by the Commonwealth and, if so, how it operates in relation to the exclusions in the State Act.

5. Audit contracts, enterprise agreements and awards. The Act affects "terms and conditions of employment, including minimum terms and conditions of employment, instruments such as awards, determinations and enterprise-level agreements" (s 3(a)(i)-(ii)). Employers should audit workplace contracts and agreements to ensure they comply with the Commonwealth Fair Work Act’s minimum standards and instrument rules where the referral applies. Where State instruments remain relevant (excluded matters), ensure those instruments are also covered.

6. For outworkers, map supply chains to the outworker entity definition. The referral and Schedule 1 explicitly cover outworker entities (s 3(b) and Schedule 1, s 30Q). Businesses that contract with subcontractors or other entities to have work performed in or connected to the State should review arrangements to determine if they fall within the extended outworker entity definitions and thus into the Fair Work Act’s protections.

7. Monitor proclamation and termination risk. A Governor can terminate references by proclamation (s 7), subject to minimum timing (s 9). Employers and advisers should monitor State government notices and Gazettes for any proclamations that terminate the amendment or transition references and track the six-month or three-month timelines laid down in s 9. Even if termination occurs, s 8 preserves the operation of laws already made under a reference, so maintain records of applicable laws in force.

8. Keep administrative liaison ready for enforcement and complaints. Because the referral includes "compliance with, and enforcement of, the Commonwealth Fair Work Act" (s 3(d)), interactions with Commonwealth regulators and tribunals will be essential. Ensure processes for responding to federal notices, tribunal proceedings and inspector requests are in place. For excluded matters, be prepared for State administrative processes to continue.

9. Be alert to overlapping protections and dual obligations. Where protections exist in both State and Commonwealth instruments (for example, discrimination protections), employers should ensure compliance with both regimes where applicable. This requires cross-referencing procedural rules for filing claims, limitation periods and remedies.

10. Maintain change-management processes for legislative change. The amendment reference allows the Commonwealth to make express amendments (s 5(1)(b)) and s 5(4) contemplates Commonwealth amendments using other heads of power. Establish compliance monitoring for Commonwealth amendments to the Fair Work Act and for State proclamations under s 7 and s 9 that might change the landscape. Keep a register of active instruments: awards, enterprise agreements, federal regulations, and any State instruments retained for excluded matters.

11. Document reliance on the Act’s timing protections. Where a workplace decision or contract is affected by potential termination of the reference (for example, where a Commonwealth amendment might be declared inconsistent with s 4 and prompt an early termination under s 9(2)), document the decision-making and monitor the Ministerial reports required under s 9(3). Administrative transparency can be material in managing legal and political risk.

12. Seek early legal advice on edge cases. Fact patterns that involve State public sector appointees, law enforcement officers, outworkers, or multi‑jurisdictional operations require detailed statutory mapping against s 3, s 6 and Schedule 1. Because Schedule 1’s application depends on whether the referral supports it (s 30S), edge cases demand tailored legal analysis.

In summary, compliance is a structured mapping exercise followed by application of the relevant instrument (Commonwealth Fair Work Act or State law) and ongoing monitoring of legislative amendments and proclamations. The key practical steps are auditing workforce categories against the Act’s definitions, confirming which subject matters are excluded, applying the Fair Work Act where the referral reaches, and keeping governance procedures ready for enforcement interactions and statutory developments.
