Estate Agents (Professional Conduct) Regulations 2018

The instrument organises around several concrete legal concepts that shape behaviour: defined scope of estate agency practice, duties of knowledge and confidentiality, prohibition and disclosure of conflicted commissions, fidelity to principal’s lawful instructions, standards of honesty and best‑interest conduct, conflict avoidance and supplier disclosure, duties of diligence and timeliness, communication rules for offers and auctions, property management obligations regarding maintenance, and required dispute resolution procedures.

Definitions (regulation 5) fix the scope. “Estate agency practice” is defined expansively to include selling, buying, exchanging, letting, taking on lease, negotiating for those transactions and collecting rent for real estate or a business on behalf of someone else. The concept of “principal” ties duties to the person who engages the agent or the licensed estate agent for whom an agent’s representative performs functions (regulation 5). These definitions determine who owes duties and to whom.

Knowledge and legal baseline: regulation 6 compels a “working knowledge” of the Estate Agents Act, these Regulations and other relevant laws. The phrase “working knowledge” is intentionally open‑ended; the Regulation sets a baseline expectation rather than a detailed competency test. That baseline functions as a due‑diligence obligation that may underpin supervisory or disciplinary action, but the Regulations leave the precise content and measure of “working knowledge” up to other decision‑makers.

Confidentiality (regulation 7) is strict: use or disclosure of confidential information obtained while acting for a principal is prohibited, except with principal authorisation or where law requires disclosure. This creates a default secrecy rule subject to narrow exceptions. The rule will interact with any statutory obligations to disclose information in other laws or with court or tribunal compulsion.

Commission rules (regulation 8) address conflicts of commission by both prohibition and disclosure. Regulation 8(1) sets categorical prohibitions on accepting commission from the counter‑party where an agent is engaged to act for a purchaser, seller, landlord or prospective tenant. Regulation 8(2) forbids inducing a person to enter a contract that could make them liable to pay commission to more than one estate agent, unless the agent gives clear written advice about that potential multiple liability. The twin mechanisms are prohibitory and information‑based: one rule blocks certain receipts of commission, the other requires written disclosure where dual commission risk arises through induced contracting arrangements.

Fiduciary‑style obligations: Regulations 9, 10 and 11 require agents to act in accordance with lawful instructions, to act fairly and honestly and to act in a principal’s best interests unless doing so would be unlawful, unreasonable, improper or contrary to instructions. The structure sets a conditional duty of loyalty,an agent must follow lawful instructions but not if they fall foul of professional conduct or other specified constraints.

Conflict management and supplier disclosure (regulation 12) prohibit acting where the agent’s interests conflict with the principal’s and require disclosure of personal or commercial relationships where suppliers are recommended. This imposes both a negative duty (not to act) and a positive disclosure duty to the principal.

Operational standards and communications duties: regulations 13-19 cover practical actions agents must take, due care, completion of work “as soon as is reasonably possible”, prompt notification of tenancy breaches, informing sellers when deposits are not received contrary to contract, making reasonable enquiries relevant to a service or transaction (regulation 15), and specific communication rules about offers and auctions (regulations 16 and 17). For property managers, regulation 18 prescribes prompt response to tenant maintenance requests, notification obligations and an obligation to inform a landlord if their refusal would breach a tenancy agreement or the Residential Tenancies Act 1997.

Complaints architecture (regulations 20-21) requires written dispute resolution procedures that identify named positions, contact details, accessible times and places, and the procedure itself. Agents must advise clients of the procedures at set moments (for example, before or as soon as possible after obtaining a written engagement or tenancy agreement).

These concepts combine prescriptive duties (do not disclose confidential information, do not accept certain commissions), disclosure duties (tell principals about supplier relationships and potential multiple commission liabilities), procedural duties (maintain and notify a disputes procedure), and standards of care (working knowledge, due skill, timely completion).

Primary regulated persons: the Regulations apply directly to “estate agents” and “agent’s representatives” as those terms are used in the text. Regulation 5 defines “estate agency practice” and “principal”, and the operative duties throughout Part 2 and Part 3 are imposed on estate agents and agent’s representatives. Where the instrument distinguishes between an estate agent and an agent’s representative, the duties vary; for example, certain disclosure obligations attach to a licensed estate agent when an agent’s representative recommends a supplier (regulation 12(3)(a)-(b)), and an agent’s representative must advise clients that the licensed estate agent has dispute procedures (regulation 21(2)).

Who else is affected in practice:

• Principals (sellers, purchasers, landlords, tenants, business owners). The Regulations bind the agent’s conduct toward those principals. Duties to act in a principal’s best interests (regulation 11), to follow lawful instructions (regulation 9) and to disclose conflicts and supplier relationships (regulation 12) directly affect contractual relationships between agents and principals.
• Buyers, sellers, landlords and prospective tenants who interact with agents or agent’s representatives: communications obligations require agents to transmit offers to principals (regulation 16), to inform offerors if offers will not be submitted (regulation 16(2)), and to refrain from disclosing bids after an auction knockdown except in specified circumstances (regulation 17).
• Tenants and landlords in the residential rental market: regulation 18 attaches immediate operational duties on property managers and agent’s representatives who manage maintenance and repairs, and it links landlord instructions to statutory compliance under the Residential Tenancies Act 1997 (regulation 18(3)(b)).
• Suppliers of goods and services recommended by agents: they are indirectly affected because the recommending agent must disclose any personal or commercial relationship (regulation 12(3)), which may influence procurement decisions.
• Licensed estate agents who supervise agent’s representatives: an agent’s representative must inform a client that the licensed estate agent has dispute procedures (regulation 21(2)), and the licensed estate agent’s obligations can bind the representative in practice.

Who decides and who pays:

• Principals decide the scope of engagement by giving lawful instructions; agents must act in accordance with those instructions subject to the Regulations (regulation 9). Landlords can instruct against specific actions in property management settings, which affects whether the agent must act on maintenance requests (regulation 18(2)(a)-(b)).
• Agents and licensed estate agents decide their internal processes for compliance: they must maintain written dispute resolution procedures (regulation 20) and make them accessible at specified times and places (regulation 20(2)(c)). Agents choose whether to give clear written advice when there is a risk of multiple commissions (regulation 8(2)).
• The costs of compliance fall on estate agents and agent’s representatives: drafting and maintaining dispute procedures, training staff to maintain a “working knowledge” of the Act and other relevant laws (regulation 6), recordkeeping and producing written disclosures, maintaining complaint channels that do not “unreasonably restrict” complainants, and procedural obligations in property management (regulation 18).

Relative distribution of benefits and burdens:

• The Regulations concentrate obligations on agents and representatives to protect principals and third parties by mandating disclosure, prohibiting certain commission arrangements and requiring responsive property management. The parties who benefit from those protections are many (principals, tenants, the public reputation of the industry) while the costs,in staff time, recordkeeping, potential foregone commissions, are concentrated on the regulated agents and principals who must fund and implement the compliance systems.

Administrative or supervisory actors are not named in the Regulations. The instrument itself is silent on penalty provisions or the enforcement agency; the Regulations are made under the Estate Agents Act 1980 (regulation 2), so enforcement mechanisms and sanctions must be sought in the parent Act.

The Regulations set out a catalogue of duties that structure ordinary agent behaviour and some limited affirmative rights for principals and third parties. Below are the principal duties and their mechanics with specific cross‑references.

Duties to know the law (regulation 6)

• Estate agents and agent’s representatives must have a “working knowledge” of the Estate Agents Act, these Regulations and “any other laws relevant to the functions performed”. This is a general due‑diligence obligation that operates as a baseline standard for professional competence.

Confidentiality (regulation 7)

• Agents must not use or disclose confidential information obtained while acting for a principal unless authorised by the principal or required by law. The duty is broadly framed; it creates a default prohibition with two exceptions.

Prohibitions and disclosure on commissions (regulation 8)

• Regulation 8(1) establishes categorical prohibitions against accepting commission from the counterparty where an agent is engaged to act for one side: for example, an agent engaged to purchase must not accept commission from the seller, and similarly for sales and lettings. The list in 8(1)(a)-(d) covers principal buyer/seller/landlord/tenant relationships.
• Regulation 8(2) addresses the risk that a person may become liable to pay commission to more than one agent. An estate agent (or agent’s representative via the licensed estate agent) must not induce a person to enter such a contract unless the agent has given clear written advice of the potential double commission liability. This creates a disclosure requirement in situations where the agent’s conduct could create overlapping commission liabilities.

Acting in accordance with instructions and in best interests (regulations 9 and 11)

• Agents must follow lawful instructions of principals unless doing so would be contrary to “good conduct” (regulation 9) or would be unlawful, unreasonable, improper or contrary to instructions (regulation 11). These provisions set a conditional duty to obey instructions while retaining a professional check against instructions that would breach broader standards.

Honesty and non‑misleading conduct (regulation 10)

• Agents must act fairly, honestly and in good faith to the best of their knowledge and ability (regulation 10(1)).
• Additional prohibitions are specific: do not mislead a tenant about a landlord’s instructions (regulation 10(2)) and do not mislead a purchaser about a seller’s instructions (regulation 10(3)).

Conflict of interest and supplier disclosure (regulation 12)

• Estate agents and agent’s representatives must not accept engagements that would place their interests in conflict with those of the person (regulation 12(1)-(2)).
• Where a supplier is recommended, the recommending party must disclose any personal or commercial relationship with the supplier: in the case of estate agents, the agent must disclose any such relationship related to either the agent or the agent’s representative (regulation 12(3)(a)); in the case of an agent’s representative, the agent’s representative must disclose relationships involving themselves, the licensed estate agent for whom they act, and the supplier (regulation 12(3)(b)).

Standards of practice and timeliness (regulation 13)

• Exercise all due skill, care and diligence in performing functions (regulation 13(1)).
• Avoid unprofessional conduct and conduct detrimental to the industry’s reputation (regulation 13(2)).
• Complete work on behalf of a principal “as soon as is reasonably possible” (regulation 13(3)).
• Be timely and courteous (regulation 13(4)).
• Notification duties for tenancy breaches and for missing deposits in sales contracts (regulation 13(5)-(6)).

Reasonable enquiries (regulation 15)

• Agents must make all reasonable enquiries to ascertain information relevant to the service or transaction to be provided or performed. This is a duty of investigation and verification tied to the agent’s functions.

Communication of offers and auction rules (regulations 16-17)

• Unless otherwise instructed in writing by the principal, an agent must communicate all offers (verbal or written) to the principal “as soon as possible” (regulation 16(1)). If the principal has given written instructions not to be informed of an offer, the agent must notify the person who made the offer that it will not be submitted (regulation 16(2)).
• Post‑auction bids: regulation 17 forbids communicating any bid or offer made after a property has been knocked down at public auction, unless the vendor or successful bidder refuses to sign the contract following the auction. This limits post‑auction negotiations being communicated during that narrow window.

Residential maintenance and repair obligations (regulation 18)

• Where an agent manages residential rental property and the engagement includes maintenance, the agent must promptly respond to and, subject to the landlord’s lawful instructions, attend to tenant requests (regulation 18(2)(a)) and must notify tenants of the landlord’s response (regulation 18(2)(b)).
• If the landlord instructs that maintenance not be carried out, the agent must inform the landlord if that failure would constitute a breach of a tenancy agreement or the Residential Tenancies Act 1997 (regulation 18(3)(a)-(b)).

Buyer’s agent information duties (regulation 19)

• When acting for a purchaser as a buyer’s agent, the agent must keep the purchaser informed of each stage of negotiation of the purchase price, “as instructed by the purchaser.” That qualifies the communication obligation by purchaser instruction.

Complaints and dispute resolution duties (regulations 20-21)

• Estate agents must maintain written procedures for resolving complaints and disputes that identify the position title of the person(s) to whom complaints can be given, provide contact details, specify times and places for lodging complaints that do not unreasonably restrict access, and detail the dispute resolution procedure (regulation 20(1)-(2)).
• An estate agent must advise a person that they have dispute procedures at prescribed times around engagement or tenancy agreements (regulation 21(1)). Agent’s representatives must advise persons that the licensed estate agent has procedures for resolving complaints (regulation 21(2)). If a complaint is made, the agent or agent’s representative must inform the complainant of the relevant procedures as soon as possible after the complaint is made (regulation 21(3)). Agents must make every effort to minimise and resolve complaints relating to performance (regulation 21(4)).

Rights and protections for principals and third parties are implied through these duties: the right to be informed of offers unless the principal opts out in writing (regulation 16), the right to disclosure of conflicts and supplier relationships (regulation 12), the right to have agents respond to maintenance requests and be informed of landlord decisions (regulation 18), and the right to access dispute resolution procedures (regulations 20-21).

The Regulations set minimum professional conduct standards. The text does not set out private enforcement mechanisms or remedies (for example, damages or direct consumer remedies) within the Regulations themselves; enforcement and sanctions are left to the Estate Agents Act 1980 or other applicable laws.

The Regulations themselves do not specify penalties, fines or detailed enforcement procedures within their text. They are subordinate legislation made under section 99 of the Estate Agents Act 1980 (regulation 2), and they prescribe mandatory duties and prohibitions rather than enumerate civil penalties or criminal offences. From the text provided:

• No regulation in the instrument sets out monetary fines, criminal offences, administrative penalty regimes or explicit civil remedies for breaches of the Regulations.
• The instrument therefore functions as a set of enforceable standards under the authority granted by the Estate Agents Act 1980; the Act is the proximate legal source for enforcement powers, licensing consequences and disciplinary processes. Practitioners and compliance officers must refer to the Estate Agents Act 1980 for the regulatory and disciplinary enforcement framework that applies where these Regulations are breached.

Enforcement actors and mechanisms are not named in these Regulations. The Regulations require behaviours (for example, communication of offers, confidentiality, disclosure of supplier relationships, maintenance responsiveness, keeping dispute resolution procedures) that can be used as bases for supervisory or disciplinary findings by the relevant regulator identified in the Estate Agents Act 1980 or for contractual or tortious claims in courts or tribunals, depending on the facts and legal pathways available under other laws. The Regulations themselves do require recordable actions (written procedures, written advice, written instructions about offers), which create documentary trails that can be used in investigations or disputes.

Other enforcement‑relevant features in the instrument:

• Prescriptive documentation duties (clear written advice when potential double commission liability exists, written dispute resolution procedures, written instruction exceptions for offers) will produce documentary evidence that could be material in enforcement or disciplinary proceedings.
• The confidentiality rule in regulation 7 includes an express carve‑out where disclosure is “required by law”, which signals interaction with subpoenas, statutory reporting obligations or other compulsory processes outside the Regulations.

Implementation and compliance risk for practitioners:

• Because the Regulations do not set out sanctions, practitioners face the risk that breaches will be pursued through the Estate Agents Act 1980 or other legal avenues; the cost of non‑compliance may therefore include licence discipline, reputational damage, contract liability and, depending on the Act, statutory penalties. The Regulations create multiple documentary obligations that will be assessed in any enforcement context.

Sunset and changeability:

• The endnotes state the Regulations will sunset ten years after the day of making on 1 May 2028 under the Subordinate Legislation Act 1994, which creates a statutory horizon for review and potential re‑enactment or amendment (Endnotes, General information). That sunset date may affect enforcement priorities, guidance issuance, or the regulator’s approach to transitional compliance as the expiry approaches.

In short, the Regulations impose duties and provide documentary mechanisms for evidence, but leave the specific enforcement powers, sanctions and procedural remedies to the Estate Agents Act 1980 and other laws. Practitioners should therefore map these Regulations onto the enforcement framework in the parent Act and any other statutory or tribunal mechanisms applicable in Victoria.

The Regulations are expressly linked to and operate in the legal environment of the Estate Agents Act 1980 and other statutes. The instrument is made under section 99 of the Estate Agents Act 1980 (regulation 2), so the Regulations must be read and applied in the context of that Act. Several explicit cross‑references and implied interactions appear in the text and endnotes:

Express cross‑references

• Estate Agents Act 1980: regulation 2 identifies the Estate Agents Act 1980 as the authorising provision. The Regulations therefore operate as subordinate legislation under that Act; enforcement, licensing, and disciplinary consequences for failing to meet the Regulations’ standards are matters for the principal Act and its enforcement mechanisms.
• Residential Tenancies Act 1997: regulation 18(3)(b) requires an agent or agent’s representative to inform a landlord if the landlord’s failure to carry out maintenance or repairs would constitute a breach of “the Residential Tenancies Act 1997”. That is an explicit statutory cross‑check: the Regulations do not define tenancy standards themselves but require agents to assess landlord instructions against the tenure law, and to notify landlords where compliance failure would contravene the Residential Tenancies Act.
• Subordinate Legislation Act 1994: endnotes note the Regulations will sunset ten years after making under the Subordinate Legislation Act 1994, tying the Regulations to the lifecycle rules for subordinate legislation in Victoria.
• Interpretation of Legislation Act 1984 (ILA): the endnotes also discuss style changes and interpretive consequences under the ILA, indicating that headings, notes and punctuation in the Statutory Rule form part of the instrument as authorised under section 54A of ILA and related provisions.

Implied interactions and areas for legal cross‑checking

• Confidentiality versus statutory disclosure obligations: regulation 7 prohibits use or disclosure of confidential information except where authorised by the principal or required by law. That carve‑out imports any statutory reporting or disclosure obligations under other legislation (for example, taxation law, anti‑money‑laundering reporting, court subpoenas). Agents must therefore map confidentiality duties against any mandatory disclosure duties in other statutes.
• Consumer protection and misleading or deceptive conduct: regulation 10(1)-(3) imposes duties of fairness and honesty and forbids misleading purchasers or tenants about principals’ instructions. While the Regulations cannot displace consumer protection laws or competition law, the fairness/honesty duties will interact with other statutory prohibitions on misleading conduct; practitioners should therefore consider the overlap with consumer protection and fair trading legislation where applicable, though that interaction is not explicitly spelled out in the Regulations.
• Contract law consequences: duties such as making “all reasonable enquiries” (regulation 15) and the obligation to inform a seller if a deposit has not been received contrary to contract (regulation 13(6)) can have contractual consequences. Agents’ failures to meet these duties might give rise to contractual claims from principals or third parties depending on the contractual arrangements and the Act’s supervisory regime.
• Evidence and procedure in disputes and litigation: documentary duties (written dispute procedures, written advice about multiple commissions, written instructions not to inform principals of offers) create records that will be relevant in any tribunal or court that adjudicates complaints or disciplinary matters. The Regulations themselves provide the substantive standards; tribunals will typically rely on the Estate Agents Act 1980 and other procedural statutes to impose sanctions where breaches occur.

Limits to interaction in the text

• The Regulations do not set out enforcement or sanctioning mechanisms within the instrument; thus, while they prescribe behavioural standards, the legal consequences of breaches and the administrative procedures for enforcement are to be found in the Estate Agents Act 1980 and other applicable laws.
• The Regulations require agents to have “working knowledge” of “any other laws relevant to the functions performed” (regulation 6(b)), which is an open‑ended directive that requires agents and their compliance advisers to identify and stay current with the legal framework that intersects with estate agency work.

Operational implication for compliance teams and lawyers: read these Regulations in tandem with the Estate Agents Act 1980, the Residential Tenancies Act 1997 and any consumer protection laws or other statutory regimes that apply to estate agency activities. The Regulations set substantive expectations and procedural recordkeeping that will be tested under the enforcement and civil frameworks supplied by other statutes.

The Regulations record no substantive amendments as at the version in the text. The Table of Amendments and “Amendments Not in Operation” sections in the endnotes confirm the following:

• There are no amendments made to the Estate Agents (Professional Conduct) Regulations 2018 by statutory rules, subordinate instruments or Acts as of the version printed (Endnotes, Table of Amendments).
• There are no amendments not in operation at the date of publication (Endnotes, Amendments Not in Operation).
• The 2018 Regulations revoke the previous Estate Agents (Professional Conduct) Regulations 2008 (regulation 4). The Explanatory details note that reg 4 references S.R. No. 46/2008. The 2018 instrument therefore replaced the 2008 instrument entirely upon commencement (regulation 3).

Timing and lifecycle

• The Regulations were made on 1 May 2018 and came into operation on 26 May 2018 (Endnotes, General information). The endnotes state the Regulations will sunset ten years after the day of making on 1 May 2028 under section 5 of the Subordinate Legislation Act 1994 (Endnotes, General information). That sunset provision is a lifecycle control of subordinate legislation in Victoria and signals that, unless remade or extended, the instrument will lapse in 2028.

Style and interpretive amendments

• The endnotes include a note on the Interpretation of Legislation Act 1984 (ILA) and style changes permitted under section 54A of the ILA, indicating that headings, notes, punctuation and other drafting features form part of the Statutory Rule as permitted by the ILA. Those are drafting/interpretive regime references rather than substantive amendments.

No amendment record means:

• Users of the instrument should treat the text as the operative set of professional conduct rules as enacted in 2018, without later statutory changes reflected in this printed instrument. Practitioners and compliance teams should nevertheless confirm there have been no subsequent amendments post‑publication if relying on the Regs for compliance or enforcement matters.

Transitional provisions

• The Regulations repeal the 2008 Regulations but do not themselves contain express transitional provisions or savings clauses in the text provided. The revocation is expressed simply in regulation 4. Where transitional arrangements might be necessary (for example, to handle engagements entered under the earlier regime), interested parties must look to the Estate Agents Act 1980, any commencement notices, or other instruments or guidance for transitional rules; the Regulations as printed do not provide transitional detail.

In sum, the instrument was freshly enacted in 2018, revoked the 2008 regulations, has no recorded amendments in the provided text, and is slated to sunset in 2028 unless remade or extended.

The printed Regulations do not include, reference or summarise any litigation history. There are no cases named in the instrument and no judicial decisions mentioned in the endnotes or explanatory details. The instrument therefore contains no internal record of litigation arising under these Regulations.

Practical implications of that absence:

• The Regulations themselves present normative and procedural rules but do not summarise how tribunals or courts have interpreted them. Any interpretive or enforcement authorities, legal precedents, tribunal determinations, disciplinary findings, are not contained in this instrument and must be sought elsewhere, notably in decisions under the Estate Agents Act 1980 or in tribunal or court databases.
• Because the Regulations create duties expressed in general language (for example, “working knowledge” (regulation 6), “as soon as is reasonably possible” (regulation 13(3)), “promptly” (regulation 18(2)), and “make all reasonable enquiries” (regulation 15)), practical contours of those phrases will likely arise through regulatory decisions or case law over time. The Regulations do not provide interpretive guidance on those standards.

What to do to locate litigation and interpretive guidance

• To understand how these Regulations are applied in disputes and disciplinary proceedings, practitioners should review decisions under the Estate Agents Act 1980 and any tribunal determinations or court decisions that cite these Regulations. The Regulations themselves are silent on enforcement processes and therefore the litigation record concerning their operation will be found in external adjudicative sources.
• Compliance advisers should monitor decisions of the regulator under the Estate Agents Act 1980 and determinations from relevant tribunals or courts for guidance on ambiguous terms and for examples of factual scenarios that led to sanctions or findings.

In short, no litigation history is recorded in the instrument provided. Understanding how the duties in the Regulations are applied in practice therefore requires reference to external adjudicative sources and the parent Act’s enforcement records.

The Regulations contain several provisions that create practical traps for estate agents and agent’s representatives if they are not implemented as written. The following are concrete items to watch for, grounded in the text and with the mechanism of risk explained.

1. Commission prohibitions and the “double commission” disclosure trap (regulation 8)

• Regulation 8(1) prohibits accepting commission from the counterparty when the agent is engaged for a purchaser, seller, landlord or prospective tenant. Agents must ensure their internal fee flows prohibit the receipt of commission from the other side in those circumstances. Failure to do so could mean a breach even where the agent treats the payment as unrelated.
• Regulation 8(2) prohibits inducing a person to enter into a contract that could make them liable to pay commission to more than one agent without giving clear written advice of that potential liability. The “induce” element is broad: agents must not structure negotiations or contracting steps that produce overlapping commission liability unless they provide the mandated written warning. The “clear written advice” standard is prescriptive; a verbal warning or an obscure clause in standard terms is likely insufficient.

2. Written instruction carve‑out for offers (regulation 16)

• Agents must communicate all offers to a principal unless the principal instructs in writing not to be informed (regulation 16(1)). If the agent follows a principal’s written instruction not to inform, the agent must inform the offeror that the offer will not be submitted (regulation 16(2)). Two risks arise: (a) agents who fail to obtain or retain the principal’s written instruction risk failing to communicate offers, and (b) agents who neglect to inform the offeror when they have withheld the offer expose themselves to a separate requirement breach. Proper documentation of written instructions and of the offeror notification is therefore essential.

3. Auction post‑knockdown communications (regulation 17)

• Regulation 17 forbids communicating any bid or offer made after a property has been knocked down at public auction, unless the vendor or successful bidder refuses to sign the contract following the auction. This is narrower than a general “no post‑auction bidding” rule: agents should not communicate post‑knockdown offers to any person unless one of the specified circumstances (refusal to sign) occurs. That limitation may be counterintuitive in markets where post‑auction negotiation is common; agents must be careful about communications after a sale is knocked down.

4. Maintenance obligations versus landlord instructions (regulation 18)

• Regulation 18(2)(a) requires prompt response and, “subject to the lawful instructions of the landlord,” attendance to maintenance requests. However, regulation 18(3) requires agents to inform the landlord if the landlord’s instruction not to carry out maintenance would constitute a breach of a tenancy agreement or the Residential Tenancies Act 1997. Practically, that places the agent in a position where they must both respect lawful landlord instructions and proactively identify when those instructions would contravene tenancy law. Agents need processes to assess tenancy law compliance quickly and to document advice to landlords.

5. “Working knowledge” and other vague standards (regulations 6, 13(3), 18(2))

• Terms such as “working knowledge” (regulation 6), “as soon as is reasonably possible” (regulation 13(3)), and “promptly” (regulation 18(2)) are inherently fact‑specific. They impose open‑ended standards that can be applied against agents in enforcement or dispute scenarios. Agents must translate these into documented internal policies and training so that “working knowledge” and promptness can be demonstrated.

6. Disclosure obligations when recommending suppliers (regulation 12(3))

• Agents must disclose personal or commercial relationships with recommended suppliers. The scope of “personal or commercial relationship” is not defined in the Regulations, creating a potential grey area about whether de minimis relationships must be disclosed. Best practice is to disclose potential conflicts proactively and document the disclosure.

7. Dispute resolution procedures and “not unreasonably restrict” (regulations 20-21)

• Regulation 20(2)(c) requires complaint lodgement times and places that “must not unreasonably restrict the ability of complainants to give that notice.” What is “unreasonable” will be context dependent. Agents must ensure accessibility, multiple contact channels, reasonable office hours, and reasonable physical or electronic access,to reduce the risk that a complaint handling process will be found non‑compliant.

8. Agent’s representative notification duties (regulation 21)

• Agent’s representatives must advise that the licensed estate agent has procedures for resolving complaints (regulation 21(2)). Failure to do so at the required times (for example, before obtaining a signed engagement or tenancy agreement, or as soon as possible after obtaining same) can give rise to a technical breach. Agents should incorporate this into standard engagement checklists and scripts.

9. The Regulations do not provide penalties within their text

• The absence of explicit penalties in these Regulations might mislead some into thinking that breaches have no consequences. Enforcement and sanctions are to be found in the Estate Agents Act 1980, so agents who think these are mere guidance rules will be exposed to regulatory or disciplinary consequences under the parent Act.

10. Revocation of previous Regulations and no transitional text (regulation 4)

• The 2018 Regulations revoke the 2008 Regulations effective on commencement (regulation 4). The instrument contains no transitional provisions. Agents should check whether any transitional guidance was provided by the regulator or in the parent Act to avoid compliance gaps during the changeover.

Each “gotcha” is a potential compliance failure that arises from the particular wording of the Regulations. Remediation measures are largely documentary and procedural: obtain and retain written instructions, issue clear written disclosures where required, maintain robust complaint procedures, and train staff on the “working knowledge” and promptness standards.

Practitioners, compliance officers and licensed estate agencies must convert the Regulations’ textual duties into practical systems. Below are concrete, source‑grounded compliance steps mapped to specific regulations.

1. Regulatory mapping and legal baseline (regulation 6)

• Produce and maintain a compliance manual that documents the Estate Agents Act 1980, the Estate Agents (Professional Conduct) Regulations 2018 and other laws relevant to estate agency functions (regulation 6). Assign responsibility for keeping that manual current and for training staff. Evidence of a continuing professional development program or internal training logs will help demonstrate “working knowledge”.

2. Confidentiality protocols (regulation 7)

• Adopt a written confidentiality policy that defines what constitutes confidential information, outlines permitted disclosures, and documents principal authorisations. Maintain a register of disclosure requests made pursuant to legal compulsion and ensure responses are recorded. Train staff to refuse or escalate requests that do not have documented principal authorisation or legal compulsion.

3. Commission handling and disclosure (regulation 8)

• Implement an accounting and receipt policy preventing acceptance of commission from a counterparty when you are engaged on the other side (8(1)). Require written pre‑clearance for any commission offers and maintain a log of payments and their justification.
• Prepare a standard form “clear written advice” template to use when there is any risk that a person might become liable to pay more than one commission (8(2)). Embed a review step in transactional workflows so that the form is generated and signed before inducing a person to enter into relevant contracts.

4. Engagement instructions and acting in principal’s best interests (regulations 9 and 11)

• Document client instructions and ensure they are lawful and consistent with good professional conduct. Maintain a written rule that forbids acting on instructions that would be unlawful, unreasonable, improper or contrary to the principal’s instructions as defined by the Regulations. Have escalation procedures where an instruction is potentially problematic.

5. Honesty and non‑misleading conduct (regulation 10)

• Create scripts and written guidance for communications with tenants and purchasers that ensure staff do not mislead about principals’ instructions. Keep contemporaneous records of instructions and communications so statements can be verified.

6. Conflict checks and supplier disclosure (regulation 12)

• Maintain a conflict‑of‑interest register that is checked at the start of every engagement and when recommending suppliers. Use a supplier disclosure template that records any personal or commercial relationship and provides that disclosure to the principal in writing prior to procurement or recommendation.

7. Due care, timeliness and completion (regulation 13)

• Establish service standard metrics (response times, completion time targets) and retain evidence of compliance. For tenancy management, implement an incident log for tenancy breaches and ensure landlords receive prompt notification unless a written landlord instruction states otherwise.
• For sales, create a deposit receipt and verification checklist; if a contract is entered into and a deposit has not been received contrary to the contract, notify the seller immediately (regulation 13(6)).

8. Reasonable enquiries (regulation 15)

• Create transaction checklists that record the enquiries made relevant to a service or transaction. File evidence of enquiries (emails, title searches, council enquiries, vendor warranty checks) in transaction records to demonstrate compliance with the “make all reasonable enquiries” duty.

9. Communication of offers and auction handling (regulations 16-17)

• Implement an offers register that records every offer received (verbal and written), the date and time it was received, and the date/time it was communicated to the principal. If a principal instructs in writing not to be informed, retain that written instruction and a copy of the notification to the offeror that the offer will not be submitted (regulation 16(2)). Train staff on the auction post‑knockdown rule and create an auction‑day procedure that prevents post‑knockdown offer communications except where the vendor or successful bidder refuses to sign (regulation 17).

10. Maintenance and repair processes for residential properties (regulation 18)

• For agents managing residential rental properties, adopt a maintenance request intake system (phone, email, online portal) that timestamps requests and tracks actions. Build steps to notify tenants of landlords’ responses and to escalate landlord refusals for legal assessment if the landlord instructs not to carry out the maintenance. Keep a written record where the agent advises the landlord that failure to carry out maintenance would breach the tenancy agreement or Residential Tenancies Act 1997.

11. Buyer’s agent communications (regulation 19)

• Where acting as a buyer’s agent, require written instructions from the purchaser about the frequency and content of negotiation updates, and record each stage of negotiation communication in the file. The duty to keep the purchaser informed of each stage is qualified by “as instructed by the purchaser”; use standard engagement letters to set the purchaser’s instruction about communication frequency.

12. Complaints and dispute resolution procedures (regulations 20-21)

• Draft and publish a written dispute resolution procedure that includes the position title of the contact person(s), contact details, accessible times and places for lodging complaints that do not “unreasonably restrict” access, and the steps in the dispute resolution process (regulation 20(2)(a)-(d)). Make the procedure available in offices and online.
• Incorporate advising steps into onboarding scripts: advise a person that the estate agent has dispute procedures before or as soon as possible after obtaining a signed engagement or tenancy agreement (regulation 21(1)). Ensure agent’s representatives advise clients that the licensed estate agent has procedures for resolving complaints (regulation 21(2)). If a complaint is made, inform the complainant of the procedures immediately (regulation 21(3)). Maintain a complaints register and evidence of attempts to minimise and resolve disputes (regulation 21(4)).

13. Recordkeeping and audit trail

• For every duty that requires written action or communication, keep contemporaneous records: written advice about commissions, written principal instructions, notifications to offerors, supplier disclosure forms, maintenance request logs and dispute resolution records. A robust audit trail both facilitates internal compliance and provides defence evidence in any enforcement or dispute process.

14. Training and monitoring

• Provide recurring training on: the working knowledge requirements (regulation 6), confidentiality (regulation 7), commission rules (regulation 8), and the dispute and complaints procedures (regulations 20-21). Conduct periodic internal compliance audits to confirm that offers are being communicated as required, that supplier relationships are disclosed, and that maintenance requests are handled and documented in line with regulation 18.

15. Governance and escalation

• Designate a compliance officer responsible for these Regulations and for keeping the compliance manual current with the Estate Agents Act 1980 and the Residential Tenancies Act 1997 as relevant. Escalate ambiguous matters (for example, whether a landlord instruction is lawful or whether a relationship constitutes a required supplier disclosure) to legal counsel and document advice.

Operationalising these steps will distribute the costs of compliance across written policies, staff training, recordkeeping systems and supervision. The Regulations demand a mixture of prohibitory actions and documentary practices; compliance programs should therefore emphasise prevention (e.g., block certain commission receipts) and evidence (document disclosures, written advice and complaint handling).
