Essential Services Commission (Energy Industry Penalty Regime) Regulations 2016

The Regulations target licensed participants in Victoria's energy sector. The classes of person that are directly exposed are:

• electricity retail licence holders and gas retail licence holders. Many Schedule items (Tables 1, 2, 3, 4, 5, 6, 7, 9, 10 and 11) expressly identify an "electricity retail licence condition or gas retail licence condition requiring the licensee to comply with the Energy Retail Code" as the prescribed licence condition. The term "relevant customer" is defined by reference to the retail licences in regulation 4. Retailers therefore face contravention risk for failures to meet Energy Retail Code clauses and for contractual failures where contracts incorporate or expressly deal with the code matters (regulation 4 and Schedule 1).

• electricity distribution licence holders and gas distribution licence holders. The Schedule lists electricity distribution licence conditions requiring compliance with the Electricity Distribution Code (Tables 2, 3, 8) and gas distribution licence conditions requiring compliance with the Gas Distribution System Code (Tables 8 and the definitions in regulation 4). Distribution businesses therefore face contraventions tied to distribution-code obligations such as guaranteed service levels and obligations to life support customers.

• parties who draft and operate retail contracts. The Schedule treats failure to comply with contractual terms as a separate route to contravention where the contract either incorporates by reference relevant code clauses, or expressly deals with the subject matter of those clauses (see, for example, Table 2 items 3-4, Table 3 items 3-4, Table 6 items 2-3, Table 10 items 3-4). That means in-house counsel, contract managers and third party contract providers have exposure where contractual wording creates statutoryised obligations.

• businesses with obligations under the AMI Tariffs Order or the statutory sections deemed to be licence conditions under the Electricity Industry Act 2000 and the Gas Industry Act 2001. Table 9 explicitly captures contraventions relating to the price comparator website by reference to the AMI Tariffs Order and to sections of the Electricity Industry Act and Gas Industry Act which are treated as deemed licence conditions.

Who pays. The monetary penalties are fixed statutory amounts payable for a contravention. The Regulations set reduced amounts for many contraventions but do not change the identity of the payor: the licence-holder who has contravened the prescribed condition will be the party exposed to an "energy industry penalty" in the statutory enforcement under the Act. The Regulations do not authorise different taxpayers to bear the cost, nor do they offer exemptions in the text; they simply specify which contraventions exist and the reduced amounts applicable for particular contraventions (regulations 5 and 5A-11; Schedule 1).

Who decides. The Regulations do not themselves create an adjudicative or enforcement body. They operate to specify contraventions and monetary amounts for the purposes of the Act. • Fixed penalty quantums. The Regulations apply a fixed-entry penalty approach. Rather than an open or proportional penalty, contraventions trigger prescribed fixed monetary penalties mapped to each item and paragraph. The Act retains a default $20 000 amount for an energy industry penalty under s 54I(1), and the Regulations specify lesser preset amounts for many contraventions (Note to reg 5; regs 5A, 6-11). Where the Regulations do not prescribe a lesser amount for a particular contravention in Schedule 1, the $20 000 default remains.

  • If a contravention in Schedule 1 is not covered by a prescribed lesser amount, then the default statutory amount of $20 000 applies under s 54I(1) of the Act (Note to reg 5).

• Essential Services Commission Act 2001. The Regulations are made under s 65 of the Act (regulation 2) and are expressly intended to operate for the purposes of the definition of "energy industry contravention" in s 54F and the quantum provision in s 54I(1). The Regulations were made on 24 May 2016 under s 65 of the Essential Services Commission Act 2001 and commenced operation on 1 June 2016 (regulation 3; Endnotes). The published version incorporated amendments as at 4 December 2019. The Endnotes and Table of Amendments record the following principal amendment event.

• Essential Services Commission (Energy Industry Penalty Regime) Amendment Regulations 2019, S.R. No. 128/2019. Date of making 3 December 2019; date of commencement 4 December 2019 (Endnotes, Table of Amendments). That amendment substituted Schedule 1 with a new Table 1 and inserted regulation 5A among other changes. The Schedule to these Regulations as published therefore reflects the post-2019 structure.

The Endnotes also record standard interpretive notes under the Interpretation of Legislation Act 1984 and that the instrument will sunset ten years after the day of making, namely on 24 May 2026 under s 5 of the Subordinate Legislation Act 1994. The instrument therefore has a statutory expiry date unless remade or extended.

1. Dynamic linkage to other instruments. The Regulations point to the Energy Retail Code, Electricity Distribution Code, Gas Distribution System Code and the AMI Tariffs Order as the source of the substantive obligations (regulation 4; Schedule 1). Those instruments are "published and amended from time to time by the Commission". Build and maintain a register that lists every Schedule 1 Table item and paragraph, the underlying code clause or statutory section it references, the prescribed penalty amount (per regs 5A and 6-11 where applicable, otherwise $20 000), and operational owners. The Schedule is granular: for example Table 1 item 1 contains many clause references with differing penalty amounts under reg 5A(1). Map to paragraph letters, not just to table items.

2. Monitor versions of the underlying Codes and Orders. The Regulations define the Energy Retail Code, the Electricity Distribution Code and the Gas Distribution System Code as being "published and amended from time to time by the Commission" (regulation 4). Establish a formal change-control process that captures Commission code amendments and updates the compliance register within 24-48 hours of an amendment being published. Also monitor the AMI Tariffs Order and the Electricity and Gas Acts for changes to statutory sections that the Schedule treats as deemed licence conditions.

3. Audit contracts and contract formation processes. Because the Schedule treats contractual terms that incorporate or expressly mirror code obligations as separate routes to contravention, perform a contract audit focusing on:

   • clauses that incorporate code provisions by reference, ensuring that the referenced provisions are correctly cited and that operational processes can satisfy the incorporated obligations;
   • express clauses that cover the same subject matter as the codes, checking wording and operational implications;
   • customer-facing documents, standard form terms and sales scripts that may create implied or express obligations.

4. Map IT and operational systems to clause requirements. Many contraventions are operational: billing practices (Tables 6 and 7), availability of payment options such as Centrepay (Table 1 item 5), record formats and retained information (Table 10). For each clause listed in the Schedule, document the systems and data fields required to show compliance. For record keeping clauses such as clause 3D(1) and 3D(2) of the Energy Retail Code, ensure storage formats and export functionality capture required data fields.

5. Implement customer-facing operational controls. Clauses governing life support customers, explicit informed consent, access to interpreters and payment difficulty protections require trained staff, scripted procedures and escalation paths. For example, clauses referenced in Table 2 and Table 3 place strict obligations on distribution and retail businesses. Ensure training, documented procedures and audit trails that capture interactions and decisions.

6. Test price comparator and data submission processes. Table 9 includes obligations tied to the AMI Tariffs Order and to statutory sections dealing with price comparator websites. Ensure that any data submitted to the comparator or any published tariffs are accurate, up-to-date, and that processes exist to verify compliance with clause-level requirements (for instance clause 11 and clause 12 of the AMI Tariffs Order as listed in Table 9).

7. Build incident response and remediation playbooks. Because a single operational incident may trigger multiple contraventions, create a remediation playbook that:

   • identifies the constellation of clause breaches that may arise from the incident;
   • logs affected customers and the legal contraventions implicated;
   • documents immediate remedial steps and prospective communications;
   • records evidence of prompt remedial conduct for the Commission, recognising the Regulations do not set procedural mitigation rules but that such evidence is likely relevant under the Act.

8. Maintain a reporting line to legal and regulatory counsel. Given that the Regulations interact with multiple external instruments, ensure senior regulatory counsel or external specialists review incidents that could give rise to contraventions. The Regulations prescribe fixed amounts and do not set negotiation pathways; timely legal advice ensures considered responses and evidence collection.

9. Consider insurance and commercial mitigation. Although the Regulations do not address indemnity or insurance, commercial teams should review insurance policies and supplier contracts to determine whether regulatory penalties are covered or whether supplier breaches could shift exposure.

10. Keep a lookout for the sunset and for remakings. The Regulations will sunset on 24 May 2026 unless remade (Endnotes). As that date approaches, plan for potential remaking or replacement and for any transitional measures that the Commission or government might consult on.

11. Document governance, oversight and evidence trails. The Regulations are prescriptive about clause-level failures; in any enforcement context the existence of documented compliance policies, training records, system logs and remediation steps will be practically important. Ensure record retention meets clause 3D(1) and clause 3D(2) requirements where those clauses are referenced in Table 10.

These compliance steps follow from the Regulations’ form: the instrument maps contraventions to code clauses and to contract obligations and prescribes fixed penalty amounts for many of them. Robust compliance therefore requires operational controls, active monitoring of code and legislative amendments, careful contract drafting, and documentation sufficient to show compliance or to evidence prompt remediation where failures occur.
