#### 90 Resolutions without meetings
Agreement with resolution
(1) A resolution is taken to have been passed at a meeting of the ESRA Board if, without meeting, a sufficient number of ESRA Board members indicate agreement with a resolution in accordance with a method determined by the ESRA Board under subsection (2).
> Note: Sufficient number of ESRA Board members is defined by subsection (3).
Determinations
(2) Subsection (1) applies only if the ESRA Board:
(a) determines that it applies; and
(b) determines the method by which ESRA Board members are to indicate agreement with the resolution.
Sufficient number of ESRA Board members
(3) In this section:
> sufficient number of ESRA Board members, in relation to a resolution, means a majority of the number of ESRA Board members who would have been entitled to vote on the resolution at a meeting of the ESRA Board if they had been present at the meeting.
