Electronic Transactions (Victoria) Regulations 2020

The Regulations operate by negative definition: they remove the operation of specified provisions of the Electronic Transactions (Victoria) Act 2000 for certain transactions. The two provisions disapplied are described in the Regulations as section 7(1) and Division 2 of Part 2 of the Act (see regs 6-10). The instrument does not restate those provisions; it identifies precise subject-matter categories for which the statutory facilitation of electronic transactions is withheld.

Key conceptual features, as shown in the text, are:

• Objective-driven exemption: reg 1 states the objective is to provide exemptions from the application of the Act. The Regulations do not purport to amend the Act itself; they exercise subordinate power under the Act (reg 2).
• Targeted subject-matter approach: each regulation in regs 6-10 identifies a class of instruments, acts or requirements (wills and testamentary instruments; personal service; Transfer of Land approved forms to be lodged with the Registrar of Titles; signing/witnessing for Voluntary Assisted Dying Act; witnessing for advance care directives under the Medical Treatment Planning and Decisions Act) and disapplies electronic substitution for that class (regs 6-10).
• Dual references to provisions disapplied: the instrument disapplies both (a) s 7(1) of the Act and (b) Division 2 of Part 2 of the Act for the specified subject-matter. Each regulation mirrors that structure (for example reg 6(1) and reg 6(2)). The Regulations therefore remove both the single-provision effect (s 7(1)) and the broader Division 2 Part 2 effect for the listed transactions.
• Statutory lifecycle controls: commencement and revocation mechanics are explicit. The Regulations came into operation on 26 July 2020 (reg 3), revoke the 2010 Regulations (reg 4), and are subject to the Subordinate Legislation Act 1994 sunset regime as noted in the endnotes (10-year sunset to 7 July 2030).
• Amendment and insertion practice: the instrument records that regs 8-10 were inserted by S.R. No. 38/2021 (the 2021 amendment), with the table of amendments giving the date of making (20 April 2021) and commencement (26 April 2021). The Regulations’ structure and notes show an iterative approach to adding exemptions.

Conceptually, the Regulations operate not by prescribing alternative electronic methods nor by detailing the remaining physical/formal requirements. Instead they preserve the operative force of pre-existing non-electronic formalities by preventing the Electronic Transactions Act’s facilitative provisions from operating in the specified contexts. The Regulations therefore function as a choice-limiting instrument: for the named categories, the statutory option to substitute an electronic process (where that would follow from the Act) is removed.

The Regulations identify a discrete list of transactions, affected offices and classes of persons by subject-matter. The primary categories of affected parties are those who create, execute or revoke testamentary instruments; those whose transactions are required to be effected only by personal service; parties lodging approved Transfer of Land Act forms with the Registrar of Titles; persons engaging with the Voluntary Assisted Dying Act 2017 who must sign or witness particular documents; and persons making advance care directives under the Medical Treatment Planning and Decisions Act 2016 where witnessing is required (regs 6-10).

More specifically, the Regulations will bear on the following groups:

• Testators and their advisers: reg 6 exempts wills, codicils and other testamentary instruments from s 7(1) and Division 2 of Part 2 of the Act. That means parties involved in creating or revoking testamentary instruments cannot rely on those parts of the Electronic Transactions Act in those transactions, and must continue to observe the applicable non-electronic formalities set out elsewhere.
• Persons and businesses that rely on personal service mechanisms: reg 7 excludes from s 7(1) and Division 2 any transaction required to be effected only by personal service. Anyone who must deliver information or a document by personal service under another law or instrument will remain bound by that requirement because the Electronic Transactions Act’s facilitative measures do not apply to render electronic delivery sufficient.
• Land registry users and conveyancers: reg 8 specifically excludes from the operation of s 7(1) and Division 2 “any form approved under section 121 of the Transfer of Land Act 1958” that is to be submitted for lodgement with the Registrar of Titles. This affects those required to use prescribed forms for lodgement with the Registrar; reg 8 was added by S.R. No. 38/2021.
• Persons interacting with voluntary assisted dying processes: reg 9 excludes signing and witnessing requirements in the Voluntary Assisted Dying Act 2017 from the Electronic Transactions Act’s facilitation. That affects patients, medical practitioners, authorised witnesses, eligible persons and any other participant whose conduct is governed by signing or witnessing rules in that Act.
• Persons preparing advance care directives: reg 10 excludes witnessing requirements under the Medical Treatment Planning and Decisions Act 2016 for making an advance care directive. This affects individuals making advance care directives and those required to witness them.

Decision-makers and administrators affected include registrars and officials responsible for lodgement and acceptance processes (for example the Registrar of Titles, referenced in reg 8). The Regulations do not itself list enforcement agencies; however they interact with the statutory frameworks of the referenced Acts which contain the operative decision points and formal requirements that will remain binding for affected parties.

Who pays: the immediate burden falls on parties who would otherwise prefer to transact electronically for the exempted matters. Those parties must continue to comply with the existing non-electronic formalities in the underlying substantive Acts and instruments. The Regulations do not create new fees or penalties; they preserve the procedural or evidentiary costs associated with non-electronic compliance in the specified areas.

The Regulations do not impose new positive duties in the form of procedural steps. Instead they remove a statutory pathway to electronic substitution by declaring that two identified provisions of the Electronic Transactions Act do not apply to specified subject-matter (regs 6-10). The practical legal effect for duties and rights is therefore negative: parties lose the right to rely on those parts of the Electronic Transactions Act for the listed transactions and remain subject to the duties and formalities set out in the underlying legislation or instruments.

Primary duty-right effects drawn from the text:

• Loss of application of s 7(1) and Division 2 of Part 2 for listed items. Each exemption is framed as “Section 7(1) of the Act does not apply” and “Division 2 of Part 2 of the Act does not apply” to the specified matters (see regs 6-10). The Regulations therefore withdraw whatever rights to electronic delivery, signing or dispensation those parts of the Act might confer. The Regulations do not restate what parties must do instead. The relevant duties will continue to be those in the substantive Acts, instruments, rules or practices that govern the named transactions.
• Preservation of existing formal requirements. For the exempted subject-matter, parties retain whatever rights and obligations are provided under the laws or instruments referenced. For example, wills and other testamentary instruments remain subject to the formalities that attach to them under whatever law governs testamentary formalities (reg 6). Similarly, forms approved under s 121 of the Transfer of Land Act 1958 and lodged with the Registrar of Titles must comply with the relevant transfer of land requirements (reg 8).
• Specificity to signing, witnessing and service. The exemptions repeatedly refer to signing and witnessing requirements (regs 9-10) and to delivery by personal service (reg 7). Rights to use electronic signatures, electronic witnessing or electronic service under the Act are therefore not available in those contexts. The Regulations do not provide alternative electronic methods or create any statutory entitlement to substitute one form of non-electronic compliance for another.
• Administrative consequence for registrars and approving authorities. For approved forms under s 121 of the Transfer of Land Act, the Registrar of Titles’ lodgement processes remain governed by the Transfer of Land Act and the approved form regime, because those forms are exempt from the Act’s electronic substitution provisions (reg 8).

The Regulations therefore change the operative landscape of duties and rights by removing a permissive or facilitative legal mechanism (the parts of the Electronic Transactions Act) rather than by substituting new formal requirements. To determine the precise duties that apply and any specific rights that continue, practitioners must look to the substantive Acts and instruments named in the Regulations. The Regulations themselves state the preservation effect; they do not redesign the substantive duties.

The Regulations, as printed, do not create new offences, penalties or a separate enforcement regime. They operate by exemption: they disapply parts of the Electronic Transactions Act for specified transactions (regs 6-10). Because the instrument does not introduce penal provisions or enforcement mechanisms, any breach consequences arise from the substantive laws and instruments that continue to govern the exempted matters.

Practical enforcement implications derivable from the text:

• Enforcement continues to flow from the substantive Acts and instruments. For instance, if a will fails to meet the formal requirements that remain applicable, any legal consequences, invalidity or remedial questions derive from the law that governs wills, not from these Regulations. The Regulations do not create enforcement powers or penalties themselves (see reg 1 and regs 6-10).
• No express administrative sanctions or compliance notices are added by the Regulations. The text contains no express power for an administrative officer to act under the Regulations other than the ordinary operation of the procedural exemptions.
• Effect on evidentiary disputes. By withdrawing the application of the Electronic Transactions Act in specified contexts, the Regulations preserve the evidentiary and formal default rules that applied prior to the Act’s facilitative features. That means disputes about whether a particular electronic step counted as complying with a witnessing or service requirement will not be resolved by reference to s 7(1) or Division 2 of Part 2 of the Electronic Transactions Act for the exempted matters; the applicable standard will be the underlying law governing that transaction.
• No direct prosecutorial references: the Regulations do not name a prosecuting authority or set penalty levels. Any criminal, civil or administrative consequences that follow from non-compliance with the formalities of the referenced Acts remain governed by those Acts.

If parties require clarity about sanctioning or remedy for failing to comply with the non-electronic formalities, they will need to consult the substantive Acts named in the Regulations. The Regulations’ text is silent on enforcement mechanisms and penalties because it leaves enforcement to the bodies and law that originally governed the parliamentary or statutory formalities that the Regulations preserve.

The Regulations are expressly cross-referential. They are made under the Electronic Transactions (Victoria) Act 2000 (reg 2), and they identify other Acts in which the exemptions operate. The interaction is therefore one of preservation: the Regulations prevent parts of the Electronic Transactions Act from altering the operation of other statutory regimes for particular subject-matter.

Key points of statutory interaction from the text:

• Direct interaction with the Electronic Transactions Act. The Regulations modify the effective scope of the Electronic Transactions (Victoria) Act 2000 by removing the application of s 7(1) and Division 2 of Part 2 for specific transactions (regs 6-10). The Regulations do not amend the Act; the instrument uses powers conferred by s 6A and s 15 of that Act to make exemptions (reg 2).
• Interaction with the Transfer of Land Act 1958. Reg 8 disapplies the Electronic Transactions Act for “any form approved under section 121 of the Transfer of Land Act 1958” submitted for lodgement with the Registrar of Titles. This explicitly preserves the existing Transfer of Land Act form and lodgement regime for transfers of land matters to which s 121 forms apply.
• Interaction with the Voluntary Assisted Dying Act 2017. Reg 9 excludes signing and witnessing requirements in that Act from the Electronic Transactions Act facilitation. That leaves the Voluntary Assisted Dying Act’s own signing, witnessing and procedural rules to govern.
• Interaction with the Medical Treatment Planning and Decisions Act 2016. Reg 10 excludes witnessing requirements for making an advance care directive under that Act from the Electronic Transactions Act’s provisions, leaving the advance care directive regime and its witness formalities intact.
• Interface with common-law and statutory requirements for personal service. Reg 7 preserves requirements that call for personal service only, by excluding such transactions from the Electronic Transactions Act. The Regulations therefore interact with any law, instrument or rule that prescribes personal service as the sole method of delivery.

The Regulations do not displace or alter the substantive content of the other Acts. Instead they prevent the Electronic Transactions Act from operating in ways that might have otherwise overridden, supplemented or relaxed the formalities in those Acts. Practitioners must therefore read the Regulations alongside the named Acts to determine the operative formal and evidentiary requirements for the exempted matters.

Administrative or procedural interactions to be noted from the text include the Registrar of Titles’ lodgement processes for s 121 forms in the Transfer of Land Act context (reg 8). The Regulations do not articulate how those bodies should operate in practice; they preserve the pre-existing legal requirement that those forms be submitted in whatever form the Transfer of Land Act or the Registrar requires.

Finally, the endnotes remind readers that explanatory materials and endnotes do not form part of the Statutory Rule (see endnote 1, interpretation details), and that the Regulations will sunset under the Subordinate Legislation Act 1994 in ten years. Those lifecycle provisions interact with statutory review and repeal regimes.

The Regulations were made on 7 July 2020 and came into operation on 26 July 2020, as recorded in the endnotes (Endnote 1). They revoke the prior Electronic Transactions (Victoria) Regulations 2010 (reg 4). A subsequent amendment, the Electronic Transactions (Victoria) Amendment Regulations 2021 (S.R. No. 38/2021), made on 20 April 2021 and commencing on 26 April 2021, inserted regulations 8, 9 and 10 (see the table of amendments and the marginal note at regs 8-10).

Chronology and mechanics recorded in the instrument:

• 7 July 2020: Regulations made by Governor in Council under s 6A and s 15 of the Electronic Transactions (Victoria) Act 2000, per endnote 1.
• 26 July 2020: Regulations commence (reg 3 and endnote 1).
• 26 July 2020: Revocation of the Electronic Transactions (Victoria) Regulations 2010 (reg 4).
• 20 April 2021: Electronic Transactions (Victoria) Amendment Regulations 2021 (S.R. No. 38/2021) made; Table of Amendments records date of making as 20.4.21 and commencement as 26.4.21.
• 26 April 2021: Commencement of S.R. No. 38/2021 (per Table of Amendments); regs 8-10 inserted by S.R. No. 38/2021 reg 4, as noted at the head of regs 8-10.
• Sunset: The Regulations will sunset ten years after the day of making, on 7 July 2030, in accordance with s 5 of the Subordinate Legislation Act 1994 (endnote 1).

The Table of Amendments in the endnotes is explicit about the 2021 amendment, which added material exempting Transfer of Land Act forms to be lodged with the Registrar, and exempting signing/witnessing requirements in the Voluntary Assisted Dying Act 2017 and witnessing requirements for advance care directives under the Medical Treatment Planning and Decisions Act 2016 (regs 8-10).

The document also contains standard interpretation and style notes drawn from the Interpretation of Legislation Act 1984. Those notes explain that headings, examples, punctuation and provision numbers form part of the Statutory Rule for instruments made on or after 1 January 2001; they are interpretive aids for the text and to some degree affect presentation, but they are not substantive amendments to the allocated exemptions.

The amendment record therefore shows a narrow initial instrument followed by a single targeted amendment in 2021 that extended the list of subject-matter exemptions. No other amendments are recorded in this version as “not in operation” (endnote 3 states this version does not contain amendments not yet in operation).

The statutory text supplied contains no reported litigation history, no references to any judicial interpretation, and no citation of legal challenges. The Regulations themselves are a subordinate instrument and the document’s endnotes and explanatory details do not record any judicial proceedings. Therefore, as per the source provided, there is no litigation history included in this instrument.

What the instrument does record that is relevant to litigation risk and potential judicial attention is the precise scope of the exemptions: the Regulations explicitly disapply section 7(1) and Division 2 of Part 2 of the Electronic Transactions Act for named categories (see regs 6-10). That framing creates clear legal issues that could, in theory, be the subject of future litigation if questions arise about:

• Whether a particular transaction falls within one of the exempted categories. The Regulations use open categories such as “any other testamentary instrument” (reg 6) and “any transaction (being the delivery of information or a document) required to be effected only by personal service” (reg 7). Disputes could arise about the meaning or boundaries of those phrases.
• Whether particular documents approved under s 121 of the Transfer of Land Act 1958 are the kind of form that the exemption contemplates (reg 8). That may involve interpretation of s 121 of the Transfer of Land Act and the characterisation of an instrument as an “approved form” intended for lodgement.
• Whether signing or witnessing requirements in the Voluntary Assisted Dying Act 2017 or witnessing requirements for advance care directives under the Medical Treatment Planning and Decisions Act 2016 qualify for the exemption and how those requirements interact with broader procedural or constitutional challenges.

However, the statutory instrument itself contains no record of litigated disputes and does not provide case law or adjudicative history. Any litigation history must be sourced from external judicial records and is not present in the supplied text.

The Regulations are compact, but several features can lead to practical pitfalls if not noted carefully.

1. Exemptions are narrow but consequential. Each exemption is framed as non-application of s 7(1) and Division 2 of Part 2 for the specified subject-matter (see regs 6-10). The Regulations do not create alternate electronic procedures. Practitioners who assume the Electronic Transactions Act’s facilitative rules apply for these matters will be mistaken.

2. The Regulations do not restate underlying formalities. The instrument disapplies parts of the Electronic Transactions Act but does not summarise the non-electronic formalities that remain in force. For example, reg 6 removes the Act’s application to wills but does not say what formalities a will requires. The practical implication is that advisers must consult the substantive law governing wills, service, land lodgement, voluntary assisted dying, and advance care directives to determine what remains required.

3. “Personal service” wording is precise and potentially litigious. Reg 7 excludes transactions “required to be effected only by personal service”. That double requirement, transactions required to be effected only by personal service, means the exemption applies where the law makes personal service the sole permitted method. Transactions that permit either personal service or other modes may not be caught. Subtle factual distinctions about whether a statute or instrument “requires” only personal service or merely permits it could be decisive.

4. Transfer of Land Act interface: reg 8 applies to “any form approved under section 121 of the Transfer of Land Act 1958 that is to be submitted for lodgement with the Registrar of Titles.” A wording trap is the link to s 121 and the lodgement destination. Forms approved under s 121 but used for other purposes may raise characterisation questions, and forms intended for electronic registry processes that are not “to be submitted for lodgement with the Registrar of Titles” may fall outside the exemption.

5. Amendments changed scope in 2021. Regs 8-10 were not in the original 2020 instrument; they were inserted by S.R. No. 38/2021 (see Table of Amendments). Ignoring that amendment could lead to misadvice if relying on pre-2021 versions of the Regulations.

6. No express transitional or saving provisions. The Regulations do not set out transitional arrangements for documents executed electronically before the amendment or for transactions in progress. That absence means parties must be cautious about timing and whether an electronic step taken before or after a change will be effective under the applicable law.

7. Sunset and review: the Regulations will sunset on 7 July 2030 (endnote 1). This finite life may affect long-term planning for procedural reforms and electronic service design, especially for registries and healthcare processes that require stable procedural frameworks.

8. Endnotes and explanatory materials are not operative. The document includes explanatory and interpretative endnotes and references to the Interpretation of Legislation Act 1984. Those materials assist understanding but do not themselves change the legal operation of the Regulations; reliance on them as binding law would be a mistake.

In short, the common “gotcha” is to assume that the Electronic Transactions Act’s facilitative machinery applies unless specifically excluded. For the categories listed, the Regulations say it does not apply; that simple statutory fact can have significant procedural, evidentiary and compliance consequences that need to be checked against the underlying substantive law.

The Regulations themselves do not prescribe new procedural steps. Compliance requires practitioners and affected parties to do two things: (1) identify whether a transaction falls within one of the exemptions in regs 6-10; and (2) if it does, ensure compliance with the existing non-electronic formalities or processes that continue to govern under the substantive Acts and instruments.

Practical compliance checklist based on the text:

1. Identify the transaction class. Check whether the transaction is one of the categories in regs 6-10:

   • Is the transaction the creation, execution or revocation of a will, codicil or other testamentary instrument? (reg 6(1)-(2)).
   • Is the transaction required to be effected only by personal service? (reg 7(1)-(2)).
   • Is the document a form approved under s 121 of the Transfer of Land Act 1958 that is to be submitted for lodgement with the Registrar of Titles? (reg 8(1)-(2)).
   • Does the Voluntary Assisted Dying Act 2017 create a signing or witnessing requirement that applies to the step in question? (reg 9(1)-(2)).
   • Is the document an advance care directive whose witnessing requirement falls under the Medical Treatment Planning and Decisions Act 2016? (reg 10(1)-(2)).

2. If the transaction falls within an exemption, cease relying on s 7(1) or Division 2 of Part 2 of the Electronic Transactions Act as a basis to substitute electronic processes. The Regulations state these provisions do not apply (regs 6-10). Practically, that means:

   • Do not accept an electronic signature or electronic witnessing on the basis that the Electronic Transactions Act would validate it for these excluded categories.
   • Do not treat electronic delivery or electronic service as satisfying a delivery-only-by-personal-service requirement where the law requires personal service only.

3. Consult the substantive law: for the exempted matters, identify the precise formal requirements in the applicable statute or instrument. The Regulations do not restate those requirements, so compliance depends on the underlying law referenced in the Regulations (for example, the Transfer of Land Act 1958, Voluntary Assisted Dying Act 2017, Medical Treatment Planning and Decisions Act 2016, and the legal rules governing testamentary formalities).

4. Check for registered forms and lodgement rules. For land-related transactions, confirm whether a form is indeed an “approved form” under s 121 of the Transfer of Land Act and whether lodgement is required with the Registrar of Titles. Follow the Registrar’s lodgement rules and format requirements because the Electronic Transactions Act does not provide a substitution for these lodgement steps (reg 8).

5. Where personal service or witnessing is required, ensure physical steps are taken in the mode required by the governing law. Where witnessing is required under the Medical Treatment Planning and Decisions Act 2016 or signing/witnessing under the Voluntary Assisted Dying Act 2017, ensure those witnessing steps are performed in the mode and by the persons the governing Act requires because the Electronic Transactions Act does not apply (regs 9-10).

6. Time-sensitive awareness. Be mindful of the amendment history. Regs 8-10 were inserted by the 2021 amendment (S.R. No. 38/2021). If dealing with documents executed around the dates of amendments, check dates of making and commencement in the Table of Amendments and endnotes to determine which legal regime applies.

7. Record-keeping and evidentiary caution. Given the preservation of non-electronic formalities, keep contemporaneous documentary evidence of compliance with witnessing and service steps required under the substantive law. The Regulations preserve the evidentiary posture that existed outside the Electronic Transactions Act; plan records accordingly.

8. Institutional liaison. Organisations such as registries, healthcare institutions and legal practices should update internal guidance to reflect that the Electronic Transactions Act’s facilitative provisions do not apply to the listed subject-matter, and train staff accordingly. For registry matters, liaise with the Registrar of Titles for lodgement requirements; for healthcare and end-of-life documents, liaise with responsible officers to ensure required witnessing and signing procedures are followed.

In short: treat the Regulations as telling you to stop relying on the Electronic Transactions Act for the listed matters and to return to, or continue with, the established non-electronic procedures embedded in the substantive law. The Regulations do not supply substitutes or transitional instructions, so complete compliance requires checking and following the primary legislation or instruments that continue to govern each exempted class of transaction.
