Duties Regulations 2008

The Regulations deploy a small set of recurring regulatory concepts and mechanisms that a practitioner must grasp for structuring, valuation, compliance and dispute avoidance.

1. Prescription and definition. The Regulations use prescription to fix the reach of several terms the Act references. Examples are “prescribed financial market” (reg 3), classes of vehicles for concession (reg 6), and “production‑based agistment” as prescribed primary production (reg 4AA). Prescription transforms otherwise general statutory terminology into a precise gate: for instance, a demerged entity must be listed "on a prescribed financial market" (2A(3)(c)), and the prescribed markets are enumerated in reg 3.

2. Exclusion and carve‑out. Regulations exclude classes of transactions from being dutiable transactions (reg 4). The excluded transactions mechanism operates by reference to the Act’s s.11, meaning that the Regulations create targeted exemptions where the Legislature or Executive concluded duty should not apply. These exclusions often depend on the composition of the dutiable property (reg 4(1)(h)-(j)), and on whether transfers directly relate to asset‑backed securitisation arrangements.

3. Special classification of dutiable property. The Regulations identify “special dutiable property” (4A), and prescribe particular property which will attract special treatment in the Act. That category includes profits à prendre (including timber sharefarming profits), and plantation interests where consideration is payable for surrender.

4. Nominal duty prescriptions. Regulation 4B prescribes conditions where a particular acquisition is subject only to nominal duty. The rule is tightly framed: replacement of a timber sharefarming profit à prendre after surrender for no consideration where original benefit was registered over a lot but applied to a portion only, and the same persons acquire the new profit à prendre (4B(2)(a)-(e)).

5. Treatment of corporate demergers and related‑party aggregation. Regulation 2A defines listed entity demergers and hybrid demergers; regulation 5 prescribes that certain related‑party aggregation rules (s.162(1)(h) and (i) of the Act) do not apply where acquisitions are made as part of those demergers. This converts particular corporate reorganisations into a specific administrative category with different duty aggregation consequences.

6. Record keeping and certification. Regulations 8 and 9A impose mandatory records and certification obligations on vehicle dealers and persons liable to pay duty. Regulation 8(2) creates a specific penalty for failure to certify the dealer record as accurate (fine of $2,000). Regulation 9A requires duty‑endorsed transaction records to be kept by persons liable to pay duty.

7. Administrative discretions and timing. Several provisions hinge on administrative satisfaction (for instance the Commissioner’s satisfaction in reg 2A(3)(c)), and many provisions specify the exact date from which they operate (regulation 2, reg 4(2)-(5), reg 8A(2), reg 10(2), and the compilation table).

8. Cross‑reference to other statutory regimes. The Regulations frequently tie duty outcomes to rights and obligations created under other Acts. Examples include the Transfer of Land Act 1893 (easement creation and surrender in reg 4(1)(e)-(f); registration of profits à prendre in reg 4B(2)(b)), the Financial Sector (Business Transfer and Group Restructure) Act 1999 (vesting of security under business transfer, reg 4(1)(a)), the Workers Compensation and Injury Management Act 2023 (insurance for compensable injury prescribed in reg 5A), the Community Titles Act 2018 (reg 4C), the Tree Plantation Agreements Act 2003 (reg 4A(2)(c)), the Retirement Villages Act 1992 (reg 4AAA) and the Fish Resources Management Act 1994 (reg 4(1)(c)).

9. Transitional preservation and non‑adverse application. Regulation 11 creates a limited retroactive application for particular amendments (regulation 3(c) and 3(d) of the instrument amended by Finance Regulations Amendment Regulations 2025) but expressly excludes retrospective application that would adversely affect persons liable to pay duty or parties to the transaction (reg 11(4)(a)-(b)). Several other provisions similarly specify that they apply to transactions regardless of whether they pre‑date or post‑date specific amendment commencements, or only from a particular date (see notes to reg 4(2)-(5) and reg 10(2)).

Taken together, these concepts make the Regulations both a precision tool for administering the Duties Act and a set of targeted economic interventions affecting corporate reorganisations, securitisation structures, rural land uses, vehicle licence concessions, and land subdivision arrangements under community titles. The mechanical delineations are dense and often conditional; practitioners must track the definitions and cross‑references to determine whether a transaction falls within the Act, is excluded by the Regulations, or receives a particular duty treatment.

The Regulations allocate duties, decision‑points and record burdens across several identifiable classes of actors. Who pays, who decides, and who must record or certify are clear in the text.

Primary affected groups

• Persons entering into dutiable transactions or acquiring dutiable property as defined in the Duties Act, with the scope modified by the Regulations. Examples include acquirers of leases (reg 10), parties to demergers (regs 2A and 5), parties involved in asset‑backed securitisation structures (reg 4), persons acquiring profits à prendre including timber sharefarming profits (regs 4A and 4B), and parties to community titles subdivisions (reg 4C).

• Listed entities and their wholly‑owned subsidiaries engaged in demergers or hybrid demergers. Regulation 2A sets out the structure and mechanics that define a "listed entity demerger" or "hybrid demerger" and regulation 5 excludes certain related‑person aggregation rules for acquisitions made as part of those arrangements. The Commissioner of State Revenue is the decision‑maker with a power to be satisfied that a demerged entity will be listed within 12 months (2A(3)(c)).

• Vehicle dealers. Regulation 8 requires dealers to maintain specific records when section 246 or 247(1) applies to the grant or transfer of a licence for a vehicle to a dealer. The dealer must certify the accuracy of the record; where the vehicle is loaned, the person responsible while on loan must also certify accuracy (reg 8(2)). Failure to certify attracts a fined penalty of $2,000 (reg 8(2)).

• Employers and insurers in relation to workers compensation premium payments. Regulation 5A prescribes insurance required under the Workers Compensation and Injury Management Act 2023 s.202(2) for the purposes of section 209(2)(j) of the Duties Act, applying to premiums or instalments paid on or after 1 October 2011 (5A(1)-(2)).

• Landholders and developers operating community titles (building) schemes. Regulation 4C excludes certain community titles (building) subdivisions from the application of sections 120A and 120B of the Duties Act, except where no lot is above or below another lot in the scheme; this affects developers, owners and transferees of lots in such schemes.

• Parties to plantation or timber arrangements and their legal advisers. Regulations 4A and 4B set out bespoke duty treatment for plantation interests and timber sharefarming profits à prendre, including circumstances where only nominal duty is payable on replacement profits.

Decision makers and administrators

• The Commissioner of State Revenue. The Commissioner’s satisfaction or opinion is deployed in several places: reg 2A(3)(c) and (4)(b) require the Commissioner be satisfied that the demerged entity will be listed on a prescribed financial market within 12 months; reg 9 (variation of Schedule 3) invokes Commissioner opinion in relation to arrangements entered into for the purpose of avoiding or reducing duty. Those clauses vest factual assessment in the Commissioner, and thereby concentrate administrative discretion.

• Ministers or other statutory officials under other Acts indirectly affect duties. For example, the Agriculture Minister can declare drought affected or water deficient farming land for the purposes of reg 7(4)(d), which prescribes purposes that qualify for reduced vehicle licence charges.

Who bears costs and burdens

• Record‑keeping and evidentiary burdens fall to dealers (reg 8), acquirers liable for duty (reg 9A) and persons seeking to rely on prescribed exclusions (for example asset‑backed securitisation in reg 4). Dealers must maintain detailed loan records for each vehicle loan (reg 8(1)(b)(i)-(v)) and certify accuracy (reg 8(2)). Persons liable to pay duty must keep duty‑endorsed transaction records (reg 9A).

• Administrative risk and compliance costs fall to corporate groups planning demergers. The definition of listed entity demerger and hybrid demerger in reg 2A imposes precise eligibility conditions: transfers must be available to listed entity security holders, transferees must be the same class of persons, and listing or Commissioner satisfaction about listing must occur within 12 months. Entities planning demergers will need to design the securities issuance, timing and listing strategy to satisfy these requirements, or to secure the Commissioner’s pragmatic approval.

• Insurers and employers in the workers compensation space will be affected by the prescription of certain premiums as dutiable or as falling within the Act’s definition of insurable liability (reg 5A), which in turn influences premium tax or duty consequences.

• Those engaging in securitisation, leasing and land subdivision exercises need to confirm whether their instruments fall into the narrow exclusions and special prescriptions: incorrectly characterising an instrument could trigger duty or expose parties to retrospective adjustment if timing and registration criteria are not met.

Finally, several provisions protect against retroactive detriment (reg 11(4)), so persons with precommencement transactions enjoy limited protection. Regulators and affected private parties need to coordinate tight transactional documentation and preemptive certification to secure the benefits and to avoid unexpected liabilities.

The Regulations do not create new broad duty rates or an independent charging regime; instead they adjust the application, scope and evidentiary scaffolding of the Duties Act 2008. The “duties” and “rights” that follow are the principal mechanical obligations and privileges introduced or clarified in the Regulations.

Key duties (obligations)

• Record‑keeping, certification and retention. Dealers to whom section 246 or 247(1) of the Act applies must keep a specified record of the date of the grant or transfer of the licence, and for each loan by the dealer a set of records that include loan dates, identity of borrower, purposes, vehicle description and, where relevant, a copy of the Commissioner’s approval of philanthropic purpose (reg 8(1)(a) and (b)(i)-(v)). Both the dealer and, where applicable, the person responsible during the loan must certify that the record is accurate (reg 8(2)). Failure to certify attracts a fine of $2,000.

• Duty‑endorsed transaction records. A person liable to pay duty on a dutiable transaction must keep a transaction record for the transaction that is duty endorsed (reg 9A). This converts an administrative filing obligation into an ongoing record retention duty supporting audit and assessment.

• Transaction structuring compliance. Where a transaction relies on a prescriptive exclusion or special treatment , for example, an excluded transaction under reg 4, a nominal duty rule under reg 4B, or the demerger treatment under regs 2A and 5 , the parties must ensure that the precise conditions are met. That typically requires documentary proof showing composition of the dutiable property, the identity of transferring and acquiring persons, and, where relevant, the registration of interests under the Transfer of Land Act 1893 (reg 4B(2)(b)).

• Insurance premium timing. Regulation 5A prescribes that a premium or instalment paid in relation to the specified workers compensation insurance contract on or after 1 October 2011 is within the scope of the Act for purposes of s.209(2)(j). That creates an obligation to consider duty treatment for such premiums where applicable.

Key rights and concessions (privileges)

• Excluded transactions. A list of transactions is expressly excluded from duty under s.11 by reg 4(1)(a)-(j). Parties whose transactions fall within those categories have the right to not be charged duty on that basis, subject to the precise factual conditions stated in each subparagraph. Notably, transfers directly related to the creation or winding up of an asset‑backed securitisation arrangement are excluded where the dutiable property includes only fixed to land financial assets and related infrastructure or chattels (reg 4(1)(h)-(j)).

• Special dutiable property classification. Where dutiable property is a profit à prendre, timber sharefarming profit à prendre or plantation interest (and consideration for surrender exists for specified items), the property is prescribed as special dutiable property for the purposes of s.18 of the Act (reg 4A(2)(a)-(c)). This classification often triggers specific valuation rules and concessions found in the Act.

• Nominal duty on replacement timber sharefarming profits. Under reg 4B(2), if a new timber sharefarming profit à prendre is created to replace an old profit surrendered for no consideration, and various registration, spatial and identity conditions hold, then the acquisition is a dutiable transaction on which nominal duty is chargeable. Parties in those narrow circumstances can therefore pay nominal duty rather than full duty.

• Demerger aggregation relief. Regulation 5 provides that s.162(1)(h) and (i) do not apply in circumstances where acquisitions are made as part of a listed entity demerger or hybrid demerger. This means parties acquiring securities in such demergers are not treated as related persons for the purposes of section 162(1A)(b), with the mechanical effect of preventing certain forms of aggregation that could otherwise escalate landholder duty liabilities.

• Exclusion for retirement village licences. Regulation 4AAA excludes rights under a retirement village licence from the definitions of “fixed infrastructure access right” and “fixed infrastructure control right” in s.91A. Parties holding or transferring such licences therefore avoid being captured by those fixed infrastructure right categories.

• Lease consideration valuation rule. Regulation 10(1) expressly excludes from the consideration for a dutiable transaction that is the grant of a lease the value of any substantial improvement or addition that the lessee agreed to carry out or has already carried out. That reduces the duty base where lessee‑funded improvements will otherwise inflate valuation.

Administrative rights and decision points

• Commissioner’s discretion and satisfaction. The Commissioner has a decision role in at least two regulatory contexts: determining whether the demerged entity will be listed on a prescribed financial market within 12 months (reg 2A(3)(c)) and , by the variation of Schedule 3 in reg 9 , forming an opinion about whether earlier arrangements were entered into for the purpose of avoiding or reducing duty (reg 9(1)(b) new subsection (2) inserted by the variation). Those are practical decision points where a party’s right to a concession or exclusion depends on the Commissioner’s factual view or satisfaction.

• Transitional protection. Regulation 11(4) preserves rights by preventing application of certain retrospective amendments where application would adversely affect a person that is or may become liable to pay duty or that is a party to the former transaction. That is a rights‑preserving device intended to protect certain pre‑existing expectations.

In sum, the Regulations allocate both obligations (record keeping, certification, evidentiary burden and compliance with prescriptive conditions) and discrete privileges (exemptions, nominal duty, demerger relief, lease valuation adjustments) to clearly identifiable actors. The practical effect is to decentralise many fine‑tuning questions to record and documentary proof, and to leave particular factual gates to Commissioner satisfaction in a limited number of contexts. Practitioners must therefore prepare documentary chains to prove entitlement to the relevant exemptions or concessions.

The Regulations are primarily norm‑setting rather than penalty‑driven, but they impose at least one explicit monetary penalty and several indirect enforcement mechanisms. Enforcement is administered through the framework established in the Duties Act 2008, to which the Regulations point.

Express penalty in the Regulations

• Certification fine for vehicle dealer records. Regulation 8(2) prescribes that when a dealer is required by section 256(a) of the Act to keep a record referred to in reg 8(1), both the dealer and, if the vehicle is loaned as described, the person responsible while on loan must certify on the record that it is accurate. The regulation then provides a penalty for breach: a fine of $2,000. This is the only specific monetary penalty set out in the Regulations themselves.

Indirect enforcement pathways

• Reliance on the Duties Act enforcement architecture. The Regulations consistently operate by reference to provisions of the Duties Act that authorise assessment, audit, review and penalties. For example, requirements to keep duty‑endorsed transaction records (reg 9A) supply the evidential footing necessary for assessments and audits under the Duties Act. Where a person does not keep the required records, the Commissioner will likely rely on Act powers to assess, demand documents and apply penalties. The Regulations do not restate those Act powers, but they create compliance triggers that the Act’s enforcement provisions can activate.

• Commissioner’s discretionary assessments and opinions. Several provisions require or allow the Commissioner to form an opinion or be satisfied about facts that determine duty consequences. For example, reg 2A(3)(c) allows the Commissioner to be satisfied that a demerged entity will be listed within 12 months; reg 9 varies Schedule 3 to require Commissioner opinion about earlier arrangements entered into for avoiding or reducing duty. These decision points are enforcement points: parties are dependent on the Commissioner’s factual view, and disagreement may give rise to reassessment and dispute.

• Documentation as precondition for relief. Many exemptions and nominal duty treatments are tightly conditioned on factual circumstances and documentary proof. For example, the nominal duty on replacement timber profit à prendre (reg 4B(2)(a)-(e)) requires registration history and identity of beneficiaries to be proven. Failure to produce satisfactory evidence is likely to result in reassessment and duty being charged at the substantive rate under the Act.

• Transitional safeguards with potential enforcement consequences. Regulation 11 protects persons from adverse retrospective application of some amendments, but only where the retrospective application would adversely affect a person that is or may become liable or that is party to the transaction. The Commissioner will need to determine whether adverse effects exist and therefore whether the transitional protection operates, representing another enforcement/assessment discretion.

Practical enforcement risks and costs

• Administrative compliance cost. The record‑keeping and certification duties in reg 8 and reg 9A create compliance costs. The $2,000 fine for failing to certify accuracy of dealer records is concrete; additional penalties may arise under the Duties Act for incorrect or incomplete records.

• Litigation risk. Although the Regulations themselves do not set out dispute resolution or appeals processes, any disagreement with Commissioner satisfaction decisions (for demerger listing, retrospective effect, or avoidance opinions) will be resolved by the avenues of review available under the Duties Act and general administrative law. The Regulations do not record case law or litigation history.

• Discretion‑dependent uncertainty. Where the Commissioner’s satisfaction determines eligibility for a favourable treatment, that discretion introduces uncertainty and possible enforcement challenges. Practitioners should expect that decisions grounded in Commissioner satisfaction may be subject to queries, requests for evidence, and formal reassessments.

In short, while the Regulations set only a small number of specific penalties, they create many practical enforcement touchpoints by conditioning exemptions and concessions on documentary proof and on Commissioner satisfaction. Compliance failures therefore create exposure to assessment, fine, and administrative burdens under the Duties Act enforcement regime.

The Regulations are densely interlinked with other state and Commonwealth statutes. They frequently treat rights and transactions defined or regulated elsewhere as determinative for duty outcomes under the Duties Act. The interaction is therefore both definitional and operational.

Direct cross‑reference to statutes and administrative regimes

• Transfer of Land Act 1893. Regulation 4(1)(e)-(f) excludes the creation and surrender of easements under the Transfer of Land Act 1893 Part IVA and specified sections (129C(1)(a) or 229A(2)). Regulation 4B(2)(b) requires that the old timber sharefarming profit à prendre was registered under the Transfer of Land Act in relation to the whole of a lot as part of the nominal duty test. These references make land registration and the operation of Torrens title mechanisms central to certain duty outcomes and require alignment between duty treatment and land title records.

• Financial Sector (Business Transfer and Group Restructure) Act 1999 (Commonwealth). Regulation 4(1)(a) excludes the vesting of a security interest under Part 3 of that Commonwealth Act. That exclusion recognises a Commonwealth statutory restructuring regime and removes double duty friction by excluding specific vestings governed by Commonwealth business transfer rules.

• Fish Resources Management Act 1994. Regulation 4(1)(c) excludes temporary transfers of the whole or part of an entitlement under an authorisation in accordance with s.141 of the Fish Resources Management Act, unless the transfer gives rise to a beneficial interest in the authorisation. This ties duty treatment for authorisation transfers to the fisheries regulatory framework.

• Community Titles Act 2018. Regulation 4C excludes sections 120A and 120B of the Duties Act from applying to subdivisions of land under a community titles (building) scheme registered under the Community Titles Act 2018, except where no lot is above or below another lot. That rule interfaces with strata/ community title law by adjusting duty treatment for building schemes.

• Retirement Villages Act 1992. Regulation 4AAA excludes rights under a retirement village licence (residence contract in licence form) from the definitions of fixed infrastructure access and control rights in s.91A of the Act, thereby placing retirement village licence rights outside certain fixed infrastructure categories that attract special duty treatment under the Act.

• Tree Plantation Agreements Act 2003. Regulation 4A(2)(c) prescribes plantation interests created under agreements under that Act as special dutiable property where consideration is payable for surrender. That ties duty consequences to the statutory regime for plantation agreements.

• Workers Compensation and Injury Management Act 2023. Regulation 5A prescribes that premiums for certain workers compensation policies required under s.202(2) of that Act are relevant for duties under the Duties Act s.209(2)(j). This cross‑link can affect the duty treatment of insurance premiums.

• Road Traffic (Vehicles) Regulations 2014 and Bush Fires Act 1954. Regulation 7 cross‑refers to the Road Traffic (Vehicles) Regulations regarding reduced vehicle licence charges and to the Bush Fires Act for authorised fire control exercises as a prescribed purpose for reduced charges.

Commonwealth places and mirror tax modifications

• Commonwealth Places (Mirror Taxes Administration) Act 1999 and Commonwealth Places (Mirror Taxes) Act 1998. The compilation notes refer to modifications made for Commonwealth places in Western Australia under those Commonwealth Acts (notes 1M and 1MC). That indicates the Regulations have been subject to modification to operate in Commonwealth places, aligning state duty law where necessary with Commonwealth arrangements.

Transitional interaction with Finance Regulations

• Finance Regulations Amendment Regulations 2025 transitional provision. Regulation 11 modifies the application date of certain financial market prescriptions (regulation 3(c) and 3(d) in the Regulations as amended by the Finance Regulations Amendment Regulations 2025) to treat particular instruments or transactions that took place in 2014 or 2017 as if the amended regulation had been in force then, except where such application would adversely affect an affected person (reg 11(2)-(4)). This provision demonstrates coordination between the Duties Regulations and the Finance Regulations amendments.

Operational consequences of cross‑references

• Documented registration and external approval regimes become material evidence for duty outcomes. For instance, to rely on the reg 4B nominal duty concession, parties need to show the old profit was registered, the benefit related to a portion of the lot only and the new profit relates to that portion only. That requires cross‑checking land registry records, and thus links duty liability closely to operation of land law.

• Administrative decisions under other Acts can trigger duty outcomes or fuel eligibility for exemptions. For example, an Agriculture Minister declaration of land as drought affected under the Biosecurity and Agriculture Management Act 2007 affects the prescribed purposes in reg 7(4)(d) which in turn can make vehicle movement qualify for reduced licence charges.

• The Regulations’ exclusions recognise and rely upon Commonwealth or State statutory restructuring regimes to avoid frictional duty outcomes, for example by excluding vesting under Commonwealth business transfer provisions. That reduces the risk of regulatory duplication, but it does mean practitioners must check across statutes to confirm applicability.

• Interaction with the Duties Act: almost every prescriptive or exclusionary regulation points back to a specific section of the Duties Act (for example reg 3 for the definition in s.3; reg 4 for s.11; reg 4A for s.18; reg 5 for s.162). Practitioners must consult both instruments jointly: the Regulations fine‑tune the Act, and the Act supplies the substantive tests, rates and enforcement machinery.

In practice, these interactions elevate the importance of integrated compliance: duty outcomes are not stand‑alone tax computations but the product of registration, registration dates, documentary proof, discrete statutory definitions under other Acts and administrative satisfactions. Cross‑disciplinary coordination (land law, corporate law, insurance, transport regulation, community titles and plantation law) is therefore necessary to secure correct duty treatment.

The Regulations have been amended several times since original commencement. The compilation table in the instrument records the sequence of amending instruments, commencement dates and the parts affected. The key amendment milestones and their mechanical effects in the Regulations are:

• Original enactment and commencement (2008). The Duties Regulations 2008 were published on 20 June 2008, with regulations 1 and 2 commencing on that date and the remainder of the Regulations commencing on 1 July 2008 (reg 2).

• Duties Amendment Regulations 2009 and Duties Amendment Regulations (No. 2) 2009. Early amendments added specific prescriptions, including regulation 10 which was inserted by the Duties Amendment Regulations 2009 (Gazette 27 Mar 2009 p. 933) specifying consideration for the grant of a lease (reg 10), and other technical clarifications.

• Duties Amendment Regulations 2010. Regulation 6 was amended to add an exclusion for vehicles damaged by the 22 March 2010 storm; the insertion is noted to apply to grants or transfers of vehicle licences on or after 23 March 2010. The 2010 amendment clarifies vehicle classes for “new vehicle” (reg 6(2)(d)).

• Duties Amendment Regulations 2019 (Gazette 8 Oct 2019 p. 3617-21). This substantial amendment package introduced multiple new provisions, notably regulation 2A (listed entity demergers and hybrid demergers), regulation 4A (special dutiable property), regulation 4B (nominal duty on certain timber sharefarming profit creations), regulation 4C (community titles subdivision exclusion), regulation 5 (circumstances where persons acquiring under one arrangement are not related), regulation 8A (events that do not cause revocation of exemption for reconstruction transactions where they result from demergers), and regulation 4AAA (excluded classes of right). Many of these new provisions have effect dates starting from 13 June 2019 (see multiple notes in the text). The Gazette reference and insertion date are recorded in the compilation table.

• Finance Regulations Amendment Regulations 2020 Pt. 3 (SL 2020/206). The Finance amendments required transitional adjustments to ensure the Duties Regulations interact properly with finance regulation changes. The compilation table records Pt. 3 commencement from 24 Oct 2020.

• Duties Amendment Regulations 2023 (SL 2023/12, 24 Feb 2023). The 2023 amendment updated certain provisions; the text indicates at least one amendment to regulation 3 (financial markets) later amended by SL 2025/67 r. 4.

• Finance Regulations Amendment (Workers Compensation) Regulations 2024 Pt. 2 (SL 2024/134, 26 Jun 2024). This amendment led to insertion or amendment of regulation 5A (insurance for liability to pay damages in respect of compensable injury) prescribing workers compensation insurance premiums for duties purposes with application from 1 July 2024.

• Finance Regulations Amendment Regulations 2025 Pt. 2 (SL 2025/67, 30 Apr 2025). Introduced regulation 11, a transitional provision applying certain amendments (regulation 3(c) and 3(d) in the instrument) as if they came into effect on earlier specified dates (1 Jan 2014 and 1 Jan 2017) for certain instruments and transactions, while protecting persons from adverse retrospective effects (reg 11(2)-(4)).

Compilation notes and modifications

• The instrument’s notes record that modifications under Commonwealth places mirror taxation Acts may apply (notes 1M and 1MC). These relate to the Commonwealth Places (Mirror Taxes) and Commonwealth Places (Mirror Taxes Administration) Acts, indicating that modifications to the Regulations were prescribed to ensure their operation in Commonwealth places.

• The compilation table gives an authoritative chronology, including the reprint 1 as at 24 Feb 2012 and the successive amending instruments with Gazette dates and commencement dates. Practitioners must refer to the reprint and subsequent instrument dates to determine which provisions applied at any particular historical date.

Practical effects of the amendment history

• The 2019 package is particularly consequential, introducing the demerger treatment, timber sharefarming rules, and a set of targeted exclusions designed to align duty treatment with contemporary corporate, agricultural and securitisation structures. These amendments created new eligibility requirements and administrative conditions, notably involving the Commissioner’s satisfaction and registration proofs.

• Finance Regulations amendments in 2020, 2024 and 2025 show continuing coordination between Finance and Duties instruments, particularly around workers compensation and financial market definitions, with transitional rules to limit adverse retrospective effects.

• The staggered commencement dates and specific transitional clauses mean that advisors must be careful about timing. Several provisions expressly apply to transactions whether before or after particular amendment commencements (see reg 4(2)-(5) and reg 10(2)), while reg 11 creates further bespoke transitional protections.

Overall, the amendment history shows iterative refinement to respond to sectoral issues (securitisation, demergers, plantation interests), to align with other regulatory reforms (finance and workers compensation), and to preserve transitional fairness where retrospective application could be contentious.

The Duties Regulations 2008, as compiled and presented, do not record any case law, judicial decisions, or litigation history. The instrument itself contains no references to judicial determinations, and the compilation notes do not list any reported proceedings that directly interpret or challenge the Regulations.

Implications and what to do next

• Absence of recorded litigation in the text is not proof that disputes have never arisen in practice about the Regulations. It does mean that this instrument does not itself provide precedent or judicial interpretation. To locate any relevant case law, practitioners must search court and tribunal databases, tribunal determinations and administrative appeals that interpret the Duties Act 2008 and the Regulations together. Particular areas where litigation is plausible include Commissioner satisfaction decisions in demerger cases (reg 2A(3)(c)), disputes about whether a transaction falls within excluded transactions list (reg 4), and challenges to the Commissioner’s opinion under the Schedule 3 variation in reg 9 dealing with avoidance purposes.

• Administrative review regimes under the Duties Act and judicial review by courts should be the primary avenues for challenging Commissioner decisions that turn on facts or satisfaction. The Regulations themselves do not create or modify review rights; those remain in the Act and general administrative law.

• In the absence of recorded cases in the Regulations, reliance on careful documentary evidence and pre‑transaction engagement with the Commissioner is a practical risk mitigation strategy to reduce the chance of contested outcomes.

In short, no litigation history is recited in the Regulations. Where factual disputes arise about Commissioner satisfaction, application of exclusions, or qualification for nominal duty treatment, the likely recourse will be the statutory review pathways under the Duties Act and general administrative law. Practitioners should perform independent case law research to identify any reported decisions that have since interpreted these regulations in context.

The Regulations include several fine‑grained conditions and timing rules that can create unexpected outcomes if they are not actively managed. The following are practical pitfalls and sources of implementation risk drawn from the text.

1. Tight eligibility gates for demerger relief (regs 2A and 5). The definition of listed entity demerger and hybrid demerger in reg 2A is prescriptive: the demerged entity must be a wholly‑owned subsidiary (2A(2)), securities of the demerged entity must be acquirable only by listed entity security holders on the nominated date (2A(3)(a)-(b)), and the demerged entity must be listed on a prescribed financial market or the Commissioner must be satisfied it will be listed within 12 months (2A(3)(c)). Small deviations from the required mechanics , permitting acquisitions by persons who are not listed entity security holders, failing to secure the listing within 12 months, or not documenting the nomination date , can disqualify the arrangement from the special treatment under reg 5 and 8A. The Commissioner’s satisfaction requirement in 2A(3)(c) is another potential risk: parties should procure written comfort or an administrative ruling where listing timing is material.

2. Commissioner discretion introduces uncertainty. Several favourable outcomes hinge on the Commissioner’s satisfaction or opinion (2A(3)(c); reg 9 variation referencing Commissioner opinion about arrangements intended to avoid or reduce duty). Discretion is a normal feature of revenue administration, but it creates unpredictable compliance costs. Parties cannot assume an administrative view will align with their expectations unless the Commissioner provides express written confirmation.

3. Spatial registration and identity conditions for timber nominal duty (reg 4B). The nominal duty concession for replacement timber sharefarming profits requires the old profit to have been registered in respect of a whole lot while the benefit applied to a portion only, and the new profit to be created only over that portion (4B(2)(b)-(c)). Mistakes in identifying the lot boundaries, or failing to align registration descriptions, can result in loss of nominal duty treatment.

4. Record certification exposure for dealers (reg 8). Dealers must certify accuracy of records and the person responsible while on loan must also certify accuracy where the vehicle is loaned (reg 8(2)). Failure to certify attracts a fine of $2,000. The certification requirement means that inaccurate or incomplete records expose both the dealer and the custodian while on loan to immediate monetary penalties and potentially to downstream enforcement under the Duties Act.

5. Narrowness of excluded transactions (reg 4). The excluded transaction list is detailed and often limited to specific configurations of dutiable property. For example, several exclusions apply only where dutiable property includes fixed to land financial assets and no other dutiable property except fixed infrastructure connected with those assets or chattels (reg 4(1A) and reg 4(1)(h)-(j)). Mischaracterising the mix of property in a transaction can lead to unexpected duty exposure.

6. Community titles carve‑out nuance (reg 4C). The exclusion for subdivision under a community titles (building) scheme does not apply where no lot is above or below another lot in the scheme. That exception may catch some modern building schemes, and practitioners should map vertical lot configurations carefully against the exclusion.

7. Retirement village licence exclusion (reg 4AAA). While reg 4AAA excludes rights under a retirement village licence from fixed infrastructure right definitions, that exclusion applies only from 13 June 2019. Practitioners dealing with earlier transactions should check whether the pre‑2019 position differs for specific transfers.

8. Temporal traps and transitional protections (reg 4(2)-(5), reg 10(2), reg 11). Several provisions specify they apply “to all transactions that take place on or after” particular dates, including retroactive application to transactions predating the amending instrument. Regulation 11 tries to manage retroactivity for 2014 and 2017 instruments but provides protection only where retrospective application would adversely affect a person (reg 11(4)). The consequence is that historical transactions may be caught by later‑introduced rules unless transitional protections apply; careful timing analysis and early advisory work is therefore required.

9. Interaction with external registration regimes. Several concessions and exclusions require registration as a precondition (Transfer of Land Act registration in reg 4B(2)(b), community titles registration in reg 4C, authorisation transfers under the Fish Resources Management Act in reg 4(1)(c)). Any discrepancy between the duty‑related description of the property and the registry description creates risk of disqualification from the prescribed treatment.

10. Small monetary penalties but higher indirect costs. The explicit $2,000 fine in reg 8(2) might appear modest, but reputational harm, administrative costs of re‑documenting, and downstream duty reassessments under the Act can be substantially larger. Do not treat the small penalty as the only or primary exposure.

11. Narrow scope of “wholly‑owned subsidiary” in reg 2A(2). The test requires 100% securities and control over 100% of votes. Structures with minority shareholdings, option arrangements or trust holdings may fail this strict test and therefore not qualify for demerger treatment.

To avoid these gotchas practitioners should early map transactional facts against the precise subparagraphs in the relevant regulation, seek documented agreement from the Commissioner where factual satisfaction is required, and ensure registrable instruments align with land registry descriptions and timing expectations.

Compliance under these Regulations is primarily documentary and procedural. The following checklist extracts the concrete steps and evidence practitioners should assemble to secure the favourable treatments, avoid fines and support audit resilience. Cross‑check each step against the specific regulation cited.

1. Pre‑transaction mapping and legal characterisation

   • Identify which Regulations might apply: read regs 2A, 3, 4, 4A, 4B, 4C, 6, 7, 8, 10 and 11 as they relate to the transaction.
   • Establish whether the transaction is a dutiable transaction under the Duties Act and whether any reg‑based exclusion or special treatment applies (for example, asset‑backed securitisation exclusions in reg 4, demerger relief in regs 2A and 5, plantation/timber rules in regs 4A-4B).
   • If the transaction touches land or land registry matters, reconcile the transaction description with titles/lot boundaries, since several concessions depend on registration descriptions (reg 4B(2)(b)).

2. Listed entity demerger and hybrid demerger compliance (regs 2A and 5)

   • Confirm that the entity is a “listed entity” as defined in 2A(1) and that the demerged entity qualifies as a wholly‑owned subsidiary under 2A(2) (100% securities and 100% voting control).
   • Ensure the arrangement only allows acquisition of securities of the demerged entity by listed entity security holders (2A(3)(a)-(b)), and that any acquisitions by nominees are expressly documented as acquisitions on behalf of the listed entity security holder (2A(6)).
   • If the arrangement is a hybrid demerger, document the public float mechanics and ensure the arrangement does not permit acquisition by other persons (2A(4)(b)-(c)).
   • Obtain either proof of listing on a prescribed financial market within 12 months of first acquisition, or seek written Commissioner satisfaction that listing will occur within 12 months (2A(3)(c)). Keep contemporaneous evidence of nominations and communications proving who was eligible to acquire securities on the nominated date.
   • If relying on the demerger exclusion for related person aggregation, document the entire acquisition chain to demonstrate the acquisition was part of a listed entity demerger or hybrid demerger as defined in reg 2A (reg 5(1)).

3. Asset‑backed securitisation, partnership and easement exclusions (reg 4)

   • If a transaction might be excluded under reg 4, prepare a transaction schedule showing the composition of the dutiable property, identification of financial assets (as defined in reg 4(1A)), and linkages to the asset‑backed securitisation arrangement.
   • For easements or surrender of easements, capture statutory references to the Transfer of Land Act Part IVA or the specific sections cited in reg 4(1)(e)-(f).
   • For partnership acquisitions, confirm whether the partnership holds land in Western Australia other than leases of nominal value (reg 4(1)(g)). Document the partnership’s holdings adequately to evidence eligibility for the exclusion.

4. Timber, plantation and profit à prendre steps (regs 4A and 4B)

   • For timber sharefarming profits à prendre and plantation interests, document whether consideration for surrender exists and whether the instruments were registered under the Transfer of Land Act as required (4A(2) and 4B(2)(b)).
   • Where seeking nominal duty under reg 4B(2), prepare records showing the old profit was surrendered for no consideration, that it was registered in respect of a whole lot but only benefited a portion, that the new profit covers that portion only, and that the acquirers are the same natural or legal persons (4B(2)(a)-(e)).

5. Vehicle dealer records and certification (reg 8)

   • Dealers must maintain the record of date of grant or transfer of licence to dealer (reg 8(1)(a)).
   • For each loan described in section 247(1)(a), keep records as listed in reg 8(1)(b)(i)-(v): loan start and end dates, borrower identity, purposes, vehicle description including plates and engine number, and Commissioner’s approval copy for philanthropic purposes.
   • Implement a process to certify accuracy on each record, with the dealer signing the certification and, where a vehicle is loaned for philanthropic purposes, the person responsible while on loan also signing (reg 8(2)). Maintain signed originals and contemporaneous digital copies.
   • Note the fine for failing to certify is $2,000. Consider internal audit and compliance sign‑offs to ensure accuracy before certification.

6. Duty‑endorsed transaction records (reg 9A)

   • A person liable for duty must keep a transaction record for the transaction that is duty endorsed. Establish a document retention regime to preserve the duty endorsement and associated transaction documents for the statutory audit period under the Duties Act.

7. Grant of lease valuation handling (reg 10)

   • When a lease is a dutiable transaction, ensure valuation calculations omit the value of any substantial improvement or addition that the lessee agreed to carry out or has already carried out (reg 10(1)). Document the lease terms to show the covenant and any work done, and exclude those sums from the duty base.

8. Community titles subdivision checks (reg 4C)

   • Where subdividing under a community titles (building) scheme, confirm the scheme’s structure to establish whether sections 120A and 120B apply. If no lot is above or below another lot, the exclusion in reg 4C does not apply; document vertical lot configuration to show whether the exclusion is available.

9. Insurance premium and workers compensation interactions (reg 5A)

   • For workers compensation insurance required under s.202(2) of the Workers Compensation and Injury Management Act 2023, ensure you treat premiums or instalments paid on or after 1 October 2011 in line with reg 5A(2) and the Duties Act s.209(2)(j). Coordinate with insurers to obtain premium documentation that supports or quantifies any duty position.

10. Transitional and timing analysis (reg 2 and reg 11)

• Verify the transaction date against commencement dates and transitional rules. Many provisions specify they apply to transactions happening on or after certain dates irrespective of amendment date (reg 4(2)-(5), reg 10(2)), and reg 11 creates bespoke transitional application for some Finance Regulations amendments. Where an instrument dates from 2014 or 2017 and the amendment would otherwise apply retrospectively, check reg 11(4) to determine whether transitional protection applies.

11. Engagement with the Commissioner

• Where a favourable outcome depends on Commissioner satisfaction (for listing of demerged entities, or avoidance purposes in the Schedule 3 variation), consider early contact with the Commissioner and seek written confirmation or a private ruling where practicable. Keep contemporaneous evidence of applications, communications and supporting materials.

12. Internal controls and audit trail

• Implement internal compliance checklists mapping each clause relied upon to supporting documents, title searches, registration certificates, meeting minutes, lists of eligible security holders and nominee appointment letters. For demergers, retain proof of the nominated date for eligibility of listed entity security holders, and evidence of how nominee acquisitions were effected on behalf of listed holders (2A(6)).

13. Professional advice and record retention

• Because many exemptions are narrowly framed and conditional, seek specialist revenue advice early. Maintain retention of duty‑endorsed records and certified dealer records for the statutory period under the Duties Act and any longer organisational document retention policies.

Following these steps will align transactional execution with the documentary and procedural requirements established in the Regulations, reduce the risk of unexpected duty exposure and position the parties to demonstrate entitlement to prescribed exclusions or concessions if audited.
