DJUKBINJ NATIONAL PARK LOCAL MANAGEMENT COMMITTEE (DJUKBINJ BOARD) REGULATIONS 1997

These Regulations establish a local management committee, the Djukbinj Board, for Djukbinj National Park in the Northern Territory. The Board is a statutory body corporate with specific powers, functions, and procedural rules. It does not exercise ownership or proprietary rights over the Park but assists and advises the Parks and Wildlife Commission (the Commission) on virtually every aspect of the Park's administration and management.

Mechanically, the Regulations create a committee structure that formalises a particular power-sharing arrangement between the traditional Aboriginal landholding corporation, Wulna (the Limilngan-Wulna (Land Holding) Aboriginal Corporation), and the Northern Territory government agency responsible for parks. The Board comprises six members: four appointed on the nomination of Wulna and two who are public sector employees under the Public Sector Employment and Management Act 1993. This composition gives Wulna a formal 2:1 majority on the Board, but the employee members hold a blocking minority on some procedural matters because quorum requires one employee member present alongside two Wulna-nominated members. The Chairperson must be elected from the Wulna-nominated members, which reinforces Aboriginal leadership in the committee's formal functions.

The Board's primary role is to assist the Commission in preparing the Park's plan of management and to determine, for guidance purposes, matters relating to day-to-day management. It also has a determinative function regarding the location and management of works, facilities, and outstations, but must act in consultation with the Commission. For most other areas , conservation programs, staffing, licensing, budgeting, filming, education , the Board may only make recommendations to the Commission, which retains ultimate decision-making authority subject to the Act and the plan of management. The Board also has a reserved power to seek reservations of land under the Mineral Titles Act 2010 in respect of the Park, which is a substantive power to block mining or exploration by having land withdrawn from availability for titles.

The Regulations set procedural rules: minimum two meetings per calendar year (regulation 9(1)), quorum of three members (two from Wulna nominees and one employee member), voting by majority with the chairperson having a casting vote, and a mechanism for members to authorise another member to vote on their behalf at a specified meeting (regulation 5). Confidentiality is imposed on members under regulation 11 , they must not disclose information obtained in the course of duties unless in the course of those duties. Breach of this obligation is grounds for the Minister to terminate a member's appointment. The Regulations also disapply section 57 of the Interpretation Act 1978 (which deals with publication of statutory rules in the Gazette), instead requiring copies of the Regulations to be available for public inspection at the Commission's office during business hours , an unusual transparency measure that makes the legal instrument less broadly searchable yet theoretically accessible to those who ask.

Djukbinj Board is the local management committee established under regulation 3. It is a creature of subordinate legislation, not a corporation or a statutory authority with separate legal personality. Its existence is for the Park defined as Northern Territory Portions 1386, 2012, 2017, 4498, 4499 and 4707, known as Djukbinj National Park, which is declared a park under section 12 of the Territory Parks and Wildlife Conservation Act 1976. The Board's powers and functions are bounded by that Act and by the plan of management for the Park (regulation 10(1)), so it cannot validly act outside that framework.

Relevant Aboriginal (regulation 2) defines the class of Aboriginal persons whose rights and interests the Board is specifically charged to protect and promote. The definition has three limbs: (a) traditional Aboriginal owners of the Park; (b) Aboriginals entitled to enter, use, or occupy the Park under Aboriginal tradition, whether or not subject to any qualifications; and (c) Aboriginals permitted by those in (a) or (b) to enter, use, or occupy the Park. This is not a statutory definition of the class for all purposes of the Act; it is specific to these Regulations and the Board's functions, particularly the duty to protect rights to occupy and use the Park (function (g)), encourage maintenance of Aboriginal tradition (function (h)), and promote Aboriginal involvement in administration (function (j)). Notably, the definition is broad enough to include Aboriginals who are not traditional owners but have permission, creating a potentially expansive class.

Authorised member is a procedural mechanism under regulation 5 allowing a member to delegate voting authority to another member for a specified meeting. However, restrictions apply: an authorised member cannot vote on behalf of more than one other member, and cannot vote on behalf of a member with a different membership qualification. That means a Wulna-nominated member can only be authorised by another Wulna-nominated member, and an employee member only by another employee member. This preserves the compositional balance even when proxies are used, and ensures that no single member could accumulate two votes plus their own if they crossed the compositional divide. The authorised member can also cast their own vote (regulation 5(4)).

Commission appears throughout the Regulations but is not defined here. It is defined in the Territory Parks and Wildlife Conservation Act 1976 as the Parks and Wildlife Commission of the Northern Territory. The Board interacts with the Commission extensively: assists in preparing the plan of management, determines matters to guide the Commission, consults with the Commission on works and outstations, makes recommendations to the Commission on many topics, and the Commission keeps records and distributes meeting minutes (regulation 9(4)). The relationship is therefore one of formal advisory support combined with limited determinative power, but always subject to the Commission's ultimate authority under the Act.

The Regulations primarily affect four categories of people and organisations. First, Wulna, as the nominating Aboriginal corporation, holds significant institutional power. It selects four of six members, can replace them temporarily or trigger termination, and must be notified of meeting minutes (the Director of the Aboriginal Land Council receives copies, but that appears to be a separate body). Wulna's decisions about whom to nominate effectively determine the Board's composition and, through that, the Board's ability to perform its functions. Any delay or dispute in making nominations could leave the Board short of its intended complement, although the Regulations do not set a deadline. Wulna also has the right to advise the Minister that a member it nominated has failed to perform duties, which compels the Minister to terminate that member (regulation 8(1)(c)). This gives Wulna a powerful accountability mechanism over its own appointees.

Second, individual members of the Djukbinj Board face direct obligations. They must not disclose information obtained in the course of duties (regulation 11). They can attend meetings, but the Chairperson must call at least two meetings per year. Members have the right under regulation 9(5) to require the Board to admit persons to advise them on matters being considered, and to allow those persons to address the meeting on the member's behalf, while those persons cannot vote. This mechanism gives each member the ability to bring in technical, cultural, or legal advisors as needed, without Board approval. Members also have resignation rights (regulation 7) and are eligible for reappointment after their three-year term. Employee members may also be appointed as acting members by the Commission if they are unable to perform duties (regulation 4(6)).

Third, the Minister has a series of mandatory duties under the Regulations. The Minister appoints all six members (regulation 4(1)), must publish notice of appointments in the Gazette, must convene the first meeting to elect a Chairperson, must terminate appointments on certain events (resignation, inability, Wulna advice of failure, breach of confidentialty), and must appoint replacement members with the same qualification. The Minister cannot delay termination; the duty is to act "as soon as practicable". The Minister also has power to direct the Chairperson to call a meeting (regulation 9(2)(a)).

Fourth, the Commission is affected as the primary recipient of the Board's work. The Commission must assist the Board but equally must receive recommendations, determinations, and guidance from the Board. The Commission must also keep records of Board meetings and provide copies of minutes to each member and to the Director of the Aboriginal Land Council within 28 days of each meeting. The Commission may be bound by some Board determinations? The wording of regulation 10(2)(b) says the Board is "to determine, for the purpose of providing guidance to the Commission, matters relating to the day to day management of the Park." The word "determine" suggests a binding decision, but the purpose is "guidance", which introduces ambiguity. In practice, the Commission may treat determinations as recommendations unless the Act requires it to follow them. Similarly, regulation 10(2)(c) gives the Board power to determine the location and management of works, facilities, and outstations "in consultation with the Commission", again creating a shared decision-making process where the Board decides but must consult, so the Commission's agreement is presumably required but not expressly stated.

The Regulations impose several duties, most of which fall on the Chairperson, the Commission, and the Minister. The Chairperson must call meetings as necessary, but at least two per calendar year (regulation 9(1)). If the Minister directs or three members request a meeting in writing, the Chairperson must call it (regulation 9(2)). At meetings, the Chairperson presides if present; if absent, the members present elect one of the Wulna-nominated members to preside. The presiding member has a deliberative vote plus a casting vote in the event of an equality (regulation 9(3)(c)). The Chairperson holds office for three years unless removed earlier by Board resolution, which can happen at any time (regulation 6(5)). This removal power is notable because it allows the Board to replace its Chairperson mid-term without cause, provided the replacement is also a Wulna-nominated member.

All members have a duty of confidentiality under regulation 11. The prohibition is absolute except that disclosure may be made "in the course of those duties". That carve-out is broad but undefined. It presumably allows members to discuss Board matters with other members, the Commission, or the Minister as part of their role. However, it may not extend to discussing Board matters publicly or with non-government third parties unless that communication is a necessary part of the Board's functions. For example, a member seeking advice from an elder or traditional owner about a cultural site could arguably be in the course of duties under function (e). The risk is that a member could be terminated for breach if the Minister is satisfied the disclosure was outside duties, even if the member believed otherwise; there is no natural justice hearing before termination.

Members have the right to authorise another member to vote on their behalf at a specific meeting (regulation 5). The authorisation must be in writing and signed or with the member's authority. The authorised member cannot vote for more than one other member and cannot vote for a member with a different qualification. This right is useful for managing absenteeism, but it cannot be used to circumvent the compositional balance because it preserves the same category of membership.

Members also have the right under regulation 9(5) to compel the Board to admit advisors and allow them to address the meeting on the member's behalf. The member does not need Board approval; they simply require the Board to admit the persons they consider necessary. The Board must comply. This is a significant procedural right that ensures each member can obtain independent advice on complex issues such as biological surveys, mineral rights, accounting, or legal interpretation. However, the advisor cannot vote.

The Regulations themelves contain no penalty provisions. There is no fine, imprisonment, or infringement notice for breach of any regulation. The only enforcement mechanism is found in regulation 8(1)(d): the Minister must terminate the appointment of a member if satisfied the member has contravened regulation 11 (disclosure of information). This is a removal sanction, not a financial or criminal penalty. It operates without any procedural step beyond the Minister's satisfaction, so a member could be removed without a court hearing or even a prior warning. However, the Minister must also act "as soon as practicable" after becoming aware of the breach, which implies the Minister must form a genuine satisfaction based on some evidence.

Regulation 8(1)(c) similarly allows Wulna to trigger termination of a member it nominated by advising the Minister in writing that, in its opinion, the member failed to perform duties. The Minister must then terminate. This shifts enforcement power to Wulna, not to a court or tribunal. The member has no apparent right to contest the opinion before termination; they are simply removed. This could create incentive for Wulna to remove members who dissent from its views, though the Regulations do not otherwise constrain that power. The only check is that the Minister, on receiving such advice, acts "as soon as practicable". The Minister arguably retains no discretion to refuse termination if the advice is given, because the word "must" appears. That makes the enforcement mechanism very strong against members.

There is no provision for financial penalties, criminal liability, or civil remedies for breach of the Regulations generally. The Act under which these Regulations are made (the Territory Parks and Wildlife Conservation Act 1976) may contain its own penalties for offences committed in or related to the Park (e.g., damage to flora, fauna, or sites), but those penalties are not within these Regulations. The Regulations merely structure the management committee; they do not create any new offences.

If a member resigns under regulation 7, the resignation is effective upon delivery of written notice to the Minister. There is no penalty for resigning without cause; it is a right.

The quorum rule in regulation 9(3)(b) may be enforced indirectly: if a meeting proceeds without a quorum, any decisions taken may be invalid under the Act or at general law, but the Regulations do not specify consequences. The Board could presumably be challenged in a court by someone affected, but that is not a penalty under the Regulations.

The Regulations sit under the Territory Parks and Wildlife Conservation Act 1976 (NT). They are made pursuant to that Act and derive their authority from it. The Act will contain the overarching provisions on parks, management plans, the Commission's powers, and possibly the power to establish local management committees. The Regulations are subordinate legislation and cannot override the Act. Regulation 10(1) explicitly subjects the Board's powers and functions to the Act and to the plan of management for the Park. If any provision of the Regulations were inconsistent with the Act, the Act would prevail. Practitioners should check the Act for any provisions that directly address the Board's establishment, such as section 12 (park declaration) and any sections on management committees.

The Regulations reference the Public Sector Employment and Management Act 1993 (NT) to define the two employee members of the Board. Those members must be "employees" within the meaning of that Act. This means they are likely public servants of the Northern Territory government. Their terms and conditions as Board members are not specified in these Regulations, but their public service employment will be governed by that Act and any applicable awards or agreements. There is no provision for payment to Board members; they presumably serve in an unpaid or honorarium capacity subject to Commission policy.

The Corporations (Aboriginal and Torres Strait Islander) Act 2006 (Cth) is referenced to define Wulna. That Act governs the registration and regulation of indigenous corporations. Wulna must be a validly registered corporation under that Act to exercise its nomination and advisory powers under these Regulations. If Wulna's registration were ever cancelled, the definition would no longer be satisfied, and the Board might lack validly appointed members until a replacement corporation is nominated or the Regulations amended. The Regulations do not provide for a fallback if Wulna ceases to exist.

The Mineral Titles Act 2010 (NT) is referenced in regulation 10(2)(w): the Board may seek reservations of land under Part 6, Division 1 of that Act in respect of the Park. That Division deals with the reservation of land from mining titles. This power gives the Board a direct tool to prevent mineral exploration or mining within the Park by having land withdrawn from the mineral titles system. However, the Board only "may" seek such reservations; it is not obligatory. The process for actually obtaining a reservation under the Mineral Titles Act would involve the relevant Minister under that Act and the Commission. This cross-reference means Board members and their advisors need familiarity with the Mineral Titles Act to exercise this power effectively.

The Djukbinj Board Regulations were first made as SL No. 5 of 1997, notified on 3 April 1997 and commenced on that date. The endnotes show three subsequent amendment instruments:

1. Mineral Titles (Consequential Amendments) Act 2010 (NT) (Act No. 37 of 2010) received assent 18 November 2010 and commenced 7 November 2011. This Act amended regulation 10, specifically the reference to "Part 6, Division 1 of the Mineral Titles Act 2010" (as shown in the current text). Prior to that amendment, regulation 10(2)(w) would have referred to the pre-2010 minerals legislation. This was a consequential amendment to update terminology due to the replacement of the Mining Act 1980 (NT) with the Mineral Titles Act 2010. The amendment streamlined the Board's power to seek reservations.

2. Statute Law Revision and Repeals Act 2019 (NT) (Act No. 33 of 2019) assented 6 November 2019, with parts 2 and 3 not yet commenced (as at 7 November 2019, the as-in-force date). The remaining parts commenced 7 November 2019. This Act amended regulation 2 (definitions) as shown by the entry "r 2 amd Act No. 33, 2019, s 49". The nature of the amendment is likely a formal repeal or update of a definition (possibly removing a spent reference). The endnotes do not specify the content, but it is a statute law revision, suggesting a minor clean-up.

3. Interpretation Legislation Amendment Act 2018 (NT) (Act No. 22, 2018) made general amendments of a formal nature to regulations 1, 4, 10, and 12. These are not separately listed in the table of amendments because they are "general amendments of a formal nature". They likely updated drafting conventions such as gender-neutral language and modernised cross-references to the Interpretation Act. The reprint as at 7 November 2019 incorporates those changes.

The endnotes also show "GENERAL AMENDMENTS" that include rr 1, 4, 10, and 12 being amended by the Interpretation Legislation Amendment Act 2018. This means the reprint reflects those changes.

No other amendments appear. The Regulations have remained largely unchanged since 1997, with only minor formal and consequential updates. This suggests the co-management structure has been stable for over two decades, and no major policy shifts have warranted amending the procedural or functional provisions.

The as-in-force date of the reprint is 7 November 2019. Any amendments after that date are not reflected. The Statute Law Revision and Repeals Act 2019 had parts 2 and 3 not yet commenced at that date, so those parts remain inoperative for the purposes of this version.

The source document does not cite any litigation, nor does it mention any court cases that have interpreted or applied these Regulations. The Regulations themselves do not refer to any previous legal proceedings. It is likely that no reported decisions specifically construe the Djukbinj Board Regulations, given their narrow subject matter and the fact that they are ministerial and administrative in nature.

Cases involving similar co-management committees under the Territory Parks and Wildlife Conservation Act 1976 may exist, but the source does not provide them. Litigation might arise if a member challenges their termination under regulation 8, if a meeting is invalid due to lack of quorum, or if the Board acts beyond its powers under regulation 10(1). However, given the small size and low administrative cost of the Board, such disputes are likely resolved informally or through internal channels rather than through the courts.

The lack of litigation history is itself notable: it indicates the Regulations operate largely without formal legal challenge, which may reflect effective functioning or simply the low incentives for any party to bear litigation costs over management committee composition and procedure.

Several traps exist for those interacting with these Regulations, particularly for members, Wulna, and the Commission.

Quorum requirements are strict and asymmetrical. A quorum of three members requires two from the Wulna-nominated group (a) and one from the employee group (b). If only one Wulna-nominated member attends but three employees show up, there is no quorum. Conversely, if three Wulna-nominated members attend but no employee, again no quorum. The authorised member mechanism can help: a Wulna-nominated member can authorise another Wulna-nominated member to vote in their place, so a meeting could proceed with two Wulna nominees physically present (one voting for two) plus one employee. But the restriction that an authorised member cannot vote for someone with a different membership qualification means an employee member cannot authorise a Wulna member, nor vice versa. This protects the compositional balance but makes quorum harder to achieve if one category is absent.

Authorised members cannot vote for more than one other member. If two Wulna-nominated members are absent, only one can be covered by proxy; the other would be missing, and the meeting would lack quorum if the absent member was needed. So the proxy system is limited.

The Chairperson must be a Wulna-nominated member. If no Wulna-nominated member is willing to serve as Chairperson, the Board cannot elect a Chairperson from the employee members; regulation 6(1) requires the election from regulation 4(1)(a) appointees. If the Board loses all such members, the Minister must appoint replacements before a Chairperson can be elected, and no meeting can be held to elect one until at least three members exist (including at least two Wulna-nominated members for quorum). This could create a leadership vacuum.

The confidentiality obligation in regulation 11 applies to "a member". It does not apply to advisors admitted under regulation 9(5), nor to Commission staff who attend meetings, nor to the persons receiving minutes. Only members are bound. Advisors could therefore disclose information without breaching these Regulations, though they may be bound by other laws.

Disclosure is only allowed "in the course of those duties". This is a potentially narrow exception. A member who discusses Board matters with a traditional owner not present at the meeting might argue it is in the course of duties under function (h) (encouraging maintenance of Aboriginal tradition), but the Minister may disagree. There is no process for the member to obtain a ruling before disclosure. The risk of termination is real.

Compliance with these Regulations involves five main areas: appointment processes, meeting conduct, confidentiality, record-keeping, and exercise of functions.

Appointment processes. The Minister must ensure that all six positions are filled with appropriate nominees. For Wulna-nominated positions, Wulna must provide written nominations to the Minister. The Minister cannot appoint a person without such nomination. The Minister must publish notices of appointments in the Gazette as soon as practicable after appointment (regulation 4(3)). For employee members, the Commission (or possibly the relevant agency head under the Public Sector Employment and Management Act) must identify suitable employees and the Minister appoints them. Wulna should also maintain a process for appointing acting members under regulation 4(5) when a member it nominated is unable to perform duties, unless that member has already authorised another member to vote on their behalf for the relevant period. The Minister should ensure a file of all appointment notices and acting appointments is maintained for accountability.

Meeting conduct. The Chairperson must schedule at least two meetings per calendar year, and more if necessary for the Board to perform its functions. If the Minister or three members request a meeting in writing, the Chairperson must call it. At each meeting, the Chairperson must ensure a quorum exists: at least two Wulna-nominated members (or authorised members of that category) plus at least one employee member (or authorised employee member). If a member wants to authorise another to vote, the authorisation must be in writing under the member's hand or with the member's authority, specifying which meeting (regulation 5(1)). The Chairperson must confirm that no authorised member votes for more than one other member and that the authorised member and the authorising member share the same membership qualification. The Chairperson presides if present; if not, the members present elect a Wulna-nominated member to preside who then has a casting vote. The Board may determine its own procedures for things like agenda setting, notice periods, and debate rules, consistent with the Regulations.

Confidentiality. Every member must treat information obtained in the course of duties as confidential and must not disclose it unless the disclosure is made in the course of those duties. The Commission and the Chairperson should ensure that members receive a clear briefing on this obligation at their first meeting, ideally with a written acknowledgment. Advisors admitted under regulation 9(5) are not bound by this regulation, so the Board should consider whether a separate confidentiality agreement or code of conduct applies to advisors. Minutes and records must be distributed only to members and the Director of the Aboriginal Land Council; further distribution should be considered for compliance with regulation 11.
