Digital Radio Multiplex Transmitter Licences Procedural Rules 2018

The Rules introduce a compact set of procedural concepts built around four main pillars: electronic submissions and document form; disclosure and confidentiality; procedural time limits and ACCC discretion; and inter-agency information exchange and reporting.

Electronic submissions and document form

• Supporting documents and annual reports from licensees, and public submissions on undertakings or variations, must be electronic unless the ACCC approves otherwise (rule 7(1)-(3)). The ACCC may require documents to conform to formats specified on its website (rule 7(3)). An electronic document carrying a confidentiality request must be expressly endorsed with the words "Confidential Restriction on Publication Claimed" (rule 7(4)). The Rules draw a line between "electronic document" and "non-electronic document" in Schedule 1.

Disclosure and confidentiality

• Access undertakings and variations themselves must not contain any confidential information (rule 12). However, supporting documents, annual reports and public submissions may contain confidential material that the ACCC can, at its discretion, withhold from publication if the licensee or submitter complies with a detailed procedural template: giving reasons for confidentiality and providing an unmarked copy, a marked-up copy and a masked copy suitable for publication (rule 13(2)-(4)). The ACCC may publish these materials on its internet site and will decide whether parts claimed to be confidential ought not be published (rule 13(1), (5)).
• Parties cannot impose usage limitations on the ACCC for documents they supply except where the ACCC has accepted a confidentiality claim or agreed in writing to limits before documents are given (rule 14). Any purported condition to the contrary is void (rule 14(2)).

Procedural time limits and ACCC discretion

• The ACCC can specify timeframes for public submissions (rule 8(2)) and for licensee compliance with ACCC requests for further information (rule 10(2)). The default time limit for complying with a request for further information is 14 days unless the ACCC specifies otherwise (rule 10(3)). If the ACCC’s time limit passes without full compliance, the ACCC may reject the undertaking or variation by written notice (rule 10(4)), and it may reject an undertaking even where the information is supplied later (rule 10(5)). The ACCC can extend time limits before or after they expire but cannot extend after it has rejected the undertaking under subrules (4) or (5) (rule 10(6)-(7)). Similar default 14-day time limits and extension powers apply to notices about altered undertakings (rule 11).
• The ACCC may dispense with compliance with any Rule (rule 6). It may refuse to consider an access undertaking in specified circumstances: frivolous, vexatious, not given in good faith, or given for purposes of frustrating the administration of Division 4B (rule 17).

Inter-agency information exchange and reporting

• The ACMA must forward to the ACCC within 14 days a list of specified instruments and notices relating to digital radio multiplex transmitter licences, and provide details of suspected contraventions of licence conditions as soon as reasonably practicable (rule 15(1)-(2)). The ACCC must reciprocate and give ACMA within 14 days copies of accepted access undertakings, rejection notices, relevant 118NQ notices, audit notices and audit reports, and annual reports provided under rule 18 (rule 16(1)(a)-(f)). The ACCC must also advise ACMA of any undertakings it refused to consider under rule 17 as soon as reasonably practicable (rule 16(2)).
• Licensees must produce annual reports within 60 days of the financial year end containing specified compliance matters, remediation steps and dates, changes to membership of an eligible joint venture company and any authorisation of third party users (rule 18(1)-(2)). The ACCC may publish those annual reports (rule 18(3)).

Definitions and cross-references

• Many key terms are defined in Schedule 1, including "access undertaking", "standard access obligations" and "excess-capacity access obligations", which point back to particular provisions of the Radiocommunications Act (Schedule 1). The Rules are procedural only; they do not define the substantive content of access obligations, which is governed by the Act.

Taken together, the Rules are designed to standardise format, timing and information flows around access undertakings and variations for digital radio multiplex transmitters, to give the ACCC tools to manage submissions and confidentiality, and to ensure ACMA and ACCC exchange crucial regulatory documents rapidly. The Rules effect these changes by precise obligations on licensees, specific default timeframes, and by creating duties of information exchange between the two agencies.

The Rules apply to a narrow but concentrated set of actors. Principal affected groups are:

• Licensees: defined as the holder of a digital radio multiplex transmitter licence or any person authorised by the holder to operate multiplex transmitters under the licence (Schedule 1). That includes holders of category 1 or category 2 digital radio multiplex transmitter licences (Schedule 1, cross-references to s 5 of the Act). Licensees are the primary obligors under the Rules. They must provide supporting documents, annual reports and access undertakings or variations in specified formats and within specified timeframes (rules 7, 8, 9, 10, 18). Licensees must ensure their access undertakings and variations do not contain confidential information (rule 12) and must supply detailed documentation if claiming confidentiality over supporting materials or annual reports (rule 13(2)-(4)).
• Members of the public who make submissions: any member of the public may provide submissions on an access undertaking or a variation (rule 7(2), rule 8). Such submissions must be electronic unless the ACCC approves otherwise (rule 7(2)). If a submitter claims confidentiality it must follow the same procedural steps as licensees under rule 13(3)-(4). The ACCC may set periods for lodgement of submissions and may consider submissions lodged outside the period at its discretion (rule 8(2)-(3)).
• The ACCC: the rule-maker and the decision-maker under these Rules. The ACCC receives and considers access undertakings and variations under the Act and applies the procedural requirements in the Rules. It has discretionary powers to dispense with compliance (rule 6), to set or extend time limits (rules 10 and 11), to accept or reject confidentiality claims (rule 13(5)), to reject undertakings for non-compliance (rule 10(4)-(5)), to refuse to consider undertakings on specified grounds (rule 17), and to publish material on its website (rule 13(1), rule 18(3)). The ACCC is also obliged to send specified materials to ACMA within 14 days (rule 16).
• The Australian Communications and Media Authority (ACMA): while not a licensee, ACMA is a consequential party under the Rules. The ACMA must provide a range of instruments, notices and suspected contraventions to the ACCC within 14 days or as soon as reasonably practicable (rule 15). The ACCC must reciprocate with copies of accepted undertakings, rejection notices, audit notices and reports and annual reports (rule 16). These requirements institutionalise a short, reciprocal information flow between the two regulators.
• Eligible joint venture companies and third party users: the Rules require licensees to provide the names of each member of the licensee that constitutes the eligible joint venture company and report changes to membership in annual reports (rule 9(1)(b), rule 18(2)(h)). Licensees must also report any authorisations of third party users (rule 18(2)(i)). As a result, corporate participants in eligible joint ventures and third party users are indirectly covered by disclosure obligations.
• Other stakeholders with interest in access undertakings: entities with potential commercial interest in access to digital radio multiplex services will be affected indirectly through the ACCC’s publication and consultation regime. Public submissions are part of the consultation process and may be made by any member of the public (rule 8(2)), with the ACCC able to set or limit the lodgement period.

Who pays and who decides

• Who pays: the administrative cost of complying with information, documentation and reporting obligations falls on licensees. Costs include preparing electronic files, generating unmarked/marked/masked copies for confidentiality claims, maintaining timely records, and preparing annual compliance reports within 60 days. There are also opportunity costs from potential disclosure when the ACCC publishes materials.
• Who decides: the ACCC holds a broad suite of procedural discretions: to accept or reject confidentiality claims, to set and extend time limits, to reject or refuse to consider access undertakings, to require specific document formats, and to dispense with compliance (rules 6, 7(3), 10, 11, 13, 14, 17). ACMA’s decisions to issue or change licences and notices under the Act are a source trigger for the ACCC’s information obligations under rule 15, but the Rules place timings on ACMA to ensure ACCC receives relevant notices promptly.

Aggregate effect

• The regime concentrates reporting, format and disclosure obligations on licensees, centralises decision-making and publication discretion with the ACCC, and formalises a rapid information exchange with ACMA. The obligations are operational rather than substantive; they do not alter access entitlements themselves, which remain within the Radiocommunications Act and related determinations. However, the procedural architecture materially conditions how undertakings and variations are submitted, scrutinised, handled for confidentiality, and fed into inter-agency oversight.

This section sets out the principal duties imposed on participants and the rights the Rules give to the ACCC and other actors, with references to the controlling provisions.

Duties on licensees

• Electronic filing: Licensees must provide supporting documents and annual reports in electronic form unless the ACCC approves otherwise (rule 7(1)). Submissions by the public must also be electronic unless ACCC approval is given (rule 7(2)).
• Mandatory information at lodgement: When giving an access undertaking under section 118ND of the Act or a variation under paragraph 118NH(2)(a), licensees must provide the information listed in rule 9(1): licence holder name, names of each member that constitutes the eligible joint venture company, a nominated contact person and that person’s contact details, details of services to which access is provided or to which the variation relates, and reasons for seeking the variation (rule 9(1)(a)-(g)). Contact details must include position, telephone, email, Australian address for delivery and any other contact information the ACCC may require (rule 9(2)).
• Timely response to further information requests: If the ACCC requests further information under subsection 118NE(2) or 118NI(2) of the Act, the licensee must comply within the time specified by the ACCC, or within the default 14-day period if no time is specified (rule 10(2)-(3)). Failure to comply may lead to rejection of the undertaking (rule 10(4)-(5)).
• Annual reporting: Licensees must give the ACCC an annual report within 60 days after the end of the financial year containing details of compliance with the access undertaking and statutory access obligations, any non-compliance and remedial steps, expected completion dates, changes to eligible joint venture membership, and authorisations of third party users (rule 18(1)-(2)).
• Confidentiality procedure: If the licensee requests confidentiality over parts of supporting documents or annual reports, the licensee must provide reasons and three versions of the document (unmarked, marked to show claimed parts, and masked for publication) at the time the document is given (rule 13(2), (4)).

Duties on ACMA

• Information supply to ACCC: ACMA must give the ACCC, within 14 days, copies of a specified list of instruments, notices and determinations affecting digital radio multiplex transmitter licences (rule 15(1)(a)-(j)). ACMA must also provide details of any suspected contravention of a licence condition as soon as reasonably practicable (rule 15(2)).

Duties on the ACCC

• Publishing and sharing: The ACCC may make supporting documents, annual reports and submissions publicly available on its internet site (rule 13(1)). The ACCC must give ACMA certain documents within 14 days, including accepted undertakings, rejection notices, audit notices and reports and annual reports it has received (rule 16(1)(a)-(f)). The ACCC must also notify ACMA of any undertaking it has refused to consider under rule 17 as soon as reasonably practicable (rule 16(2)).
• Procedural choices and enforcement: The ACCC may set periods for public submissions (rule 8(2)), may specify or default time limits for compliance with its information requests (rule 10), may extend time limits (rules 10(6), 11(4)), may reject undertakings for failure to comply with information requests (rule 10(4)-(5)), may accept confidentiality requests and decide what parts of documents should not be published (rule 13(5)), and may refuse to consider an undertaking where it is frivolous, vexatious, not given in good faith, or designed to frustrate administration (rule 17). The ACCC may dispense with compliance with any of the Rules (rule 6).

Rights and constraints

• Licensees have a right to request confidentiality over supporting documents, annual reports and public submissions, but that right is procedural and contingent on satisfying rule 13(4) and on the ACCC’s subsequent decision (rule 13(2)-(5)).
• Submissions by members of the public may be constrained by ACCC-determined lodgement periods but are otherwise permissible and must be filed electronically unless approved (rules 7(2), 8(2)-(3)).
• The ACCC’s wide discretionary powers are constrained by express procedural rules: prescribed default time limits, specified formats for confidentiality claims, and mandatory information exchange with ACMA within set timeframes. However, the ACCC’s discretion to dispense with compliance (rule 6) and to refuse consideration on specified grounds (rule 17) are significant governance levers.

Specific prohibitions and nullities

• Access undertakings and variations must not contain confidential information (rule 12). This prohibition shapes how licensees draft undertakings; confidential commercial terms cannot be embedded directly in the undertaking document itself. Further, any purported condition on the ACCC’s use of materials supplied is of no effect unless it is a "permitted limitation" , either an accepted confidentiality request or a limitation previously agreed to in writing by the ACCC (rule 14(1)-(3)).

Timelines that create rights to act

• The ACCC has express authority to reject undertakings where required information is not provided within default or specified time limits, and that rejection is effected by written notice to the licensee (rule 10(4)). Once rejected under those subrules the ACCC may not subsequently extend the time limit for that request (rule 10(7)). These procedural rules convert failure to respond into substantive consequence under the Act by preventing further consideration.

In summary, the Rules create a structured set of documentary, timing and disclosure duties on licensees and procedural information duties on ACMA, while granting the ACCC specific decision-making rights and discretionary powers to manage the workflow, confidentiality and publication of material related to access undertakings and their variations.

The Rules themselves are procedural and do not create new monetary penalties or criminal offences in the text provided. Enforcement mechanisms in the Rules operate primarily through procedural consequences and regulatory interlocks rather than express fines or sanctions contained within the Rules. The enforcement-related mechanisms and consequences that are present in the Rules are as follows.

Rejection of access undertakings and variations

• The ACCC may reject an access undertaking or a variation of an access undertaking where a licensee has not complied with a request for further information within the specified or default time limit (rule 10(4)). The ACCC may also reject an undertaking even if the requested information is supplied after the time limit (rule 10(5)). Rejection is effected by written notice to the licensee (rule 10(4)). The ACCC’s ability to reject converts procedural non-compliance into a formal denial of the submission for consideration under Division 4B of Part 3.3 of the Act.

Refusal to consider

• The ACCC may refuse to consider an access undertaking if it is satisfied that the undertaking is frivolous, vexatious, not given in good faith, or given for the purpose of frustrating or undermining administration of Division 4B (rule 17). A refusal to consider is a discretionary gatekeeping function with consequences similar to rejection, namely that the undertaking will not be considered further by the ACCC under the statutory process.

Publication consequences and information use

• The ACCC may make supporting documents, annual reports and submissions publicly available (rule 13(1) and rule 18(3)). This is not a punitive measure in statute but disclosure can operate as a reputational enforcement mechanism and can have commercial consequences for licensees. The Rules require careful handling of confidentiality claims; failure to satisfy the procedural requirements of rule 13 may result in some or all of a document being published.

Nullity of private restrictions

• The Rules make any purported private condition that limits the ACCC’s use of a supporting document, annual report or submission void unless it is a "permitted limitation" (rule 14(1)-(3)). This prevents third parties from contractually or otherwise imposing constraints on the ACCC’s handling of materials, thereby ensuring the ACCC’s unencumbered procedural use of received documents (subject to accepted confidentiality).

Administrative coordination obligations

• The Rules compel ACMA and ACCC to exchange certain notices and instruments within set timeframes (rules 15 and 16). Failure by ACMA to forward required instruments within 14 days could, in practice, impede the ACCC’s statutory duties; the Rules create obligations but do not set out penalties for ACMA non-compliance in the text provided.

Implicit enforcement via Act

• The Rules are made under the Radiocommunications Act and operate alongside the Act’s substantive enforcement mechanisms. The Rules permit the ACCC to take procedural steps that influence how the ACCC exercises functions under Division 4B of Part 3.3. Any substantive enforcement action, licence suspension, cancellation or contravention consequences are governed by the Act itself (the Rules reference numerous Act provisions such as sections 100, 111, 115, 126, 128, 131AA and 131AC in rule 15), so the procedural non-compliance may occasion further action under the Act where the Act provides.

Discretionary respite

• The ACCC may extend time limits before or after expiry (rules 10(6), 11(4)), and may dispense with compliance with any of the requirements (rule 6). Those powers reduce the strictness of enforcement at the ACCC’s discretion and can be used to mitigate procedural default where the ACCC chooses to do so.

Practical enforcement consequences

• The immediate operational consequence most directly imposed by the Rules for non-compliance is rejection or refusal to consider an access undertaking or variation, which in turn deprives the licensee of the statutory process for ACCC acceptance and any benefits that follow from such acceptance under Division 4B of Part 3.3 of the Act. The Rules create an administrative path in which failure to comply with formatting, timing or documentation requirements can discontinue the undertaking process.

No express penalties in the Rules

• The Rules do not contain express fines, prosecution provisions or civil penalty provisions within the text provided. Any enforcement beyond the procedural measures in the Rules would have to be founded on the Radiocommunications Act or other applicable law rather than on the Rules alone.

In short, enforcement within the Rules is achieved by procedural gating, public disclosure and inter-agency information flows, with the ACCC retaining discretion to reject or refuse to consider undertakings for specified reasons. Substantive penalties, licence actions, or other regulatory sanctions would be governed by the Radiocommunications Act and other relevant law outside the text of these Rules.

The Rules are procedural instruments made under section 118PO of the Radiocommunications Act 1992. They are designed to operate in support of the ACCC’s functions under Division 4B of Part 3.3 of that Act and must be read in context with the Act. The Rules themselves contain multiple express cross-references to provisions of the Act and to specific regulatory instruments and determinations made under the Act. The interaction is both direct and prescriptive.

Primary statutory relationship

• The Rules are subordinate legislation made under s 118PO of the Radiocommunications Act 1992 and therefore sit within the Act’s regulatory architecture. Much of the Rules’ substance explicitly references statutory functions and triggers: for example, the Rules specify documentation required when an access undertaking is given under s 118ND and when variations are given under s 118NH (rule 9). The ACCC’s power to request further information is relevant to subsections 118NE(2) and 118NI(2) of the Act (rule 10). Notices referred to in rules 11 and 16 are given under specific Act subsections such as 118NF, 118NH, 118NQ and 118PA. Throughout, the Rules are procedural implements to the Act’s substantive scheme.

ACMA-ACCC interlock

• The Rules formalise and time-limit the information flow between ACMA and ACCC. Rule 15 obliges ACMA to provide to the ACCC within 14 days copies of a list of instruments and notices made under sections of the Act, including authorisations under s 100, determinations under s 109B, licence condition changes under s 111, determinations under s 115 and notices under ss 126 and 128. The ACCC reciprocally must provide ACMA within 14 days copies of accepted access undertakings, rejection notices and audit-related documents (rule 16(1)(a)-(f)). This interaction embeds a short, reciprocal information exchange between two regulators whose functions over digital radio multiplex licences are complementary: ACMA with licensing and technical matters and ACCC with access regulation.

Publication and confidentiality vis-a-vis other laws

• The Rules permit ACCC publication of supporting documents, annual reports and submissions (rule 13(1), rule 18(3)), but also create a mechanism for confidentiality claims. The procedural design of rule 13 requires comprehensive documentary justification where confidentiality is claimed, and the ACCC decides what parts it will withhold. The Rules do not negate privacy or secrecy obligations under other statutes, but they prevent submitters from unilaterally imposing limitations on the ACCC’s use of documents except as permitted by rule 14. If other statutes impose confidentiality obligations (for example under secrecy provisions in other regulatory regimes), licensees should be mindful of those cross-pressures when claiming confidentiality under rule 13.

Operational intersection with the Act’s substantive remedies

• While the Rules are procedural, the consequences of complying with or failing to comply with them can affect undertakings and other outcomes under the Act. For example, if the ACCC rejects or refuses to consider an access undertaking for procedural reasons (rules 10 and 17), the licensee loses the statutory route under the Act (Division 4B) to have its undertaking accepted and the attendant legal status that acceptance confers. Conversely, the Act contains licence suspension, cancellation and transfer provisions (for example, sections 126, 128, 131AA, 131AC) that are the source matters ACMA will notify to the ACCC under the Rules. Thus the Rules and the Act form a feedback loop: Act events trigger reporting under the Rules, and compliance with the Rules is necessary for progressing Act-based access processes.

No displacement of other laws

• The Rules do not purport to displace or modify other legislative obligations that licensees or ACMA may have under other Commonwealth or state laws. For example, statutory secrecy requirements, privacy law obligations or competition law duties are not supplanted by the Rules’ confidentiality framework. The Rules do, however, remove the ability of suppliers or submitters to create contractual restriction on the ACCC’s use of received documents except by express, prior written agreement from the ACCC (rule 14(1)-(3)). That provision may interact with confidentiality obligations arising elsewhere, requiring careful reconciliation.

Administrative law and discretionary powers

• The ACCC’s discretion under rule 6 to dispense with compliance and the discretionary powers under rules 10, 11, 13, 14 and 17 to set time limits, extend them, accept confidentiality claims, void private limitations and refuse to consider undertakings will be exercised within the bounds of administrative law principles and the Act. The Rules create procedural expectations but do not insulate administrative decisions from review where judicial review grounds exist under general administrative law.

Cross-references to definitions in the Act

• Schedule 1 defines several terms by reference to the Act, including "category 1/2 digital radio multiplex transmitter licence", "eligible joint venture company", "standard access obligations" and "excess-capacity access obligations". The Rules therefore rely on statutory definitions in the Act to determine scope and application.

In short, the Rules are a procedural adjunct to the Radiocommunications Act 1992. They do not create substantive rights to access or change licencing conditions; instead, they structure how access undertakings and associated materials are lodged, handled for confidentiality, and exchanged between ACCC and ACMA, and they must be applied in conjunction with the substantive provisions and remedies of the Act.

The document provided is the Digital Radio Multiplex Transmitter Licences Procedural Rules 2018. The Rules state their commencement is the day after registration on the Federal Register of Legislative Instruments (rule 2). The Rules expressly repeal the Digital Radio Multiplex Transmitter Licences Procedural Rules 2008 (rule 3). The enabling provision for making the Rules is section 118PO of the Radiocommunications Act 1992, as stated in the opening paragraph.

From the text provided, the specific amendment history is limited and confined to the following points:

• Date of making: The instrument was made on 14 May 2018, as signed and dated in the instrument preamble by the ACCC Chair (Rod Sims) (opening page).
• Commencement: The Rules commence on the day after registration on the Federal Register of Legislative Instruments (rule 2).
• Repeal of prior Rules: The 2018 Rules repeal the Digital Radio Multiplex Transmitter Licences Procedural Rules 2008 (rule 3). No other amending instruments or changes to the 2018 Rules are set out in the text provided.

What the document does not contain

• The Rules as provided do not record any subsequent amendments after 2018. There are no amending orders, schedules of changes, transitional provisions or sunset clauses included in the text provided.
• The Rules do not include any historical notes, legislative history detail or explanatory memoranda within the text provided. The preamble lists the statutory instrument-making power and the date of making, but does not include a second reading speech, memorandum or commentary.

Practical consequence for users

• The repeal of the 2008 Rules indicates a discrete replacement of the prior procedural architecture. Anyone auditing or relying upon earlier practice statements or procedures should verify which version was in force at particular historical dates. The 2018 Rules are the operative procedural regime from their date of commencement onward.
• Because the Rules are subordinate legislation, subsequent amendments would appear as separate instruments registered on the Federal Register of Legislative Instruments or as noted in consolidated reprints. The text provided does not show any such subsequent instruments. Users should check the Federal Register of Legislative Instruments or the ACCC website (as referenced in rule 7(3)) for any later amendments, consolidated versions or guidance material.

In summary, within the provided material the amendment history is limited to the repeal of the 2008 Rules and the making and commencement of the 2018 Rules on the dates stated. There is no further amendment history included in the text supplied.

The Rules text supplied contains no litigation history. The instrument itself does not record any judicial decisions, appeals, or litigation outcomes relating to the Rules, to ACCC decisions made under the Rules, or to disputes over their interpretation. The Rules do not cite any cases, and no legal proceedings or adjudications are described in the instrument.

Implications of silence

• The absence of litigation history in the Rules document does not indicate that none exists in the courts. It only means the instrument itself does not include case citations or a record of judicial review. Users researching litigation that applies these Rules should conduct a separate search of administrative law decisions, tribunal determinations and superior court jurisprudence for any challenges to ACCC decisions made under these procedural Rules or for disputes about ACMA-ACCC information exchange obligations. The Rules themselves do not provide a built-in record of such litigation.

Potential judicial review issues that could arise

• The Rules give the ACCC a number of discretionary powers which, in other contexts, could be the subject of judicial review for jurisdictional error, failure to observe procedural fairness, unreasonableness or improper exercise of discretion. Examples include:
  • Refusal to consider an access undertaking under rule 17 on grounds of being frivolous, vexatious, not in good faith, or designed to frustrate administration. These are discretionary assessments that could attract review if decision-making procedures were deficient.
  • Rejection of an access undertaking under rule 10 where required information is not provided within time limits. A licensee might challenge whether the ACCC ought to have extended a time limit or whether the ACCC properly made the rejection decision.
  • Treatment of confidentiality claims under rule 13 where the ACCC decides whether claimed parts should be withheld. A party might seek review if they allege failure to consider relevant confidentiality factors or procedural unfairness.
  • Use or disclosure decisions under rule 14 where the ACCC treats purported limitations as void.

Matters to investigate for a litigation search

• To find litigation relevant to these Rules, searches should target administrative law decisions about ACCC determinations under Division 4B of Part 3.3 of the Radiocommunications Act 1992, decisions involving the ACCC’s treatment of access undertakings, and disputes arising from ACMA-ACCC information sharing. Relevant sources include Federal Court, Federal Circuit and Family Court decisions, the Administrative Appeals Tribunal where reviewable, and any published decisions of the Australian Communications and Media Authority that went to judicial review.

Conclusion on available material

• On the basis of the instrument text supplied alone, there is no litigation history to summarise or cite. Any further litigation history must be developed by external case-law research beyond the text of the 2018 Rules themselves.

This section highlights practical traps, friction points and features likely to generate compliance risk or unintended consequences for licensees, public submitters and the two regulators. All references are to the Rules as provided.

1. Access undertakings and variations must not contain confidential information (rule 12)

• Gotcha: Commercial access terms that licensees commonly regard as confidential cannot be embedded directly in the access undertaking or its variation. Licensees must therefore draft undertakings so that they are public-facing documents without confidential material, and place any necessary confidential detail in supporting documents. This drafting constraint may require additional structuring of commercial arrangements, and misplacing confidential material in the undertaking itself could expose sensitive terms to publication.

2. Tight default timeframes for information requests (rule 10)

• Gotcha: The default time limit for complying with an ACCC request for further information is 14 days where the ACCC does not specify otherwise (rule 10(3)). Non-compliance gives the ACCC power to reject the access undertaking or variation by written notice (rule 10(4)). Importantly, the ACCC may reject an undertaking even if the information is provided after the deadline (rule 10(5)). While the ACCC can extend time limits, it may only do so before or after expiry and not after it has already rejected the undertaking under subrules (4) or (5) (rule 10(6)-(7)). In practice, a licensee that misses the 14-day default or any specified deadline risks losing consideration of its undertaking entirely.

3. Procedural burden for confidentiality claims (rule 13(4))

• Gotcha: A confidentiality claim is not merely an email request. At the time of providing supporting documents, annual reports or submissions, the claimant must supply reasons for confidentiality, an unmarked copy, a clearly marked copy and a masked copy suitable for publication (rule 13(4)(a)-(d)). Preparing masked documents and justifications imposes administrative costs and legal review time. Failure to supply the required versions can result in the ACCC publishing material in full. Also, the ACCC’s eventual decision on whether to withhold material is discretionary (rule 13(5)), so confidentiality is not guaranteed.

4. Mandatory endorsement for electronic confidential documents (rule 7(4))

• Gotcha: If an electronic document is provided and confidentiality is claimed, it must be endorsed with the exact phrase "Confidential Restriction on Publication Claimed" (rule 7(4)). An incorrect or omitted endorsement may weaken the procedural claim and complicate the ACCC’s handling of the submission.

5. Public submissions must be electronic and can be time-limited (rules 7(2) and 8(2))

• Gotcha: Members of the public must submit electronically unless the ACCC approves otherwise (rule 7(2)). The ACCC can set periods for lodging submissions (rule 8(2)) and is required to consider submissions made within the period, but only may, and is not obliged to, consider submissions outside it (rule 8(3)). Interested third parties should not assume that late submissions will be considered and must watch for ACCC-specified lodgement windows.

6. Prohibition on imposing conditions on ACCC use (rule 14)

• Gotcha: Licensees and third parties cannot impose limitations on how the ACCC uses supporting documents, annual reports or submissions other than accepted confidentiality claims or written ACCC agreement (rule 14(1)-(3)). Clauses in contracts trying to restrict ACCC use will be of no effect. Parties must secure a specific, prior written agreement from the ACCC to limit use, which may be difficult to obtain.

7. ACCC discretionary power to dispense with a Rule (rule 6)

• Gotcha: While the ACCC can waive compliance with requirements either before or after the occasion for compliance arises (rule 6), that power is discretionary and may be applied inconsistently. Licensees should not assume waivers will be granted and should build compliance into business processes.

8. ACCC refusal to consider on grounds that are partly subjective (rule 17)

• Gotcha: The ACCC may refuse to consider an access undertaking if it is "not given in good faith" or was given to "frustrate or undermine" the administration of Division 4B (rule 17). These grounds involve interpretive judgments and could be grounds for dispute or judicial review if exercised improperly. Licensees should maintain records showing good faith and legitimate purpose to mitigate the risk.

9. Inter-agency timelines are short and reciprocal (rules 15 and 16)

• Gotcha: ACMA must forward certain instruments and notices to ACCC within 14 days (rule 15(1)), and the ACCC must reciprocate with certain items within 14 days (rule 16(1)). Where licensing events under the Act occur, both agencies must act promptly. Delays in one agency can have knock-on effects on access processes. Licensees relying on ACMA action to progress ACCC matters should factor in potential sequencing delays.

10. Annual report content is prescriptive and timing is tight (rule 18)

• Gotcha: Annual reports must be delivered within 60 days after the financial year and must include specified compliance and remedial information, changes to joint venture membership and authorisations of third party users (rule 18(1)-(2)). Failure to file on time or failure to include required content may expose licensees to follow-on administrative challenge or publication by the ACCC (rule 18(3)). Preparing a compliant annual report requires internal processes to capture compliance, remediation timelines and corporate change information.

11. Publication risk from ACCC (rules 13 and 18)

• Gotcha: The ACCC can publish supporting documents, submissions and annual reports on its website (rule 13(1), rule 18(3)). Even where partial confidentiality is accepted, the ACCC decides what to withhold (rule 13(5)). Commercially sensitive data therefore faces a real disclosure risk unless properly masked and justified.

12. Definitions rely on the Act (Schedule 1)

• Gotcha: Several core terms are defined by reference to the Radiocommunications Act (for example "eligible joint venture company", "standard access obligations", "excess-capacity access obligations") (Schedule 1). Licensees and advisers must cross-check the statutory definitions in the Act rather than rely solely on the Rules’ text when determining obligations.

To mitigate these practical pitfalls, close process design, early legal review, strict internal timelines and proactive engagement with the ACCC are recommended. The next section outlines steps to achieve compliance.

This section provides a concrete, step‑by‑step compliance checklist drawing directly from the Rules and suggesting practical process measures to reduce risk. Each step references the controlling Rule number or Schedule provision.

1. Prepare electronic submission capacity (rule 7)

• Ensure you can generate and submit electronic documents in formats acceptable to the ACCC. The ACCC may specify requirements on its website (rule 7(3)). Confirm acceptable file types, maximum sizes and any portal mechanisms in advance. Document internal policies and training so supporting documents and annual reports are produced electronically by default.

2. Appoint and document a nominated contact person (rule 9(1)(c)-(d), rule 9(2))

• For each access undertaking or variation, nominate a contact person and record their position, telephone number, email address and an Australian delivery address, plus any other information ACCC may require (rule 9). Publish internal responsibilities and escalation points to ensure rapid response to ACCC requests. Maintain up-to-date contact details and a standing authorised representative to receive notices.

3. Draft access undertakings and variations without confidential material (rule 12)

• Access undertakings and variations must not contain confidential information (rule 12). Draft public-facing versions of undertakings that omit commercially confidential detail. Place any necessary confidential detail in supporting documents prepared for ACCC consideration, not in the undertaking itself.

4. Prepare supporting documents with confidentiality procedures in mind (rules 7(4), 13(2)-(4))

• If supporting documents contain confidential elements, prepare at lodgement:
  • Reasons for confidentiality (rule 13(4)(a)).
  • An unmarked copy of the full document (rule 13(4)(b)).
  • A clearly marked copy that shows the parts claimed confidential (rule 13(4)(c)).
  • A masked copy suitable for publication, with confidential parts obscured (rule 13(4)(d)).
• Endorse the electronic file with the exact phrase "Confidential Restriction on Publication Claimed" where confidentiality is requested (rule 7(4)). Maintain a redaction log and legal justification for each claimed confidential segment. Build these steps into your submission workflow to avoid late production.

5. Monitor and observe time limits for information requests (rule 10)

• Record the date you receive any ACCC request for further information. If the ACCC specifies a time limit, comply within that time. If no time is specified, the default is 14 days from the date of the ACCC request (rule 10(3)). Treat the 14-day default as binding in internal processes and seek extensions proactively from the ACCC where needed (rule 10(6)). Because the ACCC may reject undertakings where required information is not supplied within time, keep completion records and request written confirmation if extensions are granted.

6. Prepare for possible rejection or refusal to consider (rules 10 and 17)

• Maintain internal records showing that the undertaking was submitted in good faith, with supporting reasons, and not for the purpose of frustrating administration. Keep contemporaneous evidence of legitimate commercial rationale, communications with the ACCC and third parties, and corrective steps taken to remedy any procedural gaps, to defend against claims under rule 17.

7. Build annual report processes (rule 18)

• Implement an annual reporting process to compile, by year end plus 60 days, the matters specified in rule 18(2). The annual report must cover:
  • Compliance with the access undertaking and standard and excess-capacity access obligations (rule 18(2)(a)-(c)).
  • Compliance with obligations under s 118NP (rule 18(2)(d)).
  • Any non-compliance, reasons, remedial steps and expected completion dates (rule 18(2)(e)-(g)).
  • Changes to membership of the eligible joint venture company (rule 18(2)(h)).
  • Any authorisation of third party users (rule 18(2)(i)).
• Keep governance sign-off and evidence trails to support each annual report entry.

8. Schedule ACMA interactions and monitor ACMA notices (rules 15 and 16)

• Track ACMA notices and instruments listed in rule 15(1)(a)-(j) that relate to your licence and ensure copies are provided to ACCC within the 14-day window when ACMA issues them. Internally, prepare to receive copies of ACCC notices and audit reports that ACCC must share with ACMA under rule 16, and coordinate with counsel or compliance teams to respond to any such items.

9. Control dissemination of contractual restrictions on ACCC use (rule 14)

• Do not assume contractual clauses can restrict ACCC use of documents. Any attempt to impose such limitations will be ineffective unless the ACCC has agreed in writing before documents are provided or the confidentiality claim has been accepted (rule 14(1)-(3)). If you require protections beyond standard confidentiality, seek a written agreement from the ACCC in advance.

10. Recordkeeping and time-stamping

• Keep accurate time-stamped records of all lodgements, requests, ACCC communications and submissions. Because many of the Rules’ effects hinge on dates (for example rule 10(3) defaults, and rule 18 reporting periods), document creation and transmission dates will be critical in any dispute.

11. Engage early with ACCC for complex confidentiality or procedural issues

• Where substantial confidential information must be lodged, or where unusual circumstances may delay compliance, approach ACCC in advance to seek written agreement on format, timing or confidentiality scope. Use the ACCC’s capacity to dispense with compliance (rule 6) and to agree to limitations in writing (rule 14(3)) where appropriate.

12. Train staff and counsel on procedural specifics

• Train submission teams and legal counsel to follow procedural steps precisely: ensure the confidentiality endorsement is correctly phrased, that unmarked/marked/masked versions are provided simultaneously, and that access undertakings exclude confidential material. A small drafting slip can convert an intended confidential submission into a public disclosure.

13. Maintain dispute and review readiness

• Because the ACCC may reject or refuse to consider an access undertaking (rules 10 and 17), maintain a litigation readiness plan that includes evidence gathering for good faith, communications logs, and legal arguments should judicial review or administrative appeal be necessary.

14. Cross-reference statutory definitions (Schedule 1)

• Verify definitions used in the Rules against the Radiocommunications Act definitions cited in Schedule 1 for terms like "eligible joint venture company", "standard access obligations" and "excess-capacity access obligations". The substantive rights and obligations these terms invoke are defined in the Act and may affect what content must be included in supporting documents and annual reports.

15. Use checklists at lodgement

• Create pre-lodgement checklists mirroring the Rules:
  • Is the undertaking free of confidential information? (rule 12)
  • Are supporting documents electronic and endorsed if confidential? (rule 7(1)-(4))
  • Have unmarked, marked and masked copies been prepared with reasons for confidentiality? (rule 13(4))
  • Are all required contact details and company member names included? (rule 9)
  • Have timelines for ACCC requests been calendared? (rule 10)

Following these structured steps will reduce the most significant compliance risks posed by the Rules. Where uncertainty exists, seek early written clarification from the ACCC to secure specific agreements on timing or confidentiality and to ensure procedural compliance is demonstrable.
