### 197 Proceedings against corporations > [*\[Section 197 Inserted by No. 60 of 2013, s. 12, Applied:01 Mar 2014\]*](/view/html/inforce/2014-03-01/act-2013-060#GS12@EN) > > > (1)  If a corporation commits an offence against this Part and it is proved that the offence occurred with the knowledge and consent of an officer of the corporation, or a person purporting to act as an officer of the corporation, that person, as well as the corporation, commits the offence. > > > (2)  If the affairs of a corporation are managed by its members, [subsection (1)](#GS197@Gs1@EN) applies in relation to the acts and defaults of a member in connection with the member's functions of management as if the member were an officer of the corporation.
