Corporations (Ancillary Provisions) Regulations 2001

The regulations rest on two statutory concepts: new reference and the application of section 11 of the Corporations (Ancillary Provisions) Act 2001. These interact in a small number of tightly worded subrules.

Defined term , new reference (regulation 3)

• The regulations define a new reference as a reference to the new corporations legislation, the new ASIC legislation, or a provision or group of provisions of that legislation (reg 3). The definition is deliberately compact. The regulations do not define the precise identity of the "new" Commonwealth laws in the text, but they identify the class of references that will be subject to the interpretative rules set out in regulations 4 and 5.

Section 11(1) mapping (regulation 4)

• Regulation 4 controls how section 11(1) of the Corporations (Ancillary Provisions) Act 2001 applies. Section 11(1) of that Act is not reproduced in the regulations, but regulation 4 states where s 11(1) does not apply and where it should be read as effecting a substitution from "include a reference" to "to be a reference" for certain kinds of pre-existing references in State instruments (reg 4(1A), 4(2), 4(3)). The rules in reg 4(3)(a) to (d) list four categories of pre-existing instrument references that are to be treated as exact references, rather than inclusive ones:
  • meanings-giving provisions that define a term by reference to the old Corporations Law (4(3)(a));
  • provisions that operate by reference to a person’s status under the old Corporations Law, but only where the context indicates a current status is intended (4(3)(b));
  • provisions that give a person a status "as if" the old Corporations Law applied, but only where the context indicates a current status is intended (4(3)(c));
  • provisions that apply a provision of the old Corporations Law as a law of the State (4(3)(d)).
• Regulation 4(4) clarifies that the categories in 4(3) may overlap and are not mutually exclusive.

Section 11(5) mapping (regulation 5)

• Regulation 5 sets exceptions and transitional savings for section 11(5) of the Act. It lists specific State Acts to which s 11(5) does not apply (reg 5(1)(a) to (c): Corporations (Ancillary Provisions) Act 2001 and two Corporations (Consequential Amendments) Acts). It also excludes application of s 11(5) to new references where, immediately before the "relevant time", the State provision did not expressly refer, or was not taken to include a reference, to a corresponding provision of the national scheme law (reg 5(2)). The note attached to reg 5(2) explains that some pre-existing State references to the Companies Act 1961 and other corporation laws did not include references to the national scheme law prior to the cooperative scheme changes, and that some such references were replaced in the Corporations (Consequential Amendments) Acts (this explanatory material is part of the regulation text). Finally, reg 5(3) provides that, unless the contrary intention appears, a new reference to which reg 5(2) applies is to be taken to include a reference to the previous State corporations law for events or things that happened before the "relevant time". In other words, the regulation operates as a transitional saving for past events (reg 5(3)).

Exclusions and special rules

• Regulation 4(1A) and 4(2) specify that s 11(1) does not apply to regulations, rules or by-laws other than the Rules of the Supreme Court 1971 (reg 4(1A)) and to references in a provision of an instrument made under an Act that provides for the commencement of such an instrument (reg 4(2)). Thus subordinate instruments are predominantly excluded from the automatic mapping, with a narrowly defined exception for the Rules of the Supreme Court 1971 (reg 4(1A)).

Commencement and compilation

• The regulations commence concurrently with the Corporations (Ancillary Provisions) Act 2001 (reg 2). The compilation table in the regulations records amendments in 2001, 2002, 2003 and 2009 and a reprint as at 21 Jan 2005. Regulation 4 also contains a bracketed note recording that it was amended on several occasions (see end of reg 4).

The main conceptual effect is interpretative fiat: the regulations constrain statutory interpretation by providing precise rules for mapping older State references into new Commonwealth references, and they save coverage for prior State laws in defined circumstances.

The regulations affect a limited universe of actors by changing how statutory cross-references operate after the new Commonwealth corporations legislation and ASIC legislation come into force. Those affected include the following categories.

Instrument drafters and legislative counsel

• The regulations change the interpretative effect of pre-existing statutory language. Legislative drafters and counsel who prepare or review State Acts, regulations, rules and by-laws must consider the rules in reg 4 and reg 5 when assessing whether a pre-existing reference to an "old Corporations Law" now becomes an explicit reference to the new Commonwealth laws or remains tied to pre-existing State law for past events. The defined term new reference (reg 3) is the key trigger for that analysis.

Administrator agencies and departments that make instruments under Acts

• Departments and statutory authorities that make subordinate instruments under State Acts are affected because the regulations exclude most subordinate instruments from the automatic application of s 11(1), with the exception of the Rules of the Supreme Court 1971 (reg 4(1A)). That changes whether an administrative instrument will be treated as referring to the new Commonwealth corporations law after the national scheme comes into operation. For instruments that are rules of court, the mapping may be different.

Courts and tribunals

• Courts and tribunals are affected because they will apply these regulations as part of statutory interpretation when construing pre-existing State provisions that refer to corporations law. Regulation 4(3) instructs that certain types of references are to be treated "as if the words 'to be a reference' in that subsection were substituted for the words 'to include a reference'", which alters how judges read the interplay between State instruments and the new Commonwealth legislation.

Persons who hold statuses or rights derived from the old Corporations Law

• The regulations preserve, in limited circumstances, a person’s status under pre-existing State corporations law for acts and events that occurred before the "relevant time", via reg 5(3). This affects individuals and entities whose rights, liabilities or statuses depend on past events that occurred under State corporations law.

Legal practitioners advising corporate clients and compliance officers

• Lawyers and compliance officers must interpret client exposures with the transitional mapping in mind. For example, the regulations guide whether a pre-existing State definition, status or applied provision continues to be read with reference to the old State law for past transactions, or whether it is to be read strictly as a reference to a Commonwealth provision after the scheme switch. This affects contract risk allocation, disclosure and retrospective obligations.

Regulatory bodies referenced indirectly in the text

• The regulations mention the new ASIC legislation as an object for new references (reg 3). Entities that deal with ASIC-like regulatory functions may need to track whether State references to regulators are to be read as references to the new Commonwealth regulator or as references to previous State regulatory arrangements for pre-existing matters.

Who does not bear direct new obligations

• The regulations do not create new offences, licensing requirements or direct civil obligations on private businesses beyond altering interpretation of pre-existing statutory references. They are transitional and interpretative in nature. Any compliance cost is therefore largely indirect: the cost of reviewing instruments and re-evaluating legal positions in light of the new interpretative rules.

Geographical and temporal scope

• The regulations operate in Western Australia and tie their temporal operation to the "relevant time" when the Corporations Act 2001 (Cwlth) comes into operation, per reg 2 and the note to reg 5(2). They create specific retrospective treatment for past events (reg 5(3)) and specify that certain prior references did not include references to the national scheme law immediately before the relevant time (reg 5(2) and accompanying note).

In sum, the primary payers of compliance costs are legislative drafters, government instrument-makers, courts and practitioners; the primary decision-makers are Parliament and relevant instrument‑making bodies who must apply the interpretative rules in practice. Private persons are affected only insofar as the reinterpretation of pre-existing statutory references changes the legal framework applicable to their historic or current corporate statuses.

The regulations do not create broad new duties or rights in the manner of a substantive Act. Instead they impose interpretative obligations on decision-makers and preserve limited rights by way of transitional savings. The key operative rules create duties for statutory construction and reading of specific references. Below are the principal duties and the legal consequences they produce.

Duty to treat defined "new reference" consistently (regulation 3)

• The regulations define new reference and thereby create a duty for anyone construing legislation to identify whether a particular cross-reference is to the new corporations legislation or the new ASIC legislation, or their provisions (reg 3). That identification triggers the application of the mapping rules in regs 4 and 5.

Duty on courts and administrators to apply the exceptions to s 11(1) (regulation 4)

• Regulation 4 imposes a duty to exclude section 11(1) of the Act from applying to certain categories of instruments. For example, s 11(1) does not apply to any regulations, rules or by‑laws other than the Rules of the Supreme Court 1971 (reg 4(1A)). Also, s 11(1) does not apply to a reference in a provision of an instrument made under an Act that provides for the commencement of such an instrument (reg 4(2)). Those are instructions to contexualise and exclude s 11(1) in particular settings.

Duty to read certain references as exact substitutes (regulation 4(3))

• Regulation 4(3) tells the interpreter that, unless a contrary intention appears, s 11(1) should be applied as if the words "to be a reference" replaced "to include a reference" for the listed kinds of pre-existing references. The duty here is to treat particular meanings‑giving provisions, status references, "as if" status clauses and State-law-application provisions as precise cross-references rather than inclusive ones. The categories are set out in reg 4(3)(a) to (d). This has the legal consequence that, for those categories, the pre-existing State instrument should be read as referring directly to the new Commonwealth provision, subject to context (reg 4(3) and reg 4(4)).

Duty to preserve prior State law for past events (regulation 5(3))

• Regulation 5(3) imposes a duty of preservation: a new reference that would otherwise sweep in the Commonwealth law is to be taken as including the previous State corporations law for events, circumstances or things that happened or arose before the relevant time, unless a contrary intention appears. This is a transitional saving. The immediate effect is that rights and obligations that crystallised before the changeover remain governed by the old State law, unless the statute indicates otherwise (reg 5(3)).

Exclusions from s 11(5) (regulation 5(1))

• Regulation 5(1) lists three Acts to which s 11(5) of the Corporations (Ancillary Provisions) Act 2001 does not apply: the Corporations (Ancillary Provisions) Act 2001 itself, the Corporations (Consequential Amendments) Act 2001, and the Corporations (Consequential Amendments) Act (No. 2) 2003. That is a duty on interpreters to exclude s 11(5) from affecting those enactments.

No new private civil liabilities or criminal offences created

• The text of the regulations contains no provisions that directly create private duties enforceable by civil claim or criminal offence. The instrument is interpretative. Any rights or liabilities of private parties that change will be a consequence of how other State instruments are read after applying these rules, but the regulations themselves set only how references are to be read (see regs 4 and 5).

Right to rely on pre-change legal status for past acts (regulation 5(3))

• Individuals and corporations whose legal status or rights arose before the "relevant time" have a right to have those events governed by the previous State corporations law where a new reference would otherwise sweep them into the national law, subject to the "unless the contrary intention appears" qualification (reg 5(3)). This is a preserved legal position rather than a positive right created by the regulations.

Interpretative limits and contextual qualification

• Several provisions are framed with the qualification "unless the contrary intention appears or the context otherwise requires" (reg 4(3) opening words; reg 5(3) opening words). That inserts discretion for interpreters to depart from these default rules where context demonstrates a different legislative intention. The duty, therefore, is not absolute; it requires contextual statutory construction.

In practice the key duties are therefore interpretative obligations on courts, drafters and administrators to apply the mapping and savings rules set out in regulations 3 to 5. The rights are largely defensive: the regulations preserve prior legal regimes for past events and prevent some wholesale automatic transpositions of references into the national scheme. The operative sections to refer to are reg 3; reg 4(1A), 4(2), 4(3)(a)-(d) and 4(4); reg 5(1)-(3).

The regulations contain no penalty provisions, enforcement mechanisms or administrative sanctioning powers within their text. Their character is interpretative and transitional rather than coercive. The immediate enforcement implications fall into three categories.

Absence of direct offences or penalties

• The regulations do not create offences, fines or civil penalty regimes. They do not contain an enforcement section specifying penalties or administrative enforcement processes. Enforcement therefore depends on ordinary legal mechanisms, court and tribunal interpretation of statutory provisions where the regulations are relevant.

Application by courts and tribunals

• The practical enforcement of the regulations lies in judicial and tribunal decisions about statutory construction. Courts will apply the interpretative instructions in regulation 4 and regulation 5 when construing relevant State provisions, and disputes about whether a pre-existing provision should be read as a new reference or as preserved under prior State law will be resolved in litigation or administrative review as part of ordinary proceedings. The regulations alter how a court must read the text; any sanction or remedy arises from existing civil, administrative or equitable law rather than from these regulations.

Administrative compliance and correction processes

• Because the regulations are primarily targeted at the interaction between the State’s instruments and the incoming national scheme, administrative bodies (legislative drafters, departments, agencies, statutory authorities) will need to apply the mapping rules when preparing, amending or enforcing instruments. Non-compliance with the mapping rules is not itself penalised by the regulations, but misreading or misapplying them could have consequences in litigation or internal review when an affected party challenges an administrative act that depends on the wrong interpretative approach.

Transitional dispute risk

• The regulations create points of potential dispute where parties may disagree about whether an instrument’s reference should be read as a new Commonwealth reference or preserved as a reference to old State law for past events. Those disagreements would be resolved under usual dispute resolution mechanisms. The regulations do not prescribe an expedited or specialist enforcement forum.

Amendment and retrospective application

• The regulations include a compilation table recording subsequent amendments (2001, 2002, 2003, 2009) and a reprint (as at 21 Jan 2005). Any enforcement action will reference the law as amended at the relevant time. The regulations themselves set out transitional rules (reg 5(3)) which may limit opportunities for retrospective sanction by preserving prior legal positions for past events.

Practical implication

• For practitioners, the salient enforcement point is that the regulations change interpretative outcomes rather than create standalone penalties. Enforcement will be via application of the interpretative rules in litigation, statutory construction exercises, or administrative review. Where a court is required to determine whether a status or meaning is governed by pre- or post-change law, the court will apply the rules in regs 4 and 5 as part of the legal framework.

The reader should therefore treat the regulations as an interpretative tool to be applied in dispute resolution and statutory compliance work rather than as a source of standalone penalties or administrative enforcement mechanisms.

The regulations are expressly designed to interact with the Corporations (Ancillary Provisions) Act 2001 and with the incoming national corporations scheme. The text names specific Acts and kinds of provisions whose meaning is to be shifted when the "new corporations legislation" and the "new ASIC legislation" come into operation. The interaction is interpretative and transitional; the regulations instruct how to read cross-references between State instruments and national scheme laws.

Direct interaction with the Corporations (Ancillary Provisions) Act 2001

• The regulations operate as subordinate instruments that modify the application of section 11 of the Corporations (Ancillary Provisions) Act 2001 (regulations 4 and 5 reference s 11(1) and s 11(5) respectively). They do not amend that Act but specify where and how its s 11 provisions are to be applied or not applied. For example, regulation 4 states that "Section 11(1) of the Act does not apply" in specified situations (reg 4(1A) and 4(2)), and regulation 5 lists Acts to which section 11(5) does not apply (reg 5(1)). The regulations therefore sit as glosses that guide the construction and operationalisation of s 11.

Relationship to State instruments and subordinate legislation

• Regulation 4(1A) excludes most regulations, rules or by-laws (other than the Rules of the Supreme Court 1971) from s 11(1) operation. This instructs an interpretative boundary between State subordinate instruments and the national corporations references. For subordinate instruments that were not intended to become references to national law automatically, the exclusion prevents an unintended sweep.

Interaction with the Rules of the Supreme Court 1971

• The regulations make a single explicit exception: the Rules of the Supreme Court 1971 are not excluded (reg 4(1A)). That means those Rules may continue to be read so that s 11(1) applies to them, subject to the other provisions of regulation 4. The rules therefore treat court procedure instruments differently from most other subordinate instruments.

Relationship to prior State corporations laws and consequential amendment Acts

• Regulation 5(1) lists three State Acts,Corporations (Ancillary Provisions) Act 2001, Corporations (Consequential Amendments) Act 2001, and Corporations (Consequential Amendments) Act (No. 2) 2003,to which s 11(5) does not apply. Regulation 5(2) and its explanatory Note identify that certain references to the Companies Act 1961 and other corporation laws in force before the cooperative national scheme did not include references to the national scheme law immediately before the relevant time. This linkage shows the regulations operate alongside the State’s consequential amendment Acts and the prior State corporate statute corpus by preserving, where appropriate, references to the previous State law for past events (reg 5(3)).

Transitional savings and temporal interaction

• Regulation 5(3) expressly provides that a new reference is taken to include a reference to a previous State corporations law in relation to events, circumstances or things that happened before the "relevant time", unless a contrary intention appears. In other words, the regulations create an explicit temporal interaction: retroactive acts and situations remain governed by the previous State law for past events, subject to textual indications to the contrary.

Limits on automatic importation of Commonwealth law

• By specifying categories where s 11(1) is not to apply, and by substituting "to be a reference" for "to include a reference" in certain circumstance (reg 4(3)), the regulations restrict automatic importation of Commonwealth law into State instruments. The effect is to prevent a blanket reading that would make all pre-existing references implicitly include or be references to the new Commonwealth corporations framework.

Practical consequence for statutory architecture

• The regulations therefore alter how the statutory architecture of corporations law in Western Australia relates to the national corporations scheme. They function as a textual bridge that both imports and preserves depending on context: some references are converted into exact references to the new Commonwealth laws (subject to context) while others are preserved for past events as references to previous State law.

Interactional caution

• The regulations include multiple "unless the contrary intention appears or the context otherwise requires" qualifications (see reg 4(3) and reg 5(3)). Those phrases preserve the overarching rule of purposive construction and allow interaction with other statutory provisions to defeat the default mapping where Parliament’s intention is clear.

In sum, the regulations interact with other laws by instructing how s 11 of the Corporations (Ancillary Provisions) Act 2001 applies, by exempting most subordinate instruments from automatic mapping, by treating court rules specially, and by saving prior State law for past events. The primary instruments to consult concurrently with these regulations are the Corporations (Ancillary Provisions) Act 2001 and the Corporations (Consequential Amendments) Acts listed in reg 5(1), as those interactions are embedded in the text.

The regulations include an explicit compilation table and internal amendment notes that together record the legislative history and timing of changes. The history in the text shows multiple amendments in the early 2000s and a later amendment in 2009, as well as a reprint date. Below is a chronological summary, tied to what the regulations record.

Original enactment

• The Corporations (Ancillary Provisions) Regulations 2001 were Gazette-notified on 29 June 2001 (p. 3258‑60) and commenced on 15 July 2001, contemporaneously with the Corporations (Ancillary Provisions) Act 2001 via regulation 2 and a Commonwealth Gazette reference (compilation table row 1).

Amendments in 2001

• The regulations were amended by Corporations (Ancillary Provisions) Amendment Regulations 2001, Gazette 28 September 2001 p. 5352, which commenced 28 September 2001 (compilation table row 2). There is also an entry for Corporations (Consequential Amendments) Regulations 2001 Pt. 5, Gazette 28 September 2001 p. 5353‑8, which had retrospective effect aligning to 15 July 2001 (compilation table row 3). Another amendment is recorded as Corporations (Ancillary Provisions) Amendment Regulations (No. 2) 2001, Gazette 7 December 2001 p. 6186‑7, commencing 7 December 2001 (compilation table row 4).

Amendment in 2002

• Corporations (Ancillary Provisions) Amendment Regulations 2002, Gazette 8 October 2002 p. 5096, commenced 8 October 2002 (compilation table row 5).

Amendment in 2003

• Corporations (Ancillary Provisions) Amendment Regulations 2003, Gazette 1 August 2003 p. 3295‑6, commenced 1 August 2003 (compilation table row 6). Regulation 4 carries bracketed text indicating amendments at several Gazette dates including 8 Oct 2002 and 1 Aug 2003 (see end of reg 4).

Reprint

• A reprint is recorded: Reprint 1 of the Corporations (Ancillary Provisions) Regulations 2001 as at 21 January 2005, which incorporates the amendments noted above up to that date (compilation table row 7).

Amendment in 2009

• Corporations (Ancillary Provisions) Amendment Regulations 2009, Gazette 31 December 2009 p. 5401‑2, commenced 1 January 2010 (compilation table row 8). That amendment is recorded in the compilation table; the regulation text itself also shows a bracketed amendment note at the end of regulation 4 referencing amendments to 31 Dec 2009.

Textual amendment notes

• Regulation 4’s bracketed note explicitly lists the Gazette dates and pages at which it was amended: Gazette 28 Sep 2001 p. 5352 and 5355; 7 Dec 2001 p. 6187; 8 Oct 2002 p. 5096; 1 Aug 2003 p. 3295; 31 Dec 2009 p. 5401‑2. Regulation 5 was also amended (see the end of reg 5: "Regulation 5 amended: Gazette 1 Aug 2003 p. 3296.").

Practical reading of amendment scope

• The regulations do not include the text of the prior versions or indicate the substantive content of each amendment in the compilation table. The bracketed notes identify which regulations were amended and at what dates, but practitioners must consult the Gazette entries cited in the compilation table and bracketed notes to see the exact textual changes. The reprint as at 21 Jan 2005 consolidates amendments up to that date and provides a single text incorporating those changes.

Implication for users of the regulations

• When relying on these regulations for interpretative purposes it is necessary to verify the version relevant to the matter in question by date, because the regulations have been amended several times. The compilation table provides the Gazette citations and commencement dates that allow a user to locate the amending instruments and to assess whether the version in force at a given time differs from the current consolidated text.

In short, the annotated amendment history in the regulations is concise: the instrument was created in mid‑2001, amended several times in 2001 through to 2003, reprinted as at 2005, and further amended with effect from 1 January 2010. The specific Gazette citations appear in the compilation table and the bracketed notes appended to regulation 4 and regulation 5.

The regulations themselves do not include any case references, judicial commentary, or reported litigation in the text. The printed document contains no list of cases and no mention of judicial decisions that have interpreted these particular regulations. Consequently, from the material supplied here, the litigation history is absent.

What the absence means for practitioners

• Because the regulations do not cite cases, and no litigation history is embedded in the text, users must treat the regulations as an interpretative code whose judicial application is unresolved in the document. The absence of reported cases in the regulation text does not mean that courts have never considered these provisions; it merely means the instrument does not record any decisions. For practical work, practitioners should search case law databases and published judgments to determine whether courts have applied regulation 4 or regulation 5 in disputes concerning statutory references between State instruments and the national corporations scheme.

Points of likely dispute in litigation

• The regulations establish several interpretative points that are prone to litigation, although no cases are listed here. Areas that could give rise to disputes include:
  • Whether a given provision in a State instrument was intended to confer a "current status" under the old Corporations Law and therefore should be read as an exact reference to the new legislation (reg 4(3)(b) and 4(3)(c));
  • Whether a meaning‑giving provision was intended to be a definition "by reference" to the old Corporations Law or merely to include it, which affects whether the new Commonwealth law supplants the prior definition (reg 4(3)(a));
  • The scope of the temporal saving in reg 5(3), namely whether particular events, circumstances or things "happened or arose" before the relevant time and thus remain governed by prior State law;
  • The application of the exclusions for subordinate instruments under reg 4(1A), particularly for instruments that straddle procedural and administrative functions such as court rules.

Necessary steps for litigation readiness

• For litigation, the practitioner will need to:
  • Identify the precise version of the regulations in force at the relevant time by consulting the compilation table and Gazette notices (see compilation table rows and reg 4 bracketed note);
  • Locate judgments in which courts have applied regs 4 and 5 to assess interpretative trends;
  • Analyse the statutory context to determine whether the "unless the contrary intention appears" qualification is engaged in any particular case.

Limitations on relying on the regulation text alone

• Because this document contains no judicial exposition, it is incomplete for litigation strategy. The text provides only the statutory starting point: the rules as Parliament set them. The practical outcome in any dispute will depend on how courts have applied these rules to facts, which is information not supplied in the regulation text.

In sum, the regulation document contains no litigation history. Practitioners must therefore add a case search and statutory contextualisation exercise to their due diligence when litigating issues that turn on these regulations.

The regulations are brief yet raise several non-obvious practical traps for drafters, administrators and advisers. These are specific, text‑grounded pitfalls that arise from the regulations’ drafting choices and their interaction with the Corporations (Ancillary Provisions) Act 2001.

1. The narrow definition of new reference is the trigger

• The word new reference is defined narrowly in regulation 3 as a reference to the new corporations legislation, the new ASIC legislation, or a provision or group of provisions of that legislation. If a State provision uses different language or refers generically to "corporations law" without specifying the new Commonwealth laws, one must take care to ascertain whether the provision falls within the regulatory mapping. Misidentifying what qualifies as a new reference will produce incorrect interpretative outcomes (reg 3).

2. Exclusion of subordinate instruments other than Rules of the Supreme Court 1971 (reg 4(1A))

• Regulation 4(1A) removes most regulations, rules and by‑laws from the application of s 11(1), except the Rules of the Supreme Court 1971. Drafters often assume that subordinate instruments will automatically map to new Commonwealth references. This regulation prevents that automaticity. Practitioners who rely on an assumed automatic importation of national scheme provisions into subordinate instruments may be mistaken unless the instrument is the Supreme Court Rules or the instrument’s text expressly incorporates the change.

3. Commencement timing and the "relevant time" (reg 2 and reg 5(2) Note)

• The regulations commence "at the same time that the Corporations (Ancillary Provisions) Act 2001 comes into operation" (reg 2). Regulation 5(2)’s saving depends on the state of references "immediately before the relevant time", which is the moment when the Commonwealth Corporations Act 2001 comes into operation (see reg 5(2) Note). Failure to pin down the relevant commencement dates and versions of the laws can lead to incorrect retrospective or prospective application of the mapping rules.

4. "Unless the contrary intention appears" creates litigation points (reg 4(3) and reg 5(3))

• Multiple provisions qualify the default mapping with the "unless the contrary intention appears or the context otherwise requires" language (reg 4(3) and reg 5(3)). That means the regulations set defaults, not absolutes. Determining whether a contrary intention exists is expressly left to contextual statutory construction, which is often fact-sensitive and contested. Litigators should expect disputes over whether the context requires departing from the default substitution.

5. Overlapping categories in reg 4(3) (reg 4(4))

• Regulation 4(4) notes that the kinds of references in reg 4(3)(a) to (d) are not necessarily mutually exclusive. A single State provision can fall into multiple categories, which complicates the analysis of whether to read "to be a reference" in place of "to include a reference". Practitioners must analyse the provision on its own language, considering potentially multiple grounds for substitution.

6. Preserving past events creates continuity but also complexity (reg 5(3))

• Regulation 5(3) protects prior State law for events that happened before the relevant time. That preserves legal predictability for past transactions but requires careful temporal sorting: practitioners must determine whether the events, liabilities or statuses at issue actually arose before the relevant time. If there is doubt about timing, disputes may ensue.

7. Specific exclusions for certain Acts in reg 5(1)

• The regulation expressly excludes section 11(5) from applying to the Corporations (Ancillary Provisions) Act 2001, the Corporations (Consequential Amendments) Act 2001, and the Corporations (Consequential Amendments) Act (No. 2) 2003 (reg 5(1)). Users may incorrectly assume that those consequential amendment Acts are covered by the mapping; they are not. That has drafting and interpretation consequences for consequential amendment texts that intentionally replaced references to old State law.

8. The Rules of the Supreme Court 1971 as a special case

• Because reg 4(1A) preserves the application of s 11(1) to the Rules of the Supreme Court 1971, procedural rules and practice directions may map differently from other subordinate instruments. Court practitioners should not assume that procedural texts behave the same way as administrative by‑laws or departmental regulations.

9. Amendment history requires version scrutiny

• The compilation table records multiple amendments and a 2005 reprint. The presence of several amendments means that the text readers rely upon must be verified for the relevant date. A practitioner referencing the regulations without checking the version in force at the relevant time risks relying on an incorrect textual formulation for litigation or advice.

10. No stand-alone enforcement mechanism

• The regulations do not create penalties or enforcement regimes. Parties seeking to enforce interpretative outcomes must do so via ordinary litigation or administrative processes. That can lead to delays and additional costs in resolving disputes that hinge on how references were meant to operate.

In short, the primary "gotchas" are timing, the narrowness of the triggers, the exclusion of subordinate instruments (other than court Rules), the "unless the contrary intention appears" qualification and the need to apply the temporal saving in reg 5(3) carefully. Each of these points is textually grounded in regs 2 to 5 and the compilation table. Practitioners should not assume automatic mapping of all State references into the national scheme; they must test each provision against the rules in regulation 4 and regulation 5.

Compliance with these regulations is primarily a task for legislative drafters, government instrument-makers, court administrators and legal advisers. The regulations do not demand procedural filings or registrations; compliance consists of correct statutory construction, timely review of instruments and accurate documentation of the intended cross-reference. Below are practical, source-grounded steps to comply, each tied to the relevant regulation.

1. Identify whether a provision contains a "new reference" (regulation 3)

• Action: For each State Act, regulation, rule or by‑law that currently refers to corporations law, identify whether the text matches the definition of a new reference: a reference to the new corporations legislation, the new ASIC legislation, or a provision or group of provisions of those laws (reg 3).
• Why: The mapping rules in regs 4 and 5 apply only where a new reference is at issue. Misclassification leads to misapplication of reg 4 or reg 5.

2. Check whether the instrument is excluded under reg 4(1A)

• Action: Determine whether the instrument is a regulation, rule or by‑law. If it is, note reg 4(1A) that s 11(1) does not apply to such instruments other than the Rules of the Supreme Court 1971. For the Supreme Court Rules, treat them as potentially subject to s 11(1) as modified by reg 4.
• Why: Most subordinate instruments will not be swept into the default mapping; these exclusions materially change the interpretative outcome.

3. For commencement-sensitive provisions, pin down the relevant time (regulation 2 and reg 5(2) Note)

• Action: Ascertain the precise date and time when the Corporations (Ancillary Provisions) Act 2001 and the Commonwealth Corporations Act 2001 came into operation for the State. Use those dates to determine whether an event occurred before or after the "relevant time" for the purposes of reg 5(3).
• Why: The temporal saving in reg 5(3) applies to things that happened before the relevant time. Clear temporal categorisation is necessary to decide which law governs past events.

4. Analyse whether a provision fits into any reg 4(3) category

• Action: Review each relevant State provision to see if it is: a) a meaning-giving provision that defines a term by reference to a provision of the old Corporations Law (reg 4(3)(a)); b) a provision operating by reference to a person's status under the old Corporations Law where the context indicates a current status is referred to (reg 4(3)(b)); c) a provision that provides that a person has a certain status as if the old Corporations Law applied, where the context indicates a current status is referred to (reg 4(3)(c)); d) a provision that applies a provision or group of provisions of the old Corporations Law as a law of the State (reg 4(3)(d)).
• Why: If a provision falls within one or more of these categories, the interpreter is to read s 11(1) as effecting substitution of "to be a reference" for "to include a reference" (reg 4(3)), subject to context.

5. Document context and contrary intentions

• Action: For any provision where reg 4(3) or reg 5(3) might apply, prepare a short memorandum setting out the textual and contextual reasons either for or against applying the default substitution. Specifically record any express contrary intention in the instrument itself, in the scheme of the Act, or in the consequential amendment Acts listed in reg 5(1).
• Why: Both regs 4(3) and 5(3) are qualified by "unless the contrary intention appears or the context otherwise requires". That evidentiary record will assist courts, tribunals or auditors later.

6. Apply the saving for past events when advising on historic transactions (regulation 5(3))

• Action: When advising about rights, liabilities or statuses arising from events occurring before the relevant time, include a discrete analysis applying reg 5(3). If a provision is a new reference to which reg 5(2) applies, treat it as including the previous State corporations law for prior events, unless the instrument indicates otherwise.
• Why: This preserves legal continuity and is likely to be relevant in litigation or compliance assessments involving historic facts.

7. Check exclusions for the specified Acts in reg 5(1)

• Action: If dealing with the Corporations (Ancillary Provisions) Act 2001 or the Corporations (Consequential Amendments) Acts of 2001 and 2003, note that s 11(5) does not apply to those Acts (reg 5(1)). Adjust interpretative approaches accordingly.
• Why: These Acts were treated specially by the regulations, and their text may therefore need separate analytical treatment.

8. Maintain version control and consult the compilation table

• Action: Use the compilation table at the end of the regulations to identify all amending instruments and to verify which version of the regulations applied at the relevant time. Where advice or litigation relies on any historical version, obtain the Gazette notices cited for precise textual amendments (compilation table and bracketed amendment notes).
• Why: The regulations have been amended several times. Ensuring the correct version avoids errors in statutory construction or historical analysis.

9. Apply conservative drafting where uncertainty exists

• Action: If drafting new State instruments or amending existing ones, consider expressly stating whether references are intended to be to the State law or to the national scheme, and whether they are intended to operate retrospectively or prospectively. If the instrument is intended to pick up the national law, draft clear language effecting that intention to avoid the need to rely on default mapping rules.
• Why: The regulations leave open the possibility that context or a contrary intention will displace their defaults. Express language reduces litigation risk.

10. Train relevant staff and counsel

• Action: Provide short guidance notes to legislative counsel, departmental policy teams and court administrators explaining the specific exceptions in reg 4(1A), the categories in reg 4(3), the savings in reg 5(3) and the definition in reg 3. Include checklists to apply when reviewing instruments that mention corporations law.
• Why: The interpretative changes are technical. Operational compliance requires that the people who draft and apply instruments understand those technical points.

These compliance steps flow directly from the text of the regulations: reg 3 defines the trigger; reg 2 fixes commencement; reg 4(1A), 4(2), 4(3) and 4(4) set the principal mapping rules; reg 5(1) to (3) set the savings and exclusions; and the compilation table provides versioning information. Following the steps reduces the risk of misreading cross-references and preserves legal certainty for historical matters.
