Coptic Orthodox Church (Victoria) Property Trust Act 2006

The Act is short and focused; the main legal constructs are statutory incorporation, vesting/transfers of trust property and liabilities, substitution and succession in law, trustee powers, fund pooling, and administrative facilitation for land title and tax.

• Statutory incorporation and corporate form: The Trust is created as a body corporate with perpetual succession and an official seal (s 5(1)-(3)). A statutory seal is presumptively valid in court, and sealed instruments require signatures from not less than two members of the Trust (s 5(3)-(5)). This yields a conventional corporate trustee model, with capacity to hold property and to sue or be sued (s 5(2)(a)-(c)).

• Vesting and substitution: The Act effects immediate, statutory transfers without the need for conveyancing steps to pass beneficial or legal title as between the Bishop, the listed Church associations and the Trust. Section 13 vests property and rights held by the Bishop on trust for the Church in the Trust and imposes the Bishop's trustee liabilities on the Trust (s 13(1)). Section 14 performs equivalent transfers from the Church associations and cancels their incorporations, substitutes the Trust as party to arrangements and declares the Trust successor in law (s 14(1)(a)-(e)). Schedule 2 itemises land to be vested and land subject to mortgage; Schedule 1 lists the associations affected.

• Preservation of existing trusts, gifts and dispositions: The Act contains non-failure and substitution provisions for past and future gifts, dispositions and trust funds. Section 15 declares that a gift or trust previously held for the Bishop, the Church or a Church association does not fail because of the Act and, to the extent it can take effect on or after the appointed day, takes effect for the Trust. Section 16 provides equivalent treatment for trust funds and their application. These provisions are conditional on the instrument being "capable of taking effect" on or after the appointed day.

• Trustee and corporate powers: The Trust’s functions are defined as acting as trustee for the Church, acting as trustee under express trusts created by gift or will, and any other functions conferred by the Act (s 6(1)). Section 11 enumerates wide ancillary powers, such as mortgaging, investing, accepting appointments as executor/administrator, and giving guarantees and indemnities.

• Pooling: Section 12 authorises investment of trust funds held for different purposes as common funds and sets a rateable rule for allocation of income and losses from pooled investments. Loss allocation expressly may be to the detriment of the purposes for which the invested funds were held (s 12(3)).

• Administrative facilitation: Section 17 exempts duties and other taxes in relation to Part 3 transfers; section 18 requires the Registrar of Titles to amend the Register under the Transfer of Land Act 1958 on request and on delivery of certificates or instruments.

• Governance structure: The Trust consists of not fewer than three members, one of whom must be the Bishop; the remaining members are appointed by the Bishop and hold office for terms specified by the Bishop (s 7). The Bishop must publish the appointed day and the names of the first appointed members in the Government Gazette (s 4).

• Meetings and formalities: The Act prescribes meeting procedures including presiding officer rules, majority quorum, voting and minutes, and allows remote attendance (s 10). It leaves procedural details otherwise to the Trust (s 10(6)).

These core concepts interact to create a single statutory corporate trustee that inherits and centralises Church property and trustee obligations, endowed with broad powers to manage and encumber trust property and to pool trust funds.

Primary legal subjects affected are the Bishop (as defined in s 3), the Church associations listed in Schedule 1, the Trust itself, beneficiaries of the trusts and gifts to the Church and the persons who act as members of the Trust. Secondary actors include mortgagees whose security is listed in Schedule 2 Part 2, the Registrar of Titles, and other public authorities that administer duties, taxes or registry functions.

• The Bishop: Before the appointed day the Bishop holds trust property and liabilities for the Church. On the appointed day those trust assets and liabilities vest in and become liabilities of the Trust (s 13(1)). This is an automatic statutory transfer; the Bishop loses the role of holding those assets as trustee and instead becomes a member of the Trust (s 7(2)). The Bishop controls the appointed day (s 4(1)) and appoints other members (s 7(3)), so the Bishop remains central to governance.

• Church associations and their members: The associations named in Schedule 1 are incorporated associations. On the appointed day all their property, rights and liabilities vest in the Trust, they are no longer separate legal entities for matters after that day, and their incorporations are cancelled (s 14(1)(a)-(e); s 14(2)). Contracts and arrangements to which they were parties are, to the extent possible, continued with the Trust as substituted party (s 14(1)(c)). Members, officers and creditors of those associations will find legal relationships transformed, with the Trust as the successor in law and recipient of assets and liabilities.

• Beneficiaries of gifts and express trusts: Persons who have made gifts, dispositions or established trusts in favour of the Bishop, the Church or a Church association are affected because those instruments are conserved and, where capable of taking effect on or after the appointed day, will be treated as being made in favour of the Trust (s 15(1)-(2); s 16(1)-(2)). That affects the legal identity of the recipient trustee and potentially the entity administering gift conditions.

• Mortgagees and secured creditors: Land identified in Schedule 2 Part 2 as subject to mortgage has its liability under mortgage transferred to the Trust on the appointed day (s 13(2)(b)). Mortgagees whose security is listed will have the Trust substituted as obligor for liabilities under those mortgages.

• The Trust’s appointed members and officers: The Trust must consist of at least three members (s 7(1)), the Bishop is one member (s 7(2)), and the Bishop appoints the remaining members and their terms (s 7(3)-(4)). Appointed members may vacate office on death, resignation, insolvency or becoming a represented person under the Guardianship and Administration Act 2019 (s 8). The Bishop may appoint alternative members to act in place of an appointed member during absence or inability (s 9). Thus members and alternatives who serve will exercise corporate and trustee functions and sign sealed instruments (s 5(5)).

• Registrar of Titles and other administrative agencies: The Registrar of Titles must make amendments in the Register under the Transfer of Land Act 1958 as necessary because of the operation of Part 3 on being requested and on delivery of relevant certificates or instruments (s 18). That engages the Registrar and any fees, processes or requirements under the Transfer of Land Act.

• Public revenue agencies and duty/tax administrators: Section 17 expressly prevents the imposition of duty or other taxes under any other Act in respect of the operation of Part 3; that removes tax collection on the transfers effected by the vesting provisions. This provides certainty to donors, the Church and transferees that the statutory transfers are not subject to duties.

• Broader public and contracting parties: Third parties contracting with the Church associations or the Bishop should treat references to those bodies in documents, so far as they relate to periods on or after the appointed day, as references to the Trust unless inconsistent with context or subject matter (s 14(2)). That changes parties’ counterparties and, potentially, notice/consent regimes where counterparty identity matters.

Who pays and who bears risk: The Trust inherits liabilities of the Bishop and the associations (ss 13(1)(b), 14(1)(b)), so creditors and claimants will rely on the Trust’s assets for satisfaction. Where pooled investments lose value, losses are allocated rateably across the purposes for which the pooled funds were held (s 12(3)), which may reduce funding available for specific purposes. The Act does not create a public fund or state liability; the Trust and its assets bear costs and risks arising from liabilities and investments.

The Act sets duties and rights in three domains: corporate-form duties (formalities and governance), trustee duties and discretions (powers to manage trust property), and statutory duties relating to record-keeping and registration.

• Corporate-form duties and rights:

  • Seal and execution: The Trust must have an official seal and keep it as directed by the Trust (s 5(2)(b)-(3)). Courts must take judicial notice of the seal, and documents sealed are presumed properly sealed until the contrary is proved (s 5(4)). Every instrument to which the seal is affixed must be signed by at least two members of the Trust (s 5(5)). This creates an execution formalism: sealed instruments require two member signatures, providing a basic internal control.
  • Meetings and governance: The Trust must keep accurate minutes (s 10(4)). Meetings are governed by the Bishop or, if absent, a member appointed by those present (s 10(1)); the quorum is a majority of members (s 10(2)); voting is by majority with the presiding person having both a deliberative and, on equality, a casting vote (s 10(3)). The Trust may permit remote participation (s 10(5)) and otherwise regulate its own procedure (s 10(6)). These rules set default governance duties (minutes, quorum, voting) while leaving procedural detail to the Trust.

• Trustee duties and rights relating to trust property:

  • Primary functions: The Trust’s functions are to acquire, hold, deal with and dispose of property as trustee for or for Church purposes, to act as trustee under express trusts created by gift or will, and any other functions the Act confers (s 6(1)). Those are trustee-role obligations: the Trust holds property for beneficiaries and Church purposes.
  • Power to invest, encumber and manage property: Section 11 provides the Trust power to mortgage, charge, encumber trust property (s 11(c)), invest or lend trust funds in accordance with trust terms (s 11(d)), accept appointment and act as administrator or executor (s 11(e)), and give guarantees and indemnities (s 11(f)). The Trust may also invest funds for different purposes into common funds and distribute income and losses rateably among those purposes (s 12). These are rights that enable the Trust to manage assets actively but do not, on their face, impose a code of investment prudence other than compliance with the express trust terms.
  • Application of existing trusts and gifts: Sections 15 and 16 preserve the validity and application of gifts and trust funds in favour of the Bishop, the Church or a Church association. Where such dispositions can take effect on or after the appointed day, they take effect in favour of the Trust and for corresponding purposes (ss 15(1)(b), 16(1)(b)). This is a duty on the Trust to honour pre-existing donor intents and express trust terms, to the extent compatible with continued operation.

• Statutory administrative duties:

  • Vesting on the appointed day: The Bishop must publish the appointed day and names of first appointed members in the Government Gazette (s 4(1)-(2)). On that day statutory vesting and transfers occur (ss 13-14). The Trust and Bishop therefore have a duty to ensure the Gazette notice complies with s 4(2) and that the administrative steps follow.
  • Registrar amendments: The Registrar of Titles must make amendments in the Register under the Transfer of Land Act when requested and when relevant certificates or instruments are delivered (s 18). The Trust has the right to request those amendments and must deliver instruments to the Registrar.
  • Tax exemption: The operation of Part 3 is protected from duty and other taxes under any other Act (s 17). Practically, this removes tax compliance costs associated with property transfers effected by the Part, but the Trust should retain documentary records showing the statutory basis for the exemption in the event of contest.

• Membership rights and removal:

  • Composition and appointment: The Trust comprises not fewer than three members (s 7(1)); the Bishop is a member (s 7(2)); other members are appointed by the Bishop (s 7(3)) for terms specified by the Bishop (s 7(4)). Appointed members vacate office on death, resignation, insolvency or becoming a represented person within the meaning of the Guardianship and Administration Act 2019 (s 8). The Bishop may appoint alternative members to act during absence or inability, and alternatives have full powers of the member they replace (s 9). Thus appointment, term and removal are controlled by the Bishop, with statutory removal events.

• Rights of contracting parties and successors:

  • Substitution in contracts: The Trust is substituted as a party to any arrangement or contract entered into by a Church association as at the appointed day (s 14(1)(c)). References to a Church association in documents are to be read as references to the Trust for periods on or after the appointed day, subject to consistency with context (s 14(2)). This confers rights on counterparties to treat the Trust as their counterparty for post-appointed day obligations, without needing new consent if the document allows.

These duties and rights allocate operational control to the Trust with the Bishop as a central appointing authority. They create obligations to preserve donor intents and trust purposes while enabling active asset management and liabilities handling.

The Act contains no express criminal offences, pecuniary penalties or administrative sanctions applied directly to trustees, members or officers of the Trust. It provides structural, vesting and administrative mechanisms but does not enact enforcement provisions specific to conduct other than standard presumptions and registration duties.

• No statutory penal provisions within the Act text: The Act does not impose statutory fines, penalties or enforcement mechanisms for non-compliance with the provisions such as failing to publish the Gazette notice, failing to keep minutes, or failing to deliver instruments to the Registrar. The operative provisions are enabling and vesting, not punitive. Where enforcement is required, it would generally be through existing common law remedies or other legislation that governs trustee conduct, corporate governance or property rights.

• Court and trustee accountability: Because the Trust is a body corporate acting in a trustee capacity, classic trustee duties under general trust law and equity will apply where matters arise that fall within the Trust’s functions. The Act itself defines functions and confers powers; it does not extinguish equitable obligations that would arise when a statutory trustee acts. Thus enforcement of trustee duties (for example in cases of breach of trust, improper application of funds, or negligent investment) would be by application to courts having jurisdiction over trusts rather than by reference to penalties in this Act. The Act does not specify dispute-resolution mechanisms or internal disciplinary procedures for members.

• Registration and title mechanics: Section 18 places a positive duty on the Registrar of Titles to make necessary amendments upon request and on delivery of certificates or instruments. That statutory obligation is an administrative direction rather than a penal sanction; any failure of the Registrar to act would be remedied by existing administrative law avenues (judicial review) or statutory obligations of the Registrar under the Transfer of Land Act.

• Tax and duty exemption as a protective mechanism: Section 17 states that no duty or other tax is chargeable under any other Act in respect of the operation of Part 3 or anything done under or connected with that Part. That provision effectively prevents revenue enforcement against the transfers, but it imposes no penalty for non-application; it provides immunity rather than enforcement.

• Effect on creditors and mortgagees: The Act makes the Trust liable for liabilities of the Bishop and the Church associations (ss 13(1)(b), 14(1)(b)), and mortgage liabilities listed in Schedule 2 Part 2 become liabilities of the Trust (s 13(2)(b)). Enforcement of such liabilities would be in accordance with existing contract, mortgage and insolvency laws. Creditors can sue the Trust,as the Trust may be sued (s 5(2)(c)),and enforce securities under general law and related statutes.

• Practical enforcement through civil remedies: Because the Act does not create bespoke penalties, enforcement of rights against the Trust or its members will rely upon existing civil law remedies: actions in contract, proprietary claims, equitable claims for breach of trust, claims under the Transfer of Land Act for title rectification, and, where appropriate, public law remedies against registrars or administrative bodies.

In short, the Act creates substantive legal status and obligations but relies on the general legal system, trust law, property law, contract law, and administrative law,for enforcement, rather than providing a regime of bespoke statutory penalties.

The Act explicitly references and interacts with a narrow set of other statutory regimes and more generally operates within the framework of trust law, property law and corporate governance. The main cross-legislative interactions in the text are with the Transfer of Land Act 1958, the Associations Incorporation Reform Act 2012 (as to the character of the associations in Schedule 1), and the Guardianship and Administration Act 2019 (as to when an appointed member vacates office). Beyond these explicit cross-references, the Act relies on general common law and statutory regimes for trustee duties, registration, taxation and insolvency.

• Transfer of Land Act 1958: Section 18 requires the Registrar of Titles to amend the Register under the Transfer of Land Act 1958 on request and on delivery of relevant certificates or instruments where amendments are necessary by reason of Part 3. The Act therefore expects the registration machinery under the Torrens system to record vestings and changes in legal title resulting from the statutory transfers. Schedule 2 lists folios and volumes to be vested and identifies mortgage-encumbered folios; these particulars will determine the Registrar’s actions. The Trust will need to engage the transfer/registration processes under the Transfer of Land Act to reflect the statutory vesting in the public title registers.

• Associations Incorporation Reform Act 2012: Schedule 1 identifies the Church associations as associations incorporated under the Associations Incorporation Reform Act 2012 (Schedule note). The Act cancels the incorporation of each listed association on the appointed day (s 14(1)(e)). This interacts with the administrative oversight and registers maintained under that Act, which administers incorporated associations in Victoria. Although this Act cancels those incorporations, residual or consequential administrative steps (such as updating the incorporated associations register) will follow the Associations Incorporation Reform Act’s processes for cancellation and successor arrangements in a practical sense, even though the statutory cancellation is effected here.

• Guardianship and Administration Act 2019: Section 8’s provision that an appointed member vacates office if they "become a represented person within the meaning of the Guardianship and Administration Act 2019" reflects an amendment to align incapacity consequences under that Act. This interacts directly with incapacity assessments and guardianship determinations.

• Taxation and duties: Section 17 expressly ensures no duty or other tax is chargeable under any other Act in respect of the operation of Part 3 or anything done under it, or any act or transaction connected with or necessary to be done by reason of Part 3. That provision interacts with a broad range of taxation and stamp duty laws by excluding the transfers effected under Part 3 from such charges. In practice it removes duty consequences under the Duties Act and similar regimes insofar as the operation falls within Part 3. The Act, however, does not address other tax matters that may arise outside the operation of Part 3; for example, income tax consequences from later income or dispositions are not dealt with in the Act and remain governed by taxation law.

• Trust law, equity and corporate law: The Act does not displace general trustee law or equitable duties to beneficiaries. Although the Trust is created by statute and given corporate powers, common law and equitable principles applying to trustees and fiduciaries will ordinarily govern conduct, investments and duties to beneficiaries and to preserve donor intents, unless inconsistent with statutory provisions (e.g. pooling power in s 12).

• Transfer, mortgage and security law: By vesting mortgages and liabilities listed in Schedule 2 Part 2 in the Trust (s 13(2)(b)), the Act displaces the religious or association corporates as parties to those securities and places the Trust as obligor. How enforcement or priority issues play out thereafter depends on the Transfer of Land Act, mortgage law and the particular terms of security documents.

• Administrative law: The Registrar’s statutory duty under s 18 and administrative actions by registers of incorporated associations will be subject to the usual limits of administrative law, judicial review and statutory procedure.

Overall, the Act effects targeted statutory changes and assumes interaction with corporate registers, land title registers and tax regimes, but it leaves the broad overlay of trust law, tax law and property law to apply in ordinary fashion, modifying particular relationships via the express vesting, succession and exemption provisions.

The Act, as presented, includes incorporated amendments and notes in its endnotes. Two amendments expressly appear in the published Version No. 004 as reflected in the endnotes.

• Associations Incorporation Reform Act 2012: The definition of "Church association" in s 3 was amended by the Associations Incorporation Reform Act 2012 (No. 20/2012), s 226 (Schedule 5 item 6), with that amendment commencing on 26 November 2012 (Special Gazette No. 384) (Endnotes, Table of Amendments). The explicit change in s 3 aligns the Schedule 1 associations with the Associations Incorporation Reform Act 2012 reporting and registration regime.

• Guardianship and Administration Act 2019: Section 8(d) was amended by the Guardianship and Administration Act 2019 (No. 13/2019), s 221 (Schedule 1 item 9), which commenced 1 March 2020 (s 2(2)) (Endnotes, Table of Amendments). This amendment updated the incapacity/representation threshold language to reflect the modern Guardianship and Administration Act framework.

The endnotes provide standard legislative metadata: the Act was assented to on 29 August 2006 and commenced on 30 August 2006 (s 2 and Endnotes). The Minister’s second reading speech dates are recorded for both Houses (Legislative Assembly 19 July 2006; Legislative Council 22 August 2006) in the Endnotes. The Act’s style changes and interpretative notes reference the Interpretation of Legislation Act 1984 for headings, punctuation, examples and other legislative formatting matters (Endnotes section 1).

The Endnotes state that this version incorporates amendments as at 1 March 2020 and that there are no amendments not yet in operation in this version (Endnotes, section 3). The Table of Amendments in the Endnotes itemises the two amending Acts noted above and locates the s and schedule items that effected changes. The explanatory details section of the Endnotes contains no entries (Endnotes, section 4).

There is no record within the Act’s text of any repeals, sunset clauses or staged commencements beyond the appointed day mechanism for the transfers effected by Part 3. The appointed day itself is an administrative commencement lever operated by the Bishop rather than by the Parliament or a minister, meaning the key substantive transfers relied on the Bishop’s selection of date following the Act’s commencement in 2006.

For users tracking legislative history, the Endnotes and Table of Amendments are the authoritative pointer as to what has been consolidated in this published version. Practitioners should consult the Victorian legislation database for any subsequent amendments after 1 March 2020 or subsidiary instruments, but as of this version the two amendments shown are the operative changes.

The Act’s text and Endnotes do not list any judicial decisions, reported litigation, or authoritative determinations interpreting its provisions. The Endnotes include ministerial second reading speech dates but do not cite any case law. Consequently, within the source provided there is no recorded litigation history or appellate interpretation to analyse.

Because the Act creates a statutory trustee and effects transfers that may raise questions of property law, trust law, interpretation of vesting and substitution clauses, and the boundaries of tax exemptions under s 17, it is reasonable (procedurally, not as a statement of existing litigation) to expect that disputes arising from execution, competing claims to property, mortgage priorities, donor intent, or the conduct of the Trust could be litigated under existing civil and equitable jurisdictions. However, the source contains no descriptions or names of cases.

Practitioners needing litigated precedents or judicial construction should therefore conduct a separate case law search in Victorian and federal law databases for judgments that reference the Coptic Orthodox Church (Victoria) Property Trust Act 2006. Relevant areas to search include:

• disputes about statutory vesting and whether the Act properly effected transfer of legal title or merely declared trustee status;
• challenges by creditors or mortgagees in respect of the substitution of parties and transfer of liabilities under s 13 and s 14 and Schedule 2 Part 2;
• disputes about the interpretation and operation of s 15 and s 16 regarding donor intent and the effect of the Act on pre-existing gifts, dispositions or trusts;
• any judicial treatment of s 17’s tax exemption scope in relation to particular transactions connected with Part 3; and
• challenges concerning governance, member appointment or alleged breaches of trust where courts have addressed the duties of a statutory trustee under this Act.

Because the Act grants no bespoke enforcement regime and leaves trust law to general courts, any relevant litigation would be found under trust law or property law reports rather than within administrative penalty case lists. The absence of any litigation references in the Act’s Endnotes is noteworthy: users should not assume there has been no litigation, only that none is recorded in this legislative source. A dedicated search of judicial databases and law reports is required to assemble litigation history.

This Act contains several features that create discrete legal and practical risks or traps for parties who assume mechanical or routine operation without careful compliance.

• Appointed day under Bishop control (s 4): The Bishop, not an external regulator or minister, nominates the appointed day by Gazette notice and must include the names of the first appointed members and the Church associations’ registration numbers (s 4(1)-(2)). That gives the Bishop significant unilateral control over timing. Consequence: pre-appointed day actions by associations or the Bishop may remain effective or subject to change once the appointed day occurs; stakeholders should confirm the date and content of the Government Gazette notice.

• Automatic cancellation of incorporations and substitution as party (s 14(1)(c)-(e)): On the appointed day the incorporations of all Schedule 1 associations are cancelled and the Trust is declared successor in law. This alters contractual counterparties and can operate without obtaining the consent of other contracting parties who may have contract terms requiring consent to assignment. Although s 14(2) requires reading references to the association as references to the Trust for periods on or after the appointed day, contractual anti-assignment clauses could be triggered, and counterparties may assert rights if contracts require personal performance by the original incorporated body.

• Transfer of liabilities and mortgage obligations (ss 13(1)(b), 13(2)(b), Schedule 2 Part 2): The Trust inherits liabilities of the Bishop and the Church associations, including mortgages specifically listed. Creditors and mortgagees may find their debtor is now a statutory corporation. Practical issues may arise in enforcement, registration, satisfaction of mortgages and dealing with priority where mortgages are old or subject to additional encumbrances. The Trust will need to ensure continuity of interest and satisfy lenders where required.

• Preservation of gifts conditional on capability to take effect (ss 15-16): Sections 15 and 16 preserve gifts and trust funds but condition that preservation on the instrument being "capable of taking effect" on or after the appointed day. That is a legal caveat: not all dispositions will survive automatically if, for reason of their terms or timing, they cannot take effect after the appointed day. Assessments will be needed of the technical capacity of each instrument to apply to the Trust.

• Pooling of trust funds and allocation of losses (s 12): The Trust can pool funds held for different purposes into common investments and distribute income rateably. Importantly, s 12(3) states that any loss arising from the investment of a common fund is to be distributed rateably to the detriment of carrying out those purposes. This allocates investment loss across purposes and may reduce funding for a particular purpose more than donors expected. Care is required when pooling funds that have donor-imposed restrictions or when particular purposes are time-sensitive.

• Broad powers to encumber property and give guarantees (s 11(c), (f)): The Trust may mortgage, charge, encumber property and give guarantees or indemnities. Those powers enable borrowing but also introduce default risk that could affect charitable or religious purposes. The Act does not specify internal consent thresholds for encumbrances beyond the signature/seal rules, so internal governance should set controls to limit unintended encumbrancing.

• Minimal prescriptive governance beyond meetings (s 10): The Act sets only basic meeting and execution formalities, leaving the Trust discretion to regulate its own procedure (s 10(6)). There is no statutory code for conflicts of interest, investment mandates, reporting or auditing within the Act. That absence can create legal exposure if members act without robust internal policies or transparency mechanisms; trustees remain subject to general fiduciary duties.

• Execution formalities for sealed instruments (s 5(5)): The official seal must be used only as authorised and sealed instruments must be signed by not less than two members. Given the Bishop will often be one signature, a second member signature will be required. Failure to observe execution formalities could raise evidentiary or title disputes, though courts are required to take judicial notice of the seal (s 5(4)) until contrary proved.

• Registrar amendment requirement depends on delivery of relevant certificates and instruments (s 18): While the Registrar must amend the Register on request, those amendments are not automatic; they depend on delivery of certificates of title or instruments. Practical friction may arise where originals are missing or where mortgagees need to discharge or register their interests.

• Broad tax exemption (s 17) may invite scrutiny: Section 17 exempting duty and other taxes in respect of Part 3 operations is broadly framed. While it appears to remove stamp duty and similar charges, agencies or third parties could challenge whether a later connected transaction falls within the exemption; retaining documentary evidence and legal advice will help defend the exemption.

• Absence of bespoke enforcement or oversight mechanism: Because the Act does not create a supervisory body or reporting regime for the Trust, external stakeholders have limited statutory oversight options specific to this Act. Challenges to trustee conduct must rely on general trust and corporate law remedies.

Practitioners, trustees and counterparties should therefore perform due diligence on the Gazette notice, inspect Schedule 1 and Schedule 2 listings, review trust instruments and funds for compatibility with pooling, secure lender consents or notices where required by security documents, maintain thorough records for the tax exemption, and adopt internal governance measures to manage the wide authorities granted.

Key compliance steps for the Bishop, the Trust and practitioners advising the Church or counterparties break down into pre-appointed day preparation, actions at the appointed day, and post-appointed day operational compliance.

Pre-appointed day

• Prepare Gazette notice (s 4): The Bishop must publish a Government Gazette notice appointing the day for establishment of the Trust and for transfer and cancellation operations (s 4(1)). The notice must include the names of the first appointed members and the name and registration number of each Church association (s 4(2)). Ensure the notice text complies exactly with s 4(2) requirements and confirm publication details and timing with the Government Gazette.
• Identify and document initial members (s 7): Appointed members are chosen by the Bishop (s 7(3)) and their terms specified by the Bishop (s 7(4)). Prepare appointment instruments or minutes recording the terms, start dates and delegated powers to create an evidentiary trail for execution formalities later.
• Review affected trusts and dispositions (ss 15-16): Audit existing gifts, dispositions and trusts in favour of the Bishop, the Church or the Church associations to identify instruments that might not be "capable of taking effect" on or after the appointed day. Seek legal advice on any problematic dispositions that may require donor re-documentation or court approval.
• Engage with mortgagees and creditors (s 13(2)(b)): Identify mortgagees listed in Schedule 2 Part 2. Notify them of the intended appointed day, provide statutory references, and, where practical, seek written confirmations of administrative steps or any lender requirements to register the Trust as debtor under mortgage terms.
• Prepare title and certificate documents: Assemble relevant certificates of title, instruments and other materials that the Registrar will require under s 18. Confirm original documentation location and arrange secure handling.

Actions on and immediately after the appointed day

• Confirm Gazette publication and effect: Ensure the Gazette notice is published and retain official copies. The appointed day triggers statutory vestings (ss 13-14); retain evidence of publication.
• Execute sealing and signing formalities (s 5): The Trust’s official seal must be used as authorised, and sealed instruments require signatures of not less than two members (s 5(3)-(5)). For any documents transferred or executed post-appointed day, ensure two members sign sealed instruments. Record authorisations for seal use.
• Register title changes (s 18): Request the Registrar of Titles to make necessary Register amendments, delivering certificates of title and instruments as required by s 18. Ensure the Registrar has the Schedule 2 folio details and authority to amend the Register under the Transfer of Land Act. Follow up to confirm amendments and obtain updated title searches demonstrating the Trust as registered proprietor or noting the Trust’s interest consistent with the statutory vesting.
• Communicate to counterparties: Notify contracting parties, tenants, service providers and banks that the Trust is the successor in law to the listed associations and to the Bishop’s trustee role (s 14(1)(c)-(d), s 14(2)). Where contracts require consents for assignment, assess whether consent is required or whether s 14(2) operates to alter references without consent; seek legal advice where commercial risk exists.

Ongoing operational compliance

• Governance records and minutes (s 10(4)): Keep accurate minutes of Trust meetings and record decisions on investments, encumbrances, grants and pooling. Maintain records evidencing quorum and votes given the majority rule and casting vote provision (s 10(2)-(3)).
• Investment and pooling documentation (ss 11(d), 12): When investing or pooling funds, document the basis for pooling, the rateable allocation methodology for income and loss, and ensure that pooling is consistent with the terms of any underlying express trusts. For funds held subject to donor restrictions, obtain legal advice before pooling to avoid breach of trust.
• Encumbrance controls (s 11(c), (f)): Adopt internal policies governing when the Trust may mortgage or encumber property and when it may give guarantees. Require board/Trust member approvals, and where necessary, legal counsel review of security documentation. Ensure any mortgage registration steps are properly executed and contemporaneously recorded with the Registrar.
• Execution controls: Ensure all sealed instruments are handled under an authorisation regime and signed by at least two members. Maintain a seal register recording when the seal is used and for what document.
• Records for tax exemption (s 17): Retain documentation showing that transfers and related acts fall within Part 3, including copies of the Gazette notice, minutes, transfer instruments, and correspondence with the Registrar. Although s 17 exempts duty and other taxes, documentation will be needed to evidence the statutory basis for any later audit or dispute.
• Member appointment and vacancy processes (ss 7-9): Implement processes for appointing alternative members under s 9, and for recording vacancies under s 8. Document terms specified by the Bishop under s 7(4). Confirm processes where a member becomes insolvent or a represented person, and manage replacements and notifications in line with those events.
• Compliance with external law: Maintain ongoing compliance with general trust law obligations and charity regulatory obligations where applicable (for example, Australian Charities and Not-for-profits Commission reporting if the Trust is a registered charity). The Act does not displace obligations under those regimes.
• Liaise with registries: After statutory vesting and registration steps, ensure Consumer Affairs Victoria, the register of incorporated associations and other relevant bodies are updated as necessary, even though the Act effects cancellation and substitution. Practical administrative follow-up may be required to reconcile registers and public information.

Practical checklist for advisers

• Confirm Gazette notice and retain proof.
• Compile list of all gifts, trusts, lands and mortgages identified in Schedules and elsewhere.
• Deliver title documents to Registrar and obtain amended titles.
• Review and, if necessary, re-document any donor instructions that might fail the "capable of taking effect" test.
• Put in place signed delegations, seal authorisations and investment/borrowing policies.
• Advise mortgagees and creditors of the substitution and ensure security registers reflect the Trust as necessary.
• Implement minutes, recordkeeping and reporting systems for trust governance.

Following these steps will help align operational practice with the Act’s mechanics and minimise execution and legal exposure risk.
