Coorong Environmental Trust Act 2021

The Act organises around a small set of durable legal concepts and mechanisms that determine governance, accountability and operational scope.

1. Statutory corporate entity and perpetual succession (s4). The Trust is a body corporate, able to sue and be sued, with a common seal. This is the legal wrapper for contracting, holding funds and carrying on operations.

2. Membership‑based governance (Part 2). Membership is granted to persons who represent organisations with a professional, financial, physical or legal commitment to the Coorong’s ecological wellbeing (s5(1)). Initial members are appointed by the Minister (s5(2)); thereafter, membership is admitted by resolution of the Trust or under Trust rules (s5(3)). Prospective organisational representatives must sign a declaration of commitment before admission (s5(4)). Membership confers voting rights (s9(1)) but not proprietary rights in Trust assets and limits member liability for Trust debts (s6(1)-(2)).

3. Board of management (Part 3). A seven‑member board runs day‑to‑day operations (s11(1)-(2)). Of these, five are to be members of the Trust and elected or appointed under the Act; two are ministerially appointed (s11(2)). The board composition must include a Ngarrindjeri Aboriginal Corporation representative and a public service employee from the relevant administrative unit (s11(4)(a)-(b)). The board has a quorum of five directors (s19(1)) and makes decisions by majority vote, with the presiding member holding a casting vote in equality (s19(2)-(3)).

4. Director eligibility, term and removal (s12-13). Directors (except minister‑appointed ones) are elected at the annual general meeting (s12(1)). Terms are two years (s12(3)), and eligibility exclusions include undischarged bankruptcy, being a Trust employee, or not being entitled to vote (s12(2)). Directors can be removed by the Trust for certain grounds and the Minister can remove ministerially appointed directors (s13).

5. Duties and integrity regime (ss15-17). Directors must disclose direct or indirect personal or pecuniary interests in matters under consideration, must not participate in deliberations on those matters, and must be absent during deliberations (s15(1)). There are monetary maximum penalties ($10,000) for breaches of disclosure and for duties to act honestly, with reasonable care and diligence and to avoid improper use of position or information (ss15, 16). A disclosed interest immunises contracts from avoidance (s15(2)), while non‑disclosure can render contracts avoidable (s15(3)). The Act provides immunity for honest acts or omissions but not for culpable negligence, and attaches civil liability that would otherwise fall on a director to the Trust (s17).

6. Functional focus on data, monitoring and independent advice (s21). The Trust’s statutory functions prioritise creation and maintenance of an environmental data repository (s21(a)), preparation of an annual "State of Our Estuary" report with stakeholder engagement (s21(b)), independent scientific advice (s21(d)), guidance for future research (s21(e)), monitoring environmental flow and water quality (s21(f)-(g)), independent assessment of proposed ecological solutions (s21(h)), fundraising (s21(i)), and the capacity to perform functions assigned by regulation (s21(j)).

7. Governance instruments and discretion (ss10, 20, 25, 26). The Trust must create rules for membership, management and operations and publish them online (s10). The board and Trust may delegate functions by written instrument (ss20, 25). The Governor may make regulations and delegates may be empowered to determine matters or exercise discretion, including provision that "any matter or thing is to be determined ... according to the discretion of the Trust" (s26(2)(c)). This architecture centralises operational detail in the Trust’s rules and in subordinate regulations rather than in the primary Act.

8. Accountability and oversight (ss23-24). The Trust must keep proper accounting records and prepare annual statements; the Auditor‑General audits those accounts (s23). The Trust must provide an annual report to the Minister by 30 September each year and the Minister must table it within six sitting days (s24). These reporting and audit mechanisms embed parliamentary oversight.

9. Committees and advisory arrangements (s22). The Act requires the Trust to establish two named committees, a Fundraising committee and a Wetland Science committee (s22(1)-(2)), and permits other advisory committees as necessary (s22(3)). The Trust appoints committee members and sets procedures unless committees determine them under delegated authority (s22(4)).

10. Funding and staffing flexibility (s14, s21(i)). The Trust may engage staff on terms it sees fit (s14) and may raise money to fund its functions (s21(i)). The Act does not prescribe salary scales, appropriations or minimum staffing levels.

These main concepts create a hybrid governance model: member‑based legitimacy, a professionally constituted board, ministerial appointments and reporting obligations. The Act delegates significant operational detail to rules and regulations, giving the Trust latitude to design procedures and financial arrangements within the statutory framework.

The Act explicitly targets a small set of actors and a broader set of stakeholders through its functional remit.

• Organisations representing an interest in the Coorong: Membership (s5(1)) is limited to persons representing organisations with a "professional, financial, physical or legal commitment to the ecological wellbeing of the Coorong." Those organisations are required to make a formal commitment by signing a statement before appointment or admission (s5(4)). Practical effect: organisations that fund, research, manage land/water, provide services or hold legal responsibilities over parts of the Coorong are the primary constituents.

• Individual representatives of those organisations: The Act treats members as persons representing organisations, with voting and membership rights (ss5, 9). Membership confers governance participation rights but not proprietary or financial obligations to Trust debts (s6).

• Ngarrindjeri Aboriginal Corporation: The Act guarantees representation on the board (s11(4)(a)) and permits appointment of a deputy to act in the representative’s absence (s11(5)(a)). The Ngarrindjeri Aboriginal Corporation, as defined in the Act (s3), is a named stakeholder, explicitly incorporated into board composition. That imposes a role on the Corporation to furnish a representative and to participate in governance.

• Public Service administrative unit: One director must be an employee of the administrative unit of the Public Service responsible for assisting in the administration of the Act (s11(4)(b)), with the same provision for a deputy (s11(5)(b)). This embeds an operational connection with the public sector and provides a conduit for administrative alignment.

• Minister and Governor: The Minister makes initial member appointments (s5(2)), appoints two directors (s11(2)(b)), receives and tables the annual report (s24), and has the power under s13(2) to remove the two ministerially appointed directors for cause. The Governor makes regulations under s26. These powers mean executive and parliamentary arms can influence composition, oversight and subordinate law.

• Directors and board: Directors are charged with day‑to‑day management (s11(1)), subject to duties of disclosure, honesty, care and diligence and potential penalties for breaches (ss15-16). Directors decide operational matters including delegations, committee appointments and procedural rules (s20, s22, s19). They also set remuneration for directors (s12(6)).

• Funders and donors: The Trust may raise money (s21(i)) and must keep accounts and be audited (s23). Potential funders, philanthropic bodies, industry, private donors and government grant programmes, are affected because donations or grants will be contracted with a corporate Trust that must comply with disclosure and contract rules (s15).

• Researchers, policy writers and community stakeholders: The Trust has functions to prepare a "State of Our Estuary" report and to present opportunities for community, policy writers and researchers to discuss outcomes (s21(b)). This affects researcher access to repository data (s21(a)), and anticipates engagement with the broader scientific and community groups.

• Auditors and Parliament: The Auditor‑General audits accounts (s23), and the Minister tables the annual report in Parliament within six sitting days (s24(3)). Parliamentary scrutiny and Auditor‑General oversight place administrative compliance burdens on the Trust.

• Staff engaged by the Trust: Staff are employees of the Trust and the Trust may determine their terms and conditions (s14), affecting employment law, payroll and industrial relations within the Trust’s operations.

• Parties contracting with the Trust or with directors: Section 15 regulates contracts where a director has an interest. If a director discloses and complies with the section, contracts are not avoidable and the director need not account for profits (s15(2)). Failure to comply exposes contracts to avoidance by the board (s15(3)). Thus contractors and third parties must consider potential avoidance risk.

Who bears costs and faces obligations:

• Members must sign a statement of commitment (s5(4)), may be required to provide assistance to the Trust as per rules, and can be removed for ceasing to represent their organisation or for other reasonable grounds (s5(5)).
• Directors bear statutory duties with monetary penalties and must avoid conflicts and improper use of position or information (ss15-16).
• The Trust must resource and maintain a data repository, run monitoring programs and prepare an annual report (s21(a)-(b)), implying operational costs which the Act expects to be met by fundraising or other resources (s21(i)).

Who decides matters:

• The Trust determines its own procedures and rules (ss8(6), 10(1)), the board decides operational matters (s19(2)), and the Minister and Governor retain appointment, removal and regulation‑making powers (ss5(2), 11(2)(b), 13(2), 26).

Overall, the Act affects a focused set of environmental organisations and their representatives, the Ngarrindjeri Aboriginal Corporation, certain public servants, directors and staff, donors, researchers and Parliament through oversight functions.

The Act creates a compact of rights, obligations and formal duties for members, directors, the board and the Trust as an institution. The following are the principal duties and rights, grounded in the Act’s provisions.

Membership rights and duties

• Right to vote at Trust meetings (s9(1)), subject to procedural rules. Members may nominate proxies by written notice and those proxies are treated as members for the meeting (s9(2)-(4)).
• Right to be given notice of meetings: at least 7 days written notice specifying time and place of each meeting (s7(3)). Annual general meeting must be held at least once a year (s7(2)). A meeting may be called by the presiding member, the board or by at least 10% of voting members (s7(1)).
• Duty to sign a statement of organisational commitment before appointment as a member (s5(4)).
• Limited financial liability: members are not liable to contribute to Trust debts except as provided by the Act (s6(2)).
• No property right: membership does not confer rights or title in Trust assets except as the Act provides (s6(1)).

Board and director duties and rights

• Duty to manage day‑to‑day affairs: the board carries out day‑to‑day operations and manages general affairs (s11(1)).
• Composition rights: five directors will be members of the Trust and two appointed by the Minister (s11(2)). The board must include designated profiles (Ngarrindjeri rep, a public service employee, and a spread of expertise across areas such as finance, biological science, fisheries, hydrology, engineering and community education) (s11(4)(a)-(c)).
• Election and term rights: directors (other than ministerial appointees) are elected at the AGM and serve two‑year terms, eligible for re‑election (s12(1), (3)).
• Eligibility duties and exclusions: disqualification from election if undischarged bankrupt, an employee of the Trust, not entitled to vote, or otherwise ineligible under the Trust rules (s12(2)). Office becomes vacant on death, resignation, disqualification, conviction of an indictable offence, guilt of an offence under s15, or removal under s13 (s12(4)).
• Disclosure and conflict rules: a director with a direct or indirect personal or pecuniary interest in a matter under board consideration must disclose the nature and extent of that interest to the board as soon as aware, must not participate in deliberations or decisions, and must be absent when deliberations occur (s15(1)). A disclosure must be recorded in the minutes (s15(6)). The Act does not apply to interests shared in common with a substantial proportion of members (s15(7)). If a director discloses the interest and complies with the section, contracts are not avoidable and the director is not liable to account for profits from the contract (s15(2)). If a director fails to disclose, the contract is liable to be avoided by the board (s15(3)), subject to a bona fide purchaser protection (s15(4)). The Trust may direct divestiture or resignation where holding an interest is inconsistent with the proper discharge of duties (s15(5)).
• Integrity duties with monetary penalties: directors must act honestly and with reasonable care and diligence (s16(1)-(2)); must not make improper use of information (s16(3)) or their official position (s16(4)). Each of these subsections carries a maximum penalty of $10,000. Section 16 is additional to other laws (s16(5)).
• Immunity and civil liability allocation: a director incurs no civil liability for an honest act or omission in the performance or purported performance of functions except for culpable negligence (s17(2)-(3)); civil liability that would otherwise attach to a director attaches instead to the Trust (s17(4)).
• Remuneration: a director is entitled to remuneration, allowances and expenses determined or approved by the Trust (s12(6)).

Board procedural rights and duties

• Quorum and voting: a board quorum is five directors; decisions by majority vote are decisions of the board; the presiding member has a casting vote if votes are equal (s19(1)-(3)). Directors may participate by teleconference (s19(4)), and written concurrence may be treated as a board decision (s19(5)).
• Minutes: accurate minutes must be kept (s19(6)).
• Delegation: the board may delegate functions or powers to a director or other person by instrument in writing; the delegation may be absolute or conditional, revocable at will, and may permit further delegation if the instrument so provides (s20(1)-(3)).

Trust institutional duties and rights

• Rule‑making and publication: the Trust must prepare, adopt and maintain rules on membership, management and operations and ensure they are published on a website (s10(1)-(2)). The Trust may determine its own procedures (s8(6)).
• Functions: the Trust is required to perform an enumerated set of functions including data repository creation, State of Our Estuary reporting and stakeholder engagement, independent scientific advice, water quality and flow monitoring, assessment of proposed ecological solutions, fundraising and any function assigned by regulation (s21).
• Committees: the Trust must establish Fundraising and Wetland Science committees and may establish others; it appoints committee members (s22(1)-(3)). Procedures for committees are set by the Trust or by the committee if not otherwise determined (s22(4)).
• Accounts and audit: the Trust must keep proper accounting records and prepare annual statements; the Auditor‑General audits the accounts each financial year (s23(1)-(2)).
• Annual reporting and parliamentary tabling: the Trust must forward an annual report to the Minister by 30 September each year; the Minister must table the report within six sitting days (s24(1), (3)).
• Delegation of Trust functions: the Trust may delegate to the board or to particular persons or bodies by instrument in writing; delegations are revocable at will and may be further delegated if the instrument permits (s25).
• Regulation and discretion: the Governor may make regulations for matters necessary for the Act; regulations may include provisions that allow the Trust discretion to determine or regulate prescribed matters (s26(1)-(2)).

Key procedural rights that can trip participants

• Voting values: at Trust meetings resolutions are carried if the "value of the votes" supporting a motion exceeds the value against it, and in equality the presiding person’s vote decides (s8(4)). The Act does not itself define vote weights; the Trust’s rules are the locus for that detail (s10(1)).
• Member removal: the Trust has power to resolve to discontinue membership on multiple grounds, including cessation of representation or failure to provide assistance toward Trust functions in accordance with the rules (s5(5)(a)(i)).

Collectively, the duties and rights create a structure where member organisations retain participatory rights but not property rights, directors are given significant management duty with statutory integrity obligations, the Trust is empowered to functionally direct environmental research and monitoring, and oversight lies in audit and parliamentary reporting.

The Act sets out a narrowly framed enforcement and penalty architecture, concentrating criminal/monetary penalties on director conduct and placing other compliance obligations into administrative remedies, contractual avoidance or removal powers.

Monetary penalties

• Disclosure and related offences under s15: the maximum penalty for a failure to comply with the disclosure obligation in s15 is $10,000 (s15(1) indicates "Maximum penalty: $10 000" immediately after the subsection). The exact text provides that a director who has a direct or indirect personal or pecuniary interest must disclose and must not take part in deliberations and must be absent.
• Duties of honesty, care and diligence under s16: multiple subsections carry a maximum penalty of $10,000. Specifically, acting honestly (s16(1)), acting with reasonable care and diligence (s16(2)), not making improper use of information (s16(3)), and not making improper use of official position (s16(4)) each are followed by "Maximum penalty: $10 000."

Removal, avoidance and administrative sanctions

• Removal from office: the Trust may remove a (non‑ministerial) director by resolution under the Trust’s rules for breach or non‑compliance with appointment conditions, misconduct, or failure or incapacity to perform duties satisfactorily (s13(1)). The Minister may remove a ministerially appointed director on like grounds (s13(2)). The power to remove is an administrative sanction available to the Trust and Minister respectively.
• Contract avoidance for non‑disclosure: if a director fails to disclose an interest or fails to comply with the requirements of s15 in relation to a proposed contract, the contract is liable to be avoided by the board (s15(3)). This is a form of civil enforcement: contracts may be set aside. There is a protective rule for bona fide purchasers , a contract may not be avoided if a person has acquired an interest in the subject property in good faith for valuable consideration and without notice of the contravention (s15(4)).
• Direction to divest or resign: if in the Trust’s opinion a particular interest is inconsistent with proper discharge of duties, the Trust may direct the member to divest or to resign; non‑compliance is a ground for removal (s15(5)).
• Civil liability reallocation and immunity: s17 shifts civil liability for an honest act or omission from a director to the Trust; directors have immunity from civil liability for honest acts or omissions, but not for culpable negligence (s17(2)-(3)). This reduces the risk of private suits against directors for honest mistakes but leaves culpable negligence as a potential exposure.

Audit and parliamentary oversight

• Auditor‑General audits: the Auditor‑General must audit the Trust’s accounts each financial year (s23(2)). The Auditor‑General’s audit functions are an external compliance tool. The Act does not specify sanctions for adverse audit findings but audit reports commonly produce public visibility and may prompt political or administrative action.
• Annual reporting and tabling: the Trust must forward an annual report to the Minister by 30 September; the Minister must cause copies to be laid before both Houses of Parliament within six sitting days (s24(1), (3)). Parliamentary exposure in response to reporting or audit findings is an indirect enforcement mechanism.

Procedural compliance requirements

• Minute keeping and recording of disclosures: minutes must be kept for Trust and board proceedings (ss8(7), 19(6)), and disclosures by directors must be recorded (s15(6)). Failure to keep statutory minutes could lead to governance challenges and may be cited in administrative reviews or audits.
• Accounting records and statements: the Trust must keep proper accounting records and prepare annual statements (s23(1)). Non‑compliance is likely to be flagged by the Auditor‑General and by Parliamentary scrutiny.

Regulatory enforcement

• The Governor may make regulations necessary or expedient for the Act (s26(1)). Regulations could prescribe offences, penalties or enforcement mechanisms not in the principal Act; the text authorises broad regulatory empowerment, including delegations to the Trust in subordinate legislation (s26(2)(c)). The Act therefore leaves route points for additional enforcement measures to the regulation‑making power.

Scope and limits of enforcement

• The Act concentrates criminal monetary penalties on director integrity obligations; there are no stated criminal offences for other operational failures of the Trust in the text. The principal remedies for governance or contractual impropriety are removal of directors, contract avoidance and Auditor‑General and Parliamentary scrutiny. The Act’s civil‑liability allocation and director immunity provisions limit personal exposure for honest errors and reallocate liability to the corporate Trust, while leaving culpable negligence and specified statutory offences as potential personal risks for directors.

In sum, enforcement combines monetary penalties targeting director misconduct, administrative removal powers, civil contract avoidance and external oversight through audit and Parliament. The Act anticipates regulation to fill any gaps the Legislature chooses to address subsequently.

The Act situates the Trust within existing legal and administrative structures by cross‑referencing and incorporating interactional mechanisms with other laws and offices. The Act itself embeds a limited number of explicit interactions; others are left implicit or subject to regulation and rules.

Interaction with Commonwealth instruments and the Ramsar Convention

• Definition of "Coorong" expressly references the Ramsar designation: the Coorong means the Coorong and Lakes Alexandrina and Albert Wetland "as designated by the Commonwealth under Article 2 of the Ramsar Convention" (s3). The Act therefore identifies an international environmental instrument as part of the definitional architecture; however, the Act does not itself implement Commonwealth obligations nor does it create a statutory enforcement connection to the Ramsar Convention within its text. It also permits the Minister to designate other land, waterway or area by Gazette notice into the definition of "Coorong" (s3(b)), allowing alignment with other territorial configurations established under other laws or administrative instruments.

Interaction with Commonwealth Native Title Act

• The definition of Ngarrindjeri Aboriginal Corporation references the Native Title Act 1993 of the Commonwealth by describing the Ngarrindjeri Aboriginal Corporation as "a registered native title body corporate within the meaning of the Native Title Act 1993" (s3). This clarifies that the local statutory regime recognises the Ngarrindjeri Corporation as defined under Commonwealth native title law and facilitates its representation on the board (s11(4)(a)). The Act does not purport to alter native title rights, but it creates governance access for the representative body.

Public sector interface

• One director must be an employee in an administrative unit of the Public Service responsible for assisting the Minister in administering the Act (s11(4)(b)). This establishes an institutional interface with the South Australian public service, aligning Trust operations with the departmental unit assigned to the Act. The degree of operational control or reporting beyond appointment and statutory duties is not specified; that will be shaped by administrative practice and rules.

Auditor‑General and parliamentary oversight

• The Auditor‑General audits the Trust’s accounts every financial year (s23(2)), which embeds the Trust within existing government audit regimes and increases transparency to Parliament. The Minister is required to cause the Trust’s annual report to be laid before both Houses within six sitting days after receipt (s24(3)), linking the Trust directly to parliamentary scrutiny processes. These provisions interact with the Parliament’s oversight capacities and the Auditor‑General’s statutory audit powers.

Conflict of laws and director duties

• Section 16(5) states that the director duties in s16 are "in addition to, and does not derogate from, other laws." This preserves the applicability of other statutory duties, common law fiduciary or statutory liabilities, and administrative law obligations that may apply to directors or the Trust. The director must therefore comply not only with the Act but also with other relevant laws (for example, corporate or public sector standards as to the extent those laws apply to a statutory body), though the Act itself does not list those other instruments.

Contract and property law interfaces

• Section 15 regulates the effect of director disclosures on contracts; disclosure compliant with s15 prevents avoidance and precludes the director being liable to account for profits from the contract (s15(2)). Non‑disclosure makes a contract liable to be avoided by the board (s15(3)), but there is protection for bona fide purchasers for valuable consideration without notice (s15(4)). These provisions sit within existing contract and property law doctrines (the Act does not purport to displace equitable principles beyond the immediate statutory consequences).

Delegation and administrative law

• The Trust and the board may delegate functions by instrument in writing (ss20, 25). Such delegations do not derogate from the board’s or Trust’s ability to act and are revocable at will. Delegation practice will intersect with administrative law principles concerning the scope of delegated powers, procedural fairness, and accountability. The Act does not set out specific administrative law requirements relating to delegation but preserves the possibility of judicial review of delegated administrative actions under general law.

Regulations as interaction points

• The Governor may make regulations "as are contemplated by, or necessary or expedient for the purposes of, this Act" (s26(1)). Regulations may be of general or limited application, make differential provision, and may provide that any matter is to be determined according to the discretion of the Trust (s26(2)). This powers the Executive to create subordinate law that can interact with licensing, environmental monitoring standards, data sharing protocols and other statutory regimes. The Act therefore anticipates a regulatory layer which will define further interactions with other South Australian legislation and administrative regimes.

Limitations and non‑interactions

• The Act does not appropriate funds or create explicit grant‑making schemes; the Trust may raise funds itself (s21(i)). Therefore, the Act does not, in its text, create direct fiscal interactions with treasury appropriation statutes. It does not purport to oust other environmental regulatory frameworks (for example, planning or water management statutes) but to operate alongside them through functions of monitoring, data repository, advice and assessment (s21).

In sum, the Act interacts explicitly with the Ramsar designation and the Native Title Act in its definitions, embeds oversight connections to the Auditor‑General and Parliament, creates a public service interface via a director, and authorises regulations that can calibrate interaction with other South Australian laws. The Act preserves existing legal obligations on directors and leaves significant interactional detail to rules and regulations.

The Act’s legislative history as provided in the text is succinct: it is the Coorong Environmental Trust Act 2021 (No 58 of 2021). The dates recorded in the legislative history are assent on 9 December 2021 and commencement on 9 March 2022, pursuant to s2 which provides that the Act comes into operation three months after assent. The Principal Act entry reflects this (Legislative history section).

The text contains no later amendment schedules, no transitional provisions beyond commencement, and no mention of consequential amendments to other South Australian statutes. The Act includes a regulation‑making power (s26) that enables the Governor to make subordinate legislation "as are contemplated by, or necessary or expedient for the purposes of, this Act." That regulation‑making power allows for future subsidiary changes in practice and procedure without primary‑law amendment. The regulations may make different provision according to persons, things or circumstances (s26(2)(a)-(b)) and may provide that any matter is to be determined according to the Trust’s discretion (s26(2)(c)). Therefore changes in operational detail and additional requirements or offence provisions could be introduced under the regulatory head of power rather than by primary amendment.

Practical implications from the amendment architecture

• The Act’s core structure and functions are established in primary legislation and would require an Act of Parliament to change. That limits the government’s ability to alter core features such as the requirement for a Ngarrindjeri representative (s11(4)(a)), ministerial appointments (s11(2)(b)), or the Trust’s statutory functions (s21) without amending the Act.
• The regulation‑making power is broad and could be used to refine membership criteria, procedural rules, offence provisions, reporting requirements, or any operational matter that the Executive considers necessary. This provides executive flexibility to adjust the Trust’s operating environment without a primary amendment.
• Director duties and penalties are embedded in the Act (ss15, 16) and would require primary legislative amendment to change the maximum monetary penalties or the express immunity provisions (s17).

No subordinate legislation is included in the Act’s text. The Act requires the Trust to prepare rules (s10) and to publish them on a website (s10(2)); those rules will be a primary place for the Trust to develop procedural governance consistent with the Act and any regulations promulgated under s26. Because the Act anticipates but does not list specific delegated instruments, the practical governance landscape will evolve through the Trust’s own rules and any regulations enacted using the s26 power.

The Act’s recorded dates and lack of subsequent amendment material in the supplied text mean there is no reported amendment trajectory in the source beyond enactment and commencement. Any future amendment history or subordinate legislation would need to be located in the Index of South Australian Statutes or the official legislation website as noted in the Act’s "Notes" (Legislative history section).

The Act’s text as provided contains no references to any litigation, court decisions or judicial interpretations related to the Coorong Environmental Trust Act 2021. There are no cases, appeals, or judicial determinations cited or annexed in the statute text. The Act does not contain transitional or savings provisions that reference existing litigation.

Consequences of the absence of litigation history in the text

• There are no judicially articulated interpretations of key provisions in the supplied text. Clause meanings such as "value of the votes" (s8(4)), the operational scope of the Trust’s functions (s21), or the boundaries of director immunity (s17) remain matters to be clarified in future decisions or administrative practice should disputes arise.
• Where the Act delegates substantial discretion to the Trust and anticipates regulation (s26), litigation may eventually arise in relation to the scope of that discretion, the validity of regulations made under the Act, or administrative decisions such as removal of a director or contract avoidance under s15(3). None of that litigation history exists in the provided material.

Potential sources of future litigation (based on the Act’s structure)

• Contract avoidance under s15(3): disputes could arise over whether a director adequately disclosed an interest, whether a contract is liable to be avoided, and whether a bona fide purchaser protection (s15(4)) applies.
• Removal of a director: s13 allows removal by the Trust or Minister; removal decisions could be challenged on procedural fairness or on the interpretation of "misconduct" or "failure or incapacity." The Act leaves disciplinary procedure to the Trust’s rules (s13(1)), which could itself be the subject of review.
• Delegation and administrative acts: board or Trust delegations and ensuing decisions could face judicial review on grounds of jurisdictional error, improper exercise of discretion, or denial of procedural fairness, especially where delegated powers affect third parties.
• Definition and functional scope: disputes might arise about whether a particular land, waterway or area falls within "Coorong" if the Minister designates additional areas by Gazette notice (s3(b)), potentially affecting landholders or resource users.

At present, no court decisions have been supplied or named in the Act’s text. The lack of litigation history means practitioners must rely on the statutory language and analogous administrative law principles when advising clients about the Act, until statutory or judicial clarifications emerge.

The Act contains a number of drafting features and delegated authorities that produce practical surprises or risks for participants. The following are specific "gotchas" drawn directly from the statutory text and its operational consequences.

1. "Value of the votes" but no statutory definition

• Trust resolutions are carried if the "value of the votes supporting it exceeds the value of the votes against it" (s8(4)). The Act does not define how vote values are calculated or weighted. The Trust’s rules are the mechanism to set such procedures (s10(1)); until those rules are adopted and published (s10(2)), voting outcomes may be uncertain and contentious. Organisations should not assume one member equals one vote.

2. Ministers appoint initial members and two directors

• The Minister appoints the initial members of the Trust (s5(2)) and appoints two directors with terms and conditions the Minister determines (s11(2)(b)). That gives the Minister a front‑loaded influence on Trust composition and an ongoing appointment avenue that may shape board majorities. The Act does not prescribe checks on ministerial appointment content or criteria beyond the broad board composition requirements (s11(4)).

3. Membership confers no property interest and limited liability

• Members are explicitly denied property rights over Trust assets (s6(1)) and are not liable for Trust debts (s6(2)). Organisations expecting ownership or equity in the Trust’s assets must not assume such rights. This has implications for funding organisations might provide: donations or grants are not secured by membership claims over Trust property.

4. Director disclosure obligations have significant consequences

• If a director fails to disclose an interest in a proposed contract, the contract is liable to be avoided by the board (s15(3)). A third party contracting with the Trust might therefore face the risk of contract invalidation if a director did not properly disclose. Section 15(4) protects a bona fide purchaser for valuable consideration without notice, but other contractors face exposure.

5. Director immunity but culpable negligence risk

• The Act shields directors from civil liability for honest acts or omissions, with that civil liability attaching to the Trust instead (s17(2), (4)). The statutory immunity does not extend to culpable negligence (s17(3)). What constitutes "culpable negligence" will be a factual and legal question if litigation arises.

6. Delegations are revocable at will and do not derogate from board powers

• Delegations by the board or Trust must be in writing, may be absolute or conditional, and are revocable at will (ss20(2), 25(2)). This means delegated functions can be withdrawn quickly, potentially disrupting operational continuity if key tasks are delegated to contractors or committees.

7. Regulations can delegate substantial discretion to the Trust

• The Governor may make regulations that "provide that any matter or thing is to be determined ... according to the discretion of the Trust" (s26(2)(c)). This could vest significant operational and regulatory discretion in the Trust via subordinate legislation, limiting parliamentary visibility or legal predictability until such regulations exist.

8. Director eligibility exclusions and membership dependence

• A director is disqualified if an undischarged bankrupt or if an employee of the Trust (s12(2)(a)-(b)). Persons who are active staff cannot simultaneously be directors, and directors must be elected by the membership unless ministerially appointed. Members cease to be members if the organisation they represent dissolves or they cease to represent that organisation on a permanent basis (s5(5)(c)-(a)(i)(A)). This creates potential discontinuity in representation and board composition if organisations change status.

9. Mandatory committees with unspecified scope

• The Trust must establish a Fundraising committee and a Wetland Science committee (s22(1)), but the Act leaves membership, terms of reference and procedures to the Trust (s22(2)-(4)). Expectations about independence, procurement or conflict rules for committees will need to be set out in rules to avoid governance uncertainty.

10. Contractual consequences for directors allowed on disclosure

• If a director discloses an interest in a contract and complies with s15, the contract "is not liable to be avoided" and "the director is not liable to account for profits" (s15(2)). That creates an avenue where directors may engage with commercial arrangements once properly disclosed. Organisations contracting with the Trust should seek written evidence of compliance with s15 if director involvement is present.

11. Financial sustainability is not guaranteed by the Act

• The Trust can "raise money" (s21(i)) and engage staff (s14), but the Act does not provide a statutory funding stream. The absence of an express appropriation in the Act means the Trust’s financial model will depend on fundraising, donations, grants and any contractual income. This imposes planning and fundraising demands and may create resource uncertainty, especially for a mandated data repository and monitoring programmes.

12. Minutes and disclosure records are statutory and consequential

• Disclosures must be recorded in minutes (s15(6)); failure to keep accurate minutes for Trust and board proceedings breaches statutory duties (ss8(7), 19(6)). Poor minute‑keeping can undermine evidentiary positions in contract disputes, removal processes, or audit findings.

Practitioners dealing with membership, governance, contracting or funding under the Act should ensure rules and procedures are in place quickly (s10), that declaration and disclosure compliance is documented, and that any regulatory instruments under s26 are monitored for substantive delegations or compliance obligations.

Compliance under the Act involves a mix of organisational commitments, procedural documentation and ongoing reporting and governance actions. The following practical checklist maps statutory obligations to operational steps, citing the relevant sections.

1. For organisations seeking membership

• Ensure eligibility: membership is for persons representing organisations with a professional, financial, physical or legal commitment to the Coorong (s5(1)). Confirm the organisation fits one or more of these limbs.
• Prepare and sign the commitment statement: before appointment or admission, the representative must sign a statement declaring the organisation’s commitment to the ecological wellbeing of the Coorong (s5(4)). Keep an executed copy in governance records.
• Review and participate in Trust rules: the Trust will admit members by resolution or as provided by the Trust rules (s5(3)); review draft rules when published (s10(2)) and align organisational governance to any obligations the rules require, including assistance towards Trust functions if specified (s5(5)(a)(i)(B)).

2. For members attending meetings and voting

• Observe notice periods: attend or participate in meetings after receiving at least 7 days written notice (s7(3)), and ensure the annual general meeting occurs at least once a year (s7(2)).
• Proxy nominations: a member may nominate another person to attend and vote on the member’s behalf by written notice to the Trust (s9(2)-(3)). Maintain written authorisation documents and check the Trust’s procedures for proxy form and timing under the rules (s10).
• Understand voting weights: the Act uses "value of the votes" for Trust resolutions (s8(4)). Do not assume equal vote weights , obtain the Trust’s rules that specify vote values (s10(1)).

3. For directors and prospective directors

• Check eligibility: do not stand for election if an undischarged bankrupt, an employee of the Trust, not entitled to vote, or otherwise ineligible under the Trust rules (s12(2)).
• Accept terms of office and remuneration: elected directors hold two‑year terms and can be re‑elected (s12(3)); remuneration, allowances and expenses are determined by the Trust (s12(6)).
• Disclosure obligations: upon awareness of any direct or indirect personal or pecuniary interest in a matter under board consideration, disclose the nature and extent immediately to the board, avoid participating in deliberations, and leave the room during deliberations (s15(1)). Ensure the disclosure is recorded in the minutes (s15(6)).
• Avoid improper use of information or position: do not use information or position to gain personal advantage or to cause detriment to the Trust (s16(3)-(4)); these prohibitions carry maximum penalties of $10,000 (s16). Establish written protocols for information access and conflict management.
• Maintain care and honesty: act honestly and with reasonable care and diligence in official functions (s16(1)-(2)); provide or obtain directors’ indemnities or insurance consistent with the Trust’s policies and the statutory immunity in s17.

4. For the board and Trust corporate obligations

• Adopt and publish rules: prepare, adopt and maintain Trust rules relating to membership, management and operations; publish them on a website determined by the Trust (s10(1)-(2)). Make rules accessible and ensure they specify voting values, membership removal processes, meeting procedures and committee charters.
• Keep minutes: accurate minutes are required for Trust and board proceedings (ss8(7), 19(6)); log all disclosures and voting outcomes. Maintain minute‑keeping systems and retention schedules.
• Maintain accounting records and audits: keep proper accounting records and prepare annual statements each financial year (s23(1)). Facilitate Auditor‑General audits by maintaining clear financial documentation, procurement records and contracts (s23(2)).
• Prepare and deliver annual reports: compile an annual report on operations and forward it to the Minister on or before 30 September each year; include information required by regulations (s24(1)-(2)). Coordinate with the Minister’s office to ensure timely tabling in Parliament (s24(3)).
• Establish required committees: form the Fundraising committee and the Wetland Science committee as mandated (s22(1)-(2)), appoint members (s22(2)), and define their procedures within Trust rules or committee determinations (s22(4)).
• Delegate carefully: when delegating functions in writing (ss20, 25), include clear scopes, conditions and authority limits; record delegations and ensure delegated parties are capable and insured as necessary. Remember delegations are revocable at will (s20(2)(d), s25(2)(d)).

5. For contracting parties and donors

• Seek assurance on s15 compliance: where contracts involve a director’s interest, request documentary evidence that any required disclosure under s15 has been made and recorded in the minutes (s15(2), (6)). Consider contract clauses addressing the risk of avoidance and mechanisms for rectifying any defective disclosure.
• Understand funding model: the Trust can raise money (s21(i)) but the Act does not guarantee public funding. Donors should negotiate and document terms clearly, including any reporting, stewardship or return expectations, and consider whether donations create any enforceable claims (they generally do not, s6(1)).

6. For the Minister, public service and Ngarrindjeri Aboriginal Corporation representatives

• Prepare for appointment and removal mechanics: the Minister appoints initial members and two directors and may remove ministerially appointed directors for cause (ss5(2), 11(2)(b), 13(2)). Ensure appointment processes, terms and removal procedures are documented, transparent and legally defensible.
• Public service employee role: a public service employee is a required board member (s11(4)(b)); administrative units should develop protocols for workplace arrangements and conflict management given the public servant’s dual roles.

7. For compliance and risk management

• Develop a conflict‑of‑interest policy that maps directly to s15 and to the Trust’s rules. The policy should require immediate oral disclosure followed by written entry in the minutes and a separate declarations register.
• Implement a records and document management system: minutes, financial records, donation agreements, committee papers, committee appointments and disclosures must be retained and readily auditable.
• Build budget plans aligned to fundraising targets: design operational budgets for running the data repository, monitoring programmes and the annual report, acknowledging that no statutory appropriation is specified (s21(i), s14).
• Coordinate with the Auditor‑General: maintain financial controls and document reconciliations to facilitate timely audits and to reduce the risk of adverse audit findings (s23).

8. Monitor subordinate law and Trust rules

• Track regulations under s26 as they may impose additional compliance obligations or create new offences. Actively participate in the Trust’s rule‑making process to influence vote weightings, removal processes, committee terms and other governance details (s10, s26).

Implementing these steps will reduce legal and operational risk associated with membership, directorship, contracting and governance under the Act. The Trust should publish clear procedural materials and guidance early (as required by s10(2)) to establish predictability for stakeholders.
