Conveyancers (Professional Conduct) Regulations 2018

The Regulations build a prescriptive professional‑conduct framework around several recurring concepts: competence and independence; disclosure and consent; confidentiality and recordkeeping; undertakings and transfers; conflicts and concurrent business; and independent advice for loan/security signatories.

Competence and independence. Regulations 9-11 require a licensee to accept work only where competent (reg 9) and reasonably able to perform it promptly (reg 10). Regulation 25(1) requires competent and independent advice when advising a proposed signatory to a loan or security document; regulation 25(2) bars the licensee from acting for the lender in that transaction. Conflict rules are threaded through: reg 15 requires a licensee who cannot continue to act for multiple parties without acting contrary to a party’s interests to cease acting for all parties; reg 25(3) and reg 26(3),(5) bar advising where interests conflict with the licensee’s or another client’s interests.

Disclosure and consent. Two prescribed disclosure forms are mandatory for particular disclosures. Regulation 14 ties Schedule 1’s Form 1 to acting for more than one party and Form 2 to paying or receiving a commission. Schedule 1’s Form 1 requires a specific pre‑act disclosure and written consent (or expressed refusal) before the licensee acts for multiple parties; it also sets out the consequence that the licensee must stop acting for all parties if a conflict arises (Form 1, Part 2 and Part 4). Schedule 1’s Form 2 is the prescribed referral disclosure for a non‑independent service provider and requires disclosure of the nature of the relationship and the referral fee. Regulation 18 defines “service provider” broadly (including valuers, mortgage brokers, law practices and other licensees) and specifies when a service provider is not independent (reg 18(2)), with illustrative examples (family, business, fiduciary relationships).

Confidentiality and recordkeeping. Regulation 16 confines use or disclosure of client confidential information to client authorisation or legal compulsion. Regulation 17 imposes a written‑record obligation for instructions, telephone conversations and enquiries, permitting electronic records provided they are permanently legible in English (reg 17(2)). Regulation 13 requires written confirmation of non‑trivial oral instructions “as soon as possible”. Those provisions establish concrete recordkeeping and evidentiary standards for professional practice and disciplinary scrutiny.

Undertakings, transfers and termination. Regulation 20 treats undertakings seriously: licensees must comply with undertakings, ensure timely performance, and cannot require undertakings that would bind third parties. Regulation 21 prescribes conditions under which a licensee may cease acting and imposes a penalty if the licensee improperly terminates. Regulation 22 requires delivery of documents and information to a replacement licensee within 14 days of a written direction, but allows withholding where the licensee’s legitimate account remains unpaid. Regulation 23 creates notification duties when transferring a conveyancing business and requires notice to clients 14 days before the intended transfer, including disclosure of trust balances and the client’s right to direct otherwise.

Loan and security advice. Part 3 (regs 25-26) contains the most detailed client‑protection measures. A licensee must give competent, independent advice to a proposed signatory and must obtain a written acknowledgement from a proposed borrower or guarantor that they received independent advice (regs 26(3),(5)). Regulation 26(2) lists particular matters the licensee must advise a borrower about (payment, default consequences, sale of property to recover debt, possible deficiency liability, and the operation of the National Credit Code where applicable). Regulation 26(4) sets analogous advice points for guarantors, including exposures if lender exercises rights against guarantor even without pursuing borrower, cross guarantees, unlimited vs specified liability and the effect of the National Credit Code. Regulation 26(6) defines the National Credit Code by reference to the Commonwealth Act.

Penalties and enforcement. Many duties carry expressed penalties in penalty units: typical amounts are 20 penalty units for a natural person and 120 penalty units for a body corporate (see regs 19-21, 22(2), 23, 24, 25 and 26). The Endnotes link those penalty units to the Sentencing Act 1991 and Monetary Units Act 2004 and provide specific penalty‑unit values for given financial years (Endnotes, Explanatory details). Regulation 5 integrates the rules with section 45 of the Conveyancers Act 2006, so the breaches feed into the Act’s enforcement apparatus (regulation 5).

Overall, the Regulations move from general duties to specific operational rules, using disclosure forms, record obligations, independent‑advice confirmations and monetary penalties to make compliance verifiable and sanctionable.

Primary duty‑holders. The Regulations apply to licence holders under the Conveyancers Act 2006; they repeatedly use “licensee” and attach duties and penalties to natural persons and bodies corporate holding a conveyancing licence. Regulation 5 makes the rules prescribed for the purposes of section 45 of the Act, so the obligations bind those licensees whose conduct falls within the Act’s regulatory scope.

Clients and consumers. The Regulations are designed to protect clients and other parties to conveyancing transactions. Several provisions create rights or protections for clients: the right to be kept informed (regulation 12), the right to written confirmation of non‑trivial oral instructions (regulation 13), rights concerning transfer of files and trust monies (regulations 22-23), and the right to an independent adviser’s written acknowledgement when signing loan or security documents (regulation 26(3),(5)). Parties who are borrowers, guarantors or third‑party mortgagors are explicitly singled out for enhanced disclosure obligations (regulation 26).

Other professionals and service providers. The Regulations affect other market participants who provide services in relation to conveyancing transactions, because a referral to a non‑independent service provider requires a prescribed disclosure (regulation 14(b) and Schedule 1, Form 2) and licence holders must not misrepresent a service provider’s independence (regulation 18(1)). The defined category of “service provider” in regulation 18(3) explicitly names building inspectors, pest inspectors, valuers, surveyors, insurers, mortgage originators and brokers, law practices and other licensees, so businesses in those categories will be indirectly affected through disclosure obligations imposed on licensees when making referrals.

Law practices. The Regulations expressly treat law practices as entities capable of receiving transferred conveyancing work (regulation 22(1)(b) and regulation 23(1)) and as potential service providers (regulation 18(3)(h)). The definition of “law practice” aligns with the Legal Profession Uniform Law (Victoria) as noted in regulation 4, so interacting disciplines are foreseen.

Regulators and courts. The Regulations contain offences and penalties by penalty units and are designed to be enforceable through the mechanisms in the parent Act (regulation 5). The Endnotes link penalty units to the Sentencing Act 1991 and the Monetary Units Act 2004, so courts and enforcement authorities use those statutes to quantify monetary sanctions.

Who pays. The immediate financial exposure for breaches falls on the licensee: numerous provisions attach monetary penalties (20 penalty units for a natural person, 120 units for a body corporate) (see regs 19, 20, 21, 22(2), 23, 24, 25 and 26). Indirectly, some compliance costs will be borne by licensees’ businesses: recordkeeping systems, staff training, document templates, time taken to obtain consents and acknowledgements, and managing transfers and trust accounting in accordance with regs 22-23. Clients may benefit from improved information and protections but may also face practical delays or increased fees reflecting the licensee’s compliance burden; those potential costs are implied by the operational rules requiring additional time and administrative effort (regs 12-13, 17, 22-23, 26).

Who decides. Under the Regulations, it is the licensee who must make many initial judgments: whether they are competent for the work (regulation 9), whether they can perform promptly (regulation 10), whether a service provider is independent (regulation 18), whether a conflict exists necessitating cessation of acting (regulation 15), whether they can continue to act concurrently with another business without conflicts (regulation 24), and whether circumstances require written confirmations or acknowledgements from clients (regulation 26(3),(5)). Those licensee decisions are subject to regulatory review and penalty exposure where they contravene a prescriptive rule.

Core duties. The Regulations impose a cluster of baseline professional duties: honesty, fairness and professionalism (regulation 6); reasonable skill, care and diligence (regulation 7); and compliance with fiduciary obligations (regulation 8). These are expressed as affirmative duties rather than optional standards. The Regulations further require a licensee to act in a client’s best interests and according to client instructions, except where doing so would contravene the Act, these Regulations or other law (regulation 11).

Competence, promptness and scope. Licensees must only accept work within their competence (regulation 9) and only where they reasonably expect to be able to carry out the work “reasonably promptly” (regulation 10). Those provisions require proactive screening of new instructions and may impose an evidential burden if a late or inadequate performance is alleged.

Communication and confirmation. Regulation 12 requires regular communication with clients to keep them up to date with progress. Regulation 13 requires that oral instructions (except trivial ones) be confirmed in writing “as soon as possible”. Together they create an evidentiary trail and set expectations about client engagement.

Disclosure and consent when acting for multiple parties. Regulation 14 prescribes Form 1 (Schedule 1) as the disclosure for acting for more than one party to a transaction, and Form 1 must be completed and signed before a conveyancer acts for more than one party (Schedule 1, Form 1, Part 1 and Part 3). Regulation 15 requires a licensee acting for multiple parties to cease acting for all parties if they cannot continue to act for all without acting contrary to one or more parties’ interests. Form 1 also sets out the practical limitations that parties should note, including that the conveyancer may be prevented from disclosing all relevant information to each party and from giving advice to one party that is contrary to another’s interests (Form 1, Part 2).

Confidentiality and recordkeeping. Regulation 16 restricts use or disclosure of confidential information to client authorisation or where the law permits or compels disclosure. Regulation 17 requires keeping written file notes of instructions, telephone conversations and enquiries and permits electronic storage provided the records can be produced in a permanent legible English form (regulation 17(2)). These are operational requirements that lend themselves to audit.

Referral and independence. Regulation 18 prohibits a licensee from falsely representing a referred service provider as independent and defines non‑independence by the existence of rebates, commissions or personal/commercial relationships (regulation 18(1)-(2)). The regulation provides examples of relationships that defeat independence (family, business, fiduciary or a relationship of deference) and lists the categories of service providers to which the rule applies (regulation 18(3)).

Advertising and communications. Regulation 19 makes it an offence to solicit clients by advertisements or communications that the licensee knows or ought to know are false or misleading, and it extends that prohibition to stationery and business cards, with penalties attached. The provision directly controls marketing claims and labelling used in conveyancing practice.

Undertakings. Regulation 20 requires compliance with undertakings given in the course of conveyancing work, with release only by the recipient or a court, and forbids seeking undertakings that would require cooperation of an unrelated third party. The provision elevates undertakings to enforceable obligations.

Termination and transfer. Regulation 21 requires completion of accepted conveyancing work unless the client and licensee agree otherwise, the client terminates services, or the licensee gives written notice of termination as soon as practicable. Regulation 22(2) requires delivery of relevant documents and necessary information to a replacement licensee within 14 days of a written direction from the client unless the licensee’s legitimate account to date is unpaid. Regulation 23 requires a licensee intending to transfer all or part of a conveyancing business to give each client 14 days’ written notice, and where trust money is involved, the notice must also advise the balance and the proposed transfer of the account.

Conducting another business. Regulation 24 allows a licensee to conduct another business concurrently provided it will not impair or conflict with conveyancing duties (reg 24(a)), separate files/records/accounts are maintained (reg 24(b)), and the licensee ceases to act for a client if the licensee’s interest in the other business is likely to conflict with the client’s interests (reg 24(c)).

Loan and security document duties. Part 3 (regs 25-26) imposes a suite of duties when advising proposed signatories to loan or security documents: independence and competence (reg 25(1)); prohibition on acting for the lender (reg 25(2)); conflict‑based disqualification (reg 25(3)); specific advisory obligations for borrowers (reg 26(2)) and guarantors (reg 26(4)); the need to obtain written acknowledgement of independent advice from borrowers and guarantors (regs 26(3) and (5)); and an obligation to tell any proposed signatory that the licensee does not profess to hold qualifications to give financial advice and to recommend consulting an accountant or financial counsellor on financial aspects (reg 26(6)(a)-(b)).

Rights created or reinforced. The Regulations create procedural rights for clients and other parties: a right to disclosure and written consent when a licensee acts for multiple parties (Form 1); a right to disclosure when a referral is not to an independent provider (Form 2); a right to have files and relevant information delivered to a replacement licensee within a specified timeframe (regulation 22); a right to be informed about trust balances and account transfer proposals when a conveyancing business is to be transferred (regulation 23); and a right to independent advice before signing loan or security documents and to acknowledge receipt of that advice in writing (regulation 26(3),(5)).

Penalty exposure. Many duties carry monetary penalties in penalty units with the same pattern: 20 penalty units for natural persons, 120 penalty units for bodies corporate (examples at regs 19(1)-(2), 20(1)-(2), 21, 22(2), 23, 24, 25 and 26). The Endnotes explain how penalty units are quantified under the Sentencing Act 1991 and the Monetary Units Act 2004 and give values for particular financial years; this creates a direct financial consequence for non‑compliance.

Structure of penalties. The Regulations attach specified penalties in penalty units to numerous breaches. A common scheme appears repeatedly: in offending provisions the penalty for a natural person is 20 penalty units and for a body corporate 120 penalty units (for example regs 19, 20, 21, 22(2), 23, 24, 25 and 26). The Endnotes (Explanatory details) explain that the Regulations provide for penalties by reference to penalty units within the meaning of section 110 of the Sentencing Act 1991 and that the amount of the penalty is calculated under the Monetary Units Act 2004 by multiplying the number of penalty units by the value of a penalty unit for the relevant financial year.

Monetary quantification in the Endnotes. The Endnotes give specific penalty‑unit values for the financial year commencing 1 July 2017 ($158.57) and from 1 July 2018 ($161.19), noting that the amount may be rounded to the nearest dollar. Using those figures, a 20 penalty‑unit sanction translated into the Endnotes’ 2017 value would be $3,171.40, and a 120 unit sanction would be $19,028.40 for that period; the 2018 values would be slightly higher. The Endnotes also make clear that future penalty‑unit values are fixed by the Treasurer under the Monetary Units Act 2004 and published.

Enforcement mechanism. Regulation 5 anchors these rules to section 45 of the Conveyancers Act 2006 by prescribing them as the rules of professional conduct “for the purposes of section 45”. The Regulations therefore become the substantive standards that the Act’s enforcement and disciplinary framework applies to. The instrument itself does not set out the particular disciplinary processes or court jurisdictions; it integrates with those mechanisms via the parent Act and via conventional penalty enforcement mechanisms that apply to breaches of statutory rules and offences.

Varied sanctions and enforcement actors. The Regulations provide monetary penalties but also give regulators factual grounds for disciplinary action under the parent Act (regulation 5). Enforcement may therefore involve fines, regulatory sanctions, and the broader powers available under the Conveyancers Act 2006, though the specific powers and processes of the Act sit outside the text of these Regulations. The Endnotes link to the Sentencing Act and Monetary Units Act for quantifying penalties, which indicates that courts and authorised enforcement bodies will be involved in imposing monetary sanctions.

Practical enforcement triggers. The Regulations make several duties evidence‑friendly and thus readily enforceable: required written records (regulation 17), mandatory forms and consents (regulation 14 and Schedule 1), written confirmation and acknowledgements (regulations 13 and 26(3),(5)), specified timeframes for transfers and notices (regs 22-23), and explicit statements on undertakings (regulation 20). These provisions reduce the regulator’s evidentiary burden to establish a breach in many cases because the Regulations specify documentary conduct and time limits.

Potential multiplicity of breaches. The pattern of penalties across multiple, often related obligations means a single transaction failure may trigger several contraventions. For example, mishandling a transfer of work could engage reg 22 (failure to deliver documents within 14 days) and also reg 21 (if termination was not properly effected), and failure to keep or produce file records under reg 17 may aggravate enforcement. The Regulations therefore create a web of interlocking obligations that multiply enforcement exposure where recordkeeping or process controls are weak.

Limits and qualifications. The Regulations contain some express exceptions limiting enforcement exposure in specific circumstances. For instance, reg 22(3) permits a licensee not to comply with the delivery obligation in reg 22(2) if the licensee’s account for legitimate work done to the date of transfer has not been paid. Regulation 20 allows release from an undertaking by the recipient or a court. These carve‑outs are narrow and procedural.

Sunset and update risk. The Endnotes state the instrument will sunset on 22 May 2028 under the Subordinate Legislation Act 1994. That sunset introduces an enforcement and compliance planning horizon for regulators and practitioners and requires attention to potential legislative replacement or reapproval strategies as the sunset date approaches.

Statutory scaffolding. The Regulations are made under section 188 of the Conveyancers Act 2006 (regulation 2) and are expressly prescribed “for the purposes of section 45” of that Act (regulation 5). That link means these professional conduct rules operate within the enforcement, registration and disciplinary framework established by the parent Act. The Regulations themselves do not duplicate administrative or disciplinary mechanisms but provide the substantive standards applied under the Conveyancers Act.

Definitions linked to other statutes. Regulation 4 adopts the meaning of “law practice” from the Legal Profession Uniform Law (Victoria), thereby aligning some aspects of the Regulations with the legal profession’s regulatory definitions. Regulation 26(6) defines “National Credit Code” by reference to the National Consumer Credit Protection Act 2009 (Commonwealth), which is the federal regime for consumer credit. The Endnotes connect penalty‑unit quantification to the Sentencing Act 1991 and the Monetary Units Act 2004. These cross‑references mean the Regulations operate in a multi‑statute regulatory environment.

Interaction by cross‑reference rather than substitution. Several obligations require compliance with other legal duties or are expressly conditional on other laws. Regulation 11 obliges licensees to act in the client’s best interests and according to client instructions unless it would be contrary to the Act, the Regulations or otherwise unlawful, thereby acknowledging supremacy of other laws. Regulation 16 permits disclosure of confidential information where “permitted or compelled by law”, which means privacy or disclosure obligations under other statutes (for example, subpoenas, anti‑money laundering reporting, or statutory reporting duties) will take precedence where they require disclosure.

Overlap with legal professional regulation. Because “law practice” is defined according to the Legal Profession Uniform Law, interactions may arise when law practices receive transferred conveyancing work (regs 22-23), or when licensees refer clients to law practices as service providers (regulation 18(3)(h)). The Regulations therefore potentially intersect with the professional conduct and ethical rules that apply to lawyers under the Uniform Law, particularly around conflicts, confidentiality and client instructions.

Consumer credit law overlap. Regulations 25-26 deliberately intersect with the National Credit Code by requiring licensees to advise proposed signatories that the National Credit Code may apply (regulation 26(2)(d), 26(4)(f) and 26(6)). The Regulations do not displace the Code but require licensees to inform clients of its possible operation and the additional obligations, rights and remedies it may confer. This design recognises that loan and security documents can sit under a federal consumer credit regime.

Financial and trust accounting regimes. Regulations addressing the transfer of trust monies and accounts (regulation 23(2)) interface with trust accounting obligations under the parent Act and any separate trust account laws or rules that apply to conveyancers. The requirement to advise clients of trust balances and proposed transfers operates alongside other legal obligations about trust funds, but the Regulations prescribe the client disclosure steps specifically in the context of business transfers.

Administrative law and courts. Enforcement of penalties and disputes about compliance are likely to involve courts or tribunals applying statutory penalty‑unit rules, and the Endnotes indicate that courts will quantify monetary penalties using the Sentencing Act and Monetary Units Act processes. The Regulations themselves do not define enforcement procedure but operate within the wider administrative and judicial enforcement architecture.

Practical consequence: layering of obligations. The Regulations do not supplant other legal duties; rather they add a layer of specific conduct obligations that sit alongside professional, consumer and financial statutory regimes. Licensees and law practices must therefore manage compliance across multiple statutes to ensure that obligations under the Regulations are not negated or contradicted by duties arising elsewhere, and to ensure that disclosures and procedures required by the Regulations complement, rather than conflict with, other legal obligations.

No amendments recorded. The Endnotes provide a Table of Amendments heading and explicitly state there are no amendments made to the Conveyancers (Professional Conduct) Regulations 2018 by statutory rules, subordinate instruments or Acts as at the version date (Endnotes, Table of Amendments). The Endnotes also state that there are no amendments not in operation at the date of publication.

Original making and commencement. The Regulations were made on 22 May 2018 by the Lieutenant‑Governor as the Governor’s deputy, with the advice of the Executive Council, under section 188 of the Conveyancers Act 2006, and came into operation on 26 May 2018 (Endnotes, General information; regs 2-3). The Endnotes also note the statutory sunset on 22 May 2028 under the Subordinate Legislation Act 1994.

Style, headings and interpretative notes. The Endnotes include an explanatory segment on style and the Interpretation of Legislation Act 1984 (ILA): headings, examples, punctuation and the treatment of provision numbers form part of the Statutory Rule where applicable; the Endnotes specifically cite ILA provisions and observe that examples, diagrams or notes inserted form part of the Statutory Rule (Endnotes, Interpretation of Legislation Act 1984). These material points affect how future amendments should be read and how inserted material is treated legally.

Penalty‑unit valuation changes. The Explanatory details in the Endnotes explain the mechanics for penalty‑unit valuation over time by reference to the Monetary Units Act 2004 and the Treasurer’s authority to fix yearly values. While this is not an amendment to the Regulations’ substantive text, it is a dynamic element affecting the monetary cost of transgressions over time.

No recorded legislative challenges or modifications. The Endnotes’ explicit statement of no amendments means there is no internal record in the published version of subsequent modification. The sunset mechanism ensures that any intended longer‑term changes would require re‑enactment or extension before 22 May 2028. Practitioners should therefore monitor any parent Act amendments or subordinate instrument processes that might extend, replace or amend these Regulations as the sunset date approaches.

Implication for compliance planning. Because there is no amendment history recorded in the Endnotes, the text in force as at the version date is the primary compliance instrument. However, the dynamic elements (penalty‑unit values) will change annually and the sunset date creates a future legislative milestone. Firms should therefore treat the current Regulations as stable but maintain a watch for changes to penalty‑unit values and for any parent‑Act reform that may require revising practices prior to the sunset or re‑enactment processes.

No cases or enforcement decisions are recorded in the text. The Regulations’ Endnotes do not cite any litigation, judicial interpretation or enforcement actions. The document contains no references to reported cases, tribunal decisions, or disciplinary determinations engaging the Regulations, and the Table of Amendments states there are no amendments to date. Therefore, from the material provided, there is no litigation history recorded within this instrument.

Scope for future litigation. Although no litigated precedents are recorded in the text, the Regulations create numerous documentable obligations, written disclosures, file notes, acknowledgements, mandated timeframes and explicit penalties, that are susceptible to dispute and judicial interpretation. Typical factual disputes likely to generate litigation or disciplinary proceedings (not recorded here, but foreseeable given the provisions) would include: whether a licensee was competent under reg 9 and 25(1); whether independence or a conflict existed under regs 15, 18 and 25(3); whether required disclosures using Schedule 1 were provided before acting (regulation 14 and Forms 1-2); whether undertakings were given and then honoured (regulation 20); and whether the transfer obligations and timeframes in regs 22-23 were complied with.

Evidential environment favourable to enforcement. The Regulations are structured to produce documentary evidence that could be relied on in an enforcement or litigation context: prescribed forms (Schedule 1), written acknowledgement requirements for independent advice (regulation 26(3),(5)), file‑note and electronic record requirements (regulation 17), and specified timeframes for transfers and notices (regs 22-23). These features lower the evidentiary threshold for alleging non‑compliance compared with rules that leave evidence entirely discretionary.

No judicial gloss yet. Because the source contains no cases, there is no judicial gloss on contested terms such as “competent”, “reasonably promptly”, “independent”, “confidential information” or the precise ambit of the duty to act "in the client's best interests". Absent cases, regulated parties must rely on the textual language and relevant professional practice guidance until jurisprudence develops.

Monitoring enforcement sources. Practitioners seeking precedents should monitor the Conveyancers Act 2006 enforcement records, tribunal decisions, and any court decisions that engage the parent Act’s disciplinary framework, since the Regulations are integrated into that enforcement architecture (regulation 5). The lack of recorded litigation in this text does not indicate that contraventions will not be enforced; it indicates only that, at the time of this version, no case law or reported enforcement decisions have been appended to this instrument.

Mandatory pre‑acting disclosures and consents. Form 1 (Schedule 1) must be completed and signed before a conveyancer acts for more than one party to a transaction, “regardless of whether this is before or at the time the conveyancer is retained or while the conveyancer is acting for a party” (Schedule 1, Form 1, Part 1). A licensee who starts acting for multiple parties without providing and obtaining signed consent using the prescribed Form 1 will be in breach of the Regulation 14 requirement. The form also explains that if a licensee cannot continue to act for all parties without acting contrary to a party’s interests, the licensee must cease to act for all parties (regulation 15 and Form 1, Part 2). Practitioners commonly underestimate the strict timing requirement here.

Referral disclosure timing and content. Form 2 (Schedule 1) must be completed and signed before a licensee refers a client or prospective client to a non‑independent service provider (regulation 14(b) and Schedule 1, Form 2, Part 1). The definition of non‑independence is relatively broad (regulation 18(2)), including rebates, commissions, and family or business relationships; the disclosure must identify the relationship type and amount/character of any referral fee. Failure to make this disclosure, or misrepresenting independence (regulation 18(1)), carries penalty exposure under regulation 19 and related provisions.

Strict obligations when advising proposed signatories. When advising a proposed borrower or guarantor, a licensee must explain specific consequences of signing (regulation 26(2) and 26(4)), obtain written acknowledgement of independent advice from the signatory (regs 26(3),(5)), and tell the client that the licensee does not hold financial‑advice qualifications and that the client should consult an accountant or financial counsellor on financial aspects (regulation 26(6)). The combination of mandated content, the requirement for signed acknowledgment, and a prohibition on acting for the lender (regulation 25(2)) are concrete procedural steps. Missing any one element risks contravening several regulations.

Undertakings cannot bind third parties. Regulation 20(2) prohibits seeking undertakings from another licensee (or that licensee’s employee, associate or agent) that would require the cooperation of a third party not party to the undertaking. That restriction is narrower than a general prohibition on undertakings but can be fatal to common transactional practices where coordination with third parties is expected. Treat undertakings as enforceable promises, releasable only by recipient or court (regulation 20(1)).

File‑note and electronic‑record pitfalls. Regulation 17 requires that all instructions, telephone conversations and enquiries be recorded in file‑note form. Electronic records are permitted only if they “can be produced in a permanent legible form in the English language” (regulation 17(2)). Automated systems, audio files or foreign‑language records that cannot be rendered in permanent legible English could fall short. The “as soon as possible” standard for confirming oral instructions (regulation 13) is open to interpretation and will be judged against the recording systems and practice timing.

Timelines for transfer and business sale. Regulation 22 requires delivery of documents and necessary information to a replacement licensee “as soon as practicable and no more than 14 days after receipt of a written direction from the client” (regulation 22(2)). Regulation 23 requires 14 days’ written notice to clients in a transfer of business. These deadlines are strict and tied to penalty exposure; they interact with trust accounting obligations, and the limited exception for non‑payment of a legitimate account (regulation 22(3)) must be carefully documented to avoid disputes.

Concurrent business compliance traps. Regulation 24 requires separate files, records and accounts where a licensee runs another business concurrently. Failure to segregate records or account for cross‑traffic between businesses can be treated as a regulatory breach. Moreover, reg 24(a) requires that the other business not be of a nature likely to impair or conflict with conveyancing duties. That test is subjective and puts onus on the licensee to anticipate and document why a concurrent activity does not create a conflict.

Advertising and stationery risks. Regulation 19 extends the prohibitions on false or misleading advertising to stationery and business cards. Marketing language, slogans, logos and firm descriptors must be vetted. What a licensee “knows or ought to know” is a legal standard that brings in objective assessment; careless marketing could attract penalty units.

Conflicts and multi‑party acting. Regulation 15’s command to cease acting for all parties where the licensee cannot continue without acting contrary to a party’s interests is an operationally disruptive rule. It cuts against practices where a single practitioner is engaged by multiple parties without robust conflict management. Licensees must not rely on informal consent; the prescribed form is mandatory and the consequences of conflict require immediate cessation for all clients in the transaction.

Penalties multiple and cumulative. Many contraventions carry the 20/120 penalty‑unit scheme. Because provisions overlap, a single course of conduct can trigger multiple penalties. Documentation and contemporaneous decisions matter because poor records amplify enforcement exposure. The Endnotes’ penalty‑unit values make the monetary consequences concrete for planning purposes.

Sunset and future change. The 10‑year sunset (Endnotes) means these rules are time‑limited. Firms should consider compliance investments against that horizon, but the certainty of prescribed forms and obligations makes some investments unavoidable if dealing with loan/signatory work or multi‑party transactions.

Implement a compliance checklist mapped to the Regulations. Below are concrete steps licence holders should adopt to operationalise the Regulations and reduce enforcement and litigation risk. Each item cites the corresponding regulation(s).

1. Governance and policies (regs 6-11, 24)

   • Adopt written professional conduct policies reflecting obligations to act honestly, fairly and professionally (reg 6), exercise reasonable skill, care and diligence (reg 7), and respect fiduciary duties (reg 8).
   • Implement conflict‑checking procedures before accepting instructions to confirm competence (reg 9) and ability to perform promptly (reg 10).
   • Draft a policy on concurrent business activities documenting separation of records, files and accounts and procedures to cease acting if a conflict arises (reg 24).

2. Client intake and engagement (regs 11-15, 14)

   • At intake, confirm competency assessment and timing commitments; record the assessment (reg 9-10).
   • Use Schedule 1, Form 1 before acting for more than one party; obtain signed consent and retain the form on file (reg 14(a); Schedule 1 Form 1).
   • If acting for multiple parties, run a documented review to determine whether continuing to act could place the licensee in a position contrary to one party’s interests; cease acting for all parties if such a risk exists (reg 15).

3. Communication and documentation (regs 12-13, 17)

   • Communicate regularly with clients and document updates (reg 12).
   • Confirm oral instructions that are non‑trivial in writing “as soon as possible”; maintain a date‑stamped copy in the client file (reg 13).
   • Maintain file notes for all instructions, telephone calls and enquiries and ensure electronic records are stored in a format that can be produced in permanent legible English (reg 17(1)-(2)).

4. Referral and independence controls (reg 18; Schedule 1, Form 2)

   • Create a register of preferred service providers and flag any personal, commercial or financial connections that could defeat independence (reg 18(2)-(3)).
   • Before referring, complete Schedule 1, Form 2 and obtain client signature for referrals to a non‑independent service provider (reg 14(b); Schedule 1 Form 2).
   • Avoid representing that a referred provider is independent if any rebate, commission or relationship exists (reg 18(1)).

5. Marketing compliance (reg 19)

   • Vet all advertising, website copy, stationery, business cards and slogans through the policy to ensure no false or misleading statements or logos (reg 19(1)-(2)).
   • Keep contemporaneous internal approvals for all marketing materials to evidence compliance.

6. Undertakings and third‑party promises (reg 20)

   • Record all undertakings in writing, and track performance timelines to ensure timely and effective performance (reg 20(1)).
   • Do not seek undertakings that would require cooperation of a third party not party to the undertaking; where cooperation from third parties is needed, seek alternative contractual arrangements (reg 20(2)).
   • Document any release by recipient or court if an undertaking is to be discharged.

7. Termination, transfers and business sales (regs 21-23)

   • Before ceasing to act, check that termination is consistent with reg 21: client agreement, client termination, or written notice from the licensee provided “as soon as practicable” (reg 21).
   • If a client instructs a new licensee, deliver all relevant documents and necessary information to the new licensee within 14 days of written direction, unless the account for legitimate work remains unpaid (regs 22(1)-(3)).
   • For a transfer of business, provide each client with 14 days’ written notice detailing the intended transfer, trust account balances and the client’s right to give contrary directions (reg 23(1)-(2)). Maintain detailed records of notices sent and any client responses.

8. Loan and security signatory procedures (regs 25-26)

   • Do not act for the lender when advising a proposed signatory to a loan or security document (reg 25(2)).
   • Where advising a borrower, ensure written client advice covers the specific points in reg 26(2) and obtain the written acknowledgement of independent advice from the borrower (reg 26(2)-(3)).
   • Where advising a guarantor, cover the matters in reg 26(4) and obtain the guarantor’s written acknowledgement of independent advice (reg 26(4)-(5)).
   • Include the statement that the licensee does not hold financial‑advice qualifications and recommend the proposed signatory sees an accountant or financial counsellor for financial questions (reg 26(6)).

9. Record retention and systems (reg 17)

   • Configure case management systems to produce permanent legible English records: timestamped file notes, signed forms, scanned documents and an audit trail for all communications (reg 17(2)).
   • Institute retention policies that preserve electronic records in a durable format accessible on demand.

10. Financial and trust controls (reg 23)

    • Maintain accurate trust account records and generate client trust balance statements to be included in transfer notifications where necessary (reg 23(2)).
    • Document decisions to withhold document delivery due to unpaid legitimate accounts as permitted by reg 22(3).

11. Training and audit

    • Conduct periodic staff training covering forms (Schedule 1), advertising controls, undertakings, conflict checks, file note standards and loan‑advice acknowledgements.
    • Implement internal audits to verify that forms are being completed before acting, that written acknowledgements are obtained for loan/guarantor advice, and that transfers meet timing requirements.

12. Insurance and risk management

    • Review professional indemnity insurance cover in light of the Regulations’ separation of duties and the potential for multiple penalties arising from single incidents.
    • Consider engagement terms that document the scope of work, communication and recordkeeping expectations, and the client’s acknowledgement of prescribed disclosures where relevant.

Testing compliance through simple templates. Adopt firm templates for:

• Form 1 and Form 2 exactly as prescribed in Schedule 1.
• Standard letter confirming oral instructions (to comply with reg 13).
• Standard written acknowledgement for independent loan advice (to comply with regs 26(3),(5)).
• Transfer checklist with 14‑day deadlines, document and trust balance items (to comply with regs 22-23).

Document evidence trail. Because many breaches are proved by absence of documentation, retain affirmative evidence: signed Schedule 1 forms, dated written confirmations, timestamped file notes, client responses to transfer notices, and proof of service for notices and delivered documents.

Monitor penalty‑unit values and sunset. Keep the Endnotes’ penalty‑unit procedures under active review: penalty amounts change annually under the Monetary Units Act 2004 and mistakes in calculating fines can be costly. Track the instrument’s sunset date and any parent Act reform to time compliance investments appropriately.

Engage external advice where necessary. For complex lending structures, consider advising the client to consult an accountant or financial professional as required by reg 26(6). When in doubt about conflicts, obtain contemporaneous written advice or decline instructions to avoid the “cease to act” trap under regulation 15.

By mapping internal processes to each prescribed obligation and documenting decisions, a licensee can materially reduce regulatory exposure. Where practical, automate documentary requirements (signed forms, acknowledgement capture, dated file notes and referral disclosures) to create audit evidence and to ensure that mandatory steps occur “before acting” as the Regulations require.
