Consumer Credit (National Uniform Legislation) Implementation Act 2010

This Act implements the transfer of Northern Territory consumer credit regulation to the Commonwealth National Consumer Credit Protection framework. Its operative mechanics are: repeal of the Territory consumer credit statute, targeted amendments to Territory Acts that previously referenced the local Code, and transitional and saving provisions to enable the legal shift to the Commonwealth scheme.

Mechanically:

• It ties its own commencement to the commencement of the National Consumer Credit Protection Act 2009 (Cth). See s 2; the Act “commences on the day the National Consumer Credit Protection Act 2009 (Cth) commences” (s 2). The endnotes record assent on 20 May 2010 and commenced 1 April 2010 in consequence of the Commonwealth commencement (Endnotes).
• It repeals the Consumer Credit (Northern Territory) Act 1995 in full (s 5). It also repeals specific provisions in the Consumer Affairs and Fair Trading Act 1990 (s 4).
• It amends local Acts so that references to the former Consumer Credit (Northern Territory) Code now point to the Consumer Credit Code in Schedule 1 of the National Consumer Credit Protection Act 2009 (Cth) (s 7(2)-(3); s 9).
• It inserts Part 6 transitional provisions (ss 11-16) that supply definitions, specify how existing proceedings and references are to be treated (ss 12-13), enable the Territory’s Commissioner of Consumer Affairs to provide documents and assistance to ASIC (s 14), permit the Minister to enter agreements with ASIC for ASIC to act as agent of the Territory (s 15), and allow the Administrator to make savings and transitional regulations including limited retrospective regulations (s 16).

The Act’s stated purpose is “to provide for the implementation of national consumer credit legislation.” That purpose is realised by replacing local regulatory instruments with references to the Commonwealth National Credit legislation (s 11 definition), by enabling cooperation and delegation to the Australian Securities and Investments Commission (ASIC) (ss 14-15), and by providing a transitional and regulatory bridge in the Territory (s 16). The Act does not itself set new credit regulatory rules; it shifts the Territory’s statutory architecture so the National Consumer Credit Protection Acts become the operative framework for consumer credit within the Territory (ss 5, 7(3), 11).

The Act relies on a small set of legislative instruments and transitional concepts to achieve implementation. The core concepts, as defined or used in the Act, are:

• National Credit legislation (s 11). The Act defines this expressly to mean the National Consumer Credit Protection Act 2009 (Cth) and the National Consumer Credit Protection (Transitional and Consequential Provisions) Act 2009 (Cth) (s 11). The Act does not itself restate the substantive credit rules; it imports them by reference to the Commonwealth Acts.

• Consumer Credit Code reference replacement (ss 7, 9). The Instruments Act 1935 and the Traffic Act 1987 are amended to replace former references to a “Consumer Credit (Northern Territory) Code” with “Consumer Credit Code means Schedule 1 to the National Consumer Credit Protection Act 2009 (Cth)” (s 7(2)-(3); s 9). This shifts the operative textual anchor in Territory legislation from a local schedule to the Commonwealth schedule.

• Repeal and transitional continuity (ss 4-5, 16). The local Consumer Credit (Northern Territory) Act 1995 is repealed (s 5), and Part 6 establishes transition rules (ss 11-16). Section 16 authorises the Administrator to make regulations “containing provisions of a savings or transitional nature” to deal with the effects of repeal and the move to the National Credit legislation. Section 16(2) explicitly permits regulations to “continue the operation of a repealed provision.” Section 16(3) permits retrospective operation back to the commencement of Part 6, subject to the non‑disadvantage limitation in s 16(4).

• Transfer or assistance to ASIC (ss 14-15). The Commissioner of Consumer Affairs may provide documents and assistance to ASIC that are “reasonably required” for ASIC to perform functions or exercise powers under the National Credit legislation (s 14(1)). Section 14(2) states that this obligation “has effect despite any other Act or law,” evidencing an express statutory override. Separately, s 15 permits the Minister, or a person authorised by the Minister, to enter agreements with ASIC for ASIC to perform functions or exercise powers “as an agent of the Territory.” Section 15(2) similarly provides that such agreements have effect despite conflicting Territory law.

• Treatment of existing proceedings (s 12) and references (s 13). Section 12 directs that certain court proceedings that are “old proceedings” under item 4(1) of Schedule 1 to the Commonwealth Transitional Act cease to be proceedings under Territory law after commencement. Section 13 establishes that references in other Territory Acts or documents to the former consumer credit protection legislation are to be read as references to the National Credit legislation or to corresponding provisions where they exist.

The Act identifies specific Territory actors and external bodies and alters who carries out consumer credit regulation and related functions.

Primary public actors mentioned:

• Commissioner of Consumer Affairs (s 11 definition). The Commissioner is explicitly empowered to provide documents and assistance to ASIC on the Commissioner’s own initiative or at ASIC’s request (s 14(1)(a)-(b)). Subsection 14(2) gives that power effect despite any other Act, indicating the Commissioner must comply irrespective of other statutory constraints.
• Minister (s 15(1)). The Minister, or someone authorised in writing by the Minister, may enter into agreements or arrangements with ASIC for ASIC to perform functions or exercise powers “as an agent of the Territory” (s 15(1)). Section 15(2) confirms such agreements prevail despite any Territory law inconsistent with the matter agreed.
• Administrator (s 16(1)). The Administrator may make regulations of a savings or transitional nature consequent on the enactment of this Act or the transition to National Credit legislation (s 16(1)).

External or switched regulators:

• ASIC. The Act contemplates ASIC performing functions and exercising powers under the National Credit legislation, and it enables the Territory’s Commissioner to provide assistance and documents to ASIC (s 14). The Minister may enter agreements allowing ASIC to act as the Territory’s agent for specified functions (s 15).

Persons and entities affected on the private side:

• Credit providers and persons subject to the former Consumer Credit (Northern Territory) Act 1995. Although the Act does not restate substantive credit obligations, the repeal (s 5) and the redefinition of the Consumer Credit Code reference (ss 7, 9, 11) mean businesses and individuals previously governed by Territory consumer credit law are now governed by the National Credit legislation (s 11 and s 13). The Act itself does not set licensing fees, penalties or substantive consumer protections; those will be in the National Credit legislation.

Courts and proceedings:

• Courts. Section 12 causes “proceedings in a court that constitute old proceedings under item 4(1) of Schedule 1 to the National Consumer Credit Protection (Transitional and Consequential Provisions) Act 2009 (Cth)” to cease to be proceedings under Territory law immediately after commencement. This shifts the character and possibly the forum or applicable regime for such matters.

The Act does not create broad substantive consumer credit duties; instead it creates procedural duties enabling the practical transfer to Commonwealth regulation. The key statutory duties and rights are:

Duties on the Commissioner of Consumer Affairs

• Provision of documents and assistance to ASIC (s 14(1)). The Commissioner “may, on his or her own initiative or at the request of ASIC” provide any document or other information in the Commissioner’s possession or control that is “reasonably required by ASIC” in connection with ASIC’s functions or powers under the National Credit legislation (s 14(1)(a)). The Commissioner may also provide other assistance “reasonably required” by ASIC (s 14(1)(b)). Subsection 14(2) provides the power “has effect despite any other Act or law,” indicating that statutory secrecy or other constraints do not prevent compliance with this provision.

Discretion and permissive language:

• The Commissioner’s power is phrased as “may,” not “must,” giving the Commissioner discretion to supply documents or assistance on the Commissioner’s own initiative or at ASIC’s request (s 14(1)). That said, s 14(2) removes other statutory impediments, but does not remove the Commissioner’s discretion in whether or when to provide the assistance.

Ministerial power to delegate by agreement

• Entering agreements with ASIC (s 15(1)). The Minister, or a person authorised by the Minister in writing, may enter into an agreement with ASIC for ASIC to perform functions or exercise powers “as an agent of the Territory,” even if those functions or powers are or may be conferred on another Territory person or body (s 15(1)). This is permissive language granting the Minister an option to outsource or contract certain functions to ASIC under an agency relationship.

Effect of agreements despite other law

• Section 15(2) provides that such an agreement “has effect despite any provision of a law of the Territory in respect of a function or power that is the subject of the agreement or arrangement.” That is an express Parliamentary authorisation that an agreement with ASIC will override conflicting Territory statutory provisions with respect to the function or power in question.

Regulation-making power

• Administrator’s regulation power (s 16(1)). The Administrator may make regulations containing savings or transitional provisions consequent on enactment of this Act or the transition from the former Territory legislation to the National Credit legislation. Subsection 16(2) expressly permits continuation of the operation of a repealed provision by regulation. Subsection 16(3) permits retrospective operation to a day not earlier than the commencement of the section; subsection 16(4) limits retrospective disadvantage so that regulations cannot decrease rights or impose liabilities to the disadvantage of a person (other than the Territory or a Territory authority). Subsection 16(5) imposes a two‑year expiry on s 16 and any regulations made under it.

The Implementation Act is procedural and transitional in character; it does not itself create novel penalty provisions or substantive enforcement offences relating to consumer credit. The Act’s primary effect on enforcement is to reallocate or enable the reallocation of enforcement and investigative functions to the Commonwealth regulator and to preserve coverage during the transition.

Absence of new offences in this Act

• The Act contains no new offence provisions, monetary penalties, or enforcement sanctioning mechanisms. Its provisions are focused on repeal, redefinition, transitional continuity, assistance/cooperation with ASIC, and regulation-making powers (see ss 4-5, 7, 11-16).

Transfer of enforcement locus to Commonwealth

• By repealing the Consumer Credit (Northern Territory) Act 1995 (s 5) and by construing references to the former consumer credit legislation as references to the National Credit legislation (s 13), the Act shifts the statutory basis for consumer credit regulation to the Commonwealth National Consumer Credit Protection Acts (s 11). Enforcement powers and penalties that previously resided under Territory law are therefore to be located in, or exercised under, the National Credit legislation and its enforcement architecture.

Role of ASIC and enforcement implications

• The Act contemplates ASIC as the primary operative regulator under the National Credit legislation, by permitting:
  • The Commissioner to provide documents and assistance to ASIC which are “reasonably required” for ASIC to perform its functions under the National Credit legislation (s 14(1)); and
  • The Minister (or an authorised person) to enter into agreements with ASIC for ASIC to perform functions or exercise powers “as an agent of the Territory” (s 15(1)). Section 15(2) makes such agreements effective despite inconsistent Territory law.

Because substantive enforcement powers (inspection, directions, fines, licence suspensions, civil remedies) are not created by this Act, users must consult the National Consumer Credit Protection Act 2009 (Cth) and its schedules for details on available penalties and enforcement procedures. The Implementation Act does, however, permit the Territory to use regulations under s 16 to continue the operation of repealed provisions; such regulations could, in principle, preserve existing penalties temporarily (s 16(2)). Any such regulations are subject to the non‑disadvantage rule in s 16(4) and must be made within the two‑year window that expires under s 16(5).

The Act is explicitly designed to reconfigure the web of Territory statutory references and operational practice so the Commonwealth National Credit legislation becomes the governing regime. Its interactions with other Territory Acts and with Commonwealth law are direct and statutory.

Direct amendments and repeals

• Consumer Affairs and Fair Trading Act 1990. Part 2 states that the Act amends the Consumer Affairs and Fair Trading Act 1990 and specifically repeals sections 83 to 86 and Part 12 (s 3-4). The effect is to remove particular Territory provisions that related to consumer credit in light of the national regime.
• Consumer Credit (Northern Territory) Act 1995. The Act repeals the Consumer Credit (Northern Territory) Act 1995 in full (s 5). That repeal removes the local statutory source of substantive consumer credit provisions.
• Instruments Act 1935 and Traffic Act 1987. The Act amends those Acts to replace the Territory’s Consumer Credit Code reference with a definition that points to Schedule 1 of the National Consumer Credit Protection Act 2009 (Cth) (s 7(2)-(3); s 9). Section 10 similarly amends a section referencing the Consumer Credit (Northern Territory) Code.

Construction of references in other Acts and documents

• Section 13 provides that in an Act (other than this Act) or other document:
  • a reference to the former consumer credit protection legislation is taken to be a reference to the National Credit legislation; and
  • a reference to a provision of the former consumer credit protection legislation is taken to be a reference to the corresponding provision (if any) of the National Credit legislation. This mechanism ensures textual continuity in the corpus of Territory legislation that previously relied on the local consumer credit statute.

Override and primacy in arrangements

• Section 14(2) provides that the Commissioner’s provision of information and assistance to ASIC “has effect despite any other Act or law.” Section 15(2) similarly provides that agreements with ASIC have effect “despite any provision of a law of the Territory” in respect of the function or power subject to the agreement. These clauses establish that, where the Territory authorises ASIC to act or the Commissioner to assist ASIC, those actions cannot be obstructed by conflicting Territory statutes.

Interaction with Commonwealth law and commencement

The Act’s recorded legislative milestones and formal amendments in the source material are succinct.

Enactment and commencement

• The instrument is identified as Consumer Credit (National Uniform Legislation) Implementation Act 2010 (Act No. 14, 2010). The endnotes record an assent date of 20 May 2010 (Endnotes 2). The Act’s s 2 provides commencement occurs on the day the National Consumer Credit Protection Act 2009 (Cth) commences. The endnotes record commencement on 1 April 2010 in consequence of s 2 and s 2 of the Commonwealth Act (“Commenced 1 April 2010 (s 2 and s 2 National Consumer Credit Protection Act 2009 (Cth Act No. 134, 2009))”) (Endnotes 2).

Formal and subsequent amendments

• The endnotes record that general amendments of a formal nature were made by the Interpretation Legislation Amendment Act 2018 (Act No. 22 of 2018) to sections 3, 6, 8 and 11 (Endnotes 3). The source lists Parts 2-6 and the specific sections amended or inserted, but the Endnotes note that some amendments were formal and not individually detailed in the table of amendments in the reprint.

No other amending Acts are recorded in the text supplied. There is no schedule of consequential amendments beyond the table of provisions and the Endnotes’ reference to the 2018 formal amendments. The Act’s Part 6 contains a built‑in expiry for the Section 16 regulation power (s 16(5)), which means one instrumentally significant “expiry amendment” is self-executing after two years, though that is a built-in temporal condition rather than a later amending statute.

Practitioner implication

• Readers should note that the Act’s effect depends on the Commonwealth Act’s commencement date (s 2) and that the Territory’s textual references were updated to point to Schedule 1 of the Commonwealth Act (s 7(3), s 9). The Endnotes’ reference to the Interpretation Legislation Amendment Act 2018 indicates some formal adjustments to s 3, s 6, s 8 and s 11 were made after initial commencement; the Endnotes identify those as formal changes rather than changes of substance (Endnotes 3).

For a complete legislative history and any subsequent amendments after those recorded in the supplied source, practitioners must refer to official legislative reprints and the Northern Territory legislative register outside of this Act text. The text supplied contains the core enactment and the Endnotes’ recorded formal amendments.

The Act itself contains no account of judicial decisions, case law, or reported litigation arising under its provisions. It is a transitional and implementation instrument that modifies statutory frameworks rather than creating new private rights or fines that would immediately generate case law within the Territory’s courts. The Act therefore records no specific litigation history.

What the Act does affect in litigation terms

• Section 12 affects litigation status: “Proceedings in a court that constitute old proceedings under item 4(1) of Schedule 1 to the National Consumer Credit Protection (Transitional and Consequential Provisions) Act 2009 (Cth) cease to be proceedings under a law of the Territory immediately after the commencement of that item.” This disposes of the Territory’s characterisation of certain pending matters and requires those involved in proceedings to re-examine whether their matters are now to be treated under the Commonwealth transitional regime. Litigation arising from that transition is not recorded in the Act.

Where to look for practical litigation consequences

• Because the Implementation Act integrates Territory law with the Commonwealth National Credit legislative scheme, any litigation concerning consumer credit obligations, licensing, enforcement powers, or transitional disputes arising from the implementation will primarily engage the National Consumer Credit Protection Act 2009 (Cth), its Transitional and Consequential Provisions Act, and any Commonwealth administrative actions by ASIC carried out under agreements with the Territory (s 15). The Act itself directs practitioners to consult those Commonwealth instruments to assess litigation risk and jurisdictional outcomes.

Implication for legal research

• The Act’s silence on case law means researchers seeking precedent for enforcement outcomes, jurisdictional challenges, or interpretation of transitional arrangements must consult:
  • the National Consumer Credit Protection Act 2009 (Cth) and its Transitional and Consequential Provisions; and
  • any subsequent cases that interpret the interplay between Territory transitional measures (including any regulations made under s 16 during its two‑year window) and Commonwealth law.

Summary

• The Implementation Act does not record litigation. Section 12 can affect pending proceedings’ character under Territory law, potentially generating litigation in Commonwealth courts or administrative channels, but such litigation and its outcomes are not contained in this Act. Practitioners should therefore examine Commonwealth sources and subsequent judicial reports for litigation that addresses transitional issues raised by the handover the Act effectuates.

The text contains several technical traps and framing points that practitioners should note; each arises from the Act’s transitional and re‑reference mechanics rather than from contested policy statements.

Commencement tied to Commonwealth act (s 2)

• Timing matters. The Act only commences on the day the National Consumer Credit Protection Act 2009 (Cth) commences (s 2). Any assumption that the Territory regime was replaced at a fixed local date is incorrect; the operative date depended on the Commonwealth commencement. Practitioners must confirm the Commonwealth commencement date in the National Credit Act to determine whether the Implementation Act was in force.

Proceedings ceasing to be Territory proceedings (s 12)

• Section 12 removes the status under Territory law of certain “old proceedings” as defined by the Commonwealth Transitional Act. It does so “immediately after the commencement of that item.” That can change forum, applicable procedural rules, or applicable remedies. The “old proceedings” that are affected are defined by reference to the Commonwealth Transitional Act (item 4(1) of Schedule 1), so you must read the Commonwealth transitional schedule to identify which matters are affected.

References to “corresponding provision (if any)” (s 13(b))

• Section 13(b) converts references to a provision of the former Territory legislation into references to the corresponding provision (if any) of the National Credit legislation. The “if any” qualification matters: not every Territory provision may have a direct counterpart in the Commonwealth Act. Where there is no corresponding provision, the textual conversion may leave ambiguity in other Territory Acts that refer to the abolished Territory provision.

Commissioner’s discretion vs statutory constraint (s 14)

• Section 14(1) uses “may” for the Commissioner’s provision of documents and assistance to ASIC and allows action “on his or her own initiative or at the request of ASIC.” Section 14(2) provides the power has effect despite any other Act or law, so statutory secrecy or other prohibitions are overridden. The interplay of discretionary language with an override of other laws requires careful operational planning: the Commissioner has discretion, but other statutory constraints cannot be used to block assistance where the Commissioner chooses to supply it.

Agreements with ASIC override Territory law but are permissive (s 15)

Because the Act is an implementation and transitional instrument, compliance in practice means aligning Territory practice, record-keeping and legal references to the National Credit legislation and preparing for cooperation with ASIC under the pathways the Act establishes. The Act prescribes or contemplates several concrete actions that Territory bodies and regulated entities should take or prepare for.

Confirm commencement date and operative law

• Verify the commencement date of the National Consumer Credit Protection Act 2009 (Cth) because s 2 makes commencement of this Act coterminous with that Commonwealth commencement. Practically, the day the Commonwealth Act commences is the day the Territory repealed statute and altered references take effect (s 2; s 5).

Map existing Territory references to Commonwealth provisions

• Use s 13 (construction of references) as a working rule: any reference in other Territory Acts or documents to the former consumer credit protection legislation should now be read as a reference to the National Credit legislation or, where relevant, the corresponding provision (if any). Practitioners must audit Territory legislation, subordinate instruments, forms, licences and contractual templates that reference the Consumer Credit (Northern Territory) Act or the local Code to identify where the textual conversion may be incomplete or where no direct Commonwealth correspondence exists (s 13).

Preserve and prepare records for ASIC assistance requests

• The Commissioner may provide documents and other assistance to ASIC “that is reasonably required” by ASIC in connection with ASIC’s functions under the National Credit legislation (s 14(1)). Entities that interacted with the Commissioner under the former Territory regime should ensure that relevant documentation is preserved and accessible, because the Commissioner may be asked to supply it to ASIC and the Commissioner, per s 14(2), is not constrained by other Territorial secrecy provisions when complying.

If you are the Commissioner or a Territory administrative body

• Be ready to supply documents and assistance on your own initiative or at ASIC’s request (s 14(1)). Put processes in place to identify and transfer documents that are “reasonably required,” to record any transfers, and to ensure statutory safeguards are observed. Note that statutory secrecy or other Territory statutory provisions do not prevent providing documents or assistance where the Commissioner elects to do so, due to s 14(2).
