Conservation, Forests and Lands (Contracts) Regulations 2021

The instrument operates around a small set of formal concepts, supplied either directly in its three regulations or by reference to other statutes in its endnotes. The primary concepts in the Regulations are the "maximum consideration", the role of the "Secretary" and the "Minister", and the statutory cross‑reference to section 19(1)(b) of the Conservation, Forests and Lands Act 1987.

• Maximum consideration, prescribed: Regulation 1 frames the objective as prescribing "the maximum consideration of a contract or agreement that the Secretary may enter into without the approval of the Minister." Regulation 3 gives the concrete prescription, "$10 000 000", and expressly limits its operative purpose to section 19(1)(b) of the parent Act. The Regulations therefore function as a numerical threshold rather than as substantive procurement rules.

• Secretary and Minister: The instrument assumes the decision roles defined in the parent Act. The Regulations themselves do not define "Secretary" or "Minister"; those definitions and the precise mechanics of approval are in the Conservation, Forests and Lands Act 1987, which the Regulations amend in effect only by supplying the monetary limit required by that Act (Regulation 2).

• Statutory cross‑reference: The Regulations are made under section 99 of the parent Act (Regulation 2). They explicitly state they are made "for the purposes of section 19(1)(b) of the Conservation, Forests and Lands Act 1987" (Regulation 3). Therefore the Regulations are subordinate and contingent on how section 19(1)(b) operates in the Act; the Regulations do not operate independently of that statutory framework.

• Commencement and sunset: The endnotes specify the making and commencement date, 20 April 2021, and declare a 10‑year sunsetting date, 20 April 2031, under section 5 of the Subordinate Legislation Act 1994 (Endnotes, General information). This places a temporal limit on the Regulations, requiring either renewal or replacement if the threshold is to persist beyond that date.

• Interpretation templates: The endnotes draw attention to the Interpretation of Legislation Act 1984 (ILA) provisions about headings, examples, punctuation and other matters of style being part of the instrument (Endnotes, Interpretation of Legislation Act 1984). Those ILA rules will guide interpretation of any textual or formatting features of the Statutory Rule if a dispute arises about meaning.

Notable absences within the instrument are conceptual. The Regulations do not define the meaning of "consideration" for the $10,000,000 threshold, they do not specify whether amounts are aggregated across related or serial contracts, and they do not direct whether taxes, options, contingencies, or future variations are included in the calculation. Those gaps mean the parent Act, administrative practice, procurement policy, or judicial interpretation will supply the operational answers.

The Regulations affect three groups directly: the Secretary of the relevant department under the Conservation, Forests and Lands Act 1987, the Minister responsible under that Act, and private or third‑party parties who contract or propose to contract with the Secretary on matters caught by the Act. Secondary groups include procurement officers, legal officers and the departmental finance function who must apply the threshold, and ultimately taxpayers, insofar as the threshold governs when Ministerial oversight is required for departmental commitments.

Secretary and Minister: The instrument changes the boundary of the Secretary’s autonomous contracting power by prescribing that figure which determines when Ministerial approval becomes necessary. The Regulations themselves do not create the approval power, but prescribe the amount that triggers the approval requirement in section 19(1)(b) of the parent Act (Regulations 1-3). Consequently, Secretaries making contracting decisions must be aware of and apply the $10,000,000 threshold in internal decision‑making, and Ministers will receive matters that exceed it.

Contracting counterparties: Private parties and suppliers dealing with the department will be affected by how the threshold changes procurement dynamics. For contracts or agreements with consideration at or below $10,000,000, the Secretary may enter without seeking Ministerial approval under the statutory framework as informed by these Regulations. For greater amounts, Ministerial approval will be required under the parent Act. This can affect timelines, approval roadmaps, and negotiation leverage, because the presence or absence of a Ministerial approval step is likely to change administrative delay and the number of decision‑makers involved.

Procurement and legal staff: The departmental procurement function, legal advisers, and finance teams must implement records, valuation methods and internal approval matrices keyed to the $10,000,000 figure. They must determine how to calculate the "consideration" of a contract in practice, given that the Regulation itself does not provide a calculation method.

Wider public: The Regulations have an indirect effect on the public interest in that they define the level at which political oversight (Ministerial approval) is required for departmental contracting. The endnotes also record that the Statutory Rule will sunset on 20 April 2031 (Endnotes, General information), which agencies and stakeholders should note for forward planning.

Other statutory actors: The Regulations were made under section 99 of the Conservation, Forests and Lands Act 1987 (Regulation 2) and so operate within that Act. The Interpretation of Legislation Act 1984 rules referred to in the endnotes affect how the instrument is read, and the Subordinate Legislation Act 1994 determines the sunset mechanism (Endnotes).

The text of the Regulations is narrowly focused and so the duties and rights it creates or affects are principally derivative, flowing from the parent Act and operationalised by the monetary prescription. The Regulations do three things that change duties and rights in practice: they prescribe the threshold, they operate under the parent Act’s authorising provision, and they commence and will cease by the sunset mechanism noted in the endnotes.

Duty to obtain Ministerial approval: The Regulations do not themselves state a duty to obtain Ministerial approval. They prescribe a figure "for the purposes of section 19(1)(b) of the Conservation, Forests and Lands Act 1987" (Regulation 3). The duty to obtain approval, and any consequences for failing to obtain it, are therefore located in the parent Act, not in the Regulations. The Regulations change the point at which that statutory duty attaches by fixing the amount.

Secretary’s right to enter contracts up to the threshold: By setting the prescribed amount, the Regulations create a practical right for the Secretary to conclude contracts or agreements with consideration at or below $10,000,000 without the need for Ministerial approval as contemplated by s19(1)(b) (Regulation 3). That right is not an absolute statutory exemption from all oversight; it operates within any other statutory or administrative constraints that apply under the Act or departmental policy.

Ministerial review for larger contracts: The Minister retains the right under the Act to approve or refuse approval for contracts that exceed the prescribed threshold. The Regulations do not alter the Minister’s statutory functions; they supply the numerical boundary that determines when the Minister’s approval function is engaged.

Administrative duties implied but not specified: The Regulations compel administrative action indirectly. Departments must establish and follow internal processes to determine contract value, to document when a contract falls below or above the threshold, and to escalate matters requiring Ministerial approval. The Regulations themselves do not prescribe those administrative duties, but they create an operational necessity for them by fixing the threshold.

Temporal duty to consider sunset: The Regulations will expire on 20 April 2031 unless re‑made or replaced (Endnotes, General information). Agencies have a duty to track the lifecycle of subordinate instruments; accordingly procurement and legal teams must note the sunset date when designing multi‑year contracting frameworks that rely on the threshold.

No express rights for third parties: The Regulations do not confer rights on private parties beyond clarifying who must approve departmental contracting. Any contractual rights or remedies remain matters for contract law and the parent Act, not the Regulations themselves. The Regulation’s single operative effect is to set the $10,000,000 limit for the approval trigger.

The Regulations contain no penalty provisions, express offences, or enforcement mechanisms. The Table of Provisions lists only the objective, the authorising provision and the prescribed amount, and the text of the Regulations does not create any sanctioning regime (Regulations 1-3). Enforcement, penalties and remedies for non‑compliance with approval requirements therefore remain within the Conservation, Forests and Lands Act 1987 or in general administrative and contract law, not in these Regulations.

Because the Regulations operate by prescribing a monetary figure for the purposes of section 19(1)(b) of the parent Act (Regulation 3), any consequences for failing to comply with the requirement to obtain Ministerial approval, including invalidity of a contract entered without required approval or any disciplinary or administrative consequences for officials, must be sought in the parent Act. The instrument does not identify whether a contract entered without the required approval would be void, voidable, subject to injunction, or otherwise defective; those legal effects depend on the wording and enforcement provisions of section 19 and any other relevant provisions of the Conservation, Forests and Lands Act 1987.

Administrative oversight and accountability mechanisms will be determined by the parent Act and by departmental governance frameworks. The Regulations do not alter audit or public reporting regimes, nor do they create a new route for complaints or judicial review beyond what is available under existing law.

Because the Regulations are subordinate legislation, they are subject to the usual supervisory architecture for statutory rules. The endnotes record that the Regulations will sunset after 10 years under section 5 of the Subordinate Legislation Act 1994 (Endnotes, General information). That procedural requirement provides a form of temporal oversight, as the instrument must be remade or allowed to lapse at the sunset point.

Where disputes arise over whether a particular contract requires Ministerial approval because of the monetary amount, the resolution forum will be the parent Act, administrative decision processes, and ultimately courts or tribunals if judicial review is sought. The Regulations themselves do not prescribe dispute resolution or enforcement routes.

The Regulations are a subordinate instrument made under section 99 of the Conservation, Forests and Lands Act 1987 (Regulation 2) and operate specifically to supply the figure referenced in section 19(1)(b) of that Act (Regulation 3). Their legal effect is therefore determined in relation to the mechanics and language of the parent Act. The Regulations do not alter the substantive powers, duties or obligations in the parent Act other than by determining the monetary boundary for Ministerial approval.

Subordinate Legislation Act 1994: The endnotes record that the Regulations will sunset 10 years after making, on 20 April 2031, pursuant to section 5 of the Subordinate Legislation Act 1994 (Endnotes, General information). That Act governs the lifecycle of subordinate instruments, so any ongoing effect beyond the sunset date will require re‑making or amendment to comply with that statutory framework.

Interpretation of Legislation Act 1984: The endnotes contain a detailed statement that the Interpretation of Legislation Act 1984 affects how headings, examples, punctuation and other stylistic features are treated and interpreted for instruments made on or after 1 January 2001 (Endnotes, Interpretation of Legislation Act 1984). Those ILA rules therefore form part of the interpretative context for the Regulations and any disputes about meaning which turn on stylistic elements.

Interaction with procurement, financial and administrative law: The Regulations set a value at which Ministerial approval is required. Procurement statutes, government finance rules, departmental standing orders, and general administrative law will interact with the threshold in practice, even though none of those instruments are mentioned in the Regulations. For example, departmental procurement policies will determine approval pathways below the Ministerial threshold; the Regulations do not displace internal approval requirements that may be more stringent than the statutory threshold. Conversely, where departmental policies permit delegation below the statutory threshold, the Secretary’s ability to enter contracts up to $10,000,000 without Ministerial approval will operate subject to internal policies.

Tax and valuation rules: The Regulations are silent on whether the $10,000,000 amount includes taxes, whether it is to be calculated gross or net, and whether contingent payments, performance bonds or options are to be aggregated into the "consideration" figure. These interaction points will therefore depend on the parent Act, administrative guidelines, or, ultimately, legal interpretation. The text of the Regulations does not resolve potential inconsistencies with other legislative or policy definitions of contract value.

Effect on contractual structures: The existence of a monetary threshold creates incentives that interact with contract law, competition law and administrative practice. Parties may attempt to structure transactions to fall below the threshold through splitting of works, staged contracts or separate agreements. The Regulations do not address anti‑avoidance measures or aggregation rules; if such interactions are regulated elsewhere, those other rules will determine the outcome.

In short, the Regulations serve as a numerical link in a chain of statutory and administrative instruments. They operate by reference to section 19(1)(b) of the Conservation, Forests and Lands Act 1987 (Regulation 3), are made under section 99 of that Act (Regulation 2), and are subject to the lifecycle and interpretation rules set out in the Subordinate Legislation Act 1994 and the Interpretation of Legislation Act 1984 (Endnotes). Practical application requires coordination with procurement policy, departmental delegations, and any other statutory provisions that define "consideration" or govern public contracting.

The Regulations are a recent, short instrument and the endnotes supply the complete amendment history recorded in the published version. The Table of Amendments states there are no amendments made to the Conservation, Forests and Lands (Contracts) Regulations 2021 by statutory rules, subordinate instruments or Acts (Endnotes, Table of Amendments). The separate section "Amendments Not in Operation" likewise states there are no amendments not yet in operation affecting this version (Endnotes, Amendments Not in Operation).

Versioning and dates: The instrument is Version No. 001 and is recorded as the version as at 20 April 2021 (cover page and General information endnote). It was made by the Governor in Council under section 99 of the Conservation, Forests and Lands Act 1987, No. 41/1987, on 20 April 2021 and came into operation on that date (Endnotes, General information). There is no recorded subsequent re‑making, revocation or amendment in the published table.

Sunset mechanism: The instrument will sunset on 20 April 2031, ten years after the day of making, pursuant to section 5 of the Subordinate Legislation Act 1994 (Endnotes, General information). That sunset is an automatic expiry mechanism and should be treated as an amendment history item in future if the instrument is remade, replaced or revoked before or at that date.

Explanatory material: The endnotes include an "Explanatory details" section which records "No entries at date of publication" (Endnotes, Explanatory details). Therefore there is no additional explanatory memorandum or published explanatory note accompanying the instrument in the source text that might clarify drafting intent or operational detail.

Practical consequences for amendment tracking: As at the version date supplied, the instrument has not been amended. Users relying on the threshold should note that any future amendment altering the monetary figure, the commencement date, the authorisation, or related details will appear in the Table of Amendments and the instrument’s version history. Because the instrument is short and targeted, any amendment that changes the amount or mechanics will materially change the Secretary’s contracting boundary, so tracking the instrument for amendment is operationally important.

The source text contains no references to case law, litigation, court decisions, or tribunal determinations concerning the Regulations. The endnotes do not list litigation or judicial interpretation entries, and the "Explanatory details" section records no entries at the date of publication (Endnotes, Explanatory details). The Table of Amendments lists no entries, which also indicates that no litigation‑driven amendments had been recorded at the time of the version published (Endnotes, Table of Amendments).

Practical effect of the absence of litigation history in the source: Because the Regulations are narrowly focused and were made at a single point in time with a single operative monetary figure, it is unsurprising that there is no litigation history recorded in the instrument itself. Any disputes arising from application of the $10,000,000 threshold, such as disagreements about how "consideration" is to be calculated or whether related contracts must be aggregated, would be resolved by reference to the Conservation, Forests and Lands Act 1987, departmental policies, administrative review procedures, and ultimately by courts or tribunals if judicial review or declaratory relief is sought. The Regulations do not record outcomes of any such disputes in the absence of litigation being brought and decided at the time of publication.

Implications for practitioners: Because the Regulations do not provide interpretative guidance beyond the monetary figure, and because no litigation history is provided in the source, legal practitioners, procurement officers and contractors should anticipate that questions of interpretation will turn on the parent Act and on administrative practice. Where the threshold is close to the contract value, prudent practice will be to obtain legal advice or seek Ministerial clarification if there is any doubt. The Regulations themselves will not resolve contested interpretative issues; those issues will be resolved in the parent Act’s application and any external review undertaken under the usual administrative law channels.

The Regulations are brief, and their brevity creates several practical "gotchas" , areas where the instrument’s silence or technical form can produce uncertainty, operational risk, or unanticipated behaviour. These are matters for administrators, counsel and contracting parties to note because they materially affect how the $10,000,000 threshold will be applied.

1. The Regulations do not define "consideration." Regulation 3 prescribes an amount "for the purposes of section 19(1)(b)" but the Statutory Rule does not state whether the figure includes taxes, GST, contingent payments, performance bonuses, or in‑kind components. The source is silent on valuation methodology, so whether the dollar figure is gross, net, or calculated on some other basis is unresolved in the instrument itself. This absence forces reliance on the parent Act, departmental policy, or legal interpretation.

2. Aggregation risk and serial contracts. The Regulations do not state whether related or sequential contracts must be aggregated for the purpose of applying the threshold. That omission raises an operational gap: may departments split a single project into multiple contracts to avoid Ministerial approval, or must a series of related commitments be counted as one for threshold purposes? The instrument gives no guidance on this point.

3. Treatment of options, renewals and variations. The instrument does not address whether contract options, extension rights, or foreseeable variations should be included in the calculation of "consideration." For long‑term projects with staged payments, this omission leaves potential for dispute about whether an initial contract that is below the threshold is effectively a mechanism to commit above the threshold over time.

4. Currency and indexing. The Regulations state "$10 000 000" but do not specify currency labelling beyond the dollar sign, nor do they provide for indexing or future adjustment for inflation. Absent any indexing clause, the figure remains fixed until amended. This produces a drift effect over time, as inflation reduces the real value of the threshold between the 2021 commencement and the 2031 sunset, potentially changing the policy effect without any conscious policy decision.

5. Interaction with departmental delegations and internal rules. The Regulations create a statutory floor for Ministerial approval but do not preclude more stringent departmental rules. Confusion can arise where internal delegations require approvals at lower monetary amounts than the statutory threshold. Departments must reconcile the statutory boundary with internal controls.

6. No express anti‑avoidance measure. The Regulations do not include an anti‑avoidance provision to prevent structuring of transactions to avoid the Ministerial approval requirement. That silence leaves room for behavioural responses, such as contract splitting, absent other legal or policy restraints.

7. No procedural detail for obtaining Ministerial approval. While the Regulations set the boundary, they provide no procedural roadmap for how approval is to be sought, documented, timed, or published. Those procedures will be found in the parent Act, internal departmental rules, or administrative practice.

8. Sunset planning. The instrument will expire on 20 April 2031 unless remade or replaced, but it contains no transitional provisions for contracts entered close to the sunset date, or for processes to replace it. Departments must plan around that lifecycle.

9. Narrow text, broad practical effect. The Regulations are formally limited to one numeric prescription, but that number is a lever that alters administrative discretion, procurement timelines and Ministerial oversight. Because the instrument is terse, small interpretative differences can have outsized operational consequences.

10. No penalties or enforcement mechanisms in the rule itself. The absence of penalty provisions means that legal consequences for failing to observe the approval requirement will depend on the parent Act and broader administrative law. Practitioners cannot rely on the Regulations for enforcement details.

Each of these "gotchas" derives from what the Regulations do not say as much as from what they do say. The source text (Regulations 1-3 and the endnotes) supplies the prescription and commencement detail but leaves operational and interpretative issues to other instruments and administrative practice. That is the principal practical hazard for counsel and procurement officers advising on or implementing the threshold.

Compliance with the Regulations requires an operationalisation of the $10,000,000 threshold within departmental procurement, legal and finance processes, and a recognition that the Regulations are a numerical input to the parent statutory scheme rather than a standalone procedural code. The following practical steps, grounded in the text of the Regulations and their endnotes, will assist departments, officials and contracting parties in complying with the instrument’s effect.

1. Treat the Regulations as a statutory threshold. Record that for the purposes of section 19(1)(b) of the Conservation, Forests and Lands Act 1987 the prescribed amount is $10,000,000 (Regulation 3). The Secretary may enter contracts or agreements without the Minister’s approval up to that amount, subject to other statutory and internal constraints. Contracts above that amount will engage the parent Act’s approval requirement.

2. Establish a valuation methodology and documentation trail. Because the Regulations do not define "consideration," departments should adopt and document a clear methodology for calculating the monetary value of contracts, including treatment of taxes, contingencies, options and future payment streams. Put the methodology into procurement guidance, and ensure legal and finance sign‑off is required when values approach the threshold.

3. Implement escalation and approval matrices. Design internal approval pathways that identify triggers for Ministerial approval, and require a pre‑submission legal and financial review for any contract where the calculated consideration is close to or above $10,000,000. Ensure clear signposting of who within the department certifies the valuation and who is responsible for seeking Ministerial approval under the parent Act.

4. Audit and recordkeeping. Keep contemporaneous records showing how the consideration was calculated, the procurement steps taken, and the basis for concluding whether Ministerial approval was required. Because the Regulations themselves do not specify enforcement, administrative and audit records are essential to demonstrate compliance with the parent Act’s approval requirements.

5. Address aggregation and staging in policy. Draft departmental policy that clarifies whether related projects, staged contracts or repeats should be aggregated for threshold purposes. If the parent Act or other statutes supply rules on aggregation, align departmental policy with them. If ambiguity persists, obtain legal advice when structuring contracts that might be aggregated.

6. Avoid ad hoc splitting without legal basis. The Regulations do not forbid contract structuring, but splitting of projects to avoid Ministerial approval can raise legal and administrative risks. Where splitting is considered, obtain advice on whether such structuring is lawful and defensible, and document commercial justifications beyond threshold avoidance.

7. Monitor the sunset date. Note the instrument’s sunset on 20 April 2031 under the Subordinate Legislation Act 1994 (Endnotes, General information). Build into procurement planning a check on whether the instrument has been remade or amended prior to that date, and ensure longer term contractual commitments do not rely on the continuing existence of the exact numerical threshold without review.

8. Coordinate with other regulatory instruments. Align departmental procurement rules, financial delegations, and reporting obligations with the statutory threshold. Where internal rules are stricter than the statutory threshold, ensure they are applied consistently and that staff understand the precedence of internal controls in practice.

9. Train procurement and legal staff. Provide targeted training for staff on the meaning and implications of the $10,000,000 threshold, the need to escalate, and practical examples illustrating value calculation complexities. Training reduces the risk that an officer will mistakenly authorise a contract requiring Ministerial approval.

10. Seek guidance where ambiguous. Because the Regulations are silent on many valuation and aggregation issues, seek legal advice or a Ministerial or departmental interpretative guidance note when the commercial structure of a transaction creates doubt. Rely on the parent Act and legal advice to determine the correct course before finalising contracts near the threshold.

For external parties and suppliers dealing with the department, compliance is less about following the Regulations and more about recognising how the threshold affects procurement timelines and decision‑makers. Suppliers should:

• Factor the possibility of Ministerial escalation into project timelines where contract consideration may exceed $10,000,000.
• Seek clarity from the contracting agency about how the agency calculates "consideration" and whether the project may be split or aggregated for administrative purposes.
• Keep clear records of bids and proposals to demonstrate negotiation positions should disputes arise over contract structuring or approval steps.

In short, compliance requires embedding the $10,000,000 number into procurement and legal processes, documenting valuation methodologies, planning for Ministerial approvals where required, and watching the instrument’s lifecycle and interpretative gaps so that practical risks can be anticipated and managed. The statutory text (Regulations 1-3 and the endnotes) provides the threshold and commencement details; operational compliance is achieved by supplementing that text with clear internal policy, legal advice and administrative controls.
