Company Titles (Home Units) Act 2013

The Act operates through a compact set of defined legal concepts that determine the universe of disputes and the available remedies. The primary concepts are company title corporation, service company, neighbourhood matter, neighbourhood dispute, rule, unit, residual land and the prescribed list in the Schedule.

• Company title corporation. A "company title corporation" is a company that owns land where ownership of shares entitles the shareholder to exclusive use and occupation of a specified part of the land, but explicitly excludes an "owners corporation" as defined in the Owners Corporations Act 2006 (s 3). The Act therefore addresses corporate ownership structures that substitute share-title for strata or owners corporation models. The definition ties rights of exclusive use to share ownership, rather than to strata title.

• Service company. The Act adopts the Transfer of Land Act 1958 definition of "service company" and "service agreement" (s 3). Service companies commonly supply services to owners in a building subdivision; the Act captures disputes affecting them as well as company title corporations.

• Neighbourhood matter. The Act defines "neighbourhood matter" by reference to the Schedule (s 4). The Schedule lists concrete topics: health, safety and security; use, maintenance and services on residual land; external appearance and renovations to units; repair and maintenance; design and landscaping; behaviour and nuisance, including noise and compliance with nuisance control provisions; adequacy of dispute resolution procedures; and notices and document provision (Schedule items 1-8). The Schedule is thus the central content source for what counts as a neighbourhood matter.

• Neighbourhood dispute. A "neighbourhood dispute" is a dispute that "relates only to a neighbourhood matter or matters" and "affects a company title corporation or a service company" (s 5(1)). This is a narrow definitional gate: the dispute must be confined to the Schedule categories and affect the identified entities. The Act excludes particular categories from being neighbourhood disputes: disputes about sale, transfer or forfeiture of shares; leases or licences to use a unit; winding up; and disputes where a party claims relief under Part 2F.1 of the Corporations Act (s 5(3)). The Act also confirms that disputes about whether an obligation imposed by a rule of a company title corporation or service company or by a term of a service agreement has been met are included (s 5(2)).

• Rule. The Act defines "rule" to mean a clause of the constitution or a by-law, rule or regulation made under the constitution of the company title corporation or service company, but expressly excludes a term of a service agreement from being a "rule" (s 3). Despite that exclusion, s 13 applies to both rules and terms of service agreements for the purpose of invalidating inconsistent or unfairly discriminatory provisions.

• Residual land and unit. "Residual land" is land within a company title ownership that is not a unit, or, for a building subdivision, all land not included in any stratum estates (s 3). "Unit" is defined as the specified part of the land in company title arrangements to which a shareholder is entitled exclusive use and possession, or as an allotment on a plan of subdivision in a building subdivision (s 3). The Schedule deploys these concepts to talk about parking, drying laundry, repair and maintenance and amenity impacts.

• VCAT powers and limits. VCAT has broad remedial powers described as "any order it considers fair" and expressly including monetary awards and declarations, but there are limits: no alteration of shareholdings, no winding up, and no alteration of board composition (s 8(1), (2)). VCAT must consider certain specified factors (s 10). VCAT may also impose a civil penalty up to $250 for non-compliance with a binding rule relating to a neighbourhood matter (s 9).

• Interaction with Corporations legislation. Sections 12 and 13 are declared to be Corporations legislation displacement provisions under s 5G of the Corporations Act (s 14). This means the Act is intended to displace inconsistent Corporations legislation to the extent necessary, for those declared provisions.

• Regulation-making power. The Governor in Council may make regulations, with powers to leave matters to the Director and to adopt external documents, codes and standards, which creates potential for delegated rule-setting and external incorporation (s 18).

Each of these concepts is tied to a specific operational effect: who may apply, what is justiciable in VCAT, what orders VCAT can make, and what company rules or service agreement terms survive scrutiny. The Schedule performs the role of defining the domain of disputes that are intended to be handled by VCAT rather than by courts or corporate processes.

This Act affects distinct categories of persons and entities connected to company title and building subdivision arrangements. The statutory structure identifies who may apply to VCAT, which persons can be the subject of orders, and which corporate instruments must be reviewed for compliance. Concrete affected groups are:

• Company title corporations. These are companies that are registered proprietors of land where share ownership gives exclusive use of specified parts of the land (s 3). The corporation is an applicant class (s 7(b)) and a subject of orders (s 8). Company title corporations will be required to ensure their constitutions and internal rules do not conflict with the Act, because rules inconsistent with the Act or that unfairly discriminate are of no effect (s 13). The corporation may be directed by VCAT to levy contributions in a particular manner (s 11(a)-(b)).

• Service companies. Service companies for building subdivisions and the terms of their service agreements are within the Act's reach (s 3; s 7(c)). Although a term of a service agreement is not a "rule" for definition purposes, s 13 applies directly to "a term of a service agreement" that is inconsistent with the Act or unfairly discriminatory, so service companies must review their agreements for inconsistency and discriminatory terms (s 13).

• Shareholders and former shareholders. Shareholders are explicitly authorised to apply to VCAT (s 7(a)). Shareholders are affected by VCAT’s power to direct levies from shareholders' contributions (s 11). Shareholders' interests are also a factor VCAT must consider, whether a company resolution impacts shareholders as a whole or whether it is oppressive, unfairly prejudicial or unfairly discriminates against a shareholder (s 10(c)-(d)). Shareholders are within the definition of "unit" rights as owners entitled to exclusive use and occupation in company title corporations (s 3).

• Occupiers and former occupiers. Occupiers of units in company title land and occupiers in building subdivisions are authorised applicants (s 7(d)-(e)). The Schedule specifically addresses behavioural matters, noise, external appearance, renovations, pets, and similar matters that affect occupiers (Schedule items 3, 6).

• Mortgagees of units in building subdivisions. Mortgagees are authorised to apply to VCAT where the dispute concerns a unit in a building subdivision (s 7(f)). This identifies creditors as stakeholders in certain building subdivision disputes.

• Directors and boards. Although the Act does not directly change board composition, because VCAT is prohibited from altering the composition of a board (s 8(2)(c)), boards nonetheless will face orders that affect corporate operations, for example compelling compliance or directing levies (s 8(1)(b); s 11). Directors are governed by definitions carried across from the Australian Consumer Law and Fair Trading Act 2012 (s 3).

• Third parties such as invitees and contractors. The Schedule includes matters affecting invitees and activities on residual land, which means behaviour of invitees and third-party activities can be the subject of dispute and orders (Schedule items 1 and 6).

• Courts, litigants, and legal practitioners. Parties who start proceedings in a court over a neighbourhood dispute that could be heard by VCAT may find their proceedings stayed under s 12 if the court concludes VCAT is the more appropriate forum. The court must consider whether the parties would gain or lose material advantage in costs or duration (s 12(2)-(3)).

• Companies governed by the Corporations Act. Sections 12 and 13 are declared Corporations legislation displacement provisions (s 14). This affects how state-level regulation in this Act interacts with Corporations Act remedies and the application of corporate rules and constitutions.

• The Victorian Property Fund. Penalties payable under the Act must be paid into the Victorian Property Fund established under the Estate Agents Act 1980, so that fund is the recipient of any penalties collected under the Act (s 16).

Who bears the financial consequences will depend on VCAT orders. VCAT can order payment of money found to be owing between parties, damages, or restitution (s 8(1)(c)). It can also require levies on shareholders to be raised and direct the manner of levying contributions (s 11). The Act therefore can transfer financial burdens to shareholders by levy direction, while also permitting monetary awards against companies or persons.

The Act does not remove court jurisdiction generally; it expressly provides that nothing in the Act is intended to prevent a court exercising jurisdiction under the Corporations Act in relation to disputes that relate to neighbourhood matters (s 15). However, the stay mechanism in s 12 and the Corporations displacement declaration in s 14 create a structured reallocation of certain disputes to VCAT.

The Act creates duties, imposes limits on corporate instruments, confers rights to access VCAT, and sets procedural and substantive considerations for decision-makers. The principal duties and rights are as follows:

VCAT jurisdictional right and duty to decide

• VCAT is empowered to hear and determine neighbourhood disputes (s 6). That is a right of VCAT and a duty to accept jurisdiction over properly constituted neighbourhood disputes.

Who may apply (right)

• A specified set of persons have a statutory right to apply to VCAT: shareholders or former shareholders; the company title corporation; service companies; occupiers or former occupiers of units; and mortgagees of units in building subdivisions (s 7). This creates a broad access right to VCAT for persons directly implicated in the company title or building subdivision arrangements.

Companies and service companies, duty of compliance

• VCAT may order a party to comply with this Act, a rule of a company title corporation or service company, or a term of a service agreement (s 8(1)(b)). This can impose duties on companies and service companies to take or refrain from particular actions relevant to the neighbourhood matter in dispute.

Rules and service agreement terms, limits and invalidation

• A rule of a company title corporation or service company is of no effect if it is inconsistent with or limits a right or avoids an obligation under this Act, or if it unfairly discriminates against a shareholder or an occupier of a unit (s 13). The same applies to a term of a service agreement (s 13). This imposes a duty on corporations and service companies to ensure rules and contractual terms comply with the Act and do not unfairly discriminate.

VCAT remedial powers and limitations

• VCAT can make broad orders "it considers fair" including injunctive relief, monetary orders, damages including exemplary damages, restitution, variation or declaration of meaning of contractual terms (s 8(1)(a)-(f)). This affords parties rights to seek a full range of remedies for neighbourhood matters. However, VCAT cannot alter shareholdings, wind up a company, or alter board composition (s 8(2)). Those are rights retained for other fora, typically courts with Corporations Act powers or insolvency jurisdiction.

Monetary levy powers

• If VCAT orders the payment of money by a company title corporation or service company, it may direct that the money be paid from contributions from shareholders, direct the corporation or company to levy contributions accordingly, and prohibit levying a contribution from another party to the dispute (s 11(a)-(c)). This gives VCAT an expressive power to reallocate financial obligations to shareholders by ordering levies; it also gives VCAT the right to protect a litigant from being levied for certain costs.

Consideration duties

• In making orders, VCAT must consider particular matters: the conduct of the parties, acts or omissions (actual or proposed), impact of resolutions on shareholders as a whole, whether a resolution is oppressive or unfairly prejudicial or unfairly discriminates, and any other matter VCAT thinks relevant (s 10). Those items are mandatory considerations and frame VCAT’s exercise of discretion.

Civil penalty exposure

• VCAT may impose a civil penalty up to $250 for failure to comply with a rule that imposes a binding obligation and relates to a neighbourhood matter (s 9). The duty is to comply with binding rules; the consequence for breach is civil penalties which go to the Victorian Property Fund (s 9 note; s 16).

Court stay rights

• The Act provides a mechanism that requires a court to stay proceedings that arise wholly from a neighbourhood dispute that could be heard by VCAT and which the court finds would be more appropriately dealt with by VCAT (s 12(2)). Parties initiating court litigation face the risk their proceeding will be stayed and transferred to VCAT, subject to the court’s assessment.

Regulation-making duty and discretion

• The Act authorises regulations to be made and to leave matters to be determined by the Director (s 18(1)-(2)); it also permits regulations to adopt documents, codes, standards or methods prepared by external bodies (s 18(3)). This creates a duty to comply with any regulations once made, and a discretion for the executive to set operational details through subordinate instruments.

Preservation of Corporations Act jurisdiction and displacement

• The Act states it is not intended to prevent court jurisdiction under the Corporations Act in relation to neighbourhood matters (s 15). At the same time, s 12 and s 13 are declared to be Corporations legislation displacement provisions under s 5G of the Corporations Act (s 14). This places an interpretive duty on practitioners to map the interplay between state and federal corporate jurisdictions.

Rights retained by parties excluded from neighbourhood disputes

• Certain disputes are excluded from VCAT’s neighbourhood jurisdiction, including disputes about sale, transfer or forfeiture of shares, leases or licences to a unit, winding up, or claims under Part 2F.1 of the Corporations Act (s 5(3)), keeping those matters in other forums.

Collectively, the statutory duties and rights represent a reallocation of certain day-to-day residential and communal governance disputes into the VCAT forum, subject to limits on structural corporate remedies, and coupled with directions that can impose financial levies on shareholders.

The Act provides a modest civil penalty regime, but it also embeds enforcement through VCAT’s broad remedial powers and through levy directions. The relevant provisions are s 8, s 9, s 11 and s 16.

Civil penalties

• VCAT may impose a civil penalty not exceeding $250 where it determines that a person has failed to comply with a rule of a company title corporation or service company relating to a neighbourhood matter that imposes a binding obligation on that person (s 9). The Act annotates that penalties under s 9 are to be paid into the Victorian Property Fund (s 9 note). Section 16 extends the requirement to pay all penalties, including civil penalties under the Act, into the Victorian Property Fund established under the Estate Agents Act 1980.

Enforcement via orders and damages

• VCAT’s enforcement toolbox is broader than the civil penalty. VCAT may make orders requiring a party to do or refrain from doing something, to comply with the Act or with a rule or service agreement term, and may make orders for the payment of money in several forms: sums found to be owing, damages (including exemplary damages and damages in the nature of interest), and restitution (s 8(1)(a)-(c)). The Act expressly permits exemplary damages, subject to VCAT’s discretion (s 8(1)(c)(ii)). VCAT can award interest, and if awarding "damages in the nature of interest" it may base the amount on the interest rate fixed under the Penalty Interest Rates Act 1983 or any lesser rate (s 8(3)).

Levying as an enforcement mechanism

• VCAT may, when making a monetary order against a company title corporation or service company, direct that money (including expenses and costs) be paid from contributions levied from the corporation’s or company’s shareholders in the proportions specified (s 11(a)). It may direct the corporation to levy contributions in accordance with the order (s 11(b)) and may prohibit the corporation from levying a contribution from another party to the dispute (s 11(c)). This power allows VCAT to enforce monetary outcomes by directing the body corporate to collect funds from shareholders, which operationally binds the corporation to carry out the levy.

Interim and ancillary enforcement

• VCAT may make interim orders and ancillary orders as it thinks fit in relation to a neighbourhood dispute (s 8(4)). Those interim orders can act as enforcement or preservation mechanisms pending determination.

Limits on enforcement

• VCAT is precluded from making orders that alter a person’s shareholding, wind up a company, or alter the composition of the board of directors (s 8(2)). Enforcement in those structural or insolvency-adjacent areas remains outside VCAT’s power and within the jurisdiction of courts or federal corporate processes.

Court stay and forum control

• Section 12 provides that courts must stay proceedings that arise wholly from neighbourhood disputes if they could be heard by VCAT and the court is satisfied the matter would be more appropriately dealt with by VCAT. This provision is an enforcement mechanism for the jurisdictional allocation of disputes to VCAT. The court must consider whether a party is likely to gain a material advantage by proceeding in court versus VCAT and weigh that against material disadvantage to another party (s 12(3)).

Collection and disposition of penalties

• All penalties payable under the Act are to be paid into the Victorian Property Fund (s 16). The Victorian Property Fund is established under the Estate Agents Act 1980; the Act therefore channels enforcement revenue to an existing statutory fund.

Practical enforcement considerations

• The maximum civil penalty under s 9 is quantitatively modest ($250). In contrast, VCAT’s monetary powers under s 8 and levy directions under s 11 can result in material financial consequences for corporations and shareholders. That dual structure means routine compliance may be encouraged less by the size of the civil penalty than by the leverage VCAT can exercise through orders, damages awards and levy directions. The Act does not specify criminal sanctions; enforcement is civil and remedial.

Delegated enforcement risk

• The Act permits regulations to leave matters to the Director and to adopt external codes or standards (s 18). Enforcement that derives from regulatory instruments or incorporated standards will depend on the content of regulations once promulgated. That creates potential for delegated enforcement obligations to be introduced through subordinate legislation.

In short, the Act's formal penalty cap for rule breaches is low, but VCAT’s broader power to grant monetary relief and to direct corporate levies provides substantive enforcement teeth. Enforcement is channelled through civil remedies and tribunal processes rather than criminal sanctions.

The Act operates in a landscape of Commonwealth and state laws. It references and modifies the interplay with the Corporations Act, the Transfer of Land Act 1958, the Owners Corporations Act 2006, the Penalty Interest Rates Act 1983, the Estate Agents Act 1980, and the Constitution Act 1975. The interaction points are explicit and statutory rather than implicit.

Corporations Act

• The Act declares that sections 12 and 13 are "Corporations legislation displacement provisions" for the purposes of s 5G of the Corporations Act (s 14). Section 5G of the Corporations Act provides a mechanism by which a state law declared to be a displacement provision causes Corporations legislation to not apply to the extent necessary to avoid inconsistency. The effect is to allow aspects of the state Act to override inconsistent parts of the Corporations legislation, to the extent needed. Practitioners must therefore map potential inconsistencies between company constitutions, Corporations Act remedies or rules, and the state Act.

• The Act also says that nothing in the Act is intended to prevent a court exercising jurisdiction conferred under the Corporations Act in relation to a dispute that relates to a neighbourhood matter (s 15). That preserves court jurisdiction for Corporations Act claims even while creating a default pathway to VCAT for neighbourhood disputes confined to the Schedule. The combined effect is one of calibrated overlap: the state Act allocates certain disputes to VCAT, but does not wholly extinguish federal corporate remedies.

Transfer of Land Act 1958

• Several definitions are adopted from the Transfer of Land Act 1958, including "building", "building subdivision", "service agreement", "service company" and "stratum estate" (s 3). The Act’s interface with land titling and strata-like arrangements is therefore mediated via the Transfer of Land Act definitions. For building subdivisions, mortgagees of a unit are permitted applicants to VCAT (s 7(f)), which reflects the intersection with interests recorded under the Transfer of Land Act.

Owners Corporations Act 2006

• The Act explicitly excludes "owners corporation" within the meaning of the Owners Corporations Act 2006 from the definition of company title corporation (s 3). This carves out the strata/owners corporation model from the Act’s reach and confirms the Act applies to company title arrangements distinct from owners corporation regimes. Consequentially, disputes concerning owners corporations are governed by the Owners Corporations Act and not by this Act.

Penalty Interest Rates Act 1983

• In relation to the awarding of damages in the nature of interest, VCAT may base the amount awarded on the interest rate fixed under s 2 of the Penalty Interest Rates Act 1983 or on any lesser rate it thinks appropriate (s 8(3)). This provides a statutory yardstick for interest calculations.

Estate Agents Act 1980 and the Victorian Property Fund

• All penalties payable under this Act must be paid into the Victorian Property Fund established under the Estate Agents Act 1980 (s 16). This channels enforcement receipts into an existing statutory fund rather than into general revenue.

Constitution Act 1975

• The Act states it is the intention of s 12 to alter or vary s 85 of the Constitution Act 1975 (s 17). Section 85 concerns the Supreme Court’s jurisdiction and its relation to tribunals. This is a legislative statement of intention; any constitutional interaction would be determined in practice by the courts. The endnote records the s 85(5) statement made in Parliament.

Regulations and incorporation of external documents

• Section 18 allows regulations that may differ according to time, place and circumstance and to leave matters to the Director (s 18(2)). More significantly for interaction with other legal instruments, s 18(3) authorises regulations to apply, adopt or incorporate any external document, code, standard, rule, specification or method formulated or published by any authority or body, in whole or in part, as amended, and at the time the regulations are made or later. This creates a mechanism for aligning the Act with external standards and for dynamically importing obligations from non-legislative sources into the regulatory framework.

Courts and forum allocation

• Section 12 sets out that courts must stay proceedings that arise wholly from neighbourhood disputes when those matters are more appropriately dealt with by VCAT. The court must consider whether parties would obtain a material advantage by proceeding in court, taking into account likely costs and duration (s 12(3)). This statutory stay power affects litigants’ choice of forum and reduces parallel litigation risk.

Service agreement terms and company constitutions

• The Act addresses both rules made under a constitution and terms of service agreements. While a term of a service agreement is not a "rule" for definition purposes, s 13 expressly applies to "a rule of a company title corporation or service company or a term of a service agreement" and renders them of no effect if inconsistent with the Act or unfairly discriminatory (s 13). This ensures both corporate governance instruments and contractual service terms are subject to the Act’s overrides.

Overall, the Act sits in a matrix of state and federal laws, preserving certain federal corporate jurisdictions while displacing parts of the Corporations Act where declared to be displacement provisions. It also relies on land law definitions and enables regulatory cross-references to external standards. Practitioners must therefore work through a mixed legal landscape mapping title regime, corporate law, contract terms, tribunal procedures, and subordinate regulations.

The source text provides limited formal amendment history information and endnotes about commencement. The Act as presented is "Version No. 002" incorporating amendments as at 1 December 2014, which indicates the text includes changes made up to that date.

Key chronological and amendment points recorded in the source are:

• Assent and commencement. The Company Titles (Home Units) Act 2013 was assented to on 23 April 2013 and came into operation on 1 October 2013, as recorded in the endnotes. The Second Reading speeches dates are referenced: Legislative Assembly 20 February 2013, Legislative Council 21 March 2013.

• Commencement provision. Section 2 provides for commencement by proclamation, with a fallback commencement date of 1 December 2013 for any provision not in operation before that date (s 2(1)-(2)). The endnotes note the Act came into operation on 1 October 2013 and that one provision, s 21, came into effect on 1 December 2014.

• Version incorporation as at 1 December 2014. The version is described as incorporating amendments as at 1 December 2014. The endnotes table shows that s 21 commenced on 1.12.14 (s 21 apparently repealed Pt 4 heading and ss 19-21, per the inserted note in the text). The Schedule includes the neighbourhood matters and otherwise is intact.

• Repeals recorded in text. The text includes a note that "Pt 4 (Heading and ss 19-21) repealed by No. 19/2013 s. 21." The text also shows placeholders indicating that s 19 and Pt 4 were repealed. The endnotes also include the table of amendments header, but the specific amendments beyond commencement and the Pt 4 repeal are not detailed in the provided text.

• No later amendments listed. The edition provided contains the Act as at 1 December 2014. There are no further amendment entries in the material provided beyond the entries already noted. The "Table of Amendments" section in the endnotes is blank beyond the initial entries concerning s 21.

Practical implications for users scanning amendment history

• Confirm current law. The source is accurate as at the version date. Practitioners must confirm whether any later amendments were made after 1 December 2014 by checking a current consolidated version or the Victorian legislation register. The present text does not list any amendments after that date.

• Repeal of Pt 4. The text records a repeal of Part 4 (heading and ss 19-21). The scope of that repeal is not extensive within the provided text, but it indicates legislative housekeeping took place. The repeal may have been procedural and not materially affecting the operational provisions in Parts 1-3 and the Schedule. For certainty, refer to the formal amendment instrument.

• Regulations. Because s 18 confers broad regulatory power, a material part of the Act’s operation may be implemented through subordinate instruments made after 2014. The absence of regulations in the provided text does not mean they were not subsequently made. Practitioners should check the regulation register for any regulations made under s 18 that alter practical obligations.

• Corporations Act interplay. The designation of ss 12 and 13 as Corporations legislation displacement provisions was a deliberate legislative arrangement at enactment. Any later federal developments in corporate law could interact with that displacement mechanism; practitioners should check for later federal legislative changes or High Court authority that might affect the practical operation of s 14.

In sum, the amendment history in the provided text is sparse and mainly records commencement, a repeal of a small procedural part, and the consolidation date. Users should verify whether more recent amendments, regulations or judicial developments have affected the Act since 1 December 2014.

The provided source material contains no judicial or tribunal decisions interpreting or applying the Company Titles (Home Units) Act 2013. The endnotes and the text do not list any cases or litigation history. Therefore, from the supplied Act text alone there is no reported litigation history to summarise.

What the source does provide that is relevant to potential litigation patterns are the statutory cues that will shape future litigation and the kinds of disputes likely to appear before VCAT or the courts. Those cues include:

• The Act confines VCAT jurisdiction to disputes that relate only to matters specified in the Schedule and that affect company title corporations or service companies (s 5(1); s 4). Disputes outside those categories, for example about sale or transfer of shares, leases, licences, winding up, or claims under Part 2F.1 of the Corporations Act, are excluded from neighbourhood disputes (s 5(3)). Litigation may therefore arise over whether a specific factual controversy is "only" a neighbourhood matter or is instead an excluded category, presenting jurisdictional contests.

• The court-stay provision in s 12 (requiring a court to stay proceedings that could be heard by VCAT and would be more appropriately dealt with there) creates an avenue for interlocutory litigation about forum appropriateness and the comparative advantages or disadvantages of tribunal versus court processes. Courts will be required to weigh likely costs and duration and material advantage or disadvantage to parties in deciding to stay (s 12(3)). Such issues commonly generate litigation about access to judicial remedies and forum shopping.

• The statutory displacement of Corporations legislation via s 14 establishes a potential locus for litigation about the application and extent of state law displacement of Commonwealth corporate law, particularly where corporate constitutions or Corporations Act rights appear to conflict with the state Act. Disputes regarding the interplay between s 13 invalidating inconsistent rules or terms and federal corporate rights will also produce litigation.

• The Act allows VCAT to award a full range of monetary remedies including exemplary damages (s 8(1)(c)(ii)). The inclusion of exemplary damages in VCAT’s remedial armoury opens the possibility of litigation over the availability of punitive relief in the tribunal context and the appropriate circumstances in which exemplary damages can be awarded in neighbourhood disputes.

• Because the Act authorises VCAT to direct levies on shareholders (s 11), disputes may arise over the procedural and substantive fairness of such levy directions, the proportions in which levies are imposed, and whether the corporation complies with a VCAT direction.

Absent reported cases in the provided material, readers should expect that practical litigation issues will include jurisdictional challenges, forum-selection disputes, interpretation of the Schedule items as to whether particular factual disputes qualify as neighbourhood matters, the interface between company constitutions and s 13, the scope of VCAT’s remedial discretion (including exemplary damages and levy directions), and procedural questions about the enforcement of VCAT orders. To identify concrete litigation outcomes, consult VCAT decisions databases and court reporting services for post-2013 cases that invoke the Act.

This Act contains several features that can catch practitioners and stakeholders by surprise if not carefully checked against the text. The "gotchas" are concrete mechanics, statutory traps, and delegation risks drawn from the Act itself.

1. "Relates only to a neighbourhood matter" is a narrow gate (s 5(1)). If a dispute has elements beyond the Schedule items, VCAT jurisdiction may be absent. A multi-faceted dispute that includes a neighbourhood matter plus an excluded element such as a dispute about share transfer, a lease, or a claim under Part 2F.1 of the Corporations Act will fall outside VCAT’s neighbourhood jurisdiction (s 5(3)). Parties should check whether their dispute is exclusively about Schedule topics, because adding excluded issues can defeat VCAT access.

2. Rules and service agreement terms are treated differently in definition but equally in invalidation. A "rule" is not defined to include a term of a service agreement (s 3), yet s 13 applies to "a rule ... or a term of a service agreement" and renders them of no effect if inconsistent with the Act or unfairly discriminatory (s 13). Practitioners must remember service agreement terms can be invalidated even though they are not "rules" for definition purposes.

3. VCAT cannot alter shareholding, wind up a company, or change a board (s 8(2)). Parties seeking structural corporate remedies need to pursue those outcomes in court or under the Corporations Act. A client who wants to change board composition or force a winding-up should not be routed to VCAT expecting that result.

4. Civil penalty cap is small. The maximum civil penalty for breach of a rule is $250 (s 9). That nominal amount is low compared with possible damages awards or levy directions. Enforcement incentives therefore rest largely on VCAT's broader power to award damages and to direct levies, not on the civil penalty itself. Expect voluntary compliance to be driven by the prospect of orders and levy directions rather than the $250 penalty.

5. VCAT can direct levies on shareholders (s 11). A monetary order against a corporation can be enforced by directing the corporation to levy shareholders for funds. That creates a mechanism for shifting costs to shareholders even where the company might otherwise be liable. It also gives VCAT power to prohibit levying certain parties. Parties must recognise that an adverse VCAT monetary order can impose collective shareholder costs via a levy.

6. Exemplary damages are available in VCAT (s 8(1)(c)(ii)). The availability of exemplary damages in this context may surprise those who assume tribunal remedies are limited to compensatory relief. The Act does not qualify the circumstances for exemplary damages; VCAT’s discretion will be exercised according to tribunal law and practice.

7. Regulations may incorporate external documents and leave matters to the Director (s 18). The Act allows very broad incorporation of external codes, standards and methods and the delegation of matters to the Director. This could result in significant obligations being introduced by regulation or delegated decision-making rather than by primary legislation. Practitioners should check the regulations made under s 18 for operational duties or prohibitions.

8. Forum risk when litigating in courts. Courts are required to stay proceedings that arise wholly from neighbourhood disputes if VCAT is the more appropriate forum (s 12). Parties who commence proceedings in a court risk that the court will stay the matter and the parties may be required to proceed in VCAT. The court must consider the likely costs and duration and material advantages or disadvantages to parties (s 12(3)). Litigants should assess forum suitability before commencing proceedings.

9. Corporations Act interaction. Sections 12 and 13 are declared displacement provisions under s 5G of the Corporations Act (s 14). This creates potential complexity about which federal corporate provisions continue to operate and which are displaced. Advice must carefully map Corporations Act rights against the state Act's displacement effect.

10. "Occupier" and "shareholder" overlap. Both shareholders and occupiers can apply to VCAT (s 7). In company title arrangements, a shareholder is typically the person entitled to exclusive use of a unit; occupiers can include tenants. The overlap can create multiple applicants on the same dispute, and VCAT’s orders can affect several constituencies (shareholders, occupiers, service companies). Coordination of claims and representation may be needed.

11. The Schedule is the operative content list. The Schedule is detailed and includes items that might not be obvious sources of dispute, such as "adequacy of provision of notices" (Schedule item 8.2) and "provision of noticeboards" (Schedule item 8.1). Parties may find disputes arising from administrative or communications failures are captured by the Act.

12. No express requirement to exhaust internal dispute resolution. The Act does not mandate exhaustion of internal grievance or dispute procedures before applying to VCAT, although the Schedule elevates the adequacy of dispute resolution procedures as a matter (Schedule item 7). Practitioners should not assume that internal processes must be exhausted absent a contractual obligation or a separate rule that so provides.

13. Potential duplication of remedies. Because the Act preserves court jurisdiction under the Corporations Act (s 15) while displacing certain Corporations legislation provisions (s 14), there is scope for overlap and litigation about remedy duplication or preclusion. Parties should map potential remedies in both forums in advance.

These features underline that a straightforward neighbourly dispute may have corporate and procedural ramifications that affect forum choice, available remedies, financial exposure through levies, and regulatory obligations implemented by subordinate instruments.

Compliance under this Act requires attention by company title corporations, service companies, shareholders, occupiers, directors and advisers to both substantive obligations and procedural positions. The compliance tasks flow from the Act’s definitions, the Schedule’s subject matter coverage, VCAT’s powers, and the regulatory delegation provision. Below is a concrete compliance checklist and practical steps linked to statutory provisions.

1. Determine whether a dispute is a "neighbourhood dispute"

• Check whether the issue "relates only" to a neighbourhood matter listed in the Schedule (s 5(1); s 4). If the dispute also involves share transfer, lease/licence to a unit, winding up, forfeiture of a share or relief under Part 2F.1 of the Corporations Act, VCAT neighbourhood jurisdiction will not apply (s 5(3)). Advisers should conduct a factual mapping exercise to categorise the dispute precisely before planning proceedings.

2. Review constitutions, by-laws and service agreements for inconsistency and discrimination risk

• Audit all rules (constitutional clauses, by-laws) and service agreements against the Schedule and the Act’s general duties. If a rule or a service agreement term is inconsistent with or limits a right under the Act or unfairly discriminates against a shareholder or occupier, it will be of no effect (s 13). Undertake a redraft exercise to remove inconsistent or discriminatory terms, or prepare to defend them in VCAT.

3. Ensure dispute resolution procedures are robust

• The Schedule lists the adequacy of dispute resolution procedures as a neighbourhood matter (Schedule item 7). Companies and service companies should adopt clear internal grievance and hearing procedures, document their processes, and maintain records of attempts at internal resolution. While the Act does not require exhaustion of internal procedures, VCAT will consider adequacy of dispute resolution processes when adjudicating. Having robust, documented procedures reduces exposure and strengthens positions in tribunal proceedings.

4. Review rules about health, safety, behaviour, use and amenity

• The Schedule identifies health, safety and security, behaviour, noise control, storage of dangerous substances, parking, drying laundry, repair and maintenance, and pets as neighbourhood matters (Schedule items 1-6). Corporations and service companies must ensure their rules and facility management regimes address these topics consistently with the Act and do not unfairly discriminate.

5. Prepare for levies and contributions

• If monetary orders against a company are a risk, be ready to implement levy directions from VCAT. Section 11 authorises VCAT to direct that money payable be raised as contributions from shareholders in proportions specified, and to direct the corporation to levy accordingly (s 11(a)-(b)). Corporations should maintain levy mechanisms, financial records and governance procedures to implement VCAT-ordered levies; shareholders should be aware of the possibility of being liable under such directions.

6. Keep adequate notice and document processes

• The Schedule includes the adequacy of provision of notices and the provision of noticeboards (Schedule items 8.1, 8.2). Companies and service companies should adopt clear notice protocols, keep noticeboard spaces and digital notice registers, and ensure notices of fees and charges are properly displayed and recorded.

7. Practical steps for occupiers and shareholders considering VCAT

• Before lodging an application to VCAT, verify eligibility under s 7 (applicant classes), check that the dispute is within the Schedule and does not touch excluded matters in s 5(3), gather documentary evidence concerning conduct, notices and attempts at resolution, and prepare to articulate the impact on shareholders generally as required by s 10(c). Also consider the possibility that a court action may be stayed under s 12; assess whether VCAT or court procedures better suit the client's objectives.

8. Contracts with service companies

• Ensure service agreements do not include terms that could be invalidated under s 13. Because service agreement terms are explicitly subject to s 13, any term that unfairly discriminates or is inconsistent with the Act risks being void. Where service companies rely on certain operational terms, consider whether those terms will survive VCAT scrutiny.

9. Governance and board action

• Boards must not assume VCAT can change board composition or membership; VCAT is prohibited from altering the composition of the board (s 8(2)(c)). Matters that require corporate structural change should be handled under the Corporations Act or company constitution mechanisms.

10. Regulatory watch

• Monitor for regulations made under s 18. The Act allows regulations to leave matters to the Director and to incorporate external documents, standards or codes (s 18(2)-(3)). Complying with the Act therefore includes monitoring subordinate legislation and incorporated standards that may impose operative obligations.

11. Insurance and damaged property

• VCAT may order about damaged or destroyed buildings and about payment of insurance money under policies taken out by the company title corporation or service company (s 8(1)(g)-(h)). Make sure company insurance arrangements, claim processes and documentation are in order and that insurance monies are traceable and available to meet potential orders.

12. Training and communication

• Given the Schedule covers behavioural matters and noise, conduct training for strata managers, caretakers and residents about the corporation’s rules and the limits imposed by the Act. Clear communication reduces dispute incidence and strengthens a company's position if disputes proceed to VCAT.

13. Financial record-keeping

• Maintain contemporary records of levies, expenditure, minutes of meetings, notices, and correspondence about repairs, renovations and infractions. VCAT will consider conduct and impacts on shareholders (s 10), so documentary evidence will matter.

14. Seek specialist advice for mixed disputes

• If a dispute has both neighbourhood aspects and elements touching share transfers, leases, winding up or Corporations Act remedies, get specialist advice to decide forum and litigation strategy. The presence of excluded matters may preclude VCAT jurisdiction or trigger stay risk if court proceedings are commenced (s 12; s 5(3)).

15. Prepare for interim relief

• VCAT can make interim and ancillary orders (s 8(4)). If urgent relief is needed, such as to stop dangerous storage of hazardous materials on residual land, prepare to seek interim orders from VCAT and gather evidence supporting urgency.

By following this checklist, stakeholders can reduce the risk of adverse orders, ensure internal rules and agreements are aligned with the Act, and position themselves for efficient resolution in the correct forum. Compliance is partly a matter of updating governance documents to remove inconsistent or discriminatory provisions, keeping robust procedures and records, and monitoring regulatory developments under s 18.
