COMMERCIAL AND PRIVATE AGENTS LICENSING REGULATIONS 2001

Several core regulatory concepts run through these Regulations: approval as an agent's manager, administrative discretion and reviewability, fee structure, prescribed recordkeeping, administrative penalties by infringement notice, and regulatory continuity through repeal/amendment provisions.

Approval as manager (regs 4-9)

• An individual wishing to be the manager at an agent's place of business must apply and be approved (reg 4(1)). The approval is not an open-ended licence; it is linked to the agent's licence (reg 8(1)(a)-(c)) and can cease on agent licence events such as revocation or surrender (reg 8(1)).
• The Director has investigatory powers (reg 5) and must refuse approval in specified circumstances (reg 6(1)). Where refusal is not mandatory, the Director "must approve" (reg 7(1)), creating a statutory architecture where approval is the default unless prescribed grounds for refusal are present.

Director’s information and discretion (regs 5-6)

• The Director may require additional information, documentation, or a personal appearance (reg 5(1)(a)-(c)), and may make enquiries to ascertain suitability (reg 5(2)). Failure to comply with a request under reg 5 can be a ground for mandatory refusal (reg 6(1)(d)).
• Fit and proper assessment involves both objective and subjective elements. The Regulations specify objective indicia for consideration: convictions in the preceding ten years for fraud, dishonesty or violence, current charges for such offences, and prior convictions for offences against the Act or its regulations (reg 6(2)(a)-(c)). The text also relies on the Director’s opinion in broader circumstances (reg 6(1)(e)-(g)).

Decision-making and reviewability (regs 7, 9-10)

• The Director must notify applicants of a decision within 45 days, and refusal notices must provide reasons and inform the applicant of the right to apply to NTCAT for review under s 35 of the Act (reg 7(2)-(3)).
• Revocation of approval on the basis of fraud or misrepresentation triggers written notice to both the person and the agent and sets out reasons, effective date and review rights (reg 9(1)-(3)).
• Regulations prescribe which Director decisions are reviewable decisions for the purposes of s 35 of the Act, and which persons are affected persons entitled to seek review (reg 10).

Fees and processing charges (regs 4(2), 11, 13)

• The manager application fee is 55 revenue units (reg 4(2)(b)). A processing fee for purposes of s 7(4)(c) of the Act is prescribed at 115 revenue units (reg 11). Licence fees are set for 3‑year and 5‑year periods at 100 and 149 revenue units respectively (reg 13).

Prescribed records; timing and scope (reg 15)

• The Regulations list detailed records that must be kept for particular agent activities: locating goods, repossession, debt collection, service of process, and inquiry agents (reg 15(1)(a)-(e)). The list is granular with items such as full names and addresses, dates and times, descriptions of goods, legal authority for entry, and fees charged. Agents must create those records "as soon as possible" after the particulars become known (reg 15(2)).

Infringement framework (reg 16, Schedule 2)

• The Regulations specify which contraventions of the Act may attract an infringement notice and the number of penalty units payable (reg 16(1), Schedule 2). The Schedule maps Act provisions to penalty unit amounts, for example an offence against s 17F(5) of the Act attracts 10 penalty units, and s 25(1) (recordkeeping) attracts 10 penalty units (Schedule 2). A person served with an infringement notice may pay the prescribed amount within 28 days to avoid prosecution (reg 16(2)).

Interconnected definitions and commencement (reg 3; endnotes)

• A cross-reference is provided for the term ADI, adopting the meaning given in the Commonwealth Banking Act 1959 (reg 3). The endnotes record commencement and a series of amendments affecting the Regulations over time.

These concepts reflect a mix of prescriptive compliance obligations for agents and administrative procedures for approval and enforcement by the Director, supported by a statutory right of review to NTCAT.

Primary affected persons

• Prospective managers: An individual who intends to be the manager of a place where an agent carries on or will carry on business is a primary subject of the Regulations and must apply for approval (reg 4(1)-(3)). The application must be on an approved form and accompanied by a fee of 55 revenue units (reg 4(2)-(3)).
• Agents (licensed businesses): Agents who engage managers are affected because manager approvals are linked to agent licences and because agents must keep the prescribed records when undertaking specific services (reg 8, reg 15). Agents are notified if a manager’s approval is revoked (reg 9(2)).
• The Director: The Director of the licensing authority is given powers to request further information, require appearances, make enquiries about suitability (reg 5), make approval decisions and write reasons (reg 7), and revoke approvals obtained by fraud (reg 9). The Director also administers infringement notices under reg 16.

Secondary affected persons and stakeholders

• Customers, consumers and third parties: Prescribed records requirements (reg 15) require agents to record the names and addresses of persons who request services and the persons affected by those services. This affects individuals whose goods are located or repossessed, debtors whose debts are collected, and persons to be served with process (reg 15(1)(a)-(d)).
• Legal representatives and applicants for review: Applicants refused approval, or persons whose approval is revoked, are explicitly given review rights to NTCAT under reg 7(3) and reg 9(3) and are prescribed affected persons for review under reg 10(2). Legal advisers and representatives acting for applicants or revoked persons will therefore be engaged in administrative review processes.
• Entities that rely on agent services: Firms that engage agents or inquiry agents, including lenders, lessors and suppliers relying on repossession or debt collection services, are affected indirectly because recordkeeping and approved-manager rules may change operational arrangements and oversight responsibilities (reg 15, reg 4).

Who pays

• Applicants pay a manager application fee of 55 revenue units (reg 4(2)(b)). The Regulations prescribe a processing fee of 115 revenue units (reg 11) for the purpose set out in s 7(4)(c) of the Act. Licence applicants pay the prescribed licence fee , 100 revenue units for 3 years or 149 revenue units for 5 years (reg 13). Persons issued infringement notices may pay the prescribed amount to the Director within 28 days to avoid prosecution (reg 16(2)).

Who decides

• The Director decides on approvals, can request additional information and make enquiries, accepts or refuses applications in accordance with mandatory grounds and discretionary fit-and-proper assessments, and issues administrative notices including infringement notices under the Act as prescribed by these Regulations (regs 4-10, 16). NTCAT is the review tribunal for decisions specified in reg 10.

Regulatory reach and constraints

• The Regulations extend to defined activities (locating goods, repossession, debt collection, service of process, inquiries) and impose recordkeeping obligations on agents who perform them (reg 15). They also tie manager approvals tightly to the agent’s own licence (reg 8), meaning managers’ approvals do not operate independently of the licence status of the principal agent.

In short, individuals intending to manage licensed agent premises, licensed agents who engage or supervise managers, consumers interacting with agent services, and administrative decision-makers are the groups directly affected. The financial impact accrues mainly through application, processing and licence fees plus the operational cost of maintaining prescribed records and potential infringement payments.

Duties: applications, information, recordkeeping and fees

• Application duty: An individual intending to be a manager at a place where an agent carries on business must apply to the Director for approval, using an approved form and enclosing an application fee of 55 revenue units (reg 4(1)-(3)).
• Cooperation duty: The Director may request further information, documents or a personal appearance; failure to comply with such a request is a ground for mandatory refusal (reg 5(1)(a)-(c); reg 6(1)(d)). The Director may make enquiries to ascertain suitability (reg 5(2)).
• Recordkeeping duty: Agents must keep prescribed records and documents when acting in specific capacities. The Regulations provide detailed lists for each activity: locating goods, repossession, debt collection, service of process, and inquiry agents (reg 15(1)(a)-(e)). Agents must make these records "as soon as possible" after the particulars become known (reg 15(2)). This imposes an immediacy obligation rather than a flexible archival schedule.
• Fee payment duty: Applicants and licence applicants must pay the fees set out in regs 4(2), 11 and 13. A person served with an infringement notice must pay the prescribed amount to the Director within 28 days to avoid prosecution (reg 16(2)).

Rights: approval, timelines, notice, review and revocation procedural protections

• Approval obligation: If the Director is not required to refuse under reg 6, the Director must approve the person as manager (reg 7(1)). This creates a statutory duty on the Director distinct from unfettered discretion.
• Decision timeframe: The Director must notify applicants in writing that they are approved or not within 45 days of the application (reg 7(2)). A refusal must set out reasons and advise of the right to apply to NTCAT for review under s 35 of the Act (reg 7(3)(a)-(b)).
• Revocation procedural protections: If the Director revokes an approval (for fraud or misrepresentation under reg 9(1)), the Director must notify in writing both the person and the agent, specify reasons, specify the effective date and state the right to apply to NTCAT for review (reg 9(2)-(3)).
• Review rights: The Regulations prescribe decisions that are reviewable decisions under s 35 and the persons who are affected persons for review (reg 10). Specifically, refusals to approve are reviewable and the applicant is an affected person; revocations of approval are reviewable and the person whose approval is revoked is an affected person (reg 10(1)-(2)).

Enforcement mechanisms and administrative sanctions

• Infringement notices: The Regulations identify specific Act provisions for which infringement notices may be issued and prescribe the penalty-unit amounts in Schedule 2 (reg 16(1), Schedule 2). The Schedule lists the relevant Act provisions and the corresponding penalty units (for example s 25(1) attracts 10 penalty units). Payment of the prescribed amount within 28 days will avoid prosecution for the alleged offence (reg 16(2)).
• Revocation: The Director may revoke approvals obtained by fraud or misrepresentation (reg 9(1)). Revocation carries a notification and review process (reg 9(2)-(3)).

Interplay of duties and rights that affect operational choices

• The fit and proper tests combine objective (eg recent convictions, current charges, previous regulatory offences) and subjective factors (Director’s opinion) so applicants and agents must manage both documented character evidence and discretionary risk (reg 6 and subreg 6(2)). The requirement to comply promptly with information requests (reg 5) and the mandatory refusal ground for non‑compliance (reg 6(1)(d)) creates a tactical duty to respond fully and quickly.
• The linkage of manager approvals to agent licences (reg 8) means that agents’ own licensing behaviour and status directly affects whether a manager remains approved and able to function.

Administrative certainty provisions

• Specified timelines and reasons requirements (reg 7(2)-(3), reg 9(3)) and the explicit prescription of reviewable decisions and affected persons (reg 10) provide parties with an administrative route to challenge adverse decisions before NTCAT, rather than only through open-ended judicial review.

Collectively, the Regulations impose specific duties on applicants and agents around applications, cooperation with Director inquiries, recordkeeping and fee payments, while conferring procedural protections through notice, reasons, timelines and a right of review to NTCAT.

Infringement notices and penalty units

• Regulation 16 implements an administrative enforcement route under the Act for selected offences by prescribing which Act provisions are infringeable and the corresponding penalty-unit amounts in Schedule 2. The Schedule maps the following Act provisions to penalty units: s 17F(5) , 10 penalty units; s 23(5) , 4 penalty units; s 25(1) , 10 penalty units; s 32 , 2 penalty units; s 39(1) , 1 penalty unit; s 43 , 4 penalty units (Schedule 2). The Regulations require that a person served with an infringement notice must pay the prescribed amount to the Director within 28 days to avoid prosecution (reg 16(2)).

Scope of administrative enforcement

• The Regulations do not create new criminal offences; they designate particular offences under the Act for potential administrative resolution via infringement notice. That choice shifts enforcement of those named contraventions from mandatory criminal prosecution to a mixed administrative pathway where the Director may accept an admitted contravention in return for payment of a fixed monetary amount.

Revocation and fraud

• The Director may revoke an approval obtained by fraud or misrepresentation (reg 9(1)). Revocation is an administrative remedy with mandatory notice requirements designed to provide affected parties with reasons and a route to review (reg 9(2)-(3)). The Regulations do not provide a separate quantified fine in the revocation provision itself; consequences are administrative (loss of approval) and potential further action under the Act.

Decision-making processes that affect enforcement risk

• The Director has investigation powers (reg 5) to obtain evidence and to verify information given in applications. Failure to comply with such a request can be a ground for refusal (reg 6(1)(d)), and refusals must include reasons and review rights (reg 7(3)). The existence of both mandatory and discretionary grounds for refusal (reg 6) creates a layered enforcement posture: objective, rule-based grounds sit alongside subjective assessments of fitness and propriety that can be enforced by refusal or revocation.

Practical enforcement timelines and payment

• Once an infringement notice is served under the Act as prescribed here, the person has 28 days to pay (reg 16(2)). The Regulations do not specify enforcement steps following non-payment, but the Act’s infringement framework ordinarily allows prosecution if the person does not pay the prescribed amount within that period. The Regulations thus provide an administrative shortcut that may conserve prosecutorial resources for other matters.

Penalties as compliance instruments

• The pairing of a substantial recordkeeping obligation (reg 15) with a 10 penalty-unit infringement for s 25(1) (Schedule 2) creates a direct compliance incentive to maintain the required records. The relative sizes of penalty units are not stated in the Regulations; conversion to dollar amounts depends on the current value of a penalty unit under the relevant Northern Territory legislation.

Enforcement transparency and review

• All refusal and revocation decisions require written notice with reasons and information about the right to review at NTCAT (regs 7(3)(a)-(b), 9(3)). The Regulations also explicitly list which Director decisions are reviewable and who is an affected person (reg 10). That arrangement constrains enforcement actions by making them subject to administrative review and requiring reasoned decisions.

Limitations and practical enforcement risks

• The Regulations leave certain assessments to the Director’s opinion (reg 6(1)(e)-(g)), which may create uncertainty about enforcement thresholds and the evidence required to justify a refusal or revocation. The enforcement regime therefore relies on the exercise of administrative judgement supported by the Act’s oversight and review mechanisms.

Statutory cross-references and baseline Act provisions

• The Regulations operate as subordinate legislation under the Commercial and Private Agents Licensing Act 1979. They implement and operationalise specific Act provisions referenced throughout the Regulations. The Regulations explicitly tie procedural mechanisms to sections of the Act: approval under s 17E (Part 2 heading), authorisation under s 17F(2) (reg 8(2)), review under s 35 (regs 7(3), 9(3), 10), licence issuance under s 17A (reg 13), recordkeeping under s 25(1) (reg 15), and the infringement notice power under s 46A(1) (reg 16).

Definition cross-reference

• The Regulations adopt the term ADI with the same meaning as in the Banking Act 1959 of the Commonwealth (reg 3). This creates an inter-jurisdictional definitional link so that entities recognised as ADIs under the Commonwealth Banking Act carry that status for the purposes of the Regulations.

Tribunal and review conferral

• The Regulations reference the review power under s 35 of the Act and prescribe which Director decisions are reviewable and who is the affected person (reg 10). The endnotes record that the Statute Law Amendment (NTCAT Conferral of Jurisdiction) Act 2023 conferred jurisdiction on NTCAT and commenced 27 November 2023. Therefore, review of the specified decisions is through NTCAT as the Act requires. Practitioners should track that tribunal’s procedures and time limits for applications under the Act.

Penalty units and monetary conversion

• The Schedule prescribes penalty units rather than dollar amounts (Schedule 2). Conversion of penalty units to dollar amounts requires reference to the applicable penalty unit value under Northern Territory law or the Act that fixes the monetary amount for a penalty unit. The Regulations do not set the monetary value themselves.

Overlap with criminal law and insolvency regimes

• The Regulations incorporate criminal history and insolvency considerations into the fit-and-proper assessment. Reg 6(2)(a)-(b) looks at convictions and current charges for offences involving fraud, dishonesty or physical violence "wherever committed," which implicates criminal record checks and relevant Commonwealth and state offences. Reg 6(1)(c) disqualifies persons taking the benefit of laws for the relief of bankrupt or insolvent debtors or persons whose remuneration is assigned for creditors, which brings in insolvency law concepts and suggests interaction with Commonwealth bankruptcy laws and Northern Territory insolvency procedures.

Interaction with the Act’s licensing architecture

• Manager approvals are explicitly tied to the agent’s licence status (reg 8(1)). The approval persists only until the agent’s licence expires, is revoked, or surrendered, and in death or corporate dissolution scenarios unless the Director authorises a person under s 17F(2) (reg 8(1)-(2)). This demonstrates an integrated licensing model in which the manager approval does not create a separate independent licence; it depends on the principal licence under the Act.

Administrative enforcement framework

• The Regulations rely on the Act’s infringement notice mechanism in s 46A(1) by prescribing the offences and the penalty-unit amounts (reg 16). That ties the administrative enforcement measures to the Act’s enforcement architecture. The Regulations do not stand alone in enforcement; they are an adjunct to the Act’s procedural and substantive enforcement provisions.

Amendments and statutory continuity

• The endnotes list multiple amending Acts and statutory instruments that have altered these Regulations over time. Those amendments include fee changes and conferral of NTCAT jurisdiction. Practitioners must therefore consult both the Act and its subordinate regulations together with their amendment history to understand the current legal framework.

Practical cross-jurisdictional considerations

• The adoption of the Banking Act definition of ADI demonstrates that aspects of the Regulations may turn on Commonwealth definitions and regimes. Criminal record checks and insolvency status checks require engagement with Commonwealth and state systems, and the tribunal review mechanism now sits with NTCAT after the 2023 conferral. The Regulations therefore interface with several other legal systems and administrative structures. Users should consult the referenced Act provisions and the instruments that set penalty unit values, as those external links determine monetary consequences and tribunal routes.

Chronology stated in the instrument

• The Regulations were originally notified 19 December 2001 and commenced 1 December 2001, based on r 2 and the Commercial and Private Agents Licensing Amendment Act 2000 (endnotes, List of Legislation). Since enactment, the Regulations have been amended on a number of occasions. The endnotes provide a detailed list of amending instruments, with dates and commencement particulars.

Notable amendments recorded in the endnotes

• Statute Law Revision Act (No. 2) 2003, Act No. 44 of 2003 (assent 7 July 2003, commenced 7 July 2003) , appears as an early amendment entry (endnotes).
• Fees and Charges Amendment Regulations 2009 (SL No. 34, 2009), notified 14 December 2009 and commenced 1 January 2010 , noted in amendments to regs 4, 11 and 13 in the list of amendments (endnotes and list of amendments).
• Statute Law Revision Act 2011 (Act No. 30, 2011), amendments noted across multiple regulations (endnotes and list of amendments).
• Local Court (Related Amendments) Act 2016 (Act No. 8, 2016), and Red Tape Reduction (Miscellaneous Amendments) Act 2016 (Act No. 12, 2016) which took effect in 2016 and affected regs including r 6 (endnotes, list of amendments).
• Commercial and Private Agents Licensing Amendment Regulations 2016 (SL No. 38, 2016), notified 2 August 2016 and commenced that day (endnotes).
• Statute Law Amendment (Territory Economic Reconstruction) Act 2022 (Act No. 5, 2022) and Justice and Licensing Legislation Further Amendment Act 2022 (Act No. 21, 2022) made further changes with commencement particulars recorded in the endnotes.
• Statute Law Amendment (NTCAT Conferral of Jurisdiction) Act 2023 (Act No. 24, 2023) conferred review jurisdiction on NTCAT and commenced 27 November 2023; specific regulations (r 7, r 9, r 10) were amended as indicated in the list of amendments (endnotes, list of amendments).

Regulation-level attribution of amendments

• The list of amendments in the endnotes maps specific instruments to particular regulations. For example:
  • r 4 was amended by No. 34, 2009 and Act No. 30, 2011 and Act No. 21, 2022 (endnotes).
  • r 7 was amended by Act No. 30, 2011; Act No. 21, 2022; and Act No. 24, 2023 (endnotes).
  • r 9 received amendments from Act No. 44, 2003; Act No. 30, 2011; Act No. 21, 2022; and Act No. 24, 2023 (endnotes).
  • r 11 and r 13 were changed by No. 34, 2009 and other Acts as shown (endnotes).

Repeals and replaced instruments

• Regulation 17 repeals earlier regulations listed in Schedule 3. Schedule 3 identifies the now-repealed Commercial and Private Agents Licensing Regulations (Regulations 1980, No. 2) and subsequent amending regulations in 1981 and 1999 (Schedule 3). This indicates legislative housekeeping and the replacement of earlier frameworks with the 2001 Regulations.

General amendments and formal changes

• The endnotes state that general amendments of a formal nature were made by the Interpretation Legislation Amendment Act 2018 (Act No. 22, 2018) to r 1 and sch 1 (endnotes, General amendments). The list of amendments also notes various instances where particular regulations were substituted, amended or repealed in later Acts.

Practical implications of amendment history

• The Regulations have been updated multiple times to adjust fees, align decision-review channels with tribunal reforms, and effect statutory housekeeping. Key recent structural change identified in the endnotes is conferral of review jurisdiction to NTCAT in 2023, which affects how affected persons seek review (endnotes). Fee amounts and the conversion of penalty units remain subject to separate legislation and may have been affected by the Fees and Charges Amendment Regulations 2009 and other amending instruments.

For practitioners, the amendment history recorded in the endnotes is essential to determine which version of the Regulations applies at any given time. It is also a reminder to cross-check fee schedules, tribunal arrangements and penalty unit values in their current statutory contexts.

No cases or reported litigation are listed within the Regulations or the endnotes. The instrument itself does not record any judicial decisions or tribunal determinations. The Regulations do, however, create administrative decisions that are expressly reviewable and identify the review body.

Review route and forum

• The Regulations require that refusals and revocations be subject to review under s 35 of the Act and specify that NTCAT is the tribunal for review following the Statute Law Amendment (NTCAT Conferral of Jurisdiction) Act 2023 (reg 7(3), reg 9(3), reg 10; endnotes). That means any litigation history relevant to these Regulations is likely to appear in NTCAT decisions or judicial review proceedings challenging NTCAT or Director decisions. The Regulations themselves record the review pathway but not any outcomes.

Where to look for litigation

• Given the Regulations’ administrative character, litigation or tribunal matters that would be relevant for precedent will arise in:
  • NTCAT decisions on review of Director refusals to approve managers or revocations of approvals;
  • Judicial review applications to superior courts challenging NTCAT decisions or Director conduct for jurisdictional error; and
  • Criminal or prosecution records for any matters prosecuted where an infringement notice was not paid or where enforcement action went beyond infringement notices to prosecution under the Act’s criminal provisions.
• None of those decisions are reproduced in the instrument. Practitioners must search NTCAT decisions, Northern Territory superior court records and prosecutorial databases for any cases that apply these Regulations.

Implications of absence of recorded litigation in the instrument

• The Regulations’ requirement that reasons be given for refusals and revocations and that applicants be informed of review rights (regs 7(3), 9(3)) creates a procedural record that supports review and judicial oversight. Where there is no reported litigation recorded in the Regulations, the presence of these procedural protections may nevertheless generate tribunal proceedings. The absence of litigation in the instrument does not mean disputes do not occur; it merely indicates none are noted within the text of the subordinate instrument itself.

Practical note

• For legal advisers preparing to represent clients before the Director or NTCAT, the primary sources of litigation guidance will be NTCAT decisions and any appellate judgments. The Regulations direct practitioners on the procedural rights afforded to applicants and revoked persons, but do not supply case law on how fit and proper tests or Director discretion have been interpreted. Accordingly, obtain tribunal decisions and, where necessary, seek judicial review precedent for interpretative guidance.

Mandatory refusal for non-compliance with information requests

• Regulation 5 empowers the Director to request additional information, documents or a personal appearance. Regulation 6(1)(d) makes failure to comply with a Director’s request an express ground for mandatory refusal. Practically, that means a prospective manager who does not respond promptly and comprehensively to a s 5 request risks automatic refusal under reg 6(1)(d). The safe practice is to respond fully and within any timeframe specified by the Director. The Regulations do not specify a minimum response period; timing is therefore an operational risk to be managed.

Fit and proper test combines objective and subjective elements

• Reg 6(1)(e)-(g) and reg 6(2) combine subjective opinion-based grounds with specific objective considerations such as convictions in the preceding 10 years or current charges for offences involving fraud, dishonesty or physical violence, and prior offences under the Act or its regulations. The subjective element leaves open uncertainty about the weight the Director will give to various factors beyond the enumerated indicia. Applicants should compile documentary evidence to rebut subjective concerns and should not rely solely on the absence of the listed objective disqualifiers.

Approval linked to the agent’s licence lifecycle

• Reg 8 makes approval effective only until the agent’s licence expires, is revoked or surrendered. Subreg 8(1)(d) addresses death or dissolution but then provides an exception where the Director authorises a person under s 17F(2) to carry on the deceased agent’s business (reg 8(2)). A manager’s approval is not an independent enduring licence and may lapse when the principal agent’s licence ends. Businesses must therefore plan for approvals to end on agent licence events and obtain new approvals or authorisations as required.

Timing and procedural certainty: 45 day decision period

• The Director must notify an applicant within 45 days of the application date whether the applicant is approved or not (reg 7(2)). However, the Regulations also allow the Director to request additional information under reg 5. If an applicant delays in providing required material, the 45 day clock may run into questions about when the application was "made" and whether the Director is entitled to an extension while awaiting information. Practitioners should log application dates and any correspondence about supplementary requests to avoid disputes about delay.

Recordkeeping requirements are granular and immediate

• Reg 15 prescribes detailed record elements for different activities and requires the record to be made "as soon as possible" after the particulars become known (reg 15(2)). That phrase is non-specific and imposes an immediacy expectation. Failure to maintain these records may attract an infringement under s 25(1) (Schedule 2 lists s 25(1) as 10 penalty units). Agents must therefore operationally ensure systems are in place to capture the full list of prescribed particulars promptly when those activities occur.

Infringement notices carry penalty units, not dollar amounts

• Schedule 2 sets penalty units rather than dollar sums. The dollar equivalent depends on the current value of a penalty unit under Northern Territory law. Users must verify the current amount per penalty unit and whether the monetary exposure for each listed infringement has changed due to subsequent amendments to penalty unit values. Do not assume fixed dollar sums without checking the current statutory penalty unit.

Revocation for fraud or misrepresentation

• Reg 9 permits revocation of an approval obtained by means of fraud or misrepresentation. The revocation provision requires written notice to both the person and the agent including reasons and review rights (reg 9(2)-(3)). However, what constitutes "fraud or misrepresentation" for these purposes may be contested and will likely turn on evidence. Practitioners should expect the Director to investigate (reg 5) and should preserve documentary evidence to defend against potential allegations.

Linkage to other statutes for definitions and status checks

• Reg 3 adopts the meaning of ADI from the Commonwealth Banking Act 1959. Criminal history and insolvency checks invoked in reg 6 will require engagement with Commonwealth and Northern Territory registers. Practitioners should ensure compliance checks and background enquiries rely on the correct external registers and statutes.

NTCAT as the review forum and changed jurisdiction

• The endnotes show the conferral of NTCAT jurisdiction in 2023. Practitioners should be aware that review processes and time limits will be governed by NTCAT practice directions and the relevant Act provisions. Assume that tribunal processes, not courts, are the first review avenue unless and until appellate proceedings arise.

Practical enforcement gaps

• The Regulations provide an infringement pathway but do not comprehensively set out post-non-payment enforcement steps in this instrument. Practitioners should read the Act provisions that govern infringement notices and prosecution options to understand the full enforcement lifecycle.

Operational overlaps: manager approval v agent operational responsibility

• Because approvals are linked to particular places where an agent carries on business (reg 4(1)), there may be operational complexity where an agent operates multiple places. Each place may require a manager to hold a separate approval depending on the agent’s licensing structure. That multiplies application and fee obligations. Confirm how agent licences and place-specific approvals interact in practice.

Practical compliance checklist for applicants seeking manager approval

1. Use the approved form and pay the application fee
   • Complete the Director’s approved form for manager approval and ensure the application fee of 55 revenue units accompanies the application (reg 4(2)-(3)).
2. Prepare supporting documents and anticipate Director inquiries
   • Assemble documentary evidence of identity, employment history, criminal record disclosures, insolvency status, and any material relevant to fit-and-proper considerations. Be ready to provide additional information or appear personally if requested under reg 5(1)-(2).
3. Avoid failure to comply with a reg 5 request
   • Treat any Director request for information under reg 5 as mandatory. Non-compliance is an express ground for refusal under reg 6(1)(d).
4. Address objective disqualifications proactively
   • If any potentially disqualifying matters exist (convictions for fraud, dishonesty or violence within the last 10 years; current charges; prior offences under the Act), disclose them and provide contextual documents such as pardons, sentences served, or evidence of rehabilitation as appropriate per reg 6(2).
5. Track timeframes and retain proof of lodgement
   • Note the application date and retain receipts and proof of lodgement. The Director must notify approval or refusal within 45 days (reg 7(2)). If the Director requests additional material, keep records of the request and your response.

Operational compliance for agents with manager approvals

1. Understand the limited duration of approval
   • Recognise that manager approval operates until the agent’s licence expires, is revoked or surrendered, or subject to the death/dissolution exception tied to s 17F(2) (reg 8). Plan continuity and reapplication where licences are time‑limited.
2. Ensure agents notify changes and maintain oversight
   • Agents should maintain copies of manager approvals, monitor managers’ conduct, and stay alert to any circumstances (eg insolvency, criminal charges) that could trigger a mandatory refusal or revocation (reg 6, reg 9).

Recordkeeping compliance for prescribed activities

1. Implement systems to capture prescribed particulars immediately
   • For locating goods: record requester’s full name and address, date of request, goods description, location, details of any entry authority and fee charged (reg 15(1)(a)(i)-(vi)).
   • For repossession: record requester and request receipt date, name and address of person from whom goods were repossessed, date and time of repossession, names of persons who repossessed, full description of goods, premises address, presence of person, names of other occupants if the person was absent, how entry was made, exact terms of authority for entry, notices left or given, address where goods were taken and fee charged (reg 15(1)(b)(i)-(xiv)).
   • For debt collection: record requester’s name and address, date of request, debtor’s name and address, amount of debt, particulars of requests for payment or actions taken and fee charged (reg 15(1)(c)(i)-(vi)).
   • For process service: record requester’s name and address, date the process was received, nature of the process, person to be served’s name and address, date/place/time of service, whether it was personal, alternative recipient details if not personal, reason for failure to serve if applicable and fee charged (reg 15(1)(d)(i)-(ix)).
   • For inquiry agents: record requester’s name and address, date of request, nature of inquiry, date of delivery of final report or written statement and fee charged (reg 15(1)(e)(i)-(v)).
2. Ensure records are made "as soon as possible"
   • The statutory language (reg 15(2)) demands prompt entry. Design business processes and IT systems to capture these data contemporaneously when the service is performed to avoid breaches of s 25(1), which is an infringeable offence under Schedule 2 (10 penalty units).

Managing infringement notices and enforcement risk

1. Verify which Act provisions are specified
   • Consult Schedule 2 to confirm which Act provisions can attract infringement notices and the associated penalty units (reg 16, Schedule 2). Note that s 25(1) (prescribed records) is in Schedule 2 at 10 penalty units.
2. Track penalty-unit value and payment timelines
   • The Schedule lists penalty units, not dollar amounts. Verify the current dollar value for a penalty unit in Northern Territory legislation and ensure a process exists to pay a received infringement within 28 days to avoid prosecution (reg 16(2)).

Procedural steps upon refusal or revocation

1. Read the decision notice carefully
   • A refusal or revocation notice must state reasons and advise of the right to apply to NTCAT for review (reg 7(3), reg 9(3)). Note the reasons given and gather supporting evidence and argument in preparation for review.
2. File for review promptly and follow NTCAT practice
   • If a review is to be lodged, follow the time limits and procedural steps in s 35 of the Act and NTCAT’s procedural requirements. Keep copies of all correspondence and documentary evidence.

Operational governance and risk management

1. Conduct pre-engagement checks on managers
   • Agents should perform due diligence on potential managers to identify any conviction, charge or insolvency risk that could lead to refusal under reg 6.
2. Maintain audit-ready records
   • Given the prescribed record lists and the potential for infringement, maintain records in an audit-ready format, including date and time stamps, and ensure staff are trained about the immediacy requirement for recording particulars.
3. Liaise with the Director proactively
   • Where uncertainty exists about fit and proper criteria or the scope of required particulars, seek guidance from the licensing office early to avoid a reg 6(1)(d) refusal.

Administrative housekeeping

1. Keep fee schedules current
   • Ensure application, processing and licence fees are paid as specified in regs 4(2), 11 and 13 and that you check for later amendments that might change revenue unit amounts or fee structures.
2. Monitor legislative updates
   • Because the Regulations have been amended periodically and rely on linked provisions in the Act and other legislation (eg penalty unit values; NTCAT conferral), incorporate a monitoring process for statutory updates that may affect compliance obligations.

Following these steps will align applicants’ and agents’ operations with the specific duties, timelines and recordkeeping obligations set out in the Regulations and reduce exposure to refusal, revocation or infringement penalties.
