Collections for Charitable Purposes Act 1939

The Act is structured around a small set of core concepts that determine who must comply, what they must do, and how the state supervises collections.

• Licence and authorisation. The centrepiece is the section 6 licence regime. A person must not act as a collector without a section 6 licence or authorisation from a licence holder (s 6(1); s 8). Licence decisions are in the Minister's discretion (s 11(3)), and licences may carry conditions and be varied, suspended or revoked by written notice (s 12(2)-(4)). Licences are free of charge (s 14).

• Definition of collector and paid collector. The Act defines who is a collector by reference to activities: collecting money or property for charitable purposes; charging for admission to entertainments held out as benefiting charity; sale of tokens or devices; and solicitation of bequests (s 4, definition of collector). Paid collectors are those who receive valuable consideration to act as collectors (s 4, paid collector). The distinction is material because higher duties and specific disclosure offences apply to paid collectors (see ss 6B, 6C, 7).

• Charitable purpose. The Act sets out a non‑exhaustive list of charitable purposes, which includes health services and research (within the meaning of the Health Care Act 2008), relief of poverty, war relief, assistance to armed forces members and dependants, and animal welfare (s 4, charitable purpose). This definition frames which activities fall within the licensing regime.

• Disclosure, identification and transparency. The Act imposes layered disclosure obligations tailored to collection format. Unattended collection boxes must be labelled with the licence holder’s name and contact details and any website particulars required by licensee statements (s 6B(1)). Collectors must identify themselves to donors or wear prescribed badges in face‑to‑face collections (s 6C(1)-(2)); entertainers must include licence holder contact details on adverts and tickets and disclose performer payments on request (s 7(5); s 7(3)). The Minister may publish licence holder statements on a Ministerial website (s 15(6)).

• Financial accountability and audit. Licence holders who collect money must keep proper accounts and have them audited by a person authorised under the Associations Incorporation Act 1985 or approved by the Minister (s 15(1)-(2)). They must submit a statement of amounts collected, costs, application of funds and other Ministerially required information (s 15(2)(b)). A specific exemption exists for Commonwealth registered entities that submit ACNC information and any additional material requested by the Minister (s 15(9)).

• Inspection, production and investigatory powers. The Minister may require production of records (s 14B). Inspectors appointed by the Minister have broad powers to enter premises on reasonable grounds, require production of documents, require answers, retain documents for copying, take recordings and seize evidence where an offence is suspected (ss 15A-15B). Questions may be required to be verified (s 15B(6a)), and answers tending to incriminate may be refused (s 15B(7)).

• Ministerial discretion, publication and agency with the Commonwealth. The Minister may delegate powers (s 5). The Act enables agreements with the Commonwealth Commissioner regarding information sharing and enables Commonwealth registered entities to be taken to hold licences on notice, subject to conditions and Ministerial oversight (ss 6(3)-(10); s 17A).

• Enforcement architecture. The Act creates specific offences including false or misleading statements in information provided under the Act (s 15C, max penalty $8 000), dishonest, deceptive or misleading conduct in licensed activities (s 15D, max penalty $15 000 or 4 years imprisonment), and a range of disclosure offences with specified maximum fines (see ss 6B, 6C, 7). Prosecutions under the Act require the Minister’s written approval (s 19(1)). The Act also features evidentiary presumptions about licence status in prosecutions (s 18C).

These concepts are operationalised by a range of instruments the Minister may use: conditions on licences (including limits on commissions) (s 12(2)(a)), a code of practice (s 4, code of practice; s 12(2)(b)), regulations about receptacles and information display (s 20(2)(a)-(c)), publication of licence and financial statements (s 15(6)), exemptions by the Minister (s 18), and use of proclamations and Governor powers to re‑direct or vest funds where application of funds is impracticable or maladministration is found (ss 16-17).

The Act identifies and imposes obligations on several categories of persons and entities. The primary classes affected are:

• Collectors, paid collectors and people authorised by licence holders. Any person who collects, or attempts to collect, money or property wholly or partly for a charitable purpose is captured by the definition of collector (s 4). A paid collector, who receives consideration for acting as collector, is subject to heightened disclosure and offence provisions (s 4, paid collector; see ss 6B, 6C). Authorised persons acting under a licence are subject to licence conditions and must comply with disclosure duties (s 8).

• Licence holders (persons, societies, bodies or associations). Entities holding section 6 licences bear the principal compliance burdens: keeping proper accounts, arranging audits, submitting statements to the Minister, ensuring those they authorise understand their obligations and taking reasonable steps to ensure compliance (s 15(1)-(2); s 6B(3); s 6C(6)). Licence holders also face powers to have licences varied, suspended or revoked by the Minister on grounds listed in s 12(4).

• Commonwealth registered entities. Entities registered under the Commonwealth Act may, on written notice to the Minister, be taken to hold a section 6 licence while registered (s 6(3)). These entities are subject to the code of practice and any conditions imposed by the Minister (s 6(5)-(6)). Importantly, they may be suspended or have their authority revoked on listed grounds, such as mismanagement of donations or excessive commission (s 6(7)). The Act also provides that if a Commonwealth registered entity has provided information to the Commonwealth Commissioner under the Commonwealth Act and provided any other information required by the Minister, it is exempt from some auditing and statement obligations (s 15(9)). The Minister may enter agreements with the Commonwealth Commissioner about information sharing (s 17A).

• Members and governing officers. For bodies corporate and unincorporated bodies, the Act creates potential personal liability for members if an offence under s 15 is committed by the entity and the prosecution proves knowledge of significant risk, capacity to influence, and failure to exercise due diligence (s 15(7a)-(7b)). This imports governance and oversight obligations for governing bodies.

• Donors and members of the public as recipients of disclosure. The Act obliges collectors to disclose identity, paid status and licence‑holder contact details to donors (s 6C(1)-(4)), and requires information on unattended collection boxes (s 6B(1)) and on adverts and tickets for entertainments (s 7(5)). The public is therefore the intended beneficiary of transparency measures.

• Inspectors and the Minister. The Minister, and persons the Minister appoints as inspectors, obtain investigatory, production and seizure powers (s 5; ss 15A-15B). The Commissioner of Police must, at the Minister’s request, provide criminal history information about licence applicants or holders or governing members (s 14A).

• Entities dealing with collected property. The Act contemplates conversion of collected property to money and treats proceeds for accounting and reporting purposes as money collected for charitable purposes (s 15(5)). The Governor may vest funds in the Minister or direct application to different charitable purposes if application to the original purpose is impracticable (ss 16-17).

Who pays and who decides. Costs are primarily borne by licence holders and authorised collectors. Costs include recordkeeping, audit fees, compliance with disclosure requirements, and potential legal exposure for governing members (s 15). The Minister decides licence grant, conditions, suspension and revocation (ss 11(3), 12(3)-(4), s 6(7) for Commonwealth registered entities). Prosecutions require Ministerial approval (s 19(1)), so the Minister exercises significant control over enforcement decisions.

Substitution and interactions. The Act preserves other collection controls: its provisions are in addition to, not instead of, other collection controls (s 21). Regulations can further regulate display of information and impose fines (s 20). The Act also allows exemptions by the Minister (s 18), which may shield particular persons or activities from parts of the Act on conditions.

This section sets out the statutory duties licence holders, authorised collectors and related persons must observe, and the rights or administrative safeguards embedded in the Act.

Duties imposed on licence holders

• Hold a valid section 6 licence to authorise collectors, unless a statutory exception applies (s 6(1)-(2)). Licences must be applied for to the Minister (s 11(1)).
• Keep proper accounts for money collected in a statement period and have those accounts audited by an authorised auditor or a person approved by the Minister (s 15(1)).
• Provide to the Minister a copy of audited accounts and a statement setting out amounts collected, costs of collection, the manner in which funds have been dealt with, and other information required by the Minister at times fixed in the licence (s 15(2)(a)-(b)).
• Comply with licence conditions including limits on commissions or remuneration of collectors, and any code of practice as required by the Minister (s 12(2)(a)-(b)).
• Ensure that each person authorised by the licence is aware of obligations under the Act and provided with required information (s 6B(3); s 6C(6)).

Duties on collectors and paid collectors

• Do not act as a collector unless holding a licence or authorised by a licence holder (s 6(1)). There are narrow exceptions for collecting from known associates or for collections for a particular person, provided no payment is taken (s 6(2)(a)-(b)).
• For unattended collection boxes, ensure boxes are marked with the licence holder’s name and contact details and website particulars where relevant (s 6B(1)). Paid collectors face penalties for failing these obligations (s 6B(2)).
• For other collections, identify oneself to donors by name or unique identifier, and disclose whether one is a paid collector, unless wearing a badge containing that information (s 6C(1)-(2)). Paid collectors face fines for non‑compliance (s 6C(3), max $4 000).
• Provide, on request, licence holder contact details and website particulars where applicable (s 6C(4)). Paid collectors face penalties for failing to supply this information (s 6C(5)).
• For entertainments, ensure advertisements and tickets include licence holder name and contact details and website particulars where applicable, and disclose performer payment details on request if payments exceed the prescribed amount (s 7(3), (5)).

Accountability and reporting duties

• Where property collected is sold or converted to money, treat the proceeds as money collected for charitable purposes for the purposes of accounts and reporting (s 15(5)).
• Provide information in accordance with any requirements specified by the Minister, including form and verification (s 15(10)).
• Licence holders may have their statements and names published by the Minister on a website (s 15(6)).

Rights and Ministerial procedures

• The Minister exercises discretion to grant or refuse licences and will not be liable to proceedings for refusing a licence (s 11(3)). The Minister may also delegate powers (s 5).
• Licence holders have rights to be notified in writing of conditions, variations, suspensions or revocations (s 12(3)-(4); s 6(6) for Commonwealth registered entities).
• Commonwealth registered entities that notify the Minister are taken to hold a licence while registered, subject to Ministerial conditions and to suspension or revocation in specified circumstances (s 6(3)-(9)).
• The Minister may exempt persons or bodies from specified provisions, subject to conditions and variation or revocation (s 18).

Investigatory powers and protections

• Inspectors may enter non‑residential premises on reasonable grounds, and residences with consent or warrant, and may require production of documents and answers, and seize evidence where an offence is suspected (ss 15A-15B). Inspectors must produce identity cards on request (s 15A(2)). A person may decline to answer a question if the answer would tend to incriminate the person (s 15B(7)). The Act allows verification of answers by statutory declaration or oath (s 15B(6a)).

Criminal provisions and liabilities

• Making a false or misleading statement under the Act is an offence (s 15C, max $8 000).
• Dishonest, deceptive or misleading conduct in licensed activities is an offence carrying a maximum penalty of $15 000 or 4 years’ imprisonment (s 15D).
• Corporate and unincorporated body members may be personally liable for offences under s 15 where the prosecution proves knowledge of significant risk, influence over the body, and failure to exercise due diligence (s 15(7a)-(7b)).

Procedural gates

• No prosecution for an offence under the Act may be instituted without the Minister’s written approval (s 19(1)). A document purporting to be signed by the Minister is prima facie proof of approval (s 19(2)).

Other administrative mechanisms

• The Minister may require production of documents and may retain copies (s 14B).
• The Governor may apply funds to other charitable purposes or vest funds in the Minister where application to the original purpose is impracticable or maladministration is shown (ss 16-17).

These duties create a compliance architecture combining licensing, disclosure, financial accountability and investigatory power, with administrative controls and criminal penalties for breaches. Licence holders and their authorised collectors therefore face recordkeeping, audit and disclosure costs, and potential personal liability for governing members where oversight is deficient.

The Act specifies a range of criminal penalties tied to particular breaches and provides administrative mechanisms that structure enforcement. Enforcement is concentrated in the Minister’s hands, and investigatory powers are allocated to inspectors appointed by the Minister.

Penalty schedule highlights

• Acting as a collector without a licence: maximum penalty $8 000 (s 6(1)).
• Failure by paid collector to comply with unattended collection box marking obligations: maximum penalty $4 000 (s 6B(2)).
• Holder of a licence who fails to ensure authorised collectors are aware of their obligations under s 6B: maximum penalty $8 000 (s 6B(3)).
• Paid collector failure to disclose identity or paid status to those from whom amounts are collected: maximum penalty $4 000 (s 6C(3)).
• Paid collector failure to provide licence holder contact information on request: maximum penalty $4 000 (s 6C(5)).
• Contravention of advertising and ticket information requirements for entertainments: maximum penalty $8 000 (s 7(5)).
• False or misleading statements in any information provided under the Act: maximum penalty $8 000 (s 15C).
• Dishonest, deceptive or misleading conduct in the conduct of licensed activity: maximum penalty $15 000 or imprisonment for 4 years (s 15D).
• Inspectors’ powers interference, obstruction, failure to comply or false representation as an inspector: maximum penalty $8 000 (s 15B(5)).

Enforcement gatekeeping and discretion

• Prosecutions under the Act cannot be instituted without the Minister's written approval (s 19(1)). The Act further provides that a document purporting to be signed by the Minister is, unless proof to the contrary is offered, sufficient proof of the Minister’s approval (s 19(2)). This places a central procedural control over which matters are referred to criminal courts.

Investigation and evidence

• Inspectors may enter non‑residential premises on reasonable suspicion that evidence or records connected with a licensed activity are present, and may obtain warrants for residences (s 15B(1)-(3)). While on site, inspectors may inspect, require production of documents and answers, retain documents for copying, take recordings and seize items believed to afford evidence of an offence (s 15B(4)(a)-(e)). Inspectors may require answers be verified by statutory declaration or oath (s 15B(6a)). Persons may decline to answer a question if doing so would tend to incriminate them (s 15B(7)). Interference with inspectors or false representation as an inspector is an offence carrying financial penalties (s 15B(5)).

Administrative sanctions

• The Minister may vary conditions, suspend or revoke licences on listed grounds including mismanagement of donations, excessive commission or remuneration, failure to comply with licence conditions, and other circumstances in the Minister’s opinion justifying suspension or revocation (s 12(3)-(4)). For Commonwealth registered entities, the Minister may suspend or revoke authority to act as a collector on similar grounds (s 6(7)-(9)). Suspension may be for a specific period or until conditions are met (s 12(5); s 6(8)).

Corporate governance liability

• Where a corporate or unincorporated body is guilty of an offence under s 15 duties, each member of the governing body may be guilty and liable to the same penalty if the prosecution proves the member knew or ought reasonably to have known of significant risk of the offence, was in a position to influence the body’s conduct, and failed to exercise due diligence (s 15(7a)-(7b)). This extends criminal exposure beyond the entity to individual directors or members where oversight is lacking.

Evidentiary presumption and practical effect

• In proceedings for an offence under the Act, an allegation that a specified person was or was not a holder of a section 6 licence, or authorised by the holder to carry out specified activities, is, in the absence of proof to the contrary, proof of the matter alleged (s 18C). This reverses a potential evidentiary burden in prosecutions and may affect how defendants prepare evidence about authority and licence status.

Publication and transparency as enforcement tools

• The Minister may publish licence holder names and the contents of statements submitted under s 15(2)(b), or summaries or extracts of such statements, on a Ministerial website (s 15(6)). The Minister may also publish grant, variation or revocation of exemptions on the Ministerial website (s 18(4)). These publication powers are administrative but function as reputational enforcement levers.

Operational enforcement trade‑offs

• The requirement that prosecutions need the Minister’s written approval concentrates enforcement discretion and may slow or prevent criminal proceedings for particular contraventions, while enabling the Minister to prioritise matters. The investigative powers vested in inspectors are broad and include seizure where an offence is suspected, but DPP/prosecution action cannot proceed without Ministerial approval (ss 15B; 19). The evidentiary presumption in s 18C shifts the evidential burden in prosecution contexts, and the personal liabilities in s 15(7a)-(7b) impose governance duties with potential criminal consequences.

Regulatory and criminal penalties therefore coexist. Licence holders and collectors face administrative sanctions through licence variation or revocation and criminal sanctions for specific breaches, while the Minister controls both licensing outcomes and the decision to prosecute.

The Act is designed to operate alongside federal and other state regulatory frameworks. The statute contains several express cross‑references and mechanisms for cooperation, and it preserves other legal controls.

Interaction with Commonwealth registration and ACNC regime

• The Act defines "Commonwealth registered entity" as an entity registered under the Australian Charities and Not‑for‑profits Commission Act 2012 and treats such entities, on written notice to the Minister, as holding a section 6 licence while registered (s 4, Commonwealth registered entity; s 6(3)). This makes the ACNC registration a mechanism to satisfy the Act’s licensing formality, but it is subject to Ministerial conditions and oversight (s 6(5)-(7)).
• Section 15(9) provides an exemption from some of the Act’s auditing and statement obligations where a Commonwealth registered entity has submitted to the Commonwealth Commissioner the information and financial reports required under the Commonwealth Act and has provided any other information required by the Minister. This is an instance of regulatory relief for federal reporting compliance, but only where the Minister’s additional requirements are met.
• Section 17A permits the Minister to enter into information‑sharing agreements with the Commonwealth Commissioner regarding how Commonwealth registered entities may provide information for the purposes of the Act and to obtain Commonwealth Act information for administration of the Act.

Interaction with Associations Incorporation Act and corporate law

• Auditors under s 15(1) must be those authorised to audit the accounts of a prescribed association under Part 4 Division 2 of the Associations Incorporation Act 1985 or persons the Minister approves. This ties SA auditing standards to the Associations Incorporation Act authorisation framework.
• The Act’s director/member liability regime (s 15(7a)-(7b)) creates criminal exposure for governing members where oversight failures are proven. That interacts with other statutory duties directors may have under corporate or associations law, though the Act does not displace other liability regimes.

Interaction with policing and criminal history checks

• The Commissioner of Police must, at the Minister’s request, provide criminal history information specified by the Minister about applicants for or holders of licences and members of governing bodies (s 14A). This creates an interface between the Act’s character assessment and policing records.

Interaction with other state or federal collection controls

• Section 21 states that the Act’s provisions are in addition to, and not in substitution for, other provisions by which collections of money are controlled. This preserves parallel regulation under other state statutes or local government rules and ensures the Act does not displace alternate enforcement regimes.

Regulations and delegated instruments

• The Governor may make regulations for purposes contemplated by the Act and may specifically require information to be displayed on receptacles left in public places, prohibit or regulate the display of particular information on receptacles, regulate the form of displayed information, and impose fines not exceeding $4 000 for breach of regulations (s 20(1)-(2)). Regulations are therefore the principal subordinate instrument to set detailed disclosure and display standards.

Administrative and judicial interplays

• The Minister’s broad discretion to grant, vary or refuse licences (s 11(3); s 12(3)-(4)), and the Minister’s control over prosecutions under s 19(1), create administrative decisions that will sit alongside judicial review principles. The Act itself states the Minister “will not be liable to any proceedings whatsoever as a consequence of any refusal” to grant a licence (s 11(3)). That clause is an express statutory protection for the Minister, however the Act does not detail scope for merits review or judicial review remedies in the text provided.

Data sharing and publication

• The Minister may publish licence details and statements on a Ministerial website (s 15(6)) and may disclose information to other authorities responsible for similar laws in other States and Territories and to other public authorities as the Minister considers appropriate (s 17B). That provides a statutory basis for cross‑jurisdictional enforcement cooperation.

In practical terms the Act seeks to dovetail with the federal ACNC regime to reduce duplication for Commonwealth registered entities (s 15(9)). It sets Ministerial powers and offences which coexist with other statutory obligations and with associations and companies frameworks. The Ministerial discretion and the evidence and publication mechanisms interact with other administrative law processes, but the Act itself contains limited procedural constraints on the Minister beyond notice requirements for variation, suspension or revocation of licences.

The Act carries a long legislative history; amendments have changed definitions, added inspection powers, integrated Commonwealth registration and modernised disclosure. The consolidated legislative history in the statute provides discrete amendment moments. Key historical amendments and their mechanical effects, as recorded in the Act, include:

• 1939: Principal Act enacted as Collections for Charitable Purposes Act 1939 (No 16), assented 22 November 1939, commencement 1 February 1940.

• 1947: Amendment Act 1947 (No 18), assented 6 November 1947.

• 1982: Collections for Charitable Purposes Act Amendment Act 1982 (No 21), assented 18 March 1982, commenced 1 April 1982. The historical notes indicate various early amendments prior to 1995 appear in consolidated volumes.

• 1995: Collections for Charitable Purposes (Licensing and Miscellaneous) Amendment Act 1995 (No 66), assented 17 August 1995, commenced 2 November 1995. This Amendment inserted definitions such as body and section 6 licence, and made other changes to licensing mechanics as reflected in the reprint and subsequent substitutions.

• 1999: Collections for Charitable Purposes (Definition of Charitable Purpose) Amendment Act 1999 (No 14), assented 1 April 1999, commenced 1 April 1999. This amendment altered the charitable purpose definition.

• 2007: Collections for Charitable Purposes (Miscellaneous) Amendment Act 2007 (No 41), assented 25 October 2007, many provisions commencing 1 September 2008. The 2007 Act substituted major parts of the Act, including the collector definition, and added inspectors and new disclosure regimes (ss 6B, 6C, 15A-15B, 15C-15D). It substantially modernised the Act’s structure and introduced new offences and inspector powers.

• 2009: Statutes Amendment (Public Sector Consequential Amendments) Act 2009 (No 84), assented 10 December 2009, included consequential changes commencing variably, Pt 34 (s 63) commenced 1 February 2010.

• 2013: Statutes Amendment (Directors' Liability) Act 2013 (No 16), assented 23 May 2013, inserted s 15(7a)-(7b) (director/member liability) and associated provisions concerning defences and liability of governing members, with commencement of Pt 10 (s 14) on 17 June 2013.

• 2016: Statutes Amendment (Commonwealth Registered Entities) Act 2016 (No 24), assented 2 June 2016, major provisions commenced 1 December 2016. This Amendment introduced "Commonwealth registered entity" concepts, the code of practice definition, integration with ACNC reporting (s 15(9)), and provisions enabling Commonwealth registered entities to be taken to hold section 6 licences on providing written notice (s 6(3)-(10)). It added ss 14A, 14B, 17A and 17B and made multiple amendments across the Act to facilitate cross‑jurisdictional information sharing and regulatory streamlining.

Transitional provisions associated with the 2016 Amendment are recorded in Sch 1 of that Amendment Act. They address, for example, the repeal of section 6A reporting and continuation of reporting obligations for the financial year in which repeal occurs (Transitional Sch 2). Transitional clause 3 provides that holders of former section 7 licences are taken to be holders of section 6 licences with the same conditions.

The legislative history table in the Act shows granular amendments to many sections over time (for example substitutions in 2007 and 2016), including deletions of obsolete provisions and the insertion of contemporary concepts like the code of practice and Commonwealth registration equivalency. The Act’s consolidation notes record multiple reprints and consolidations: Reprint Nos 1-3 and consolidated versions with dates (for example 1.9.2008, 1.2.2010, 17.6.2013). The history confirms two major modernisation waves, 2007 and 2016, with the 2016 package explicitly designed to align with the Commonwealth registered entity framework.

Practitioners should consult the formal revision and subordinate instruments (regulations and any codes of practice issued under the Act) because the Act contemplates substantive regulatory detail through those instruments, and because the Minister’s notices and website publications may reflect current conditions attached to licences and to Commonwealth registered entities.

The text of the Act, as provided, does not list any judicial decisions or reported litigation arising under the Act. The legislative consolidation includes no cases or annotated decisions. Consequently the statutory text itself provides the principal legal material for interpreting rights and duties, and practitioners will need to search case law databases and administrative decisions to identify any judicial or tribunal interpretations of the Act’s provisions, licence conditions, or enforcement powers.

What the Act supplies that affects litigation dynamics

• Ministerial discretion and immunity clauses. Section 11(3) states that the Minister may, in his or her discretion, grant or refuse a licence and "will not be liable to any proceedings whatsoever as a consequence of any refusal." This clause is an express statutory statement intended to protect the Minister from civil liability arising from licensing refusals. The presence of this provision will be relevant to any challenges to licensing refusals, particularly claims for damages. The statute does not itself specify whether that clause ousts judicial review remedies such as prerogative relief. Practitioners should note the clause when advising on potential remedies and the feasible scope of judicial review or merits appeal, but the Act does not resolve that issue.

• Prosecution gating. Section 19(1) requires the Minister’s written approval before any prosecution can be instituted under the Act, and s 19(2) provides that a purported Ministerial approval document is sufficient proof unless contradicted. This affects the procedural posture of enforcement litigation, since decisions to prosecute are administratively authorised by the Minister. Any litigation about the initiation of proceedings must contend with the statutory requirement for Ministerial approval.

• Evidentiary presumptions. Section 18C creates a presumption in prosecutions that an allegation about licence status or authorisation is correct unless proof to the contrary is provided. This shifts evidentiary burdens in criminal prosecutions under the Act and will feature in defence strategies and admissibility arguments.

Potential litigation themes (observed from the statute)

• Judicial review of licensing decisions and conditions. Given the Minister’s broad discretionary powers under ss 11 and 12, disputes may arise about decisions to refuse or impose conditions, and about revocation or suspension under s 12(4). The Act’s immunity clause in s 11(3) is a statutory factor in such disputes and may influence how litigants frame relief. The statutory text provides for written notice and some processes for revocation or suspension, but does not set out a statutory merits review mechanism or internal appeals process. Litigation could therefore focus on administrative law grounds where available.

• Challenges to enforcement actions and inspector powers. Section 15B grants inspectors wide powers of entry, seizure and compulsion. Litigation may test the reasonable grounds threshold for entry, warrant procedures for residences, and retention or return of seized property. The Act’s explicit provisions about warrants and identity cards will inform challenges to inspector conduct.

• Corporate governance and director/member criminal liability. The provisions in s 15(7a)-(7b) could give rise to prosecutions against members of governing bodies. Litigation in such cases will centre on the elements the prosecution must prove: knowledge or reasonable foreseeability of significant risk, capacity to influence conduct, and failure to exercise due diligence. The Act does not provide further procedural safeguards specific to these prosecutions beyond general criminal process.

• Interpretation of disclosure obligations and definitions. Offences under ss 6B, 6C and 7 are fact sensitive. Litigation could clarify what constitutes "reasonable steps" for licence holders to ensure authorised collectors are aware of obligations (s 6B(3); s 6C(6)), or what suffices as "holding out" that proceeds will be devoted to charitable purposes for the entertainment regime (s 7(1)(b)).

Absence of cases in the Act text means that practitioners must undertake external legal research to find how courts and tribunals have interpreted the Act’s provisions, particularly on matters of Ministerial discretion, evidentiary presumptions (s 18C), inspector powers, and the application of corporate member liability. Until such authorities are found, litigation risk analysis will rest on the statutory text and general administrative and criminal law principles.

This section flags practical pitfalls, traps for the unwary and specific places where the statute’s wording produces non‑obvious legal consequences. Each point cites the statutory provision creating the risk.

1. Acting without a licence is an immediate offence. The general prohibition that a person must not act as a collector unless the person holds or is authorised by the holder of a section 6 licence carries a maximum penalty of $8 000 (s 6(1)). The exceptions in s 6(2) are narrow: collecting only from people known to the collector or with whom the collector regularly associates, or collecting only for the relief of a particular named person, and the collector must provide all proceeds to the licence holder or the named person and must not be a paid collector. Reliance on these exceptions without care risks criminal exposure.

2. Commonwealth ACNC registration is not a full safe harbour unless the Minister is notified and conditions are met. A Commonwealth registered entity is "taken to hold" a section 6 licence only on giving written notice to the Minister in accordance with Ministerial requirements (s 6(3)). Notification cancels any existing section 6 licence held by the entity (s 6(10)(c)), and the Minister may impose conditions, vary or revoke authority, and may suspend or prohibit notice giving for a specified period after revocation (s 6(5)-(9)). Practically, entities cannot assume automatic immunity from state oversight by virtue of ACNC registration alone.

3. Publication and website particulars tighten disclosure obligations. Unattended collection boxes must include particulars of the licence holder and, if the licence holder previously submitted statements under s 15(2)(b), the Ministerial website particulars where those statements can be inspected (s 6B(1)(a)). Licence holders should expect public transparency and plan for the content of statements that may be published by the Minister (s 15(6)). Failure to display required information on unattended boxes is an offence for paid collectors (s 6B(2)).

4. Paid collector liabilities and unique processing burdens. Paid collectors face specific offences and fines for failing to comply with disclosure requirements (s 6C(3), s 6C(5), s 6B(2)). Employers contracting paid collectors need carefully drafted collection contracts to allocate responsibilities and to limit the risk of secondary liability under the Act.

5. Advertising and entertainment disclosure. Conducting an entertainment where admission is charged and proceeds are promoted as charitable triggers advertising and ticket information obligations (s 7(5)) and an obligation to disclose performer payments above the prescribed amount on request (s 7(3)). The prescribed amount defaults to $5 000 if not set by regulation. Failure to include required information can attract an $8 000 penalty (s 7(5)).

6. Auditing and accounting obligations, including treatment of converted property. Licence holders must keep proper accounts and have them audited by an authorised auditor (s 15(1)). If collected property is sold or otherwise converted to money, that money is treated as money collected for the charitable purpose for accounting and reporting (s 15(5)). Failure to maintain proper accounts and statements is an offence under s 15(7).

7. Personal liability for governing members. For offences under s 15, the Act can attach liability to members of governing bodies where the member knew or ought reasonably to have known of a significant risk and failed to exercise due diligence, and was in a position to influence conduct (s 15(7a)-(7b)). This is a governance risk that requires formal oversight and documented compliance procedures.

8. Ministerial control over prosecutions. The requirement for Ministerial written approval before prosecution (s 19(1)) means a decision to prosecute may be delayed, declined or directed. This affects enforcement certainty and raises questions about how administrative decisions will be reviewed or challenged.

9. Evidence presumptions in prosecutions. Section 18C provides that in an offence proceeding, an allegation about licence status or authorisation is, in the absence of proof to the contrary, proof of the matter alleged. Defence counsel must therefore be prepared to produce documentary evidence of authorisations or licence absence.

10. Inspectors’ powers and warrants. Inspectors have broad search and seizure powers and can require answers and production of documents; residences require consent or a warrant (s 15B(1)-(3); (4)). Ensure records are kept in ways that respect lawful production and retain counsel for interactions with inspectors, especially where warrants may be sought.

11. Regulations may create additional fines and display prohibitions. The Governor may make regulations about information displayed on receptacles, prohibit display of certain information, regulate the form of displayed information, and impose fines up to $4 000 for regulatory breaches (s 20(2)). Compliance requires monitoring subordinate instruments in addition to the Act.

12. Ministerial exemptions are discretionary and conditional. The Minister may grant exemptions from specified provisions (s 18). Those exemptions can be varied or revoked by the Minister and may be published on the Ministerial website (s 18). Reliance on an exemption should be confirmed in writing.

These "gotchas" indicate where operational practice commonly needs legal advice and deliberate process design: delegation and contracts for paid collectors, robust audit and recordkeeping, clear signage and disclosure materials for boxes and entertainments, and governance measures to reduce personal liability risk for governing members.

This section sets out a practical, section‑by‑section compliance checklist for licence holders, entities planning collections, governing members and paid collectors. Each task is tied to the statutory provision that creates the duty.

1. Confirm whether the activity is captured

• Review the defined "charitable purpose" in s 4 to confirm the solicitation activity falls within the Act. If in doubt, seek written advice and consider applying for an exemption under s 18.

2. Licensing and authorisations

• If intending to act as a collector, obtain a section 6 licence from the Minister (s 11(1)). If operating as a Commonwealth registered entity, provide the written notice required by the Minister to be taken to hold a section 6 licence (s 6(3)). Do not act before authorisation is in place, unless the narrow exceptions in s 6(2) apply.

3. Contracting paid collectors and collection contracts

• Where paid collectors are used, use written collection contracts (the Act defines collection contract) that allocate responsibilities for compliance with disclosure, signage and reporting obligations, and address commission limits if licence conditions impose them (s 12(2)(a)). Ensure paid collectors are aware they are subject to specific offences under ss 6B and 6C.

4. Disclosure and identification requirements

• For unattended collection boxes: label boxes in a reasonably prominent position with the licence holder’s name and contact details and, where relevant, website particulars that indicate where the last statement can be inspected (s 6B(1)). Licence holders must take reasonable steps to ensure authorised persons know these obligations (s 6B(3)).
• For face‑to‑face collections: ensure collectors provide their name or unique identifier and disclose paid status to donors, or wear a badge in a reasonably prominent position that contains the same information (s 6C(1)-(2)). Provide collectors with unique identifiers if used.
• For adverted entertainments: ensure all advertisements and tickets carry licence holder name, contact details, and website particulars where applicable, and be able to disclose performer payment details exceeding the prescribed amount on request (s 7(3), (5)).

5. Records, accounts and audits

• Keep proper accounts for each statement period and engage an auditor authorised under the Associations Incorporation Act 1985 or approved by the Minister (s 15(1)). Maintain records that substantiate amounts collected, costs associated with collection, and the manner in which funds were applied. If property collected is converted to money, treat proceeds as collected money for accounting purposes (s 15(5)).
• Submit audited accounts and the required statement at times fixed in the licence (s 15(2)). Ensure submissions comply with any form or verification requirements the Minister specifies (s 15(10)).

6. Publication and transparency

• Be prepared for the Minister to publish licence holder name and contact details, and the contents of statements submitted under s 15(2)(b), or summaries or extracts thereof on a Ministerial website (s 15(6)). Draft statements with public scrutiny in mind.

7. Governance and oversight

• Implement oversight systems to detect misapplication or mismanagement of donations. Document governance procedures. Governing members should keep minutes evidencing review and controls, because s 15(7a)-(7b) can attach individual criminal liability where members knew or ought to have known of significant risk and failed to exercise due diligence.

8. Cooperation with inspectors and Ministerial notices

• Keep records organised and accessible for potential production under s 14B and inspector inspections under s 15B. Where requested to produce records, respond within the time and manner specified, or be prepared to plead reasonable excuse with supporting evidence if non‑compliance arises (s 14B(1)-(3)). Ensure any documents retained by inspectors are copied and logged as permitted by the Act (s 14B(2); s 15B(4)(c)).

9. Criminal history checks and suitability

• Where the Minister requests criminal history information, ensure application processes are structured to allow the Commissioner of Police to provide information as specified (s 14A). Anticipate that the Minister may consider criminal antecedents in licence decisions.

10. Responding to licence conditions, variations and suspensions

• Maintain an address for service and update the Minister in writing where your address for service changes (s 18B(3)). When the Minister serves notice of variation, suspension or revocation, observe the notice and any conditions while promptly seeking legal advice if contesting the decision (s 12(3)-(4); s 6(6) for Commonwealth registered entities).

11. Regulatory monitoring

• Monitor regulations made under s 20 for prescribed amounts, display form requirements, and any prohibitions about displayed information. Regulations can create additional fines and change the prescribed amount in s 7’s definition.

12. Exemptions and Ministerial relief

• Where compliance would be impracticable, consider applying for an exemption under s 18. Exemptions are subject to conditions and may be published on the Ministerial website.

13. Communications and donor engagement

• Train collectors to explain their authorisation, to provide licence holder contact details, and to handle requests for information about how funds will be applied and the audited accounts location. Keep scripts and badges that comply with s 6C(2).

14. Legal preparedness

• Before commencing collections, obtain legal advice about the applicability of the Act, drafting of collection contracts, the interaction with ACNC registration and the sufficiency of internal governance systems. Prepare for potential inspector engagement and the Ministerial approval gate for prosecutions by keeping clear documentary evidence of authorisations and compliance.

Practical implementation checklist for first 90 days

• Apply for or confirm section 6 licence status with the Minister and obtain any required written notices (s 11; s 6(3)).
• Draft and issue written authorisations to collectors (s 8).
• Prepare collection signage, badges and advertising materials for compliance with ss 6B, 6C and 7.
• Set up bookkeeping systems and appoint an auditor authorised under the Associations Incorporation Act or seek Ministerial approval for alternate auditors (s 15(1)).
• Publish or make available to collectors the statement and website particulars that donors may request (s 6B(1)(a); s 6C(4)(ab)).
• Implement governance minutes, conflict of interest registers, and risk logs to address the exposure in s 15(7a)-(7b).

Complying with the Act therefore requires attention to authorisation formalities, robust recordkeeping and audit practices, clear disclosure materials for collectors and donors, governance to reduce personal liability, and readiness to cooperate with inspectors and Ministerial requests.
