sch.7-sec.53 Quorum for board meetings (CNL s175)
The quorum for a meeting of the board is 50% of the number of directors (or if that percentage of the number of directors is not a whole number, the whole number next higher than one half). The co-operative may specify in the rules a greater percentage than 50% for a quorum. For a quorum, the number of member directors must outnumber the non-member directors by at least one. The co-operative may specify in the rules another number by which the number of member directors must outnumber the non-member directors.
