sec.176 Transaction of business outside meetings

The board of a co-operative may, if it considers appropriate, transact any of its business by the circulation of papers among all of the directors of the board. A resolution in writing approved in writing by a majority of the directors of the board is to be taken to be a decision of the board. Separate copies of a resolution may be distributed for signing by the directors if the wording of the resolution and approval is identical in each copy. For the purpose of the approval of a resolution under this section, the chairperson of the board and each director of the board have the same voting rights as they have at an ordinary meeting of the board. The resolution is approved when the last director required for the majority signs. A resolution approved under this section must be recorded in the minutes of the meetings of the board within 28 days after the resolution is approved under this section. Papers may be circulated among directors of the board for the purposes of this section by fax or other transmission of the information in the papers concerned.
