#### 229 Voting by proxy 229 Voting by proxy > > (1) If the rules of the co-operative so provide, voting may be by proxy at a general meeting. > > > (2) The instrument of proxy may state the way in which a proxy is to vote on a particular resolution. > > > (3) The proxy must vote in the way authorised by an instrument of proxy referred to in subsection (2). > > > (4) A person must not act as a proxy unless he or she— > > > > > (a) is an active member of the co-operative; or > > > > > (b) in the case of a co-operative group—is entitled to represent a member of the group. > > > (5) The rules of the co-operative may limit the number of persons for whom a person may act as a proxy on the same question.
