#### 176 Transaction of business outside meetings 176 Transaction of business outside meetings > > (1) The board of a co-operative may, if it considers appropriate, transact any of its business by the circulation of papers among all of the directors of the board. > > > (2) A resolution in writing approved in writing by a majority of the directors of the board is to be taken to be a decision of the board. > > > (3) Separate copies of a resolution may be distributed for signing by the directors if the wording of the resolution and approval is identical in each copy. > > > (4) For the purpose of the approval of a resolution under this section, the chairperson of the board and each director of the board have the same voting rights as they have at an ordinary meeting of the board. > > > (5) The resolution is approved when the last director required for the majority signs. > > > (6) A resolution approved under this section must be recorded in the minutes of the meetings of the board within 28 days after the resolution is approved under this section. > > > (7) Papers may be circulated among directors of the board for the purposes of this section by fax or other transmission of the information in the papers concerned.
