What it does
This Act authorises a particular Victorian cooperative, the Co-operative Farmers and Graziers Direct Meat Supply Limited (the Society), to obtain specified additional financial accommodation and authorises the Treasurer of Victoria to give a single State guarantee in limited circumstances to secure part of that accommodation. The operative changes are short and discrete.
Mechanically the Act does three things. First, s 2 expands the Society's borrowing powers: in addition to any authority under the Co-operation Act 1958, the Society may "obtain advances or financial accommodation from any person" in such amount, secured and arranged and for such period as approved by the Treasurer. Second, s 3 authorises the Treasurer, at the Society's request and subject to conditions in the Act, to give one guarantee on behalf of the State in respect of the repayment by the Society of one half of the principal moneys of the financial accommodation obtained for the purpose of repaying the Society's debts. Third, s 3(2) and s 4 place quantitative and qualitative limits on that guarantee: the State's exposure cannot exceed $4,500,000 or one half of the outstanding principal moneys, whichever is the lesser; and the Treasurer must not give the guarantee unless a like guarantee is given by the Commonwealth Treasurer in respect of the other one half, the accommodation is for a period not exceeding three years, and the Treasurer is satisfied as to other reasonable terms and conditions (s 4(a)-(c)). Finally, s 3(3) provides that any sums the Treasurer pays under such a guarantee are to be paid out of the Consolidated Fund and that appropriation is made accordingly.
The preamble records that the Society was incorporated under the Co-operation Act 1958, is in receivership, proposes to obtain finance to satisfy liabilities and resume trading, and that both the Commonwealth and State governments agreed to assist by guarantees. Those statements appear as factual context in the Act but are not repeated as limiting conditions in the operative sections. The Act contains no criminal offences, no schedule of fees, and no express directions to lenders beyond the need for Treasurer approval and the statutory guarantee terms. The Act is limited in scope to the single Society and to facilitating one borrowing arrangement supported by matched federal and State guarantees, subject to the numerical cap and temporal limit noted above (ss 2-4).
