Churches of Christ, Scientist, Incorporation Act 1961

The Act is compact; its core legal concepts are incorporation by statute, automatic vesting of property, prescribed governance mechanics, and conditional incorporation of other like congregations. Core concepts and how they operate under the text:

• Deemed statutory incorporation: The Act deems the existing incorporated association First Church to be incorporated under this specific Act (s 2(1)). That is a statutory re‑naming and re‑constitutionalising: it removes First Church from the Associations Incorporation Act 1895 regime and places it in the framework of this Act while preserving continuity of identity and rights (s 3).

• Property vesting without conveyance: The statute provides for immediate vesting of specified land in the Second Schedule and of other trust property held for First Church in the newly constituted body without any further conveyance or transfer instrument (s 4(1)). For registered land, the Registrar of Titles is to register the corporation as proprietor upon application and satisfactory proof (s 4(2)). For other churches incorporated later, the property described in documents filed with the Registrar of Companies vests automatically upon incorporation under the Act (s 7(1)-(2)).

• Conditions for incorporation of other churches: The Act imposes quantitative membership and documentary conditions before a new congregation may become incorporated under this Act: at least 16 persons, including at least 4 members of The Mother Church; existence for at least 6 months; written certification of bona fides under The Mother Church’s seal; a three‑quarters vote at a special meeting convened as the Act prescribes; filing of the resolution, rules and a certified statement of property with the Registrar of Companies (s 5 and s 6(1)(a)-(e)). Upon satisfaction of these conditions the body "shall become a body corporate under this Act" and have the same powers and liabilities (s 6(2)).

• Governance by by-laws and an Executive Board: The Act gives the corporate body power to make by‑laws addressing a detailed list of internal matters (s 2(2)). The Executive Board (as constituted under by‑laws) holds the administration and exercise of corporate powers (s 2(5)). The Act sets out sealing formalities and requires a majority of the Executive Board to authorise use of the seal; the seal must be affixed by resolution and witnessed by two Board members and the chairman or clerk, with signatures (s 2(6)-(7)). By‑laws themselves and their amendment must be made by resolution carried at a meeting convened under s 8 (s 2(3)).

• Meeting and voting formalities: The Act prescribes a written notice requirement (forwarded by post at least 14 days prior), content of notice (terms of resolution and names of proposed proposers/seconders), and a three‑quarters voting rule for the resolutions the Act contemplates (s 8(1)-(3)). The majority threshold is the mechanism for by‑law adoption, dissolution into the corporate form, and other key actions noted in the Act.

• Deference to trust instruments and title registration rules: The Act explicitly preserves trust obligations over property,First Church must carry out trusts according to the trust deed or instrument (s 2(4)). For registered land the Registrar of Titles must be provided proof and fees before giving effect to vesting (s 4(2), s 7(2)). The Act therefore operates alongside trust law and the Transfer of Land Act 1893.

• Textual anchoring in religion and overseas connection: The Act requires adherence to a specific theological statement (the First Schedule) and the Church Manual of The Mother Church in Boston. For new incorporations, certification by The Mother Church under its seal is required (s 6(1)(b)). The text therefore integrates doctrinal conformity and an operational link to an overseas mother body as preconditions to statutory incorporation.

These concepts function together to create a statutory corporate vehicle specifically tailored to one religious denomination, with a gating mechanism for entry that mixes quantitative membership thresholds, doctrinal conformity and external certification, and with property consequences effected automatically by statute and registrable on the Torrens register subject to the Registrar’s satisfaction and fees.

Primary beneficiaries

• First Church of Christ, Scientist, Perth: The Act directly alters its legal status by deeming the existing incorporated association to be incorporated under this Act, with perpetual succession and a common seal and the capacity to sue and be sued (s 2(1)). Land listed in the Second Schedule and other property held in trust for the Church vests in the corporate body without the need for conveyance (s 4(1)).

• Other Churches of Christ, Scientist in Western Australia that meet the Act’s conditions: Bodies that meet the thresholds and documentary conditions in ss 5-6 may become bodies corporate under this Act and acquire the same statutory powers and subject to the same duties and liabilities, with their listed property vesting by operation of the statute (ss 5, 6(2), 7(1)).

Persons and offices with operational roles

• Members of the churches: Members who satisfy the doctrinal test (acceptance of tenets in the First Schedule and the Manual) are the body whose meetings make the by‑laws and resolutions required by the Act (preamble, s 2(1), s 2(3), s 8). Their votes (often three‑quarters) determine key governance rules and incorporations.

• Executive Board and officers: The Act vests administration and corporate powers in an Executive Board appointed pursuant to by‑laws; the Board holds custody of the common seal and has formal signature and sealing responsibilities (s 2(5)-(7)). The Act contemplates officers such as readers, librarians, Sunday School superintendents, auditors, chairman and clerk whose appointment and duties are to be regulated by by‑laws (s 2(2)(b)-(f), (k)).

• Trustees of property and clerks/treasurers: Property held "in trust for" the Church or committees is expressly preserved and is to be carried out in accordance with the trust instrument (s 2(4)). For incorporation of other churches, the clerk and treasurer must certify statements setting out property and trustee names for filing with the Registrar of Companies (s 6(1)(e)).

Public authorities and registrars

• Registrar of Companies: The Registrar’s office is the repository for the documents required for incorporation of other churches (s 6(1)(d)-(e)). The Act notes the historical context of the Registrar of Companies office (footnote), but operationally requires filing there.

• Registrar of Titles: For land on the Torrens register, the Registrar of Titles is required, on application and on being satisfied by proof and payment of fees, to register the corporate body as proprietor (s 4(2), s 7(2)). The Registrar’s statutory role gives that office a gatekeeping function in recording the vesting created by the Act.

Indirectly affected groups

• Existing trustees and beneficiaries of trust property: Where property is held in trust the trustees must have the trust carried out by the corporate body in accordance with the trust instrument (s 2(4)). The statutory vesting of trust property in the corporation (s 4(1), s 7(1)) can alter trustees’ practical control of legal title, with possible implications for beneficiaries and trust administration.

• Potential new splinter groups or groups unable to meet the entry conditions: The membership thresholds and requirement for at least four members of The Mother Church place a barrier to entry to the statutory corporate form; informal groups or newly formed congregations that do not meet those numeric and certification conditions are excluded from the benefits conferred by the Act until they comply (s 5, s 6).

Who pays and who decides

• The Church (its members) bear the costs and administrative burdens of preparing and filing the documents required for incorporation of new churches, making by‑laws, electing and remunerating officers and, where relevant, applying to the Registrar of Titles and paying fees (ss 2(2), 6(1), 4(2), 7(2)).
• The Registrar of Titles and the Registrar of Companies exercise discretion in accepting and recording vestings and filings; their decisions affect whether the statutory vesting is given practical effect (ss 4(2), 6(1)(d)-(e), 7(2)).
• The Mother Church abroad exercises a gatekeeping role as it must certify bona fides under its seal for new incorporations (s 6(1)(b)).

Behavioural effects

• Churches seeking statutory corporate status must adopt by‑laws and governance structures compatible with the Act, including appointing an Executive Board and meeting the formalities for sealing and meetings (s 2(2)-(7), s 8).
• Trustees and those holding title for congregational property must expect title to be automatically vested in the corporation upon incorporation or on commencement in First Church’s case; they must prepare for administrative steps with registrars (ss 4(1), 7(1)-(2)).
• New local groups may alter their organisational behaviour to secure the certification of The Mother Church and achieve membership thresholds before attempting statutory incorporation (s 6(1)(a)-(b)).

In short, the Act primarily affects the specified congregation, future qualifying congregations, their members and governance officers, trustees of church property, and the two registration offices whose actions give practical effect to statutory vesting.

Statutory rights

• Corporate personality and litigation capacity: First Church is given perpetual succession, a common seal, and the capacity to sue and be sued in all civil and criminal courts within the State (s 2(1)). Other churches that meet the conditions similarly acquire corporate status with the same powers and liabilities (s 6(2)(b)).

• Property rights: The corporate body may purchase, receive, hold and enjoy real and personal property of any description and may dispose of that property either absolutely or by mortgage, charge, lien or other encumbrance (s 2(4)). Lands described in the Second Schedule, and property held in trust for First Church, vest in the corporation by statute (s 4(1)). For other churches, property listed in the filed documents vests on incorporation (s 7(1)).

• Self‑governance through by-laws: The Church has the statutory right to regulate internal affairs by by‑laws made by resolution at meetings convened under the Act (s 2(2)-(3)). By‑laws can address admission and expulsion of members, conduct and election of officers, appointment of readers and Sunday School superintendents, recordkeeping, auditors, convening meetings, custody of property, document execution, authorisation of expenditure and remuneration (s 2(2)(a)-(k)).

• Delegation of administration to an Executive Board: The administration of affairs and exercise of powers is vested in an Executive Board appointed under the by‑laws; that Board has custody of the common seal and operation powers so long as it acts subject to by‑laws and members’ resolutions (s 2(5)-(6)).

Statutory duties and formalities

• Respect for trust instruments: Where property is subject to trust, First Church must carry out the provisions of the trust deed or instrument (s 2(4)). The Act does not extinguish trust obligations; instead it requires compliance with them.

• Meeting procedures and thresholds: Resolutions required by the Act must be passed at meetings convened by written notice sent at least 14 days prior by post, the notice must set out the proposed resolution and the names of proposers/seconders, and the relevant resolution must be carried by three‑quarters of members present (s 8(1)-(3)). By‑laws and their amendments are to be made by resolution carried in this manner (s 2(3), cross-ref s 8).

• Seal formalities: The common seal may only be affixed by virtue of a resolution of the majority of the Executive Board and in the presence of two Board members and the chairman or clerk, all of whom must sign the sealed document (s 2(6)-(7)). That is a statutory contractual/agency control on corporate execution.

• Filing and certification obligations for other churches: Prospective incorporations must file a copy of the special‑meeting resolution with a chairman’s certificate, a copy of the rules, a certificate under the seal of The Mother Church certifying bona fides, and a statement certified by clerk and treasurer listing real and personal property and trustees, all with the Registrar of Companies (s 6(1)(b)-(e)). These are preconditions to becoming a body corporate under the Act (s 6(2)(a)).

Compliance rights and registrars’ role

• Registrar of Titles to register vestings: For registered land the Registrar of Titles, on application and satisfactory proof and payment of fees, must give effect to vesting by registering the corporate body as proprietor (s 4(2), s 7(2)). The Registrar’s statutory duty is conditional on being satisfied of the facts and receiving fees, so administrative steps must be taken to obtain recorded title.

• Preservation of legal continuity: The Act preserves First Church’s legal identity and continuity of rights and obligations and provides that pending or existing legal proceedings are not rendered defective by the change of incorporation regime (s 3). That prevents interruption of litigation due to reconstitution.

What the Act does not create as a statutory duty

• Express ongoing reporting or auditing obligations: The Act empowers the church by by-law to provide for keeping accounts and appointment of auditors (s 2(2)(d), (e)), but does not itself impose mandatory statutory financial reporting, external audit obligations or reporting to a public regulator. Any such obligations would need to arise under other laws, not from this Act alone.

• No statutory offences or penalties are set out in the Act: There are no penalty provisions in the provided text imposing fines or criminal liability for non‑compliance with the Act’s provisions.

Points of discretion and administrative duties

• The Registrar of Titles and Registrar of Companies have fact‑satisfaction and filing roles that introduce administrative discretion: the Registrar of Titles “shall give effect” to vesting upon proof to his satisfaction and payment of fees (s 4(2), s 7(2)); the Registrar of Companies receives required filings (s 6(1)(d)-(e)). Those administrative interactions create procedural burdens and require documentary accuracy.

In sum, the Act creates rights to corporate personality and property and frames internal governance duty obligations, while leaving many ongoing compliance and regulatory burdens to be governed by by‑laws and external registration steps rather than to a statutory supervisory regime in the Act itself.

The Act establishes rights, vesting mechanisms and governance formalities, but it does not contain express statutory penalties, criminal offences or a dedicated enforcement regime. The statute’s enforcement architecture primarily relies on civil processes, registrars’ administrative functions and the courts’ general jurisdiction. Concrete features relevant to enforcement and dispute resolution include:

• No specified penalties in the text: The Act contains no sections imposing fines, pecuniary penalties or criminal sanctions for breach of its provisions. There are no enforcement provisions vesting investigatory powers in a public official within the Act. The absence of penal provisions means there is no internal statutory enforcement mechanism beyond reliance on civil remedies and the corporational governance apparatus the Act sets up.

• Civil enforcement through courts: Because First Church and bodies incorporated under the Act “may sue and be sued” (s 2(1)) and the Act preserves continuity of legal proceedings (s 3), disputes about compliance, covenants, contracts, property rights and trust obligations are enforced through ordinary civil litigation avenues. Litigation about whether the statutory vesting has occurred or is effective is dealt with in courts and by the Registrar of Titles’ registration processes.

• Registrar of Titles’ administrative discretion as a gatekeeper: For land on the Torrens register, the Registrar of Titles is to give effect to vesting by registering the statutory corporation as proprietor "upon application made to him in that behalf and proof to his satisfaction of the facts relating thereto and on payment of the necessary fees" (s 4(2), repeated in s 7(2)). That confers an administrative testing point: if the Registrar is not satisfied, registration may be delayed or refused; disputation about sufficiency of proof or whether the statutory preconditions were met may lead to court proceedings.

• Registrar of Companies filings as a condition precedent: Incorporation of other churches hinges on filing required documents with the Registrar of Companies (s 6(1)(d)-(e)). Any failure in the accuracy or sufficiency of these filings may prevent statutory incorporation, and disputes about the veracity of clerk and treasurer certifications could be litigated or subject to rectification applications.

• Trust protection preserved: Where property is subject to trust the Act obliges the church to carry out the trust in accordance with the trust deed or instrument (s 2(4)). If trustees or the corporation fail to carry out trust obligations, beneficiaries or interested parties retain their ordinary trust law remedies (injunctions, damages, equitable relief) enforced by courts. The Act’s preservation of trust obligations inserts trust law enforcement as a complementary mechanism.

Implementation and enforcement risks

• Administrative delays and proof standards: The Registrar of Titles must be "satisfied" of the facts; that subjective standard can cause delay and thus spawn disputes. The Act does not stipulate documentary standards or timelines for the Registrar’s action beyond the payment of fees (s 4(2), s 7(2)), increasing implementation risk.

• No statutory oversight, audit or reporting trigger: Because the Act imposes no statutory audit or reporting obligations, enforcement of internal governance relies on members enforcing by-laws, and external enforcement relies on civil suits or trust law remedies. The result is that non‑compliance with internal governance rules typically becomes a member dispute rather than a public enforcement action.

• Reliance on The Mother Church's certification: For new incorporations, a certificate under the seal of The Mother Church is required (s 6(1)(b)). Disputes over the validity, authenticity or content of such a certificate could hold up incorporation and may require evidentiary proceedings in court to resolve, particularly because The Mother Church is overseas and the Act accepts its certification as a condition precedent.

Because enforcement is vested in normal civil mechanisms and registration procedures rather than statutory sanctions, those with standing (members, trustees, beneficiaries, contracting parties) are the primary actors who will enforce the Act’s provisions in practice. The Act itself channels enforcement into registrarial and judicial processes rather than an internal public regulatory regime.

The Act explicitly cross‑references and operates alongside other laws, and it implicitly leaves certain contemporary regulatory interactions to be resolved outside the text. Specific statutory interactions and legal contexts to note, as contained in the text:

• Associations Incorporation Act 1895: The Act expressly removes First Church from incorporation under the Associations Incorporation Act 1895 by deeming the existing body to cease to be incorporated under that Act and to be incorporated under this Act instead (s 2(1); preamble (b)). The effect is a shift of statutory regime for First Church from the generic associations regime to a bespoke statutory corporate form. The Act does not repeal the Associations Incorporation Act or alter its application to other associations; it simply withdraws First Church from that earlier framework.

• Transfer of Land Act 1893: For land recorded under the Transfer of Land Act, the Act requires the Registrar of Titles to register the statutory corporation as proprietor upon application and proof to the Registrar’s satisfaction and payment of fees (s 4(2), s 7(2)). This cross‑reference integrates the statutory vesting with the Torrens title system, but it places procedural proof and satisfaction obligations on the Registrar. Practitioners must therefore interact with the Transfer of Land Act and the Registrar of Titles’ procedures when effecting the vesting in registered land.

• Companies Act 1943 / Companies (Co‑operative) Act 1943 , Registrar of Companies: The Act requires filing certain documents with the Registrar of Companies when a local church seeks incorporation under the Act (s 6(1)(d)-(e)). The notes clarify that at commencement “Registrar of Companies” was an office created by the Companies Act 1943 and that Act is now cited as the Companies (Co‑operative) Act 1943 (footnote 2). Practically, this means filings must be made with the contemporary office that succeeded the historical Registrar of Companies, and practitioners should check which entity currently performs that function.

• Trust law principles: The Act preserves and enforces trust obligations affecting church property: where property is subject to trust the corporation must carry out the trust deed or instrument (s 2(4)). Consequently, the Act operates in tandem with general trust law; trustees and beneficiaries will rely on equitable remedies under trust law when disputes arise.

• Common law and civil procedure: The Act expressly preserves the continuity of legal identity and the capacity for existing legal proceedings to be continued or commenced against the corporation (s 3). Therefore normal civil procedure and common law rules about standing, remedies, contract and tort continue to apply to the corporation.

• Procedural law governing notices and meetings: The Act prescribes meeting notice requirements (s 8). Those procedures must be read alongside any general rules of evidence, postal service reliability, company or association rules (if applicable), and the organisation’s by‑laws which may add further procedural detail (s 2(2), s 2(3)).

Matters the Act does not directly address, which create cross‑statutory interaction issues in practice

• Charity regulation and reporting: The Act contains no provisions about registration as a charity, reporting to a charity regulator, or tax concessions. The Act therefore does not itself establish compliance with any modern charity regulatory regime. Whether incorporated churches must separately register with Australian national or State charity regulators, comply with taxation law, or meet reporting obligations is not covered by this text and requires reference to contemporary Commonwealth or State laws outside the Act.

• Modern corporations or associations regulation: The Act creates a unique statutory corporate form. It does not say whether modern corporations legislation or associations legislation applies to it in whole or in part, nor does it create an obligation to re‑register under contemporary corporate statutes. Practitioners must therefore consider the interaction of this bespoke statutory body with current corporate and associations regulatory regimes in force today.

• Foreign certification and private law: The requirement that The Mother Church certify the bona fides under its seal (s 6(1)(b)) introduces an extrastatutory link to an overseas body. That creates potential interactions with laws governing foreign documents, evidence and apostilles when proving authenticity in a WA registry or court, though those processes are not set out in the Act.

In practical terms, the Act sits alongside the Transfer of Land Act, trust law and registration processes and draws on historical administrative offices for filings. It does not create or displace modern statutory regimes for charities, taxation or corporate regulation; compliance with those other bodies of law will require separate attention beyond the scope of this statute.

The compilation table and notes in the provided text set out the statute’s enactment and a formatting amendment. The Act’s legislative timeline as recorded in the compilation material is:

• Enactment: The Churches of Christ, Scientist, Incorporation Act 1961 (No. 13 of 1961) received assent on 20 October 1961 and commenced the same day (compilation table). The Act as presented is the original principal Act establishing incorporation and the mechanisms described in the body of the text.

• Reprint and standardisation: The statute was reprinted as at 13 December 2002 (compilation table). A later, technical amendment occurred under the Standardisation of Formatting Act 2010 (No. 19 of 2010), s 11, which made formatting and heading changes (as indicated by bracketed notes next to the First and Second Schedules headings). The Standardisation of Formatting Act’s amendment was assented to on 28 June 2010 and commenced on 11 September 2010 (compilation table). The textual notes indicate headings for the First and Second Schedules were inserted by that technical amendment (notes at Schedules).

• Registrar of Companies historical note: Footnote 2 records that at commencement the Registrar of Companies was an office created under the Companies Act 1943, which is now cited as the Companies (Co‑operative) Act 1943. This is not a direct amendment of substance to the Act but is a contextual note about the historical identity of an office referenced for filing requirements (s 6(1)(d)-(e)).

No other amendments, repeals or substantive changes are recorded in the supplied compilation table. The compilation table does not list any later substantive legislative amendments that change the Act’s operative provisions on incorporation, property vesting, governance or certification; only a formatting standardisation is recorded. Readers should therefore treat the Act’s substantive mechanics as those set out in the 1961 text subject to formatting updates in 2010.

Practical implications of this amendment history

• The Act has retained its original substantive structure since 1961, with only formatting adjustments in 2010 recorded in the provided compilation notes. If practitioners seek to rely on or challenge provisions, they should confirm whether any subsequent amendments post‑dating the compilation extract exist in the WA consolidated statutes or reprints.

• Office and registry references may have migrated over time. For example, the Registrar of Companies reference predicated on the Companies Act 1943 is historically contextual; contemporary filing routes and responsible offices may now be different. The statutory text itself has not been substantively modernised to reflect changes in registry architecture beyond the formatting exercise.

• Because the Act predates more recent frameworks for charities, corporations and trustee regulation, its lack of modern oversight mechanisms reflects its original drafting era rather than a deliberate omission relative to current regulatory expectations. That history is material for compliance decisions today because practitioners must map the Act’s static provisions onto a changed legal and administrative environment.

In sum, the Act’s amendment history recorded here indicates limited substantive change since enactment, with only formatting updates noted, and the historical context for certain office titles provided as a footnote.

The provided text of the Act contains no judicial decisions, case annotations or references to litigation, and it does not name any court cases. The schedules, preamble, operative sections and compilation notes do not record any litigation history or judicial interpretation. Therefore, within the source document there is no statutory record of cases that have interpreted these provisions.

Implications for research and practice

• Absence of reported litigation in the statute text means that practitioners cannot rely on the Act’s own margins or footnotes to locate statutory interpretation or administrative decision precedent. To find how courts have treated any aspect of the Act (for example, disputes over the sufficiency of filings under s 6, claims about trust compliance under s 2(4), or contestation of Registrar of Titles’ satisfaction under ss 4(2) and 7(2)), one must search external legal databases, court records, and contemporary annotations beyond the printed Act.

• Likely areas that could give rise to litigation, based on the Act’s mechanics, include challengers disputing whether a body met the s 6 incorporation conditions (existence for six months, required membership composition, the validity of The Mother Church certificate), disputes about the automatic vesting of trust property (s 4(1), s 7(1)), disagreements over whether the Registrar of Titles was satisfied and therefore properly registered vesting (ss 4(2), 7(2)), internal member disputes about compliance with by‑laws or execution formalities (s 2(3), s 2(6)-(7)), and trust law disputes where trust provisions are engaged (s 2(4)). The Act’s silence on enforcement and penalties suggests that such matters would be litigated as private disputes within ordinary civil law processes.

• Because the Act introduces a foreign documentary certification requirement (s 6(1)(b)) it also creates scope for evidentiary litigation over authenticity, agency and the effect of foreign seals where The Mother Church’s certification is challenged, or where the overseas body declines to certify. Any litigation in that domain would likely engage rules of evidence and foreign document authentication.

Next steps for practitioners seeking litigation history

• Search case law databases (State and Federal), the WA Law Reports, and Registrar of Titles decisions for cases involving the Act. Focus searches on keywords like "Churches of Christ, Scientist, Incorporation Act 1961", "First Church of Christ Scientist Perth", "vesting under s 4", "Registrar of Titles", and "certificate under seal of The Mother Church".

• Check local administrative and tribunal decisions where registration disputes or property disputes concerning church land might have been decided outside conventional courts.

Until such external research is performed, the Act’s text itself provides no internal litigation history to draw upon; any practical legal advice or litigation strategy must therefore begin with an external case law search.

This section identifies practical pitfalls and operational risks that emerge from the Act’s text and mechanics. Each item cites the relevant provisions and explains the concrete mechanism that creates the risk.

1. Reliance on an overseas body for certification (s 6(1)(b))

   • The Act requires a written certificate of bona fides under the seal of The Mother Church in Boston for any prospective local church to incorporate under the Act (s 6(1)(b)). That means an overseas entity’s seal and signature are a statutory precondition. If The Mother Church refuses, delays, or changes its documentary practices, a local congregation cannot satisfy a key condition and cannot obtain statutory incorporation. Practical consequences include dependency on foreign procedures, potential authentication steps for foreign documents, and evidentiary hurdles if the seal’s validity is questioned.

2. High membership and composition thresholds for incorporation (s 5; s 6(1)(a))

   • A local body must have at least 16 persons and at least four members of The Mother Church among them (s 5). These numeric thresholds are binding preconditions. Small congregations and nascent groups will be excluded until they meet the thresholds; this can inhibit informal or new community arrangements from obtaining the statutory benefits of incorporation.

3. Automatic statutory vesting, with trustee implications (s 4(1), s 7(1))

   • The Act vests property held in trust in the corporate body without conveyance (s 4(1), s 7(1)). For trustees and beneficiaries this can change legal title and practical control rapidly, with possible friction if trustees believed their role continued in the same manner. Trustees must ensure trust instruments are aligned with the corporation’s powers, and beneficiaries should understand how vesting affects trust administration.

4. Registrar of Titles’ satisfaction is a discretionary gate (s 4(2), s 7(2))

   • Registrar action requires proof "to his satisfaction" and payment of fees (s 4(2), s 7(2)). There is no statutory schedule or prescribed documentary checklist in the Act. That invites administrative delay and potential challenge if the Registrar demands non‑statutory evidence or takes time to resolve the application.

5. No express statutory dissolution or redistribution mechanism in the text

   • The Act does not set out procedures for winding up, dissolving the corporation or distributing surplus assets. The absence of a statutory winding‑up or dissolution schedule means such actions must be undertaken under general law or by reference to by‑laws, trust instruments and external statutes; this can create uncertainty about the rights of creditors, members and beneficiaries on closure.

6. No mandatory statutory financial reporting or external audit requirement (s 2(2)(d),(e))

   • While the Act permits by‑laws to provide for keeping accounts and appointment of auditors (s 2(2)(d),(e)), it does not impose a statutory requirement to keep accounts or to have external audits. This creates potential for limited transparency unless the church’s by‑laws impose stricter rules; external stakeholders (donors, beneficiaries) may face difficulty accessing financial information.

7. Meeting notice formalities are old‑style and postal only (s 8(1))

   • Required notice must be forwarded by post at least 14 days before the meeting (s 8(1)). The Act contains no provision for electronic notice or shorter notice periods. In practice, reliance on post can lead to problems if membership is dispersed or if postal delivery is unreliable; conducting valid meetings requires strict compliance with the postal notice requirement.

8. Sealing formalities add execution friction (s 2(6)-(7))

   • The seal may be affixed only by a majority resolution of the Executive Board and in the presence of two Board members and the chairman or clerk, all required to sign the sealed document (s 2(6)-(7)). This makes execution of sealed documents more administratively demanding and may create delays for time‑sensitive transactions.

9. Doctrinal conformity and internal membership disputes (preamble, s 2(1), First Schedule)

   • The Act predicates membership and eligibility for incorporation upon acceptance of the tenets in the First Schedule and adoption of the Manual. Disputes about who qualifies as a member in doctrinal terms could become internal governance disputes that the Act does not provide a statutory adjudication route for; they will instead be litigable as internal disputes.

10. Potential mismatch with modern charity and corporate regulation (silence in Act)

• The Act does not address registration under modern charity regimes, taxation, or contemporary corporate governance standards. That silence may lead to compliance oversight if practitioners assume the Act alone satisfies all statutory obligations. External laws may impose additional obligations absent from the Act.

11. Unclear interaction with trust instrument terms and subsequent encumbrances (s 2(4), s 2(4) second part)

• The Act permits the Church to sell, grant, transfer, mortgage or otherwise encumber property (s 2(4)) but also states that where property is subject to a trust the trust provisions must be carried out. Potential conflicts between a trustee’s duties and the corporation’s power to encumber property require careful reconciliation to avoid breaching trust terms.

Each of these "gotchas" is grounded in an express provision or in the Act’s silence about an issue that, in practice, creates implementation risk. Practitioners should not treat the Act as a turnkey governance code; its operation depends on by‑laws, external filings and registrarial cooperation, and on interactions with trust and title law.

This section provides a practical checklist for actions, filings and governance steps the Act requires or makes prudent. The compliance steps are drawn from the statute’s text; where the Act is silent the measures suggested are conservative operational practices to bridge the statutory gaps.

A. For First Church on commencement (status already altered by statute)

1. Corporate identity and records

   • Record and retain the Act’s declaration changing incorporation status (s 2(1)) as documentary proof of corporate identity. Preserve archives reflecting the transfer from Associations Incorporation Act 1895 status to being "deemed to be incorporated under this Act."

2. Property vesting registration (registered land)

   • To give effect to the statutory vesting of the Second Schedule land and other registered land, apply to the Registrar of Titles with proof of the facts and pay the necessary fees, as required by s 4(2). The Registrar must be given documentation sufficient for the Registrar to be satisfied of the vesting facts. Practical steps: prepare certified copies of the Act and any trust instruments, provide a s 4(2) application form, and pay fees.

3. By-laws and governance

   • Convene a members’ meeting in compliance with s 8 (14 days’ written notice by post specifying the resolution wording and the proposers/seconders) to adopt by‑laws covering the topics listed in s 2(2) (membership, officers, readers, librarians, Sunday School superintendents, accounts and records, auditors, meetings, custody of property, execution of documents, authorisation of expenditure, amendment and remuneration). Ensure a three‑quarters vote of members present if the by‑laws are the type of resolution requiring that threshold (s 8(3)).

4. Appoint the Executive Board and officers

   • Under by‑laws, appoint an Executive Board to administer the Church’s affairs (s 2(5)). Record appointment minutes, and set procedures for the Board to authorise use of the common seal in accordance with s 2(6)-(7).

B. For a body seeking incorporation under the Act (new churches)

1. Membership and preliminary existence

   • Ensure the body has existed for at least six months prior to the resolution date (s 6(1)(a)), and that the membership comprises at least 16 persons including at least four members of The Mother Church (s 5). Document membership lists and attendance records to prove existence and composition when filing.

2. Obtain The Mother Church certification

   • Request and obtain a written certificate of bona fides under the seal of The Mother Church (s 6(1)(b)). Given the overseas element, prepare for potential authentication (e.g. apostille or statutory declaration about foreign documents) when presenting the certificate to a WA office, and retain original sealed documentation.

3. Convene the special meeting correctly

   • Call a special meeting convened as provided in s 8: deliver written notice by post at least 14 days before the meeting, include the exact resolution wording and names of proposers/seconders (s 8(1)-(2)). At the meeting, secure a three‑quarters vote of members present to carry the resolution (s 8(3), s 6(1)(c)). Record minutes and have the chairman certify that the meeting was duly convened and the resolution passed by the requisite majority (s 6(1)(d)).

4. Prepare and file documents with Registrar of Companies

   • File with the Registrar of Companies: a copy of the resolution, the chairman’s certificate stating due convening and voting (s 6(1)(d)), a copy of the body’s rules, and a statement certified by the clerk and treasurer listing real and personal property and trustees and stating objects and purposes of any trusts (s 6(1)(d)-(e)). Note the historic reference to the Registrar of Companies; confirm the contemporary registry that acts in that capacity and the required filing format.

5. Effect statutory incorporation and register land

   • Once the conditions are complied with, the body becomes a body corporate under the Act (s 6(2)). For land registered under the Transfer of Land Act, apply to the Registrar of Titles with proof and pay fees to have the body registered as proprietor in accordance with s 7(2). Prepare documentary evidence to satisfy the Registrar of Titles.

C. Governance and operational compliance for all incorporated churches

1. Draft by-laws carefully and follow by-law adoption rules

   • Adopt by-laws that address the list in s 2(2). Ensure every by-law or amendment is adopted at a meeting convened under s 8 with the required notice and three‑quarters approval (s 2(3), s 8). Keep minute books and member attendance records to evidence valid resolutions.

2. Keep accounts and appoint auditors where provided for by by-laws

   • Although the Act does not mandate statutory audits, include provisions for accounts and the appointment of auditors in the by-laws to provide transparency and mitigate member disputes (s 2(2)(d)-(e)). Keep books of account and financial records consistent with good practice.

3. Execution of documents and seal usage

   • Follow s 2(6)-(7) when affixing the common seal: ensure a majority resolution of the Executive Board authorises sealing and have two Board members and the chairman or clerk present to sign. For unsealed documents, consider whether the by-laws permit signature by the chairman and another officeholder to avoid frequent sealing formalities.

4. Trust compliance

   • Where property is subject to trust, ensure that the corporation complies with trust deed provisions (s 2(4)). Maintain records of trustee names, trust instruments and the purposes of trusts as required for filings and internal governance.

5. Recordkeeping and registrations

   • Archive copies of the Act, all by‑laws, minutes, member lists, trustee lists, audited accounts (if any), and all filings made with the Registrar of Companies and the Registrar of Titles. Retain original certificates from The Mother Church and any supporting foreign document authentication.

D. Practical risk mitigation and administrative housekeeping

1. Confirm the correct registry offices and procedures

   • The Act references historical registry offices. Prior to filing, confirm the current entity and submission format for the Registrar of Companies function and any modern equivalents; confirm the Registrar of Titles’ documentary evidence expectations and fee schedules for s 4(2) and s 7(2) vesting applications.

2. Anticipate foreign document authentication requirements

   • Have a plan for authenticating and proving The Mother Church’s certificate, including consideration of apostilles, certified translations, or statutory declarations where necessary.

3. Member communications and postal notices

   • Implement reliable postal processes to meet the 14‑day notice requirement in s 8(1). To mitigate postal delay, send notices well in advance and keep proof of mailing; consider by-laws that preserve the statutory notice standard while allowing additional modern communication with members.

4. Reconcile trust instruments with corporate powers

   • Review existing trust deeds and instruments relating to property to ensure that vesting in the corporation and any intended future encumbrances are compatible with the trust terms. Where amendments are needed, seek trustee or beneficiary agreement and legal advice.

5. Legal review for ancillary obligations

   • Because the Act does not address taxation, charity registration, or contemporary corporate regulatory requirements, undertake a legal review of obligations under Commonwealth taxation law, charity registration regimes and any State registration that may apply to incorporated religious bodies.

This compliance checklist follows the Act’s explicit requirements and fills practical gaps with conservative, evidence‑based administrative steps. Where the Act is silent on contemporary obligations, practitioners should check the relevant modern statutory regimes and registry practice directions.
