Chemistry Centre (WA) Regulations 2007

Strategic development plan (regulations 3-10): A five-year plan covering the Centre’s medium to long-term objectives. Its mandatory content is listed in regulation 4(2) and includes strategic objectives, operational targets, market environment analysis, risk assessment, community service obligations, financial and personnel requirements, capital expenditure, asset management, commercial strategies, pricing principles, revenue projections, customer service arrangements, and compliance with government policies. The plan must be agreed between the Board and the Minister, with the Treasurer’s concurrence.

Statement of corporate intent (regulations 11-18): A one-year document that must be consistent with the strategic development plan. Its content (regulation 12(3)) includes major initiatives, planned achievements, performance measures, non-profit activities, fee-free activities and their costing, community service obligation costing and compensation, pricing, operating income and expenditure, capital expenditure and borrowing (in outline), dividend policy, and a report on performance against the previous statement. The Minister may exempt the Centre from including any listed matter. The agreed statement must be laid before Parliament, unless the Board successfully requests deletion of commercially sensitive information.

Board: The governing body of the Chemistry Centre (established under the parent Act). The regulations impose duties on the Board to prepare drafts, comply with Ministerial requests and directions, and seek agreement.

Minister: The responsible minister (presumably the Minister for Science or similar). The regulations grant the Minister powers to request reconsideration of drafts, direct modifications, agree to plans and statements, and approve or direct modifications to agreed documents. However, the Minister cannot agree to or direct modifications without the Treasurer’s concurrence.

Treasurer: Defined in regulation 2 as “the Treasurer of the State”. The Treasurer has a veto over the Minister’s agreement to any draft or modification, but the regulations do not impose any duty on the Treasurer to act within a particular timeframe or give reasons.

Latest draft plan / latest draft statement (regulations 7 and 15): A fallback concept. If the Board and Minister have not reached agreement before the start of the financial year, the last draft submitted (including any modifications directed by the Minister) becomes the operative plan or statement for that year until a formal agreed document is secured. This creates a default that may bind the Centre to a plan the Board may consider incomplete or contrary to its commercial judgment.

Concurrence: A requirement that the Treasurer must agree before the Minister can agree to a draft or direct a modification. This is found in regulations 10 and 18. It is a hard constraint: without the Treasurer’s concurrence, neither the Board nor the Minister can finalise a plan or change it.

These concepts together define a governance model where the Board proposes but the executive (Minister plus Treasurer) disposes. The regulations do not define “commercially sensitive” or set criteria for the Minister’s exemption power under regulation 12(4), leaving considerable discretion. Similarly, “community service obligations” appear as a required content item but are not defined in these regulations; their meaning likely comes from the parent Act or government policy.

The regulations directly affect the Board and management of the Chemistry Centre. The Board must allocate staff and financial resources to prepare two substantial planning documents each year, with the first draft due six months before the financial year. This imposes a recurring administrative burden that cannot be delegated away or avoided. Board members face personal exposure if they fail to comply with a ministerial direction or miss a statutory deadline, because the regulations do not provide for alternative processes or grace periods. For management, the constant cycle of drafting, negotiating, and potentially implementing a plan imposed by the Minister (if agreement is not reached) reduces the autonomy to adjust strategy in response to changing market conditions. The regulations require the plan to cover “the market environment” and “significant issues and trends”, yet the Board must then cede control over the final document to the Minister and Treasurer, who may have different commercial or political priorities.

The Minister and Treasurer are affected because they must invest time in reviewing drafts and exercising powers. The regulations impose no deadline on the Treasurer to give or withhold concurrence, creating a risk of delay that could push the process past the start of the financial year, triggering the fallback provisions. The Minister must consult with the Board before directing a modification (regulations 9(3) and 17(3)), but not before returning a draft for reconsideration. This consultation requirement adds a procedural step that would not exist if the Minister could simply direct without consultation.

Parliament is affected because it receives copies of the statement of corporate intent. However, the ability to delete commercially sensitive material means the public record may be incomplete, and parliamentarians cannot see the full picture of the Centre’s intended activities.

Private businesses and competitors are indirectly affected. The strategic development plan must cover “the nature and extent of commercial and competitive strategies” and “charging for goods and services”. If that information becomes known (via parliamentary tabling or leaks), it could give private competitors an advantage or, conversely, allow the Centre to signal its intentions in a way that distorts competition. The regulations provide no mechanism for private sector input or challenge.

Customers and the community are affected because the plan sets out pricing principles, community service obligations, and service arrangements. If the Minister or Treasurer imposes a plan that prioritises cost recovery over community access, or vice versa, the effects flow through to users. But no stakeholder has a right to be consulted.

Overall, the regulations concentrate power in two elected officials (the Minister and the Treasurer) over the operational strategy of a technical agency. The Board’s role becomes largely procedural: to draft and implement, not to decide.

The Board is subject to numerous duties under the regulations. The primary duty is to prepare and submit a draft strategic development plan and a draft statement of corporate intent in each financial year, no later than six months before the start of the next financial year (regulations 3 and 11). For the first year of operation, the drafts must be submitted “as soon as is practicable”. The Board must also comply with a request from the Minister to “consider or further consider any matter” and deal with it in the draft (regulations 6(2) and 14(2)). If the Minister gives a written direction to take specified steps or make specified modifications (under regulations 6(3) or 14(3)), the Board must comply “as soon as is practicable”. Similarly, the Board must comply with a ministerial direction to modify an agreed plan or statement (regulations 9(2) and 17(2)). The duty to comply is absolute: there is no exception for commercial hardship, impracticality, or conflict with the Board’s fiduciary duties under the parent Act.

The Board has the right to try to reach agreement with the Minister (regulations 5 and 13). It can also request the Minister to delete commercially sensitive material from the copy of the statement of corporate intent that is to be laid before Parliament (regulation 16(3)). However, the Minister “may” comply with that request, so it is no more than a right to ask. The Board may also request modifications to an agreed plan, but only with the Minister’s agreement (regulations 9(1) and 17(1)). The Board has no unilateral right to modify or depart from an agreed plan.

The Minister has a duty to consult the Board before giving a direction to modify an agreed plan or statement (regulations 9(3) and 17(3)). This consultation duty does not apply to the initial draft process; the Minister can return a draft for reconsideration without any prior discussion. The Minister also has a duty, within 14 days of agreeing to a statement of corporate intent, to cause a copy to be laid before each House of Parliament (regulation 16(2)). The Minister may delete commercially sensitive information if the Board requests it, but the Minister is not obliged to do so; nor is the Minister obliged to give reasons for refusing.

The Minister must not agree to a draft plan or statement, or direct a modification, without the Treasurer’s concurrence (regulations 10 and 18). This duty restricts the Minister’s otherwise broad discretion. The regulations do not impose any corresponding duty on the Treasurer to respond in a timely manner or to give reasons.

The Treasurer’s only explicit role is the power of concurrence. The Treasurer has no duty to act within a timeframe, nor any obligation to consult. The Treasurer could block agreement indefinitely, leaving the fallback plan in place for the entire financial year.

The Board’s rights are thus largely procedural and subject to ministerial discretion. The regulations do not grant the Board a right to appeal a direction or a refusal to agree. The only check on ministerial power is the concurrence requirement, which adds a second political actor.

The regulations themselves specify no penalties. There is no fine, no imprisonment, and no administrative sanction expressed in the text. Enforcement therefore depends on the parent Act (the Chemistry Centre (WA) Act 2007) and general law. The Board’s duties are statutory obligations; failure to prepare and submit a draft on time, or failure to comply with a ministerial direction, could constitute a breach of duty by Board members. Depending on the parent Act, this could lead to removal of directors, civil proceedings by the Minister, or potentially an action for misfeasance in public office. But these consequences are not set out in these regulations, creating ambiguity about what happens if the Board simply refuses to draft or comply.

The practical enforcement mechanism embedded in the regulations is the fallback plan scheme. If the Board and Minister cannot agree, the latest draft (including any modifications the Minister has directed) becomes the operative plan. This means the Board cannot stall indefinitely: a plan will always be in force, whether the Board likes it or not. That fallback likely reduces the Board’s incentive to delay or obstruct, because the result is a plan imposed without the Board’s agreement. But it also means the Board could be bound to implement a plan it never formally agreed to, raising questions about accountability.

The Minister has no power under these regulations to levy a monetary penalty or to sue the Board. Enforcement likely relies on the Minister’s ability to direct the Board (with mandatory compliance) and, ultimately, to recommend to the Governor that the Board be dismissed under the parent Act. For the Treasurer, the power to withhold concurrence is a purely negative check; the Treasurer cannot initiate a draft or direct the Board directly.

Because the regulations are silent on enforcement, the practical check is political and reputational. Board members who flagrantly ignore directions may face removal, but the regulations do not provide a clear escalation path. This uncertainty may itself be a compliance burden: Board members must err on the side of caution to avoid personal liability, even if they believe a direction is commercially unsound.

The only mandatory obligation on the Minister is to lay the statement before Parliament. Failure to do so would be a breach of the regulations, but again no penalty is specified. The Parliament could compel compliance through its own procedures, but that is external to these regulations.

These regulations are made under the Chemistry Centre (WA) Act 2007 and must be read with that Act. The regulations refer to section 36 of the Act in relation to the tabling procedure (regulation 16(2)), and the note to regulation 1 states that the regulations take effect on the day section 40 of the Act commences. The parent Act likely establishes the Chemistry Centre, defines its functions, sets up the Board, and provides for ministerial oversight. The regulations fill in the procedural details for strategic planning and corporate intent. Any inconsistency between the regulations and the Act would be resolved by the Act prevailing.

The regulations interact with the Interpretation Act 1984 via the note to regulation 1, which refers to section 25(3) for commencement rules. This is a standard cross-reference.

The requirement in the strategic development plan to include “compliance with relevant government policies” (regulation 4(o)) creates an interaction with any applicable government policy not stated in the regulations. That means the plan must conform to policies that may change without amendment to the regulations. This injects a degree of external dynamic control; the Board must monitor policy changes and adjust its draft accordingly.

The pricing principles and strategies required by regulation 4(l) may interact with competition law (e.g., the Competition and Consumer Act 2010 (Cth)), if the Chemistry Centre’s pricing behaviour could affect a market. Similarly, the community service obligations provisions (regulation 4(e), 12(g)-(h)) may interact with state procurement or subsidy rules. The regulations do not explicitly reference these laws, but the content requirements force the Board to confront them in the planning documents.

The regulations do not purport to override any other laws. They operate within the existing legal framework. However, by requiring the Board to obtain the Minister’s agreement and the Treasurer’s concurrence for any modification to a plan, the regulations could constrain the Board’s ability to respond to new legal obligations during the financial year. For example, if a new safety regulation imposes capital expenditure not in the agreed plan, the Board would need to seek a modification, which requires Ministerial agreement and Treasurer concurrence. The regulations contain no emergency or urgent modification process.

There is no reference to the Financial Management Act 2006 or the Public Sector Management Act 1994, though those Acts may also impose duties on the Board. The regulations do not coordinate with those frameworks, adding to compliance complexity.

According to the compilation table, the Chemistry Centre (WA) Regulations 2007 were gazetted on 27 July 2007 and commenced on 1 August 2007. The compilation table shows no amendments. The regulations have remained unchanged since their commencement. This lack of amendment may indicate either that the regulatory framework has been stable and satisfactory to all parties, or that no political appetite or administrative priority has existed to update it. Given the regulations are entirely procedural and impose a fixed annual cycle, the absence of amendments means deadlines, content requirements, and approval processes have not been adjusted for nearly two decades. Practices such as electronic communication, different financial year cycles, or changes in the Centre’s commercial environment are not reflected.

The note to regulation 1 indicates the regulations took effect on the day section 40 of the parent Act commenced. That provision in the Act likely brought the regulations into force. Since 2007, the parent Act may have been amended, but these regulations have not been correspondingly amended. That could create gaps or inconsistencies if the Act has changed the Board’s structure, functions, or reporting obligations. Without an amendment, the regulations may still refer to outdated provisions of the Act (e.g., the section 36 tabling requirement). Users should check the current version of the Act.

The compilation table is dated but shows only one citation. There is no evidence of subsidiary amendments, reprints, or corrigenda. The regulations appear to be in their original form.

The source text provides no information about litigation. There are no cases cited in the regulations, no discussion of court decisions, and no schedule listing legal proceedings. It is reasonable to infer that there has been no reported litigation specifically concerning these regulations. That is not surprising: the regulations are procedural and involve only internal government processes. A private party would likely lack standing to challenge a ministerial direction or the Board’s compliance. Judicial review of a ministerial decision might be theoretically possible, but such a challenge would be brought under administrative law principles, not under these regulations. The regulations themselves do not create a private right of action.

If litigation were to arise, it would most likely involve a Board member seeking a declaration that a ministerial direction is invalid (e.g., for failure to consult before a modification direction, or because the Treasurer’s concurrence was not obtained). The regulations require the Minister to consult before directing a modification to an agreed plan (regulations 9(3) and 17(3)), but not before directing modifications to a draft during the negotiation phase (regulations 6(3) and 14(3)). A failure to consult on an agreed plan could be grounds for judicial review. The requirement that the Minister act with the Treasurer’s concurrence is also a jurisdictional condition; an agreement or direction given without concurrence would likely be ultra vires.

There is no record of such challenges in the source. The absence of litigation may reflect the fact that the Board is a government entity with little incentive to sue its own Minister, or that informal resolution occurs before disputes reach court. Practitioners should be aware that the regulations have been operational for many years without public contestation, but that does not preclude future challenges if the Minister overreaches.

Several provisions create traps for the unwary Board or adviser.

The first trap is timing. Regulation 3(2) requires the draft strategic development plan to be submitted no later than six months before the start of the next financial year. If the financial year starts on 1 July, the draft must be submitted by 1 January. Regulation 11(2) has the same deadline for the statement of corporate intent. Missing that date is a breach, and the regulations do not allow the Minister to extend it. The Board cannot rely on a “reasonable time” standard; the deadline is absolute.

The second trap is the fallback provision. If agreement is not reached before the start of the financial year, the “latest draft plan” or “latest draft statement” becomes operative (regulations 7 and 15). This is defined as the draft last submitted, with any modifications the Minister has directed. If the Board has been resisting the Minister’s suggestions, the fallback could lock in a plan that includes directions the Board opposes. The Board cannot simply withdraw its draft; the latest submision is frozen. The Board’s negotiating strategy must account for the risk that the fallback may be worse than agreeing earlier.

The third trap is the Treasurer’s concurrence (regulations 10 and 18). The Minister cannot agree to a plan or direct a modification without the Treasurer’s concurrence. There is no time limit on the Treasurer. The Minister might informally agree to a draft, but if the Treasurer later refuses concurrence, the agreement is void. Any reliance on an agreed plan before formal concurrence is risky.

The fourth trap is the content requirements. Regulation 4(2) lists 16 categories (a) to (p) that the strategic development plan must cover. Regulation 12(3) lists 14 categories (a) to (n) for the statement of corporate intent. These lists are mandatory unless the Minister exempts the Board from including any matter (regulation 12(4)). A Board that omits a listed item without an exemption has breached the regulations. The exemption power is discretionary, so the Board cannot assume it will be granted.

The fifth trap is the prohibition on unilateral modification. Once a plan or statement is agreed, the Board cannot modify it without the Minister’s agreement (regulations 9(1) and 17(1)). The Minister can direct modifications, but the Board cannot. If market conditions change rapidly, the Board may be stuck with an outdated plan until the next annual cycle, unless the Minister agrees to a change. There is no provision for interim or emergency updates.

The sixth trap is the commercial sensitivity deletion (regulation 16(3)). The Board may request deletion of commercially sensitive information from the statement of corporate intent before it is tabled in Parliament. But the Minister “may” comply; it is not a right. The Board cannot force the Minister to delete. If the Minister declines, sensitive information becomes public, potentially harming the Centre’s competitive position. The regulations do not define “commercially sensitive” or provide a review mechanism.

The seventh trap is that the regulations do not state whether the strategic development plan is also tabled in Parliament. Only the statement of corporate intent is mentioned (regulation 16(2)). The strategic development plan is not required to be made public, which means the Board may have to operate under two documents: one public (the statement) and one potentially confidential (the plan). But the statement must be consistent with the plan, so confidential elements of the plan may still be inferred.

Compliance requires a structured annual cycle integrated into the Board’s calendar. The Board should identify the relevant financial year end and work backwards. For a 1 July to 30 June year, the draft strategic development plan must be submitted to the Minister by 1 January; the draft statement of corporate intent by the same date. The Board should begin preparing these drafts at least three months before the submission deadline to allow internal review, data collection, and Board approval.

The drafts must address every item listed in regulations 4(2) and 12(3). A checklist is essential. For the strategic development plan, the Board must cover strategic objectives, operational targets, market environment, risk analysis, community service obligations, financial and personnel requirements, capital expenditure, asset management, commercial strategies, pricing principles, revenue projections, customer service, and compliance with government policies. The Board should document the reasoning for each item in case the Minister asks for reconsideration.

For the statement of corporate intent, the Board must ensure consistency with the strategic development plan (regulation 12(2)). The statement must include major initiatives, planned achievements, performance measures, non-profit and free activities with costing, community service obligations and compensation, pricing, operating budgets, capital expenditure and borrowing (in outline), dividend policy, and performance against the previous statement. The Board should consider requesting an exemption from the Minister for any matter that is not relevant or is overly burdensome (regulation 12(4)). The request should be made early, in writing.

The Board should engage with the Minister and the Treasurer informally before submitting the drafts. The regulations require the Board and Minister to try to reach agreement (regulations 5 and 13); early consultation reduces the risk of the Minister returning the draft for reconsideration. The Board should keep a record of all communications and attempts to agree, as evidence of good faith.

If the Minister returns the draft requesting reconsideration of a matter, the Board must comply “as soon as is practicable” (regulations 6(2) and 14(2)). There is no specific deadline, but delay could lead the Minister to issue a direction. The Board should prioritise the response.

If the Minister gives a direction (regulations 6(3), 14(3), 9(2), 17(2)), the Board must comply “as soon as is practicable”. The Board has no right to refuse a direction on grounds of commercial detriment. However, if the direction purports to modify an agreed plan, the Minister must have consulted the Board before directing (regulations 9(3) and 17(3)). If consultation did not occur, the Board should document the lack of consultation and consider seeking legal advice on whether the direction is valid. But the regulations do not suspend the Board’s duty to comply while validity is tested; the Board may need to comply and challenge later.

The Board should monitor the Treasurer’s concurrence status. The Minister cannot give a valid agreement or direction without the Treasurer’s concurrence. The Board should request confirmation in writing that concurrence has been obtained. Relying on an agreement that lacks such concurrence is risky.

For the statement of corporate intent, the Board must anticipate tabling in Parliament. If any information is commercially sensitive, the Board should request deletion under regulation 16(3) at the time of submission, with reasons. The Board should have a backup plan if the Minister refuses.

Finally, the Board should maintain a compliance file documenting the entire process: drafts, correspondence, requests, directions, consultation records, and written confirmations of agreement and concurrence. This file will be critical if the Board’s compliance is questioned. Because the regulations have no penalty provisions, the primary risk is reputational or political, but a robust paper trail reduces exposure.
