Catchment and Land Protection (Register of Interests) Regulations 2016

The Regulations directly affect three groups: (1) Members of Catchment Management Authorities in Victoria; (2) "nominated officers" of those Authorities (likely senior staff designated by the Authority under the Act); and (3) any person who wishes to inspect the register of interests. For members and nominated officers, the Regulations impose a mandatory disclosure regime. Anyone appointed to such a position must complete a primary return using the Schedule 1 form, witnessed, and submit it to the Authority. They must then submit ordinary returns using Schedule 2 at intervals or events prescribed by the Act (the Regulations do not specify the timing; that is in the Act). Failure to submit a return in the prescribed form could mean the person is not complying with the Act, potentially exposing them to penalties under the Act. The catch-all "other substantial interest" item means that the person must exercise judgement about what might appear to raise a material conflict, creating legal uncertainty and a risk of inadvertent non-disclosure. The witness requirement adds a practical burden: the person must find someone to witness the signature, and the witness's details are not recorded on the form (only the signature and date). The Regulations affect family members indirectly, because interests of relatives (as defined in the Act) must be disclosed if the person is aware of them and they fall within the categories. This can create privacy tensions within families. For the broader public, the Regulations create a right to inspect the register, but only by completing the Schedule 3 application form. That form asks for the name of the person whose returns are to be inspected and requires stating reasons. The practical effect is that inspection is not automatic or free; it involves a bureaucratic step. The Regulations do not specify who in the Authority must receive the application, or a timeframe for processing. This could deter casual transparency and may favour those with resources to pursue an application. The Regulations do not apply to the general public as a class except those who choose to inspect. Conversely, they impose no obligations on the public or on businesses outside the Authority structure. However, any person whose interests are disclosed on the register (e.g., as a company in which a member holds shares) may find their association revealed, with potential commercial consequences.

The primary duty under the Regulations is to submit returns in the prescribed forms. For a primary return (Schedule 1), the person must provide their surname, given names, the name of the Authority, and details of registrable interests as at the date of the return. The form lists five categories: offices held; beneficial interests exceeding $2,000 in bodies; land interests (excluding security-only); trust interests involving relatives; and any other substantial interest. The person must sign and have the signature witnessed. For an ordinary return (Schedule 2), the same categories apply but with respect to the return period, and additionally the person must disclose gifts of $2,000 or more received from a non-relative. The ordinary return uses the past tense ("held", "received") consistent with reporting over a period. The duty to disclose extends to interests of "a relative" where the person is aware of them, but only for items 4, 5 (gifts) and 6. For items 1-3, only the person's own interests are required. This selective inclusion of relative interests creates potential gaps: a member might hold a beneficial interest in a trust that is not required to be disclosed unless a relative also has an interest. The duty to disclose "any other substantial interest" is subjective: it must be something "you ought reasonably to consider might appear to raise a material conflict between your private interest and your public duty". This imposes a standard of reasonableness, but gives no safe harbour. The person must second-guess how an observer might perceive the interest. This could lead to defensive over-disclosure (flooding the register with trivial items) or under-disclosure (if the person genuinely fails to see a conflict). The right of inspection is the counterpart duty on the Authority. Regulation 8 provides that an application to inspect the register is made in accordance with the regulations if it is in the form set out in Schedule 3. The Authority must then presumably allow inspection, but the Regulations do not say "the Authority must grant the application" or set a time limit. They only say the application is "made in accordance with the regulations" when using that form. This is a weak procedural safeguard; the Act's section 18M(2) likely gives the Authority some discretion to refuse inspection, and the Regulations do not constrain that discretion beyond the form requirement. The applicant has a right to apply, but not a guaranteed right to inspect. The applicant must state reasons, but there is no guidance on what constitutes a valid reason. This creates an opportunity for an Authority to deny inspection on grounds of insufficient reason, or to demand more information.

The Regulations themselves do not prescribe any penalties. They are purely prescriptive as to forms. Enforcement of the underlying duties to lodge returns and the accuracy of those returns arises under the Catchment and Land Protection Act 1994. The Regulations do not reproduce those provisions, so a reader must consult the Act to determine the consequences of non-compliance. Off-the-record knowledge (not from the source) suggests that failure to lodge a return, or lodging a false return, could be an offence under the Act with fines. The Regulations, however, create a potential enforcement trap: if a person uses a form that differs from the prescribed Schedule, the return may not be a valid return under the Act, potentially exposing the person to penalty for non-lodgment even if they made a good faith attempt. Similarly, if the witness signature is missing, the return may be invalid. The enforcement risk is heightened by the vagueness of the "other substantial interest" item. A person who fails to disclose an interest that a later investigation determines ought reasonably to have been disclosed could face prosecution for providing incomplete information. The Regulations do not provide a mechanism for amending a return; presumably the ordinary return would catch any omissions, but if the omission is spotted between returns, the person may need to rely on the Authority's willingness to accept a supplementary form, which is not prescribed. The sunset clause (10 years) means that after 11 October 2026, these Regulations will automatically be revoked unless remade. In the interim, any non-compliance could be prosecuted based on forms that may be outdated but still mandatory until sunset or amendment. There are no amendments to the Regulations (see Table of Amendments in the endnotes), so the forms have been static since 2016. This lack of updating could become a compliance risk if, for example, the definition of "relative" in the Act changes but the forms still reference the old definition. The endnote also states no amendments not in operation, indicating no pending changes. The Regulations are thus a fixed set of requirements that may become misaligned with the Act over time.

These Regulations sit under the Catchment and Land Protection Act 1994, which is the primary legislation. The Regulations implement sections 18K and 18M of that Act. They do not interact with other laws directly, but their practical operation intersects with several other legal regimes. First, privacy law: the register of interests is subject to public inspection, which means personal information (names, land holdings, shareholdings, trust interests) will be disclosed. The form does not allow the person to mark any information as confidential. There is no mechanism to redact sensitive information such as residential addresses (if a land description could identify a home). The Privacy and Data Protection Act 2014 (Vic) or the Commonwealth Privacy Act 1988 may apply to the handling of this information by the Authority, but the Regulations explicitly authorise the collection and disclosure, which may override privacy principles. Second, the Regulations interact with the Subordinate Legislation Act 1994, which provides the sunset mechanism (10 years after making). This means that the Regulations must be reviewed and remade before 11 October 2026, or they will lapse, which would remove the prescribed forms and potentially create legal uncertainty about how to comply. Third, the regulations on "registrable interests" may intersect with local government or planning laws if the land interests are in areas subject to planning controls. However, the Regulations do not impose any land use restrictions; they only mandate disclosure. Fourth, the requirement to disclose gifts over $2,000 could interact with taxation obligations if gifts are not declared to the ATO, but the Regulations do not impose a reporting duty to the ATO. Fifth, the disclosure of offices held may intersect with corporations law if the person is a director of a company; the register could reveal directorships that the company might not otherwise make public. Sixth, the definition of "relative" imported from the Act will likely interact with family law definitions, but that is a matter of the Act, not these Regulations. The Regulations do not reference any other Victorian or Commonwealth statutes. They are a narrow, two-purpose instrument: form prescription and inspection application form. There is no interaction with the Charter of Human Rights and Responsibilities Act 2006 (Vic) that is apparent from the text; the Regulations do not purport to limit any rights, but the forced disclosure of information, including family interests, could engage the right to privacy (section 13 of the Charter). However, the Regulations do not provide a balancing mechanism.

The Regulations are version 001 as at 23 October 2016. According to the Table of Amendments (endnote 2), there are no amendments made to these Regulations by any statutory rules, subordinate instruments or Acts. The endnote 3 confirms no amendments not in operation at the date of publication. Therefore, the Regulations have remained exactly as originally made since 11 October 2016. The only amendment history is the revocation of the predecessor: the Catchment and Land Protection (Register of Interests) Regulations 2006 (S.R. No. 151/2006) was revoked by regulation 4 of the 2016 Regulations. The 2006 Regulations likely had similar forms, but the current Regulations are a standalone instrument. The endnote 1 indicates that the Regulations were made on 11 October 2016 and came into operation on 23 October 2016. There is no indication of any court or tribunal decisions that have affected the interpretation or validity of these Regulations (and this analysis cannot invent such history). The fact that there have been no amendments in over seven years suggests either that the forms are considered adequate or that the regulations have low priority. The absence of amendments also means the forms have not been updated to reflect any changes in technology (e.g., electronic signatures) or changes in the Act. For example, if the monetary threshold of $2,000 has been altered in the Act, the forms still reference $2,000, but that is a matter of the Act, not the Regulations. The forms are simple and could have been updated for clarity or to add an option for electronic lodgment, but they have not. The sunset date of 11 October 2026 means that a review and possible remake will occur by then unless the regulations are repealed earlier. Practitioners should monitor whether a new regulation is proposed before that date to avoid a gap.

The text of the Regulations contains no references to any litigation, court cases, or tribunal decisions. There are no annotations or notes citing judicial consideration. The endnotes do not list any legal challenges to the validity or interpretation of these Regulations. The Regulations are procedural and have likely not been the subject of direct litigation because they prescribe forms, not substantive rights. However, it is possible that a person prosecuted for failing to lodge a return has challenged the form as not being properly prescribed, but no such case is recorded in the source document. The 2006 predecessor may have been litigated, but the source does not address that. Given the low public profile of Catchment Management Authorities, litigation is rare. The Regulations themselves are not a standalone cause of action; they are only relevant as a step in enforcement under the Act. A person aggrieved by denial of inspection could potentially seek judicial review of the Authority's decision, but the Regulations provide no guidance on the grounds for refusal, making such a challenge fact-dependent. Without a clear statutory duty to grant inspection, the Authority's decision would likely be reviewed on administrative law grounds (e.g., Wednesday unreasonableness or failure to consider relevant matters). The absence of litigation history means there is no judicial gloss on phrases like "other substantial interest" or "ought reasonably to consider". This creates interpretive risk for practitioners. Until a court or tribunal interprets these phrases, they remain open to broad interpretation. The Regulations have no reported challenges to the forms themselves. The forms are essentially checklists; any dispute would likely centre on whether a particular interest falls within the categories, which is a factual question, not a challenge to the regulation. Therefore, the litigation history is effectively nil for this instrument.

Several traps lurk in these seemingly simple Regulations. First, the $2,000 threshold for beneficial interests and gifts is not indexed for inflation. Since the Regulations were made in 2016, $2,000 in 2024 is worth less in real terms, meaning more holdings may fall within the disclosure requirement over time. The forms still say $2,000 and do not reference CPI adjustments. Second, the land disclosure requirement covers land "in the region of the Authority or in a region which adjoins the Authority's region". This means a member living or investing outside their own region but in an adjoining region must still disclose. If the Authority's region is small, adjoining regions could be large, potentially catching many parcels. Third, the "other substantial interest" catch-all is a potential tripwire. It applies not only to the person but also to a relative, and it requires the person to consider what "might appear to raise a material conflict". This is an objective test with a subjective element. A person may honestly believe an interest is not substantial, but a court or the Authority could disagree. The wording does not limit "substantial" to financial value; non-pecuniary interests like honorary positions in community groups could qualify. Fourth, the forms require a witness signature but do not specify who can witness (e.g., a Justice of the Peace, a lawyer, or any adult). That might cause problems if a person signs without a witness and the Authority rejects the return as not in the prescribed form. Fifth, the ordinary return requires disclosure of gifts "received by you from a person other than a relative". If a member receives a gift from a company they control, it may still be from a "person other than a relative", so it must be disclosed. The $2,000 threshold applies per gift, not cumulative. Sixth, the inspection application form requires the applicant to state reasons. The Regulations do not specify that frivolous reasons are invalid, but an Authority could refuse on that basis. There is no form for appealing a refusal. Seventh, the endnotes state that the Regulations will sunset on 11 October 2026. If not remade, the forms will no longer be prescribed. That could create a legal vacuum: the Act still requires returns, but there will be no prescribed form. Practitioners should plan for a transition. Eighth, the Regulations do not mention electronic signatures or electronic lodgment. The forms appear designed for paper, with spaces for signatures and dates. An Authority may accept scanned copies, but that is not assured. Ninth, the definition of "relative" is not in the Regulations; it is in section 18L(4) of the Act. A person must locate that definition, which may include spouses, de facto partners, children, parents, siblings, etc. Failure to know who is a relative could lead to under-disclosure. Tenth, the primary return does not require disclosure of gifts; only the ordinary return does. A person who receives a large gift shortly after appointment and before the first ordinary return might think they need not disclose it until the next ordinary return. That may be technically correct, but it could raise ethical questions.

Compliance begins with understanding that the Regulations exclusively govern the form, not the substantive duty. The substantive duty arises from the Act. Therefore, the first step is to read sections 18K and 18M of the Act alongside these Regulations. The forms in Schedules 1, 2 and 3 must be used verbatim. Do not redraft or reformat them; any deviation could invalidate the return. For a primary return, print Schedule 1, fill in surname, given names, and the name of the Catchment Management Authority. Then address each of the five items. For items 1-3, provide the names or descriptions as requested. For item 4, give a concise description of any trust in which you hold a beneficial interest or of which you are a trustee, but only if a relative also holds a beneficial interest under that trust. If no trust meets that description, write "None" or "Not applicable". For item 5, carefully consider any substantial interest (financial or not) of yours or of a relative that could reasonably appear to create a material conflict. Err on the side of disclosure if there is doubt; over-disclosure is not penalised, but under-disclosure may be. Sign the document in front of a witness, who must also sign. There is no guidance on who can witness; any adult is probably acceptable, but using a Justice of the Peace or a lawyer is prudent. Date the signature. Keep a copy. Submit to the Authority as its procedures dictate. For an ordinary return, use Schedule 2 and follow the same process, but note the additional item 5 for gifts over $2,000 received from non-relatives. If you have received no such gifts, state "None". The ordinary return covers the "return period" defined in the Act; ensure you are filing within any prescribed time frame. For inspection applications, if you wish to inspect the register, complete Schedule 3 with your name, address, telephone number, the name of the Authority, the name(s) of the person(s) whose return(s) you want to inspect, and state your reason(s). The Regulations require reasons but do not limit them. Be specific; a vague reason may be rejected. Sign and date. Submit to the Authority. There is no appeal mechanism in the Regulations; if refused, you may need to seek judicial review or request the Ombudsman to investigate. For Authorities, ensure you have a process to receive these applications and to grant access in a reasonable time. The Regulations do not specify a response time, so best practice is to set one internally. Also, keep the register safe and avoid unauthorised alterations. Compliance burden is low in terms of time, but high in terms of legal risk if interests are complex. Members with diverse investments, trust structures, or family business interests should seek legal advice before completing the return, especially the "other substantial interest" category. The $2,000 threshold is low; review all shareholdings, bonds, debentures, and partnership interests. Land disclosures require checking not just the Authority's region but adjoining regions. The definition of "relative" should be obtained from the Act. The absence of electronic forms is a practical hurdle; use a typewriter or clear handwriting. Keep records of what was disclosed and when. Finally, diarise the sunset date of 11 October 2026; before that, check for any new regulations to ensure continued compliance.
