Carrick Hill Trust Act 1985

The Act rests on a small number of definitional and structural concepts that determine how authority, assets and duties are allocated.

Carrick Hill and premises of the Trust. Carrick Hill means the property by that name vested in the Trust (s 3). Land placed under the care, control and management of the Trust by the Governor is taken to form part of Carrick Hill for the purposes of the Act (s 27). Premises of the Trust means premises owned or occupied by the Trust (s 3).

Trust as Crown instrumentality and corporate body. The Trust is an instrumentality of the Crown that holds property on behalf of the Crown, but it is also a body corporate with the powers of a natural person (s 4(2)(a)-(d); s 15(1)). That dual character shapes legal liability, property holding and accountability to Parliament.

Membership and appointment mechanics. The Governor appoints up to eight members (s 5(1)). One member is to be nominated by the City of Mitcham council and the remainder by the Minister (s 5(1)(a)-(b)). Gender minimums are prescribed: at least two women and at least two men (s 5(2)). Members serve terms not exceeding three years, are eligible for reappointment subject to a nine consecutive years cap, and may be removed by the Governor for specified reasons (s 6).

Functions and powers. The Trust’s core statutory functions are to administer, develop and maintain Carrick Hill as a gallery, museum or botanical garden, to promote public interest in Carrick Hill, and to perform other functions assigned by the Act or the Minister (s 14). The Act confers broad commercial and property powers including acquisition and disposal of real and personal property, acceptance of grants and sponsorships, charging admission fees, licensing and conducting events and retail activities (s 15(2)(d)-(m), (p)-(u)).

Financial and reporting controls. The Trust must prepare an annual budget and submit it to the Minister, requires Ministerial approval for expenditure not in an approved budget (subject to a notable exception for testamentary gifts), keep proper accounting records and be subject to audit by the Auditor‑General, and deliver an annual report to the Minister for tabling in Parliament (s 17, s 18, s 19).

Authorised officers and enforcement. The Minister may appoint authorised officers and every police officer is an authorised officer (s 20(1)-(2)). Authorised officers have operational powers on Trust premises, including requiring identifying information, directing persons to leave, using reasonable force to remove persons, seizing suspected unlawfully marked goods and detaining persons for handover to police (s 21; s 26).

Official insignia. Official insignia encompass declared official titles and logos that the Minister declares by Gazette or the Trust holds proprietary interest in (s 23-24, s 25(1)). The Act criminalises the unauthorised commercial use of those insignia and permits seizure of goods bearing them if the authorised officer reasonably suspects unauthorised use (s 25-26).

Delegation and conflict rules. The Trust and Minister may delegate powers by instrument in writing (s 11; s 29). Delegates are prohibited from acting where they have a direct or indirect pecuniary or personal interest, with a specific criminal penalty for contravention (s 11(4)-(5)). The Act also interacts with the Public Sector (Honesty and Accountability) Act 1995 by clarifying when a member’s arts industry interest is not to be treated as a conflict under that Act (s 12).

Regulatory reach. The Governor may make regulations for detailed operational control of conduct, admission, parking and other matters at Carrick Hill and prescribe penalties, including presumption rules for vehicle owner liability in parking offences (s 31). Those regulations can be general or targeted and may confer discretionary determinations to the Minister or Trust (s 31(3)).

These concepts establish a governance vehicle that combines public accountability through Ministerial and parliamentary reporting, Crown ownership of assets, prescribed appointment and conduct rules for members, and delegated operational authority to manage Carrick Hill both as a cultural institution and as a commercial operator.

The Act allocates rights, duties and regulatory reach across a range of actors. Enumerating them clarifies who bears direct compliance burdens, who decides, who may be sanctioned and where costs and benefits will fall.

Trust members. Appointed members are the primary decision makers. They are appointed by the Governor on nomination largely from the Minister, with one nominee from the City of Mitcham council (s 5(1)). Members must meet gender composition minima (s 5(2)), serve up to three years per term with a nine consecutive years cap (s 6(1)-(2)), and are subject to removal for misconduct, incapacity or other specified reasons (s 6(3)). Members vote and govern under quorum rules and meeting frequency requirements (s 7).

Minister and Governor. The Minister has general control and direction over the Trust subject to explicit carve outs where Ministerial direction cannot affect artistic content, treatment of gifts, or advice the Trust provides (s 9(1)-(2)). The Governor appoints members and may vest Crown land in the Trust (s 5; s 27).

City of Mitcham. The Act requires one member to be nominated by the council of the City of Mitcham from the council’s members, officers or employees (s 5(1)(a)). That creates a direct representational link between local government and the Trust’s board.

Public Service employees and administrative units. Staff assisting the Trust are Public Service employees assigned to the Trust (s 16(1)). The Trust may make use of services or staff of an administrative unit under arrangement with the Minister administering that unit (s 16(2)). That imports public employment processes, payroll and management arrangements into the Trust’s operations.

Visitors and the public. Persons on Carrick Hill or other premises of the Trust are subject to on‑site regulation by authorised officers, which includes directions about conduct, exclusion, detention and removal, and compliance with posted or gazetted rules about admission, eating, drinking, smoking and parking (s 21; s 31). The Trust may regulate access and charge admission fees (s 15(2)(i)).

Commercial actors, sponsors and suppliers. The Trust may accept grants, sponsorship and financial support, engage contractors, sell goods and services including food, liquor and souvenirs, grant advertising and sponsorship rights and licence broadcasting or recording rights (s 15(2)(a), (f), (j), (l), (m)). Traders who use the Trust’s official insignia, or who sell goods marked with it, are directly affected by the prohibition on unauthorised commercial use (s 25).

Donors and bequests. The Trust may accept gifts of land and personal property (s 28(1)). Testamentary or other gifts are excepted from Ministerial approval before expenditure (s 17(6)). The treatment of gifts and the Trust’s discretion not to accept material it deems not of interest are relevant to donors (s 15(4)).

Treasurer and Auditor‑General. The Treasurer has to approve certain Trust actions: the Trust cannot sell or otherwise dispose of real property without approvals from both Houses of Parliament, and cannot exercise the power to form holdings in bodies corporate or borrow money without Treasurer approval (s 15(3)). The Treasurer can also give approvals under s 30 that the Trust must observe. The Auditor‑General may audit accounts at any time and must audit annual statements of account (s 18(3)).

Police and authorised officers. Every police officer is an authorised officer under the Act (s 20(2)). The Minister may appoint other authorised officers and specify conditions and limitations (s 20(1) and (3)). Authorised officers have operational power to require names and addresses, remove or detain persons and seize goods suspected of unauthorised marking (s 21; s 26).

Owners and drivers of vehicles. Regulations may impose offences and prescribed penalties for vehicle parking or standing contrary to regulations and contain presumptions that assist enforcement by treating a named person as the owner in the absence of contrary proof (s 31(2)(g)-(h); s 31(4)).

State and Crown bodies. The Trust is an instrumentality that holds property for the Crown (s 4(2)(d)) and may accept grants, conveyances and transfers of land from the Crown or an instrumentality of the Crown (s 28(1)(a)). The Governor may place Crown land under the Trust’s care, which directly affects land administration (s 27).

Courts and litigants. The Supreme Court may grant injunctions to restrain breaches of the official insignia provisions (s 25(5)), and courts may order convicted persons to pay compensation to the Trust (s 25(6)). The Act also provides for forfeiture of goods on conviction and for recovery of goods or compensation where seizure does not lead to a conviction (s 26).

In short, the Act affects governance participants (members, Minister, Governor), operational staff (public servants, authorised officers), visitors and commercial actors at Carrick Hill, donors and sponsors, and the Treasurer and audit authority. The allocation of powers creates regulatory responsibilities for the Trust and gives the Trust commercial capacity to generate revenue. Those who propose to trade using the Trust’s name or logos must either obtain consent or risk criminal penalty and seizure (s 25-26). The public sector labour model for staff assigns employment and administrative burdens to the Public Service while entrusting operational decision making to the Trust board (s 16).

This Act imposes explicit statutory duties on the Trust, on members and on authorised officers, and confers rights and powers that enable the Trust to operate as both a public cultural institution and a commercial actor. The following sets out those duties and rights with section references and practical implications.

Trust’s statutory functions and duties. The Trust must administer, develop and maintain Carrick Hill for one or more of the purposes specified: as a gallery for display of art, as a museum, and as a botanical garden (s 14(a)(i)-(iii)). It must promote public interest in Carrick Hill and its collections and services (s 14(b)). The Trust also has to perform any other functions assigned by the Act or the Minister (s 14(c)). Those duties are operational mandates that the Trust must exercise in its programming, collection management, preservation and public engagement activities.

Financial duties and reporting. The Trust must prepare and submit to the Minister a budget for the next financial year or another period determined by the Minister (s 17(1)). The budget must estimate receipts and expenditures (s 17(2)) and conform to any requirements of the Minister as to form and content (s 17(3)). The Minister may approve a budget with or without modification (s 17(4)). The Trust must not, without the Minister’s consent, make an expenditure not provided for in an approved budget, except for money received as testamentary or other gifts (s 17(5)-(6)). The Trust must keep proper accounting records, prepare annual statements of account, and comply with Treasurer instructions under the Public Finance and Audit Act 1987 and any requirements imposed by the Auditor‑General (s 18(1)-(2)). The Auditor‑General may audit at any time and must audit annual statements (s 18(3)). The Trust must forward an annual report with audited accounts to the Minister by 30 September each year and the Minister must lay copies before both Houses of Parliament within 12 sitting days (s 19).

Operational powers and rights. The Trust has the powers of a natural person and may engage agents, consultants and contractors; enter into contracts with artists and performers; acquire, hold and dispose of objects of artistic or historical interest; deal with licences and intellectual property; accept sponsorship; conduct events and manage facilities including food and liquor services; regulate admission and charge fees; grant advertising and sponsorship rights; sell retail items; and grant rights to televise or record events (s 15(1)-(2)(a)-(m)). Those powers enable the Trust to pursue revenue generation, intellectual property management and commercial partnerships.

Property and borrowing limits. The Trust may acquire and dispose of real and personal property and may borrow money and obtain financial accommodation (s 15(2)(d), (s)). However, the Trust must not sell or otherwise dispose of real property without approval of both Houses of Parliament, and must not exercise powers to form holdings in bodies corporate or to borrow without Treasurer approval (s 15(3)(a)-(b)). Those constraints mean that major asset disposals and significant financial leverage require higher level approvals.

Delegation and accountability. The Trust may delegate functions and powers by instrument in writing, the delegation may be absolute or conditional and revocable at will, and the delegate may further delegate if allowed (s 11(1)-(3)). Delegates are forbidden from acting in matters where they have direct or indirect pecuniary or personal interest; breach of that prohibition is an offence with a maximum penalty of $10,000 or 2 years imprisonment (s 11(4)). The Act provides that, in legal proceedings, a certificate purporting to contain particulars of delegation is, absent proof to the contrary, proof that the delegation was made as stated (s 11(6)). That evidentiary rule eases proof of delegation but shifts onto defendants the task of rebutting the certificate.

Ministerial control and limits. The Trust is subject to general control and direction by the Minister, but the Minister cannot direct the Trust as to the artistic nature or content of objects, collections or events, or as to how the Trust deals with testamentary gifts, or as to advice the Trust makes or is required to make to the Minister (s 9(1)-(2)). That carve out protects editorial and curatorial autonomy on particular matters while preserving overall policy direction by the Minister in other areas.

Authorised officers’ duties and powers. An authorised officer may require a person on Trust premises to state name and residence, require proof of identity where reasonable grounds exist, require a person to leave and not return for up to 24 hours, use reasonable force to remove or exclude a person, detain and hand a person to police, seize goods suspected of unlawful marking, and issue directions for order, safety, and protection of property (s 21(1)-(2)). Authorised officers must produce identity cards when requested and return identity cards immediately on ceasing to be authorised officers or face a $250 maximum penalty for failing to do so (s 20(4)-(6)).

Official insignia rights. The Trust has a proprietary interest in all declared official insignia and may impose conditions on consent to use these insignia, including conditions requiring payment (s 25(1), (4)). Unaided commercial use of official titles or logos in trade is an offence punishable by up to $20,000 (s 25(2)-(3)). The Supreme Court may grant injunctions to restrain breaches and courts may order convicted persons to pay compensation to the Trust; those remedies are additional to other civil actions available to the Trust (s 25(5)-(7)).

Enforcement and confiscation rights. An authorised officer may seize goods that appear to be intended for a commercial purpose and are marked with official insignia where the authorised officer suspects the use is unauthorised (s 26(1)). If proceedings are not instituted within three months or if the defendant is acquitted, the person from whom goods were seized is entitled to recover the goods or compensation equal to market value and compensation for loss (s 26(2)-(3)). On conviction, courts may order forfeiture of goods; proceeds of sale of forfeited goods are to be paid into the Consolidated Account (s 26(4)-(5)).

Procedural duties. The Trust must keep accurate minutes, meet at least six times per year, determine its own procedures subject to the Act and ensure quorum and voting rules are followed (s 7(1), (3), (7)-(9)). Members who are absent without leave from three consecutive meetings vacate office (s 6(4)(f)). These duties impose administrative compliance costs on the Trust.

Together these duties and rights create a governance and operational framework that mixes public accountability (budget approvals, audit, reporting to Parliament), managerial autonomy for programming and commercialisation, and statutory enforcement tools to protect the Trust’s intellectual and brand property. The Act sets explicit penalties for certain breaches and provides civil remedies to enable the Trust to enforce proprietary rights in official insignia.

The Act creates a mix of criminal penalties, civil remedies and administrative enforcement powers targeted at governance violations, misconduct by delegates, obstruction of authorised officers, unauthorised use of official insignia and breaches of regulations. Those instruments allocate enforcement roles to authorised officers, the courts and administrative actors.

Criminal penalties and maximum fines. The Act specifies maximum penalties for a number of offences:

• Delegation conflict: A delegate acting where they have a direct or indirect pecuniary or personal interest commits an offence, maximum penalty $10,000 or imprisonment for 2 years (s 11(4)). There is a statutory defence where the defendant was unaware of the interest at the time (s 11(5)).
• Hindering authorised officers: Hindering or obstructing an authorised officer, failing to answer questions without reasonable excuse, producing false documents, failing to comply with directions, abusive language or falsely representing oneself as an authorised officer attracts a maximum penalty of $2,500 (s 22(1)).
• Unlawful use of official insignia: In the course of trade or business, using a name the Trust has a proprietary interest in to promote sale of services, selling goods marked with official insignia or using official insignia to promote sale of goods or services is an offence with a maximum penalty of $20,000 (s 25(2)). Assuming a name or description that consists of or includes official insignia without consent attracts the same maximum penalty (s 25(3)).
• Failure to return identity card: A person who ceases to be an authorised officer must return their identity card immediately; failure to do so attracts a maximum penalty of $250 (s 20(6)).

Administrative and civil enforcement measures. The Trust has a proprietary interest in declared official insignia and may refuse or condition consent to use (s 25(1), (4)). The Supreme Court may grant injunctions to restrain breaches of the official insignia provisions (s 25(5)). A court that convicts a person of such an offence may order the convicted person to pay compensation to the Trust (s 25(6)). Those civil remedies are additional to statutory fines and do not derogate from other civil remedies (s 25(7)).

Seizure, forfeiture and compensation. Authorised officers may seize goods apparently intended for commercial purpose and marked with official insignia where reasonably suspected to be used without authorisation (s 26(1)). If proceedings are not instituted within three months, or if a defendant is acquitted, the person from whom goods were seized is entitled to recover the goods or compensation equal to the market value at time of seizure and compensation for loss caused by the seizure (s 26(2)). A convicted person may have goods forfeited to the Crown, which the Minister may direct be disposed of and, if sold, the proceeds are to be paid into the Consolidated Account (s 26(4)-(5)). A court may also order payment of compensation under s 26(2)(d) and actions for compensation may be brought against the Trust (s 26(3)).

Powers of authorised officers enabling enforcement. Authorised officers have a suite of powers that support enforcement on site. They may require a person to state full name and residence and, on reasonable suspicion of false identity, require production of evidence (s 21(1)(a)-(b)). They may require a person to leave Carrick Hill or premises and not return for a stated period not exceeding 24 hours (s 21(1)(c)). If a person refuses to comply, an authorised officer may use reasonable force to remove or exclude them, and may detain a person pending handover to police (s 21(1)(d)-(e)). An authorised officer may also require surrender of objects suspected of contravening the Act and give directions necessary for maintenance of order, prevention of interference with events and protection of property; force may be used for removal, exclusion or seizure of goods (s 21(2)(a)-(c)). Police officers are authorised officers by operation of law (s 20(2)), and non‑police authorised officers must carry identity cards and produce them on request (s 20(4)-(5)).

Penalties under regulations. The Governor may make regulations prescribing penalties for breaches of regulations up to $1,250 (s 31(2)(k)). Regulations may also create offences related to driving, parking or standing of vehicles with presumptions in enforcement proceedings regarding ownership and parking in contravention (s 31(4)(a)-(b)).

Evidentiary presumptions and procedural rules. The Act provides procedural aids to enforcement: in legal proceedings, an apparently genuine certificate signed by the Trust containing particulars of a delegation will, absent proof to the contrary, be accepted as proof the delegation was made (s 11(6)). Similarly, the regulations can create owner presumptions in vehicle parking cases (s 31(4)). Those measures ease prosecutorial and administrative proof burdens but shift the onus to defendants to rebut.

Interaction with criminal process and restitution. The Act combines criminal penalties with civil options for the Trust to seek injunctions, recovery of compensation and forfeiture of goods. The seizure provisions include a three month window for prosecution to be commenced before a claimant is entitled to return or compensation (s 26(2)). Where the Trust prosecutes and succeeds, courts may order forfeiture and make compensation orders. If proceedings fail or are not brought, persons from whom goods were seized can obtain return or compensation (s 26(2)).

In aggregate, enforcement is multi‑layered: administrative powers exercised by authorised officers provide immediate on‑site control; statutory offences and fines deter unauthorised conduct; seizure and forfeiture protect the Trust’s insignia; and civil remedies allow the Trust to seek injunctive and compensatory relief. The Act assigns enforcement roles across agency staff, police and courts, while evidentiary presumptions and delegation certificates are designed to facilitate administrative action and legal proof.

The Act contains explicit cross‑references and structural interactions with other legislative regimes. These interactions define the Trust’s place within the public sector, its accountability for public funds and property, and the limits of administrative and criminal enforcement.

Instrumentality of the Crown and property law. The Act expressly makes the Trust an instrumentality of the Crown that holds property on behalf of the Crown (s 4(2)(d)). That status affects property ownership questions, the Trust’s capacity to hold land, and the statutory exemption from stamp duty for instruments conveying land or interests to or from the Trust (s 28(2)). The Governor may vest Crown land in the Trust (s 27), which converts Crown land management arrangements to Trust administration under this Act.

Public finance and audit obligations. The Act requires accounting records and statements to comply with instructions of the Treasurer under section 41 of the Public Finance and Audit Act 1987 and any further requirements imposed by the Auditor‑General (s 18(2)(a)-(b)). The Auditor‑General may audit the Trust’s accounts at any time and must audit the annual statements (s 18(3)). Budget preparation and Ministerial approval duties (s 17) interact with the broader public finance framework by making the Trust subject to Ministerial budgetary oversight and Treasurer instructions.

Public sector employment and administrative units. The Trust’s staff are Public Service employees assigned to assist the Trust (s 16(1)), and the Trust may use the services or staff of an administrative unit under an arrangement with the Minister administering that unit (s 16(2)). That links employment law, industrial obligations and payroll arrangements applicable to public servants to the Trust’s operations.

Conflict of interest and Public Sector (Honesty and Accountability) Act. Section 12 modifies the application of the Public Sector (Honesty and Accountability) Act 1995 in relation to conflicts of interest by specifying that a Trust member will not be taken to have a direct or indirect interest by reason only of an interest shared in common with those engaged in the arts industry generally or a substantial section of them (s 12). That is a specific statutory carve out that adjusts standard conflict rules for the arts sector context.

Police powers and criminal law. Every police officer is an authorised officer for the purposes of the Act (s 20(2)). Authorised officers may detain and hand over persons to police and may use reasonable force on site (s 21(1)(d)-(e), (2)(c)). Those powers must be exercised within the bounds of criminal law and other statutes governing police conduct, detention and use of force.

Regulations and evidentiary presumptions. The Act empowers the Governor to make regulations that may prescribe offences and penalties, govern conduct at Trust premises and provide for vehicle parking enforcement including evidential presumptions that a person named is the owner in absence of proof to the contrary (s 31(2)(g)-(k); s 31(4)). These regulatory provisions can interact with road traffic laws and local government parking enforcement regimes where overlapping.

Intellectual property and merchant law. The Trust is authorised to acquire and deal with licences and intellectual property including patents and copyright (s 15(2)(e)(ii)). Its proprietary interest in official titles and logos is a statutory proprietary right (s 25). Those powers interact with the Copyright Act and trade mark law where rights are registered or otherwise protected under other Acts; the Minister may not declare official titles or logos that conflict with names registered or protected under another Act without the consent of the holder (s 24(3)).

Treasurer and parliamentary approvals. The Trust cannot sell or dispose of its real property without the approval of both Houses of Parliament (s 15(3)(a)), and cannot exercise the power to take holdings in bodies corporate or borrow money without Treasurer approval (s 15(3)(b); s 30). Those provisions introduce parliamentary and Treasurer oversight and bring the Trust’s major asset and financial decisions into the broader constitutional and public finance framework.

Remedies and court powers. The Act gives courts the power to grant injunctions and to order compensation in official insignia cases (s 25(5)-(6)), and to order forfeiture of goods seized where an offence relates to those goods (s 26(4)). Civil enforcement therefore sits alongside the criminal sanctions and interacts with general civil procedure and remedies law.

Overall, the Act is designed to operate within the existing architecture of public sector finance, public service employment, audit and oversight, criminal enforcement and intellectual property law. It modifies the application of some statutes in specific ways, for example by exempting certain conflicts of interest in the arts context (s 12) and exempting stamp duty on conveyances to the Trust (s 28(2)). Where statutory conflict exists, the Act contains specific constraints on Ministerial direction in relation to artistic content and gifts (s 9(2)), which interfaces with administrative law principles concerning improper direction and statutory discretion.

The legislative history provided in the Act text records the principal Act and a sequence of amendments and reprints that altered structure, provisions and schedules over time. The Act repealed the Carrick Hill Vesting Act 1971 when it was enacted (Legislation repealed by principal Act listed). Key chronological items recorded in the Act are summarised below with the immediate impacts noted in the source.

Principal Act and commencement.

• Carrick Hill Trust Act 1985 No 28, assented 28 March 1985, commenced 16 May 1985 (Gazette 16.5.1985 p1534). The Act established the Trust and replaced the prior vesting statute.

Amendments recorded in the table.

• 1996: Statutes Amendment and Repeal (Common Expiation Scheme) Act 1996 No 34, assented 2 May 1996. The schedule amendments commenced 3 February 1997 (Gazette 19.12.1996 p1923). This amending Act affected s 23(2) and (4) per the notes, deleting or amending subsections as indicated in the provenance table, and included a transitional provision preserving operation in relation to expiation notices issued under any repealed or amended Act (Transitional provision 5).
• 1999: Financial Sector Reform (South Australia) Act 1999 No 33, assented 17 June 1999, with specified items commencing 1 July 1999; this amendment affected s 16(1) and s 16(2) per the provisions listed.
• 2009: Statutes Amendment (Public Sector Consequential Amendments) Act 2009 No 84, assented 10 December 2009, with Part 25 (ss 47-49) commencing 1 February 2010 (Gazette 28.1.2010 p320). This amending Act deleted s 10 and substituted s 15 (see "Provisions amended" list showing s 10 deleted and s 15 substituted by 84/2009 s 49).
• 2010: Statutes Amendment (Arts Agencies Governance and Other Matters) Act 2010 No 19, assented 28 October 2010, with particular parts commencing 12 May 2011 (Gazette 12.5.2011 p1460). Part 5 and Sch 1 amendments altered several provisions; Pt 5 (ss 38 & 39) and Sch 1 Pt 9 cll 5 & 16 commenced 12 May 2011. The legislative history indicates that Part 2 was substituted by 19/2010 s 39 on 12 May 2011, and Parts 3 and 4 of the Act were substituted or inserted by that amending Act (Pt 3 and Pt 4 inserted by 19/2010 s 39). Specific sections amended or substituted are recorded: s 3 substituted, s 4 deleted by 19/2010 s 38, s 10 deleted earlier by 84/2009 s 47, s 15 substituted by 84/2009 s 49, s 16 amended pursuant to 33/1999 Sch (item 10).
• Reprints: The Act has reprints noted (Reprint No 1,3.2.1997; Reprint No 2,1.7.1999; 1.2.2010). Those reprints consolidate amendments up to the indicated dates.

Transitional provisions associated with the 2010 amendments.

• Sch 1 Pt 9 includes transitional provisions specifying that members holding office immediately before commencement continued in office for the balance of their term and on conditions as if the principal Act had already been amended (Transitional provisions, clause 5). The transitional clause also preserves existing appointments despite non‑compliance with new composition rules for the duration of that term where applicable (Sch 1 Pt 9 cl 5(2)-(3)). Clause 16 of the transitional provisions treats authorised persons under the prior Carrick Hill Trust Regulations 1999 as authorised officers under the new Part 3 of the Act on commencement.

Detail of amendments to provisions. The "Provisions amended" table lists which sections were varied, substituted or deleted and by which amending instrument. For example:

• s 4 was deleted by 19/2010 s 38 on 12.5.2011.
• s 10 was deleted by 84/2009 s 47 on 1.2.2010.
• s 12(2) and (3) were deleted by 84/2009 s 48 on 1.2.2010.
• s 15 was substituted by 84/2009 s 49 on 1.2.2010.
• Pt 2 was substituted by 19/2010 s 39 on 12.5.2011.
• Pt 4 and Pt 5 were inserted by 19/2010 s 39 on 12.5.2011.

The legislative history includes a note that references in the legislation to other legislation or instruments are not automatically updated and may be obsolete, advising users to consult the Index of South Australian Statutes or the official legislation website for further information.

Taken together, the amendment history indicates several waves of reform: a 1996 change tied to expiation schemes and regulation, a 1999 amendment aligning staff arrangements with broader financial sector reform, 2009 public sector consequential amendments that altered governance provisions, and 2010 arts agency governance reforms that restructured parts of the Act, inserted new parts and provided transitional arrangements for existing office holders. The Act’s structure as published reflects those cumulative changes.

The Act text as provided does not cite any judicial decisions, nor does the legislative history list any cases concerning the Carrick Hill Trust Act 1985. There are no reported judgments referenced in the source material included in this text. The Act does, however, provide the courts with specific powers and remedies which could give rise to litigation:

• The Supreme Court may grant injunctions to restrain breaches of the official insignia provisions (s 25(5)). That creates a civil cause of action for the Trust to seek interlocutory and final relief against unauthorised use of names or logos.
• Courts may order convicted persons to pay compensation to the Trust under s 25(6) and may order forfeiture of goods in relation to offences covered by s 26(4). Those provisions implicate criminal prosecutions and subsequent forfeiture or compensation applications.
• The Act creates evidentiary presumptions for delegation certificates and for vehicle owner presumptions in regulation breaches (s 11(6); s 31(4)), both of which shape the civil and criminal litigation posture by shifting initial evidentiary burdens.
• The Auditor‑General’s audit function and the statutory reporting timetable create administrative record trails and audit reports that may be used in litigation concerning financial mismanagement or challenges to Ministerial decisions.

Because the statute text does not record case law, users seeking litigation history should consult court databases, law reports and the consolidated legislation commentary from official sources. The Act’s provisions, particularly the injunctive and compensatory remedies for misuse of official insignia and the criminal sanctions for obstruction of authorised officers or wrongful delegation, provide the legal bases upon which public or private litigation could be built. The absence of litigation references in the provided source means that any summary of judicial interpretation, scope of evidentiary presumptions or enforcement practice would require external case law research beyond the Act itself.

The Act contains a number of technical requirements, presumptions and constraints that may be overlooked in operational or governance planning. The following are concrete points to watch for, with references to the specific provisions.

Appointment and composition technicalities. The Trust may have up to eight members, one nominated by the City of Mitcham council and the remainder nominated by the Minister (s 5(1)). The Act requires at least two women and at least two men among members (s 5(2)). A person cannot serve more than nine consecutive years (s 6(2)). Transitional provisions for the 2010 amendments permitted existing members to continue despite temporary non‑compliance, but that is time limited and not ongoing (Transitional provisions, Sch 1 Pt 9). Failure to observe gender or term limits could expose appointments to challenge or create vacancies under s 6(4).

Quorum arithmetic and meeting cadence. Quorum is calculated as half of the total number of members (ignoring any fraction) plus one (s 7(1)). That arithmetic can produce non‑intuitive quorum numbers if the board size changes; ensure the computation is applied correctly to avoid invalid decisions. The Trust must meet at least six times each year and keep accurate minutes (s 7(7)-(8)); sporadic meeting schedules risk breaching the statutory meeting frequency and make compliance with minutes and decision records critical.

Delegation and conflict offence trap. Delegations must be in writing and may be revoked, and a delegate must not act in a matter where the delegate has a direct or indirect pecuniary or personal interest (s 11(1)-(4)). Breach of the conflict prohibition carries a maximum penalty of $10,000 or imprisonment for 2 years, and the Act provides a defence only if the defendant was unaware of the interest at the time (s 11(4)-(5)). The evidentiary presumption that a certificate is proof of delegation (s 11(6)) shifts the risk on to defendants. Organisations must maintain robust conflict registers and written delegations and ensure delegates are aware of their interests to avoid criminal exposure.

Ministerial direction carve‑outs. While the Trust is subject to the Minister’s general control and direction (s 9(1)), the Minister cannot direct the Trust as to artistic content of collections or events, how the Trust is to deal with gifts, or what advice the Trust gives to the Minister (s 9(2)). Misunderstanding these carve outs could generate improper directions or contested ministerial interventions; governance records should document the nature of directions and the statutory limits.

Treasurer and parliamentary approvals for key transactions. The Trust cannot sell or otherwise dispose of real property without approval from both Houses of Parliament (s 15(3)(a)). The Trust also needs the Treasurer’s approval before exercising powers to acquire holdings in bodies corporate or borrow money (s 15(3)(b); s 30). Failure to obtain those approvals may render transactions ultra vires.

Official insignia enforcement and seizure timeline. The Trust owns a proprietary interest in official titles and logos (s 25(1)-(2)). Authorised officers may seize goods marked with official insignia that appear destined for a commercial purpose if they reasonably suspect unauthorised use (s 26(1)). There is a three months window in which proceedings must be instituted, otherwise the person from whom goods were seized is entitled to recovery or compensation (s 26(2)). Administrative practice must track seizure dates and promptly decide whether to commence prosecutions; otherwise the Trust may be liable for compensation.

Identity card and authorised officer formalities. Non‑police authorised officers must be issued identity cards containing name, photograph and conditions of authority (s 20(4)). They must produce this ID on request (s 20(5)), and a person who ceases to be an authorised officer must return their card immediately or face a penalty of up to $250 (s 20(6)). Rigorous chain of custody processes for identity cards are required to avoid inadvertent non‑compliance.

Staff are public servants. The Trust’s staff are Public Service employees assigned to assist the Trust (s 16(1)), and the Trust may make use of administrative units (s 16(2)). This means employment, industrial relations and HR processes for staff are governed by public service rules rather than private employment contracts, affecting flexibility, procurement of seconded staff and budget planning.

Regulatory discretion and presumption clauses. The Governor may make regulations that confer discretion to the Minister, the Trust or another authority and include evidentiary presumptions in vehicle parking proceedings (s 31(3)-(4)). Delegated regulations may therefore create enforcement presumptions that shift the evidentiary burden, as well as create offences with penalties up to $1,250 (s 31(2)(k)). Regulatory drafting and compliance should heed these clauses.

Gift expenditure exception to Ministerial approval. The Trust may spend money received by way of testamentary or other gifts without Ministerial approval (s 17(6)). That exception permits some operational flexibility but may create accountability gaps if not controlled through internal governance and audit.

Stamp duty and acquisitions. Despite the Stamp Duties Act 1923 reference, the Act itself exempts stamp duty on instruments by which land or interests in land are vested in the Trust or on contracts executed by the Trust to dispose of property (s 28(2)). Practitioners should verify contemporary stamp duty law and ensure that other charges or taxes are not overlooked.

Criminal liability for misrepresenting authorised officer status. A person falsely representing themselves as an authorised officer is guilty of an offence under s 22(1)(f). Trust signage, authorised officer identification and public communication reduce the risk of such impersonation incidents and related criminal exposure.

Evidential certificates in proceedings. The Act provides that an apparently genuine certificate purporting to be signed by the Trust detailing delegations will be accepted as proof in the absence of disproof (s 11(6)). Maintain proper delegation records and authenticated certificates to support delegation use and to defend against challenges.

These "gotchas" are practical compliance risks embedded in the statute. They translate into administrative burdens: tighter meeting and minutes discipline, written delegations and conflict registers, timely decision making on seizures, clear identity management for authorised officers, and procedures for obtaining Treasurer and parliamentary approvals for major transactions.

Compliance with the Carrick Hill Trust Act 1985 requires administrative systems to ensure statutory duties are met, risk controls for enforcement powers are in place and commercial activities respect the Act’s proprietary and financial limits. Below are concrete steps and institutional measures that the Trust, Ministerial staff and advisers should adopt, with a focus on documentary proof and operational procedures tied to the Act’s sections.

Board and membership compliance.

• Appointment documentation: Ensure Governor appointment instruments record term length, conditions, nomination source and deputy nominations where applicable (s 5(1)-(4); s 6(1)). Keep registers of instruments of appointment and make them available for audit and legal proceedings.
• Gender and term rules: Track member composition to comply with the minimum of two women and two men (s 5(2)). Maintain service records and succession planning to avoid exceeding the nine consecutive years cap (s 6(2)). Use transitional provisions only where applicable and time limited (Sch 1 Pt 9).
• Meeting governance: Calculate quorum correctly as half of the total number of members, ignoring fractions, plus one (s 7(1)). Schedule and document at least six meetings per year and keep accurate minutes (s 7(7)-(8)). Record electronic attendance and ensure teleconference rules are followed (s 7(5)) and that circulated resolutions are documented and signed (s 7(6)).

Delegation, conflicts and documentation.

• Written delegations: Make all delegations under s 11 by instrument in writing, specifying conditions and whether further delegation is permitted (s 11(1)-(3)). Keep originals and authenticated copies; where delegations are revoked, record the revocation formally.
• Conflict registers: Maintain a conflict of interest register for members and delegates; treat the s 12 carve out narrowly and record why shared industry interests are not treated as disqualifying under the Public Sector (Honesty and Accountability) Act (s 12).
• Delegation certificates: When relying on s 11(6) evidentiary presumption in proceedings, ensure a properly signed certificate is kept and that it identifies the delegation particulars.

Financial controls and reporting.

• Budget process: Prepare an annual budget that sets out receipts and expenditures and conforms to any Ministerial requirements (s 17(1)-(3)). Present the budget to the Minister and obtain written approval; document any modifications required by the Minister (s 17(4)). Control expenditures against the approved budget and obtain Ministerial consent for items not included, noting the testamentary gift exception (s 17(5)-(6)).
• Accounting and audit: Implement accounting systems that comply with Treasurer’s instructions and Auditor‑General requirements (s 18(2)). Prepare annual statements of account, make them available for audit and maintain audit working papers to facilitate Auditor‑General inspections (s 18(1)-(3)).
• Annual reporting: Prepare the annual report and audited statements for delivery to the Minister by 30 September, and ensure the Minister’s office is resourced to lay the report before both Houses within 12 sitting days (s 19).

Property, borrowing and approvals.

• Treasurer and parliamentary approvals: Before disposing of real property, engage early with Treasury and Parliamentary Counsel to obtain necessary approvals and to plan parliamentary processes (s 15(3)(a); s 30). For borrowing or forming holdings in bodies corporate, obtain the Treasurer’s written approval in advance (s 15(3)(b)).
• Stamp duty: When accepting conveyances or transfers of land, secure legal confirmation of the stamp duty exemption for instruments by which land is vested in the Trust (s 28(2)). Record all transfer instruments and obtain tax advice where other taxes might apply.

Authorised officers and on‑site enforcement.

• Appointment and ID processes: Maintain formal appointment instruments for all authorised officers and issue identity cards to non‑police authorised officers that comply with s 20(4) including photo, name and any conditions. Require authorised officers to carry ID and produce it on request (s 20(5)). Ensure there is a process to return identity cards immediately when appointment ceases and record returns to avoid the $250 penalty (s 20(6)).
• Use of powers: Train authorised officers on the limits of s 21 powers: requesting name and address, reasonable grounds for requiring proof, grounds and process for exclusion or detention, and the reasonable use of force (s 21(1)-(2)). Establish use‑of‑force protocols and incident reporting that align with police and public safety obligations.
• Seizure protocol: Develop a seizure checklist that documents the basis for reasonable suspicion when seizing goods marked with official insignia, the chain of custody, seizure date, notice to the person seized from and the timeframe to commence proceedings to avoid compensation obligations set out in s 26(2).

Official insignia and commercial licensing.

• Register and declare insignia: Use s 24(2) to have the Minister declare any additional official titles or logos by Gazette. Ensure the Minister secures consent where names are registered or protected under another Act (s 24(3)). Maintain records of all Gazette notices and declarations.
• Licensing and conditions: For any consent to use insignia, issue written licences that specify fees, use conditions, duration and revocation mechanisms; ensure the licence is consistent with s 25(4). Maintain a licensing database and a process for revocation and enforcement.
• Enforcement and remedies: For unauthorised commercial use, coordinate with authorised officers and legal counsel to decide whether injunctions, prosecutions or civil compensation actions are appropriate (s 25(5)-(6)). Record market value of goods seized to support compensation calculations if return or compensation claims arise (s 26(2)).

Staffing and HR.

• Public Service arrangements: Document the assignment of Public Service employees to the Trust, ensure HR and payroll arrangements are clear with the relevant administrative unit and comply with public service employment law (s 16(1)-(2)). Put in place secondment agreements where services of administrative units are made available.

Regulatory compliance and local enforcement.

• Engage on regulations: Work with the Minister’s office and Parliamentary Counsel to ensure any Trust policies that require regulation are properly drafted under s 31. Monitor gazetted regulations for parking, admission, smoking or food and liquor consumption to ensure on‑site signage and public communications reflect current law (s 31(2)).
• Parking enforcement procedures: If the Trust intends to regulate parking, ensure signage, ticketing systems and owner presumptions under s 31(4) are correctly implemented and that drivers receive adequate notice.

Records management and audit trail.

• Minutes and resolutions: Keep accurate minutes and preserve records of circulated resolutions and written concurrence, ensuring compliance with s 7(6) for non‑meeting decisions. Maintain an index of all Trust instruments, delegations, licences, procurement contracts and gift documentation for audit and potential litigation.

Legal oversight and advice.

• Legal review of commercial arrangements: Seek legal review of sponsorship, licensing, broadcasting and retail contracts to align commercial terms with the Trust’s statutory powers in s 15 and to ensure approvals required by s 15(3) and s 30 are obtained when necessary.
• Conflict and ethics training: Implement annual training for members and delegates on conflicts of interest, the effect of s 12 and the need to record and manage shared arts industry interests despite the narrow carve out.

By implementing these measures, the Trust can operationalise its statutory duties, reduce risk of procedural invalidity, maintain compliance with public finance and audit requirements, and manage enforcement powers in a way that minimises legal exposure. The Act places emphasis on documentary proof: written delegations, appointment instruments, minutes, budgets, audited accounts, licences for insignia use and seizure records. Effective compliance therefore depends less on oral practices and more on well‑maintained written records and timely administrative processes.
