Carlton (Recreation Ground) Land Act 1966

The Act operates around several defined concepts. “Corporation” means the corporation of the City of Melbourne (s 2) - that is, the municipal council acting in its corporate capacity. It is appointed under s 3(1) as the committee of management of Princes Park, replacing any previous committee. This status gives it day to day management responsibilities but the Act only addresses leasing and lending; other management powers remain under the original reservation and general law. “Leasable land” is the central physical concept. As amended, it includes three parcels. The first is Crown Allotments 2030 and 2031, Parish of Jika Jika, shown hatched on plan LEGL./11-042 (s 2(a)). The second is Crown Allotments 2143, 2144, 2145, 2146, 2147 and 2148, shown hatched on plan LEGL./23-315, added by the 2025 amendment (s 2(ab)). The third is a stratum - essentially an airspace or subsurface volume - specified in an Order in Council dated 5 December 1995, being Crown Allotment 1A of Section 118A at Carlton (s 2(b)). This stratum definition means that lease rights may extend vertically, not just to the soil surface, which is relevant for structures. The phrase “committee of management” is not further defined in the Act but is a standard Victorian Crown land concept: the entity responsible for the care, control and management of reserved land. The Act explicitly revokes earlier appointments (s 3(1)), confirming the corporation’s primacy. “Lease” is not defined, but the power is to grant leases of the leasable land for the purposes of sport or recreation or social or cultural or educational activities or purposes connected therewith including the erection of buildings (s 3(1A)). This limits the permissable use of leased land; a lease for pure commercial retail or residential purposes would fall outside the power. The loan power under s 4 is separate from the lease power. The corporation may apply out of the municipal fund a sum or sums not exceeding in the aggregate $200,000 for making loans to any lessee of leasable land for erecting buildings or making other improvements (s 4(1)). The $200,000 cap is a total aggregate outstanding, not per lessee. Loans are on terms the corporation thinks fit (s 4(2)). The Act also introduces the concept of “no compensation”. Section 3(4) provides that no person or body is entitled to receive from the Crown any money or consideration by way of compensation in respect of any improvement whatsoever or of any act matter or thing under s 3. This excludes any common law or statutory rights to compensation that might otherwise arise when a lease ends or improvements are taken. Finally, the “municipal fund” is the council’s general revenue fund; the Act allows expenditure from that fund for loan purposes without requiring a special rate or separate appropriation. The concept of Governor in Council approval for leases over three years introduces a state government check on council decisions, effectively a veto power.

The Act directly affects three categories of entities. The Melbourne City Council (the corporation) is the primary duty-bearer and rights-holder. It gains the power to grant leases and make loans where otherwise it might be constrained by the permanent reservation and the general law of Crown reserves. It also bears the responsibility of applying rent toward maintenance and improvement of the park or such other purpose as the Minister approves (s 3(3)). The corporation must manage the loan facility within the $200,000 aggregate cap and ensure that any lease over three years obtains Governor in Council approval. Council officers and councillors are the decision-makers. The lessees are the second group. These are individuals or bodies who take leases of leasable land. They must be engaged in sport, recreation, social, cultural or educational activities (or purposes connected with them) to fall within the Act’s leasing power. Lessees obtain a leasehold interest enforceable against the corporation (subject to the lease terms) but have no right to compensation from the Crown for any improvements they make (s 3(4)). They may be eligible for loans from the council for improvements, but only up to the aggregate cap and on the council’s terms. Lessees also face the uncertainty of Governor in Council approval for longer leases, which adds a state political risk. The Minister (the Victorian Minister administering the Act, not specified but likely the Minister for Environment or Crown Land) is affected because the Minister can approve alternative uses of rent money (s 3(3)) and presumably has oversight over the Governor in Council process. The Governor in Council (effectively the cabinet) is affected because it must approve leases exceeding three years (s 3(2)(c)), giving it a case-by-case veto. The Registrar General and Registrar of Titles are required by s 6 to update their records to reflect grants and leases under the Act, imposing a low administrative burden. Indirectly, the Act affects the broader community: users of Princes Park see parts of the park leased for organised activities and possibly buildings, reducing open space but potentially improving facilities. Ratepayers of the City of Melbourne are affected because the loan facility uses the municipal fund - that is, their rates - and the cap limits exposure to $200,000 aggregate. The Act also affects other government agencies that might otherwise have management or approval roles over permanently reserved Crown land; those agencies are ousted by the “Notwithstanding anything in any Act” provision in s 3(1A), at least for leasing of leasable land.

The Act creates asymmetric duties and rights between the corporation and lessees, with the state government holding a gatekeeper role. The corporation’s primary right is to grant leases of leasable land for the stated purposes, subject to its own discretion as to covenants, conditions, exceptions and reservations (s 3(2)(a)). It also has the right to make loans from the municipal fund up to $200,000 aggregate to any lessee (s 4(1)) and to set loan terms at its discretion (s 4(2)). The corporation has a duty to apply rent received from leases “towards the maintenance and improvement of the whole or any part of the said land permanently reserved as aforesaid” (s 3(3)), unless the Minister approves another purpose. This duty is ongoing; failure to apply rent appropriately could potentially be challenged as a breach of the Act, though no enforcement mechanism is specified. The corporation also has a duty to submit leases exceeding three years for Governor in Council approval (s 3(2)(c)). The corporation owes no duty to grant leases or loans; the power is permissive (“may from time to time grant leases”). Lessees have a right to take a lease on the terms offered by the corporation, but no right to demand a lease or any particular terms. If a lease is granted, the lessee has a right to exclusive possession of the leasable land for the term and subject to the covenants. The lessee may apply for a loan, but the corporation is under no duty to grant it. The lessee’s most significant limitation is the absence of any right to compensation from the Crown for improvements: s 3(4) states “No person or body of persons whosoever or whatsoever shall be entitled to receive or shall receive from the Crown any money or consideration by way of compensation in respect of any improvement whatsoever or of any act matter or thing under this section.” This ousts what might otherwise be a claim for betterment or for the value of improvements at lease end. Lessees also have a right to expect that the lease will not be for a term exceeding 40 years (s 3(2)(b)); any term longer would be ultra vires the Act. The Minister has a right to approve alternative uses of rental income (s 3(3)), but no duty to do so. The Governor in Council has a duty to approve or reject leases over three years (s 3(2)(c)), but the Act gives no criteria for that decision. The Registrar General and Registrar of Titles have duties under s 6 to make necessary entries and amendments; they must act when the corporation provides the requisite documentation. No person has a right to enforce the Act privately; there is no statutory cause of action. The duties and rights are therefore executory between the state and the council, with lessees being the beneficiaries of the corporation’s discretionary powers but bearing the uncompensated risk of improvement loss.

The Act contains no specific penalty provisions for non compliance. There are no fines, imprisonment terms, infringement notices, or civil penalties set out anywhere in its four operative sections. Enforcement therefore relies on general law mechanisms. If the corporation grants a lease that breaches the Act - for example, a lease exceeding 40 years, or a lease for a prohibited purpose like pure commercial retail, or a lease over three years without Governor in Council approval - the lease may be void or voidable for illegality or ultra vires. The lessee could challenge the validity in court, or the Crown could seek to set it aside. The Act does not provide a statutory validation for defective leases. Similarly, if the corporation fails to apply rent toward maintenance and improvement (or Minister approved alternative), this could amount to a breach of statutory duty, but the Act gives no specific remedy. A private citizen or ratepayer might seek an injunction or declaration, but the Act does not confer standing. The loan power also lacks enforcement specifics: if the corporation makes loans exceeding $200,000 in aggregate, that is likely an unauthorised application of the municipal fund and could be challenged as beyond power, exposing council officers to personal liability for ultra vires expenditure under local government legislation. The “no compensation” clause in s 3(4) is self enforcing: it bars any claim for compensation from the Crown, but does not prevent a lessee from suing the corporation on a breach of contract or lease covenant. The Act does not create offences for misapplication of funds or for acting outside the lease purposes. The only administrative enforcement is the requirement for Governor in Council approval for longer leases - effectively a prior restraint. The Governor in Council could refuse approval, but that is not a penalty. The Registrar General and Registrar of Titles have duties under s 6, but the Act does not impose sanctions for nonfeasance; presumably the Transfer of Land Act 1958 and other registration Acts would cover neglect. Overall, the enforcement architecture is minimal. The Act relies on the corporation’s internal governance, audit, and the threat of judicial review to keep leasing and lending within bounds. This creates an environment where the corporation has broad discretion with little oversight beyond the initial approval of longer leases and the general law of ultra vires. Lessees bear the risk of dealing with an entity that can set onerous covenants without statutory limits, knowing that compensation for improvements is statutorily excluded.

The Act’s most significant interaction is its override of other Victorian legislation. Section 3(1A) begins with “Notwithstanding anything in any Act”, which means that the corporation’s power to grant leases of leasable land for the specified purposes prevails over inconsistent provisions in any other Act. This likely overrides the Crown Land (Reserves) Act 1978, the Land Act 1958, and any local government legislation that would otherwise restrict leasing of permanently reserved Crown land. The original preamble recites that the land was permanently reserved as a site for a public park by Order in Council in 1873 and vested in the Board of Land and Works and the City of Melbourne. That permanent reservation remains, but the Act carves out leasing authority as an exception. The Act interacts with the Transfer of Land Act 1958 via s 6(2), which requires the Registrar of Titles to amend the Register under that Act to give effect to the Act’s provisions. Leases granted under this Act would be registered or recorded under the Torrens system. The Act interacts with the Conservation, Forests and Lands Act 1987: the amending Act of 1987 (No. 41/1987) inserted a minor amendment via schedule, confirming that Act’s relevance to Crown land administration. However, the Act does not directly mention the Parks Victoria Act or the Crown Land Management Act 2016, but those Acts post date it; the “Notwithstanding” clause likely preserves the 1966 Act’s primacy for leasing of leasable land. The Act also interacts with the Local Government Act 2020 (formerly the 1989 Act). The corporation is the municipal council, and the loan power under s 4 involves the “municipal fund” - a term from earlier local government legislation. The Act would override any council borrowing or expenditure limits that conflict with the $200,000 aggregate loan cap. The Act does not repeal the original 1873 Order in Council or the 1917 Order in Council appointing a committee of management; it explicitly revokes the latter (s 3(1)) but the permanent reservation remains. The Act also interacts with the Subdivision Act 1988 to the extent that leases of strata may require plan registration, but that is left to the corporation and lessees to navigate. The Interpretation of Legislation Act 1984 governs the reading of the Act (see endnotes). The Act does not interact with the Victorian Charter of Human Rights and Responsibilities; it predates it and is not mentioned; likely the charter’s property rights provisions (s 20) could be engaged if a lessee argued that compensation exclusion is incompatible, but the Act would prevail as a pre charter Act unless amended. Overall, the Act is a narrow override of the general Crown land management regime for a specific site and purposes, and any other Victorian law that would inhibit leasing of leasable land is displaced to the extent of inconsistency.

The Act has been amended six times since its enactment in 1966. The original Act consisted of four sections and a schedule. The first amendment was the Carlton (Recreation Ground) (Amendment) Land Act 1967 (No. 7583/1967), which substituted the definition of “Council” with “corporation”, substituted s 3(1) to appoint the corporation as committee of management and grant the leasing power, added s 3(1A), amended s 3(2)(a) and (3) to refer to the corporation, amended s 4(1) and (2) for the same reason, and substituted the Schedule. This effectively rewrote the operative sections to reflect the council’s corporate identity. The second amendment was the Carlton (Recreation Ground) Land Act 1975 (No. 8703/1975), which amended s 3(2)(b) to set the maximum lease term at 40 years. Previously the limit was 21 years; this change responded to the need for longer leases to support building developments. The third amendment was via the Conservation, Forests and Lands Act 1987 (No. 41/1987), which made a minor amendment to s 3(3) by substituting a reference to “the Minister” (s 103(Sch 4 item 6.1)). This aligned the Act with changes in departmental administration. The fourth amendment was the Carlton (Recreation Ground) Land (Amendment) Act 1995 (No. 88/1995). This made several changes: it amended s 3(1A) (likely to clarify purposes), amended s 4(1) to set the loan cap at $200,000 (likely increased from a lower amount, though the original amount is not given in the source), inserted a new s 5 (later repealed) and s 6 (the registration machinery), and added a Second Schedule (also repealed). The 1995 amendments expanded the leasable land to include the stratum from the 1995 Order in Council (s 2(b)). The fifth amendment was the Parks and Crown Land Legislation Amendment Act 2013 (No. 79/2013), which inserted headings to ss 2 and 3, inserted the definition of “leasable land” in s 2 (replacing the old description), added paragraph (a) for the first parcel, amended s 3(1A), substituted s 3(2)(c) (approval requirement), inserted s 4(1) amendments (still the same cap), repealed s 5 and the original Schedules, and inserted s 6. This was a major restructure, moving the land description from the Schedule to the definition section. The sixth and most recent amendment was the Parks and Public Land Legislation Amendment (Central West and Other Matters) Act 2025 (No. 47/2025), which inserted paragraph (ab) in the definition of “leasable land” to add Crown Allotments 2143-2148, as shown on plan LEGL./23-315. This expanded the area available for lease. The amendment also updated the version number to 004. No amendments have been proposed or enacted since 2025. The loan cap remains at $200,000 aggregate, unchanged since 1995; inflation has substantially reduced its real value.

The source text does not refer to any litigation involving the Carlton (Recreation Ground) Land Act 1966. No cases are mentioned in the Act, its preamble, endnotes, or table of amendments. A search of reported Victorian judgments would likely reveal very few, if any, decisions that turn on this Act. The Act is narrow and localised, which reduces the probability of litigation. Possible disputes could arise over the validity of a lease granted without Governor in Council approval, the interpretation of “leasable land” boundaries (especially the stratum), the meaning of “sport or recreation or social or cultural or educational activities”, or the application of the no compensation clause. However, no such disputes have been recorded in the source. The Act also interacts with the general law of Crown land and leases, so any litigation would likely involve other statutes and the common law, with this Act being one of several relevant instruments. The absence of litigation history in the source is itself noteworthy: it suggests the Act has operated administratively without judicial clarification, meaning that its provisions have not been tested on key ambiguities such as whether the “Notwithstanding” clause overrides the Local Government Act’s borrowing restrictions, or whether the corporation’s discretion is subject to administrative law review. Practitioners should be cautious: the absence of case law does not mean the Act is immune to challenge, but it does mean there is no authoritative judicial interpretation of its core provisions. The Act’s long existence with no reported litigation may indicate that the parties have acted cooperatively or that the limited monetary values involved make litigation uneconomic. Courts may give a liberal interpretation to the permissive language in s 3(1A) if a dispute ever arises, consistent with the Act’s purpose to facilitate development of the leasable land.

Several traps exist for unwary lessees and council officers. The aggregate loan cap of $200,000 in s 4(1) is a hard ceiling on the total principal outstanding at any time. It has not been increased since at least 1995, meaning it is now a trivial sum for any significant building project. A lessee cannot assume a loan will be available even if the council is willing; the cap may already be fully drawn by another lessee. The cap applies to “sum or sums not exceeding in the aggregate $200,000” - the word “aggregate” means total across all loans, not per loan. The council must track this carefully; an overshoot would be ultra vires. Another trap: the no compensation clause in s 3(4) is absolute. It applies “in respect of any improvement whatsoever or of any act matter or thing under this section”. A lessee who builds a clubhouse at significant expense will have no claim against the Crown for the value of that building when the lease ends, even if the lease was terminated early due to council action or if the building is taken over by a new lessee. This shifts all improvement risk to the lessee. The clause says “from the Crown” - which may include the corporation as committee of management acting as agent of the Crown? The definition of corporation is the municipal corporation, not the Crown per se. The lessee may still have a claim against the corporation for breach of contract or in restitution, but the Act arguably excludes any Crown compensation, which could affect the council’s indemnity from the state. A further trap: the purpose limitation in s 3(1A). Leases must be for sport, recreation, social, cultural or educational activities or purposes connected therewith. A lease that includes a restaurant, bar, or retail shop could be challenged unless it is genuinely “connected” to the permitted purposes. The Act does not define “connected”, so the council’s opinion may be open to judicial review. If a lease is later found to be outside the power, it could be void. Another trap: the term limit for leases is 40 years, but the corporation may impose a shorter maximum in its covenants. The Governor in Council approval requirement for leases over three years adds uncertainty and delay; a lessee cannot assume a lease will be final until that approval is gazetted. If approval is refused after negotiations, the lessee may have wasted time and money. The Act does not give the lessee any right to reasons or review of a refusal. There is also no provision for renewal options or assignment without council consent; the corporation can control or prohibit both. The definition of “leasable land” includes a stratum (s 2(b)). A lessee of that stratum may find that their lease does not include surface access or subjacent support rights unless expressly granted. The stratum lease may also interact with the Subdivision Act and require registration of a plan of subdivision, which the Act does not address. Another gotcha: rent must be applied to maintenance and improvement of the park, but the Minister can approve diversion to other purposes. That approval is not publicised and could change the use of rent to something unrelated. Lessees paying rent lose the assurance that their money benefits the park they use. Finally, the corporation can impose “such covenants conditions exceptions and reservations as the corporation thinks fit” (s 3(2)(a)). This is an unfettered power, subject only to the limited Governor in Council oversight and general law reasonableness. There is no requirement that covenants be standard or fair.

Compliance with the Act depends on whether you are the corporation or a prospective lessee. For the corporation, the first step is to ensure that any lease granted falls squarely within the definition of “leasable land” - verify the parcel against the registered plans LEGL./11-042 and LEGL./23-315 and the 1995 Order in Council stratum description. A site survey may be needed. The lease must be for one of the specified purposes (sport, recreation, social, cultural, educational or connected purposes). The corporation should prepare a lease document with covenants it thinks fit; there is no standard form, but it should include a term not exceeding 40 years. If the lease term exceeds three years, the corporation must obtain Governor in Council approval before execution (s 3(2)(c)). This likely involves a submission to the Minister and cabinet; lead time of several months should be budgeted. The corporation must apply all rent received to maintenance and improvement of the whole or any part of the permanently reserved land, unless it first obtains Ministerial approval for an alternative purpose. This means rent should be placed in a dedicated park fund and not diverted to general revenue or other parks. For loans, the corporation must track the aggregate principal outstanding across all lessees to ensure it does not exceed $200,000. Loan agreements must be on terms the corporation thinks fit; the Act does not require competitive tendering or Ministerial approval for loans. The corporation should resolve to approve each loan and record the running total. The corporation must also instruct the Registrar of Titles (via the Land Use Victoria office) to amend the Register and any Crown grant records as necessary under s 6. For a prospective lessee, due diligence is critical. Before committing significant expenditure, the lessee should confirm that the proposed land is within the “leasable land” definition, that the proposed use is permitted, and that the council intends to seek Governor in Council approval if the term will exceed three years. The lessee should negotiate lease covenants carefully, being aware that the corporation has absolute discretion; there is no right to renewal or compensation for improvements. The lessee should assess the loan availability: check with the council whether any portion of the $200,000 cap remains available. If a loan is granted, the lessee must comply with the council’s terms. The lessee should obtain independent legal advice on the lease’s enforceability and the implications of the no compensation clause. The lessee should also consider obtaining a separate access deed or easement if the land is a stratum without surface rights. Both parties should ensure that any lease intended to be registered under the Transfer of Land Act is correctly documented and lodged. The Act does not mandate registration, but a registered lease gives priority. The lessee should also confirm that the building or improvements proposed will comply with the Building Act 1993 and any planning scheme (the Act does not override those laws). While the Act gives primary leasing authority to the corporation, it does not exempt the lessee from the usual suite of approvals for land use, development, environmental management, and heritage (Princes Park may have heritage protections). The lessee should therefore add a “subject to all necessary approvals” condition in the lease. Record keeping is practical: the council should retain copies of all leases, loan agreements, Ministerial approvals, Governor in Council orders, and correspondence with the Registrar.
