Cabrini Private Hospital (Guarantees) Act 1970

Named beneficiary and factual preamble

• The Act is tied to a single entity. The preamble and operative provisions refer repeatedly to The Cabrini Property Association and the Missionary Sisters of the Sacred Heart. The preamble records that the Association holds land in fee simple on behalf of the Sisters and is undertaking an extension to the hospital. Those statements operate as Parliament’s factual record supporting the executive guarantee power.

Executive guarantee power (s 2)

• The Treasurer has a statutory discretion to "execute in favour of any person a guarantee guaranteeing the repayment of any loan to be made by that person to" the named Association (s 2(1)). The guarantee power is to be exercised in respect of loans made to the named borrower, and the guarantee is given to the lender.

Form and terms discretion (s 2(2)(a))

• The Treasurer may set the form and terms of each guarantee "as he thinks fit" (s 2(2)(a)). That language confers broad executive discretion on the Treasurer to design the contractual terms of guarantees, including, for example, the extent of coverage, conditions precedent, covenants of the borrower, security, procedures for drawing on the guarantee and timelines for repayment, subject only to the statutory limit on aggregate principal liability.

Coverage beyond principal (s 2(2)(b))

• The Treasurer may extend a guarantee to cover "any interest charges and expenses chargeable by the person making the loan and the expenses of enforcing or obtaining or endeavouring to enforce or obtain repayment of the loan and such interest charges and expenses" (s 2(2)(b)). That mechanism allows guarantees to include interest and enforcement-related outgoings in addition to the principal amount.

Aggregate principal cap (s 3(1))

• The Treasurer must not execute any guarantee under the Act if that guarantee would cause the aggregate principal liabilities under guarantees given pursuant to the Act to exceed $750 000 (s 3(1)). The cap is expressly denominated as an aggregate of principal sums guaranteed under the Act.

Source of payment (s 3(2))

• Any sums becoming due and payable by the Treasurer under guarantees authorised by the Act are to be paid out of the Loan Fund, which the Act appropriates to the necessary extent (s 3(2)). The act therefore creates a statutory direction to charge payments to a specified fund.

Temporal and interpretative context

• The Act was assented to on 24 March 1970 and is presented with endnotes that record no legislative amendments as at the stated version date. The Interpretation of Legislation Act 1984 (endnotes) affects certain style and interpretative matters for Acts, but the cabrini Act itself contains no operational definitions or reporting obligations.

Conceptual takeaways

• The Act is a targeted credit-enhancement instrument, structured as a statutory authorisation for executive guarantees to a private, named hospital property association, subject to an aggregate principal limit and financed from the Loan Fund. The Treasurer has wide discretion over the contractual content and financial range of each guarantee within those statutory boundaries.

Primary entities named in the Act

• The Cabrini Property Association is the statutory beneficiary of the Treasurer’s guarantee power. The preamble identifies the Association as a company limited by guarantee incorporated under the Companies Act 1961 and as the registered proprietor of the fee simple estate on which the hospital is conducted. The Missionary Sisters of the Sacred Heart are described in the preamble as the operators of the hospital, though the operative guarantees are framed in respect of loans to the Association rather than to the Sisters directly.

Executive actor

• The Treasurer of Victoria is the statutory decision maker. Section 2(1) vests in the Treasurer the power to execute guarantees in favour of any person who lends money to the named Association. Section 2(2)(a) further vests in the Treasurer a discretionary power to determine the form and terms of each guarantee.

Lenders and finance counterparties

• "Any person" is the statutory language used in s 2(1) for the party in whose favour a guarantee may be executed. That phrase permits lending by banks, financial institutions, corporations or private lenders. Those lenders may receive a state-backed pledge of repayment for loans they make to The Cabrini Property Association, subject to the Treasurer’s decision and the aggregate cap in s 3(1).

Victorian Government finances and taxpayers

• Section 3(2) directs payment of sums that become due under any such guarantee from the Loan Fund, which is appropriated accordingly. That makes the Loan Fund the formal source of any outflows arising under the guarantees. Practically, liability for amounts paid under guarantees falls to the state executive and ultimately to public finances managed through the Loan Fund.

Auditors, accountants and compliance professionals

• The Act creates contingent liabilities that will be material for public finance accounting. The contingent liability is the state’s obligation under each guarantee until and unless the principal or other covered sums are repaid by the borrower or otherwise discharged. Financial officers and auditors administering the Loan Fund or reporting on contingent liabilities will need to monitor the aggregate principal exposure to ensure compliance with s 3(1).

Service users and the hospital

• The preamble records that the hospital and its extension are the policy objects motivating assistance. While the Act does not create rights for patients or service users, completion of the extension financed with guaranteed loans is the purpose asserted in the preamble. The Act’s mechanics therefore affect the borrower’s capacity to finance capital works that may affect hospital operations.

Other branches and legislative interactions

• The preamble cites the Companies Act 1961 in respect of the Association’s corporate status. The Act itself does not impose regulatory obligations on the lender or borrower beyond the substance of the guarantee; however, the operation of the guarantee will intersect with other legislative regimes (for example, public finance, company law and secured transactions) when guarantees are given and enforced, even though those interactions are not specified in the short Act.

Treasurer’s rights and duties

• Power to execute guarantees: Under s 2(1) the Treasurer has the right to execute guarantees in favour of "any person" who makes a loan to The Cabrini Property Association. That is an enabling right; the Act does not convert it into an obligation to guarantee any particular loan. The Treasurer may choose whether, when, and on what terms to provide guarantees.

• Discretion to fix form and conditions: Section 2(2)(a) gives the Treasurer authority to determine "such form and subject to such terms and conditions as he thinks fit." The provision places no statutory constraints or mandatory content obligations on those terms and conditions. Operationally, the Treasurer is responsible for devising the contractual content of guarantees, including whether to require security from the borrower, covenants, draw conditions, notice requirements, waiver and assignment provisions, or other commercial terms.

• Discretion to extend coverage: Section 2(2)(b) allows the Treasurer to extend a guarantee to cover interest charges, lender fees, and expenses of enforcing repayment. The Treasurer therefore has the right to approve coverage that includes not only principal but also ongoing financing costs and enforcement outlays. Where the Treasurer elects to include such cover, those covered items become payable by the Treasurer under the guarantee when the lender enforces entitlement.

• Compliance with aggregate limit: Section 3(1) imposes a statutory duty on the Treasurer not to execute any guarantee that would make the aggregate principal sums guaranteed under the Act exceed $750 000. This is a limiting duty. The Treasurer must calculate aggregate principal exposure across all guarantees given under the Act and refuse to authorise any additional guarantee that would cause the aggregate to exceed the statutory ceiling.

Payment duty and appropriation

• Payment under guarantees: Section 3(2) requires that "such sums as may from time to time become due and payable by the Treasurer" under guarantees authorised by the Act be paid out of the Loan Fund. The Act thereby creates a duty to meet valid claims under the guarantees from that fund and appropriates the fund to that end.

Lender rights

• Beneficiary rights under guarantee: A lender in whose favour the Treasurer executes a guarantee receives the contractual right to call on the state for payment of amounts covered by the guarantee if the borrower defaults. The precise nature and scope of that right depend on the terms set under s 2(2)(a) and the coverage chosen under s 2(2)(b). The statutory scheme gives lenders the right to insist on repayment from the Treasurer in the circumstances and to the extent provided in the executed guarantee.

Borrower obligations and implied duties

• The Act confers no express statutory obligations on The Cabrini Property Association as borrower. Any borrower duties (for example, covenants in the loan or security documents) will arise from contract with lenders or from terms the Treasurer may impose as a condition of giving a guarantee. The Act does not itself mandate monitoring, reporting or performance covenants from the borrower.

No penal regime in the Act

• The Act creates no offences, pecuniary penalties or administrative sanctions. Enforcement relates to contractual rights and public finance obligations once a guarantee is executed and a claim arises. The Act’s payment mechanics are limited to appropriation of the Loan Fund and the Treasurer’s duty under s 3(2) to meet sums that become due under the guarantees.

Obligations to observe the cap and accounting consequences

• The capped aggregate principal exposure in s 3(1) is an operational constraint on the Treasurer and a compliance requirement for finance officials. It creates a legal ceiling that must be respected when executing guarantees and will be relevant to public accounting and contingent liability disclosure.

Absence of penal provisions

• The Act contains no penal provisions, criminal offences or administrative penalty regimes. It does not, for example, create an offence for breaching the cap or for failing to include particular protections in a guarantee. Consequently, enforcement of obligations under the Act takes place through standard contractual remedies and public finance mechanisms rather than through statutory sanctions provided in the Act itself.

Contractual enforcement of guarantees

• When the Treasurer executes a guarantee in favour of a lender, the guarantee will be a contractually enforceable obligation of the state to the extent permitted by law and by its terms. The lender's remedies for enforcement will be governed by the terms of that guarantee and by general principles of contract law. The Act contemplates enforcement-related costs being covered by a guarantee if the Treasurer elects to include them (s 2(2)(b)), in which case enforcement expenses may themselves be recoverable under the executed guarantee.

Payment obligation and appropriation

• Section 3(2) requires that sums becoming due and payable by the Treasurer under guarantees be paid out of the Loan Fund and appropriates that fund accordingly. The appropriation is a statutory direction for payment; operationally, once the Treasurer is contractually liable under a guarantee, payment is to be sourced as directed by s 3(2). The Act therefore converts contractual liability into an instruction about state fund allocation.

Limits on exposure and legal risk if exceeded

• The only explicit statutory limit on the Treasurer’s exposure is the aggregate principal cap in s 3(1). The Act does not spell out a statutory sanction for executing a guarantee that would cause the cap to be exceeded. In practical terms, a guarantee executed in breach of a statutory prohibition could raise legal and constitutional issues about the validity of the transaction, the enforceability of the guarantee, and executive liability. The Act itself does not prescribe the consequences for a breach of s 3(1).

No statutory review, reporting or oversight mechanisms

• The Act does not require parliamentary notification at the time guarantees are issued, nor does it establish reporting obligations in the text of the Act. Endnotes indicate the date of assent and the absence of amendments, but the operative provisions themselves do not include statutory oversight or publication requirements. Oversight and disclosure would depend on other public finance statutes, administrative practice and internal accounting rules not contained in the Act.

Practical enforcement implications

• Because the Treasurer controls the form and terms of each guarantee, lenders should ensure that the guarantee they receive contains clear enforcement procedures, remedies and rights of recovery. From the state side, the direction to pay from the Loan Fund places the payment mechanism within the public finance system. Any lender seeking to enforce a guarantee should expect to enforce contractual rights against the state and to pursue remedies provided in the guarantee first, with public finance mechanisms engaged on payment.

Reference to Companies Act 1961

• The preamble identifies The Cabrini Property Association as "a company limited by guarantee incorporated under the Companies Act 1961." That cross-reference locates the borrower in the corporate law framework current to the date stated in the preamble. The Act itself does not modify company law; it merely records the corporate capacity of the borrower. Any lender security or enforcement rights against the borrower will operate within the applicable company law regime.

Interaction with public finance and appropriation rules

• Section 3(2) directs payment of sums due under guarantees to be made from the Loan Fund and appropriates that fund to the necessary extent. While the Act does not define the Loan Fund, its appropriation indicates the Act’s intention to charge any payments to the state’s established loan financing arrangements. Interaction with Victoria’s broader public finance statutes and rules (for example, budget processes, Treasury instructions and audit regimes) is not specified in the Act, but those regimes will govern implementation and accounting treatment beyond the Act’s direction.

Guarantee as a contract with the state

• Execution of a guarantee by the Treasurer creates contractual relations between the state and the lender. Such contracts are ordinarily subject to general contract law principles. The Act’s grant of power to the Treasurer to decide the form and terms under s 2(2)(a) means that contractual content, including any conditions precedent, representations, warranties, indemnities, and dispute resolution mechanisms, will determine the substantive interaction between the guarantee and other legal obligations.

Contingent liabilities and financial reporting

• The Act creates contingent liabilities for the state when guarantees are given. Those contingent liabilities will need to be treated in financial statements and public accounts in accordance with applicable accounting standards and public sector reporting rules. The Act itself does not set accounting treatment; that will be determined by other laws and standards governing public accounts.

No express supersession of other authorisations

• The Act does not state that it overrides or supplements any other statutory guarantee powers. It is a standalone authorisation targeted at a particular borrower and purpose. Any relationship between guarantees given under this Act and guarantees that might be authorised under other statutes will depend on the terms of those other statutes and on constitutional or administrative law principles, none of which are addressed in the Act.

Interpretation of style and text

• Endnotes reference the Interpretation of Legislation Act 1984 for style matters and interpretive effects of headings, notes and punctuation. Those interpretive rules apply to the Act as part of the interpretive environment for Victorian legislation, but they do not change the substantive powers and limits expressed in ss 2 and 3.

Original enactment and assent

• The Cabrini Private Hospital (Guarantees) Act 1970 was assented to on 24 March 1970 and came into operation on the same date. The legislative note in Endnote 1 records those dates.

Subsequent amendments

• The published table of amendments records that there are no amendments made to the Act by Acts or subordinate instruments. The formal "Table of Amendments" in the supplied text states there are no amendments. Endnote 2 reiterates that there are no amendments to the Act.

Amendments not in operation

• The supplied endnotes indicate there are no amendments "Not in Operation" as at the publication date. Endnote 3 states explicitly that there are no such amendments.

Interpretative changes and style adjustments

• The Version notes and endnotes reference the Interpretation of Legislation Act 1984. That Act authorises certain style changes which affect how headings, punctuation and examples are treated for interpretation. Those are not substantive amendments to the Cabrini Act’s operative provisions but affect presentation and interpretive treatment under Victorian legislative practice. The supplied version notes include standard statements about the interpretative effect of ILA provisions such as section 36 and section 54A.

Versioning

• The supplied document is labelled Version No. 002 and is current as at 1 June 2019. There is no record in the supplied text of later amendments or repeals. The Endnotes indicate the table of provisions and explanatory details are part of the published version, with no entries in the explanatory details at the date of publication.

Practical consequence

• Because the Act has not been amended according to the supplied material, the statutory text currently in force remains the short set of operative provisions in sections 1 to 3 read with the preamble and endnotes. Any changes to the Act, such as raising the cap, imposing reporting requirements, or expanding the class of beneficiaries, would require a subsequent legislative amendment that is not present in the supplied version.

No reported litigation in the supplied materials

• The provided legislative text and endnotes do not record any case law, reported disputes or litigation arising under the Act. The "Litigation history" heading in the required output must be grounded only in the supplied text; that text contains no entries describing cases, challenges or judicial consideration.

Implications from absence of reported cases

• The absence of reported litigation in the supplied material means there is no parliamentary, judicial or administrative precedent recorded here that interprets the scope of the Treasurer’s discretion under s 2, the application of the aggregate cap in s 3(1), or procedural issues such as enforceability of guarantees executed under the Act. Practitioners seeking precedent on these points will need to look beyond the supplied text to other sources not included here.

Potential areas where litigation might normally arise

• Although no cases are recorded in the supplied materials, the principal legal issues that could arise in litigation about guarantees of this kind include: (1) interpretation and enforceability of guarantees executed under s 2; (2) whether a guarantee breaches the statutory cap in s 3(1) and the legal consequences of any breach; (3) the scope of any guarantee in respect of interest and enforcement expenses under s 2(2)(b); and (4) constitutional or procedural challenges to execution of guarantees without further parliamentary appropriation or approval. The supplied Act does not provide judicial answers to these points.

No recorded disputes over Loan Fund appropriation

• The Act appropriates the Loan Fund for payments under guarantees at s 3(2). There is no recorded judicial consideration in the supplied materials addressing disputes about the use of the Loan Fund for such payments or any limits on that appropriation.

Aggregate cap applies to principal only

• Section 3(1) refers specifically to the "principal sum of any loan" and aggregates the principal sums guaranteed under the Act. Section 2(2)(b) separately authorises guarantees to extend to interest, charges and enforcement expenses. A first practical pitfall is to assume that the $750 000 statutory ceiling applies to total exposure including interest and enforcement costs. The statutory text ties the cap to principal sums; it does not expressly limit interest or other covered costs. If the Treasurer issues guarantees that cover significant interest or enforcement expenses, those additional exposures may not be counted towards the $750 000 principal cap as drafted.

Wide discretion on form and terms

• Section 2(2)(a) permits the Treasurer to adopt whatever form and terms "he thinks fit." That is broad language and means that the Act imposes no mandatory content requirements on guarantees. Practitioners should not expect the Act to impose minimum borrower covenants, security, assignment restrictions, or reporting obligations. The exact protections a lender receives will be those set in the executed guarantee, not in the Act.

"Any person" as beneficiary

• The Act allows the Treasurer to execute a guarantee "in favour of any person" who lends to the Association (s 2(1)). In practice, that permits guarantees to be given to a wide range of counterparties, including commercial banks and private lenders. Parties negotiating loan documentation should confirm the identity and authority of the person receiving the guarantee and ensure the guarantee’s terms are explicit about enforcement, priority and subrogation.

Loan Fund mechanics may not be obvious

• Section 3(2) directs payment from the Loan Fund but the Act does not define the Loan Fund. The practical consequence is that administrators must identify the relevant fund and ensure budgetary and accounting compliance when payments are made. Failure to account properly for payments could raise audit or public finance issues even though the Act itself appropriates the fund for this purpose.

No express procedural checks or reporting in the Act

• The Act does not require the Treasurer to obtain approvals, publish guarantees, report them to Parliament, or seek consent from other ministers. The statutory authorisation is Parliament’s act and the Treasurer’s power is operationalised without further procedural requirements spelled out in the Act. Administrative rules or other statutes may impose oversight, but such obligations do not appear in the Act.

Potential enforceability issues if cap exceeded

• The Act prohibits the Treasurer from executing guarantees that would aggregate to more than $750 000 in principal (s 3(1)). The Act does not state the legal consequences if a guarantee is executed in breach of that prohibition. That creates legal uncertainty about the enforceability of a guarantee given in excess of the cap and about the state’s remedy or liability in such circumstances.

Limitations on borrower obligations

• The Act does not itself impose borrower covenants or monitoring obligations. Lenders relying solely on the statutory authorisation should ensure borrower obligations and security are captured in the loan and guarantee documents, rather than relying on implied statutory conditions.

Scope limited to the named association

• The Act’s power is explicitly intended for The Cabrini Property Association and the preamble documents the specific factual situation prompting Parliament’s authorisation. It does not create a general power to guarantee loans for other hospitals or organisations. Any attempt to use this Act as authority for guarantees for other borrowers would be inconsistent with the explicit text.

Vintage drafting and interpretative issues

• The Act was enacted in 1970 and uses older legislative phrasing such as "he thinks fit" in s 2(2)(a). While interpretive statutes noted in the endnotes may affect how such gendered phrasing is understood today, practitioners should be alert for stylistic or drafting features that reflect the Act’s vintage.

For the Treasurer’s office and legal advisers

• Verify aggregate exposure before executing any guarantee: Before executing a guarantee, the Treasurer must ensure that doing so will not cause the aggregate principal sums guaranteed under the Act to exceed $750 000 (s 3(1)). That requires maintaining an up-to-date register of all principal amounts guaranteed under the Act and projecting the effect of any proposed new guarantee.

• Set and record the terms carefully: Section 2(2)(a) gives discretion over form and terms. Legal advisers should draft guarantees to clearly reflect coverage, conditions precedent, borrower covenants, security arrangements, notice and cure periods, subrogation, set-off, dispute resolution and enforcement mechanics. Where the Treasurer elects to include interest and enforcement expense coverage under s 2(2)(b), the guarantee should specify calculation methods, caps on recoverable costs, and admissible categories of enforcement expense.

• Budget and ensure Loan Fund availability: Section 3(2) requires payment out of the Loan Fund. Treasury accounting and budget officers should ensure that contingent liabilities from issued guarantees are recorded and that funds are available or forecast in the Loan Fund to meet potential calls. That includes ensuring that public accounts disclose contingent liabilities in accordance with applicable financial reporting standards.

• Document decision-making and policy rationale: Given the breadth of discretion in s 2(2)(a), maintain an internal record of the reasons for granting a guarantee, the chosen terms, risk assessment, and any conditions imposed on the borrower. Although the Act does not require reporting, a transparent administrative record assists accountability and audit compliance.

For lenders and their counsel

• Obtain and review the executed guarantee: Because the Act leaves substantive content to the Treasurer’s discretion, lenders must ensure that the executed guarantee provides the protections they require. Confirm that the guarantee expressly covers what the lender understands it to cover, including any interest and enforcement expenses contemplated under s 2(2)(b).

• Check aggregate exposure and priority risk: Lenders should request confirmation, ideally in writing from Treasury, of the aggregate principal exposure remaining under the Act at the time the guarantee is issued, to confirm no breach of s 3(1). Where guarantees are issued to multiple lenders, attention should be given to the guarantee's ranking, priority and any pari passu or subordination arrangements.

• Address security and enforcement mechanics: The Act is silent on security arrangements. Lenders should negotiate appropriate security over the borrower’s assets where commercially necessary and ensure that the guarantee interacts predictably with any security, including on issues of enforcement and subrogation.

For The Cabrini Property Association and borrowers

• Understand conditions imposed by the Treasurer: The borrower should obtain and record any conditions the Treasurer requires in exchange for issuing guarantees. Borrowers should plan for covenants, reporting requirements, or security that the Treasurer may impose as a condition under s 2(2)(a).

• Plan for loan servicing and budgeting: Even with a state guarantee, the borrower remains contractually obliged to service loans. The borrower should not rely on the guarantee as a substitute for proper financial management or for meeting debt service obligations.

For auditors and accountants

• Record contingent liabilities: When guarantees are issued, their principal and any probable interest or enforcement exposure should be assessed for recognition or disclosure under relevant public sector accounting standards. The Treasurer’s office should record contingent liabilities arising under guarantees and disclose them in public financial statements as required.

• Monitor compliance with the statutory cap: Auditors should verify that guarantees executed do not cause the aggregate principal sum guaranteed under the Act to exceed $750 000, as required by s 3(1), and should report any instances where the cap appears to have been or will be exceeded.

For parliamentary and oversight bodies

• Seek information on guarantees issued: Although the Act does not impose reporting requirements, oversight bodies may request information on any guarantees executed, their terms, aggregate principal exposure, projected contingent liabilities and the policy rationale consistent with public accountability practices.

Final practical checklist

1. Confirm the borrower is The Cabrini Property Association named in the Act and that the loan is in respect of that borrower. 2. Confirm the lender for whose benefit a guarantee is to be made and obtain the precise executed guarantee. 3. Verify aggregate principal exposure to ensure s 3(1) compliance. 4. Ensure Loan Fund payment mechanism is understood and that contingent liability is recorded in public accounts. 5. Ensure guarantees explicitly clarify coverage for interest, charges and enforcement expenses if included under s 2(2)(b). 6. Keep contemporaneous records of decision-making and the form and terms chosen under s 2(2)(a).

By following the statutory text and these procedural steps, executive officers, lenders, borrowers and accountants can align operations with the legal mechanics set out in the Cabrini Private Hospital (Guarantees) Act 1970.
