Business Names (Commonwealth Powers) Act 2012

The Act revolves around a small set of statutory concepts that determine legal effect.

• Adoption. Defined in s 3 and given statutory effect in s 5, “adoption” is the State’s formal adoption of the national business names legislation “as originally enacted” (s 5(1)). Adoption is time‑bound: it commences when s 5 comes into operation and ends on a day the Governor fixes by proclamation (s 5(2); s 8). The Act does not itself import subsequent Commonwealth amendments automatically beyond the scope of the amendment reference; it specifies an “existing legislation” concept to capture Commonwealth amendments made under the amendment reference before any termination (s 9).

• Amendment reference. Defined in s 3 and given effect by s 6, the “amendment reference” is the referral of the listed “continuing business names matters” to the Commonwealth Parliament for the limited purpose of enabling express amendments to the national business names legislation. Section 6(1) says each continuing business names matter is referred “but only to the extent of the making of laws with respect to the matter by making express amendments of the national business names legislation.” Section 6(2) limits the reference to the extent the subject matter is not already within the Commonwealth’s powers except via such a section 51(xxxvii) referral.

• Continuing business names matters. Section 4 defines this list narrowly. It includes registration, regulation of use to assist identification and contact, use restrictions to reduce risks from using another entity’s name, and prohibitions for undesirable, offensive or confusing names, and prohibitions tied to unlawful conduct by the entity or its management (s 4(1)(a)-(f)). The Act expressly excludes a range of State matters from the referral and adoption, for example: restrictions affecting government bodies carrying on business under a name, obligations to display names specified in State law or registered on a notified State register, omission or limitation of particular exemption provisions, and State taxation matters (s 4(2)(a)-(h)).

• Change‑over day. The Act references the “change‑over day” which is the date defined in the Commonwealth Transitional Act (inserted into definitions in s 16). Multiple amendments across Pt 3 use the change‑over day as the trigger that alters applicability of State provisions: applications, notices, renewals, cancellations, and court or tribunal applications have different rules depending whether they occur before or after that day (see ss 7-12, 18-19 and multiple amendments). The change‑over day is thus the operational cut‑over from State to Commonwealth administration.

• Commissioner acting for the State and disclosure. The Act inserts new ss 4B-4C into the State Business Names Act 1962. These permit the State Commissioner to perform a set of transition tasks on behalf of the State, including giving ASIC notifications under the Commonwealth Transitional Act Schedule 1, disclosing business names information and records to ASIC, and giving other transition assistance in whatever form the Commissioner considers appropriate, including electronic transmission (s 4B(2)-(5)). Section 4B(6) makes that disclosure prevail over other secrecy laws. Section 4B(7) grants civil and professional immunity for doing anything in good faith under s 4B.

• Termination and proclamation procedure. The Governor may fix a termination day by Gazette proclamation, but only after a draft has been approved by resolution of both Houses (s 8(1), (6)). Proclamations must specify a day at least six months after publication (s 8(2)). A revocation mechanism exists, but it must itself be published before the day fixed (s 8(3)-(5)). Section 9 deals with the intended legal consequences if the amendment reference is terminated before the adoption terminates.

• Regulation powers and parliamentary control. The Governor can make regulations for the Act (s 10). In particular, the regulations may declare excluded matters for the Commonwealth ss 13 and 14, or declare State provisions as displacement provisions for Commonwealth s 14, but draft regulations for those purposes require prior approval by both Houses (s 11(1)-(3)). Transitional regulations can deal with savings and transitional matters and may retro‑effect certain matters back to a commencement day, subject to protections against prejudicing rights or imposing retrospective liabilities (s 12).

• Sunset and review. The State Business Names Act 1962 is given an express expiry mechanism: it “expires on a day fixed by proclamation” but only if the Commissioner has first certified to the Minister that the State Act is no longer necessary (s 3A). The Business Names (Commonwealth Powers) Act 2012 itself must be reviewed after five years (s 13).

These concepts structure the legal and administrative transfer. The Act layers limits on referral scope, carve‑outs for government obligations and taxes, and procedural safeguards such as parliamentary approval for key proclamations and certain regulations.

The Act changes who regulates and records business names, and so it affects several classes of actors in distinct ways.

• Businesses and sole traders using business names. Any entity that registers or uses a business name in WA will ultimately be regulated under the Commonwealth Business Names Registration Act 2011 once the change‑over day occurs. Section 3 defines “entity” to include individuals, bodies corporate or unincorporate, partnerships, and anything classified as an entity in the Commonwealth Act (s 3). The Act prevents lodging new State applications on and after the change‑over day (see the suite of amendments in Pt 3, e.g. s 7(1A), s 11(1A), s 12(1A)). Entities with outstanding State applications or notices pending before the change‑over day retain certain rights of renewal, review, or conversion, but those rights are time‑limited and subject to decisions by the Commissioner, the Minister, or the State Administrative Tribunal depending on the procedural context (see ss 7(4A), 9(2A), 11(2B), 19(2B)-(4)).

• The State Commissioner for Business Names. The Commissioner’s role shifts from primary regulator to transition manager. The Commissioner is empowered to give ASIC notifications under the Commonwealth Transitional Act, to disclose business names information and records to ASIC, and to make decisions about whether, had certain State processes been completed before change‑over day, particular outcomes (registration, renewal, cancellation) would have been reached (inserted ss 4B-4C; see also amendments to ss 7, 10, 11, 12, 19). The Commissioner also must provide a certificate to the Minister if a proclamation is to be made terminating the State Business Names Act under the new s 3A.

• Australian Securities and Investments Commission (ASIC). ASIC is the Commonwealth body that the Commissioner is to assist during transition. The Commissioner may give notifications to ASIC under the Commonwealth Transitional Act and provide copies of State records and data (s 4B(2), (4)-(5)). The Commonwealth register established under the Commonwealth Act becomes the operative register for business names (Pt 3 inserted s 24(2) referencing the Commonwealth register, and s 35 Pt 3 deleting State provisions). ASIC will administer the national Business Names Register and act on notifications received from the Commissioner.

• State government bodies, local governments, regional local governments and regional subsidiaries. These actors are affected in two ways. The Act excludes certain State matters from the continuing business names matters referral , for example, restrictions affecting the ability of a government body to carry on business under a name, or obligations on a government body to include or display a name, are not continuing business names matters (s 4(2)(a), (d)). However, the Commonwealth adoption and national register will still operate for the broader private sector. Government bodies that interact with business names registers or rely on particulars of a registered name must note that references in WA law and procurement may point to the Commonwealth register after change‑over.

• Courts and tribunals. The District Court, the State Administrative Tribunal (SAT), and other adjudicative bodies face altered time limits and jurisdictional interactions for applications connected to the State regime. The Act bars applications to the District Court under s 5A(3) on or after the change‑over day (s 20(2A)); it modifies the timeframe for SAT review applications and permits SAT to hear reviews of Commissioner decisions under transitional procedures but limits the time for filing such review applications relative to the change‑over day (see ss 19(2B)-(5), 7(4A), 9(2B)). The Act also provides for instance under s 24(2) that copies of entries in the Commonwealth register supplied by ASIC are admissible in proceedings relating to matters arising before the change‑over day.

• Professionals who advise on corporate and commercial matters , lawyers, accountants, compliance officers and registrars. These professionals must reroute processes, replace references to the State Business Names Act 1962 in client checklists with the Commonwealth Business Names Registration Act 2011, monitor the change‑over day for deadlines, and advise clients on new application and renewal procedures, replacement evidence sources (Commonwealth register entries via ASIC), and the time constraints on seeking State remedies.

• Administrators of other WA Acts amended by Pt 4. The Act amends cross‑references in several statutes to look to the Commonwealth Business Names Registration Act 2011 instead of the State Business Names Act 1962. For example, changes in the Auction Sales Act 1973, Employment Agents Act 1976, Settlement Agents Act 1981, Travel Agents Act 1985, and the Legal Profession Act 2008 mean that statutory processes under those Acts will reference the Commonwealth register or Commonwealth application requirements where relevant (see Divisions 1-5 of Part 4, e.g. ss 37-45).

• Persons with outstanding State matters. The Act identifies categories of “outstanding matters” that the Commissioner can ask ASIC to hold a business name for, including pending applications for registration, ministerial consent, renewal statements, notices issued by the Commissioner before the change‑over day with expiry on or after the change‑over day, and pending court or SAT applications (s 4C). Those persons retain narrower rights to be heard or to lodge new State‑regime filings but must observe the transitional decision templates the Commissioner may apply after the change‑over day.

Who pays. The direct fiscal effect is the shift of the administrative cost of maintaining and operating the register to the Commonwealth and to ASIC once the national scheme is fully operative. The Act does not itself set fees, but by adopting the Commonwealth regime it places fees and compliance costs on private registrants in accordance with the Commonwealth Act and ASIC fee schedules once the change‑over occurs. The State continues to carry transitional administration costs and the Commissioner remains responsible for certain transitional tasks until the State Act is expired.

Who decides. Before change‑over, the State Commissioner and the State Minister retain decision‑making powers under the State Act, with the Commissioner authorised to finalise pending State matters after the change‑over day in many situations (see ss 7(4A), 9(2B), 10(2B), 11(2B), 12(5), 19(2B)). Once the change‑over day occurs and the national regime applies, the Commonwealth (via ASIC and the national law) will decide registration, renewal and cancellation matters, subject to the constraints of the adoption and any excluded matters declared under regulations.

The Act creates duties for the State Commissioner, prescribes rights for affected persons in the transition, and preserves certain State remedies within limited timeframes. The key duties and rights are as follows.

Duties and powers of the Commissioner

• Transition duties and notification. The Commissioner may, on behalf of the State, give ASIC notifications under the Commonwealth Transitional Act Schedule 1 and do anything required to facilitate transition (s 4B(2)). The Commissioner may give notifications that a business name is to be held for outstanding matters, and notify ASIC when such outstanding matters have been finally resolved (s 4B(3)(a)-(b)).

• Disclosure and records transfer. The Commissioner may disclose business names information to ASIC and provide copies of records in whatever form the Commissioner considers appropriate, including electronic data (s 4B(4)-(5)). Section 4B(6) states that if anything authorised by s 4B would be contrary to other secrecy or confidentiality enactments, s 4B prevails.

• Immunity for good faith actions. The Commissioner acting in good faith under s 4B does not incur civil or criminal liability, and such acts are not breaches of confidentiality obligations or professional rules (s 4B(7)). The doing of anything includes omissions (s 4B(8)).

• Preservation of previously lodged State matters. The Commissioner is empowered to decide on or after the change‑over day whether, had State applications or notices been finally dealt with before the change‑over day, specified outcomes (registration, renewal, cancellation) would have occurred (see ss 7(4A), 10(2B), 11(2B), 12(5), 19(2B)). This is a practical duty to make retrospective decisions to smooth the transition.

Rights and obligations of entities

• Suspension of State application rights. After the change‑over day, new applications under the State Act cannot be made (various amendments, eg s 7(1A), s 11(1A), s 12(1A), s 23(1A)). Where a State application was made before the change‑over day but not finalised, the Commissioner may decide the outcome as if it had been dealt with prior to the change‑over day (see ss described above).

• Time limits for ministerial consent, reviews and appeals. The Act inserts specific time limits for applications to the Minister and for judicial or tribunal review that are pegged to the change‑over day. For example, for ministerial consent under s 9 an application cannot be made after the end of two months after the change‑over day in some cases and 28 days in others (s 23(1A), (2A)-(2B)). Applications to the State Administrative Tribunal under s 19(3) are similarly time limited, with a two‑month or 28‑day limit depending on the nature of the Commissioner’s decision (s 19(4)).

• Continued criminal liability for pre‑change conduct. Although many State provisions cease to apply to acts or omissions on or after the change‑over day, the Act preserves the ability to punish persons on or after the change‑over day for offences committed under the State Act before the change‑over day (see amendments to s 5 and s 5A, inserted paras (1A)-(1B) and (2A)-(2B)). That is, prosecutions for prior conduct are preserved.

• Evidence and admissibility. A copy of an entry in the Commonwealth register provided by ASIC is admissible in proceedings relating to a matter arising before the change‑over day and is evidence of the matters stated in the entry (inserted s 24(2)). This converts the Commonwealth register entry into competent evidence for State proceedings concerning pre‑change facts.

Regulatory and parliamentary checks

• Parliamentary approval for key instruments. Several provisions require prior approval by both Houses before a draft proclamation or draft regulation that affects the adoption, termination, excluded matters, or displacement may be made (s 8(6); s 11(3)). This gives Parliament a gatekeeping role over major transitional decisions.

• Regulation‑making powers and limitations. The Governor may make regulations for the Act generally (s 10). Regulations may declare excluded matters for Commonwealth s 13 and s 14 displacement provisions, but only after parliamentary approval of the draft (s 11). Transitional regulations may be made but not after 12 months following commencement (s 12(5)), and may not impose retrospective liabilities to the detriment of persons other than the State (s 12(4)).

Rights of review and procedural protections

• State Administrative Tribunal jurisdiction preserved in limited cases. Where the Commissioner makes certain decisions before the change‑over day, persons retain rights to make applications to the SAT (see s 19 and its amendments), but time limits adjust relative to the change‑over day.

• Preservation of outstanding rights. The Act identifies outstanding matters that the Commissioner may notify ASIC to hold (s 4C); these include applications for registration, renewals, ministerial consents, statements lodged under ss 11 and 12, notices issued under ss 10 and 18, and pending court or tribunal applications. Such persons retain specified rights to apply or lodge statements on or after the change‑over day in certain constrained ways (as set out in the s 4C list and the transitional amendments across ss 7-12, 18-19).

In sum, the Act creates duties on the Commissioner to effect transition and to disclose State data to ASIC, preserves rights to finalise outstanding State matters but limits the ability to commence new State proceedings after change‑over, preserves the ability to prosecute pre‑change offences, and shifts the locus of day‑to‑day decision‑making for business names to the Commonwealth once the national scheme takes effect.

The Act itself does not create new substantive criminal offences; rather, it modifies the temporal operation of existing State enforcement and penalty provisions in the Business Names Act 1962 and preserves enforcement for pre‑change conduct. The key enforcement effects and penalty‑related mechanisms are as follows.

Preservation of criminal liability for pre‑change conduct

• The amendments to s 5 and s 5A make clear that the State may punish an act committed under the State Act that occurred before the change‑over day, even if the punishment occurs after the change‑over day (see inserted paras s 19(1A)-(1B) and s 20(2A)-(2B)). The amendments explicitly reference The Criminal Code s 11 to indicate that prosecutions and punishments can follow into the post‑change period for pre‑change offences.

Limitation on new State offences after change‑over day

• Multiple amendments prevent State applications, renewals or notices from being acted on after the change‑over day, in many cases by inserting words such as “does not apply on or after the change‑over day” (e.g. s 6(1A), s 21(1) and (4) as amended). This effectively ends the State’s capacity to enforce or pursue new offences or breaches that would otherwise be tied to new applications or obligations under the State Act once the national regime is in place.

Commissioner’s transitional enforcement decisions

• Where the Commissioner sent a notice before the change‑over day with a period expiring on or after the change‑over day, the Commissioner may on expiration decide whether, had the expiry occurred before the change‑over day, the Commissioner would have cancelled the registration (see s 10(2A)-(2B)). Similarly, the Commissioner may decide whether would have cancelled under s 19(2B). Those decisions can trigger rights to review, but that review is time limited (s 19(4)). Thus, some enforcement‑type outcomes (cancellation) arising from pre‑change notices can be determined by the Commissioner after change‑over, and affected persons can seek SAT review in the defined windows.

Admissibility of Commonwealth register as evidence

• The inserted s 24(2) explicitly provides that a copy of an entry in the Commonwealth register provided by ASIC is admissible in proceedings relating to matters arising before the change‑over day and is evidence of the matters stated in the entry. This is an evidentiary enforcement mechanism: it allows prosecutors, regulators, and litigants to rely on Commonwealth register copies as evidence in State proceedings concerning pre‑change facts.

Immunity for Commissioner in good faith transition acts

• Section 4B(7) immunises persons doing anything in good faith under s 4B from civil or criminal liability and from being regarded as breaching confidentiality or professional ethics. That reduces enforcement or liability risk for officials transferring records and making notifications to ASIC in the transition process.

Time limits and review avenues

• The Act imposes new time frames for ministerial consent applications and for appeals to the SAT tied to the change‑over day (e.g. s 23 amendment restricting the time to apply for ministerial consent; s 19(4) limiting SAT applications). A failure to observe these time limits may result in loss of review rights, indirectly affecting enforcement dynamics.

Absence of new Commonwealth enforcement powers in the WA Act text

• The Act’s text does not itself create new Commonwealth enforcement measures. It adopts the Commonwealth Acts as the operative law in WA for a period and refers amendment powers to the Commonwealth. Enforcement under the national scheme will therefore depend on the Commonwealth Act and ASIC’s powers under that Act, not on the WA Act itself. The WA Act ensures evidence compatibility and transitional adjudicative access for pre‑change periods (e.g. s 24(2)).

Prosecutorial continuity clause

• Several provisions make explicit that if a proceeding (for example, an application or court matter) is pending at the change‑over day, the relevant body may deal with it or decide hypothetical outcomes as if it had been finalised before change‑over (see ss 7(4A), 19(2B), 11(2B), 12(5)). This preserves the ability of enforcement actions commenced under State law to be resolved despite the administrative transition.

In short, enforcement of State business‑names offences and cancellation processes for conduct before the change‑over day remains exercisable after the change‑over day. The State’s punitive reach for acts occurring after change‑over is curtailed because the national regime becomes operative. The Act supplies evidentiary mechanisms to use ASIC’s Commonwealth register in State enforcement proceedings addressing pre‑change matters.

The Act intentionally re‑ties WA law to Commonwealth law and modifies cross‑references in a number of state statutes. Interaction themes include adoption and referral, displacement and exclusion, evidentiary interplay, continuity of rights, and consequential statutory amendments.

Adoption and referral interplay with the Commonwealth Constitution

• The Act adopts the national business names legislation “within the meaning of section 51(xxxvii) of the Constitution of the Commonwealth” (s 5(1)). That adoption is legally a way for the State to accept Commonwealth law on a subject for a time. Section 6 then refers specified “continuing business names matters” to the Commonwealth Parliament, but only to the degree required to permit express amendments of the national business names legislation by Commonwealth Acts. Section 6(2) clarifies the reference takes effect only if the matter is not included in the Commonwealth’s legislative powers “otherwise than by a reference for the purposes of section 51(xxxvii)”.

Excluded and displacement matters

• The Act recognizes limits to the referral. Section 4(2) lists matters that are not continuing business names matters and therefore are not referred or adopted. This includes State tax matters and obligations affecting government bodies, or obligation to display names specified by State law or registered on notified State registers (s 4(2)(a)-(f), (h)). The Governor can make regulations declaring excluded matters for Commonwealth s 13 and s 14 displacements (s 11), but draft regulations for those purposes must be approved by both Houses (s 11(3)). Thus, there is a statutory mechanism to coordinate which State provisions should remain operative or be treated as displacement provisions under Commonwealth law.

Amendment reference and later Commonwealth action

• Section 7 articulates the State’s intention that the national business names legislation may be expressly amended by Commonwealth Acts enacted under other constitutional powers, and that the national legislation may be affected by Commonwealth instruments. This is a policy statement in the Act about how the State expects Commonwealth law to evolve and indicates the State accepts subsequent Commonwealth modification via other constitutional bases or instruments.

Transitional interplay with WA Business Names Act 1962

• The Act makes numerous amendments to the State Business Names Act 1962 to regulate cross‑cutting effects: to prevent new State applications from being made after the change‑over day, to preserve the Commissioner’s ability to decide pending matters post change‑over as if finalised pre change‑over, and to adjust time limits for renewals, ministerial consent, cancellations, notices and tribunals (Pt 3, ss 15-35). Section 3A inserts an expiry mechanism into the State Act that requires a Commissioner’s certificate before proclamation (s 15).

Evidential interaction

• The Act provides that copies of entries from the Commonwealth register provided by ASIC are admissible in State proceedings relating to matters arising before the change‑over day and are evidence of the matters stated (s 24(2)). This eases evidentiary transition and reduces duplication of proof where registration facts are in the Commonwealth register.

Consequential amendments to other WA Acts

• Part 4 amends several WA Acts so that definitions and references that previously pointed at the State Business Names Act 1962 now point to the Commonwealth Business Names Registration Act 2011. For example, the Auction Sales Act 1973 and Employment Agents Act 1976 update the definition of “firm” to reference the Commonwealth Act (ss 37, 39). The Settlement Agents Act 1981’s Schedule 2 clause 2 amends application language to reference Commonwealth applications required to effect transfer (s 43). The Legal Profession Act 2008’s s 157 is amended to refer to “law applicable in” rather than “law of” , an adjustment affecting choice‑of‑law expressions (s 41). These amendments harmonise cross‑statute references to the new national regime.

Regulatory hierarchy and parliamentary control

• The Governor’s regulations under the Act for excluded matters and business names legislation displacement provisions must be preceded by a draft approved by both Houses (s 11(3)). Similarly, a proclamation fixing termination days cannot be made unless a draft proclamation has first been approved by both Houses (s 8(6)). Those provisions create a constitutional and legislative interaction between executive action and parliamentary oversight for the handover.

Limitations on State obligations and government bodies

• Section 4(2)(a)-(f) excludes the imposition of certain restrictions on government bodies and specific State obligations from the continuing business names matters. This leaves those obligations governed by State law, rather than by the adopted Commonwealth Acts, creating a split regime where private sector business names are governed by the Commonwealth, but some State obligations and government body naming matters remain a State concern.

Temporal interaction and preserved liabilities

• The Act preserves prosecutions and penalties for pre‑change contraventions even after the national regime applies (see amended ss 5 and 5A), and it allows the Commissioner to make decisions after the change‑over day about the hypothetical outcome of pre‑change matters (ss 7(4A), 10(2B), 11(2B), 19(2B)). That creates continuity between the two regimes and avoids a vacuum in enforcement and dispute resolution for acts occurring before the change.

In summary, the Act mechanically aligns WA law with the Commonwealth business names framework while building a procedural and legal bridge to handle outstanding State matters. It preserves State powers in narrowly defined areas, layers parliamentary approval before key executive actions, and makes evidentiary and administrative adjustments so pre‑change State matters can be resolved without duplication.

The Act as compiled includes the original 2012 enactment and a later amendment recorded in the compilation table. The compilation table cites the original Business Names (Commonwealth Powers) Act 2012, No. 6 of 2012, assented 10 April 2012, with parts commencing on 10-11 April 2012 and Part 4 commencing 28 May 2012 (compilation table). The compilation table further records an amendment by the Local Government Legislation Amendment Act 2016, Pt 3 Div 4 (No. 26 of 2016), assented 21 September 2016 and commencing 21 January 2017 (compilation table). The Act’s s 3 notes that s 3 was amended by No. 26 of 2016 s 33.

Key inserted and amended sections (Pt 3) implemented the transition mechanics for the State Business Names Act 1962:

• s 3A inserted (by s 15) into the Business Names Act 1962 to allow expiry of the State Act by proclamation only after the Commissioner issues a certificate to the Minister that the State Act is no longer necessary.

• Definitions added or updated (s 16) to reference ASIC, the Commonwealth Transitional Act, national business names legislation and the change‑over day (common terms used across the transitional amendments).

• Substantial insertion of ss 4B and 4C (s 18) giving the Commissioner the explicit power to act for the State in transition, disclose State business names information to ASIC, give notifications to hold business names for outstanding matters, and an immunity for good faith acts (s 4B(2)-(7)). Section 4C lists the categories of “outstanding matters” that may be held under s 4B(3).

• Numerous amendments throughout ss 5-28 of the Business Names Act 1962 (ss 19-35 of this Act) that generally carve out that the State provisions do not apply on or after the change‑over day, and provide the Commissioner or courts or SAT with powers to decide hypothetical outcomes for pre‑change pending items (for instance ss 7(4A), 9(2B), 10(2B), 11(2B), 12(5), 19(2B)-(5)).

Part 4 (Divisions 1-5) made targeted textual amendments to other Acts to replace references to the State Business Names Act 1962 with the Commonwealth Business Names Registration Act 2011, and adjusted wording in the Legal Profession Act 2008 for choice of law phrasing (ss 36-45).

Regulatory and proclamation procedures were introduced requiring parliamentary approval before drafts for certain proclamations or regulations could be made (s 8(6); s 11(3)). Transitional regulations were permitted but limited to 12 months after commencement (s 12(5)).

The Act includes a five‑year statutory review requirement (s 13). That review would have been due five years after the commencement day defined in s 12(1); the Act requires the Minister to carry out the review and table a report in Parliament (s 13(1)-(2)).

The compiled Act includes a notes section summarising defined terms and the compilation table showing the 2012 enactment and the 2016 Local Government Legislation Amendment Act amendment. The s 3 amendment attribution signals at least that 2016 amendment touched definitions in the Act.

No further amendment history is recorded in the provided text. Any additional amendments beyond those in the compilation table are not contained in the provided material and so are not represented here.

The text of the Business Names (Commonwealth Powers) Act 2012 provided to me does not include any case law, judicial decisions, or litigation history. It contains no mentions of court cases, reported decisions or legal challenges. Accordingly, within the bounds of the source document, there is no litigation history to report.

Practitioners should note that statutory adoption of Commonwealth law and referrals under s 51(xxxvii) can give rise to constitutional or administrative litigation in other contexts, for example, about the validity of referrals or the scope of adopted Commonwealth legislation. However, such litigation is not recorded in this Act’s text. Any actual litigation arising from the operation of this Act, the transitional modifications, or the national business names legislation is not contained in the provided legislation and thus cannot be summarised here.

Where litigation might arise logically from the Act’s mechanics, the following are plausible focal points (these are statements of mechanism only, not predictions or accounts of existing cases): disputes about whether a particular matter falls within the “continuing business names matters” list in s 4(1) or is excluded by s 4(2); challenges to executive action where a proclamation under s 8 was made without both Houses’ draft approval; evidentiary disputes about the admissibility or weight of Commonwealth register entries supplied under s 24(2); and disputes about the Commissioner’s decisions made after the change‑over day under the retrospection rules (e.g. ss 7(4A), 10(2B), 11(2B), 19(2B)). None of these, however, is reported in the Act.

If litigation history is required for practical work, practitioners must consult case law databases and court registries for decisions referencing the Act and the Commonwealth Business Names Registration Act 2011, and for any constitutional challenges to the referral or to particular Commonwealth amendments made under the amendment reference. That falls outside the Act text and is not attempted here.

The text contains multiple procedural and substantive traps for the unwary. They are concrete mechanisms that create timing, evidence, jurisdictional and disclosure risks.

1. Change‑over day deadlines and lost rights. The Act systematically bars new State applications or filings on or after the change‑over day in many contexts (for example, ss 7(1A), 11(1A), 12(1A), 23(1A)). If a business or adviser misses the pre‑change deadline to lodge an application, renewal, statement or to respond to a State notice, the opportunity to use the State processes may be lost or narrowed. In some cases narrow rescue pathways exist , e.g. the Commissioner may decide after the change‑over day whether, had a pre‑change application been finalised before the change‑over day, a particular outcome would have been reached (s 7(4A), 11(2B), 19(2B)) , but relying on those post‑change hypothetical decisions is riskier than finalising matters pre‑change.

2. Short review windows. The Act shortens or reframes time frames for seeking ministerial consent or tribunal review. For example, applications for ministerial consent tied to Commissioner decisions made before the change‑over day have a two‑month deadline after the change‑over day or a 28‑day window in specified cases (s 23(1A), (2A)-(2B)). SAT review rights in relation to cancellations and decisions under s 19 are limited to two months after the change‑over day in some scenarios or 28 days in others (s 19(4)). Practitioners must calendar these specific windows relative to the change‑over day.

3. Evidence reliance on Commonwealth register entries requires ASIC copies. The Act makes an entry produced by ASIC from the Commonwealth register admissible in proceedings concerning pre‑change matters (s 24(2)). But that evidence route depends on obtaining the copy from ASIC. Parties should not assume an internal State copy substitutes automatically. The specific statutory basis for admissibility is the Commonwealth register copy provided by ASIC; practitioners must ensure they procure that copy.

4. Commissioner immunity and secrecy law overrides. Section 4B(6) states that if the Commissioner does something authorised by s 4B that would otherwise be contrary to enactments relating to secrecy or confidentiality, s 4B prevails. Section 4B(7) gives civil and criminal immunity for good faith acts. This means State secrecy laws do not prevent disclosure of State business names information to ASIC for transition. Businesses concerned about privacy should be aware their State‑held business names information may be disclosed to ASIC notwithstanding other State secrecy provisions.

5. Parliamentary approvals required before executive action. Any proclamation fixing termination days or regulations declaring excluded or displacement matters requires prior approval by both Houses of Parliament before a proclamation or regulation can be made (s 8(6), s 11(3)). The process adds a political and scheduling dependency. Administrative actors cannot unilaterally make these changes without parliamentary approval.

6. Limitation on the State Act’s expiry. Section 3A requires the Commissioner to certify to the Minister that the State Business Names Act 1962 is “no longer necessary” before a proclamation can be issued to expire the Act. That adds a bureaucratic gate: the Commissioner controls the timing of the ultimate expiry, which could complicate long‑term planning where other WA statutes reference the State Act (although Pt 4 already makes several consequential amendments).

7. Regulatory time limit on transitional regulations. Transitional regulations under s 12 must be made within 12 months after the commencement day. If important transitional arrangements are not addressed in that window, the Act disallows later transitional regulations. That compresses the time for regulators and drafters to tidy up complex transitional matters.

8. Split regulatory regime for State government bodies and State‑specified names. Section 4(2) excludes certain matters from the referral, such as obligations to display names that are registered on a notified State register or specified by State law. That creates a split regime where private names move to the Commonwealth register, but some State‑specified names and government body obligations remain governed by State law. Organisations that straddle public and private functions must map which rules apply to which names and communications.

9. Potential misalignment between Commonwealth amendments and State expectations. Section 7 states the State intends that the national business names legislation may be amended by Commonwealth Acts using other constitutional powers, or affected by national instruments. If Commonwealth amendments materially change the regime in ways the State did not anticipate, the State has limited bilateral control once the national framework is adopted. Although s 9 deals with termination consequences, it does not prevent post‑adoption Commonwealth changes that take effect under Commonwealth mechanisms.

10. Practical record‑transfer risks. The Commissioner may transfer records in “whatever form the Commissioner considers appropriate” (s 4B(5)). That practical flexibility may raise technical data‑mapping, completeness, or format issues. Entities or counsel relying on precise historic data should ensure that the Commissioner retains and transfers comprehensive records correctly, and should obtain ASIC copies where relevant.

11. Seven year limitation on one State provision. Section 31 inserts into the Business Names Act 1962 that a particular section (s 22) will not apply on or after the day after the end of the period of seven years beginning on the change‑over day. Practitioners must identify which s 22 functions were important, and plan for the loss of that provision after seven years.

12. No litigation history included. The Act provides no recorded judicial guidance. Uncertainties about statutory interpretation, the exact scope of continuing matters, or the interplay with Commonwealth instruments will need to be resolved in practice without precedent supplied by the Act text itself.

These are concrete operational “gotchas” that arise from explicit provisions of the Act. They turn on timing, record handling, evidentiary pathways, and statutory boundaries between State and Commonwealth competence.

For entities, advisers, and regulators the Act requires a number of concrete compliance steps to manage the transition to the national business names regime and to preserve rights during the change‑over. Below are practical measures organised by actor and by task.

For business entities and registrants

1. Identify the change‑over day and calendar all deadlines. The Commonwealth Transitional Act defines the change‑over day. Many State rights and windows are tied to it (see widespread amendments across Pt 3). Identify the precise change‑over day, and calculate all relevant deadlines: renewal statements (s 11), ministerial consent windows (s 9 as amended), responses to Commissioner notices (ss 10, 19), and tribunal review periods (s 19(4)).

2. Lodge pending State applications and renewals early. Where possible, complete and finalise registrations, renewals, transfers, consent applications or statements under the State Act before the change‑over day to avoid complication and the risk of time‑limited post‑change decisions by the Commissioner. The Act forbids many new State filings on or after the change‑over day (e.g. s 7(1A), s 11(1A), s 12(1A)).

3. If a State filing is already lodged but not finalised, document it thoroughly. The Commissioner has statutory power to decide post‑change whether, had the matter been finalised pre‑change, a particular outcome would have been reached (s 7(4A), 11(2B), 19(2B)). Ensure complete records, evidence of lodgement dates, and correspondence are preserved and ready to be supplied to the Commissioner or to ASIC if required.

4. Obtain Commonwealth register copies for evidentiary needs. For proceedings or administrative purposes relating to matters before the change‑over day, a copy of an entry in the Commonwealth register provided by ASIC is admissible as evidence under s 24(2). Plan to obtain those ASIC copies rather than relying on State copies.

5. Monitor ASIC procedures and fees. Once the Commonwealth regime is in place, registration, renewal and transfer processes will be handled under the Commonwealth Business Names Registration Act 2011 and by ASIC. Check ASIC’s processes, forms, and fee schedules, and plan budgets accordingly.

6. Review and rework templates and disclosures. Documents, contracts, invoices and marketing materials that currently rely on State obligations to include or display registered names may need updating to comply with Commonwealth requirements or to reflect the new source register. Note that obligations to display a name specified in State law or on a notified State register may remain State matters (s 4(2)(b)-(f)).

For the State Commissioner and agencies

1. Prepare data and records for transfer. The Commissioner is authorised to disclose business names information and to provide copies of records to ASIC in whatever form is appropriate (s 4B(4)-(5)). Map data formats, ensure quality checks, and create an audit trail for transfers. Because s 4B(6) overrides secrecy enactments, coordinate with legal and privacy teams on the scope of disclosures and document legal bases for record transfers.

2. Use s 4C to identify and notify outstanding matters. Section 4C lists the categories of outstanding matters that the Commissioner may notify ASIC to hold for resolving outstanding matters. Identify every pending application, statement or notice that falls into these categories, and issue timely notifications under the Commonwealth Transitional Act Schedule 1 where appropriate.

3. Make hypotheticals and decisions precisely. Where authorised to decide post‑change whether a pre‑change filing would have had a particular outcome, adopt written decision templates, record reasons and preserve rights to produce decisions for appeals within the specified timeframes (see ss 7(4A), 10(2B), 11(2B), 19(2B)).

4. Prepare the Commissioner’s certificate required to expire the State Act. If the State intends to proclaim that the State Business Names Act 1962 expires, s 3A requires the Commissioner to provide the Minister with a certificate stating the operation of the Act is no longer necessary. Prepare criteria and documentation to justify such a certificate.

For lawyers, accountants and compliance officers

1. Audit client registers and pending matters. Create a checklist of clients with business name registrations, pending applications, Minister consent matters, transfers in progress, renewals due around the change‑over day, and any disputes or notices issued under the State Act. Advise clients on urgency to act pre‑change.

2. Advice on SAT and court timeframes. Be explicit in advice about the limited windows to seek SAT review or ministerial consent after the change‑over day (s 19(4), s 23(1A), etc.). Calendar the two‑month and 28‑day windows and advise on evidence preservation for tribunal or court filings.

3. Check cross‑statute consequences. For clients operating in regulated sectors governed by statutes amended in Pt 4 (Auction Sales, Employment Agents, Settlement Agents, Travel Agents, Legal Profession Act implications), advise on how the switch to the Commonwealth register alters compliance obligations , for example, transfers that require applications under the Commonwealth Act rather than the State Act (s 43).

4. Manage evidentiary issues. Where litigation or administrative review arises out of pre‑change conduct, ensure ASIC Commonwealth register copies are obtained and relied on under s 24(2). Anticipate evidentiary objections and prepare chain‑of‑custody records for transferred State data.

For Parliamentarians and policy advisers

1. Exercise the s 8 and s 11 gatekeeping roles. Recognise that proclamations terminating adoption/amendment references and regulations declaring excluded matters or displacement provisions must be preceded by parliamentary approval of a draft (s 8(6), s 11(3)). Prepare briefing and supporting materials for both Houses to consider draft instruments in a timely manner.

2. Use the five‑year review. The Minister must review the Act’s operation five years after commencement and lay a report before Parliament (s 13). Plan to commission thorough administrative and legal reviews to inform any decisions about turning off adoption, terminating the amendment reference, or altering transitional rules.

Operational steps for a transfer checklist

• Identify the change‑over day and list all pending State matters and their deadlines.

• Lodge urgent renewals, applications, or ministerial consent requests before the change‑over day where appropriate.

• Request ASIC Commonwealth register copies for evidentiary purposes if matters concern pre‑change events.

• Ensure Commissioner records are up to date, complete and prepared for transfer to ASIC; establish an audit trail.

• Advise clients on new compliance paths under the Commonwealth Act and update internal compliance documentation accordingly.

• For clients operating in multiple jurisdictions, verify whether their name is or will be a “notified State/Territory register” entry and how that interacts with the Commonwealth register.

• For government bodies, check whether obligations to display names (or prohibitions on name use) remain State matters due to s 4(2) exclusions.

Following these concrete steps will align behaviour with the Act’s mechanics. The statutory text provides specific deadlines and powers; compliance involves mapping those deadlines, preserving evidence, and engaging proactively with ASIC and the Commissioner as the transition is implemented.
