31 Conflicting interests
(1) A member of the Council who has a direct or indirect pecuniary
interest in a matter being considered at a meeting of the Council
must disclose the interest to the Council.
(2) The Council may direct a member who has disclosed an interest in
a matter under subsection (1) to refrain from taking part in the
deliberations of the Council in relation to that matter.
(3) A member of the Council who has been given a direction under
subsection (2) must be disregarded for the purpose of determining
whether a quorum has been formed.
(4) Without limiting subsection (1), a member of the Council has a
direct or indirect pecuniary interest in a matter if:
(a) a company has a direct or indirect pecuniary interest in the
matter; and
(b) the member owns or controls a share in, or is a director or
employee of, the company.
