British Imperial Oil Company, Limited (Private) Act 1925

The Act assembles a package of private statutory rights, process requirements and liability rules that apply only within a narrowly defined spatial perimeter. Core legal concepts and mechanisms in the instrument are:

• Private Act conferring corporate powers and assignability: the company, and its assigns, are given powers to construct an “undertaking” and to use public spaces for its infrastructure (s 2, s 4). The explicit inclusion of “assigns” in the definition of company makes the rights and obligations transferable at law under the Act’s terms.

• Spatial limitation and institutional mapping: the Act’s reach is bounded by the Municipality of North Fremantle, parts of the Fremantle Port Authority’s inner harbour, and adjoining Crown land or Public Transport Authority land (s 3). Those boundaries determine where pipelines, tanks and related works may lawfully be placed pursuant to the Act.

• Process for interference with public ways: the company may “open, break up, and interfere” with streets, railways and wharves only after procedural steps are followed, notably written notice and deposit of plans not less than three clear days before the proposed work (s 5). Plan approval is separately required for any works in or under streets by the Minister for Works (s 4).

• Reinstatement and short term maintenance obligations: the company must reinstate disturbed ground “with all convenient speed” and, if required by the Minister or local authority, keep so much of the reopened way in good repair for six months after replacement (s 6). This ties permanent infrastructure rights to short term maintenance duties.

• Ministerial and local authority oversight: multiple supervisory roles are allocated across Ministers (Land, Works, Government Railways/Port Authorities) and named local authorities (Mayor and Councillors of North Fremantle, Public Transport Authority, Fremantle Port Authority). Consent of the Minister administering the Land Acts, the Government Railways Act or the Port Authorities Act is required before interference with Crown lands, railways or wharves (s 4, s 5). The Act conditions exercise of powers on compliance with conditions the Minister may impose.

• Cost-shifting and compulsory remedial powers: if the company delays or neglects reinstatement, the Minister or local authority may act and recover expenses from the company (s 8). Conversely, where the authority requires the company to alter the situation of works for reasons other than company default, the authority bears the expense, though it must compensate the company for any injury caused in the process (s 10).

• Exclusive control over connections and protection of plant: the Act criminalises unauthorised connections to the company’s pipes, wilful or negligent damage, tampering with meters and unauthorised fittings (s 11). That creates a statutory protection of infrastructure and a gatekeeper role for the company over access to its distribution network.

• Fiscal concession: infrastructure in or under public ways is treated as rateable land but the company’s payment to the municipal council is fixed as a sum in lieu of ordinary valuation and rates, paid half yearly after a six month period following commencement of construction (s 14). This converts a continuing property tax base into a statutory, contractual-like annual payment.

• Sunset for commencement: the Act contains a termination clause if works are not commenced before 1 January 1928 (s 17). The clause places a hard statutory deadline on the exercise of the powers in the instrument.

These mechanisms combine statutory permission, supervisory steps, conditional cost allocation and criminal sanctions to permit the company to build and operate a petroleum storage and distribution system within a small port-adjacent area while imposing discrete duties to the local public authorities and public ways.

This Act creates rights and imposes obligations on a narrow set of parties identified in the text, with predictable third-party impacts:

Primary actor

• The company: The British Imperial Oil Company, Limited, as defined in s 2, and its assigns are the primary beneficiary of the statutory powers to construct, store and distribute petroleum products in the defined area. The company is the party obliged to give notices (s 5), reinstate works (s 6), pay compensation for damage (s 9) and, if required, pay the fixed sum in lieu of municipal rates (s 14).

Public authorities and officials

• Local authority: defined to mean the Mayor and Councillors of the Municipality of North Fremantle, the Public Transport Authority of Western Australia, and the Fremantle Port Authority (s 2). These bodies receive statutory notice of intrusive work (s 5), supervise or be given the opportunity to supervise works, can require relocation or alteration of works (s 10), and may cause delayed or deficient reinstatement work to be carried out and recover expenses (s 8). The Act allocates decisions about supervision, satisfaction of reinstatement and requirement to maintain replaced areas for six months to these bodies (s 5, s 6).

• Ministers: The Minister administering the Land Acts, the Minister responsible for the Government Railways Act 1904, and the Minister with responsibility under the Port Authorities Act 1999 each have consent powers before the company may open or interfere with Crown lands, railways, or wharves respectively (s 4). The Minister for Works must approve plans and specifications for works in or under any street (s 4).

• Treasurer: holds a deposit paid by the company under Joint Standing Orders for Private Bills until completion and returns it thereafter (s 16).

Third parties and the public

• Property owners and occupiers adjacent to works: persons suffering damage from exercise of the company’s powers retain rights to compensation beyond the statutory penalty regime (s 7, s 9). The text preserves private rights of action for damage caused by breaches of sections 5 and 6 (s 7).

• Ratepayers and municipal council: the Municipality of North Fremantle (Council) is the nominal recipient of the $70 annual payment in lieu of rates for mains and pipes under Crown land, streets, railways or wharves (s 14). That payment is to be made half yearly once construction commences and is intended to be in full satisfaction of rates and rents in respect of those works.

• Third parties seeking to connect to the company’s pipes: the Act criminalises laying or causing to be laid any pipe to connect to company pipes without the company’s consent (s 11(a)). That clause delegates gatekeeping over network access to the company and affects potential competitors, distributors, or customers who might otherwise set up independent connections.

• Persons who might damage works: the Act prescribes offences and penalties for wilful or negligent damage, tampering with metering apparatus and unauthorised fittings that would allow extraction of fuel from the company’s works (s 11). Those provisions affect contractors, vandals and opportunistic thieves by creating statutory exposure to criminal penalties and civil liability for compensation (s 12).

Geographic constraint

• The Act’s effects are limited to the specified local area (s 3). Entities outside that area do not gain rights to lay mains under the Act, though assigns of the company can still hold powers if they operate inside the geographic limits.

Assignment and subsequent owners

• Because assigns are within the statutory definition of company (s 2), successors, purchasers, or other transferees who acquire rights under the Act could exercise the powers and bear the obligations. This matters for purchasers and lenders as the statute is a bargained public-right instrument that transfers with title or assignment, subject to the statutory duties.

In short, the instrument principally affects the named company and its assigns and the municipal and port authorities with jurisdiction, while imposing limited regulatory and criminal constraints on third parties who interact with the company’s physical network and the affected public ways.

The Act creates a set of express duties for the company and reciprocal or supervisory rights for Ministers and specified local authorities. The key rights and duties are concrete and procedural in nature:

Rights conferred on the company

• Construction and occupation: the company may erect and fix works necessary for the storage, supply and distribution of petroleum products in or under any street, Crown land, railway, or wharf within the Act’s limits (s 4). This right includes placement of mains, conduits, and service pipes and the repair, alteration or removal of such works (s 4).

• Interference subject to consent and conditions: the company may, with the requisite consents and plan approvals, open and break up public ways to install works (s 4, s 5). The company also retains the right to proceed without ministerial or local authority superintendence if no officer attends at the time specified in its statutory notice (s 5).

• Exclusive control over connections: the company has de facto gatekeeping rights over its pipes because the Act makes unauthorised connections an offence (s 11(a)). This gives the company control over who may physically access its distribution network.

Duties imposed on the company

• Notice and plan deposit: before opening or interfering with public ways the company must provide written notice not less than three clear days before the work and deposit a plan setting out the extent, manner and start time (s 5). Emergency repairs are exempt from prior notice but require notice and plan deposit as soon as possible after work begins (s 5).

• Superintendence and compliance with plans: unless no officer attends, works must be carried out under the superintendence of the Minister or relevant local authority and in accordance with the deposited plan (s 5). Additionally, plans for construction of works in or under streets must be submitted to and approved by the Minister for Works before construction begins (s 4).

• Reinstatement and public safety: the company must promptly complete work, fill in and reinstate disturbed ground to the satisfaction of the Minister or local authority, carry away rubbish and properly guard and light any openings (s 6). If required by the Minister or local authority, the company must keep the replaced portion of the way in good repair for six months following replacement (s 6).

• Compensation and liability: the company must make compensation for any damage caused in the execution of its powers (s 9). Failure to comply with notice and reinstatement obligations is an offence, carry penalties and does not extinguish private rights to recover damages (s 7).

• Respond to alteration requirements: if the Minister or local authority requires the company to raise, sink or otherwise alter the situation of any works, the company must comply within a reasonable time after written notice (s 10). Who pays for the alteration depends on the reason (s 10).

Fiscal duty

• Payment in lieu of rates: the company must pay a specified annual sum to the Municipal Council, in lieu of rates, for the mains, conduits and service pipes in or under Crown lands, streets, railways or wharves. The payment is fixed and payable by half yearly instalments, beginning six months after the company commences construction (s 14).

Powers and duties of Ministers and local authorities

• Consent and approval: Ministers with administration over relevant Acts must consent to interference with Crown lands, railways or wharves (s 4). The Minister for Works must approve street work plans (s 4).

• Superintendence and enforcement: local authorities and Ministers have the right to supervise, to require reinstatement satisfaction, to demand the company keep replaced stretches in repair for six months, and to cause remedial work to be executed and recover expenses where delay or default is the company’s fault (s 5, s 6, s 8).

• Power to require relocation: the Minister or local authority can require relocation or alteration of works and, depending on the reason, either the company or the authority will bear the expense (s 10). If the authority causes injury to the company’s works while altering them for reasons other than company breach, the authority must compensate the company (s 10).

Offences and enforcement mechanisms

• Penal offences: the Act specifies criminal offences for failing to provide notice or reinstate works (s 7), for unauthorised connections, damage to works, tampering with meters and unauthorised fittings (s 11). Maximum penalties are stipulated in each provision and do not preclude civil remedies for damages (s 7, s 11).

• Deposit and completion: a deposit paid under Joint Standing Orders for Private Bills is held by the Treasurer until completion of the works and then returned, placing a financial security element on the company’s obligations (s 16).

Overall, the statutory architecture balances a broad physical right to occupy and use public ways for a private company’s distribution network with procedural and substantive obligations to protect public infrastructure, provide notice, reinstate surfaces and pay a fixed annual sum in lieu of rates. Ministers and local authorities retain supervisory and remedial powers and can cause execution of remedial works with cost recovery where the company is at fault.

The Act combines criminal penalties, civil remedies and administrative enforcement tools. Enforcement is primarily directed at protecting public ways and the company’s works, ensuring reinstatement and deterring unauthorised interference with the company’s infrastructure.

Criminal penalties

• Breach of notice and reinstatement duties: if the company commits, permits or suffers any act, delay, neglect or omission contrary to sections 5 and 6, it is guilty of an offence and liable to a penalty not exceeding $100 for each such offence, and an additional penalty of $4 for each day the neglect continues after notice by the Minister or local authority (s 7). The section preserves private rights of action in respect of damage caused.

• Offences relating to third parties: any person who lays a connecting pipe to the company’s infrastructure without the company’s consent, wilfully or negligently removes, destroys or damages company works, alters meter indices or erects apparatus to abstract product without consent, is guilty of an offence and liable to a penalty not exceeding $10 for each such offence (s 11). These offences exist in addition to the company’s civil remedies for damages (s 11).

Civil remedies

• Compensation for damage: the company must pay compensation for damage caused in the execution of its powers (s 9). Conversely, persons who unlawfully or wrongfully damage company works must pay full compensation to the company, recoverable in any court of competent jurisdiction (s 12).

• Recovery of expenses for remedial works: where the company delays, neglects or omits reinstatement, the Minister or local authority may cause the remedial work to be carried out and recover all expenses from the company (s 8). This gives local authorities an administrative enforcement tool with direct cost recovery for failures by the company.

Procedural enforcement and oversight

• Superintendence and approval: the presence or absence of a supervising officer from the Minister or local authority affects whether the company can lawfully proceed unsupervised. If no officer attends at the appointed time and remains during the works, the company may proceed without superintendence (s 5). This reduces the risk of procedural obstruction by authorities but shifts safety and compliance responsibilities back to the company.

• Requirement to alter works: the Minister or local authority can require the company to raise, sink or alter works by written notice; failure to comply allows the authority to carry out the alteration and allocate costs according to whether the need arose from company breach or other reasons (s 10). Where the authority causes injury to works while altering them for non-company reasons, the authority must make compensation (s 10).

Jurisdiction and procedure for penalties

• Summary jurisdiction: all penalties for offences under the Act may be recovered in a court of summary jurisdiction (s 13). That places proceedings within lower courts rather than superior courts, which affects procedural rules, remedies and appeals.

Monetary quantum and temporal context

• Fixed nominal penalties and payments: the statutory maxima are prescribed in absolute dollar amounts: up to $100 plus $4 per day for s 5/6 breaches (s 7), up to $10 for offences in s 11, and a fixed annual payment in lieu of rates of $70 for mains and conduits (s 14). The Decimal Currency Act 1965 amendments are noted in the compilation, which converted amounts into decimal currency. Because sums are nominal and not indexed within the Act, their real deterrence and fiscal effect change over time.

Security and completion

• Deposit: the deposit lodged with the Treasurer in accordance with Joint Standing Orders for Private Bills is to be held until completion of the work and then returned to the company (s 16). The deposit functions as a financial safeguard to secure fulfilment of the obligations tied to the private Act’s authorisations.

Interplay between remedies

• Penal and civil remedies are cumulative: the Act explicitly states that criminal penalties do not prejudice other rights to recover damages (s 7, s 11). Thus the company, local authorities, or aggrieved third parties can pursue civil compensation alongside any criminal prosecution.

In practical enforcement terms, the Act relies heavily on local authority and ministerial oversight, written notice processes, plan approvals and the threat of fixed penalties combined with cost recovery for remedial works as the primary enforcement levers. The use of summary jurisdiction for penalties and the fixed-dollar nature of fines and payments are important administrative features affecting how enforcement may operate in a contemporary legal and economic context.

The Act is deliberately connected to and dependent upon other pieces of statutory regulation and the institutional framework which administers public land, ports and transport infrastructure. The text itself references multiple external statutes and administrative arrangements, and the compilation notes record later consequential amendments which change how those references operate in practice.

Dependence on land, railway and port statutes

• Consent and regulatory overlay: the company’s power to open, break up or interfere with Crown lands, railways or wharves is expressly subject to the consent of the Minister administering the Land Acts, the Government Railways Act 1904, or the Port Authorities Act 1999 respectively (s 4). This conditions the Act on the legal regimes governing Crown land, railways and ports, meaning that statutory or policy changes in those regimes can alter the practical operation of the private Act’s consents.

• Defined term references: the Act defines “Railway” by the meaning in the Government Railways Act 1904 and defines the Fremantle wharf area by reference to the Port Authorities Act 1999 (s 2, s 3). The reliance on definitions and descriptions in those instruments imports any substantive or procedural framework from those Acts into the implementation of this private statute.

Interaction with local government law

• Rates and valuation: the Act treats the company’s mains and conduits as rateable land but substitutes a statutory annual payment in lieu of municipal rates under the Municipal Corporations Act 1906 framework (s 14). The compilation notes indicate repeals and successor local government Acts (Local Government Act 1960; Local Government Act 1995) and provide that references to “municipality” should, in context, be read as references to a local government under the Local Government Act 1995 Sch. 9.3 cl. 3(2). Practically this means municipal administration of the statutory payment and any enforcement will be handled under the contemporary local government regime.

Amendments and consequential legislative changes

• Decimal Currency Act 1965: the compilation table and notes show s 7, s 11 and s 14 were amended by the Decimal Currency Act 1965, which converted monetary sums into decimal units. The Act now shows penalty and payment amounts in dollars and cents. The conversion is a consequential change, not a policy amendment.

• Port Authorities (Consequential Provisions) Act 1999: s 3 was amended by the Port Authorities (Consequential Provisions) Act 1999 to refer to the description of the Port of Fremantle under the Port Authorities Act 1999, thereby updating the Act’s geographic references to the modern statutory description of the port area.

• Public Transport Authority Act 2003: s 2 and s 3 were amended to include the Public Transport Authority of Western Australia in the definition of local authority and in the description of the areas within the Act’s limits. These amendments adapt the private Act’s institutional references to modern administrative bodies.

Administrative discretion and statutory conditions

• Ministerial conditions and approvals: the Act allows Ministers to impose “conditions as the Minister may deem expedient” when consenting to work in Crown lands, railways or wharves (s 4). The scope of such conditions will be informed by the enabling land or ports legislation and the policy priorities set out there.

Deposits and Parliamentary Standing Orders

• Deposit with Treasurer: the requirement that the company’s deposit be held by the Treasurer “in accordance with the Joint Standing Orders relating to Private Bills” (s 16) demonstrates an interaction with parliamentary procedure and financial practices governing private bills. The Joint Standing Orders are procedural instruments which have bearing on the application and security of private Acts and may impose rules about amount, use and return of deposits.

Judicial notice and rules of evidence

• The Act is declared to be a public Act and judges, justices and others are required to take judicial notice of it without special pleading (s 15). This affects evidentiary practice in proceedings, ensuring the Act’s provisions are judicially known without formal proof.

Practical consequence

• Because the Act explicitly cross-references older and later statutes and ministerial roles, its operational effect depends on reading it alongside the contemporary statutory landscape for Crown land, port authorities, railways and local government. The compilation notes show the Act has been updated administratively to reflect departmental and institutional name changes, but core consents, approvals and procedural hooks remain linked to external statutory powers. Any party exercising or contesting rights under this private Act must therefore consider the applicable provisions of the Land Acts, Government Railways Act 1904 (as relevant), Port Authorities Act 1999, Public Transport Authority Act 2003 and the applicable local government legislation.

The compilation includes a table and notes that record subsequent amendments and reprints. The Act was originally assented to on 31 December 1925 as a private Act. Key recorded amendments and consequential changes are:

• Decimal Currency conversion (1965): Sections 4 to 9 of the Decimal Currency Act 1965 affected commencement timing, and section 8(1) of that Act amended the monetary figures in this Act, converting fines and payments to decimal currency. The compilation notes record that s 7, s 11 and s 14 were amended by this Decimal Currency Act 1965 (No. 113 of 1965). The Act text therefore shows penalty and payment amounts expressed in dollars.

• Port Authorities consequential amendments (1999): Section 21 of the Port Authorities (Consequential Provisions) Act 1999 amended s 3 of the private Act to update the description and areas associated with the Fremantle Port Authority and its inner harbour, and the amendment took effect on 14 August 1999. This links the private Act’s geographic description to the modern statutory description under the Port Authorities Act 1999.

• Public Transport Authority changes (2003): Section 144 of the Public Transport Authority Act 2003 amended s 2 (definitions) and s 3 to include the Public Transport Authority of Western Australia within the definition of local authority and to include areas of Crown lands under PTA supervision that adjoin the Port area. Those amendments commenced on 1 July 2003.

• Statutes (Repeals and Minor Amendments) Act 2003: Section 30 of that Act is recorded in the compilation table as affecting the text, with effect from 15 December 2003. The compilation notes also record name changes for institutions and ministers relevant to administration of the Act.

• Reprint: The Act was reprinted and consolidated as at 2 April 2004 to incorporate the amendments listed above.

Amendment notes and ministerial titles

• The compilation notes also record administrative and renaming changes: for example references to “Crown lands includes land vested in the Minister for Lands or any other Minister” are annotated with the then-current ministerial titles, such as the Minister for Planning and Infrastructure. The Minister for Works reference is updated in the notes to the then title of Minister for Housing and Works. These are interpretive notes to assist contemporary reading.

What the amendment history does mechanically

• The amendments are primarily consequential and administrative: they align geographic and institutional references to modern port and public transport statutes and convert monetary figures to decimal currency. They do not appear in the compilation table to change the Act’s core mechanics of notice, reinstatement, consent, compensation, or fixed payments in lieu of rates.

Practical reading point

• Given the Act’s heavy reliance on cross-references to other instruments and institutional roles, the amendment history shows that the statute has been kept administratively up to date at least insofar as the identities of the port and transport authorities and the currency used are concerned. However, the core policy choices in the private Act, such as fixed monetary figures, assignment of cost liability under s 10, and the commencement sunset in s 17, have not been substantively altered in the recorded amendments. Users should check more recent statutory instruments or local council records for any further legislative or administrative actions affecting the Act’s present-day applicability.

The statute text and the compilation supplied do not include or cite any judicial decisions construing the Act. The Act itself declares it shall be “judicially taken notice of” as a public Act (s 15), but the compilation does not record any cases or reported litigation in which the provisions of the British Imperial Oil Company, Limited (Private) Act 1925 have been authoritatively interpreted by courts.

What the source allows us to say

• The compilation table and notes contain no entries under a litigation history heading and do not list cases. The Act text does not reference case law or judicial determinations. Accordingly, there is no litigation history supplied in the source to summarise or to draw upon for interpretive points.

Research implications

• For practitioners, this absence in the compilation is not conclusive proof that no litigation ever occurred. It indicates that the compilation document provided contains no record of cases. To establish whether any judicial decisions have considered the Act, a separate case law search in Westlaw AU, LexisNexis AU, AustLII or court registries would be required. Particular areas in which litigation might plausibly have arisen include disputes over whether notice and plan deposit requirements were satisfied (s 5), the adequacy and timing of reinstatement (s 6), cost allocation where the Minister or local authority carried out remedial work (s 8), claims for compensation for damage (s 9, s 12), and challenges about unauthorised connections or meter tampering (s 11).

Practical note for transactional and disputes lawyers

• If advising a purchaser, lender or prospective assign of rights under the Act, or representing a local authority that may have had dealings with the company, you should obtain a targeted search for any reported and unreported decisions, local authority minutes showing enforcement actions, and any ministerial determinations or agreements made under the Act. The Act’s age and narrow scope mean that relevant disputes may be recorded in local archives or council minutes as well as in court reports.

The Act contains several provisions whose practical consequences are easy to misread unless attended to carefully. Below are specific “gotchas” drawn directly from the statutory text and compilation notes, with legal mechanics and potential operational implications.

1. Fixed, nominal monetary amounts

• Penalties and the payment in lieu of rates are fixed dollar sums within the Act (s 7, s 11, s 14). The Decimal Currency Act 1965 converted the sums into dollars but did not index them. The static nominal figures may have very different real-world consequences today compared with when enacted. The $70 annual payment in lieu of rates (s 14) could be materially lower or higher than market-equivalent rates now. The Act itself contains no mechanism for variation or indexation.

2. Sunset clause is absolute

• The Act contains an absolute start-by date: if the company did not commence any authorised works before 1 January 1928, the Act “shall cease and determine” (s 17). This is a straight legal termination provision. Whether the Act remains in force now depends on whether works were lawfully commenced before that date. The Act and compilation give no record about whether the condition was satisfied. Do not assume continued validity without verifying historical commencement or any later legislative action.

3. Assignability and transfer

• The company’s rights expressly include assigns (s 2). That means a purchaser or other transferee can operate under the Act’s powers, but with the same duties and liabilities. Title and documentation searches are necessary to reveal whether rights were assigned and, if so, whether those assignees complied with the Act’s notice, plan and reinstatement obligations.

4. Superintendence may be absent

• If the Minister or local authority does not attend at the time fixed in the notice and remain during the work, the company may perform the work without superintendence (s 5). Practically, an absence of supervisory attendance may leave operational control entirely to the company and expose the public to increased risk, but it also allows the company to avoid delays caused by authority inaction.

5. Local authority may do remedial work and recover costs

• If the company delays or neglects reinstatement, the Minister or local authority may carry out the work and recover expenses from the company (s 8). This creates a direct financial enforcement tool for authorities. However, the text also says it is not compulsory for the authority to execute such work, which leaves a discretionary enforcement gap.

6. Costs of alteration depend on cause

• If a Minister or local authority requires relocation or alteration of works, the allocation of expense depends on whether the requirement arose from company breach (company pays) or not (authority pays) (s 10). That allocation may give rise to disputes over causation and what constitutes a company breach or a reasonable requirement.

7. Rate substitution mechanics

• The $70 annual payment is “in full satisfaction and discharge of all rates and rents, if any, payable to the council” in respect of those mains and conduits and the easements enjoyed under the Act (s 14). The payment only arises after the company commences construction and the first payment is due six months later. Failure to pay may give rise to enforcement risk under local government procedures.

8. Narrow geographic scope

• The Act’s powers apply only within the delineated area (s 3). Parties must not assume the Act provides power to lay pipelines or establish storage beyond those limits. The modern description of the port area under the Port Authorities Act 1999 is incorporated (s 3), but the practical outlines must be crosschecked with current statutory maps and land records.

9. Offences and penalties are modest

• The monetary penalties under s 11 are modest in absolute terms by modern standards and are designed to operate alongside civil damages claims. For those seeking deterrence, the small fixed fines may be inadequate absent complementary civil claims or public enforcement action.

10. Ministerial conditions are broad

• The Minister may impose conditions when consenting to works in Crown lands, railways or wharves (s 4). The phrasing “subject to such conditions as the Minister may deem expedient” is broad. Practitioners should check ministerial practices and any standard conditions that would apply under the Land Acts, Government Railways Act or Port Authorities Act.

11. Emergency works exception is time-sensitive

• Emergency repairs can be performed without prior notice or plan deposit but the company must provide notice and a plan “as soon as possible” afterwards (s 5). This creates an evidentiary onus on the company to justify emergency repairs and file plans post hoc; if it fails to do so, authorities may treat the works as unauthorised.

12. Ministerial and authority identity updates require attention

• Compilation notes show institutional and ministerial name changes over time. References to “Minister for Works”, “Minister for Lands”, “Fremantle Harbour Trust Commissioners” and to municipal institutions may map to different contemporary titles and offices. Legal practitioners must map the historic references to current offices, as indicated in the compilation notes.

13. Judicial notice declaration affects pleading

• The Act is to be judicially noticed as a public Act (s 15). In practice that simplifies proving the statute in court, but it does not preclude factual disputes over whether the company complied with procedural or substantive requirements.

In summary, the “gotchas” are practical and procedural rather than doctrinal. The primary risks arise from fixed monetary terms, the absolute commencement deadline, assignability, the possibility of absent supervision, and the allocation of costs where authorities require alteration of works. Each of these points requires straightforward factual verification and record searches before relying on the Act’s powers or defending against claims under it.

Compliance obligations fall mainly on the company (and by extension, any assigns), but local authorities and ministers have active procedural roles. A compliance checklist grounded in the Act’s text follows. For each task the statutory basis is cited.

1. Verify the Act is operative for the site

• Check whether works authorised by the Act were lawfully commenced before 1 January 1928 or whether subsequent legislative or administrative acts have affected the Act’s survival (s 17). The Act’s validity depends on the historical commencement condition.

2. Confirm identity of the company and assignment status

• Establish whether rights are still held by the original company or by an assign, because “company” includes assigns (s 2). Ensure title searches and assignment instruments are in order.

3. Determine geographic scope and affected parcels

• Map the intended works to the Act’s limits, which include the Municipality of North Fremantle, the Fremantle Port Authority inner harbour as described under the Port Authorities Act 1999, and adjoining Crown or Public Transport Authority lands (s 3). Obtain current land records and port boundary descriptions to confirm location.

4. Obtain required ministerial consents and approvals

• Before opening or interfering with Crown lands, railways or wharves obtain consent from the Minister administering the relevant Acts as required by s 4. For works in or under streets, secure plan approval from the Minister for Works (s 4). Document all consents and conditions imposed.

5. Serve written notice and deposit plans

• Provide written notice not less than three clear days before commencing work to the relevant Minister or local authority, and at the same time deposit a plan showing extent, method and commencement time (s 5). Keep proof of service and of plan deposit. For emergency works, ensure that notice and plan deposit occur “as soon as possible” after the commencement (s 5).

6. Superintendence and inspection readiness

• Coordinate with the Minister and the local authority to ensure an officer will attend the works if required. If an officer does not attend at the time fixed in the notice and remain during the works, record that fact to preserve the company’s right to proceed unsupervised (s 5).

7. Reinstatement and temporary maintenance

• Reinstate disturbed ground promptly and to the satisfaction of the Minister or local authority, remove all rubbish, provide adequate guarding and lighting, and be prepared to keep the replaced portion in good repair for six months if required (s 6). Maintain contemporaneous records, photographs and sign-off documents evidencing reinstatement and any directives from the authority to treat a section as requiring maintenance.

8. Manage compensation exposures

• Implement a claims management system to handle claims for damage caused in the execution of works, including a budget for compensation and a process for investigation and settlement (s 9, s 12). Retain appropriate insurance and require indemnities from contractors.

9. Avoid unauthorised connections and tampering

• Prevent unauthorised physical connections, meter tampering and installation of apparatus that could abstract product. Establish access controls, permit systems and secure metering to mitigate the risk of offences under s 11. Train staff and contractors on the Act’s prohibitions.

10. Prepare for remedial obligations if required by authority

• If the Minister or local authority requires works to be raised, sunk or otherwise altered, comply within a reasonable time. Be prepared for cost allocation disputes: if the alteration is required due to company breach, the company bears the expense; if required for other reasons, the authority bears it, but the authority must compensate the company for any injury it causes in performing the works (s 10).

11. Payment in lieu of rates administration

• Prepare to pay the annual sum in lieu of rates to the municipal council, half yearly, starting six months after commencing construction (s 14). Ensure accurate calculation of the payment period, maintain records of commencement dates, and verify the municipal council’s receipt and application of the payment. Understand that the payment is in full satisfaction of any rates and rents payable in respect of the company’s mains, conduits and service pipes.

12. Deposits and completion certification

• Ensure that any deposit required by Joint Standing Orders related to private bills has been lodged with the Treasurer and that procedures are in place to obtain return of the deposit upon completion of the works (s 16). Retain documents certifying completion to satisfy the Treasurer’s release requirements.

13. Maintain logs and records

• Keep detailed records of notices served, plans deposited, consents obtained, supervision attendance, reinstatement works, maintenance obligations, payments made to councils, and any communications with Ministers or local authorities. Such records will support compliance, rebut claims, and provide evidence in prosecutions or civil disputes.

14. Liaise with local authorities proactively

• Because local authorities have supervisory and remedial powers under the Act, practical compliance benefits from early engagement, agreed inspection schedules, and written acceptance of reinstatement works. Obtain written approval or sign-off from the relevant authority to reduce the risk of later disputes or cost recovery actions under s 8.

15. Audit and review statutory interface

• Regularly review the Act in light of contemporary Port Authorities, public transport and land administration statutes because the private Act references those regimes for consents and definitions (s 3, s 4). Administrative name changes and ministerial reorganisations were made in amendments; ensure you are dealing with the correct contemporary officeholders.

16. If in doubt, seek declaratory relief or ministerial direction

• Given the Act’s potential for factual dispute (for example, whether a condition was breached leading to relocation, or whether works were commenced before the 1928 deadline historically), consider obtaining ministerial directions or declaratory relief from courts of competent jurisdiction before undertaking substantial irreversible works.

Following this checklist aligns operations with the statutory procedural framework, minimises exposure to penalties and cost recovery, and creates an audit trail that supports compliance in both administrative and judicial contexts.
